TDG Gold Corporation and TDG BC Assets Corporation (TDG) is now a major holder of mineral tenure in the Toodoggone District with over 23,000 hectares of highly prospective brownfield and greenfield exploration mineral tenure under direct ownership or earn-in agreement.

In December of 2019, TDG Gold signed an option agreement with ArcWest Exploration to earn-in to the Oxide Peak project with path to direct ownership. On December 11, 2020, TDG completed its acquisition of the Toodoggone assets of Talisker Resources Ltd. including the former producing Baker and Shasta Mines, the Baker mill, camp, and tailings storage facilities, and the Bot and Mets properties. TDG completed its amalgamation with Kismet Resources Corp. as a way to achieve a public listing for TDG on the TSX Venture Exchange. TDG began trading on December 17, 2020, under “TDG”.

The Baker-Shasta Project is located in northern BC approximately 275 km north of Smithers. The project is situated approximately 35 km north of Kemess Mine and less than 20 km east of the historic Lawyers Mine. The former Baker and Shasta gold and silver mines are located on the property, both of which operated intermittently from the early 1980s to 2012 before being placed under care and maintenance.

Any successes or challenges you’d like to share?

Challenges for the project include trying to find workers for our site, specifically Tahltan and other First Nations. We are currently working with Ann Ball to determine how we can increase these numbers.

Number of employees working on your project(s)?

Human Resources – hired during 2021:

1 . Executive Leadership (CEO) – Fletcher Morgan; 2 . VP Sustainability – Christy Smith (Komoks

First Nation); and,

3 . BC Operations Lead – Steven Kramar.

All other individuals working on the project have been hired under contractors on site.

PROJECT ACTIVITIES IN THE 2021 SEASON

Drill programs were implemented on Shasta and Oxide Peak for these past-producing sites in 2021 in order to define resources, test geological models, and confirm the accuracy of historical information related to past work. All work was undertaken in consultation with qualified environmental consultants from First Nations firms.

Shasta Baker

• 8,048 metres of drilling (55 drill holes) was completed at Shasta between July and October;

• Geological mapping and sampling of the historical sites was conducted;

• Environmental monitoring and baseline data collection was performed;

• Notice of Work was applied for and approved for activities outside the Permitted Mine Area; and,

• $1 million bonding schedule was put in place with first $500,000 paid.

Oxide Peak

• NOW permit was applied for and approved for

Oxide Peak; • 1,048 metres of drilling (2 holes) at the Drybrough target located adjacent to Baker; and, • Environmental monitoring and compliance assurance.

Where does the majority of your financing come from year to year? What’s the breakdown of who owns your company and what’s your company’s market cap?

Capital market private placements with typical participants from Canada, US and Europe. Ownership breakdown is as follows: 18.1% Talisker Resources, 4.5% Management & Insiders, 9.5% Merk Investments, 6.7% Konwave AG (Gold2000 fund), 2.7% OceanaGold Corp., and 58.5% Private Individuals and Private Family Offices. Market cap is $39 million.

Tentative plans and hopes for the 2022 season?

• Application for a NOW to drill on the METS project. If approved,

TDG is hoping to drill 21 sites; • Application for a NOW to drill on the BOT project. If approved,

TDG is hoping to drill 8 sites; • Continue to drill at Shasta Baker to define resources; and, • Finish drilling at Oxide Peak in the summer.

RELATIONSHIP WITH THE TCG & TAHLTAN NATION

During the 2021 season, what involvement did TCG personnel and departments have with your company? If they were not involved, why not?

TDG has signed a Communications Agreement, Opportunities Sharing Agreement and Exploration Agreement with the TCG. We are now working closely with TCG representatives to ensure implementation of these agreements. The Lands Department have been involved in review of our Notice of Works and Special Use permit associated with the road for our project. We have been working closely with Ann Ball to increase our Tahltan representation in respect to businesses, contractors and possible hires for 2022.

What employment opportunities, now and in the future, are available to Tahltan members?

We are hoping to fill camp jobs, core cutting positions and support to the Environmental Department.

• A desire to develop partnerships resulting in shared prosperity, environmental protection, and adaptive capacity building investments; and, • The incorporation of Indigenous ecological knowledge and value systems in the development of reclamation prescriptions, exploration activities and partnerships.

Did you have any Tahltan contractors working for your company? What percentage of your contracting dollars went to Tahltan companies, including TNDC and their joint ventures?

Yes, TDG had hired New Age Drilling to support on the Shasta Baker project. Due to this company having a fatality on our site, we are still in discussion regarding contracting dollars. We are looking to engage a Tahltan approved company for drilling in 2022.

Do you have any outside contractors working for you? If so, who are they? Who were the primary contractors you utilized? Do they offer employment opportunities to Tahltan members?

Our Contractors on site included:

• ChuCho Industries (Tsay Keh Dene) – Camp services, First Aid,

Road Maintenance;

• ChuCho Environmental (Tsay Keh Dene) - Environmental

Management planning;

• Sasuchan Environmental LP (Takla and EDI Environmental

Dynamics) - Environmental Management planning;

• Paycore Drilling (Partnership with TKN) – Drilling; and,

• LandSea (Partnership with TKN) – Camp Cooking and Cleaning.

They all offer employment opportunities to Tahltan members.
