Dear member,
The Club’s AGM on 24 November 2022 is drawing near, and although we are unable to report our usual healthy profit, under the present financial circumstances the Board and Management have worked at moving forward through this difficult period. Further details on the year are in the CEO’s report. Even though we have been through the most testing times of late, the Board made a conscious decision to forge ahead with our plans even in this, the most difficult economic period in the club’s history. We have been able to do so due to our strong financial base, which has been built on the loyalty of our members, both past and present.
As I write this, I reflect on the presentation to a young Balmain Rugby League referee I recently made and how proud I was in doing this, and how proud I am of our entire Ryde-Eastwood Community participation. I am proud of my club, your club, and proud of our investment in our current and future communities. These range from babies and pre-schoolers in learn-to-swim classes to our internal clubs, frequented by members of all ages, as well as participation in our local sporting and community clubs.
I am proud of our Board and management, not only for the continuing donations we give to our community (far in excess of our mandatory requirements), but also in the way we are able plan for the future. We are presently building additions to our main club, as well as Club Thirroul, and we are moving forward with our plans to see our Seniors Living project come to life in 2023.
I am pleased to report that we have been able to retain most of our valued staff during the recent pandemic closure and changes, understanding that they are key to delivering our club offering to each and every member. It was such a pleasure recently to attend an appreciation dinner for some of our staff with 15+ years’ service, as recognition of the loyalty they have demonstrated both to the club and its members.
We are busy not only with day-to-day activities of our club, but its future for both present and future members. Actively monitoring and being involved in outside projects with our Board and management team, including the West Ryde Master Plan with Ryde Council, the Meadowbank Education Precinct, and the Ryde Hospital Development with the State Government, brings a great pride to all of us involved.
You, our members, should also be proud, for without your loyalty to the club, all of these plans would not be possible, and for this we thank you. I assure members that the future of your club looks promising and there are exciting times ahead as we look forward to all members coming on this journey with us.

Dear member,
Firstly, I wish to welcome both our new members and guests and those loyal members who have been with us during the last 50+ years. It is great to provide you with our November quarterly journal filled with information, offers and events for members and the community, and to also update you on what the club has been busy doing.
The last financial year has been one of the most difficult years for the club, both from a financial operation point of view, as well as bouncing back in all areas and offering the most back to members. The last financial year to 30th June saw the club show a net loss of $516,808 for the year. This was mainly due to the reduction in revenue with shutdowns and reduced trading opportunities that resulted in a decrease of over $4.89 Million. However, the club holds a strong asset base, and our overall financial position ensures we can recover this setback as we move into another new year.
Throughout the year, the club continued its focus on continuing to provide for members and the wider community. This included the club’s ongoing commitment of support that saw over $545,000 in donations to community groups and sporting groups, local sports, and community areas to ensure these vital community contributors can continue to do their good work.
As we keep moving forward, the club is seeing growth in all areas, which will see us bounce back and keep delivering our offering to members and guests while pursuing our strategic vison.
Over recent months, the club has continued to move forward on projects for members. We have commenced our set up and preparation works for renovations at Club Thirroul that will deliver a new Gaming area, TAB and alfresco food and beverage lounge area for members in early 2023. At Ryde-Eastwood, we have also completed the relocation of our administration that will see our Function Centre open to full capacity again and offer more space and options for events. We are also finalising plans for other internal refurbishments in areas such as the alfresco and internal gaming and lounge space. This will happen in early 2023.
Members will find in our journal the opportunities to participate in many exciting promotions and activities over the Christmas and New Year period. And for the children, Santa will be coming along for the ride! Our entertainment calendar is once again filled with some great shows, as well as some wonderful activities for the school holidays to keep the kids busy. We also have some great seasonal offerings in Social Kitchen and Bamboo Blossom, including some great dining packages for the family and friends to get together over the festive season.
Our Seniors’ Housing project continues to move forward with our DA Application, with Council and community consultation underway. We continue to work with Council and other stakeholders to ensure we meet the needs not only of the residents but also the entire community. We are engaging with members to provide insight into the vision of the village and will continue to include members as an important part of bringing the village to life.
The club continues to focus on our people including 180+ staff that are committed to creating that great experience for members and guests. We are proud to provide ongoing training and support to the team across all areas of our social and corporate responsibility, including increased training in Work, Health and Safety, and the key areas of beverage and gaming to ensure the welfare of all our members is always our priority. Our membership has increased over recent months, and we thank all members and guests who continue to support the club and the community.
Finally, I would like to mention and thank the Board for its ongoing support and vision throughout a particularly difficult period. Their dedication and focus to the club’s future and the importance of our members and community ensures that we have great pride in who we are and what we wish to achieve. I wish all members and their families and friends a very Merry Christmas and a safe and Happy New Year, as we welcome 2023.

It is very pleasing to advise members that the planned renovations are now underway at Club Thirroul.
The site office is on track for set up and demolition starting early November, with the outdoor area to make space for the new alfresco food and beverage lounge for everyone to enjoy the great outdoor screen. This will include both open air and covered seating and is scheduled for completion by early January.
Later in November, we will be relocating the gaming room and TAB to the current function space while the new area is progressed. This will see a new gaming lounge with a large internal and alfresco offering for members and a new TAB area. This area is planned to open in early February.
With a lot of planning to bring these great new offerings to the club, we are excited to get moving and hope members enjoy seeing the new areas and offering come to life.

Welcome to the final football report for Season 2022. Firstly, pleased be advised that the Annual General Meeting of the Ryde-Eastwood District Rugby League Football Club Incorporated will be held at Ryde-Eastwood Leagues on 10th November 2022, at 7.30 pm.
Once again, our season was unfortunately disrupted by ground closures due to the continual wet weather, resulting in our training being cancelled and our games postponed.
On top of this, another contributing disruptive factor across all teams was the massive injury toll; at one stage, we had 54 players with sideline injuries. It was hard to find replacements to cover all of those injured. Just on that, I would like to point out that our injury toll was one of the worst our club has endured.
On a brighter note, we had four teams make the semi-final playoffs, our 20s Division 2, 20s A Grade Silver, Open Age A Grade Gold, and Sydney Shield teams. Considering all the aforementioned disruptions in the season, these four teams must be congratulated for overcoming
all the distractions to progress and play in semi-finals football. We can only hope that in Season 2023 we experience fewer obstacles by way of injuries, inclement weather events and Covid. Looking at our 2022 Season overall, and even allowing for the above mentioned events, I still consider our season to be an excellent one and commend our coaches, trainers and players for their commitment and overcoming the distractions put in front of them. Again, well done to all.

OVER $545,000 TO THE LOCAL COMMUNITY.
For the 12 months ending 31 August 2022, Ryde-Eastwood Leagues has provided funding of over $545,000 to numerous local community, sporting and charity groups.
Below are some of the groups supported by the Leagues club on behalf of its members, by way of cash grants or in-kind support, such as free meeting room hire.
We also support many internal subclubs and dozens of other schools and community organisations by way of fete and fundraising donations, plus the contributions made to our own Football Club in support of Rugby League. We are very proud to partner with our local community.

NOTICE OF ORDINARY RESOLUTIONS
Notice is hereby given that at the Annual General Meeting of the Club, members will be asked to consider and, if thought fit, pass the following resolutions which are proposed as Ordinary Resolutions:
FIRST ORDINARY RESOLUTION
That pursuant to the Registered Clubs Act 1976 (NSW) the members hereby approve and agree to payment of the following honoraria for members of the Board of Directors until the next Annual General Meeting:
I. President $20,000 per annum.
II. Eight (8) other Directors $18,000 each per annum; and;
III. The Honoraria are to be payable monthly in arrears. (N.B. Under the superannuation guarantee legislation superannuation at 9.5% is payable to all Directors).
SECOND ORDINARY RESOLUTION
a) That pursuant to the Registered Clubs Act 1976 (NSW) the members hereby approve and agree to expenditure by the Club in a sum not exceeding $70,000 until the next Annual General Meeting of the Club for the following activities:
I. An annual dinner or lunch for Foundation Members and partners, as well as other special guests determined by the Board to be important to the foundation of the club;
II. An annual Appreciation dinner or lunch for Sub-Club Executive Committee Members;
III. Grants and subsidies to the sub-clubs;
IV. Two free meals and beverages per fortnight for each Life Member of the Club that is not a director of the Ryde-Eastwood Leagues Club Limited (not to exceed $150 for each meal);
V. Presentations to members and other persons acknowledging services deemed by the directors as being of benefit to the Club.
b) The members acknowledge that the benefits in paragraph (a) above are not available to members generally but only those members who fall within the various categories of membership referred to.
THIRD ORDINARY RESOLUTION
a) That pursuant to the Registered Clubs Act 1976 (NSW) the members hereby approve and agree to expenditure by the Club in a sum not exceeding $130,000 for the following benefits, professional development and education of directors until the next Annual General Meeting and being:
I. The reasonable cost of directors attending the ClubsNSW and Leagues Clubs Australia quarterly and annual general meetings and the reasonable costs of directors attending formal functions to represent the club including but not limited to functions and dinners conducted by ClubsNSW, and Leagues Clubs Australia and including costs associated with the directors’ partners where attendance is expected and required.
II. The reasonable cost of directors attending seminars, lectures, trade displays and other similar events as may be determined by the Board from time to time as being of benefit for Club and the education of directors;
III. The reasonable cost of directors attending or hosting other registered clubs for the purpose of viewing and assessing their facilities and methods of operation or for the purpose of meeting and exchanging ideas with the governing bodies of those other clubs provided such attendances are approved by the Board as being necessary for the betterment of the Club;
IV. Nine car parking spaces for the exclusive use of directors;
V. Duty directors, while on duty, shall be entitled to the use of a table in the Club auditorium without charge;
VI. Blazers and associated apparel for each director as may be necessary for new directors, and to replace those of existing directors which may need replacing;
VII. The reasonable cost of a meal and beverage for each director immediately after a Board or Committee meeting on the day of that meeting where that meeting coincides with a normal meal time;
VIII. The reasonable cost of meal and beverage for each duty director and his or her partner when the duty director is on duty in the Club or within a reasonable period of that date;
IX. The reasonable cost of directors attending the Club’s holiday units to inspect them or to assess other holiday units for purchase by the Club provided such attendances and cost thereof are approved by the Board.
X. The reasonable cost of directors, senior management and their partners attending an annual dinner; including a token of appreciation for partners. The total value of tokens of appreciation not to exceed $1,200.
XI. The reasonable cost of directors of the Club attending an organised intrastate, interstate or overseas tour as determined by the Board of the Club for the purpose of viewing and assessing the facilities of casinos, hotels and entertainment venues and determining trends in relation to entertainment, decor, gaming, marketing and promotion and thereafter for such director to make a detailed written report thereon to the Board of the Club;
XII. The reasonable expense incurred by directors in relation to such
other duties including entertainment of special guests to the Club and other promotional activities performed by directors which activities and the expense there from are approved by the Board, on production of receipts, invoices or other proper documentary evidence of such expenditure;
XIII. That the members approve that directors and other members be entitled to represent the Club at sponsored sports events by invitation.
XIV. The reasonable cost of providing directors with computer hardware as well as internet access to access a secure website for Board meeting minutes and agenda items.
b) The members acknowledge that the benefits in paragraph (a) above, are not available to members generally, but only to those who are directors of the Club and partners of directors who are members and senior management and their partners who are members.
Explanatory notes regarding the First, Second and Third Ordinary Resolutions
1. These notes are to be read in conjunction with the proposed Ordinary Resolutions. The First, Second and Third Ordinary Resolutions are put to members for the purposes of section 10(6) and 10(6A) of the Registered Cubs Act 1976 (NSW) (Registered Clubs Act) which require members in General Meeting to approve certain benefits granted to specific members or classes of members not provided to other members of the Club.
2. The First Ordinary Resolution is to approve honoraria to be paid to Directors of the Club until the next Annual General Meeting.
3. The Second Ordinary Resolution is to approve benefits which have traditionally been provided in the Club but which are not equally available to all members.
4. The Third Ordinary Resolution is to approve an amount no greater than $130,000 for the expenditure by the Club in relation to duties performed in or about the Club by directors and expenditure for directors to attend seminars, lectures, trade displays and other similar events including the Clubs NSW Annual General Meeting and to visit other clubs to enable the Club’s governing body to be kept abreast of current trends and developments which may have a significant bearing on the nature and way in which the Club conducts its business. This resolution also includes an option for directors to participate in organised intrastate, interstate or overseas trips to view and assess facilities. This option has been included in our Annual General Meeting Agenda for the last twenty years and has been used only twice. However prior approval is required by members to ensure the club complies with relevant legislation. Part (i) of the resolution to include reasonable expenses of partners of directors is to allow the availability of directors to attend meetings that are expected or required for their development and knowledge and are often held in distant locations.
Notice is hereby given that at the Annual General Meeting of the Club, members will be asked to consider and, if thought fit, pass the following resolutions which are proposed as Special Resolutions:
That the constitution of Ryde-Eastwood Leagues Club Limited (Club) be amended by:

Replacing the text alongside rule 15 with the word “Deleted”, so that rule 15 will read as follows: “15. Deleted.”
In rule 22(b)(i), changing the minimum age for Junior membership from 15 years to 14 years, so that rule 22(b)(i) will read as follows: “(i) Any person under the age of 18 years and who has attained the age of 14 years and who satisfies the Board that he or she wishes to actively participate in regular sporting activities organised by the Club or to use the Club’s health and fitness facilities and from whose parent or guardian the Club receives a written consent (in such form as the Board may determine) to be a Junior member of the Club and to participate in regular sporting activities organised by the Club or to use the Club’s health and fitness facilities may be admitted to Junior membership of the Club. Such parent or guardian shall be either a Club member or Life member of the Club and will be required to undertake to the Club to be responsible for the annual subscription and all other monies payable to the Club in relation to the Junior member and for the behaviour of the Junior member.”
• In rule 24(a) adding the following new sub-rule 24(a)(iv) (and renumbering existing sub-rule 24(a)(iv) as 24(a)(v)):
“(iv) to propose or second a nominee for election or appointment to the Board”, so that rule 24(a) will read as follows:
“(a) Life members, financial Foundation members and financial Club members who have at least 5 years standing as a Full member will have the following rights (subject to any further restrictions in this Constitution):
(i) to attend and to vote at all General Meetings; (ii) to vote for the election of the Board;
(iii) to be nominated for, elected to and hold office on the Board;
(iv) to propose or second a nominee for election or appointment to the Board;
(v) and to vote on any Special Resolution including any Special Resolution to amend this Constitution.”
• In rule 35(c), deleting the words “and address” after the word “name”, so that rule 35(c) will read as follows:
“(c) The Secretary shall cause the name of the candidate to be exhibited on the Club Notice Board for a continuous period of not less than one week before the election of the candidate as a member of the Club.”
• In rule 38(a):
Deleting the words, number and symbols “Two Dollars ($2.00) or such other” appearing after the words “not be less than”; and
Replacing the deleted words, number and symbols with the word “the” before the word “minimum”, so that rule 38(a) will read as follows:
“(a)
Entrance fees, subscriptions and other payments payable by members of the Club and the time and manner of payment thereof and all other matters pertaining thereto not especially provided for by this Constitution shall be such as the Board may from time to time prescribe provided that the annual subscription for any class of Ordinary member shall be not less than the minimum subscription provided from time to time by the Registered Clubs Act.”
• In rule 39:
Deleting the words, number and symbol “$2.00 or such other” appearing after the words “not be less than”; and
Replacing the deleted words, number and symbol with the word “the” before the word “minimum”, so that rule 39 will read as follows:
“39. Any candidate elected during the last six (6) months of the financial year of the Club to any class of membership shall pay such proportion of the annual subscription as may be determined by the Board from time to time provided that it not be less than the minimum prescribed under the Registered Clubs Act.”
• Deleting rule 93 and inserting instead the following new rule 93: “93. A notice may be given by the Club to any member either:
(a) personally; or
(b) by sending the notice by pre-paid post to the address of the member recorded for that member in the Register of Members kept pursuant to this Constitution; or
(c) by sending the notice to the electronic address (if any) to the electronic address of the member recorded in the Register of Members kept pursuant to this Constitution; or
(d) by sending the notice to the member by other electronic means (if any); or
(e) by notifying the member that the notice is available and how it may be accessed, if the Club has an electronic means by which the member may be notified that a notice is available and an electronic means by which the member may access the notice.”
Explanatory notes regarding the First Special Resolution
Rule 15 – Maximum numbers of Full Members
1. Rule 15 refers to the maximum number of Full Members of the Club not exceeding the number permissible under the Registered Clubs Act. In 2009, the Registered Clubs Act was amended so as not to impose a maximum number of Full Members on registered clubs. Therefore, it is appropriate to delete the text in rule 15. The rule number will not be deleted, so that subsequent rules need not be renumbered.
Rule 22(b)(i) – Minimum age of Junior Members
2. It is proposed to amend rule 22(b)(i) so that the minimum age for Junior Members is reduced from 15 years to 14 years. This will make it easier for the Club to fill sports teams playing as members of the Club in local competitions.
Rule 24(a) – Qualifying period of Full membership for proposer and seconder for director nominations
3. The proposed amendment to rule 24(a) is to make it clearer that at least 5 years Full membership is required not just for eligibility to attend and vote at General Meetings, vote in Board elections and to hold office on the Board, but also to propose or second a nominee to hold office on the Board.
Rule 32(a) – names only of new membership applicants on the Club’s notice board
4. Recent changes to section 30(2)(a) of the Registered Clubs Act now only require the names of persons proposed for election as ordinary members of a registered club to be displayed on a club’s notice board. The section no longer requires the person’s address to be displayed, hence the proposed change to rule 35(c).
Rules 38(a) and 39 – minimum subscription no longer prescribed by Registered Clubs Act
5. Currently rules 38(a) and 39 of the Club’s Constitution refer to the minimum subscription payable by Ordinary members as $2 per annum or such other minimum amount prescribed from time to time by the Registered Clubs Act. Recent changes to the Registered Clubs Act removed the minimum $2 annual subscription. The proposed amendments to rules 38(a) and 39 are to remove the reference to $2 per annum as a minimum subscription and simply allows a minimum subscription to be allocated if the Registered Clubs Act prescribes it in future years.
6. Notices from the Club to members, including notices of general meetings, are sent in accordance with the requirements of sections 110D and 249J of the Corporations Act. This includes electronic method of delivery, or advising members of how to access a notice. There were temporary Corporations Act provisions which were in place until 31 March 2022 and which were enacted to give some relief and assistance to companies following the COVID-19 pandemic.
7. Among the temporary COVID-19 provisions of the Corporations were an ability for a company to give its members electronic notice of a general meeting, even though normally this could only be done if a member nominates electronic form of notice being sent to the member. That is, the default method of giving notices of general meetings, including annual general meetings, was by post, unless a member elected to receive notices electronically and nominates an electronic address for that purpose.
8. The temporary changes to the Corporations Act were recently made permanent. Companies have the ability to give electronic notices of general meetings as the default method of delivery. The proposed new rule 93 will make it clear that the Club can continue to give notices of meetings electronically, without requiring each member to formally nominate that method of delivery.
9. However, it will remain open for any member to request hard copies of notices by post/mail and the Club is required to send each member a notice in line with their preference if they make an election in accordance with the Corporations Act.
That the Constitution of Ryde-Eastwood Leagues Club Ltd (Club) be amended by:
• Adding in rule 2, in appropriate alphabetical order, the following new definition of “Gaming Machines Act”: “Gaming Machines Act” means the Gaming Machines Act 2001. When any provision of the Gaming Machines Act is referred to, that reference is to such provision as modified by any law for the time being in force.”
• Deleting rule 45 and inserting instead the following new rule 45: “45 (a) If any member shall wilfully refuse or neglect to comply with any of the provisions of this Constitution or any By-Laws or be, in the opinion of the Board or the Board’s duly constituted disciplinary committee (as referred to in paragraph (g) below), guilty of any conduct prejudicial to the interests of the Club or be guilty of conduct which is unbecoming of a member or which shall render the member unfit for membership, the Board or the Board’s duly constituted disciplinary committee shall have power to reprimand, suspend for such period as it considers fit, expel or accept the resignation of such member and to have recorded in the register of members that the person has ceased to be a member of the Club provided that:
(i) Such member shall be notified of any charge against the member pursuant to this Rule and of the date time place of the hearing of the charge by notice in writing sent as a prepaid letter posted to the member’s last known address at least seven clear days before the meeting of the Board or meeting of the Board’s duly constituted disciplinary committee at which such charge is to be heard. The notice must set out the facts, matters and circumstances giving rise to the charge.
(ii) Subject to paragraphs (viii) and (ix) (use of technology for conduct of hearings), the member charged shall be entitled to attend the hearing for the purpose of answering the charge and shall also be entitled to submit to the meeting written representations for the purpose of answering the charge. The member shall be entitled to call any witnesses in his or her defence and cross-examine any witnesses.
(iii) If the member fails to attend such meeting the charge or complaint may be heard and dealt with and the Board or the Board’s duly constituted disciplinary committee may decide on the evidence
before it, the member’s absence notwithstanding but having regard to any representations which may have been made to it in writing by the member charged.
(iv) No motion by the Board or the Board’s duly constituted disciplinary committee to reprimand, suspend or expel a member shall be deemed to be passed unless a simple majority of the members of the Board or the Board’s duly constituted disciplinary committee present in person vote in favour of such motion.
(v) After the Board or the Board’s duly constituted disciplinary committee has considered all the evidence put against the member, it must come to a decision as to the member’s guilt or innocence in relation to the charge. Once it has decided the issue of guilt or innocence, the Board or the Board’s duly constituted disciplinary committee must inform the member prior to considering any penalty.
(vi) The member charged must be given a further opportunity at the hearing to address the Board or the Board’s duly constituted disciplinary committee in relation to the penalty appropriate to the charge of which the member has been found guilty.
(vii) Any decision of the Board or the Board’s duly constituted disciplinary committee on such hearing shall be final and the Board or the Board’s duly constituted disciplinary committee shall not be required to assign any reason for its decision.
(viii) A meeting of the disciplinary committee or Board may be called or held using any technology consented to by all the members of the disciplinary committee or Board, as the case may be. The consent may be a standing one. A Director or disciplinary committee member may only withdraw his or her consent within a reasonable period before the meeting.
(ix) If a disciplinary hearing is held using technology and the member who is the subject of the disciplinary charge is entitled under this rule 45 to attend the hearing, the member must be provided with information about how they will be able to attend and/or participate in the hearing, ask questions and any other information they need to know in order to participate using the technology.
(b) In the event that a notice of charge is issued to a member pursuant to sub-paragraph (i) of paragraph (a) of this Rule 45 the Board or the Board’s duly constituted disciplinary committee shall have power to suspend that member from all rights and privileges as a member of the Club until the charge is heard and determined or for five weeks, whichever is the sooner. Such suspension shall be promptly notified in writing to the member concerned.
(c) The Secretary (or subject to paragraph (e) of this Rule 45 an employee of the Club) has power to suspend any person’s membership and remove a person or that member from the Club’s premises:
(i) who in the opinion of the Secretary or the senior employee is then intoxicated, violent, quarrelsome or indecent; or
(ii) whose presence on the Club’s premises in the opinion of the Secretary or the senior employee may render the Club or the Secretary liable to a penalty under the Registered Clubs Act, the Liquor Act, Gaming Machines Act, or any applicable law; or
(iii) who in the opinion of the Secretary or the senior employee has engaged or used any part of the Club’s premises for an unlawful purpose; or
(iv) who, within the meaning of the Smoke-free Environment Act, smokes while on any part of the premises that is smoke-free; or
(v) who uses, or has in his or her possession, while on the premises of the Club any substance that the Secretary suspects of being a prohibited drug or prohibited plant;
(vi) whom the Secretary, under the conditions of the club licence or according to a term (of the kind referred to in section 134 of the Liquor Act) or a local liquor accord, is authorized or required to refuse access to the Club’s premises; or
(vii) who in the opinion of the Secretary or the senior employee has engaged in conduct which may be prejudicial to the Club’s interests or which may be conduct unbecoming of a member; or
(viii) who in the opinion of the Secretary or the senior employee has engaged in conduct which is contrary to the Club’s Responsible Service of Alcohol Policy or the Responsible Conduct of Gambling Policy.
(d) If pursuant to paragraph (c) of this Rule 45 a person (including a member) has been refused admission to, or has been turned out of, the premises of the Club, the Secretary of the Club or (subject to paragraph (e) of this Rule 45) an employee of the Club, may at any subsequent time, refuse to admit that person into the premises of the Club or may turn the person out, or cause the person to be turned out of the premises of the Club.
(e) Without limiting the provisions of section 77 of the Liquor Act the employee who under this Constitution is entitled to exercise the powers set out in this Rule shall be:
(i) in the absence of the Secretary from the premises of the Club the senior employee then on duty; and (ii) any employee authorised in writing by the Secretary to exercise such power.
(f) The Secretary or employee of the Club who exercised the power referred to in paragraphs (c) and (d) of this
Rule shall make a written report to the Board or the Board’s duly constituted disciplinary committee of the circumstances of the refusal to admit and/or the removal of the person (including a member) within four (4) weeks of the refusal to admit or the removal of the person or at least twenty-four (24) hours prior to the next Board meeting (or the Board’s duly constituted disciplinary committee meeting), whichever is later.
(g) The Board, the Secretary, or the senior employee may at any time organise and enforce the exclusion from the Club’s licensed premises of any member or other person (either with or without the member’s or person’s consent) in accordance with the Club’s Responsible Service of Alcohol policy or Responsible Conduct of Gambling policy.
(h) The powers of the Board under this rule may be delegated by the Board and exercised by a disciplinary committee which consists of not less than three (3) persons appointed by the Board. A quorum of the disciplinary committee is three (3) persons.”
Explanatory notes regarding Second Special Resolution
1. Rule 45 of the Club’s Constitution deals with the calling and holding of disciplinary hearings following a notice of charge being issued to a member.
2. Proposed new rule 45 is substantially similar to existing rule 45, except that the proposed new rule will expressly allow for:
(a) the calling and conduct of disciplinary hearings using technology (e.g., using Zoom, Microsoft Teams or similar); and
(b) a person may be removed from the Club’s premises and, if they are a member, may be subject to immediate suspension pending a disciplinary hearing before the Board or disciplinary committee, for conduct which may render the Club or the Secretary to a penalty under the Gaming Machines Act 2001 (NSW) or any applicable law or which in the reasonable opinion of the Secretary or a senior employee, has engaged in conduct which is contrary to the Club’s Responsible Service of Alcohol Policy or the Responsible Conduct of Gambling Policy.
3. If a disciplinary hearing is to be held using technology, proposed new rule 44 requires the Board or disciplinary committee to provide the member concerned with information about how to attend and/or participate in the hearing, ask questions and any other information they need to know in order to participate using the technology.
4. The express ability to call and hold disciplinary meetings using technology provides convenience for the Board or disciplinary committee and the member concerned, and removes any health and safety concerns during a pandemic.
5. The express ability of the Board, the CEO/Secretary and senior employees to enforce the Club’s responsible service of alcohol and responsible conduct of gambling policies is considered essential for harm minimisation concerning liquor and gaming services within the Club’s premises. It is a common provision in the constitutions of many registered clubs.
That the Constitution of Ryde-Eastwood Leagues Club Ltd (Club) be amended by:
• Deleting the word “and” at the end of rule 52(a)(i);
• Replacing the full stop at the end of rule 52(a)(ii) with a semi colon;
• Adding the following new rule 52(a)(iii) immediately after existing rule 52(a)(ii):
“(iii) Subject to the nominee attending a Director training induction course approved by the Board prior to the election, provided that:
(1) the nominee shall only be required to attend and complete such induction training course if he or she has not been a Director of the Club at any time within the 5 years preceding their proposed appointment or election;
(2) such induction training shall be in addition to any mandatory training required for any Director under the Registered Clubs Act and Registered Clubs Regulation 2015 (NSW);
(3) the Club pays for the induction training and no nominee shall be required to pay for their induction training;
(4) if the Club conducts the Director induction training in house or the training is not available online, at least 2 Director training induction courses are held on different days during the period in which nominations may be received for an annual general meeting at which an election is required; and
(5) the requirement for Director induction training under this sub-rule will not apply to a member who is nominated and appointed by
the Board to fill a casual vacancy on the Board pursuant to Rule 70.
A nominee who is required by this paragraph (iii) to attend Director induction training but who does not so attend, will not be eligible for election to the Board and their nomination shall be withdrawn from the election. If a nominee attends a Director induction training session externally or online, as may be approved by the Board, they must provide to the Returning Officer satisfactory evidence of their attendance at the session.”
Explanatory notes regarding the Third Special Resolution
1. The proposed new rule 52(a)(iii) will:
(a) Require nominees for election to the Board who have not held office on the Board in the preceding 5 years to attend Director induction training prior to the election; and (b) Director induction training will not be required where a member is appointed by the Board under rule 70 of the Club’s Constitution to fill a casual vacancy on the Board.
2. The purpose of Director induction training is to ensure nominees have a basic understanding of their role and obligations if they are elected to the Board, prior to their election. However, Director induction training is supplemented by more comprehensive training courses to be undertaken by Directors under the Registered Clubs Act within 12 months of their appointment.
3. The specific exemption to apply to persons appointed to fill casual vacancies on the Board will avoid the possibility of the Board having to arrange a one-off Director induction training course for that nominee. Further, the Board will be able to select a nominee who will have the necessary skills or experience to fill a casual vacancy on the Board, minimising the risk that the person will not have some basic understanding of their role and obligations as a Director.
That the Constitution of Ryde-Eastwood Leagues Club Ltd (Club) be amended by deleting rule 58(a) and inserting instead the following new rule 58(a): “(a) The Board may meet together for the dispatch of business, adjourn and otherwise regulate its meetings as it thinks fit provided that the Board shall meet whenever it deems it necessary but at least once in each quarter, being a period of 3 months ending 31 March, 30 June, 30 September and 31 December for the transaction of business.”
Explanatory notes regarding the Fourth Special Resolution
1. Existing rule 58(a) of the Club’s Constitution currently requires the Board to hold monthly Board meetings.
2. Proposed new rule 58(a) is based on the existing rule except that the new rule 58(a) will make it consistent with the recent changes to section 30(1)(c) of the Registered Clubs Act which now only requires quarterly Board meetings. However, the:
(a) Board’s duties and responsibilities at law are not in any way diminished by not having a constitutional requirement for monthly Board meetings; and
(b) Board may nevertheless meet more regularly to deal with specific items of business which might arise, and will likely meet more regularly than quarterly if demanded by its workload or for a specific project being considered or undertaken.
1. Pursuant to rules 24 and 98 of the Club’s Constitution, only Life Members, financial Foundation Life Members and financial Club Members who have at least 5 years standing as Full Members may vote on the Ordinary Resolutions and Special Resolutions.
2. To be passed, the Ordinary Resolutions must receive votes in their favour from not less than a simple majority of those members who, being entitled to do so, vote in person at the meeting.
3. Pursuant to sections 9 and 136 of the Corporations Act and rule 98 of the Club’s Constitution, to be passed the Special Resolutions must receive votes in their favour from not less than three quarters of those members, who being entitled to do so, vote in person at the meeting.
4. As a result of the special resolution provisions of the Corporations Act, the Special Resolutions must be considered as a whole and cannot be altered in substance by motions from the floor of the meeting.
5. Members who are employees of the Club are not entitled to vote.
6. Proxy voting is prohibited by the Registered Clubs Act.
7. The Board recommends the Ordinary and Special Resolutions to the meeting.

To all Ryde-Eastwood Leagues’ Seniors, How this year has passed so quickly. Christmas is just around the corner, and for the first time in two years the REL Seniors Club has had no lockdowns due to Covid and the restrictions have been lifted, which enables the Seniors Club to have activities without fear of cancellation. Such a breath of fresh air! We welcome our new members; it is great to have seniors joining and enjoying being part of likeminded people. From August through to October we enjoyed our walks to Brooklyn, Barangaroo and Cockatoo Island, plus the bus trips to The Quarantine Station, Blue Mountains, and a lunch at Parramatta Leagues Club. Our next outing is at the end of October, before this journal is published, to The French Connection. I am sure our members find our speakers at our monthly meeting entertaining. We may be seniors, but it is always positive to learn more from these interesting people. The next few months leading up to Christmas and the New Year have more exciting outings and, of course, our Christmas Lunch. We have the Melbourne Cup Lunch on the 1 November, then the State Theatre tour, a bus trip to Berry and our Christmas Lunch at Ryde-Eastwood Leagues. All members are welcome to come along and enjoy a delicious 3-course meal, drink, and many lucky door prizes. This function will end 2022 on a good note. January will be a slow month as it is still in holiday mode, plus the weather is usually hot. There will be an opal trip arranged on Tuesday 17 January and we have our meeting on 19 January. I would like to thank all members for supporting the Seniors Club during 2022 and look forward to 2023 Also wishing you all a wonderful Christmas and New Year. During the last few months some of our members ventured down to Cronulla, Kiama, and Wollongong for charter boat fishing. The results were very good. Sam Sundar, our fishing champion for many years, caught a 3.5kg snapper on one trip. As you read this, Robert’s new charter boat out of Sydney should be ready this month. The drive down south to Wollongong and beyond was a long one but at least we caught fish. The fishing club organises monthly deep-sea charter boat fishing trips on the first Sunday of most months. Since our last report of The Social-Travel Club last quarter, the Club has been very active, having various guest speakers at our monthly meetings, to trips and visiting interesting places. June was the Palace of Dreams (The State Theatre) with a tour behind the Curtin and a history lesson on the theatre’s origin, plus lunch at City Tattersalls Club. The following Month, July, was a return to an old favourite, Doyle’s Restaurant and its winter special lunch. Then in August, we visited State Parliament and had lunch in the Stranger’s Restaurant, an excellent day! Then an ‘Off the Track Trip’ into the Magalong Valley in September. This was an area few of us had seen, where we had a nice lunch and before that, morning tea, which was great, with scones and cream plus some sweet slices. The weather was good to us even though the day started off overcast, but cleared to a sunny day. Our next Trip in October is a history trip on the Hawkesbury River from Brookland to the mouth of the river where it enters the sea, with commentary and morning tea. It should be good! In November, of course, there is the Melbourne Cup Lunch at the Club and maybe a bet or t wo? Then also in November, we visit the Shrine of Remembrance in Hyde Park and a tour of its displays. An unusual place for lunch will be on top of The Australian Museum in William Street. It has a view over the Domain and adjacent areas. Finally, the Social Travel Club’s Christmas party. This Year features a little trip away to our Thirroul Club where a great Luncheon is planned. In January, we are having off, and will start back in February 2023 on the second Tuesday of the Month upstairs at 2pm. Unfortunately, because of rain and Covid, we did not have many away trips this year. However, we do plan on going to Thirroul on Sunday 6 November. As 2022 draws to a close, Indoor Bowls can report another successful year. Our group is open to anyone who would like to enjoy a competitively friendly game of bowls with the opportunity to make new friends, while also achieving some beneficial exercise. We are purely a social group with a number of our members having played successfully in State competitions, while others are beginners. Our thanks to Ryde-Eastwood Leagues for its continued support. The Camera Club usually meets at least twice a month on Monday nights. Please check out this friendly club in 2023. We hold competition nights where members may display their colour and monochrome photographs in print form and digitally. We are also holding the Camera Club Christmas Dinner and Awards Presentation night on 12 December at 6.30pm for 7pm at Ryde-Eastwood Leagues for the first time in two years. The REL Euchre Club meets each week to enjoy a friendly game. We currently have approximately 25—35 regulars and play 16 games with different partners. This makes for lively discussion, and at the conclusion of play at 10pm we enjoy a cup of tea or coffee, with the ladies usually bringing some gourmet delights. Play starts at 7pm sharp and ends at 10pm. Euchre ability is welcome but most people have some knowledge of play, even if long ago.
