PRESIDENT’S REPORT

Dear Member

The AGM of our Club is drawing near and we are most pleased to again report a healthy profit. This is due mainly to the continued support of you the members together with The Board, Management and of course our enthusiastic and friendly staff; all of the above I like to think of as “The Ryde Eastwood Family”, and together we have had another successful year. Thank you.

In the corresponding article last year our past President Keith Aggett (also my mate and mentor) was wishing me well for my major brain operation. As you can see when I am walking around the club, thanks to the marvellous Macquarie Hospital Team I am fit and well and looking forward to the exciting year ahead. Many thanks to our Board for entrusting me with the Presidency of our great Club. I will do my best to further enhance the great legacy we have been left.

2017 also brought us great results for our involvement with Eastwood Ryde Netball Association (ERNA) with both teams making the semi finals. Our new venture into the Under 19s Rugby League Combined Sydney Competition also saw both sides make the semifinals. Congratulations to both the Eastwood Ryde Netball Association and the Under 19s Ryde Eastwood Rugby League for the well organised and successful teams - the RydeEastwood Family is proud of you.

The club continues to be a major sponsor of The Adam Gardiner Fund supporting several fund raising events to assist finding a cure for Amyloidosis. As this insidious disease recently took one of our own, Manager Martin Westbrook, we are more determined than ever to assist in finding a cure. The Club also donated over $100,000 to Ryde Hospital in the previous financial year to assist with the purchase of modern equipment to enable better service to patients in the local community, our community. What this means is that by being an active member of the Ryde-Eastwood Family you are helping our community in all such ventures. A full list of all donations made on behalf of members in the past 12 months is on display on various electronic screens throughout the club.

By the time this report reaches you we should have completed the refurbishment of the main lounge area and bar. The project included new carpet and furniture as well as a general makeover to revitalise these areas for your future enjoyment.

We on the Board are all parents and fully realise that from 16 to 20 years old is one of the most trying years of your life. This is why the Leagues Club and Football Club are investing in our youth of today and tomorrow. While we continue to invest in all sports for all ages, our particular focus is Rugby League and Netball in the above age groups. If we assist these young people to continue their sport in a safe and healthy team environment, our community will only benefit. We were so proud to be involved with all the teams and their families this year.

Again, on behalf of the Board and Management and all the Ryde-Eastwood Family I thank all members for their continued support to keep our Club a leader in our local community. May I take the opportunity to wish everybody a very Merry Christmas and a happy and healthy 2018. “See you in the Club.”

The Annual General Meeting of Ryde-Eastwood Leagues Club will be held in the Heritage Function Centre at the Club on Thursday 23 November at 7.30pm in the Willandra Room.

FOOTBALL REPORT

Dear Members

Our last game of the season proper was against the New Zealand Warriors in Auckland. The team (I must give credit for) put in a much better performance than in previous games, going down 38-10.

Our statistics for the season read as follows: 4 Wins, 18 Losses.

Points for: 322. Points against: 748.

I think the above statistics indicate how bad this season has been.

I would like to inform the members that the Ryde-Eastwood Football Club committee will not be renewing our sponsorship with the Wests Tigers for season 2018. The committee feels that a better utilisation of our resources would better serve our junior players and the local community as a whole. It will also provide a pathway for our players to move on to senior clubs. I might also point out, that at this time there has been no decision made as to who will be running the I.S.P competition 2018 - Wests Tigers or Wests Magpies.

RYDE EASTWOOD UNDER 19s

Congratulations to our division 1 Gold and division 2 Silver teams who both made the semi-final. Not a bad effort for our first year in the competition!

Division 1 finished the season as minor premiers and division 2 finished fourth. Unfortunately division 2 were beaten in the first semi after having a good lead, but were run down in the end.

Division 1 lost both their semi-finals despite showing plenty of effort in both games.

I would like to thank all the coaching staff and managers for their effort that has been put into what I would call a very successful year.

From what we have learned, this season will contribute towards a bigger and better season 2018, with the possibility of having four teams, two u18s and two u20s teams.

CAMERA CLUB

Congratulations this month to Camera Club Member Elizabeth Howell who has just won first place for Threatened Species category for Australian Geographic Magazine ‘Nature Photographer of the year’. The photo depicts a flying fox coming into land over water. The photograph shows such clarity and colour while the subject is rather unusual. If you or someone you know would like to learn about photography, club members like ‘Betty’ are there to mentor you. We have experts in Monochrome, animals and portraits etc. If you join it’s just $25 for the year. Of course you can always come along as a visitor to our presentations and competition nights to get a feel for the club.

CHESS CLUB

The interclub Grade Matches finished in July, with Ryde-Eastwood teams winning all three divisions (U2100, U1700, U1500) – a clean sweep! Individual board prizes (for scoring over 70%) were won by Arthur Huynh, Christopher Ball, Trent Parker, Joshua Christensen, Shane Dibley, Suranga Seneviratne, Mohan Pagadala, Peter Zekic, David Zanon and Xerix Mohseni. The club Blitz championship was held in mid-August and was won by Arthur Huynh with Donato Mallari second, and Suranga Seneviratne and Rob Watson equal third. Ian Rogers, Australia’s first and strongest (so far) grandmaster gave a lecture about recent elite grandmaster games at the club on 30 August. The Bobby Fischer Cup rapid play event started on 20 September, and the annual Ryde-Eastwood Open was hosted at the club over the October long weekend. The club championship finals and the club’s “Classic” tournament started on 18 October. As always, new players of any standard are welcome on Wednesdays at 7:30pm. EUCHRE CLUB

If you have played Euchre in the past why not come along and join our friendly club on a Wednesday night at 7.20pm in the Willandra Room? In July we held a mid-year dinner in the Golden Hawk Restaurant which was well attended and enjoyed by all. It is with sadness that one of our long time players, Olive Gant, recently passed away. THE FISHING CLUB

The Fishing Club is pleased to announce that our new Patron is Mr Graham Aggett, the son of our original Patron Mr Keith Aggett. Graham is a keen fisherman and has his own boat. From us all at the Fishing Club, we wish Graham a Big Welcome. The A.G.M. results of the 20th July 2017 meeting saw the return of existing officers, President Trevor Fahey, Vice Pres. Ashley Van Amstel ,Treasurer Brian Boggs, Secretary Michael Cheng, Fishing trip organizer Sam Sundar, Vice

trip organizer Michael Cheng, plus new position, Assistant Secretary to John Van Yzendoorn. Our 20th July outing saw us taking the long trip to long reef, as the weather was good. The results were good for some like Garry Lee with 8.5kg and Sam Sundar with 7.5kg of fish, and the other seven members had very little with no fish over 1kg caught. 3rd September 2017 was the most memorable and exciting trip ever as we had three young Whales playing around our boat for a good half an hour. Michael Cheng and I had our lines caught by the Whale resulting in losing our gear. Gary Lamb was the winner on the day with 7.3kg of fish with the 1.95kg Kingfish being the biggest on the day. A total of 98 fish for nine members attending were caught. The Fishing Club organises monthly deep-sea charter boats fishing trips on the first Sunday of most months. GOLF CLUB

The final round of the Stableford trophy was at Penrith, with congratulations to Tony Tedesco, and we had a 4-way play off for runner-up, which will be in November – good luck to everyone. The winner on the day was Dave Whybro with Slava Sokolov runner-up. Windsor hosted the Pairs Championships with Tony T. and Frank V. taking out the honours, and five strokes behind were Steve Mac and Colin Cope. Fox Hills hosted the Matchplay final, with congratulations to Dave Whybro who beat Ulla Wood. The event of the day was won by Fernando Martin, with Sharon Norton runner-up. Bayview was a new course this year with a few people getting lost on the way but still in time to enjoy it, with congratulations to Robert Wood who won the Medal of Medals and event of the day and a family affair for the Woodies, with Ulla runner-up on a count back. INDOOR BOWLS

The members of the REL Indoor Bowls Club selected to play in the NSW team enjoyed the opportunity to compete in the Australian Championships held in Devonport in August. Some of our members continue to participate in monthly pennant competitions. Our club has welcomed new members during the year and we hope others will join us in 2018. We thank our Patron Mr Jack King, the Board of Directors and Sidney and his staff for their continued support. Our functions have been very well attended and we look forward to more celebrations at Christmas. To those members who are unwell we hope to see you playing again soon. The Committee extends Best Wishes to all for Christmas and the New Year. We play twice a week: ladies play Wednesday 10.30am – 2 pm and mixed play Thursday 7.15 pm – 10 pm. SENIORS CLUB

Sadly the Seniors has lost two of our wonderful members – Beverly Bidner and Marie Grubb –we will miss them both and our thoughts go

out to their families. Our Club Diary is now out and activities are booked until February 2018. We have had a trip to the Mt. Kembla Mining Centre where we were told of the horrific disaster in which 96 men and boys lost their lives. We have our Christmas lunch to look forward to in the Club’s function rooms where Sidney always obliges with a lovely three course meal. We have walks on the first Monday of each month, bus trips including Church Point Ferry with lunch at Pittwater RSL, a Blue Mountains guided tour in January and in February a Bass and Flinders River Cruise with lunch on board. Other activities are scheduled for the coming months. A game of Solo (cards) is played every Thursday at 1.30pm. Please phone Pam on 8065 2391 if you wish to join the players. Our annual fee is only $5 and we have two meetings a month, on the first and third Thursday in the function rooms at the Club. TRAVEL CLUB

During July we enjoyed a touch of ‘Christmas in July’. Nothing can replace a good Christmas dinner, entertainment and a warm room. What a great Day! Following this event we had a perfect day for a sail to Watson’s Bay with lunch at Doyle’s. The seafood chowder was superb followed by a great feed of fish and chips washed down with a glass of wine. Then a relaxing sail back to the city. For September we had planned a trip to the Southern Highlands, but unfortunately the cold weather cooled enthusiasm for the trip. We enjoyed October and the “Grand Pacific Tour” to the south coast. In November, it’s the “Great Race” month – The Cup. Get your money ready for a bet, after a good lunch. Prospects for a bet are good, it’s just the horse! TRAVELLING BOWLS CLUB

Our latest trip for the Travelling Bowlers in September took us to Towradgi Bowling Club. We always enjoy our time spent there and this was a great substitute as our Avoca Beach visit was cancelled. Our next trip is on 12 November to Dapto Citizens Bowling Club where we always have a great day and thoroughly enjoy ourselves. We will be having our Christmas lunch on Friday 8 December upstairs in the Golden Hawk Restaurant starting from 12 pm. Dear Members,

I am pleased to announce a net profit of $22,606,983. This year’s net profit is bolstered by the net proceeds of the sale of the “Hawks” site and three adjacent properties. The underlying trading profit of $6,034,446 is slightly ahead of the previous year and is a great result for the club considering the uncertainties in our industry and society as a whole.

From the Board we give our thanks to our General Manager Chris McCarthy and Assistant General Manager Carl Pozzato, the Management team, enthusiastic Staff and all our Ryde-Eastwood Family. We are presently in a healthy financial position with the sale of the “Hawks” site, the details of which are shown in this year’s accounts.

The feedback from our recent refurbishment of the Foyer, Bistro, Coffee Shop and Auditorium has been very good, especially the Foyer, with members and visitors commenting on the bright and welcoming atmosphere when entering the club. By the time members read this report, the refurbishment of the main lounge and bar should also be complete.

We have exciting plans for the future of the club and wait on our friends in Council in working with us in the re-development of land holdings close to the Club.

GENERAL MANAGER’S REPORT

Dear Members,

In recent years I have reported record profits and I am pleased to say that the trend has continued this year. It is unlikely that this year’s result will be bettered in future years as there are some special events that have contributed to the profit of $22.6m. These events were, the receipt of net proceeds of the sale of the Hawk’s site, which was finalised in July 2016 and the net proceeds of the sale of three properties adjoining that site, which were sold later in 2016. However, it is pleasing to note that the underlying trading profit was in line with the previous year’s figure.

This bumper profit, coupled with exceptionally strong cash assets will have members asking what the club intends to do with the funds. In previous reports we have mentioned proposed redevelopment to both the club site and land holdings close to the club. In essence, the funds have been earmarked for development of our property assets to create new revenue streams.

The club has been working with Ryde Council for over three and a half years to purchase a section of the lane behind the club. The City of Ryde has given approval for the sale, but there are other issues that we have to work through before the purchase can be finalised. The laneway acquisition will allow the club to continue planning for the integration of our properties and the club.

In addition to this the club is also working with Ryde Council to lodge a planning proposal for other land holdings close to the club. The planning proposal, if approved, would allow the club to prepare and lodge a development application for a seniors housing project. This project has also been sometime in the planning stages and commenced with a feasibility study to determine the best long term use of this major land holding without “selling the farm”. This was followed by additional consultancy work to present to Council. Members will be appraised with further detail after we have had the initial meeting with Council to discuss the planning proposal application, and have further certainty that the proposed option will indeed proceed to the next stage.

While the planning projects are looking at the long-term future of the club we still have to ensure that the club is maintained and improved and continues to meet the needs of our members and community. In the past 12 months we have refurbished the bistro area, the main foyer and entry, and the passageway through to the bistro. In addition The Coffee Club licensee has refurbished The Coffee Club premises. Refurbishment of the main lounge and bar commenced in late September and should be complete by the time members read this article. New furniture should also be in place when work is complete or soon after. Work will also be undertaken on the awning above the main entry to enhance the entrance of the club and at the same time some defective tiling

In the meantime we will continue the refurbishment of your club to further enhance your experience in having an exciting, entertaining and informative time when you visit.

Due to the uncertainty of the power supply the Board has decided to install a large generator. Even though this is a very expensive item we feel that we do not wish to further disrupt our members, as happened in recent blackouts at the Club. This is expected to be installed in late 2017 or early 2018. For the sake of the community we hope the generator will be a $700,000 ‘white elephant’, meaning there will be no disruption to us or our neighbours. But if not, then we will assist our community in any way possible.

Board member Malcolm Chapple has recently been appointed Vice President of the North Western Zone of Clubs NSW, congratulations Mal. This, together with my Directorship in Leagues Club Australia, will give the Board up to date information on our industry from the two leading Club Associations, which will assist the Board in making informed decisions for the benefit of your Club.

So again, thanks to all concerned for their efforts and contribution and also to our members for their continued support, and we are all looking forward to another exciting year. See you in the Club.

on the disabled entrance ramp is to be replaced. We are also designing memorabilia areas for both the licensed Club and the Football Club. These will be located adjacent to the stairs leading up to the auditorium and will provide a link to the formative years of both clubs.

As noted in the President’s report above the club has also approved the purchase of a generator to ensure the continuity of supply of electricity so that members can enjoy their club without fear of failure of either the supply on the club premises or the electricity grid. Installation is scheduled for late 2017, early 2018.

We could not continue to provide the level of service and facilities that we do, without the assistance of a strong Board which we have, a strong management team and excellent line staff. My personal thanks to President Jim McClymont and the Board, as well as Carl Pozzato, our Assistant General Manager, and the rest of the team for the excellent job they have done in looking after the interests of your club and you, the member. In doing this I reflect on the sad loss of Keith Aggett, our long term President and Foundation Board member. His legacy of a life time of service to the club is what you enjoy today. It is also sad to reflect on the loss of a long serving manager and colleague, Martin Westbrook, who passed away earlier this year after a long battle with illness. His stoic battle left an indelible mark on all his work colleagues.

What does the future hold? This is something that I have tried to consider at this time each year not only for our club but for the industry.

For our club, I hope for continued success both as a recreation facility for you the member and your families, and also to enable us to continue to support our local community. I also hope that the planning projects mentioned above bear fruit so that the task of detailed planning for the future can be undertaken in an environment of certainty.

For our industry, like a lot of industries I guess, our future is in the hands of the politicians. Currently the industry has strong support at both State and Federal level, as they recognise the great contribution of clubs to their local community. We hope that this support continues but also recognise that political lobby groups and the polls can easily turn the tide and put the industry back in defence mode rather than concentrating on running clubs for the continued benefit of members and the community.

NOTICE OF ORDINARY RESOLUTIONS

Notice is hereby given that at the Annual General Meeting of the Club, members will be asked to consider and, if thought fit, pass the following resolutions which are proposed as Ordinary Resolutions:

1. FIRST ORDINARY RESOLUTION

(a) That pursuant to the Registered Clubs Act the members hereby approve and agree to expenditure by the Club in a sum not exceeding $70,000 until the next Annual General Meeting of the Club for the following activities:

(i) An annual dinner for Foundation Members and partners; and other special invitees as approved by the board;

(ii) An annual Appreciation dinner for Sub-Club Executive Committee Members;

(iii) Grants and subsidies to the sub-clubs;

(iv) Two free meals and beverages per fortnight for each Life Member of the Club who is not a director of the Ryde-Eastwood Leagues Club Limited (not to exceed $120 for each meal);

(v) Presentations to members and other persons acknowledging services deemed by the directors as being of benefit to the Club.

The members acknowledge that the benefits in paragraph (a) above are not available to members generally but only those members who fall within the various categories of membership referred to.

2. SECOND ORDINARY RESOLUTION

(a) That pursuant to the Registered Clubs Act the members hereby approve and agree to expenditure by the Club in a sum not exceeding $130,000 for the following benefits, professional development and education of directors until the next Annual General Meeting and being:

(i) The reasonable cost of directors attending the ClubsNSW and Leagues Clubs Australia quarterly and annual general meetings and the reasonable costs of directors attending formal functions to represent the club, including but not limited to functions and dinners conducted by ClubsNSW, and Leagues Clubs Australia, and including costs associated with the directors’ partners where attendance is expected and required.

(ii) The reasonable cost of directors attending seminars, lectures, trade displays and other similar events as may be determined by the Board from time to time as being of benefit for Club and the education of directors;

(iii) The reasonable cost of directors attending or hosting other registered

clubs for the purpose of viewing and assessing their facilities and methods of operation, or for the purpose of meeting and exchanging ideas with the governing bodies of those other clubs, provided such attendances are approved by the Board as being necessary for the betterment of the Club;

(iv) Nine car parking spaces for the exclusive use of directors;

(v) Duty directors, while on duty, shall be entitled to the use of a table in the Club auditorium without charge;

(vi) Blazers and associated apparel for each director as may be necessary for new directors, and to replace those of existing directors which may need replacing;

(vii) The reasonable cost of a meal and beverage for each director immediately after a Board or Committee meeting on the day of that meeting where that meeting coincides with a normal meal time;

(viii) The reasonable cost of meal and beverage for each duty director and his or her partner when the duty director is on duty in the Club or within a reasonable period of that date;

(ix) The reasonable cost of directors attending the Club’s holiday units to inspect them or to assess other holiday units for purchase by the Club, provided such attendances and cost thereof are approved by the Board.

(x) The reasonable cost of directors, senior management and their partners attending an annual dinner; including a token of appreciation for partners. The total value of tokens of appreciation not to exceed $1,200.

(xi) The reasonable cost of directors of the Club attending an organised intrastate, interstate or overseas tour as determined by the Board of the Club for the purpose of viewing and assessing the facilities of casinos, hotels and entertainment venues and determining trends in relation to entertainment, decor, gaming, marketing and promotion, and thereafter for such director to make a detailed written report thereon to the Board of the Club;

(xii) The reasonable expense incurred by directors in relation to such other duties including entertainment of special guests to the Club and other promotional activities performed by directors whose activities and the expense there from are approved by the Board, on production of receipts, invoices or other proper documentary evidence of such expenditure;

(xiii) That the members approve that directors and other members be entitled to represent the Club at sponsored sports events by invitation.

(xiv) The reasonable cost of providing directors with computer hardware as well as internet access to access a secure website for Board meeting minutes and agenda items.

(b) The members acknowledge that the benefits in paragraph (a) above, are not available to members generally, but only to those who are directors of the Club and partners of directors who are members, and senior management and their partners who are members.

NOTES TO MEMBERS

These notes are to be read in conjunction with the proposed Ordinary Resolutions; 1. The First Resolution is to approve benefits which have traditionally been provided in the Club but which are not equally available to all members.

2. The Second Resolution is to approve an amount no greater than $130,000 for the expenditure by the Club in relation to duties performed in or about the Club by directors and expenditure for directors to attend seminars, lectures, trade displays and other similar events including the Clubs NSW Annual General Meeting and to visit other clubs to enable the Club’s governing body to be kept abreast of current trends and developments, which may have a significant bearing on the nature and way in which the Club conducts its business. This resolution also includes an option for directors to participate in organised intrastate, interstate or overseas trips to view and assess facilities. This option has been included in our Annual General Meeting Agenda for the last nineteen years and has been used only twice. However, prior approval is required by members to ensure the Club complies with relevant legislation. Part (i) of the resolution to include reasonable expenses of partners of directors is to allow the availability of directors to attend meetings that are expected or required for their development and knowledge, and are often held in distant locations.

To be passed, each ordinary resolution must receive votes in its favour from not less than a simple majority of those members who being entitled to do so, vote in person at the meeting.

3. The Third Resolution lists a property that was purchased in the local area in the past year. Section 41J of the Registered Clubs Act 1976 (NSW) restricts the sale of any property declared as core property by members. All the Club’s local investment properties apart from the property listed in the Third Ordinary Resolution have already been approved as non-core by members in the past. The Third Ordinary Resolution is to declare that property as a non-core asset. There is no proposal to dispose of the listed property. The Resolution is to provide flexibility for the Board of Directors, present or future, to properly manage these non-core assets without the need to wait for an AGM of members or convene a costly Extraordinary General Meeting.

The Board of Directors recommend in favour of the Ordinary Resolution.

NOTICE OF SPECIAL RESOLUTIONS

FIRST SPECIAL RESOLUTION

“That the Constitution of Ryde-Eastwood Leagues Club Limited be amended by:

• Deleting rule 48 and inserting instead the following new rule 48: “48 The business and affairs of the Club and the custody and control of its funds and property is to be managed by a Board of nine (9) Directors consisting of a President, Vice President and seven (7) Ordinary Board Members.”

• Deleting rule 58(c) and inserting instead the following new rule 58(c): “(c) The quorum for meetings of the Board shall be five (5) members personally present.”

Explanatory message regarding the First Special Resolution

Proposed new rule 48

1. Existing rule 48 deals with the composition and size of the Board up to the

conclusion of the 2014 Annual General Meeting when the Board had 10 directors, and with the composition and size of the Board after the conclusion the 2014 Annual General Meeting. Since the 2014 Annual General Meeting, the Board has consisted of 9 Directors. Therefore, rule 48 no longer needs a transitionary provision dealing with the composition and size of the Board pre and post conclusion of the 2014 Annual General Meeting.

2. The proposed new rule will simply state the current size and composition of the Board, being a total of nine (9) Directors made up of the President, Vice President and seven (7) Ordinary Board Members.

Proposed new rule 58(c)

3. Existing rule 58(c) deals with a quorum for Board meetings up to the conclusion of the 2014 Annual General Meeting and a quorum for Board meetings after the conclusion of the 2014 Annual General Meeting.

4. As the Board now consists of nine (9) Directors, the quorum of five (5) Directors personally present at a meeting will apply to Board meetings. There is no longer a need for a transitionary provision in rule 58(c) to account for the size of the Board pre and post the conclusion of the 2014 Annual General Meeting.

SECOND SPECIAL RESOLUTION

“That the Constitution of Ryde-Eastwood Leagues Club Limited be amended by:

• Adding new rule 49(f) as follows:

“(f) A member is ineligible to be nominated for election or appointment to the Board if that member:

(i) has been cited to appear before the Board or the Board’s duly constituted disciplinary committee on any charge and has been found guilty of that charge within the period of 5 years immediately prior to the date determined for the next Annual General Meeting; or

(ii) has at any time been convicted of an indictable offence on indictment; or

(iii) is a former employee of the Club whose employment was terminated by the Club for misconduct.”

• Deleting rule 52(a) and inserting instead the following new rule 52(a):

“(a) Nominations for election of the Directors (and nominations for appointment of a Director to fill a casual vacancy) shall be:

(i) made in writing in a form approved by the Board from time to time and signed by two members of the Club and by the nominee who shall also signify his or her consent to the nomination; and

(ii) supported by a statutory declaration in a form approved by the Board from time to time and duly declared by the nominee to the effect that the nominee satisfies the eligibility requirements prescribed by this Constitution and at law to hold office as a Director of the Club at the time the nomination form is signed.”

• Amending rule 69 as follows:

> Deleting the word “or” at the end of rule 69(j);

> Replacing the full stop at the end of rule 69(k) with a semi-colon and add the word “or” after the semi-colon; and

> Adding new rule 69(l) as follows:

“(l) If he or she is convicted of an indictable offence on indictment, so that rule 69 will read as follows:

“69 The office of a member of the Board shall automatically be vacated:

a. If he or she dies;

b. If he or she becomes insolvent under administration, becomes disqualified from managing any company under Part 2D.6 of the Act and is not given permission to manage the Club under sections 206F or 206G of the Act;

c. If he or she becomes of unsound mind or a person whose person or estate is liable to be dealt with in any way under the law relating to mental health;

d. If he or she is absent from meetings of the Board for a continuous period of three calendar months without leave of absence from the Board and the Board resolves that his or her office be vacated;

e. If by notice in writing given to the Secretary, he or she resigns from office as a director;

f. If he or she becomes prohibited from being a member of the Board by reason of any order made under the Act or the Registered Clubs Act;

g. If he or she ceases to be a member of the Club;

h. If he or she fails to declare the nature of his or her interest in a contract or office or property in accordance with this Constitution;

i. If he or she becomes an employee of the Club;

j. If he or she fails to complete any training for a registered club director that the person is required to complete, within the prescribed period, pursuant to the Registered Clubs Act and Registered Clubs Regulation 2015 (NSW) (provided that this Rule 69(j) shall not apply to any director who is exempt from completing such training under the Registered Clubs Act and Registered Clubs Regulation 2015 (NSW));

k. If he or she ceases to hold a qualification by which that person was appointed to or elected to office; or

l. If he or she is convicted of an indictable offence or indictment.”

Explanatory notes regarding the Second Special Resolution

Proposed new rule 49(f)

1. Rule 49 set outs eligibility for holding office on the Board.

2. New rule 49(f) will disqualify a member being nominated for election or appointment to the Board if he or she is subject to any of the matters listed in the proposed new rule. These are:

(a) being found guilty by the Board of a disciplinary charge in the five (5) years before the next Annual General Meeting;

(b) any conviction for a serious criminal offence; and

(c) being a former employee of the Club whose employment was terminated for misconduct.

Proposed new rule 52(a)

1. Proposed new rule 52(a) will require all nominees for election or appointment as a director to sign a statutory declaration confirming they satisfy the eligibility requirements to hold office as a director under the Club’s Constitution and at law. The statutory declaration is in addition to the nomination form presently required under existing rule 52(a).

2. Proposed new rule 52(a) is considered appropriate given the current practice of requiring nominees to sign a statutory declaration regarding eligibility requirements being satisfied and given proposed new rule 49(f) would disqualify anyone holding office if he or she is subject to any of the matters listed in that new rule.

Proposed new rule 69(l)

3. Rule 69 sets out grounds on which a director will lose office.

4. New rule 69(l) will cause a director to lose office if he or she is convicted of a criminal offence.

THIRD SPECIAL RESOLUTION

“That the Constitution of Ryde-Eastwood Leagues Club Ltd be amended by:

• Deleting rule 72(a) and inserting instead the following new rule 72(a):

“72. (a) The Board may whenever it considers fit call and arrange a General Meeting of the Club. A General Meeting convened by the Board may be postponed or cancelled at any time before the day of the meeting by the Board as it may determine.”

• Deleting rules 93 and 94 and inserting instead the following new rules 93 and 94:

“93. A notice may be given by the Club to any member either:

(a) personally; or

(b) by sending the notice by pre-paid post to the address of the member recorded for that member in the Register of Members kept pursuant to this Constitution; or

(c) by sending the notice to the facsimile number or electronic address (if any) nominated by the member; or

(d) by sending the notice to the member by other electronic means (if any) nominated by the member; or

(e) by notifying the member that the notice is available and how it may be accessed, if the member nominates electronic means by which the member may be notified that the notice is available and an electronic means by which the member may access the notices.

94. (a) Where the Club gives a notice personally, the notice is taken to have been given to the member on the day of receipt by that member.

(b) Where the Club sends a notice by post (including a notice of meeting), the notice is taken to have been given to the member, on the day following that on which the notice was posted.

(c) Where the Club sends a notice by facsimile or by other electronic means, the notice is taken to have been given to the member on the day following that on which the notice was sent.

(d) Where a notice is sent under Rule 93(e), the notice is taken to have been given on the day following that on which the member is notified that the notice is available.””

Explanatory message regarding the Third Special Resolution

Proposed new rule 72(a)

1. Proposed new rule 72(a) will allow the cancellation or postponement of a General Meeting. For example, if a General meeting is called to deal with a specific issue which is then resolved in the meantime, the Board may cancel the meeting to avoid inconvenience to members.

2. In addition, new rule 72(a) provides that the Board (rather than just the President alone) may call a General Meeting. The existing rule currently allows the Board or the President to call a General Meeting

whenever they think fit. It is unusual for a single director to be able to call a General Meeting and it is much more common for a Board to do so. This is because a matter to be considered in General Meeting will require a Board resolution (unless the meeting is called on the request of members or a resolution is put by members in accordance with other relevant provisions of the Constitution and the Corporations Act 2001 (Cth)).

Proposed new rules 93 and 94

3. Section 249J(2) of the Corporations Act 2001 (Corporations Act) allows companies to give notices of general meeting to their members in any one of the following ways:

(a) personally;

(b) by post;

(c) by fax or email;

(d) by other electronic means; or

(e) by notifying their members of how a notice can be accessed e.g. by accessing a website.

Electronic issue of or notification of where a notice of general meeting may be accessed is subject to individual members nominating their electronic address or preference to receive notice of where to access the notices (e.g. via a website).

4. Existing rules 93 and 94 of the Club’s Constitution presently only allow for notice to be given personally, by post, fax or email. Proposed new rules 93 and 94 will allow for notices of general meeting to be given by other electronic means, or will allow the Club to notify how to access a notice of general meeting for those members who choose to nominate those methods of receiving notices of general meeting or how they can be accessed.

5. Proposed new rules 93 and 94 are more in line with the provisions of section 249J(2) of the Corporations Act.

6. Membership application and renewal forms issued by the Club will give members the option of choosing to receive notices of general meeting by post or electronically, or by receiving notice of how to access notices of general meeting

GENERAL NOTES TO MEMBERS REGARDING THE SPECIAL RESOLUTIONS

1. A member may on request to the Club office obtain a copy of the Club’s Constitution which contains the existing provisions that are proposed to be amended by the above Special Resolution.

2. In accordance with rules 24(a), 24(b), 98(a) and 98(b) of the Club’s Constitution, only Life Members, financial Club Members and financial Foundation Members who:

(a) were Full Members of the Club as at 24 November 2011; or (b) became Full Members of the Club from 25 November 2011 and before the conclusion of the Club’s Annual General Meeting (held on 21 November 2013) and who have at least three (3) years standing as a Full Member, are eligible to vote on the Special Resolution.

Under rules 24(c) and 98(c), any Life Members and financial Club Members who became Full Members after the conclusion of the 2013 Annual General Meeting (held on 21 November 2013) are not able to vote on the Special Resolutions as they must have at least five (5) years standing as a Full Member before they can vote on any special resolution. There are no Foundation Members in this category as that class of membership has been closed to new membership for some time.

3. To be passed, the Special Resolutions must receive votes in their favour from not less than three-quarters of those members who being eligible to do so, vote in person at the meeting.

4. As a result of the Special Resolution provisions of the Corporations Act, the Special Resolutions must be considered as a whole and cannot be altered in substance by motions from the floor of the meeting.

5. Members who are employees of the Club are not entitled to vote.

6. Proxy voting is prohibited by the Registered Clubs Act.

7. The Board recommends that members vote in favour of the Special Resolutions.

Rugby League 2017

Congratulations to the Ryde-Eastwood Under 19 division 1 gold and division 2 silver teams, sponsored by the Ryde-Eastwood District Rugby League Football Club and Ryde-Eastwood Leagues Club. Both teams made it to the semi-finals in this year’s Sydney based competition. Not a bad effort for our first year in the competition!

Division 1 finished the season as minor premiers and division 2 finished fourth. Unfortunately division 2 were beaten in the first semi after having a good lead, but were run down in the end. Both teams held their prize-giving at Ryde-Eastwood Leagues in September, with the results above. Congratulations to the successful players! Ryde-Eastwood Leagues is also the proud sponsor of the Balmain Referees Association, and four local junior league clubs - Dundas Shamrocks, Holy Cross Rhinos, North Ryde Hawks, and Carlingford Cougars. We hope everyone had a great season - we’re already looking forward to 2018!

As an extremely proud sponsor of the ERNA HAWKS (Eastwood Ryde Netball Association), Ryde-Eastwood Leagues Club was thrilled that both the Open and U-20 teams qualified for the Preliminary Final. No child is drownproof but you can help them to be aware of the dangers, and be better prepared to enjoy the water by having them consistently take swimming lessons.

When you are around home pools, ensure the pool gate is closed at all times and free from anything that could be used to climb over the fence. When children are swimming always ensure you have a designated adult supervisor in attendance.
