Foreword

Stepping up to the sustainability challenge

This report is our first full-year sustainability report since we launched our 5-Year Sustainability Plan in 2021.

The industry landscape is continually shifting and much has changed since then. However, the consensus is that inaction is not an option. Recent United Nations forecasting paints an alarming picture, and greater urgency is required to remain below the 1.5ºC temperature increase limit established in the Paris accord.

In September 2021, we published the first of our sustainability reports. “The Future of the Oceans: Navigating towards a sustainable superyacht industry” laid down a gauntlet to address the challenge facing our industry and livelihoods. The report highlighted how the next 10 years will be critical but there are shoots of

positivity with innovative and smart solutions in development, with many easily attainable options that can make an impact today.

Another key area for attention is the availability of data, or lack thereof. As part of our sustainability plan, much effort has been placed into the monitoring and sharing of data. As Anchor Partners of the Water Revolution Foundation and Corporate Members of the SEA Index, we are helping to support the production of tools for owners and the industry as a whole to make informed decisions to future-proof their yacht and improve ocean health.

We are seeing evidence that the appetite is there from owners, and it is therefore our responsibility to provide the means to make this transition as easy and costeffective as possible.

A closer look at 2021

This last year saw a record level of production across both sites, with over 180 projects completed despite the challenges posed by the pandemic. This was achieved while reducing our carbon footprint related to operations and energy consumption by 92%, through the implementation of new technologies and the adoption of best practice procedures.

In La Ciotat, work progressed on our 4,300t shiplift project, the most sustainable project of its type in the world, with inbuilt features helping to improve biodiversity and preserve water quality in the area. In Barcelona, we completed our electrification project supplying 100% green energy to our facilities and clients, representing a significant contribution to our carbon footprint reduction. Offering all yachts the possibility to plug into shore power eliminates

the need to run on generators and dramatically reduces emissions.

We also installed photovoltaic panels with a capacity of 124 kWp in our Barcelona facilities to contribute to our energy demands.

We continue to engage with our contractor network on everything, from shipyard policies to supply chain, to foster a culture of environmental responsibility and encourage projects that seek to provide innovative solutions to sustainability issues. We are also liaising with local and industry institutions to collaborate on policy, regulations, blue economy initiatives, as well as education and awareness campaigns.

Looking forward

We are satisfied with the progress made in 2021 and look forward to seeing how we go further in 2022. The new 4,300t shiplift will be a welcome addition to our facilities in Autumn 2022. Hauling yachts out of the water allows much greater control over all environmental factors. Everything from GHG emissions, run off, to spills and waste management can all be contained and processed correctly.

Our new Fittings Cente in Barcelona, a dedicated paint and storage facility for fittings, will be a game-changer for production and sustainability. Equipped with the latest technology including scrubbers and environmental controls, the centre will improve efficiency and reduce emissions.

Finally, another year forward and we will have more data available, enabling us to assess our progress, make any

necessary amendments, and share our results with our stakeholders.

As a leading voice in our industry, we will use our position to support our clients, contractor network and communities to move towards a sustainable future.

Introducing our 5-Year Sustainability Plan

We have always maintained a policy of best practice in our operations. In 2020 we decided to go further by making sustainability one of our key strategic pillars and embarked upon a new journey – one that will lead us to ultimately becoming a truly sustainable group of shipyards.

Developed following an extensive situational analysis and in line with the UN’s 2030 Agenda for Sustainable Development, our Sustainability Plan focuses on 6 key areas for 2021-2025:

Reducing the shipyards’ carbon footprint

Reducing combustible gas emissions

Minimising non-recoverable waste

Improving port and sea water quality

Reducing VOC emissions

Improving social responsibility

The plan follows a cyclical method of understanding through monitoring, external audits and consultation; assessment of the best solutions; and implementation including the setting of a measuring method to gauge success.

The numbers don’t lie

One of the key challenges for us to overcome is the lack of available usable data. As such, we have dedicated a large proportion of effort to implement monitoring and data collection methods to give us an accurate situation analysis as well as to gauge the success of initiatives.

We have worked together with external advisors such as Albert Willemsen, a prominent and experienced profile in this sector, as well as organisations such as the Water Revolution Foundation to support us in this area.

Sustainability as a decision maker

Setting the tone

We are accountable for our own actions as a business, but we also form part of a wider community and consider how the different roles we play - such as service provider, customer, employer, advocate, and investor - influence those around us.

We are one of the leading names in our sector. As such, we will use our position to communicate and engage with our stakeholders to continue to raise awareness on sustainable issues and drive progress in the industry.

Transparency

The success of the plan relies upon it becoming embedded into every part of the business and culture of the organisation. By making it a key strategic pillar and part of our brand identity, it informs every decision we make as a company from corporate decisions to individual day to day choices.

An important part of our plan is oversight and reporting of progress. As such, we publish a yearly sustainability report outlining our actions and deliverables. The oversight committee includes external sustainability auditors and will be EMAS Certified (European Union’s (EU) Eco-management and Audit Scheme).

Materiality

As defined by GRI* Standards and using the assessment criteria from our Non-Financial State Report (EINF) as a basis, legally required for the first time in Spain in 2021, we have developed the materiality to prioritise material topics by significance.

Between one third and up to 60% of all cardplast installed was recovered depending upon the project. That could translate into reusing an average of 1,433 kg of cardplast per project. The equivalent surface area to cover 6 basketball courts per project.

Context

We have monitored, measured and modified all activities carried out across both shipyards to ensure a continuous reduction that includes the implementation of electric power alarms, consumption monitoring and automation systems, all seeking to maximise efficiency.

In accordance with the continuous investment policy in our facilities, we have been able to focus efforts on innovative solutions to reduce our carbon footprint effectively. All yachts are provided with shore power connection to the electric grid, supplied by 100% renewable sources, thus eliminating the need to use their own generators. In addition, diesel heaters have been replaced and photovoltaic panels have now been installed in both shipyards.

The installation of photovoltaic panels means energy produced can contribute directly to both shipyards. In addition, energy saving devices have been installed, such as LED lights in the offices and in a repair shed in La Ciotat, as well as light sensors/timers in the toilets and corridors. With the aim to reduce heat loss in paint works, the first few metres of the pipes used to blow hot air during the painting process have been replaced with insulated pipes.

Context

One of our key objectives, developed to fight against pollution, focuses on the minimisation of combustible gas emissions and Volatile Organic Compounds (VOCs) produced in the facilities.

In line with the standards on VOC emissions, activities related to surface treatment-filling, priming and painting are the ones that use the largest quantity of solvents.

VOCs are volatile at room temperature and are emitted as soon as a paint or solvent canister is opened. Solvents are used to dilute paint and facilitate the application of paint or coatings. Once the primer or paint has been applied, the solvents evaporate into the air while the paint is drying. By use of a tent with a mechanical exhaust ventilation, the exhaust discharge is then channelled through filters to trap pollutants. In the case of large painting works,

gas washing equipment (also called “scrubbers”) is used complying with MB92 emissions limits. Extraction boxes with a carbon activated filtration stage are used for small painting works.

Our investigation into technical solutions to further reduce VOCs continues, either through methods that improve transfer efficiency (percentage of the product coated on the surface), such as electrostatic automation, or through new technologies for waste treatment.

Our commitment

We believe in the reduction, re-use and recycling of materials wherever possible, as well as the responsible management of all non-recyclable waste generated at our facilities.

Context

Our waste management policy aims to guarantee the correct disposal of both recyclable and non-recyclable material. We are continually exploring new ways to minimise the waste generated in our facilities, to enhance efficiency and ensure the use of alternative materials that do not become waste material.

The implementation of waste control systems has contributed to the efficient use of materials. We have also managed to identify and adopt reusable and biodegradable materials for yacht protection and shoe covers, and to digitalise all administrative materials.

Recovery is critical to good waste management. Across the MB92 Group, 29.4% of hazardous waste and 70.1% of non-hazardous waste was recovered in 2021.

Through communication campaigns, the waste management policy is reinforced with all shipyard users and aims to foster a culture of responsibility throughout both facilities.

Smoking areas. Since November 2019, clients and employees can smoke only in areas specially prepared and designed for this purpose. In this way, all waste is properly managed.

The importance of waste separation best practice is raised during the safety and environmental briefing given to crew that arrive at the facilities.

Extensive communications campaign highlighting the significance of waste separation through posters, brochures and certain legally binding documents (contracts, PO, prevention plan, etc.).

Collaboration with suppliers and service providers to research more sustainable materials and products with the aim of substituting the ones used now.

Definition and implementation of a new disposal method for plastic protection by relevant suppliers, allowing material to be classified according to its physical state in order to recycle and reuse as much as possible. Context

We have undertaken a series of initiatives aimed at ensuring a more intelligent use of water and improving water quality. To monitor progress, work standards are constantly assessed in order to enhance efficiency and minimise impact on the water that surrounds the facilities.

Through the implementation of internal policy and control, excessive water consumption and local impact are mitigated. MB92 Group was the first to introduce a policy of “no complete paint works afloat”, ensuring greater environmental control and minimising the risk of pollutants entering the water in each port.

Also, more efficient nozzles are used to clean the submerged part of the ship and sea water or short-circuits in the ship refrigeration systems are used to properly maintain and clean yacht facilities. At MB92 La Ciotat, water metre readings are carried out weekly in order to adequately measure each project’s water consumption.

Future actions

Design and implementation of a natural water filtration system using bivalves (mussels). The mussels naturally capture excess nutrients, heavy metal and similar elements, thus improving water quality.

A roadmap has been designed for the circularity of the remaining waste, given the mortality of bivalves.

Design and launch of a device attached to the dock that will allow the cleaning of the waters within the concession. This innovative device will have similar features to the Seabin and skimmer.

Installation of bio-huts, equipment to protect and improve marine biodiversity in ports.

Supporting local non-profit organisation

Submon to mitigate activity impact, our participation translated to the recovery of 5 hectares of underwater forest with capacity to retain 22 tonnes of CO2 per year, and the prevention of 2,500 tonnes of CO2 emissions from entering the atmosphere.

Create a culture of awareness and promote behavioural changes to improve sustainability. Over the past year, we collaborated on a series of projects dedicated to the environment in the neighbourhood of La Barceloneta.

Blue Economy

We participate in a series of activities to help boost the economic sectors of the Blue Economy in Barcelona, to develop the city into a benchmark in the European Mediterranean, based on a sustainable vision. These activities include:

• The Xarxa Marítima de Catalunya project

Consisting of 64 Research Groups which will conduct their activities in all the sectors of the Blue Economy.

• The Blue Economy Innovation Hub

The epicentre of Entrepreneurial and Technological Innovation in the sectors making up the Blue Economy in Barcelona. Founded by MB92 Barcelona, the Hub‘s objective is to increase the competitiveness of the Blue Economy in Barcelona, the transfer of technology and knowledge, and, finally, to enhance the participation between participants.

La Ciotat

UN Global

We are a signatory of the UN Global compact for sustainable development. In addition, we are an active collaborator in several regional marine associations, such as: WeOcean Dynamic La Ciotat association whose goal is to build a network of initiatives that create synergies between the work of all actors involved in the protection of the Mediterranean Sea.

Aquapassion

Based in La Ciotat, Aquapassion fosters awareness of the marine environment, particularly among local school children, and campaigns against pollution.

Le Sauveteurs en mer Regular maintenance provided for their rescue vessel in our facilities to support their essential surveillance and sea rescue operations.

Sponsorship of a local rugby team and supply of sporting equipment.

Context

Our team is the most important asset and essential to the success of our company. Our goal is to maintain a working environment where the prevailing values are trust, comradeship, teamwork, and respect for individual dignity.

2021 saw us grow to over 300 full time staff, an increase of around 28.5% on the previous year.

We continued under the shadow of the COVID-19 pandemic with all our team either directly or indirectly affected. It remained important to ensure that the workplace was a safe environment, allowing confidence to carry out work. An on-site medical centre was introduced in 2020 as well as a strict set of safety measures which remained in force throughout the year, minimising the possibility of an outbreak inside our facilities. Furthermore, we offered means of support to those in our team who needed it. From flexible working options to a wellbeing program encouraging sharing of experiences as well as activities designed as an outlet channel.

We maintain corporate behaviour in accordance with the human and employment rights through the application of regulations and good practices to the employment, equal opportunity, and health and safety conditions. The same level of commitment is required from our suppliers.

Responsibility and accountability

Our fight against corruption and bribery

The Anti-Corruption Policy was approved in 2017 to describe standards and procedures related to the prevention of corruption and conflicts of interest which may arise in the marketing activities carried out by our team, or by any individuals related to the Company, either with other private individuals or public servants.

While not an obliged entity in the terms of Act 10/2010 of April 29, the anti-money laundering and terrorism financing act, we have been working on the implementation and description of due diligence measures related to money laundering.

Social contributions

In the fiscal year 2021 contributions were made totalling €120,418 to foundations, non-profit organisations, and charities.

Experience, professionalism and knowledge

Measures implemented to fight against money laundering.

As a result, we have produced The Golden Rules of Anti-Money Laundering and Terrorist Financing document. This sets out due diligence measures and procedures, regular, simplified or reinforced, depending on the client and the risk of infringing the anti-money laundering laws. This document was approved in October 2015 and updated in January 2017.

Based on existing environmental, HSE, quality, and energy management systems integrated in other parts of the industry, we will develop and implement a bespoke Sustainable Management System to oversee all work processes across the MB92 Group. All the countries where we conduct business operations, and refrain from cooperating with any individual or entity that infringes said rights and liberties.
