LETTER FROM THE PRESIDENT & CEO Celebrating Long Island Businesses and Embracing Opportunities

One of HIA-LI’s primary missions, as most of you know, is to advocate for the growth and sustainability of the Long Island Innovation Park at Hauppauge (LI-IHP), formerly the Hauppauge Industrial Park.

To help fulfill the vision set forth in the “Opportunity Analysis” cited above, the Town of Smithtown recently and laudably voted to create a “zoning overlay” district within the Park, allowing for multi-use development, including workforce housing. The Town acted in response to advocacy by HIA-LI and other business and civic interests.

With the Park in mind, I’m pleased to share this upbeat progress report.

Providing health and safety education for the Park’s workforce

Some context: The Park’s enormous economic potential The HIA-LI cooperated with the Suffolk County Industrial Development Agency, the Regional Plan Association, Stony Brook University, and the Town of Smithtown to produce a 160-page “Economic Impact Study and Opportunity Analysis” that reported on the Park’s remarkable magnitude and impact and set forth a vision for further growth. With 1,300 companies employing 55,000 people, LI-IPH is, amazingly, America’s second-largest industrial park. Delivering $4 billion in annual payroll and $14 billion in overall economic output, the Park accounts for one in twenty Long Island jobs. 58 percent of park tenants fall into the essential “tradeable” category: their exports and services bring new net dollars into the region. This figure contrasts with only 23 percent Island-wide and 36 percent nationally. LI-IPH’s wisest strategy is to help nurture and build out these competitive tradeable industries.

HIA-LI is advancing strategies for attracting the necessary facilities, amenities, talent pool, and knowledge base for further firm clustering – and we’re working to elevate the Park’s brand as Long Island’s premier hub for growing businesses.

As you may be aware, many production workers employed in the Park come from communities experiencing high rates of COVID-19. In many instances, workers would benefit by obtaining disease prevention information in their places of work. To make this happen, HIA-LI is coordinating with the Suffolk County Department of Labor to introduce workplace-based, COVID-focused health education programming. To learn more, contact: Angela.Ramos@ suffolkcountyny.gov We’re working to help create a workforce training center In conjunction with the Long Island Regional Planning Council and the Suffolk IDA, HIA-LI is pursuing creation of a regional workforce training center to help businesses at the LI-IPH and elsewhere fill skills gaps among their employees. While the center’s location and syllabus are yet to be determined, its establishment stands to help boost the profitability of LI-IPH firms. HIA-LI won an international marketing award A 30-second video promoting the LIIPH has won an internationally recognized Telly Award, which honors achievement in the non-broadcast video industry. In 1946, after World War II, five community leaders founded a guide dog school in metropolitan New York to provide guide dogs at no charge for blind or visually impaired students, including veterans who had returned from the battlefields of Europe and the Pacific. They located a respected dog trainer, and hired him to develop a method of guide dog training. That year they graduated their first two guide dog students. The original office was located in Forest Hills, Queens. In the late 1940s, the present Smithtown, N.Y., property was purchased and in 1949 the name was changed to Guide Dog Foundation for the Blind, Inc. In 2003, the Guide Dog Foundation recognized the need for an assistance dog program for veterans that would incorporate guide dogs, service dogs, and innovative training techniques. America’s VetDogs was created and incorporated to give veterans easy access to the best services possible to improve their lives.

ClearVision Optical Channels Annual Founder’s Day to Give Back Locally ClearVision Optical recently took part in the company’s annual Founder’s Day celebration honoring the life of Fred Friedfeld, channeling one of the values Fred so deeply believed in by organizing a collection of personal protective equipment (PPE) to be donated to ten local New York hospitals. This year, in light of the COVID-19 pandemic, one of ClearVision’s internal committees, CVO Cares, set out to give back to the local community in order to assist with the healthcare crisis in New York.

The committee collected more than 3,000 PPE items which have been generously donated to ten different hospitals as well as to LIVOAD (Long Island Voluntary Organizations Active in Disaster) who redistributed supplies to police agencies and emergency food workers. Notably, the group donated PPE to the Northport VA Medical Center Hospital, in honor of Fred, who served in the Navy before founding ClearVision in 1949. Additional recipients include the Long Island Community Hospital (formerly Brookhaven Memorial Hospital), Mather Hospital, Stony Brook University Hospital, Good Samaritan Hospital, Huntington Hospital, St. Catherine’s Hospital, St. Francis Hospital, Plainview Hospital, as well as Maimonides Medical Center in Brooklyn. “We can think of no better was to honor our father’s

legacy than to help the community he loved during this unprecedented pandemic,” commented David Friedfeld, President, and Peter Friedfeld, Executive Vice President, in a joint statement. “We also want to thank ClearVision’s talented and dedicated associates who have continued to provide high-quality service during these most difficult times.” Beyond PPE, the group also collected several boxes of individually packaged snacks and personal care items that were delivered to the medical staff at Stony Brook. Upon Fred’s passing in 2014, the Friedfeld family established a foundation in his memory at the SUNY School of Optometry in New York City to ensure a positive future for eyecare professionals. To date, the foundation has received over $60,000 in donations and awarded five scholarship recipients. Mark Kleinman, President and CEO of Walkers Shortbread, Inc., was watching News 12 Long Island back in April and saw a young mother being interviewed at a food bank. “I remember the woman saying that she’d never, ever been to a food bank in her life, and never thought she would” Kleinman recalled. “She added that both she and her husband lost their jobs, were out of money, but that there is no shame when it comes to feeding your kids.”

It was then that Kleinman grasped the true human toll of the COVID-19 pandemic on the Long Island community and knew he would have to become part of the solution. The next day he was on the phone with Randi Shubin Dresner, President and CEO of Island Harvest, asking how he could help. And soon thereafter, Walkers – located in the Long Island Innovation Park at Hauppauge – delivered more than $100,000 worth of baked goods to Island Harvest’s distribution center, also in the Innovation Park. “The economic upheaval caused by the pandemic has forced countless Long Islanders to seek emergency food assistance, many

Their volunteers and staff deliver millions of pounds of surplus food – much of which might otherwise go to waste – to a network of 570 Long Island-based food pantries, soup kitchens, and other non-profit organizations that offer feeding services for those in need. The Walkers Shortbread story goes back much further – to 1898 – when the twenty-oneyear-old Joseph Walker opened the doors of his own bakery in Scotland with a loan of just 50 British pounds, the equivalent of just $62 today. Now headquartered in the Innovation Park, Walkers prides itself on never straying from their original recipes that contain “clean” ingredients – water, flour, sugar, and salt.

keepingcurrent Is The COVID-19 Pandemic an Excuse To Break a Contract? By Jarrett M. Behar Jarrett M. As we are all aware, at the beginning of the COVID-19 pandemic in March, Governor Cuomo issued an Executive Order that directed all “non-essential” businesses statewide to terminate their in-office personnel functions. Since then, even while businesses reopen, there are drastic restrictions on their ability to operate. This unprecedented situation has created numerous legal questions, and many relate to contracts that were entered into pre-COVID and at a time where no one could have reasonably anticipated how COVID would fundamentally change the way that the entire world operates. While there are still no concrete answers to many of these questions given the relative newness of the pandemic, it is helpful to look at past circumstances to anticipate how these issues may play out in the business disputes that are sure to emerge from this situation. One such issue is the claim that a party’s performance under a contract should be excused because that performance has become functionally or legally “impossible.” About General Contract Law General contract law in New York (and most places) provides that even when unforeseen circumstances make performance burdensome, parties to a contract have an obligation to perform. Think of a contract as an arm’s length allocation of risks between parties. As a result, the defense that performance has become “impossible” has

been typically applied very narrowly by the courts. New York’s highest court, after all, has recognized that this is an extreme defense that should only be made available if the subject matter of the contract has been truly destroyed or performance has been made objectively impossible. In addition, the event that produced the impossibility must not have been something that could have been foreseen or guarded against in the contract. COVID-19 Contracts and The Foreseeable Future In a general sense, the COVID-19 pandemic was not foreseeable to parties that entered into contractual agreements through most of 2019. Can the same be said about contracts that were entered into after the first case of COVID-19 was reported in China around December 31, 2019 or after the first case was reported in the United States around January 21, 2020? These questions will undoubtedly have to be answered by the courts as businesses become unable to perform their contractual obligations as a result of the COVID-19 pandemic and the ensuing governmentally-ordered restrictions. One case resulting from a governmental act occurred in Orange County, New York. The purchaser in a real property sale contract attempted to rescind the contract after the relevant jurisdiction enacted a moratorium on subdivision approvals and then enacted a revised zoning code that prohibited the type of subdivision intended in the agreement. It was ultimately held that it was not unforeseeable that the town would change its zoning code in a manner rendering the planned subdivision impossible. The court said that this was especially true where sophisticated developers should either anticipate such a change or guard against it in the terms of the underlying contract. In a similar situation, a prospective purchaser attempted to use the impossibility of performance defense based on the loss of almost all his personal assets as a result of the

Bernie Madoff scandal. The court found that the default should not be excused, and that the seller was entitled to retain the purchaser’s down payment as liquidated damages for the breach. Does the Law Protect Actions That Render Performance Impossible? This is not to say that there is not law to support the use of the defense when an action truly renders performance impossible. In one case, a transportation company contracted with the City of New York to furnish, among other things, tugboat services for sanitation barges. When a port-wide strike occurred, there was no practical way for the company to provide the contracted for tugboat services to the City. As a result, the court found that the transportation company may not be liable to the City for its failure to provide the services as result of the impossibility of its performance. Another example is one that arose from the September 11th tragedy. A court held that the untimely cancellation of an African safari could be excused by the impossibility of performance defense. It based its holding on the claim that it would be impossible to communicate the cancellation from Staten Island in a timely fashion in the immediate aftermath of the terrorist attacks. Can COVID-19 Be Used as an Excuse? While it will certainly be a reasonable claim that the COVID-19 pandemic was not foreseeable, it seems clear that the financial consequences of the pandemic will not, standing alone, be enough to excuse performance under a contract. If the performance is truly and objectively rendered impossible by a business closure that could not operate as a result of the Governor’s various executive orders, then contractual performance may be excused, or, at the very least, the time to perform may be tolled until performance is no longer impossible.

But over the past few months, as PPP has run out and many business owners and CEOs are facing seemingly insurmountable challenges, these calls have overwhelmingly focused on one topic: business divorce. Due to the prolonged economic disruption of COVID-19, the reality is that many business partnerships will disband. Whether you’re buying out a partner, want to sell your interest, or close up shop and move on, the goal is to do so in a way that maximizes the value of the hard work you’ve put into the business. Since I’ve been spending my days navigating these issues with clients, I’m sharing some tips here to help you negotiate with your business partner to part ways as productively as possible – and move on to new opportunities. 1. Recognize that “it’s not personal, it’s strictly business” This tip from The Godfather is also known as “get your head in the right place.” When you’ve built a business with someone, separating the emotion from business decisions is extremely difficult, especially when it comes to splitting up. But it’s critical to try. The decision to

“break up” is likely one of the most important of your life, and you can’t make sound decisions if you view the economic realities as a personal affront. Talk through your feelings with someone you trust – scream if you have to – but take the emotions out of the decisionmaking process as best you can. 2. Use a trusted advisor as a sounding board. Of course, you’ll need legal counsel to draw up the documents memorializing the business divorce. But before you get there – and to help keep your emotions in check – bounce ideas off someone you trust. This can be a business advisor, such as a lawyer, accountant, financial advisor, or even a business mentor, or someone you can confide in with personal matters, such as a therapist, friend, or family member. As a business owner, you live and breathe your business – sometimes so deeply that seeing the big picture can be difficult. Using a trusted advisor can help keep you focused and consider scenarios you wouldn’t have otherwise thought about. 3. Empathize. Take the time to consider your business partner’s interests and positions. Being able to empathize with the other party’s perspective is critical to achieving a

4. Start at the end. What resolution do you envision? Rather than preparing a negotiation script in which you’re just reacting (i.e., “If she says this, I’ll respond with this”), picture your ideal scenario, and work backwards to see what it will take to get there. Do you want your business partner to sell you her shares? Consider what her take will be on how much blood, sweat, and tears she’s put in over the years (not how much you think she’s put in) and consider ways to respond to that. Perhaps you can provide value to her in ways other than an inflated buyout price – loan forgiveness, equipment, and so forth. By starting at your desired result and pressing rewind, you’ll make more progress than if you simply script out a response to your adversary’s anticipated comments. That strategy won’t get you anywhere. As a business lawyer and experienced negotiator who has spent my career helping business owners navigate these issues, I know firsthand that business divorces are high-stakes negotiations peppered with emotions and stress. But don’t let fear prevent you from pursuing what you want. The business environment we find ourselves in today is unprecedented, but may be just the opportunity you need to move forward.

Spoiler alert - The COVID-19 pandemic has literally affected the entire global economy. The payment processing is no exception and HUGE consequences have come from it. Besides the obvious damage like the reduction or elimination of processing volume and companies being forced to go out of business, there are other components that you may not have thought about. This article will focus on three major components that will affect merchants besides the lost revenue. Let me start by saying something that you may or may not be aware of. Part of the terms and conditions of every merchant processing agreement allows for the processing company to change almost anything within your account. Without any prior notice or consent, acquiring banks basically have carte blanche regarding pricing, funding, service, etc. This is one of the many reasons you really should work with a reputable local agency that actually looks at your account. That being said, let’s get into it. 1-BILLING FREQUENCY Most merchants have all of their processing fees

debited once per month. Because a lot of businesses were forced to close, processing companies were dealing with a lot of ACH debit rejections due to lack of funds. To reduce the risk of this happening, many processors automatically shifted the discount (billing) frequency so the they come out each day. The fees are debited before the money is sent to the merchant’s bank account. The reason why monthly billing is the default is because it is easier for the merchant to match up numbers. Daily billing almost always causes issues for merchants (and accountants and bookkeepers) since the amount that is settled each day doesn’t match the amount that shows in their bank account. 2-RESERVE REQUIREMENTS This has been particularly problematic for companies with higher risk SIC codes. Companies where customers place a deposit and wait weeks or months until they receive the products (extended future delivery) are textbook examples. Here is an example - CCPFL has a client that owns 3 high end furniture stores (average ticket is $4,000-$5,000 and some tickets are over $15,000) and he fell victim to this. Customers usually place a nonrefundable 50% deposit on a credit card and pay the balance when the customer takes delivery. Once he was able to reopen, his three locations processed over $200,000 during the month of July. Unfortunately, the bank that he processes with implemented a 10% reserve requirement. Translation -with $200,000 in credit card sales, he only received $180,000. It doesn’t

take a genius to figure out the problems this caused. Some companies, like Square have been holding back as much as 30% to deal with their exposure. This is temporary but it is wreaking havoc on business cash flow. 3-INCREASED PROCESSING FEES BECAUSE OF REFUNDS Although I strongly suspect that many processing companies will increase markups before the end of 2020 to make up for the lost processing volume that occurred in Q2 2020, that is not what I am talking about here. Industries like travel, entertainment, hospitality, are all experiencing unprecedented amounts of refunds. Losing the business is bad enough but the damage is worse with a refund. When a refund is processed, the merchant pays processing fees on the original sale AND on the refund. Depending on the type of card that is being processed, a $5,000 deposit for a catering hall that needs to be refunded will probably have a total cost of around $200-$300. No matter how you slice it, this is a double whammy to the merchant. I will end with this – You would be well advised to look at your merchant processing fees sometime between October and November. The likelihood that your processing company increased something somewhere is a near certainty. If you need a professional agency to look at it, CCPFL is here to help. That’s all for today. The COVID-19 pandemic, our nations’ inability to reduce the spread of the virus, and the unprecedented loss of jobs and temporary closures of local businesses has led to a dramatic increase during the past fourmonths in the number of people turning to Long Island Cares, Inc.-The Harry Chapin Food Bank, and our network of 331 local food pantries that have been providing emergency food assistance within their local communities. In the past four-months, Long Island Cares has seen on average, a 56.7% increase in the amount of food that we’re delivering to our member agencies, our five satellite locations, and our 18 pop-up food bank distribution centers. In addition, 94,361 people have turned to Long Island Cares requesting help in accessing food for the very first time. Although the numbers have been staggering, we’re also confident that Long Island Cares has the resources to help everyone that has turned to us and to our network of local food pantries for help for the remainder of this year, and into the first quarter of 2021.

Nutritious food is being delivered to Long Island Cares daily to help feed our neighbors in need. Some from federal and state government, some from the 80 retailers that donate to the Harry Chapin Food Bank every day, and even more as a result of the generous support we continue to receive from government, foundations, corporations and businesses, and of course from Long Islanders just like you that have supported us for the past 40 years. We have been purchasing an average of 1.7 million pounds of food each month just to respond to the impact of COVID-19, and in just the first seven months of this year, we’ve increased our food purchasing by 136.7%. Overall, we are bringing in 47.6% more food this year than during 2019. The COVID-19 pandemic has been extremely difficult for our seniors in need of emergency food assistance. Our S.O.S. program delivers food to 1,906 seniors each

month. Because of their fears related to the virus, our staff delivers boxes of food directly to their homes, and we spend time assessing any additional needs they might have. Our outreach staff has also been delivering ready-to-eat foods and personal hygiene products to an average of 450 homeless individuals each month. The majority of the homeless we assist live on the streets exposed to the elements and who find it difficult to socially distance. Our mobile food trucks have provided 4,011 children with a healthy, grab-n-go breakfast in their local neighborhoods during the pandemic. We’ve hired a total of 30 additional temporary staff members that have joined our 52 permanent staff, and along with working remotely, we are delivering food six-days per week while COVID-19 remains active. We’ve opened two new locations in Hauppauge and Bethpage just to pack emergency food boxes completely staffed by volunteers. In the coming months, Long Island Cares plans to open 1-2 new satellite locations and we’ve added 5 new drivers and five new vehicles to our fleet of 13 trucks, vans and SUV’s. Long Island Cares is well-positioned to meet the increased need for emergency food support as a result of COVID-19 in the months ahead. As our region returns to some form of normalcy, we will be here for you with food, personal care items, household supplies and even pet food, and so will our 331 dedicated pantries throughout the region. Cyber criminals used COVID 19 to craft newly themed scams that were aimed to trick people into inadvertently giving up their login credentials, social security numbers, and other sensitive information. Some attacks even involved the delivery of malicious software, including ransomware, send to pre-targeted email accounts. When the pandemic first hit the United States, we saw attack themes that played off the John Hopkins Coronavirus tracker map. Unfortunately, these so-called coronavirus maps were used by the cyber criminals to deliver

A remote workforce presents several cybersecurity challenges for companies. First and foremost, there is a requirement to increase spending on

security solutions and collaborative technologies. Many organizations that utilized a VPN solution to secure remote communications saw a need to increase the licenses to support a larger number of concurrent connections. Software updates typically contain critical security patches to prevent misuse of computer systems. It is more difficult for Information Technology professionals to ensure all computer systems receive these critical software patches while they are out of the office and working on home internet connections. Many companies saw a need to spend additional funding on cloudbased solutions that would ensure the successful installation of these critical software updates. Technologies such as Microsoft Teams, Zoom, WebEx powered remote collaborative efforts of organizations. However, these technologies typically structure their cost based on number the of users with the ability to host a meeting. With more remote workers hosting meetings, organizations needed to increase their spending yet again. Many organizations attempted to balance this spending by looking to cybersecurity vendors to provide more flexible offerings. Cipher quickly saw this need and negotiated agreements to provide our customers with offerings that could quickly scale and decrease as the needs of organizations changed. Cipher is proud to be part of the Hauppauge Industrial Association and I hope this article provided some insight into the cybersecurity threats that have been seen this year.

There is no doubt that 2020 has been a year full of challenges for both individuals and organizations. Working at cybersecurity service company, I have seen these challenges further compounded through emerging cyber threats. In the past several months, we have observed scammers and cyber criminals ramp up their efforts to target organizations by taking advantage of COVID 19. To further add to these challenges, companies rushed to adopt a “work from home” model while they adjusted their budgets to face business uncertainty. This article provides an insight into some of these challenges and how businesses worked to overcome them.

A few weeks into the pandemic, we saw a rise in malicious mobile applications that purported to use your GPS location and analyze nearby COVID cases. The apps promised to provide users with an alert when an uptick of cases was detected in the local area. These applications were bogus and instead of providing a valuable service, they attacked smartphones with software intended to steal the contents stored on the phone. Once governments began to respond with economic relief packages, scammers quickly jumped on the opportunity to impersonate government organizations and offer quicker access to stimulus funding by “clicking a link.” Those links would redirect victims to a malicious website that was used to steal personal information. Working in the cybersecurity industry for over a decade, I can attest that cyber criminals will go to extraordinary lengths to steal from people and organizations. This recent pandemic just further proved this notion. Organizations who successfully countered these threats did so by properly educating their employees to recognize when they are the target of a cyber-attack. Additionally, they adopted security technologies that were specifically designed to recognize and deter these threats. Cipher is proud to have helped many companies in this regard.
