GREETINGS FROM THE KAPITI COAST It’s a great feeling to put winter behind us, and I am sure like myself, you are looking forward to a busy run up to Christmas. For all of those who attended conference 2018 thank you. Without a doubt it was the busiest conference I have attended. We certainly packed a lot into two days. Thanks to all who provided feedback in the post conference survey which has been taken on board and will be helpful in preparing for the 2019 conference in Hamilton. It was a great honour to receive life membership to our association and again I would like to thank you all for your support and kind wishes. It has been a long-term commitment for both my family and myself and I have thoroughly enjoyed being part of this great organisation. We continue with focusing on increasing member benefits as well as our ongoing development of the “Careers in Hire” project. The BOD recently agreed to add a “situations vacant” bolt on to the website which has huge potential. A HIANZ member can now register their company on the Careers web site, upload the company logo and advertise any job vacancies they may have. This is a totally free service to members and I would encourage any employer who is looking to fill a position to register themselves on the “Careers in Hire” web site.

Work has begun on a brand-new website for the Association. There has been discussion around this for some time now. It is our intention that early in the new year we will launch the new look site. The design will be clean, crisp and modern sending a clear message that HIANZ and its members are professional organisations to do business with. Incorporated into the site will be a member’s area where relevant information can be accessed and e-commerce platform for the ordering of stationery can be done.

2019 CONFERENCE

Following on from the success of last year’s golf afternoon and quiz night at the Wairakei Resort – Taupo we will be hosting the same networking event on the 21st of November. It is Ambrose style golf and a whole lot of fun. This is an opportunity to take a day out from your business and relax among industry friends and colleagues. Registrations are now open on the HIANZ website. On behalf of Phil Tindle and the HIANZ board, I wish you a very Merry Christmas and a happy and profitable New Year. HIANZ TAKES INITIATIVE TO SIMPLIFY HEALTH & SAFETY INFORMATION In response to an increased focus on health & safety matters, the HIANZ Board has set up a working committee to develop a range of Information for Use (IFU) documents for various pieces of popular hire equipment, for use by member companies.

I

t was thought that the dissemination of important equipment safety information by hire companies to customers has been somewhat disjointed, and some degree of standardisation in a short IFU would result in better communication of safety information. The wide spread use of a standardised template would also help hire companies meet their legal requirements under Section 42 of the Health & Safety at Work Act 2015 concerning the provision of important safety information. A team comprising Robert Stewart (Hirepool), Paul Harrison (Upper Hutt Hire Ltd), Ross Barnett (Brainstorm Communications) and Graphic Designer Chris Leake are currently developing a template, and sifting through the important safety information for each product category.

The intention is to provide a universal one or two page safety sheet that can printed in either colour or black & white, and attached to hire contracts or emailed to customers (or simply provided in hard copy form). The proposed format will make extensive use of pictorial warnings, mandatory personal protective equipment (PPE) and, in many cases, an exclusion zone. While it will be impossible to provide all the necessary safety information in such a short format, reference will also be made to the owners’ manuals and relevant WorkSafe information. It is hoped the information will greatly assist member hire companies and their customers in reducing the risk of unintentional injury. ◘

Over 300 delegates from New Zealand & Australia attended the 2018 HIANZ conference, held in Rotorua on the 3-5th July. The event marked 40 years for the Association, a special occasion celebrated in style!

Hire Industry Association celebrates four decades in style

T

he event started with a reunion luncheon bringing together current and past members with an opportunity to recognise and thank those who have given to the industry. The late 60’s and 70’s were pioneering days for the hire industry and it was through the efforts of founding members that the association was born. Those involved formed enduring friendships which was evident at the reunion.

Special membership awards were made during the HIANZ Annual General Meeting and Reunion. Past board member Graeme Ridler (former director of Accent Tools) was awarded Honorary Membership in recognition of his contribution to the Association. Graeme was actively involved for many years as a supplier to the industry, attending conference annually and serving on the HIANZ board. Colin Taylor (owner of Hiremaster Party and Events) was presented with Life Membership during the reunion luncheon, in recognition of his contribution to the Association and Industry. Colin served as HIANZ President, board member and has been actively involved in growing the party hire side of the industry for many years. Conference included an extensive programme of workshops, guest speakers, trade show, and networking opportunities that culminated in the Hire Excellence Awards Dinner on the final evening hosted by the Association’s principal sponsor, Youngman Richardson & Co.

“Today the association is stronger than ever” said HIANZ President Tim Mikkelsen. “The core values that were born with the association of getting involved and making things happen to better the hire industry have not changed. In today’s fast paced world, we take advantage of various digital platforms and technologies to achieve our objectives and goals, but the key ingredients of friendship, networking and having fun that make our association so strong, have not changed.” PAGE 8

“The Rotorua Convention Centre was an ideal venue, with an increase in trade exhibitors of 23%, and a growing interest from delegates. The Convention Centre has facilities and space to hold the entire event under one roof,” said HIANZ CEO, Phil Tindle. “The trade show comprised of 57 exhibitor companies displaying a range of product and equipment and we are aiming to have a 50% increase in exhibitor attendance by 2019,” he said. The HIANZ conference is an industry event that continues to grow each year. The event aims to provide hire company delegates with educational material and an overview of the Association’s current and future initiatives.

Although the focus this year was reflecting and celebrating “40 years”, there were also guest speakers and relevant workshops that inspired and educated attendee’s providing valuable insights to take back to their respective businesses. Guest speakers from New Zealand’s most successful sporting franchise included All Blacks Manager Gilbert Enoka, and Sir Graham Henry, what a treat! Whilst delegates expect a return on their investment by way of learning, opportunity and networking at conference, they also look to have fun while they are there. It has now become standard that the first evening function is a fancy dress, and the theme this year was ‘back to the 70’s’. he Hire Excellence Awards are a wonderful highlight of the conference and there is often a few surprises along the way. This year’s awards deviated for a moment while HIANZ Past President Wayne Hood took the stage to present a Life Honorary Membership to HIANZ President Tim Mikkelsen. This award recognised his contribution of 12 years on the board, and 8 years as President. Tim was joined on stage by wife Penny. We all know that behind every good man is a great woman! Sir Graham Henry followed on and presented awards to the four branches who took part in the 2018 Hire Excellence Awards. Recipients of Gold Awards were Hirepool Wynyard Quarter & Invercargill Hire, Silver Awards went to Party Warehouse (CHC) and Hire Smart (Hawera). “What a privilege it has been to witness the achievements of these teams of people within the HIRE industry”, said HIANZ President Tim Mikkelsen. “It is exciting to see the growth of member companies and continued maturity of our industry. I am especially proud of member companies who have such faith in their business practices and staff, to enter the Hire Excellence Awards. I know it takes a tremendous effort to enter these awards, but it is certainly good for your businesses, and I know it is great for our industry, he said. PAGE 10

Hire Association Milestone Celebrated In Style In July Hire icons from around New Zealand descended on Rotorua, venue for the annual Hire Industry Association conference Forty years ago, a group of interested parties, which included independent hire company owners and suppliers, got together in New Plymouth to form what is now HIANZ, one of the more influential trade groups within New Zealand. Many of those who originally set up HIANZ continue to be involved and their knowledge, experience and commitment has supported the ongoing development of the Association. HOW DOES THE CONSUMER GUARANTEES ACT AFFECT THE HIRE INDUSTRY? By Geoff Hardy of Auckland law firm Martelli McKegg

W

henever someone hires goods or services from someone else, that’s a contract. It doesn’t matter whether it is written, like when a customer hires a marquee or an excavator from you, or unwritten, like when you let your employee’s brother-in-law use your truck for a week in return for a small payment. Occasionally the hirer is going to feel dissatisfied, and will want something done about it. It’s harder for the hirer to get justice where there’s no written hire contract and therefore no specific rights or remedies the hirer can point to, or where there is a written hire contract but the hirer had no opportunity to negotiate it or very little bargaining power, so it is heavily weighted in favour of the hire company. That is where the Consumer Guarantees Act 1993 (“CGA”) comes in. What the CGA does is insert some basic guarantees into every contract for the supply of consumer goods or services, and those guarantees override anything that the written contract might say to the contrary. They are known as “implied” guarantees because they are in the contract automatically without having to be spelled out. They are as enforceable as any “express” guarantees that are given to the customer in the contract, whether in writing or not. However, the CGA only applies if you are hiring goods or services to “consumers”. And consumers are individuals, companies, Councils, clubs or other legal entities who acquire goods or services “of a kind that are ordinarily acquired for personal, domestic, or household use or consumption”. So it is the nature of the product or service being acquired that is important. The only things clearly outside the ambit of the CGA are those that would rarely or never be acquired for household use, such as dentistry equipment, bulldozers, business management software, and AK47s. Therefore, the CGA can equally apply to business-to-business hires as

long as the product or service is of a kind that is ordinarily acquired for personal, domestic, or household use or consumption. However the hire company and the business customer are allowed to contract out of the CGA, as long as they do so in writing, and it is “fair and reasonable” to do so. The fair and reasonable requirement leaves it open for a small business to ask a Court to enforce the CGA’s remedies against a powerful hire company, even though the company’s terms of trade exclude the CGA.

A CONSUMER CUSTOMER CAN ENFORCE THE CGA IMPLIED GUARANTEES AGAINST THE HIRE COMPANY REGARDLESS OF WHAT THE HIRE CONTRACT SAYS Notwithstanding the CGA’s broad coverage, there are some transactions that are never going to be covered by it. They include hires of goods to customers who acquire them for the purpose of carrying on a business of repairing or treating other goods or fixtures on land. Those customers are excluded from the definition of “consumer”. That means, for example, that if you hire a concrete mixer or a scissor lift to a builder, the CGA is never going to apply to the hire contract (whether it expressly excludes the CGA or not) unless the builder is hiring for his own personal use. In the CGA there are guarantees relating to goods and guarantees relating to services, but you have to be a “supplier” before you are bound by them. You are a supplier if, in the course of your business, you supply goods to a consumer by transferring possession of those goods to the consumer under a contract of lease, hire, or hire-purchase. And “supply” includes supply by way of lease, hire, or hire-purchase. So hire companies are definitely suppliers.

Interestingly, the definition of “goods” excludes a whole building, or part of a whole building, unless the building is a structure that is easily removable and is not designed for residential accommodation. So you would think that companies that hire (a) portable bunk rooms, sleep-outs or modular living units, or (b) anything that is fixed or anchored to a building and not easily removed, are never going to be bound by the goods guarantees. But it is generally accepted that “part of a whole building” means something like an apartment in an apartment block. So it is questionable whether it includes a building component or accessory such as a portable swimming pool or a spa bath, an awning, canopy or shade umbrella, or an oven, a ventilation system, a security system, a sound system or some other appliance that is fixed or anchored to a building. In any event, hire companies are bound by the services guarantees because hire is a service. So one way or another, every hire contract contains CGA guarantees, unless the customer isn’t a consumer, or the customer is a business and the hire contract excludes the CGA guarantees. The goods guarantees relate to fitness for purpose, acceptable quality, prompt delivery, compliance with description or sample, and availability of repairs and spare parts. The services guarantees relate to care and skill, fitness for purpose, and completion time. The CGA recognises that a lot of those guarantees are more applicable to sales than they are to hires, so the Act makes appropriate modifications to the guarantees when it comes to hire contracts. Even so, the modified guarantees still apply. A consumer customer can enforce the CGA implied guarantees against the hire company regardless of what the hire contract says. But under the CGA, the customer can also go after the manufacturer of the items that

he has hired from the hire company. And any consumer who sub-hires those items (assuming they come within the definition of “goods”) from a consumer inherits the same rights against the manufacturer, as long as they haven’t sub-hired them for the purpose of carrying on a business of repairing or treating other goods or fixtures on land. If the hired items come with product warranties, the customer can also enforce those directly against the manufacturer. In addition, whether or not there is a product warranty, the customer can enforce the CGA guarantees as to acceptable quality, compliance with description, and availability of repairs and spare parts against the manufacturer. Interestingly, the term “manufacturer” includes not only the maker of the hired items but also the importer and distributor of overseas-sourced goods, and anyone whose brand or mark is on them. If the goods or services hired to a consumer fail to comply with a CGA guarantee, then the CGA states what remedies the consumer has. Those remedies depend upon whether (a) the failure can be remedied, or (b) the failure cannot be remedied or is “substantial”. If the failure can be

remedied then the consumer can insist on that, and if it doesn’t happen, the consumer can recoup the cost of getting someone else to do it, or reject the goods or cancel the hire contract. On the other hand, if the failure can’t be remedied, or in the consumer’s mind it is substantial, the consumer can reject the goods or cancel the hire contract, or alternatively claim damages for the reduction in value. In either case the consumer can also claim damages for reasonably foreseeable losses. Where the failure can be remedied and the hire company is required to do so, at least the hire company can elect to repair, replace, or give a refund. But if the consumer has a right to reject the hired items instead, it is the consumer who gets to choose between refund and replacement. The consumer must do so within a reasonable time, and can’t do so after the items have been damaged after delivery, or can’t be detached from a building without damage. If the consumer rejects the hired items, but is unable to return them without incurring significant cost, the hire company must retrieve them. Finally, what remedies does the consumer have against the

manufacturer? Where the consumer is relying on the manufacturer’s failure to comply with its implied guarantees as to acceptable quality, compliance with description, and availability of repairs and spare parts, the consumer can claim damages for the reduction in value, and for reasonably foreseeable losses. But where the consumer is entitled to insist on repair or replacement under a product warranty issued by the manufacturer, then no damages are payable unless the consumer has first insisted on repair or replacement, and it hasn’t happened. WHY WE ALL HATE HEALTH AND SAFETY MEETINGS Another bloody meeting?! When are we supposed to fit those in? We don’t have time for that! No one wants them. No one says anything. It’s a waste of time, we’ve got nothing to talk about! We hear this E.V.E.R.Y.D.A.Y. No, safety meetings shouldn’t drive you to drink early in the day, nor should you find staff coming down with mysterious illnesses on the day you have booked one. Safety meetings should be your chance to get your workers engaged and participating in Health and Safety. No, you don’t have to have an hour-long meeting, with a PowerPoint presentation and a working lunch (although, to be fair food does help) …many of our clients incorporate H&S into their usual staff meetings, or as a quick discussion over their regular morning tea. Since we see a lot of blank toolbox meeting forms, here are some suggestions for how you can make toolbox meetings start working for you (and less painful): Don’t have a meeting for the sake of a meeting. Give it a purpose…no one is going to participate in a meeting that they hate. ◘

As a team, review two or three hazards from your register – this might prompt you into having to check controls are in place, it could start a discussion around whether the register actually reflects what happens on the shop floor, and it means your register is reviewed on an ongoing basis Look at the work you have coming up – who are you going to be working with? Where will you be working? What do you need to plan in advance?

It could be from the hazard register, it could be a refresher on a piece of equipment, it could be a task like checking everyone’s PPE or first aid kits. How did you get involved in the hire industry? “I have been involved in the hire industry from an early age when my father purchased a small hire company in Palmerston North. My father was a mechanic, so I was brought up around engines and machines. The hire industry fascinated me from an early age and I really enjoyed working in and around machinery. Looking back, I enjoyed working in the family business with my brothers. I started full time in the industry upon returning from my OE in 1990. The family business sold in 1996. For the last 3 years I had been a working director and shareholder in Ready Hire (Manawatu) Ltd. I sold my

shareholding and finished up with Ready Hire in October 1999. An opportunity arose in the following month to acquire Hiremaster Kapiti. FORKLIFT ASSOCIATION Taking Things To New Heights...

T

HINGS HAVE BEEN rather hectic at the NZFIA in recent months as the Association began its first inaugural membership drive, a call for nominations to the board and the related elections as well as the setting up of administrative and legal functions associated with business activities. There are many complexities in forming a new Association, and those involved must ensure the various tasks are completed with precision and in a logical order. Members provided strong feedback around the need for broad representation of industry which has been reflected in the rules of the NZFIA and recent elections. A good number of nominations were received which highlights wonderful enthusiasm within the industry. The composition of the new NZFIA board is as follows;

The board worked their way through various administrative tasks associated with a new Association which included reviewing the minutes of the “industry” meeting held in April with a view to prioritising work to

resolve some of the commonly faced issues within industry. The NZFIA also held its first official members networking meeting at the Pakuranga United Rugby Club on Tuesday 16th October. The agenda included updates on current initiatives and work being undertaken by Association, an overview of the first board meeting, short and long-term objectives, and also welcomed input from members for discussion. Attendees also enjoyed the networking opportunities with industry peers. NZFIA Chief Executive Officer, Phil Tindle said “the industry has not had a representative body until now, and many industry related standards are well out of date as a result. Short term objectives will include the promotion of membership resources and benefits, promoting careers and addressing skills shortages, completion of the industry ‘Fair Wear & Tear’ guide and a review of the current requirements and delivery of operator training.” The board have a strategic planning session toward the end of the year, where they will work to formalise a plan of activities and preferred outcomes. One of the priorities is the development of Best Practice Guidelines to include safe working practices, reference to acceptable standards of plant design, maintenance and inspection, operator training, and various appendices such as check-lists and compliance aids for industry. ◘

embers who attended Conference will most likely have met our first International Leadership Exchange candidate, Jeremy Weaver from GAP Rentals in Pennsylvania. Jeremy spent two weeks hosted by Hirepool in the North and South Island. Jeremy’s itinerary was incredibly busy, spending time in most divisions of Hirepool’s business and attending a number of industry related events throughout NZ. He spent the third week assisting the Association with setup and running of conference, participating in all areas and speaking publicly on two occasions. This is the first Leadership Exchange for New Zealand and it was a great experience for both Jeremy and our membership. HIANZ continues to be involved, with Alex Young from Carlton Party Hire travelling north to Fort Worth, Texas in late October and hosted for 3 weeks by the Wadley family who own and operate Taylor’s Equipment Rental Co. Alex will then travel on to Sante Fe, New Mexico to participate in the 2019 Young Professionals Network event hosted by the American Rental Association. How did you get involved in the hire industry? “I left college to become a chef at a Wellington catering company, Tea Services Ltd. This was followed by a stint as a catering equipment sales representative which was how I met my wife, Barbara. A couple of years after we were married I was approached by the owner of Tea Services Ltd to see if I would be interested in buying the business. Without hesitation I jumped at the opportunity. The first thing we did was turn it into a hire company. The business grew quickly and subsequently we moved premises several times to meet the demands of our customers before ending up at Ngauranga. As time went by we expanded our business

interests one of which was the purchase of Kapiti Hire from its original owners, now owned by our current President, Tim Mikkelsen.’

What has been your involvement with HIANZ? “I have been a member of the Hire Association since its inception in New Plymouth 40 years ago and I’m proud to have been part of a wonderful body of down to earth practical people from member companies and suppliers. I have been involved with the Association via zone meetings and special projects as a Director along with becoming President for a term Being involved gave me the opportunity to represent the association at overseas hire conferences

“Over the years I’ve had the pleasure of supplying all major venues in Wellington and throughout the region with hospitality marquees and other ancillary equipment. In the process I have met some wonderful people and have been continually amazed at the way our team has responded to the challenge of such undertakings. We have also been the main supplier to NZs major films, Lord of the Rings, Avitar and The Hobbit covering sites all over New Zealand from Auckland to Invercargill. How do you define your success? “Success to me is feeling safe in the knowledge that after all these years I can one day leave the company knowing that we have a wonderfully experienced team lead by my son Campbell Taylor and Richard Johnson to take us into the future. It is also satisfying to be able to give back to a community that has supported Hiremaster over the years. Hiremaster has been the major sponsor of the Life Flight Trust Gala Dinner for the past 2 years. A concept we put to the Trust and developed. “The primary objective of the EWPA is to promote best and safest practices for the use and maintenance of Elevating Work Platforms. We fulfil this objective by advocating for consistently high standards of EWP related training, and in areas of maintenance and certification.”

T

his EWPA Bulletin covers the minimum requirement of personnel who are required to carry out six-monthly inspections and issue certifications on MEWP’s. It is the stance of the EWPA Board that only CBIP qualified inspectors, and Manufacturers Employees who have been formally trained to the same or higher level of competency as CBIP Level 1 for inspection, can inspect and certify MEWP’s. Manufacturers Employees should only certify MEWP’s that they have been specifically trained to inspect by that Manufacturer and should not certify other brands of MEWP unless they have the relevant CBIP OR EQUIVALENT qualification. The minimum standards required by WorkSafe New Zealand

Competent Person for Inspection: “Only a Competent Person can complete a six-monthly, enhanced or major inspection of a MEWP. A means of demonstrating competency is a certificate of competency or proficiency from an certification board. In New Zealand this is the Certification Board for Inspection Personnel New Zealand (CBIP). Manufacturers employees who inspect, and certify MEWP’s do not need to be registered with CBIP but they should be able to demonstrate the same, or higher, levels of competency.” Note: If the Manufacturer contracts out inspection and certification, the contractor should be certified by CBIP for inspection as describe in the Best Practice Guidelines.

Operational Test and Check: “A Competent Person must thoroughly examine the MEWP after an accident, incident, or major repair or modification, or at least every 6 months. The Competent Person must have access to the manufacturer’s approved maintenance manual for the type of MEWP being certified.” Competent Person: “A person who has acquired through training, qualification, experience or a combination of these, the knowledge and skill enabling that person to correctly perform the required task.” Note: Different types of MEWP’s require different competencies, including appropriate training and/or qualifications.

fter a busy year at Good for Business we are in the process of finalising our clients 31st March 2018 Annual Accounts and Taxation. A key part of the finalisation, is meeting with the client to review the year and to give them the opportunity to ask questions. One key area where we get questions is Why is my profit not in the bank, why can I not have the cash and why and I paying tax on money that I have not received? The answer to this is may be found by looking at the Cash Flow Statement & the Shareholders Current Account (SHCA) in the Balance Sheet To many business owners the Balance Sheet and Cash Flow statements are a step too far when it comes to understanding their business, and yet the information that is in the Balance Sheet is critical to understand the financial strength a business has for future acquisitions, borrowing, cash flow and free cash flow for shareholder remuneration. When I begin a discussion about a business’s financial strength, one of the first places I look is the cash flow statement and the Shareholders Current Account. Both of these reports show how a business is spending the cash, or in many cases the lack of it. Cash Flow Statement, the cash flow statement is not usually a report that is included in the Annual Accounts, but it is a must if

you want to understand where your cash has gone in the last 12 months. Increased Debtors, Inventory, Capital Purchases and Shareholder drawings are some of the normal culprits. Shareholders Current Account, the SHCA is often over looked by a business owner, it sits in Equity and for all intents and purposes looks like a balancing number. Often the SHCA is only one or two lines

(drawings and funds introduced), but within those two lines are a variety of transactions that need to be reviewed and managed. Inserted below is an example of a business’s current account with two shareholders having two different current account outcomes. Have a look the two drawings accounts and decide if you would be happy if your partners were drawing the SHCA into negative? ◘
