As of the time of writing, Texas finds itself in need of prayer. This need has persisted over the past several years due to the severe drought that has afflicted us. However, at this very moment, our state is ablaze. The Panhandle region, home to the Smokehouse Creek Fire, has witnessed one of the largest infernos in state history, spanning over 1300 square miles. Regrettably, this fire has now crossed into parts of Oklahoma. The winter of 2024 will forever be marked by this colossal blaze, now etched into the annals as the largest in our state’s history.
To put it into perspective, 1300 square miles eclipses the entire area of Rhode Island. As of this writing, containment efforts have only managed to corral approximately 3% of the flames.
For years, our resilient Texas farmers and ranchers have borne the brunt of this devastating drought, enduring billions of dollars in economic losses over the past decade due to well-below-average annual rainfall. While they fervently prayed for rain, they never imagined facing a catastrophe of this magnitude. The recovery process will span years, encompassing the restoration of land, infrastructure, and the irreplaceable livestock that will tragically be lost.
Yet, Texans are renowned for their resilience and unwavering resolve. The indomitable spirit of Texas toughness courses through our veins. We will endure this trial, extending a helping hand to our neighbors in need, assisting them in rising from the ashes and rebuilding their lives with haste.

Online equipment sales are on the rise, but just as the e-commerce landscape has expanded and become more sophisticated, so have cyber scammers.
According to Kara Figi, vice president of AgDirect business development, fraud is becoming more prevalent in the agricultural equipment space with scammers targeting both dealers and producers.
“Before COVID, our customer base didn’t buy a lot of equipment online. They always wanted to kick the tires before they purchased something, but now everyone has become a lot more comfortable with online transactions,” she says.
“Between that and limited availability of equipment, buyers are willing to purchase from sellers multiple states away when they can’t find the machinery they need locally, and the bad actors have capitalized on that trend.”
One of the ways today’s buyers must remain vigilant with their equipment purchases is avoiding fake dealer websites. Scammers will impersonate dealers, sometimes posing as former legitimate businesses, to trick buyers into believing the fraudulent site is reputable.
The original website domain may be confiscated to make it seem trustworthy, or in other cases, machinery listings may be lifted from other sites. The site may also feature pictures of a real dealership or equipment from an existing lot.
When dealing with fake dealerships, phone calls are often forwarded to a voicemail where the scammer can monitor calls. The bad actors call back potential buyers, gain their confidence and convince them to go through with the transaction. At the
same time, this allows the scammers to avoid taking a call from someone they have already scammed into wiring funds for an asset that will never be delivered.
“Dealer scams are not happening locally because buyers expect to see the equipment and meet the salesman as part of the sales process,” says Figi. “With tight inventories, many buyers are willing to look five or six states away for the equipment they need and wire money to get the deal done.”
“Often it is several days later, when the equipment doesn’t show up and the ‘dealer’ no longer returns their phone calls, before the buyer realizes they have been scammed and their money is gone.”
Thanks to new digital content authenticity technology, AgDirect is now able to assist customers with verifying machinery listings by using an application that detects whether a photo of the equipment is real or if it has been manipulated in any way.
Figi says the software has already helped prevent four fraudulent transactions from taking place and that the tool will continue to give buyers confidence as more and more sales are conducted online.
Identity theft is another area posing a threat to dealers and unsuspecting fraud victims. In 2022, the Federal Trade Commission reported consumers lost nearly $8.8 billion to fraud – an increase of more than 30% from the previous year.
In the agricultural equipment and financing space, scammers are using stolen identities and information to collect funds dispersed for approved machinery purchases. The used equipment sector is especially vulnerable, but if the logistics or location of the deal don’t add up – for instance, a California buyer looking to make an equipment purchase in New Jersey, that could be a red flag.
Data security is of the utmost importance at AgDirect. That’s why as an equipment financing leader, AgDirect is continuing to implement new fraud protection tools including identify verification software.
“For every customer who submits an application with us online, they will automatically be sent a link that allows them to capture a photo of their driver’s license as well as a selfie image,” shares Figi. “Within a few seconds, the system will scan the images and tell us if they are a match.”
The promise of low prices or the sale of a rare piece of equipment are two triggers that are often used to target buyers in fraudulent schemes. Both scenarios can cause buyers to fall victim to bait and/or switch tactics:
Bait: A too good to be true ‘for sale’ price can mislead the purchaser to think they are getting a good deal and will be rushed to close the transaction. In reality, there is nothing tangible for sale – just a phony transaction.
Switch: A legitimate transaction is about to occur, and all of a sudden, the wiring instructions change. The bad actor has compromised one of the seller’s email accounts and is waiting for an opportunity to interject new wiring instructions at the last minute.
Unfortunately, scammers know how to take advantage of a situation and feed on the emotion involved with making a big machinery purchase. It can be easy to get caught up in the moment or feel like you’re missing out on a good deal.
“If the deal seems too good to be true, then it probably is,” Figi adds. “We’ve seen fraud come and go, but it spikes from time to time so it’s always a good idea to use caution when purchasing equipment online.”
Here are some of the steps you can take to protect you and your operation against online equipment scams:
• How confident are you in the seller?
• Have you worked with the seller before?
• Have you met the seller in person or seen the equipment in person?
• Is the seller pushing you to act quickly and wire money?
• Google the seller by name and keep an eye out for any reports of recent scams in your search results.
• Reference the Better Business Bureau to verify it is a recognized business entity and that the company hasn’t been compromised.
• Pull up the address of the seller on Google Earth, or better yet visit the seller in person to confirm a brick-and-mortar location exists.
• Insist on seeing the equipment. Request a video call to view the equipment when shopping from a distance.
• Read online comments from other buyers or reach out to other known buyers who have made a purchase with the seller before.
• Research the seller and products independently and compare prices with other websites to ensure legitimacy.
• Leverage the knowledge and relationships of your nearest AgDirect territory manager or other dealers in the area to determine whether the equipment is coming from a reputable seller.
• Never transfer money to someone you don’t know. A demand for wired funds can be a red flag as scammers often don’t have a way to cash checks.
• Safely store documents that have your personal information, including financial documents.
• Contact your credit bureau to lock or freeze your credit to prevent unauthorized access to your credit reports.

One common way that cattle producers enter into the direct beef sales world is by selling a live calf to the consumer and then delivering it to a custom processing facility where it will be processed. As we discussed in detail in the “Where’s the Beef? Legal and Economic Considerations for Direct Beef Sales” handbook, this approach can be attractive to producers as it allows them to avoid many of the additional requirements that come when selling beef, as opposed to selling the live animal.
For example, Bob in Dallas wants to purchase beef from ABC Ranch located in Amarillo. If ABC Ranch wanted to sell beef by the pound to Bob, the slaughter and processing of the animal would have to occur in an inspected facility since the owner of the animal (ABC Ranch) would not be the end consumer. ABC Ranch would also need to deal with licensing, labeling, and additional insurance considerations, as it would be selling beef. However, if ABC Ranch sold the live calf to Bob prior to slaughter, then custom-exempt processing would be allowed because Bob is both the owner of the animal and the consumer of the beef. If Bob wanted to purchase less than a whole beef, the producer could sell the remaining percentage of the animal to another person. So long as this transaction occurs before slaughter, the custom-exempt processing option would be available.
Many cattle producers are currently selling their cattle using this custom-exempt method. Anyone doing so should have a custom harvest agreement they use for each of these types of transactions.

This agreement is simply a contract between the beef producer and consumer laying out the terms of the sales agreement. It need not be overly complex, but it serves an important role of ensuring everyone is on the same page and protecting both parties should something go south.
The following topics should be considered when drafting a custom harvest agreement.
► Names and contact information of the parties. List the names of the parties to the agreement and their contact information.
► Description of the product being sold. Be clear in the agreement that it is the live animal being sold to the consumer, not the processed beef. Clarify what percentage of the animal the customer is purchasing. For example, is the sale for a whole animal or ¼ share of the animal? If selling a specific animal, be sure to include the ear tag number or other description of the animal.
► How will payment be calculated? Be clear exactly how the price for the animal will be calculated. Will it be a flat, pre-set price? Will it be a per-pound price and, if so, will that be based on the live weight or hot carcass weight of the animal?
► Educational information. One thing many cattle producers find when beginning direct beef sales is the lack of education many consumers have about purchasing and cooking beef. This agreement may be a good place to include some of that information in order to avoid surprises later. For example, it may be helpful to explain the difference between live animal weight and boxed beef weight and manage expectations so that the consumer does not think that just because the calf weighs 1,200 pounds,
there will be 1,200 pounds of boxed beef. Giving consumers a ballpark range of what calves typically weigh when delivered to the processor and what the typical yield percentage is can be helpful, with the caveat that these are only ballpark estimates and actual measurements and costs will be based on their specific animal. Information on how much freezer space is typically needed for a quarter, half, or whole beef may also be useful. Having a sample cut sheet for people to review may also provide added value.
► When and how will payment be due? Will a deposit be required? If so, when and how much? When will payment be due? What payment methods are accepted? Can a consumer pay by cash, check, card, or Venmo (or other app)? What is the result of failure to remit timely payment?
► Processing fees. Make sure the parties are clear on whether the processing fees are included in the selling price or whether the customer will be responsible for paying the processing fees directly to the processor.
► Obligations of the parties. Who will be responsible for delivering the animal to the custom processing facility? Who will pick up the beef once processing is complete? Who will pay the processing fee to the facility? Who will complete the cut sheet?
► Reselling/donating meat from the animal is prohibited. Make clear in the custom harvest agreement that the beef from this animal may not be resold or donated. This is based on the fact that any beef processed at a custom harvest facility may not be sold or donated, and the purchaser needs to be clear on that limitation.
► Point at which the animal is property of the buyer. Make clear at which point in time the animal officially becomes the property of the buyer. Certainly, this has to be done at least by the point in time when it is delivered to the custom processing facility. But is it when the initial deposit is made? Is it when the animal is loaded into the trailer to head to the facility? This may be important if there is an injury or the death of an animal before it is delivered to the processing facility.
► Dispute resolution clauses. In the event of a legal dispute, the parties may wish to agree to dispute resolution. This would typically be either mediation or arbitration.
► Choice of law/venue clauses. When the parties may be from another county or state, the parties may want to agree on which state’s law will apply to any legal dispute and determine where any lawsuit must be filed.
