PRESIDENTS REPORT

Here we are with 2025 three months in and summer is basically over, the popular Club promotions over the Christmas New Year period were well received all culminating with the members’ car draw on Saturday 22nd February, with one very excited member who walked away with the keys to the KIA STONIC S.

It is pleasing to report that the Club made a net profit of $298,734 for 2024, an even better result than 2023, this was achieved by the Club leadership of CEO Ian Todd, COO Debbie Harris, the Management Team, our dedicated staff and importantly the patronage of the Club members. Thank you for your support throughout the year. The Club also donated $177,434 to local sporting and community groups and local charities during 2024.

A reminder to all members that there are no elections this year however, the Clubs Annual General Meeting (AGM) is on Tuesday the 25th of March at 7.00pm and your attendance would be appreciated, remember it is your opportunity to raise items that you feel may improve the Club or to ask questions of the Club Board or the Management.

This year the Board and Management are looking at several projects within the Club, however given the disruptions we have had over the last couple of years this will be more of a year of consolidation as we look to work on the couple of projects that are in the pipeline.

The Sub-Branch, with the Padstow and Campsie Chapters, SubBranch Auxiliary and the Kingsgrove RSL Community Group have all done a great job during 2024 in looking after the welfare of their members and the Community, especially the local nursing homes, sporting groups, schools and hospitals to name a few organizations who have benefited from their support.

On behalf of the Board of Directors thank you for your continued support of this great Club and we look forward to seeing you at the Club sometime soon.

CHIEF EXECUTIVE OFFICER’S REPORT

It is with pleasure that I present to members the Financial Report for the year ending 31st December 2024, with your Club posting a profit after tax of $298,734.

The Club traded well after the completion of the renovations of 2023 despite the economic challenges faced by the Club and our members with increases in inflation and cost of living expenses.

Our total revenue for the year increased by 10% to $12,310,127, with increases in Poker Machine trade of 13%, an increase in trade with Bar Sales of 2% and an increasing in Café Sales of 5%.

The Club Management endeavoured to maintain expense but with rises of CPI it was inevitable we would experience increases, Direct Costs increased by 2%, Employee Benefits increased by 7% and Other Expenses increased by 8%.

Government Poker Machine and other taxes increased by 15% to $1,870,724.

Financial Expenses increased to $224,396 from $94, 969 (136%) due to our increase in borrowings in 2023 for the renovations. The Club borrowings were reduced by $498,791 (16%)

Our investments have been retained at $1.75M.

Members total equity increased to $26.7M.

The Club’s membership decreased by 1%. The Club’s membership now stands at: Financial Members 8,858

April 25th Anzac Day is a very important day on our calendar and the Club is planning a full day of events commencing with our commemorative service from 7am. We hope that you can join us in our “Respect the Day” campaign and visit the Club, check the full program in this edition.

PROMOTIONS

As we head into another busy year, there will be plenty on offer with more promotions and events, so please keep up to date on our program by viewing our website and inhouse advertising. Including:

Chocolate Easter Egg Raffle with a large assortment of chocolate hampers in time for Easter on Friday 4th April. Tickets are only $1.00 and are on sale from 4.30pm. Draw to commence at 6.00pm. Then on Thursday 17th April, join us for our ever-popular seafood raffle to win an assortment of oysters, prawns and seafood in time for Easter.

Fireside Brasserie will also have a great selection of seafood specials over the Easter long weekend, so book a table to avoid disappointment.

Mother’s Day will soon be upon us, and we will be holding our usual Mother’s Day breakfast with a free voucher to all mothers who are members and specials for the weekend for lunch and dinner. These events fill up fast so booking early is recommended.

My thanks to the President Alan Barnes and the Board of Directors for their contribution and support throughout the year.

My sincere thanks for the tireless efforts of my management team lead by Chief Operating Officer Debbie Harris, our Head Chef Karl Bonwick and his team along with all our friendly staff.

In closing I would like to thank you our members for supporting the Club throughout the year especially with the economic challenges we are all experiencing.

ATTENTION MEMBERS

The Club’s Annual General Meeting will be held on Tuesday 25th March 2025 at 7pm.

The Board of Directors have approved further upgrades of the Club Air Conditioning with the replacement of the existing Poker Machine Lounge AC unit and an additional AC unit to encompass the Club entrance and reception area. Works are expected to commence in March 2025.

Management and the Board of Directors are currently reviewing quotes for a Solar Car Park construction which will not only supply 40% of our daily electricity usage but also offer our patrons shaded parking on the top level of the car park. We will report more in our next edition of the Burst.

GENERAL MEETING

Notice is hereby given that the Annual General Meeting of Kingsgrove R.S.L. Club Ltd (Club) will be held on Tuesday 25 March 2025 at 7.00pm in the Diggers Lounge at the Club's premises at 4 Brocklehurst Lane Kingsgrove NSW 2208.

AGENDA

1. Confirmation of Minutes of the Annual General Meeting held on Tuesday, 26th March 2024.

2. To receive and consider the Financial report, the Director's report and the Auditor's report for the financial year ending 31st December 2024, and the reports of the President and Chief Executive Officer.

3. To consider and, if thought fit, pass each of Ordinary Resolutions 1 to 3 to approve honoraria and benefits for the Board and other members.

4. To consider and, if thought fit, pass each of Special Resolutions 1 and 2 to amend the Club's Constitution.

5. To notify members of any expression of interest in an amalgamation, or any unsolicited merger offer, received by the Club from any other registered club in the previous 12 months before the Annual General Meeting (if any has been received).

SPECIAL BUSINESS - NOTICE OF ORDINARY RESOLUTIONS

ORDINARY RESOLUTION 1

The members hereby approve the payment of the following honoraria per annum plus superannuation if applicable to the Directors in respect of services rendered to the Club: President $10,550, Vice Presidents $4,300 each, and other Directors $3,790 each, to be paid quarterly in arrears.

ORDINARY RESOLUTION 2

The members hereby approve the payment of an honorarium (plus superannuation if applicable) of $820 per annum to the Sports Administrator in respect of services rendered to the Club, to be paid quarterly in arrears.

ORDINARY RESOLUTION 3

The members hereby approve reasonable expenditure by the Club with respect to the following matters up to the next Annual General Meeting of the Club:

i. The cost of Director’s meals and drinks after each Board of Directors meeting.

ii. Reasonable out of pocket expenses incurred by Directors either within the Club or elsewhere in relation to such duties approved by the Board of Directors.

iii. Reasonable expenses associated with the supply of a Club blazer and other official apparel for each Director when representing the Club.

iv. Reasonable costs of Directors attending ClubsNSW meetings and training seminars, and other association meetings and training seminars approved by the Board of Directors.

v. Reasonable costs of end of year function with spouses.

vi. Subsidies granted to intra-club sporting groups.

vii. Presentations to members and others for services deemed by the Board of Directors to be of a benefit to the Club or community.

viii. The provision of seven (7) especially reserved parking spaces in the Club car park.

EXPLANATORY NOTES

Ordinary Resolutions:

• Pursuant to the Registered Clubs Act 1976 (NSW) (Registered Clubs Act), honoraria and other benefits made available to the Board and other members, which are not equally available to all full members of the Club, must first be duly approved at this Annual General Meeting.

• Pursuant to the Registered Clubs Act, the members would hereby approve for the next year until the 2026 AGM, the above Ordinary Resolutions to cover expenses and benefits relating to Directors and others deriving directly or indirectly any profit, benefit or advantage not equally offered to every full member.

• The members acknowledge that the benefits in Ordinary Resolutions 1, 2, and 3 above are not available to members generally, but only to those members who are elected to the Board or those members directly involved in the specified activities.

• To be carried, each Ordinary Resolution requires a vote in favour by a simple majority of those eligible members present and voting at the meeting.

• Financial Full Club Members and Life Members (who were previously Full Club Members when elected to Life Membership) are entitled to vote on each Ordinary Resolution. Proxy voting is not permitted and employees are prohibited from voting under the Registered Clubs Act.

SPECIAL RESOLUTION 1

The members hereby approve that the Constitution of Kingsgrove R.S.L. Club Ltd (ACN 000 463 196) be amended by:

• inserting the following new Rules 13.13 to 13:17 as follows:

"13.13 If, in the opinion of the Chief Executive Officer, a member has:

(a) refused or neglected to comply with a provision or provisions of this Constitution or any By-Law;

(b) has acted in a manner prejudicial to the interests of the Club; or

(c) engaged in conduct that is unbecoming of a member or renders the member unfit for membership,

then the Chief Executive Officer (or their delegate) may suspend that member from some or all rights and privileges as a member of the Club for a period of up to twelve (12) months.

13.14 If the Chief Executive Officer (or their delegate) exercises the power pursuant to Rule 13.13, the Chief Executive Officer (or their delegate) must notify the member by notice in writing:

(a) that the member has been suspended as a member of the Club;

(b) the period of suspension;

(c) if only certain privileges of membership have been suspended, then the privileges of membership which have been suspended; and

(d) that (if the member wishes to do so) the member may request by notice in writing sent to the Chief Executive Officer that the matter be dealt with by the Board pursuant to Rules 13.1 to 13.12.

13.15 If a member submits a request under Rule 13.14(d):

(a) the member shall remain suspended until such time as the charge is heard and determined by the Board; and

(b) within 28 days of receiving the member's request, the Club must either commence disciplinary proceedings against the member in accordance with the requirements of Rules 13.1 to 13.12 or notify the member that the suspension will cease to have effect.

13.16 The determination of the Board in respect of any disciplinary proceedings initiated under Rule 13.15(a) shall be in substitution for and to the exclusion of any suspension imposed by the Chief Executive Officer (or their delegate).

Rule 13.13 applies to Full Members and does not limit or restrict the Club from exercising the powers contained in this Constitution and the powers contained in section 77 of the Liquor Act."

SPECIAL RESOLUTION 2

The members hereby approve that the Constitution of Kingsgrove R.S.L. Club Ltd (ACN 000 463 196) be amended by deleting existing Rule 6.10(c) and replacing it with the following new Rule 6.10(c):

"6.10(c) the person is a visitor whose permanent place of residence is in the State. Subject to any minimum distance as may be prescribed from time to time by the Registered Clubs Act, the Board may from time to time determine by By-Law a minimum distance of residence from the Club's premises for a person to qualify for temporary membership under this Rule; or"

EXPLANATORY NOTES

Special Resolution 1

Ordinary Resolutions:

• Currently, Rule 13 sets out a comprehensive member disciplinary process which is facilitated by the Board.

• The process of initiating and otherwise dealing with member disciplinary proceedings can be timeconsuming for the Club's Board who are already occupied with overseeing an extensive amount of other obligations overseeing the management of the Club, its broader operations and compliance responsibilities.

• New Rules 13.13 to 13.17 have been proposed as a means of affording flexibility to the Board in dealing with member conduct issues and breaches of the Club's constitution. Specifically, these new rules afford the Club's CEO with the power to suspend members from some or all of their rights and privileges as an alternative means of the ordinary process of undertaking disciplinary action. Under the new rules, the CEO will be able to suspend members for a maximum of 12 months. This will create efficiencies for the Club and enables the CEO to deal with problematic behaviour swiftly, although within certain limits, freeing up time for the Board to focus on other matters.

Special Resolution 1 (Continued)

• In proposing these new rules however, the Club recognises the importance of maintaining procedural fairness for members. For instance, any such suspension by the CEO must not exceed 12 months (see proposed new rule 13.13) and the CEO will not have any power to expel a member. Furthermore, any member suspended in accordance with these new rules may seek a further review of that decision from the Board. If so, the Board must then either follow the usual disciplinary process under Rule 13 or alternatively inform the member that the suspension imposed by the CEO ceases to have effect (see proposed new rule 13.14(d)). The Board's decision will then substitute whatever decision was made by the CEO.

Special Resolution 2

General Notes – Special Resolutions

• In accordance with Rule 42.1 of the current Constitution, each Special Resolution will be passed only if at least a three quarters majority of the members present and voting (being eligible to do so) vote in favour of the resolution.

• In accordance with Rule 8.3 of the current Constitution, financial Full Club members and Life members (who were previously Full Club members at the date of election to Life membership) of the Club are entitled to vote on the Special Resolution. Proxy voting is not permitted and employees are prohibited from voting under the Registered Clubs Act.

• Members will be given a reasonable opportunity to speak and ask questions about the Special Resolutions at the Annual General Meeting.

• Each Special Resolution must be considered as a whole and the substance of the resolutions cannot be amended by motions from the floor of the meeting.

• • Existing clause 6.10(c) provides that a person may only be admitted as a Temporary member of the Club if the person's permanent place of residence in New South Wales is not less than a distance proposed by the Board (provided that such distance is not less than 5km from the Club's premises).

• The NSW Government recently passed the Vibrancy Reforms, which abolished the deemed rule contained in section 30(3B) of the Registered Clubs Act (which applied to all registered clubs) that persons are only eligible to attend as temporary members of a registered club if they reside a minimum of 5km from the premises of the registered club they are attending.

• If Special Resolution 2 is passed, existing clause 6.10(c) will be deleted. This will remove the requirement for a person that lives within 5km of the Club's premises from having to become a member of the Club prior to being able to access the Club's premises. The amendment is consistent with the changes to the Registered Clubs Act as part of the NSW Government's Vibrancy Reforms

Probus is an association of active retirees who join together in Clubs, the basic purpose of which is to provide regular opportunities to keep their minds active, expand their interests and enjoy the fellowship of new friends.

The Starbright Band is a four-piece band with drums, bass, keyboard and guitar. They cover many styles of music such as Disco, Ballroom, Pop, R&B and Rock & Roll. The music is performed in many languages including Mandarin, Cantonese, Vietnamese Thai and English.

SUB-BRANCH PRESIDENT’S REPORT

Welcome, here we are in the third month of 2025, I trust all our members and their families had an enjoyable Christmas and New Year, it must be said the weather was great, now we are looking forward to a very busy but rewarding year with Padstow and Campsie Sub-Branches and all the members joining in the Commemorative program that has been put together for 2025 by the Committee.

The Kingsgrove Remembrance Day Service was held on Sunday 10th of November with the Cadets from TS Sirius and 233 St George Regional Cadet Unit making up the Catafalque Party and Guard. The Remembrance Day Address was given by Lt Col Schon Condon GCSJ RFD of the Royal Australian Artillery, the Sutherland Shire Band provided the music and the Sing Australia Choir providing the vocal accompaniment. A two-course lunch was provided by Poloy for our guests and members with the Franky and Wendy Duo providing the entertainment.

Padstow held their Remembrance Day Service on Monday 11th November at the Padstow RSL Sub-Branch Memorial and after the service refreshments were provided for the attendees at Padstow RSL Club, please note we welcome all Sub-Branch members to attend the Commemorative services. Check dates and times in your 2025 pocket calendar.

The next Kingsgrove Commemoration Service and luncheon is on Sunday 4th May in recognition of the Battle of the Coral Sea. The TS Sirius Cadets will provide the Catafalque Party and the Guard, and the Service will commence at 10.45am with medals to be worn. Please advise early if you are attending.

Since my last report the Sub-Branch Far Southern Metropolitan District Council (FSMDC) representatives has attended a meeting at Bankstown RSL, with the February meeting at Ingleburn RSL and March will be held at Kingsgrove RSL with Belfield RSL SubBranch as the hosts.

Being the first edition of the Burst for 2025, I will take the opportunity to thank Secretary Peter Merlino and Treasurer Peter Burgess for the enormous amount of work behind the scenes they do to make the Sub-Branch run efficiently, especially with the addition of Padstow and Campsie Sub-Branches. Vice Presidents Phil Pollard and Robert Talbot AM, a special welcome to our new Wellbeing Support Officer (WSO) Gail Revell who has joined us from Ingleburn RSL, thanks to all those Committee Members who involve themselves with running a very busy Sub-Branch.

Padstow Coordinator Trevor Young and Campsie Norma Christian are making sure their Sub-Branch members are all part of the one Sub-Branch while still ensuring they maintain their identity. A special mention for John Evans (President Padstow RSL Club) for all his assistance with the Commemorative Services at Padstow and with the coordination of the visits to the various schools and Nursing Homes for ANZAC and Remembrance Day Services.

The Sub-Branch Auxiliary had a very busy year and ran three raffles amongst the other many community functions, they raised much needed funds for four (4) veteran organizations with each receiving $4,000.

On behalf of the three Sub-Branches, we offer our condolences to the families and friends of all the Sub-Branch members who have passed away since the last report.

Happy New Year to you all from the Auxiliary. We are well into 2025 and commencing to slither around as we prepare for the year of the “Snake”.

Our Christmas raffle was very successful. Congratulations to all our winners.

Thanks to Sarah and her ladies in the office in assisting with the preparations of the prizes and to our auxiliary ladies, who once again dedicated time in selling of the tickets. Thank you.

The Auxiliary attended

• Campbelltown Auxiliary luncheon in October

• Padstow Sub-Branch Luncheon

• VP Day service at the Kokoda Walkway Memorial Track

• Assisted with BBQ’S for school students attending an excursion at Kokoda Walkway

• Attended the memorial service at the Club conducted by the Sub Branch

• Sub-Branch meetings.

In December the ladies prepared and delivered Welfare Christmas baskets to nine members of the Kingsgrove and Campsie Sub Branches and Auxiliary. These baskets were arranged for members who are either living at home or residing in aged care. We wish them all good health in 2025.

We are now in preparing prizes for our Mother’s Day raffle.

The Auxiliary meets every fourth Monday of the month at Kingsgrove RSL Club at 6.00pm. All welcome.

I hope everybody enjoyed Christmas and New Year and had a wonderful and healthy break and here it is the start of a New Year.

Our Darts, Golf and Snooker in-house sporting groups are always welcoming new members to join them in their respective sports.

So, on a Friday night after purchasing your fill your freezer raffle tickets go and say hello to Jeff and the team in the sports bar (Snooker club).

After the raffle is over and when you're going downstairs to collect your raffle prizes (Diggers lounge) stay and say hello to Cheryl and her team (Darts club).

On our noticeboard, there is the fixture card for our Golf club with Steve’s telephone number. Give him a call to inquire about joining (Golf club).

I would also like to congratulate the Darts club in taking out the Harry Fanning inter club challenge.

DARTS

The Darts club has recommenced their Friday nights interclub competition and is always looking for new members. So how about you join them on Friday nights for a fun evening.

GOLF

Golf have also started their New Year competition and will also welcome new members.

I would like to take this opportunity to congratulate Tony Blackmore on being awarded his Golf club life membership. Well deserved.

SNOOKER

The Snooker club have also begun their new season and are also welcoming new members. They have an addition of some new members that are participating in the NSW RSL Snooker Association, and after 4 rounds they are leading division 1.

I would like to take this opportunity to congratulate Jeff Costa on being presented with his Snooker club life membership, also well deserved.

FISHING

We are still looking for anyone that would be interested in restarting our Fishing club, please contact the Club reception for further details.

KINGSGROVE RSL SPORTING CLUBS

DARTS CLUB

Our social darts started back in January and is in full swing for 2025. We had our AGM in February and the committee stays the same as they hold office for two years now.

If you would like to come and join us on Friday nights we register between 7.30pm and 7.45pm, to start playing at 8pm. It is $10.00 to join the darts club and $5.00 to play each week. We have fun nights throughout the year, where 5 prizes are given out, and gifts for members who attend regularly for mother’s day, Easter, father’s day.

If you are 1st, 2nd or 3rd or booby prize contenders on Friday nights your money accumulates and is given out at our Christmas party at the end of the year. So if you are interested in joining our group, come down and see us in the Diggers room on Friday nights after the raffle.

We have an inter club competition with Ingleburn RSL and our first game is at Ingleburn at the end of March. Both clubs enjoy this competition and look forward to the day arriving. Many laughs are had by all who attend.

Our competition in the St. George & Sutherland Shire Darts Association has commenced and we are a few games into it. We only have one B Grade team in the current competition. One of our team, Luke Chan, threw 180 last week. Well done Luke.

Remember if you want to have fun come down and see us on Friday nights.

KINGSGROVE RSL COMMUNITY GROUP

The year has started on a busy note as the ladies have been knitting and crocheting for this year’s events. It is never too early when you have around 400 presents to do for Christmas.

Last year we delivered presents to four nursing homes and the residents appreciated what they received. Southhaven Aged Care gave us a morning tea on the day we delivered their presents and Casa Mia Aged Care gave us lunch and a show when we delivered their presents. We were spoilt and it was very much appreciated.

At our stall in November 2024 we raised money for our cause and we would like to thank everyone who purchased gifts on that day. We did have a big, big teddy bear on our stall and I can inform you it certainly went to a loving home. All monies raised go towards the residents in the four nursing homes we attend. Thanks once again for supporting us.

SNOOKER CLUB

We would like to thank the members for their donations which are left at the club for us. We are always looking for 8 ply wool so we can do our projects. We also take orders if any members want football items, scarfs, hats, blankets, cushions or even bears. Just ask at reception and we can get back to you.

If you would like to join our group ask for details at reception.

As Easter is approaching we would like to wish you all a happy and safe Easter.

KINGSGROVE RSL SPORTING CLUBS

After a very successful 2024, this year is shaping up to be an even better one, with our membership growing and our Friday night draw sheet full every week.

Our members enjoyed another fantastic Christmas party and our club champions were presented with their trophies and prize money.

We have entered a team in the NSW RSL Billiards and Snooker Association Monday night competition, captained by Fathey (Fred) Refai. After 4 rounds we are leading the field of 12 teams.

We have also entered a team in the Sutherland Shire Association Tuesday night competition , Captained by Michael Chachaty commencing mid-March. This competition consists of 20 teams and is arguably one of the best in Sydney.

Draws for these competitions will be posted on the notice board in the Sports bar for those interested in watching our teams play.

On Sunday the 2nd of February we ran a pool competition for something different and it was a great day with food and drinks supplied. The winner on the day was Paul Katioulis.

Our Friday night social competition stars at 6pm (names must be in by 5:45pm) $5 entry fee 1st prize $50 R/U $25

All games are handicapped to make it fair for everyone, we cater to the beginners and experienced alike.

So, If any club member that is interested in joining our snooker club, come down on a Friday and be part of the fun, we have a great bunch of members and you will be made to feel welcome.

Thanks again committee Troy, Greg, Nuri, Steve and Michael for their help so far this year and to the club for the upkeep of the tables.
