Northland Country Club Mission Statement

Northland Country Club will exceed members’ and guests’ expectations each day by providing the best experience possible. To accomplish this mission, we will: 1. Provide and maintain a golf facility that is highly recognized in the state of Minnesota. 2. Develop, encourage, and support our management team and staff.

3. Assure that the Board of Directors communicates goals and objectives with members and staff, as well as listens and responds to the needs of members. 4. Operate the Club as a business in a fiscally responsible manner.

CLUBHOUSE RULES

These Clubhouse Rules are established for Northland Country Club (the “Club”) by Northland Country Club, Inc. (“NCC”) to protect the Club and to promote the health, safety, welfare and enjoyment of all using the Club Facilities and while on the Club premises. NCC owns and operates the Club and has engaged Hampton Golf, Inc. (“Hampton Golf”) to operate the Club. References in these Clubhouse Rules to the “Club” in regard to decision making or the exercise of discretion shall be deemed to refer to NCC and Hampton Golf, and NCC and Hampton Golf are hereafter sometimes referred to as the “Club.” In the interest of making the use of the Club Facilities a pleasurable experience for all persons and to protect the Club Facilities, the Club may amend these Clubhouse Rules from time to time, in its sole discretion, without notice to the members or other persons entitled to use the Club.

1. Guests – All guests must comply with these Clubhouse Rules and all other governing documents of the Club. All family members and guests of a member must be accompanied by the sponsoring member while using the Club Facilities, unless the sponsoring member notifies the appropriate personnel of the Club in advance that their family members and/or guests will be using the Club Facilities on a particular date. Any person using the Club Facilities as a guest must be registered by the sponsoring member with the Club. The Club reserves the right to request identification by each guest. Members are requested to exercise discretion respecting the frequency with which they invite a particular guest. The Club may allow, disallow or restrict guests in the Club’s sole discretion. In addition, the Club may allow use of the Club Facilities by guests on such terms, conditions, rates, and with such privileges as the Club determines in its sole discretion, from time to time. Guests and their sponsoring member will be jointly and severally liable for all guest fees and charges. Additionally, the Club reserves the right, in its sole discretion, to set a maximum number of times a member’s guest can use the Club Facilities on an annual basis.

2. Attire – No member or their guest will be permitted in the clubhouse unless appropriately attired. It isnotappropriatetowearhatsorcapsintheclubhouse. Theexceptiontotheruleis theLockerRooms. Persons who are barefoot or wearing swimwear shall not be considered appropriately attired. The attire for lunch and dinner in the Fireside Dining Room will be “Country Club Casual.” Casual wear must be appropriate and in good taste.

3. Locker Rooms – The locker rooms are reserved for the use of adult golf members and guests. Members are expected to instruct their children that access to the locker rooms is limited to adult golf members. Membership privileges may be withdrawn without refund of activity dues from any member’s children who abuse these Clubhouse Rules. NCC is not responsible for lost or stolen articles. NCC will accept responsibility only for those items of personal property specifically left in thecareoftheClubandforwhichasignedreceipthasbeengiventothemember. Lockersareprovided solely for the convenience of members and their guests. Property of any value should not be left unattended by members.

Each member and each person using the Club Facilities and the equipment and amenities of the Club is required to take precautions against theft and not to encourage theft by failing to properly secure all articles of personal property. In consideration of the privileges herein described, each member and each person using the Club Facilities and the equipment and amenities of the Club assumes all risk of loss and agrees that NCC and Hampton Golf are not responsible for liability for articles damaged, lost or stolen in or about the Club premises or the Club Facilities, or left in lockers, or for loss or damage to any property, including without limitation, automobiles and the contents thereof. Any storage facilities or lockers provided at the Club are offered as a convenience to members and others, and NCC and Hampton Golf do not represent or warrant that the lockers or storage facilities are safe and secure, nor guarantee that any items placed therein are or will be secure.

TENNIS COURT RULES

1. Courts #1 and #2 will be available for play during scheduled hours except when scheduled for special events, outside events, group or private lessons.

2. Established hours for the use of courts for lessons and group events will be posted on the Fore Tees app. No reservations may be made at those times.

3. A 10.00 guest fee or $30.00 per family shall be charged to any member accompanied by a guest. There must be a member present in each tennis group of four (4) or less.

4. Reservations for the tennis & pickleball courts may be made through the ForeTees app.

5. Court reservations shall be limited to one hour for singles and two (2) hours for doubles. Duplicating a reservation for a succeeding hour is not permitted.

6. The club has a ball machine available on a first come basis.

7. Adults shall always have priority after 4:00 p.m. on weekdays and on Saturday, Sunday and holidays.

8. Any reserved court not occupied by those reserving it within ten (10) minutes following the starting time will be forfeited to those present and waiting.

9. Only children of members eligible to use the tennis facilities shall be entitled to reserve tennis courts at times permitted for play by Junior Members.

10. Proper tennis attire shall be always worn. Only flat-soled tennis shoes shall be worn on the courts. No street shoes, running shoes, golf shoes or shoes with black soles.

GOLF COURSE RULES & POLICIES

1. Member Access

a. The following classifications are entitled to full golf privileges:

i. Family Golf

ii. Single Golf

iii. Young Executive Family

iv. Corporate Family

v. Rule of 100

vi. Senior Family

vii. Senior Single

viii. National

ix. Junior

b. The following classifications are not entitled to golf privileges:

i. Social

ii. Pool & Tennis

c. Dependent Members (Children of Members)

i. Children of Members are entitled to golf privileges until the age of 24 (23 & younger).

ii. Dependent Member Course Access

1. Dependent Members that are accompanied by an adult may make a tee time & play at any time.

2. Dependent Members ages 13 or older, that are not accompanied by an adult may make a tee time and play at any time outside of the exempt times listed below:

a. Weekends & Holidays before 10:00 am

ii. It is required that all Guest names be listed on the tee sheet when making a tee time.

iii. Members may host up to seven (7) Guests during periods of low utilization. Tee times must not interfere with other Members’ access to available times. These requests must be approved by the Head Golf Professional and adhere to the following guidelines:

1. All Unaccompanied Guest groups must be accompanied by one (1) Forecaddie when available.

2. Member is responsible for pace of play for both groups.

3. Guest fees for Sponsored Unaccompanied groups are listed in the Golf Rates & Fees Section.

iv. Guests are permitted to play Northland no more than five (5) times per year.

1. Club Tournaments will count as one (1) round played.

v. Replay Rounds

1. Accompanied Guests who play twice on the same day will be charged a discounted greens fee for their second round played. The rate is listed in the Golf Rates & Fees Section.

2. Replay Rounds will count towards the rounds limit.

b. Family Guests

i. A Family Guest is defined as parents, siblings, adult grandchildren, adult children, and equivalent in-laws.

ii. Family Guests must be hosted by the family Member to receive the family rate.

1. The Family Guest rate is listed in the Golf Rates & Fees Section.

c. Junior Guests

i. Junior Guests must be ages 18 or younger.

ii. The Junior Guest Rate is listed in the Golf Rates & Fees Section.

d. Unaccompanied Guest Play

i. Sponsored Unaccompanied

1. Members are permitted to sponsor Guests to play Northland without being on property. All requests will go through the Head Golf Professional. The HP will use their best judgement to determine if unaccompanied play will affect Members’ access to the course.

2. Members are limited to one (1) such foursome each season.

3. To assist with pace of play, Unaccompanied Guest Groups must utilize a Forecaddie when available.

ii. Non-Sponsored Unaccompanied

1. All requests will go through the Head Golf Professional. The HP will use their best judgement to determine if unaccompanied play will affect Members’ access to the course.

2. Tee Times may not be made prior to Members having access to the tee sheet.

3. Groups will be accompanied by a Forecaddie when available.

e. Charity Round Requests

i. Rounds of golf that are donated must be bought and paid for by a Member of the Club. This is to ensure that the group will be accompanied by the Member or use their one (1) Sponsored Unaccompanied round.

1. When accompanying the Guests, Members may use their Guest Passes or be billed the associated Guest & Cart Fees.

f. Guest Passes

i. All Members are eligible to purchase guest passes in the following increments:

1. 6 Guest Passes

2. 12 Guest Passes

3. Unlimited Guest Pass

a. Pricing can be found in the Golf Rates & Fees Section.

ii. Members who desire to purchase Guest Passes must do so by May 15th each season.

iii. Guest Passes are not transferable between Members.

iv. Guest Passes may only be utilized when the Member is in the Foursome (Fivesome).

1. For example, if a member has guests in another tee time, guest passes/unlimited guest pass will not be utilized.

v. Guest Passes expire at the end of each golf season and will not “roll-over” to the next season.

g. Guest Rates

i. Please see the Golf Rates & Fees Section.

4. Pace of Play

a. The Golf Committee feels strongly that a good pace of play is an integral component of the golf experience.

i. Expectations:

1. Each Member is responsible for maintaining the proper pace of play and position on the golf course. Groups with an assigned tee time are expected to play in four (4) hours or less. This policy applies to Guest rounds, season long matches and leagues. During Member events it is our goal to meet these expectations but realize that it will be a challenge.

ii. Enforcement & Consequences:

1. Each Member who is part of a group recording a “slow time” (defined as 4 hours and 20 minutes or longer) will receive a letter from the Golf Committee Chair. Members in the groups playing behind the “slow play” group will not receive letters if they maintain proper position behind the group ahead. The first letter will be a written warning. A second “slow time” within the same calendar year of a written warning letter will result in a two-week restriction on playing privileges before 3:00 pm.

iii. Pace of Play Best Practices:

1. Members are encouraged to play ready golf at all times. Always carry an extra ball. Play from the appropriate tees. If you reach your maximum allowable score (net double bogey), pick up.

5. Modes of Transportation

a. Caddie Requirements & Fees

i. All players must use a Golf Cart or Caddie (when available) on Saturday, Sunday, and National Holidays before 10:00 a.m. from the Saturday of Memorial Day weekend through Labor Day.

1. The club strongly encourages members and guests to utilize caddies during all League Play and Club Events.

ii. Caddies must be paid directly by the Member in cash or electronic payment to maintain their independent contractor status.

iii. It is requested that Members fill out the Caddie comment cards following each round, so that we can train & promote Caddies.

b. Golf Cart Policies & Fees

i. Golf Cart operators must adhere to the following rules:

1. Only licensed drivers are permitted to operate Golf Carts.

2. Under no circumstances are passengers permitted on the back of a Golf Cart.

3. Golf Carts must be kept on the path, when possible; do not park on the grass just off the path.

4. Golf Carts must remain at least 30 feet from all greens and tee boxes.

5. Please drive Golf Carts in fairway rather than rough whenever possible.

6. It is prohibited to drive Golf Carts through hazards or native grass areas.

7. To preserve course conditions, NCC Golf & Grounds Staff reserve the right to suspend Golf Cart usage as needed.

8. The Green Committee and the Board of Directors may prohibit the use of any Golf Cart on the course by any Member or person who fails to use the vehicle in a reasonable manner consistent with the rules of recommended use for the protection of persons and property.

9. Violations of any Golf Cart rules may result in loss of membership privileges and/or other disciplinary measures by the Club, as determined by the Club in its sole discretion.

ii. Fees:

1. Golf Cart Fees are billed per player.

2. Junior Members & Guests 12 years old & younger will not be charged a cart fee. All Juniors 13 & Older are subject to the golf cart fees.

3. The rates are listed in the Golf Rates & Fees Section.

iii. Member-owned Golf Carts

1. No Member-owned Golf Carts shall be operated on Club property unless the Member-owner thereof has:

a. Registered the Golf Cart with the Club.

b. Paid the Trail Fee to the Club, on or before May 15th in each year, an annual Trail Fee of Eight Hundred Dollars ($800.00); and

c. Provided proof of insurance or other financial responsibility for privately owned Golf Carts used on Club property.

d. Follows all policies listed above, including the requirement for licensed drivers only.

c. Pushcarts

i. Pushcarts are available for Members & Guests to rent. The rate is listed in the Golf Rates & Fees Section.

6. Locker Room & Fees

a. Lockers are available on a first-come-first-serve basis. Inquire with the GM to reserve a locker.

i. Men’s Locker Fee is $225 for a full locker and $150 for a half locker.

ii. Ladies’ Locker Fee is $150 for a full locker and $100 for a half locker.

7. Bag Room & Club Storage

a. Golf Members (excluding National & Junior Memberships) are allowed to store one (1) Golf Bag at no charge (included in the annual golf fee).

b. Golf Members may choose to store additional golf bags at the cost of $100 per bag.

c. There is limited space available for Pushcart storage. The fee is $100 to store a personal Pushcart.

8. Hours of Operation

a. The Golf Shop & Practice Facility will open one half hour prior to the first tee time each day.

i. Practice Facility will close one half-hour earlier than normal hours on Sunday Evenings.

b. Monday Golf

i. The Club reserves the option to close the golf course on specific Mondays for the purposes of holding outside golf events or completing necessary maintenance practices on the golf course.

ii. When the Golf Course is open on Mondays, the first tee time will be noon (12:00 pm). The Bag Room, Golf Shop and Practice Facilities will open 30 minutes prior to the first tee time.

c. Monday Holidays

i. The Tuesday following a Monday holiday will be treated as a Monday with the golf course opening at noon.

Golf Department Hours of Operations

9. Dress Code

a. Golf Attire: This policy applies to attire worn on the Golf Course, Driving Range, and Practice Putting Green.

i. Men: Golf-specific attire, including collared golf shirts, blade-collared golf shirts, Bermuda-length golf shorts, and golf pants. Golf-specific hoodies and golfspecific drawstring pants or joggers are acceptable. Golf shirts must be tucked in.

ii. Women: Golf-specific attire, including collared golf shirts, blade-collared golf shirts, and golf pants, dresses, skirts, and skorts of appropriate length. Sleeveless golf shirts are acceptable provided they have a collar, as are golf-specific hoodies and golf-specific drawstring pants or joggers. Yoga pants or leggings are allowed.

iii. Junior boys and girls are expected to wear attire consistent with adult Members and appropriate for golf.

iv. All: Golf Shoes must have non-metal spikes. Hats & visors must be worn forwards.

b. Not Permitted: Denim, sweatshirts (including non-golf hoodies), sweatpants, non-golf joggers, track or warm-up pants, tank tops, t-shirts, halter tops, tube tops, swimsuits, cargo pants or shorts with non-flat cargo pockets.

c. Members are responsible for their Guests’ adherence to the dress code.

d. Interpretation and enforcement of this policy is within the discretion of the Professional Golf Staff.

10. Electronics & Music

a. Music is permitted but should only be heard within your group. If asked by a fellow Member or staff member to turn the volume down, it is expected that the group abides by the request.

b. Use of cellular devices on the course is discouraged. If use of the device is required, please keep conversations brief, so that it is not to disrupt pace of play.

11. Golf Course Care

a. Golfers must replace and press down all divots or fill divots and repair ball marks. Please do not climb the steep face of bunkers, enter, and exit the bunker at the lowest point and always smooth or rake out your footprints. Rakes are to be left inside the bunkers.

12. Handicaps

a. All Members are strongly encouraged to maintain a USGA handicap at Northland. To compete in NCC Club Events, Members or Guests must have a USGA handicap. If a Member or Guest does not have a handicap, the participant will play to a 0.

b. All adjusted scores for eighteen (18) hole rounds and nine (9) hole rounds must be posted in the handicap system and adjusted per USGA rules.

13. Club Championships

a. Mr. & Mrs. Club Championship

i. Husbands and wives having established eighteen-hole handicaps at the Club are eligible to compete for the Harry Legg Mr. & Mrs. Championship trophy. Winners are determined on the basis of low net score for the couple. Their names will be engraved on the trophy which they may retain until the next annual championship. This traveling trophy must not be removed from the City of Duluth area. In the event it is won by a National Member or Resident Member who subsequently moves from the community, it will be properly engraved and kept in the trophy case at the Club.

14. Hole-in-One Policy

a. When a member makes a hole-in-one, each golf privileged Membership is charged $4.00, and the following protocol is in place:

i. Each Golf Member on property the day of a hole-in-one receives one complimentary drink.

ii. Member who made the hole-in-one will get their accomplishment noted on the hole-in-one plaque and an invitation to the Northland Champions Dinner.

iii. Remaining Proceeds from the Hole-In-One Fund are directed to the Northland Champions Dinner Fund.

iv. Hole-in-one protocol does not apply to Underage Dependent Members or Guests.

15. Severe Weather

a. Northland Country Club employs a Lightning Detection Service to notify staff when there is a strike within 10 miles of the Club. When there is a strike, the system prompts staff to sound air horns.

GOLF SIMULATOR RULES & POLICIES

A. Hours of Operation

a. 2024-25 Simulator Availability: November 8th, 2024, to May 4th, 2025

b. During the winter months, the NCC Simulator will be open Tuesday–Sunday. Please note the last reservation will be one half-hour before closing. The simulator will be closed on holidays as determined by the club staff.

Tuesday – Thursday: 9:00 am to 9:00 pm Friday & Saturday: 9:00 am to 10:00 pm Sunday: 9:00 am to 7:00 pm

a. Reservations are available seven (7) days in advance via ForeTees or by calling The Golf Shop under the following guidelines:

• Members may not have more than two (2) reservations booked at any given time.

• Reservations may be made for the simulator in 30-minute intervals.

• A single user may sign-up for a maximum of 1 hour. Packages Fee

Any primary Member between the ages of 18 and 26, both inclusive, can have the benefits of a Full Golf Membership.

National

The National Membership grants full golf privileges to those who do not own, lease, rent, or otherwise possess or maintain a home within a 100-mile radius of the Club. To qualify, no Member (or family member) can occupy a Residence within the 100-mile radius for more than 30 days between May 1 and September 30 or more than 60 days during any calendar year, irrespective of the place of legal Residence.

Pool & Tennis

Pool & Tennis Members have full access to the outdoor heated, zero-entry pool and the two lighted Tennis Courts. You can sign up for group or private lessons with one of the Tennis Pros or the lifeguardcertified Pool staff. You will also enjoy delicious lunches, dinners, and cocktails in any of our dining areas, with full access to private dining and meeting spaces, complimentary event-planning personnel, and invitations to special Member-only events throughout the year. Pool & Tennis Members may also sign up for a private lesson on the golf practice tee, though this Membership class does not allow rounds of golf, driving range access, or league play.

Social

Social Members can experience the excellent cuisine prepared by one of the best Culinary Teams in the State. You and your family can enjoy impeccable service, casual dining, spectacular holiday buffets, and fun special events year-round. You can also sign up for a private lesson on the golf practice tee, though this Membership class does not allow rounds of golf, driving range access, league play, youth golf programs, or use of the tennis or pool facilities.

MEMBER CODE OF CONDUCT

The Member Rules and Regulations govern the operation of Northland Country Club. (the “Club”) and are agreed to by all members when they join the Club. The Code of Conduct is an integral part of the Rules and Regulations and establishes guiding principles for compliance with these provisions. The Code is also critical in setting expectations for acceptable behavior to ensure the peaceful enjoyment of the Club by all, to protect the welfare of our employees and to achieve our vision of being one of the finest golf communities.

The Code of Conduct embraces a set of core and shared values focusing on our members, our people, and our Club. At the core of our values are integrity, teamwork, mutual respect, civil behavior, courtesy, and personal responsibility. Through a common set of shared values, we will enhance our commitment to excellence, provide the best possible membership experience, ensure that we continue to attract and retain high performing employees, protect the reputation of the Club, and create a financially sustainable future for the Club. Our values embody:

Our Members: We treat each other with courtesy, dignity, and respect. We welcome, foster, and celebrate our diversity. We rely on one another’s good judgment to uphold a high standard of integrity for our Club. We expect all members to abide by both the letter and spirit of our Code of Conduct.

Our Employees: Our people are one of our most important assets. Our employees and our members treat each other with courtesy, dignity, and respect. We emphasize teamwork to produce the best results. We value our employees’ knowledge, enthusiasm, and spirit to serve our

common and because their resolution is fact intensive and dependent upon the context in which they occur.

Conduct That Interferes with the Operations of the Club

As stated in the Club Bylaws and the Membership Agreement, Club memberships are offered exclusively for the purpose of permitting the use of the Club’s facilities. The operations of the Club are overseen by the elected Board of Directors through the Club Management team that runs the Club. Members have no direct role in running the Club.

The foregoing is not intended as an exhaustive list of the types of unbecoming conduct that could potentially interfere with the use and enjoyment of Club facilities by other Members and that could violate the Code Rules and Regulations. Members of the Club are not permitted to interfere with the operation of the Club. In addition, it is the role of Club Management, with support of the Board, to define the operating policies and practices deemed most beneficial to the enjoyment of the entire membership when operating the facilities and programs. The following are examples of conduct that does not comply with the Rules and Regulations:

• Attempting to direct, influence, manage or interfere with an employee’s activities

• Encouraging an employee to do anything that violates Club rules or policies

• Interfering with, contacting, or attempting to influence by any means the Club service providers, vendors, or other entities doing business with the Club, including but not limited to, individuals or entities that provide any sort of service, whether professional or otherwise, or products to the Club

• Interfering with, contacting, or attempting to influence the Club’s dealings with any entity having a material relationship with the Club, including but not limited to, the PGA, Golf Course Superintendents Association of America, or other golf organizations, club or course rating services, or national club organizations such as National Golf Foundation, National Club Association and Club Managers Association of America

• Interfering with or attempting to negatively affect the Club’s relationship or reputation with other clubs, news organizations, publications or other interested third parties that might tarnish the Club’s reputation and brand

Conduct That Impairs Members’ Enjoyment of the Club

Members have access to the Club facilities and activities, according to their respective membership category, and are entitled to their peaceful enjoyment of these facilities. This is a core principle of the Club. Conduct by a Member that interrupts or interferes with other Members’ peaceful enjoyment is conduct unbecoming a Member, as it displays disrespect for this important principle. It may also cause harm to the reputation of the Club when such conduct involves families or guests or is observed when interacting with other clubs both on and off property.

Accordingly, the following are illustrative examples of conduct that violate the Code of Conduct and/or Rules and Regulations:

• Engaging in rude, vulgar, threatening, harassing, or otherwise offensive or inappropriate behavior that disturbs others, interferes with the planning, or conduct of a Club activity or event, or disturbs the enjoyment of the Club by Members and guests

• Using rude, vulgar, threatening, harassing, defamatory, ridiculing, or otherwise offensive or inappropriate language (written or oral) or using similarly offensive or inappropriate gestures in the presence of Members and guests

• Interfering with or disrupting the enjoyment of membership in, or use of, the Club by other Members and guests, during participation in a Club activity or event, or in situations (both on and off Club property) where such conduct is likely to create a hostile environment.

The foregoing is not intended as an exhaustive list of the types of unbecoming conduct that could potentially interfere with the use and enjoyment of Club facilities by other Members and that could violate the Code Rules and Regulations. Club activities are generally held by and under the supervision of Club Management and employees. If, during the course of these activities, Club Management or employees observe unbecoming conduct, they may request the Member(s) involved to refrain from such conduct. In the event the Member is unresponsive to requests to restrain his or her actions, the Member may be referred to the Board to seek its intervention. The referral may be by another affected Member, employee or by Club Management.

Inappropriate Conduct Toward Club Employees

Inappropriate behavior by a Member, when directed at employees and Management will not be tolerated. Accordingly, the Club will go to great lengths to protect its employees when Members act in an unbecoming or threatening manner. The foregoing is not intended as an exhaustive list of the types of unbecoming conduct that could potentially interfere with the use and enjoyment of Club facilities by other Members and that could violate the Code Rules and Regulations. The following are examples of conduct that violate the Rules and Regulations related to employees and Club Management:

• Threatening, disparaging, or reprimanding an individual Club employee in any way to include verbal, written, by actions or attitude, or by other means

• Engaging in any conduct generally accepted as harassment, sexual or otherwise, or by creating a hostile workplace

• Attempting to direct, influence, manage or interfere with an employee’s activities

• Encouraging an employee to do anything that violates Club rules or policies

• Using rude, vulgar, threatening, harassing, defamatory, ridiculing, or otherwise offensive or inappropriate language (written or oral) or using similarly offensive or inappropriate gestures toward or in the presence of Club employees

• Engaging in inappropriate excessive relationship building with employees such that an employee is uncomfortable in serving that Member.

If a Member has a concern with any aspect of a Club employee’s performance of his duties, the Member should (as provided in the Bylaws) express those concerns to Club Management. If the concerns relate to the performance of Management, those concerns should be expressed to the Board President.

Failure to Comply with Provisions of the Club Bylaws and/or Rules and Regulations, Including but Not Limited to:

• Club use in violation of the membership agreement

• Failing to properly authorize guests using Club facilities

• Aiding third parties to gain unauthorized access to the Club

• Hosting guests in violation of guest policies

• Failing to observe appropriate dress codes

Shareholders in good standing. No other class of members shall have any right, title or interest in such property.

The foregoing Amended Articles of Incorporation supersede and take the place of existing Amended Articles of Incorporation and all amendments thereto.
