WHAT IS ESG?

ESG ("Environmental, Social and Governance") emerged in 2004 from an initiative by the UN and the World Bank, which sought to summarize the three main areas that are fundamental for the proper and sustainable economic growth of organizations.

A business model guided by ESG (Environmental, Social, and Governance) strategies aims to create sustainable value for all stakeholders.

Our business model robustly integrates ESG strategies, based on principles that prioritize environmental sustainability, social responsibility, and ethical governance. We adopt an approach that not only targets profit but also considers the impact of our operations on the environment and communities.

Our premises include implementing clean technologies to reduce our environmental footprint, promoting fair and inclusive labor practices, and committing to transparent and responsible governance. The Compliance Program was implemented in the Zopone Group with the commitment and responsibility to compete in its businesses with ethics and probity (in the correct manner), observing the laws in force in the country and also the internal rules of the Company.

In accordance with best business practices, it is in constant search for the consolidation of the Compliance Program, having the commitment to compete ethically and legally in its relations with government officials (or third parties who relate to government officials), always prioritizing ethics and probity in its business, whether by Employees, clients, suppliers, or government agencies.

Thus, the Zopone Group acts exclusively within the scope of the applicable law in force, being expressly contrary to the practice of acts harmful to the public administration, national or foreign, understood as all those that threaten the national or foreign public patrimony, against principles of public administration or against the international commitments assumed by Brazil.

WHAT DOES THE TERM COMPLIANCE MEAN? (CONFORMITY).

It means acting in accordance with a rule, an internal instruction, a command or an order, that is, being in Compliance means being in conformity with external and internal laws and regulations.

ANTI-CORRUPTION MANAGEMENT

Corruption is an evil that discredits institutions and is an enemy of those who work within the law and seek fair and transparent competition. Aiming to hold accountable companies that are not working in conformity with the laws and regulations, the Anti-Corruption Law (Law 12,846/13) came into force in Brazil (Jan/2014) with the purpose of penalizing the corrupt company, the one that practices a harmful act against the public administration.

RELATIONSHIP WITH SUPPLIERS AND CLIENTS

The Zopone Group relates to its suppliers and clients based on legal, efficient, and fair commercial practices, treating them with respect and honesty, without obtaining advantages and without any impositions from the parties. Employees must not, in the performance of their function, offer or accept gifts, gratuities, presents, trips, money, or any type of advantage, with a view to obtaining or granting undue privileges to the person or company.

Both the selection and the contracting of our suppliers of goods and services are based on technical, objective, and pre-established criteria, necessarily covering suitability, integrity, technical and supply capacity, measurable by the quality, deadlines, and prices practiced for the delivery of the contract's scope.

DATA PROTECTION AND PRIVACY POLICY

The Zopone Group's policy on the General Data Protection Law (LGPD – Lei Geral de Proteção de Dados) demonstrates the commitment to the privacy and protection of partner and client data, and is in constant construction of new processes, further reinforcing this purpose. The Privacy Program applies to all companies of the Zopone Group, understanding as such all those listed on the official Zopone website, at the address www.zopone.com.br, encompassing all its services and businesses.

In compliance with the applicable regulation, regarding the processing of personal data, Zopone respects and guarantees the user the possibility of submitting requests based on the following rights:

• confirmation of the existence of personal data processing;

• access to the data;

• correction of incomplete, inaccurate, or outdated data;

• anonymization, blocking, or elimination of unnecessary, excessive, or non-compliant data;

• portability of their data to another service or product provider, upon express request by the user;

• elimination of data processed with the user's consent;

• revocation of consent;

• protection and security of the collected data.

The Group has established the Information Security Policy and implemented the Information Security Management System (ISMS), with the objective of meeting the compliance requirements according to the ISO 27001; ISO 27002 standards and in compliance with the General Data Protection Law (LGPD).

To ensure that the saved information is also correct. In this context, integrity also aims to ensure that this information is not altered by alternative means.

4. AUTHENTICITY

Authenticity aims to ensure that the data truly belongs to the announced source. Furthermore, this pillar also ensures that they were not altered during the process.

5. LEGALITY

Legality is a legal principle that determines that communication must follow the country's laws. When planning information security and cybersecurity strategies, the organization seeks to adapt its actions to the General Data Protection Law (LGPD).

In 2024, the Zopone Group prioritized actions for the qualification and permanent development of its employees, totaling 38,000 hours of training for its various areas, such as: administrative, engineering, technical, and operational.

OCCUPATIONAL HEALTH AND SAFETY

At the Zopone Group, we have the continuous objective of a "zero accident" goal. For this, we have a certified Occupational Health and Safety Management System in accordance with the ISO 45001:2018 guidelines, and we also meet the current regulatory requirements.

The monitoring of occupational safety indicators, such as frequency and severity rates, allows for the tracking of the effectiveness of actions. Audits are periodically carried out with the objective of identifying failures in risk management and non-compliance with norms and procedures. Non-compliance with the policy, procedures, internal norms, and safety recommendations are subject to penalties established internally.

SOCIAL PROJECTS

We exercise our citizenship and positively impact the lives of people wherever we go. The Zopone Group has assumed its role and social commitment to contribute to a better future for children and adolescents by promoting sports as a tool for citizenship, through the Bauruense Association of Aquatic Sports (ABDA). The Association's mission is to train athletes in swimming, water polo, athletics, and music. Its main objective has been the inclusion of low-income children, keeping them away from crime and marginality through sports.

Our high-performance students, a group of about 500 participants in various modalities, receive nutritional, psychological, academic, and physical support, completely free of charge. In the educational part, today, ABDA has 120 scholarship athletes who, by virtue of their commitment and good behavior, are benefited with study scholarships in educational institutions in Bauru.

Of these 120 scholarship holders, 60 are university students in the most varied areas. Over more than a decade of operation, dozens of athletes have already graduated and now work in the job market in their professions, completing the cycle of citizen formation provided by ABDA.

In 2024, we reached 4,500 children and adolescents benefited by this project, educating them on the basic concepts of citizenship, teamwork, and affective, social, cognitive, and cultural aspects, such as: learning to compete, following rules and regulations, having interpersonal relationships, increasing the circle of friendships, respecting others, and having a sense of responsibility and solidarity.

Through an initiative of the Zopone Group directors, aiming to use sport as a tool allied to education to promote the transformation of society through the integral development of children and adolescents.

With more than 120 scholarship holders, we guarantee that our students have a future both inside and outside of sports.

SOCIAL AND ENVIRONMENTAL DIMENSION

The Environmental Policy of the Zopone Group establishes the objectives and goals to be met, action plans, criteria, performance indicators, management processes, evaluation, monitoring, and review.

The focus is to ensure, first, that all legal requirements related to the performance of the Company's operations are met and, subsequently, that they are improved.

ZOPONE GROUP'S ENVIRONMENTAL POLICY

The Zopone Group has a policy focused on the social and environmental aspects of its projects, seeking to maintain an ethical, respectful, and healthy relationship with the surrounding communities, the environment, and society in general. The Zopone Group's policy establishes the objectives and goals to be met, action plans, performance indicator criteria, management processes, evaluation, monitoring, and review.

Endowed with a broad vision that goes beyond the economic-operational and financial focus, the Company understands that its organizational success is also linked to its socio-environmental performance and, for this reason, considers the management of such aspects to be strategic. The Environmental Policy is the central document of the Environmental Management System (EMS) from which all managerial and operational actions related to the group's environmental aspects are derived.

CONSCIOUS USE OF NATURAL RESOURCES

At our work sites, we have several informational banners, which raise awareness among employees to use natural resources in the best possible way, as well as environmental preservation, so that future generations can also benefit.

POLLUTION PREVENTION

At our work sites, we have devices for pollution prevention, such as containment basins for fuel tanks and power generators. For these devices, Mitigation kits are available in case of spills, for which employees are trained and qualified theoretically and practically to perform containment, segregation, and subsequently forward the generated waste to its final destination.

EQUIPMENT VERIFICATION

The equipment is periodically inspected by the Environment department in conjunction with the Transport department. In this inspection, we ensure that the equipment does not have leaks that could contaminate the soil, and on the same occasion, the smoke density is verified using five shades of tonality through the Ringelmann scale.

WASTE MANAGEMENT PROGRAM

The Waste Management Program's central objective is to define guidelines for the management of solid waste resulting from operational processes (collection, handling and packaging, temporary storage, transport, treatment, and final disposal).

Among the specific objectives, the following stand out:

• Compliance with the requirements of current legislation;

• The elimination/minimization of environmental risks, pollution prevention, preservation of natural resources, and meeting the needs and expectations of interested parties.

• At our work sites, we recycle solid waste, crushing hardened concrete waste, which can be reused in the production of concrete with or without structural function, as ballast, or in access maintenance.

WASTE SEGREGATION

At our work sites, we perform proper waste segregation, always separating each type into bays identified with signs and colors.

The Zopone Group has an Environmental Management System certified in compliance with ISO 14001, establishing guidelines based on operational control, monitoring, and evaluation actions of the environmental performance of its entire operation, prioritizing:

COMMITMENT TO CLIMATE CHANGE AND GLOBAL WARMING

The Zopone Group has directed its strategies towards sustainable development objectives, aiming to contribute to the mitigation of climate change, reduction of CO² gas emissions, and is committed to contributing to the reduction of Greenhouse Gas (GHG) emissions.

In 2024, the Group monitored 100% of its fleet, reaching the mark of 1,095 vehicles, including light and heavy vehicles. The Group also adopts a strategy of Preventive Maintenance and Programmed Fleet Renewal, aiming to reduce pollution and ensure greater energy efficiency.

Notes: The values presented follow the official factors of the IPCC and MCTI.

Ethanol is considered a biofuel, but it still emits CO² upon combustion and is included in the total.

Diesel:

Volume consumed: 860,528 liters

Emission factor: 2.68 kg CO²/L

Calculation: 860,528 x 2.68 = 2,306,215.04 kg

Gasolina:

Volume consumed: 1,703.79 liters

Emission factor: 2.32 kg CO²/L

= 2,306.22

Calculation: 1,703.79 x 2.32 = 3,952.79 kg CO² = 3.95 tCO²

Ethanol (alcohol):

Volume consumed: 21,201 liters

Emission factor: 0.75 kg CO²/L

Calculation: 21,201 x 0.75 = 15,900.75 kg CO² = 15.90 tCO²

Total Geral (para 2.585.518,85 litros):

Cálculo ponderado com base nas proporções dos combustíveis: Emissão total estimada = 2.326,07 tCO²/ano

Corresponding to a compensation 94.5 times greater than what is necessary for the impacts caused by the operation.
