Zanzibar is an integral part of the United Republic of Tanzania and comprises two principal islands, Unguja and Pemba, along with numerous smaller islets. Zanzibar covers a total land area of 2,643 square kilometres, with Unguja occupying 1,658 square kilometres and Pemba covering 985 square kilometres.

In 2023, international tourism continued its strong recovery, with international tourist arrivals reaching 89% of pre-pandemic levels. The first quarter of 2023 saw twice as many people traveling compared to the same period in 2022, with an estimated 235 million tourists traveling internationally. Overall, the year showed resilience in the face of ongoing challenges, including geopolitical tensions and economic uncertainties.

Foreign Direct Investment (FDI) stocks reached USD 1,137.8 million in 2021, a substantial rise from the previous year's USD 1,042.9 million. Accommodation and Food Services, Information and Communication, Finance and Insurance, Manufacturing and Real Estate Activities, representing a significant 96 percent of the total FDI stocks. FDI inflows saw a remarkable increase from USD 25.3 million to USD 74.2 million, marking a substantial threefold rise. Tourism Investment Process

1. Investor Categories:

a)

Local Investors

An exclusive avenue reserved for the esteemed Zanzibaris and Tanzanian individuals or entities, embracing the essence of indigenous entrepreneurship.

b) Joint Ventures

The collaboration between local and foreign investors will follow a set ratio of 70 percent and 30 percent, respectively.

For local investors, the ratio may exceed 70 percent but cannot fall below it, while for foreign investors, the ratio may be less than 30 percent but cannot exceed.

Note: the involvement of foreign individuals is limited to a minimum of 2-star hotel.

c) Foreign Investors

100 percent foreign ownership must commence the specific registration process starting at ZIPA.

General guidelines

MANAGEMENT CHANGE

In the event of a management change or business transfer within the tourism sector in Zanzibar, the Zanzibar Commission for Tourism requires companies to adhere to specific procedures. A fee structure is in place, with accommodation and restaurant businesses incurring a fee of 3,000,000 TZS and 2,000,000 TZS respectively, while other types of businesses are subject to a fee of 1,000,000 TZS.

To initiate the management change process, the company must submit a formal letter detailing the change to the Zanzibar Commission for Tourism. This letter serves as a crucial document in notifying and gaining approval from the regulatory body. Additionally, all required documents related to the business transfer must be submitted to the Zanzibar Commission for Tourism.

Ensuring compliance with these requirements facilitates a smooth transition in management and promotes transparency in the business transfer process.

Tour operator and shuttle boat businesses are exclusively reserved for Zanzibaris.

Apply to the Zanzibar Investment Promotion Authority for Certificate and Approval for tourism business investment.

For Tanzanians:

Apply to either the Zanzibar Investment Promotion Authority or Commission for Certificate and Approval, subject to the set threshold.

COMMENCEMENT RULES:

Approval issued by the Commission will lapse without substantial project development (over 40 percent of the approved investment) or operation within two years. Accommodation applications require accompanying hotel tari details.

G. WORK PERMIT & RESIDENCE PERMITS

The issuance of Work and Residence Permits is regulated by the Employment Act No. 11 of 2005, which underwent amendments in 2022 and the Immigration Act No. 7 Cap 54 of 1995, which was amended in 2015. The Zanzibar Tourism Act No. 6 of 2009 facilitates the coordination of initiatives across all institutions within the tourism industry and fosters collaboration between the tourism sector and other segments of the economy at regional, national and international levels. This act aims to provide support for approved projects, ensuring assistance for the acquisition of work and residence permits, subject to the approval of all relevant supporting documents.

All permit applications must be submitted to the ZCT o ice at Amani during working days from 08:00 AM to 03:00 PM.

Ensure that all applications are accompanied by the necessary and complete set of required documents, incomplete applications will not be accepted.

Submission of all required documents does not automatically guarantee the issuance of permits. The responsible authorities retain the right to approve or disapprove any application.

Academic or professional certificates must be certified by recognized authorities such as the University, High Court and similar institutions.

Submission of the original Police Clearance is mandatory during the application process, investors should bring this evidence with them at the time of application submission.

Approved permits can be collected at the responsible authorities' o ices during working days.

Working without a valid work permit is considered an o ense for any foreigner. It is also an o ense for any employer to engage or allow any foreigner to work without a valid work permit in their establishment.

Applicants are required to collect the permit application form from ZCT. A er completion, the form should be submitted to the responsible authority and the permit can be collected upon payment of the requisite fees.

Payment of the necessary fees for the permit should be made to the responsible authority by the applicant.

H. CLOSURE OF BUSINESS

Closing a business in Zanzibar's tourism sector involves several steps for a smooth shutdown:

Follow the Rules:

Check and follow Zanzibar's tourism investment guidelines and regulations.

Sort Finances:

Pay o debts and settle financial obligations, including taxes.

Clear outstanding balances with Tanzania Revenue Authority (TRA) and Zanzibar Revenue Authority (ZRA).

Notify Employees:

Inform employees in advance, settling any outstanding payments or benefits.

Clear any outstanding issues with Zanzibar Labour Commission regarding employee payments.

Handle Assets:

Decide what to do with assets either sell, transfer, or dispose responsibly.

Communicate Clearly:

Notify customers, partners and the public transparently about the closure.

Keep Records:

Maintain accurate records of the closure process for legal purposes.

Regulatory Notifications:

Clearance from Zanzibar Business and Property Registration Agency (BPRA), the agency responsible for business registration and business closure.

Write a letter to Zanzibar Commission for Tourism (ZCT) with supporting documents from TRA, ZRA, Zanzibar Labour Commission and BPRA to verify the debt-free shutdown.
