Event Policies

MAIN STREET SQUARE IS A VENUE FOR THE RAPID CITY COMMUNITY AND ITS VISITORS. TERMS & CONDITIONS

1 Insurance Renter will provide MSS with a valid Certificate of Insurance with Commercial General Liability limits of no less than $1,000,000 (1 million US dollars) per occurrence with Main Street Square listed as Additional Insured upon return of this contract and deposit. Renter should immediately notify MSS of any changes to the insurance status during the terms of this Agreement.

2 Indemnity Renter agrees to indemnify, defend, and hold harmless MSS, its officers, agents, and officials against any claims and to pay legal costs, fees, and charges in defense thereof, for injury to person or property damage, including claims of employees of Renter or of any contractor or subcontractor of Renter resulting directly or indirectly from any act, incident, or accident occurring upon, or about the premises of MSS as a result of the acts, errors, or omissions of the Renter or its agents or arising in connection with the operation, use, or occupancy of the premises by Renter. Renter shall not, by this provision, be required to indemnify MSS for loss or damages or cost incurred in defense, which arises out of the sole gross negligence of MSS, its employees, or agents acting within the scope of their employment. Renter hereby expressly waives all claims of whatever nature against MSS for all loss or damage to persons or property sustained from any cause before, during, or after the rental period because of any defect, deficiency, failure, or impairment of the premises, including but not limited to, the fountain and falls system, wires leading to the stage, electricity, or from any other source whatsoever.

3. Control of the Premises. In renting said premises, MSS does not relinquish the right to control the management thereof, and to enforce all necessary and proper rules for the management and operation of MSS. MSS, through its Operations Manager, Operations Associates, police officer, firefighter, and other designated representatives shall have the right to enter any portion of said premises for any legitimate purpose MSS at all times is under the control of MSS staff, provided that this shall not authorize or empower MSS staff to direct the agreed-upon activities of the Renter or assume liability for the same. To ensure safety at MSS, MSS reserves the duty to schedule security for any function at the venue. Renter shall pay any expenses incurred for security at MSS. Based on its discretion, MSS may require security for any event scheduled at MSS. MSS shall provide reasonable notice before requiring security for an event

4. Damage to Premises. Renter shall be liable and shall pay for any damage to the premises or other property at MSS caused by Renter or by any of its employees, contractors, agents, visitors, or invitees. Renter expressly agrees that MSS’s Operations Manager shall determine whether any damages have occurred, the extent of those damages, the reasonable cost of repairing the same, and whether it is one for which, under Agreement, Renter is to be responsible.

5. Prohibited Conduct. Renter agrees to abide by MSS’s code of conduct located at mainstreetsquare.org. No animals, including service animals, are permitted to enter the fountains or falls at MSS at any time. No animals are permitted on the turf without previous written approval from MSS’s Events Director. Smoking or vaping is prohibited at MSS, including in pedestrian alleys.

6. Staff’s Authority to Remove. Renter agrees that MSS staff may, upon determining a violation has occurred, remove anyone or group for failure to adhere to the terms and conditions of this Agreement. Renter agrees that any decision affecting any matter relating to renting MSS, not expressly provided for shall rest solely within the discretion of the Operations Manager. All statements in MSS code of conduct are considered incorporated into these terms and conditions.

Event Policies

IS A VENUE FOR THE RAPID CITY COMMUNITY AND ITS VISITORS.

7. Cancellation. This Agreement may be terminated up to thirty (30) days before the beginning of the rental with written notice by one party to the other. Any initial payment, except the deposit, shall be refunded in such case.

8. Deposit. Rental deposits are non-refundable in all cases unless MSS is forced to cancel an event due to an Act of God, including a pandemic. The deposit may be refunded in full or transferred towards a rebooked date. Rebooked dates are subject to availability.

9. Weather. MSS is an outdoor venue and is always subject to the elements. If inclement weather occurs, it is the responsibility of the Renter to decide on canceling, postponing, or early shutdown and communicating this to the MSS event coordinator. If there are safety concerns, (high winds, dangerous weather, other Acts of God, pandemic), Renter agrees to cancel, postpone, or shutdown the event early upon the direction of MSS’s staff.

10. Advertising. MSS will share Renter’s Facebook event on the Main Street Square Facebook page and the Downtown Rapid City Facebook page. MSS will also add the event to both Main Street Square’s and Downtown Rapid City’s website community calendars. MSS is not responsible for creating, maintaining, or monitoring Renter’s Facebook event and may not list MSS as the contact. MSS reserves the right to refuse the inclusion of Renter’s advertising, marketing, or publicity on MSS channels if it goes against the MSS code of conduct. MSS shall be listed as “Main Street Square” on all Renter’s publications and advertisements. A current logo is available through MSS’s marketing coordinator. MSS will not distribute Renter’s flyers or handbills. If Renter provides a poster, 8x10 – 11x17, to MSS, then MSS will hang the poster in its office window. MSS will not hang more than one poster for any event.

11. Release. Renter agrees to release all rights to photographs taken at MSS for future usage in print, production, advertising, publication, and acknowledge that Renter will not be paid for the use of images taken at MSS.

12. Venue and Choice of Law. The parties’ rights and obligations under this Agreement shall be governed by and construed under the laws of the State of South Dakota. Any dispute concerning this Agreement shall be vetted and litigated in the Circuit Court for the Seventh Judicial Circuit, located in Rapid City, Pennington County, South Dakota.

13. Effective Date. The terms of this Agreement shall be deemed effective upon the execution of this Agreement. This Agreement shall run until the date and time specified in this Agreement unless terminated earlier pursuant to this Agreement

14. Attorney Fees. Renter agrees to pay all reasonable attorney fees necessary for collecting rent or other charges or damages under this Agreement

15. Merger Clause. This Agreement is a complete and final representation of the parties’ intent. All essential terms have been integrated into this Agreement through writing or reference. No oral or written representation, not reference herein, made before the date of this Agreement shall have binding effect upon the parties.

Code of Conduct

I. Renter/Volunteer/Vendor/Attendee Conduct: Main Street Square (“MSS”) is dedicated to providing a safe and enjoyable experience to the community and its visitors. When attending, performing, or planning an event at MSS, individuals are required to refrain from the following conduct:

1. Behavior that is socially unacceptable, offensive, unruly, inappropriate, or illegal.

2. Using or displaying foul or inflammatory language or gestures.

3. Statements that may be considered threatening or insightful.

4. Verbal or physical harassment of others.

5. Interfering with the progress of the event.

6. Failing to follow instructions from MSS staff or security.

7. Intoxication or other signs of impairment by renters or volunteers that results in irresponsible behavior.

8. Smoking or vaping is strictly prohibited anywhere on MSS grounds.

9. Animals in the fountains or falls at MSS are strictly prohibited. Animals are required to have written approval before being on the turf, including service animals.

10. MSS does not tolerate the use of hateful conduct, imagery, or displays. Nor will MSS allow events supporting such hateful conduct, imagery, or displays. Any advertisements by a group or an event that promotes hateful conduct, imagery, or displays are grounds for terminating the rental agreement.

a. Hateful Conduct includes promoting violence against or directly attacking or threatening other people on the basis of race, ethnicity, national origin, caste, sexual orientation, gender, gender identity, religious affiliation, age, disability, or serious disease.

b. Hateful Imagery and Displays include using hateful images or symbols on or around MSS. Hateful Imagery and Displays include hateful banners, flags, posters, and flyers.

11. Renters are responsible for the conduct of their staff, volunteers, vendors, service providers, and entertainment. MSS may at any time require the removal of person(s) who are not adhering to these policies at its sole discretion and for any reason.

II. Band/Entertainment Conduct: In addition to the above, bands and other entertainment providers are prohibited from derogatory behavior while on stage.

Entertainment provider members must dress in a tasteful manner, appropriate for all ages and the familyfriendly nature of MSS. Entertainers who do not adhere to this policy may be removed from the venue and will not be allowed to perform in the future. All bands and entertainment must be preapproved; renters must submit a video link to MSS thirty (30) days before the event.
