Perfectly placed to take on a rapidly changing world 2017 was a very dynamic year for Unica. Changes in the shareholding structure and the acquisition of Pro-Fa Automation and Nsecure were the most eye-catching developments which will make their mark in the coming years. The autonomous growth and the ongoing professionalisation which Unica went through in 2017 were the biggest contributors to the improvement in record results achieved by the company last year.

Financial results For Unica, 2017 was the best year in its almost 85-year history, managing to significantly exceed the record results that were attained in 2016. Turnover rose by more than 10% to € 398 million (2016: € 359 million). Net profit rose by almost 50% to € 18 million (2016: € 12 million).

The rise in turnover and profit increase can be primarily attributed to autonomous growth.

Strategy In terms of ownership structure, 2017 was a special year for Unica. For 65 years, Unica was owned by the Van Vliet family, who - together with the Board of Directors decided to find a new shareholder in 2017. After a painstaking selection process, investment company Triton took on a 51% shareholding interest in Unica. In Triton, Unica has an experienced and financially robust shareholder who can help build on the successes of the company, especially on account of the lucrative buy & build strategy implemented over the last number of years.

Triton embraces the identity, values and long-term vision of Unica and has extensive experience working with engineering companies abroad. Day-to-day management of Unica will remain in the hands of the unchanged Board of Directors. The Van Vliet family, as a major shareholder, will remain strategically involved with the company.

Likewise, in terms of targeted acquisitions, 2017 marked a successful year for Unica. In July, industrial automation company Pro-Fa Automation joined the Unica Groep. Furthermore, in November, security management specialist Nsecure, part of the listed company Nedap, was bought

by Unica. The effects of these acquisitions in 2017 will become significantly more visible in 2018.

Energy transition The external environment in which Unica operates showed a healthy growth in 2017. As such, the tentative recovery of the industry, which started in 2016, continued in 2017. The financial scope and the societal focus on the upgrading, long-term sustainability and transformation of existing buildings expanded. Increasingly, different parties – government, business and consumers – are becoming aware of the need for the inevitable energy transition.

Unica continued to develop its leading position as the most sustainable provider of engineering services in 2017. Through integrated services, Unica offers concrete solutions with a high degree of added value in the field of comfort, safety & security, health and sustainability, which contribute to a reduction in carbon emissions, recycling of materials and the dedicated use of available resources.

As an innovative expert partner, Unica - together with its clients and industry partners - makes an active contribution to the sustainable transformation of the built environment. For example, Unica signed the Green Deal (circular economy), has joined the Transitiecoalitie (energy transition) and provides a range of measures aimed at guaranteeing an energy label C for offices (CO2 reduction).

Unica Foundation 2017 was a milestone-year for Unica Foundation.

This foundation - the most striking example of how Unica demonstrates its corporate social responsibility celebrated its 10th anniversary last year. In its first decade, the foundation helped effectuate many engineering projects in Nepal related to drinking water, sanitary facilities, sustainable energy and education.

2017 saw another expansion in the number of irrigation projects in collaboration with Wageningen University & Research. In other areas closer to home, Unica is doing its bit for the regional communities and the development of talent.

Looking towards the future In 2018 Unica will be celebrating its 85th anniversary and in the light of these celebrations, the business will be looking ahead with a great deal of confidence and enthusiasm. With its network of companies, Unica is stronger than ever before, ideally placed to take on a rapidly changing world. The company is currently growing at a faster pace than the market and expects to achieve turnover levels of € 500 million through a combination of autonomous growth and targeted acquisitions. Key to this are the retention of its strong organisational culture, decentralised management and the traditions of a family company. With growth comes an increase in the workforce, as a result of which good employership and recruitment for (technical) talent will be important priorities in Unica’s strategy over the coming years.

Network of companies Unica comprises a network of companies which operate autonomously and independently, whilst cooperating closely to give customers the integrated solutions they require. In 2017, a number of the companies were renamed in order to professionalise and more properly align them with the Unica corporate image.

Some companies will remain as independent companies operating under their own names.
