Auckland’shillsandshoreswraparoundthesparklingWaitemataHarbour,makingitanaturalvenueforboatingofall types Thefoundationsofthecityasweknowittodaywerelaidin1840andtheoccasionwasimmediatelymarked byaregatta.Itwasanappropriateportentofthingstocomeasyachtingandboatingflourishedandultimatelygrew toenjoyaninternationalreputation TheRoyalNewZealandYachtSquadrontracesitsoriginbacktothe1871 incarnationoftheAucklandYachtClub,whichbeganwith30yachtsand120membersonitsregister.Bythen,the cityhadgrownintoamuchmoresubstantialandthrivingenterprise,withtheharbourplayingacentralroleinits progress

Bytheturnofthecentury,yachtracingwasaflourishingsport,attractingcrowdsofspectators,keenpuntersand detailedreportsofintensesportingrivalriesinthelocalnewspapers.Undertheleadershipofsomeofthecity’s prominentcaptainsofindustryandcommerce,theAYCshowedcontinuedgrowth Atremendousrivalrybetween theLoganandBaileyboatbuildingfamiliesspurredthegrowthofanoutstandingfleetofracingyachts,mostof whichjoinedtheAYCfleet In1901,theAYCchangeditsnametotheNewZealandYachtSquadron Thefollowing yeartheSquadroncelebratedamajormilestonewhenitreceivedawarrantinthenameofKingEdwardVII,elevating itsstatustoaRoyalclub.Withthisrecognitionmembershipnumbersalmostdoubledfrom157in1901to300in 1903

DuringbothWorldWars,yachtracingwaslargelysuspendedinAuckland MembersoftheRNZYSservedinall theatresofbothwarsandinallthearmedservices,whilethosewhowerenotabletoserveabroadwereinvolvedin harbourdefenceandpatrolduties Toaccommodatesteadygrowth,theRoyalNewZealandYachtSquadronmoved throughasuccessionofrentedpremisesinthecityuntilin1955itboughtahandsometwo-storeybrickhousein ParliamentStreetwithsweepingviewsovertheWaitemataHarbour.Adecadelater,theRNZYSleasedanexisting building,whichhadlongaccommodatedthepopularTrillo’scabaretanddancehallatWesthaven Westhavenhad beenearmarkedfortheestablishmentofamajorcitymarinaandtheestablishmentofafootholdtherewasa strategicmoveforthefuture Fornearlyadecade,theRNZYSretaineditsParliamentStreetheadquartersinthecity butin1975itwasdecidedtomovepermanentlytotheWesthavensite.

Fromthe1960s,theRNZYSwasattheforefrontofasteadyriseininternationalcompetition.In1966,JamesDavern sailedhisyachtFidelisacrosstheTasmanSeaandswepttolinehonoursvictoryinthegruelling630mileSydneyHobartRace Fidelissetanewracerecordandthe17-hourmarginbetween1stand2ndstoodformanyyearsasthe longestintherace’shistory.Threeyearslater,ChrisBouzaidandanRNZYScrewaboardRainbowIItookontheelite ofinternationalyachtracing,winningtheprestigiousOneTonCupinHeligoland,Germanyagainstaline-upof seasonedcompetitorsfromtheUSA,Germany,Italy,Belgium,Sweden,HollandandSwitzerland.Onthefoundations laidbythesesuccesses,theRNZYStrophycabinetshaveplayedhosttosomeofthebiggestprizesinworld yachtingincludingtheHalf,OneandTwo-TonCups,theAdmiral’sCup,theKenwoodCup,theChampagneMumm WorldCup,theWhitbreadRoundtheWorldTrophy,theLouisVuittonCupandtheAmerica’sCup

CarryingtheRNZYSburgeeintobattle,TeamNewZealandwontheAmerica’sCupinSanDiegoin1995,then successfullydefendeditontheHaurakiGulfin2000 Bothmatchesweredecisivelysettledwith5-0victories

AfterlosingtoSwitzerlandin2003,theRNZYSbecametheonlyyachtclubintheworldtochallengeandwinthe America’sCuptwicewhenEmiratesTeamNewZealandscoreda7-1victoryoverOracleTeamUSAinBermudain 2017 InbothinterveningCupregattas–atValenciain2007andSanFranciscoin2013–EmiratesTeamNew ZealandwontheLouisVuittonChallengerseriesbutfellshortintheAmerica’sCupMatches

OnthebackofthesuccessinBermuda,however,theAmerica’sCupreturnedtoAucklandtotakeupresidencein theRoyalNewZealandYachtSquadrononcemore.

CoincidingwiththeRoyalNewZealandYachtSquadron’s150thsesquicentenaryin2021,EmiratesTeamNew Zealandsuccessfullydefendedthe36thAmerica’sCupinAuckland,defeatingLunaRossaPradaPirelli7-3 The Defenceofthe37thAmericasCuptookplaceinBarcelona,Spain.WhereEmiratesTeamNewZealand,successfully defendedtheAmerica’sCup,defeatingINEOSBritannia7-2,confirmingforthethirdtimeinarowtheRoyalNew ZealandYachtSquadronistheHomeoftheAmerica’sCup

In2024,GillianWilliamswasnamedthefirstfemaleCommodoreoftheRoyalNewZealandYachtSquadron,a landmarkmilestoneintheClubs’153-yearhistory.

ConstitutionmeansthisConstitution,includinganyamendmentsandanyschedulestothisConstitution

Purpose:ThepurposesoftheSquadronshallbetheencouragementofCorinthianyachtinggenerallyandsuch otherpurposesconnectedwithaquaticsandthewelfareanddevelopmentoftheSquadronastheMembersshall fromtimetotimedeemnecessaryorexpedient

Capacityandpowers:TheSquadronhas,bothwithinandoutsideNewZealand,fullcapacity,rights,powersand privilegestocarryonorundertakeanyactivity,doanyact,orenterintoanytransaction,subjecttothis Constitution,theAct,anyotherlegislation,andthegenerallaw

Members

Application:AnapplicationtobecomeaMember(Application)mustbeintheformrequiredbytheGeneral Committee.

Nominationorinterview:

AcandidateforMembershipmustbeproposedbyoneMemberandsecondedbyanother,bothofwhom shallhavebeenMembersoftheSquadronforatleastthreeyearsandknowntothecandidate,anda recordofthenominationshallbekeptforthatpurpose;or

ShouldacandidatenotknowmemberswhoqualifytosupporttheirapplicationasperRule42(a)an interviewshallbeconductedbyadelegatedstaffMemberorrepresentative,andabriefbiography providedbythecandidateforthepurposeofrecommendation,

anduponreceiptofthefullentrancefeeandsubscriptionbeincludedinthenextballot

SuspensionofMember:IfaMemberis,ormaybe,inbreachunderRule4.9,andtheGeneralCommitteebelieves itisinthebestinterestsoftheSquadrontodoso,theGeneralCommitteemaysuspendtheMemberuntilfinal determinationofthematterunderthedisputeresolutionprocessapplicabletothematterBeforeimposingany suspension,theMembermustbegivennoticeofthesuspension.

Membershipfees:TheGeneralCommitteewilldecideanymembershipandotherfeespayablebyMembersand theduedateforthosefees,includingdeterminingdifferentlevelsofmembershipfeesandotherfeesfordifferent typesofMembers,subjectto:

anyincreaseinsubscriptionpayableacrossthevariousclassesofMembersbeingdeterminedby: (i)apercentagebasedonmarketcostfactorsforthatyearaheadincludinguseofthepreviousyear’s ConsumerPriceIndex;and (ii)includinga‘capitalimprovement’levynotexceedingtenpercentoftheMembershipfeeforanyone year

IntheeventtheGeneralCommitteehasreasontorequestagreaterincreasethaninaccordancewiththe precedingparagraph,anygreaterincreasebeingapprovedataGeneralMeeting

IfthereisnochangerecommendedbytheGeneralCommitteethenthepresentsubscriptionshallremain forthefollowingyear a)

Entrancefees:

Yachtregister:EachMemberwhoownsaYachtshallinformSquadrontheparticularsoftheYachtastheGeneral CommitteeshallbyRegulationsfromtimetotimerequireParticularsshallbeenteredintheSquadronRegisterof YachtsandnoYachtshallbeentitledtoanyoftheprivilegesoftheSquadronuntilsuchentryismade.Any alterationtoanyYachtaffectinghersailingperformanceshallbenotifiedtotheGeneralCommittee,whoshallnote thesealterations

GeneralMeetings

AGM:AnAGMmustbeheldonceayearatthetime,dateandplaceastheGeneralCommitteedecides,butnot laterthanthelastdayofAugustineachyearandnotmorethan15monthsafterthepreviousAGM.

NoticeofAGM:TheMembersmustbegivenatleast18days’noticeoftheAGMSuchnoticewillbesentto MemberstotheirlastknownemailaddressunlessaMemberhasrequestedinwritingthattheyrequireanysuch noticetobepostedtothemSuchnoticewillalsobepostedontheSquadron’snoticeboardandpostedonthe Squadron’swebsiteThesendingofane-mail,orwhererequestedthepostingofsuchnotice,willbedeemed sufficientevidencethat18days’noticehasbeengiven.

NoquorumatSGM:Ifaquorumisnotmetwithin30minutesofthescheduledstarttimeoftheSGM,theSGMis cancelled.

ControlofGeneralMeetings:TheCommodorechairsGeneralMeetingsIftheCommodoreisunavailable,theVice CommodorewillpresideandiftheViceCommodoreisunavailable,theRearCommodorewillpresideandifnone oftheFlagOfficersareavailable,theGeneralCommitteeshalldeterminetheChairoftheGeneralMeeting.Inthe absenceofallofthosepersons,theMemberspresentwillelectapersontochairtheGeneralMeeting

6. GeneralCommittee

Functionsandpowers:Subjecttoanymodifications,exceptions,orlimitationscontainedintheActorinthis ConstitutiontheGeneralCommitteemustmanage,directorsupervisetheoperationandaffairsoftheSquadron andhasallthepowersnecessaryformanaging,andfordirectingandsupervisingthemanagementof,the operationandaffairsoftheSquadron.

Composition:TheGeneralCommitteeconsistsoftheCommodore,theViceCommodore,theRearCommodore anduptosixotherpersonselectedattheAGM.AtleasttwooftheFlagOfficersandatleastthreeoftheGeneral CommitteeshallbeYachtownersAllGeneralCommitteemembersmustbeMembers

RoleofCommodore:ItshallbethedutyoftheCommodoretotakecommandoftheSquadronandpresideatits meetings.

RoleofViceCommodore:ItshallbethedutyoftheViceCommodoretoassisttheCommodoreinthedischargeof hisorherdutiesandtoofficiateintheCommodore’sabsence.

RoleofRearCommodore:ItshallbethedutyoftheRearCommodoretoassisttheCommodoreandtheVice Commodoreinthedischargeoftheirdutiesandtoofficiateintheirabsence

ElectionofGeneralCommitteeMembers:GeneralCommitteeMembersareelectedasfollows:

theGeneralCommitteemustcallfornominationsforFlagOfficerandGeneralCommitteeMember positionsatleast18daysbeforetheAGM;

Disqualification:ThefollowingpersonsaredisqualifiedfrombeingelectedorholdingofficeasaGeneral CommitteeMember:

ApersonwhohasbeenremovedasaGeneralCommitteeMemberfollowingaprocessunderthis ConstitutionoranyBylaw.

IfanexistingGeneralCommitteeMemberbecomesorholdsanypositionin(a)abovethenupontheirappointment tosuchaposition,theyaredeemedtohavevacatedtheirofficeasaGeneralCommitteeMemberIfanyofthe circumstanceslistedin(b)aboveoccurtoanexistingGeneralCommitteeMember,theyaredeemedtohave vacatedtheirofficeupontherelevantauthoritymakinganorderorfindingagainstthemofanyofthose circumstances.

TheGeneralCommitteeMemberwhoisthesubjectofthemotioniscountedforthepurposeofreachinga quorumbutwillnotparticipateinthevoteonthemotion.

Beforeconsideringamotionforremoval,theGeneralCommitteeMemberaffectedbythemotionmustbe given:

(i)noticethataGeneralCommitteemeetingistobeheldtodiscussthemotiontoremovetheGeneral CommitteeMember;and

(ii)adequatetimetopreparearesponse;and

(iii)theopportunitypriortotheGeneralCommitteemeetingtomakewrittensubmissions;and

Quorum:ThequorumforaGeneralCommitteemeetingisfiveGeneralCommitteeMembers(includinganyFlag Officers).AnyGeneralCommitteeMembermaybecountedforthepurposesofaquorum,participateinanyand voteonanyproposedresolutionataGeneralCommitteemeetingwithoutbeingphysicallypresentThismayonly occuratGeneralCommitteemeetingsbyaudiooraudio-visuallinkorotherelectroniccommunicationprovided thatallpersonsparticipatingintheGeneralCommitteemeetingcanheareachothereffectivelyand simultaneously.

attendtoallcorrespondenceandkeepminutesofGeneralMeetingsandGeneralCommitteemeetingsand ensurethatanysub-committeekeepsminutes;and a)

10. Patrons

keepallrecordsandgenerallyperformallthesecretarialworkoftheSquadronWiththewrittenapproval oftheGeneralCommitteethesetasksmaybevariedordelegatedbuttheSecretaryremainsresponsible fortheirperformance.

RoleofTreasurer:TheTreasurershallberesponsibleforallmoniesreceivedbytheSquadronandunderthe directionoftheGeneralCommitteeshallmakealldisbursementsTheTreasurershallkeepfullandproper accountsofalltheSquadron’sfinancialtransactionsandpreparetheAnnualFinancialStatementsasattheendof theSquadron’sfinancialyear.

GeneralCommitteeinvolvement:TheGeneralManager,SecretaryandTreasurermayattendGeneralCommittee meetingswhenrequiredbytheGeneralCommitteebuthavenovotingrights

12. Finances

Controlandmanagementoffinances:ThefundsandpropertyoftheSquadronarecontrolled,investedand disposedofbytheGeneralCommittee,subjecttothisConstitutionanddevotedsolelytothepromotionofthe purposesoftheSquadronsetoutinRule3.

Property:TheGeneralCommitteemaywithorwithoutthesanctionofaGeneralMeetingexpendmoniesin pursuanceoftheSquadron’spurposesandpowers,makedonationstoanyperson,bodyofpersonsorinstitution, investthefundsoftheSquadron,entersuchcontractstopurchaseorotherwiseacquireortosell,leaseor otherwisedisposeofordealwithanyinterestinanyrealorpersonalpropertyortoborrowmoneywithorwithout security(savethattheGeneralCommitteeshallnotinanyfinancialyearborrowmorethanthetotaloftheprevious financialyear’ssubscriptionswithoutthesanctionofaGeneralMeeting)uponsuchtermsandconditionsasit thinksfit,providedthatallrealandpersonalpropertyoftheSquadronshallbevestedintheTrusteeswhoshall holdthesameupontrustfortheSquadronandsubjecttothedirectioninwritingofamajorityoftheGeneral CommitteeatadulyheldmeetingthereofandsignedbytheChairmanofsuchmeetingSuchdirectionsshallbe obligatoryupontheTrusteesandshallvalidateanythingdoneorpurportedtobedonebytheminpursuanceof suchdirectionandnopersonshallbeconcernedtoenquireastotheregularityofsuchdirectionbeyondthe verificationofthesignatureoftheChairman

Furtherfunds:TheTrusteesoftheFoundationshallhavetherighttoacceptfurtherfundsfromtheSquadronor anyotherpersonorentityandtoadministerthesameintermsoftheirpowersundertheRulesoftheSquadron

Trustees:TheTrusteesshallmanagethecapital,anyaccretionsthereto,andinterestderivedintrustforthe Squadron.TheTrusteesshallhavethefollowingpowersinrespectofthefundsoftheFoundation:

ToinvestthecapitalininvestmentsauthorizedbylawfortheinvestmentoftrustfundsinNewZealand bothinsideandoutsideofNewZealandwithpowertopurchaseandleaseanyrealorpersonalproperty bothinsideandoutsideofNewZealand;

InexercisingthisdiscretiontheTrusteesshalltakeintoaccountthatthecapitalfundisamajorcapital assetoftheSquadronandisderivedfromthegenerosityandforesightofearlierMembersandthe Squadron’spresentwishistokeepthisfundintactasfaraspossibleinordertomeetanyfuture emergencyorfinanceamajorprojectortomeettheurgentneedsoftheSquadron;

TheTrusteesmayinvestandaccumulatetheincomederivedbyinvestingthesameandresultingincome thereafterasanaccretiontothecapitalofthefundduringtheperiodtothedateofdistribution;

TheTrusteesshallhaveabsoluteanduncontrolledpoweranddiscretioninthemanagementoftheFoundationand maydoorcausetobedoneallsuchacts,mattersandthingsofwhatsoeverkindandnaturepertainingtothefund andtosignallsuchinstrumentsanddocumentsastheythinkproperorexpedient.

NoTrusteeshallbeliableforanylossnotattributabletothattrustee’sdishonestyorthewilfulcommissionbythe trusteeofanactknowntobeabreachofthetrustee’sappointment.

(i)theSquadronhasarighttobeheardbeforethecomplaintisresolvedoranyoutcomeisdetermined;and (ii)anOfficerorMemberoftheGeneralCommitteemayexercisethatrightonbehalfoftheSquadron

WithoutlimitingthemannerinwhichtheMember,Officer,orSquadronmaybegiventherighttobeheard, theymustbetakentohavebeengiventherightif

(i)theyhaveareasonableopportunitytobeheardinwritingoratanoralhearing(ifoneisheld);and (ii)anoralhearingisheldifthedecisionmakerconsidersthatanoralhearingisneededtoensurean adequatehearing;and

(iii)anoralhearing(ifany)isheldbeforethedecisionmaker;and (iv)theMember’s,Officer’s,orSquadron’swrittenstatementorsubmissions(ifany)areconsideredbythe decisionmaker

1)thataMemberoranOfficerhasengagedinmaterialmisconduct:

2)thataMember,anOfficer,ortheSquadronhasmateriallybreached,orislikelytomateriallybreach,a dutyundertheSquadron’sConstitutionorRegulationortheAct:

3)thataMember’srightsorinterestsormembers’rightsorinterestsgenerallyhavebeenmaterially damaged:

(iii)thecomplaintappearstobewithoutfoundationorthereisnoapparentevidencetosupportit;or

TheHandicappingandClassificationCommitteeshallconsistofnotlessthansixmembersasappointed bytheSailingCommittee,fourofwhoshallformaquorumTheCommitteeshallactasasub-committeeof theSailingCommittee.

StandardsofdresswithintheSquadronclubroomsatWesthavenshallbeneatyachtingattireinthebarareasand neatcasualinallotherareasoftheclubexceptwhenspecialdressstandardsarenominatedforcertainfunctions Neatyachtingattire-shallmeantidy,cleananddryyachtingclothesandexcludesbarefeet,caps,hats,sea boots,andwetweathergear.NeatCasual-shallmeantidyclothes,slacks,shirtsandshoes,aslightlymoreformal standardthanneatyachtingattire.Ithasthesameexclusionsasneatyachting.Tidyopentoefootwearmaybe worninthebarareasonlyduringthesummersailingseasonMembersshallberesponsibletoensurethattheir guestsandracingcrewscomplywiththesestandards

14. DISCIPLINE

UponanycomplaintbeingreceivedbytheSquadronconcerningthebehaviourofanyMemberoranyMember’s crewinoroutoftheSquadronpremisestheGeneralCommitteeshall:

AllowtheMembertoquestionanyofthewitnesses’presentandwhogaveevidence. Makeafindingoffactinrelationtotheconductcomplainedof; InformtheMemberofthereasonsforitsdecisionsandimposesuchpenaltyasitshallseefitto imposewithintherulesoftheclub.

Code of Conduct

1. PURPOSE

ThepurposeoftheRoyalNewZealandYachtSquadron(theSquadron)istogenerallyencourageand pursueCorinthianyachting.

TofulfilthepurposeoftheSquadronitdeliversworldclasssailingtoitsmembers,providesthehighest qualityofservicesandfacilitiesandatthesametimefostersasenseofcommunityandprovidesvalue thatmakesmembershipoftheSquadronalifelongexperience.

ItfollowsthatmembershipoftheSquadronisaprivilegeWiththatprivilegeisthecorresponding obligationandexpectationthatthehigheststandardsofbehaviorwillbefollowedbymembers,their guestsandotherusersoftheSquadron.

ThisCodeofConducthasbeenadoptedbytheGeneralCommitteeItisconsideredtodescribea minimumstandardofexpectedbehaviorbymembers,theirguestsandusersoftheSquadron.Abreach ofthisCodeofConductisconsideredtobeinjurioustothecharacterorinterestsoftheSquadronunder

RespecttherightsofotherstoenjoytheSquadron’sfacilitiesandservices;

NottodamageSquadronorothermember’spropertydeliberatelyorthroughcarelessness;

Respecttheprivacyofmembers,guests,staffandvisitors;

Neverintimidate,discriminate,harass,bully,abuseorthreatenmembers,stafforguests;

Placethehealthandsafetyofyourselfandotherattheforefrontofanydecisionsandactions;

RefrainfromanybehaviorthatmaybringtheSquadronintodisreputeincludingmakingslanderousor derogatorycommentsaboutmembersorstaff;

NottouseinvolvementwiththeSquadrontopromotebeliefs,conduct,orpracticeswhichareinconsistent withthevaluesoftheSquadron;

Refrainfromactinginawaythatmaybecomeapublicnuisanceormaycreateapublicdisturbance; Demonstrateahighdegreeofindividualresponsibility,especiallywhendealingwithpersonsundertheage of18yearsofage.ObservetheproceduresinrelationtomaintainingthewellbeingofChildrensetout belowinthiscode;

Encourageandrewardgoodsportsmanship;

Showconcernandcautiontowardsotherswhomaybesickorinjured;

ByparticipatinginaRNZYSevent,competitorsautomaticallygranttotheOrganisingAuthorityandtheevent sponsorstheright,inperpetuity,tomake,use,andshow,attheirdiscretion,anyphotography,audioandvideo recordings,andotherreproductionsofthemmadeatthevenueoronthewaterfromthetimeoftheirarrivalat thevenue,untiltheirfinaldeparture,withoutcompensation

Allthosewhotakepartinanyeventascompetitors,aswellassupportcrew,spectatorsandofficialsagreetobe overflownbyadroneduringthedurationoftheevent.Thisincludesyourpersonandyourproperty(boats).

RRS3states:“Theresponsibilityforaboat’sdecisiontoparticipateinaraceortocontinuetoraceishersalone”

Byparticipatinginthiseventeachcompetitoragreesandacknowledgesthatsailingisapotentiallydangerous activitywithinherentrisks.Theserisksincludestrongwindsandroughseas,suddenchangesinweather,failure ofequipment,boathandlingerrors,poorseamanshipbyotherboats,lossofbalanceonanunstableplatformand fatigueresultinginincreasedriskofinjuryInherentinthesportofsailingistheriskofpermanent,catastrophic injuryordeathbydrowning,trauma,hypothermiaorothercauses.

AllthosetakingpartinRNZYSracesoranyothersailingeventscontrolledbytheRNZYS,asbetweentheRNZYS andeachofthosesotakingpart,dosoattheirownriskandresponsibilityTheRNZYSandanysponsor associatedwiththiseventhasnoliabilityforanydamage,lossoranypenaltysufferedbyanyboatcreworany otherpersontakingpartinsucheventsTheRNZYSandanysponsorassociatedwiththiseventshallnotbe responsiblefortheseaworthinessofaboatwhoseentryisacceptedand/orthesufficiencyand/oradequacyof itsequipmentorthecompetenceofitsskipperorcrew.TheRNZYSreservestherightinitssoleanduncontrolled discretiontorefuseentry. 20.
