Know what you want, in life, and in your career, and be the best version of this that you can be. And don’t expect more than you put in. After graduating from college, my first job was at AT&T in their data center operations. I ran first shift in this massive computer center, and one of our primary tasks was to mount tapes onto the tape drive storage devices. Aging myself, yes! We walked miles each day running these tapes to a designated storage device within the rows of devices. Our shift performance was timed, so it was necessary for each employee to pull his/her weight. As a young manager, I was annoyed when one employee wanted to go to HR during his shift because he felt his paycheck was incorrect, as I didn’t want to mess up our teams’ statistics. It was a wise boss who told me that not everyone wanted to move up in the company — that in fact some people worked hard to feed their family and that they might be content doing just what they were doing. Alan (my boss) even said this was desirable, as if everyone wanted to acheive the next levels in the corporation, we would have a lot of disassisfied employees. Years later, I absolutely understood his rationale. Additionally, as I hear from more and more of my colleagues who are nearing retirement, many want to continue working, just not as hard or for as many hours. Many want to ease into retirement. This can be beneficial not just for the employee, but also the employer. What is better than having an experienced set of employees who can mentor, fill in during heavy peak work loads and may not even require benefits. On the other hand, it seems we have a class of employee who wants more money but not more work. Consider the recent UAW (United Auto Worker) strike. One of newly elected Union president Shawn Fain’s early bargaining goals was to reduce the work week from five days to a four-day, 32-hour work week. Without a cut in pay, too. In fact, their initial bargaining called for roughly a 46% wage increase while employees worked less! These workers are not more productive than their non-union automotive workers working in other parts of the country nor those working for Tesla, all of whom were paid less even before the strike. In the end, the strikers and the UAW Union president did secure many new benefits and wage increases for their constituents. Then, just six weeks after they agreed to the new contract, General Motors announced a layoff of 1,314 workers at two plants. Knowing what you want out of work and doing the required work to achieve this is a feasible goal, one that works for the employee and the employer. It’s simple to me, if you want more money, work harder and increase your marketability with new skills. If you want to make just enough money, it’s still important to do your job well, come to work on time, and recognize that you are not doing what it takes to make substantially more money. Which ever mode of employee you are, aspire to be the best version of this. In closing, God bless our troops and I wish you wondefull holidays and continued success. And may this be a year in the US where there is less discord....and more acceptance of others.

All TJ Davies custom retention knobs are manufactured from American-made 8620 alloy steel which has a high tensile strength to withstand strong centrifugal force, high load force, high feed rate, and difficult to machine material. All knobs are machined in-house with single point threading to Imperial (Class 2A UNC) or Metric (Class G6) standards. After threading is completed, each component is heat treated to 58-62 HRC then treated with hot black oxide to military specifications for protection against corrosion. Each retention knob is magnetic particle tested and then pull tested to 2.5 times the pulling force of the drawbar it is designed for. The use of 8620 ensures that the components will work harden over time, rather than becoming brittle as is the case with the use 9310 alloy steel. Small business is the core of American business, generating 44% of U.S. economic activity and two-thirds of net new jobs over the past 25 years, according to the U.S. Small Business Administration. Yet many small business owners are unaware of Qualified Small Business Stock (QSBS) programs as a strategic option to save taxes, and how they and their investors might benefit. This plan’s tax benefit was initially instituted in the early 1990s to encourage investment and growth in small business. QSBS is stock developed by an active, domestic C corporation whose gross assets—valued at the original cost—do not exceed $50 million on and immediately after its private stock issuance. In a QSBS program, shares of a qualified small business can be set up to share profits with employees and may be used as a form of irrevocable trust to help business owners save money upon sale of the business. While these plans may not be a fit for some companies in service industries, QSBS strategies can be good for those in manufacturing, technology and other product-centric industries. When used correctly, QSBS can be a powerful strategy for employee stockholders and owners of a company to keep more gains from the stock upon sale of the company and can be used with other financial strategies. Announcements & Releases able to defer taxes on up to 50% if owned between 1993 and February 18, 2009, 75% if purchased between February 18, 2009 and September 27, 2010, or 100% if purchased after September 27, 2010 of the gains from the sale of qualified small business stock, providing the stock has been held for over five years. Note that there may be a nominal amount of Alternative Minimum Tax due. For what types or sizes of businesses is a QSBS appropriate? Only small businesses that meet the Internal Revenue Code Section 1202 – specifically, active domestic C corporations with gross assets that do not exceed $50 million, when valued at original cost on and immediately after its stock issuance – qualify for QSBS. There are other state-level requirements and restrictions to consider as well, which should be discussed with the business’s financial advisor. It is used by C corps and their ownership/leadership, which creates shares in the company and then either keeps 100% of the stock or gives an equity stake to key employees or investors. QSBS is only monetized upon sale of the company and the company must be a C-corporation for at least 5 years before anyone can gain from this tax advantage. In some cases, investment groups may pool money and invest in the company, and then they would get an equity slice as a consortium. Individuals could gain a tax

benefit in comparable percentage to what they invested. Its biggest advantage is as a powerful tax strategy. When the company sells to a strategic buyer, the first $10 MM in gain is tax free. Another $10mm (or less) for each eligible shareholder can be put into irrevocable trusts for their children or spouse, also tax-free. This opportunity makes a lot of sense for companies that may have larger exits. The money also could be given to a charity or other foundation, which then also receives the tax benefit. Some owners of smaller businesses may not know about the tax advantages or ability to save money by setting up these irrevocable trusts. In an irrevocable trust, the benefactor relinquishes the right to ever touch those funds again, so they should be sure they want to give away this money. It can also be used as a recruitment or retention strategy for key employees. The issuing company can put some stock into a profit-sharing program for employees as long as it’s not into a qualified plan (like 401k, which is qualified.) Recycling Metals, Conserving Resources, Since 1961 Announcements & Releases There is no tax benefit while the company is still operating under initial ownership; it comes just at the point where an exit occurs and stock is sold or acquired by another company. It makes no difference if the company is B2B or B2C. Any stockholders held to the same tax rules gain similar tax benefits. A noncorporate shareholder may be able to exclude 50% to even 100% of the gain from the sale of qualified small business (QSB) stock that has been held for at least five years. It is critical to work with an expert in QSBS programs who adheres to Federal Tax Law 1202. Each state may handle it differently. California, for example, doesn’t recognize the tax breaks so the business seller still has to pay state tax on the sale. Other, more tax-friendly, states may not handle it like California does, but businesses would probably have to be headquartered in that other state for a set amount of time. State law applies to wherever the business is incorporated, as well as to where the business owner lives. Most likely, each shareholder would have to pay taxes to the state where they live, if that state has state income tax. QSBS can work quite well for any companies that start small but anticipate a large-scale exit, perhaps especially for those that might have venture-capital investors. However, even in a smaller-scale exit where the founder owns most of the shares, maybe backed by a few family and friends, the tax benefit works the same way. Boom Supersonic is nearing the first test flight in Mojave, California, of a single-seat test jet meant to confirm design choices and technologies for the Overture passenger jet it’s designing. Manufacturing Modernization Grant Awardees Announced To strengthen Utah’s manufacturing industry, the Governor’s Office of Economic Opportunity (GOEO) designated $10 million for a new Manufacturing Modernization Grant (MMG). The program incentivizes Utah businesses to modernize, establish, relocate, retain, or develop manufacturing in the state. The grant updates Utah companies’ manufacturing, increases supply chain resilience, and lessens American dependence on foreign manufacturing. To qualify for the grant, the manufacturing modernization project must be located in Utah, and the company must have contributed to the project’s cost. “This grant provided businesses with incredible opportunities to enhance their manufacturing capabilities,” said Jim Grover, managing director. “Investing in small businesses that produce valuable products by pairing a skilled workforce with advanced manufacturing technology is a win-win scenario.” Of the 185 applications requesting funding of over $100 million, grant recipients are the following 21 companies:

A Message From: Broc Bryson, MSC Direct NUNTMA President I recently learned from Matt Wardle that NTMA was formed during World War II. The roots of the organization were to work together to supply the war effort. It’s hard to imagine a more deeply meaningful reason to exist than that. That war was won – if anything in war is considered a win – in large part due to people like us helping get all of the needed items to the frontline troops. Those front-line troops included both of my grandfathers and I have no doubt, people that are close to every one of you. With that in mind, what brings us together today? If we had to name the most focused on and discussed topic, it would definitely be workforce issues. How do we recruit and retain good machining talent has got to be far and away the biggest, broadest issue facing our industry today. As an association, we are, by definition, “a group of people organized for a joint purpose.” There

are many more reasons to work together, but let’s focus on the biggest one for today. What are we doing together to address the workforce issue? Members of our chapter have recently helped develop a statewide path for Mentorships. We are again sponsoring the SkillsUSA machining contest this upcoming spring (more below). As a chapter and as individual members, we participate with the local trade schools and support STEM Fest events, shop tours, MFG Day, and more things like this all the time. Can all of us participate in all of these efforts and events? Kind of a tall task for anyone – unless you have unlimited time and resources. If we all do something, can we work together for impactful change? We know that, yes, we can. If you want to see and feel what this effort is like firsthand, get involved with this year’s SkillsUSA contest. There are a lot of options for you to get involved in the effort. What we are doing should be considered a good start. What other creative, effective ideas can you contribute to the cause of manufacturing? They are out there, and we need to find them together. Hopefully, we can all look around – recognize the state that the industry is in, and decide on a way that you can help that works for you. I graduated from Arizona State University (ASU) with a degree in Industrial Engineering, and my very first job was with Intel Corporation doing very traditional industrial engineering work. I was responsible for their Work in Process (WIP) tracking software and I had a hand in preparing our submission to the Malcom Baldridge award (The Malcolm Baldrige National Quality Award (MBNQA) is an award to raise awareness of quality management and recognize U.S. companies that have implemented successful quality management systems.) I left corporate to get my masters at ASU in Industrial Engineering; it is here that I was first introduced to ISO 9001. As a student, I was recommended by one of my professors for a local company that needed contracting help with facility design. In essence, my first entrepreneurial effort was as a contractor for Varian Tempe Electronics, helping them with facility design. While I was there, the quality manager quit and they asked me if I knew anything about ISO 9000. I said yes because they had mentioned it in a class I was taking (perhaps affording me 1 week of experience!) and all the sudden I inherited an ISO 9000 system with over 600 procedures and 25 controlled document books. This was the late ‘90s when it was required that you have a document for every single thing you do and everything was hard copy. When the first auditor came in to audit us, they told me I had to change a lot of things in my system so I made all the changes. Then 6 months later a new auditor came and told me I had to make some other changes and then yet another 6 months later another new auditor came and told me a whole different story; I thought this is crazy. So, I decided to take my first Lead Auditor course and see what they’re supposed to be auditing me to. It turned out they weren’t supposed to tell me how to change my system; rather they were supposed to audit what I told them we did and how we did it. So, I revamped the entire quality management system and reduced it down to having just a few internal auditors that reported directly to me and it was much better. I was happily working as an Industrial Engineer with a specialty in quality, when a few years later I became pregnant with my first son. I thought everything was going to be fine; I had two sets of grandparents and I would be able to take a six week maternity leave. back to work.” Months later one of the auditors reached out to me letting me know there was a company in Tempe that needed help implementing their ISO system and would I quote it. I quoted them implementing ISO 9001 including design; won the contract and I went in one day a week to work with them. 4 months later they were registered with no findings from there on it was just word of mouth. One business owner told another business owner about me if they needed help implementing ISO and that’s how my consulting business began. 2 years later, I decided that I should do audits through a registrar to help teach my clients how to prepare for an audit at the same time that I’m teaching them to implement their quality management systems. I started auditing for a registrar out of Houston, MCNA and then a couple of years later, Great Western Registrar, a local registrar to Arizona, where I was one of their first auditors.


H2H Consulting. We do some together, some separate and we do these audits for companies that use the BMSC system and companies that have their own systems already set up. Shortly after that time I began working in the aerospace industry implementing and auditing to AS9000 (which has now become AS9100), more than 15 years ago. In 2006 the registrar in Houston was opening a food registrar and I went to Texas for training and that’s where I met Peter Sanderson. Peter had a consulting company in Canada and he was showing me at the training the software he was building called CIS (Continuous Improvement Software) and was helping his ISO 9001 clients become paperless. He kept telling me I should implement it for my companies. I invited him to come to Arizona (in August unfortunately for him) to present at a Great Western Users Group meeting. I had many clients with me on the day that he presented his CIS software and we were all very excited about it. One of my clients signed up for the software that day and within a year we had 10 local companies using the CIS software. Soon after, we started monthly user groups learning and improving on it. A short year later, I had so many clients using the software that I decided to buy into the company and in 2007 became president of CIS Worldwide Sales Group as a part owner. In 2010 I met Debbie Hart. Our boys were playing football together and we became friends immediately. When we talked about what we do for a living, Debbie was working in the medical industry but doing similar things as far as documenting processes and auditing processes. I was getting so busy with customers that I needed help. I knew Debbie would be a superior addition to BMSC and that’s where our journey began! I knew from Debbie’s personality that she was going to be really great at auditing and consulting so I brought her with me to one of my clients and threw her in headfirst and said, “Go audit these processes”, and she was great at it. Within a year Debbie had her Lead Auditor certification and was auditing for two registrars and coming with me on all of my consulting jobs. Debbie began her own consulting company H2H Consulting for jobs that came through her but we outsource work to each other all the time. I can’t remember doing a consulting implementation project without her in the last 10 years. A large portion of our clients, once they get registered to ISO 9001 or one of the aerospace standards (AS9100, AS9120, AS9110), needs to do internal audits and hold management reviews every year. Many of our customers are very small companies that don’t have the resources so they outsource the maintenance activities to Debbie and me. This has become so popular that today Debbie manages most of the maintenance audit clients; sometimes going through BMSC sometimes going through

Code-named “Project Solitaire,” commission members approved $7.6 million for a company that builds tools and equipment used to make semiconductors to expand in the Denver metro area. The expansion of a cleanroom and manufacturing space would create 631 new roles such as technicians, sales associates and engineers paid an average salary of $123,000, according to OEDIT. Ninety out of the company’s 100 employees already work in the Denver area.The new cleanroom would support the domestic supply chain serving semiconductor manufacturers, national security technology accelerators and research laboratories, staff members said.


The company behind Project Solitaire had previously applied for tax credits under the code name “Project 14er” for a facility that would improve battery storage for vehicles and mobile devices but did not go through the contract requirements to be eligible for credits. The most recent award is contingent on the company raising $27.45 million in capital by the end of 2023.

A multinational producer and distributor of “consumable products and carrier devices for those products” is considering a manufacturing space in Aurora that would act as the primary worldwide production facility for one of its products. Littleton Aerospace Company Named To New Mexico Space Incubator NewSpace Nexus, a New Mexico-based nonprofit aimed at fostering the development of aerospace startups across the country, named Aphelion Aerospace and 11 other startups as the latest group of companies joining its flagship “Ignitor” program. The Ignitor program develops companies through three different tiers based on their technology readiness levels, said Casey Anglada DeRaad, NewSpace’s CEO. Satellite and spacecraft startup Aphelion Aerospace develops eco-friendly propulsion tech. The startup was co-founded in 2019 by Miguel Ayala and Matthew Travis, both of whom have extensive backgrounds in the engineering and aerospace industries. Aphelion Aerospace was awarded a NASA contract three months ago to support its long-term space exploration goals, including the research of autonomous ground processing, testing and launching. Although all of the companies chosen for the new cohort aren’t strictly aerospace-related, all are developing space-enabling technologies, DeRaad said. NewSpace’s Ignitor program is unique from other incubators or accelerators, she added, which typically have a specific market focus or are run for shorter periods. “I think our key niche is we’re trying to get the suppliers to the money — I say the suppliers to the buyers,” DeRaad said. “We’re trying to expose them to knowing what government contracts are out there, introducing them to investors or introducing them to other partners.” NewSpace estimates it’s helped recently graduated and existing Ignitor companies land around $25 million in funding through a blend of government contract dollars and private investment. DeRaad said 24 startups were in consideration for the new Ignitor cohort. A network of aerospace experts who work with NewSpace Nexus narrowed the field down to the 12 chosen companies based on criteria that included tech readiness levels, time in business and strength of team members, she added. NewSpace did provide some resources to the startups not selected, such as networking connections and introductions to other incubator and accelerator-type programs.
