I n t r o d u c t i o n This is the sixth (2015) Annual Report of the Special Tribunal to decide the Disputes Related to the Settlement of the Financial Position of Dubai World and its subsidiaries (the “Tribunal”) since its inception in December 2009 when it was established

by His Highness Sheikh Mohammed Bin Rashid Al Maktoum, Vice President and Prime Minister of the United Arab Emirates (UAE) and Ruler of Dubai.

As will be seen, the Report draws a clear distinction between two separate aspects of the Tribunal’s jurisdiction; first, to oversee and if necessary intervene in arrangements made or proposed by Dubai World and its subsidiaries with its or their creditors, in cases where not all of the creditors have approved the arrangements; and secondly, to hear and determine claims between Dubai World and its subsidiaries, on the one hand, and third party litigants, on the other hand.

This second head of the jurisdiction of the Tribunal was originally expressed as claims “against” Dubai World or its subsidiaries (Decree No. 57 of 2009, Article 3) but that was amended to claims “by or against” them by Amending Decree No. 11 of 2010.

The number of cases arising under the second head of jurisdiction to date totals 91, involving claims assessed at more than USD 3.1 billion, and it has vastly out-numbered the two Creditor Voluntary Arrangement (“CVA”) proceedings brought under the first head. And in the second of those two CVA cases, the proceedings were discontinued when all (100%) of the creditors in question approved the proposed terms. But the Tribunal believes that its CVA jurisdiction was the primary reason for its formation in 2009, when Decree No. 57 made special provision for the indebtedness and possible insolvency of any of Dubai World’s subsidiaries, or of Dubai World itself, and that it remains an essential part of the safeguards provided by Decree No. 57 even when those risks, as it is hoped, have receded into the past.

The Tribunal also hopes that the cases it has decided under its second head of jurisdiction “claims by or against Dubai World and its subsidiaries” have assisted in the long-term development of Dubai as a world-class centre for the resolution of commercial disputes.

The Tribunal has adopted rules similar to those of the DIFC Courts, themselves modelled on common law and specifically English Commercial Court procedures, and it has applied them in cases where the governing law is that of Dubai and the UAE, providing common law procedures in civil law disputes. It will be for others to judge the success of this amalgamation, or overlap, between the two different systems, and on behalf of the Tribunal I would like merely to make two observations.

First, there have been cases where common law “procedures”, for example the power to intervene with injunctions or similar orders at the interlocutory stage have enabled the Tribunal to influence the early settlement of commercial disputes, or to avoid injustice that might otherwise result from a long wait for final judgment; and secondly, on issues of substantive law, it has been encouraging to find that the different approaches and formulations of the civil and the common law may lead to substantially identical practical results, for example regarding civil liability for financial harm caused by a negligent misstatement.

With these introductory remarks, I commend the following account of the Tribunal’s work during the year 2015.

The first meeting of the Special Tribunal Related to Dubai World took place on 14 December 2009, and in the intervening years it has become a globally recognised model of best practice in handling complex restructurings and administering claims fairly and equitably.

The work of the Tribunal remained as important as ever in 2015, as demonstrated by the second use of a Voluntary Arrangement Notification (VAN) in the Tribunal’s history, an agreement between a company and its creditors enabling it to continue to manage its affairs with the protection of a Moratorium while the company proceeds with restructuring. In 2012, the Tribunal became the first judicial body in the Middle East to utilise this innovative restructuring regime, with its successful use again in 2015 providing further confirmation that a judicially sanctioned reorganisation can provide a viable and predictable means to restructure a business.

The Dubai World Tribunal, set up in the Dubai International Financial Centre, will implement the voluntary arrangement notification using Decree 57, legislation passed in the wake of the crisis to deal with claims against the conglomerate.�

By year’s end, only one case remained before the Tribunal. Yet despite its falling workload, the Tribunal has never relented on its commitment to delivering world class service standards. All claims can be initiated online, courtroom videoconference facilities enable point-to-point and multi-party video hearings, delayed cases are proactively managed through the use of case progress hearings, and the Tribunal is always ready to hear cases once both parties are ready.

Above all, Tribunal users benefit from a judicial bench of globally renowned bankruptcy and insolvency specialists who have earned widespread trust and respect from the international business and legal communities.

Looking ahead, the Tribunal will remain operational for as long as it is needed, with the world class team of judges and officials ready to support any new claims that emerge in 2016.

Yet six years on from its inception, the Tribunal can reflect with pride on its role in restoring confidence in the Dubai economy by fairly and equitably resolving cases and by continually seeking to enhance the service quality for Tribunal users.

Since the establishment of the Tribunal in December 2009, a total of 91 claims have been filed with a total claim value of USD 3.1 billion. All of the claims have been resolved, with the exception of one, where case proceedings have been stayed at the request of the case parties. In addition to these claims two Voluntary Arrangement Notifications (VANs) were filed.

Another way in which the DW [Dubai World] saga has changed the Dubai business scene is through the use of the special tribunal set up under Decree 57, governing bankruptcy procedures at DW. The rules were employed skillfully by the DW side in the recent negotiations with creditors...

A Voluntary Arrangement Notification (VAN) is made between a company and its creditors enabling it to continue to manage its affairs with the protection of a moratorium while the company proceeds with restructuring. The Tribunal was the first judicial body in the Middle East to utilise this innovative restructuring regime, with VANs demonstrating that a judicially sanctioned reorganisation can provide a viable and predictable means to restructure a business, even where not all creditors agree to the terms of the restructuring.

The purpose of filing for a VAN is that in accordance with Decree No. 57 of 2009, if creditors or equity interest holders representing at least twothirds of claims in terms of value agree to an arrangement, the arrangement, if sanctioned by the Tribunal, is to be binding on all persons within such

class that have or could have a claim before the date the Tribunal sanctions the voluntary arrangement.

Following the filing of a VAN, hearings are held before the Tribunal which constitutes a judicial bench of globally renowned bankruptcy and insolvency specialists.

The hearings are in three stages. Following the notification being filed, a meeting is convened with all Tribunal members. The following day an Application Hearing is held and a Directions Hearing is to be listed not less than 20 days thereafter followed by a Sanctions Hearing to be held not less than 20 days later.

In January 2015, a VAN was filed with the Tribunal by Dubai World and four of its subsidiaries, Istithmar World Holdings LLC, Istithmar World PJSC, Port & Free Zone World FZE and Dubai World Group Finance Limited.

These were written notifications to the Tribunal of the applicant’s intention to make voluntary arrangement proposals to certain of their creditors and for an automatic moratorium to come into force. A proposal was made to its creditors and equity holders for approval on its repayment plan for its USD14.2 billion debt. The arrangement needed to be approved by a two thirds majority of its impaired creditors, with the companies filing the VAN then able to seek protection from the Tribunal to have its debt restructuring plans sanctioned on those creditors who have not agreed.

The following is a summary of events: Following the VAN filing, a meeting was convened from Dubai, by Sir John Chadwick with the Chairman and Tribunal members participating by teleconference on 12 January 2015.

A VAN Application Hearing was held on 13 January 2015, before Sir John Chadwick, which was followed by an Order and Certificate being issued on the same day. A copy can be found on the Tribunal’s website: www.dubaiworldtribunal.ae. A VAN Directions Hearing was held on 15 February 2015, before Sir Anthony Evans, Michael Hwang SC, Sir John Chadwick and Sir David Steel. A Directions Hearing is usually held after the Voluntary Arrangement proposal has been distributed to its creditors and/or equity interest holders. At the Directions Hearing creditors and/ or equity interest holders have a right to be heard and the Tribunal will consider the Company’s proposed procedures for voting. The proposal for a Voluntary Arrangement must separately classify secured creditors, unsecured creditors and equity interest holders for the purposes of voting on the Voluntary Arrangement. At the Directions Hearing, the Tribunal may order that the proposed notice and voting procedures be approved, rejected or approved subject to modifications.

During the Directions Hearing on 15 February 2015, an application was made by the VAN applicants, seeking permission from the Tribunal to discontinue the proceedings as 100 percent support had been gained from creditors.

State-owned conglomerate Dubai World has been granted approval to end court proceedings relating to its $14.6 billion debt restructuring deal, according to a document on the court’s website. The action allows lawyers for the conglomerate to gather the signatures of creditors in support of the deal outside the Dubai World Tribunal, the special court that had been overseeing the process.”

Following the Directions Hearing on 15 February 2015, an Order was issued the same day in the following terms: ✑T he Applicants were to give an undertaking to give notice of the terms of the order to all creditors that had been impaired by the CVAs by Debt domain and all creditors and equity interest holders, including those that had not been impaired by the CVAs by posting in the Wall Street Journal and Bloomberg newswire ✑A pplication for permission to discontinue the proceedings in respect of the CVAs adjourned until 10 May 2015 with liberty to apply for an earlier hearing date (the “Discontinuance Application”). The Applicants agreed for the hearing of the Discontinuance Application to be conducted by one Member of the Tribunal ✑T he automatic moratoria which came into force on 12 January 2015 and had been varied by Tribunal Order on 13 January 2015 ceased to apply with immediate effect.

A VAN Sanctions Hearing tentatively listed for 10 May 2015 was to be replaced with a Discontinuance Application Hearing (if required) and to be heard before one Tribunal Member. A Sanctions Hearing is where the Tribunal determines whether the Voluntary Arrangement satisfies the substantive standards of Decree 57, considers any objections and then decides if it should be sanctioned. If the Tribunal rejects the proposed arrangement, it may order the corporation to be wound up.

On 19 March 2015, the applicants requested for the adjourned application to be dealt with on paper and for the Tribunal to issue a Discontinuance Order for the proceedings to be formally discontinued.

Following the Tribunal being informed that all documents giving effect to the debt optimisation had been signed by 100 percent of its creditors, on 24 March 2015, an Order was issued by Sir David Steel on behalf of the Tribunal, ordering that the Applicants be granted permission to discontinue the

proceedings in respect of the CVAs (the “CVA Proceedings”) and that the CVA Proceedings are hereby discontinued.

This was a positive outcome for the Tribunal, where it proved it was a reliable forum to turn to in order to supervise debt restructuring plans when required. The acceptance of the terms for repayment of the USD14.2 billion debt by creditors and equity holders brought further closure to Dubai World’s debt issues, as some of its debt due would be paid earlier than initially proposed and repayment of the remaining part would now be phased over a more manageable timeframe giving it a more stable position in the global financial community.

This was the second successful major debt restructuring using a Voluntary Arrangement Notification, following the first in 2012 for Drydocks World LLC and Drydocks World - Dubai LLC. This was successfully sanctioned by the Tribunal in 2012 in respect of Drydocks World LLC and Drydocks World – Dubai LLC. Following this sanctioning, Drydocks’ Legal Counsel filed two application notices in February 2013, requesting declaratory relief against Monarch Master Fund Limited, who brought proceedings against the Applicants in New York, Scotland and Norway. Following the hearing, injunction orders were issued in April 2013, where the worldwide injunction restrained Monarch from commencing further proceedings (including enforcement proceedings) against Drydocks whilst insolvency matters were still before the Tribunal.

Khalid Hassan A. Al Qahtani v Limitless LLC (DWT/0007/2010)

68,438,356, which had been paid to the Defendant, Nakheel PJSC, for a plot in the Dubai Waterfront Project. After payment of the purchase price in June 2008, the Claimant was made aware by the Defendant that part of the plot was classified as holy land and had a mosque situated on it, which had been in use for around three years. The Claimant’s case was that the Defendant did not have the legal right to sell the plot for its advertised intended purpose of building a hotel and resort (mixed use) and that the Defendant had failed to disclose the prior use during meetings and in the sales documents. A two-day trial was held in August 2013 in the above matter, followed by a further hearing in October 2013 after the parties’ request for additional time for final oral submission, following which a judgment was issued on January 2013 in the Claimant’s favour for the deposit, paid by the Claimant, to be repaid in the amount of AED 35 million and also be compensated for interest on that amount during the period he was out of pocket.

Sheikh Khalid Hassan A. Al Qahtani and Khalid Hassan Abdul Karim Al Qahtani & Partner Company (Hassan Abdul Karim AL Qahtani Sons Co. for Trading And Contracting) LLC (the Claimant) filed a claim on 21 September 2010 against the Defendant, Limitless LLC. The Claimant alleged that on 2 June 2008, they had paid AED23,607,440,000 (USD 6,432,555) to the Defendant, as reservation payment for two plots in Downtown Jebel Ali. There had been correspondence between the Claimant and the Defendant in order to conclude a final sale contract, but they were unable to come to a mutual agreement. On 15 November 2008, the Claimant sent a letter to the Defendant informing them that the proposed sales and purchase agreement terms had not been accepted by the Claimant and that the Defendant should refund the booking amount paid by the Claimant.

The remedy sought by the Claimant was for termination of the two plots that had been reserved and for the Defendant to refund the full amount paid for reservation of the plots, plus all fees, legal costs and interest.

Judgment was issued on 23 April 2013, where it was ruled that the Claimant was entitled to judgment against the Defendant for the full amount to be refunded plus interest. Parties were requested to make written submissions on interest and costs.

Regarding interest, pre-judgment interest is concerned with calculating a figure for interest which will be included in the amount for which judgment is given. Post-judgment interest means establishing a rate which will apply to the judgment figure from the date of the judgment until the amount due under it is paid in full.

Following an application made by the Claimant for post-judgment interest to be paid, a Ruling on Interest was issued by Sir Anthony Evans

on 14 October 2015, which was later reissued on 19 November 2015. It was ruled that as the Defendant had not paid the judgment debt, the Defendant was ordered to pay post-judgment interest on the judgment sum at the EIBOR Interest rate + 1 percent (three month spread).

Greenfield Trading Company FZC v Nakheel PJSC (DWT/0038/2011)

Following submissions filed by the Claimant on the assessment of interest on the sum awarded in the Judgment, a Ruling on Interest was issued on 14 October 2015 and later amended and re-issued on 26 November 2015, where a decision was made on the relevant market rates to be used and how calculations were to be made both for pre-judgment interest and postjudgment interest.

Greenfield Trading Company FZC filed a claim in July 2011 for the repayment of AED

Gulf Boats Trading v Drydocks World LLC (DWT/0002/2014) A claim form was filed on 30 January 2014 by the Claimant, Gulf Boats Trading against the Defendant, Drydocks World LLC. Gulf Boats Trading claimed that on 9 April 2013, they sailed their dhow boat “Al Zahabi 14” from Dubai Marina to the Defendant’s dry dock at Al Jadaf in Dubai for maintenance purposes. At the Defendant’s dry dock, on or about August or September 2013, the boat sank and suffered substantial damage.

The Claimant alleged that the sinking arose as a result of the Defendant’s negligence.

The Claimant sought a remedy for the amount of USD 286,103.54 for the payment of damages, repayment of sums incurred, and compensation for lost profit, interest and legal costs.

Following a three-day trial held from 25 to 27 January 2015, before Sir John Chadwick and Sir David Steel, a judgment was issued on 17 February 2015 and later amended and re-issued on 11 March 2015.

The claim was rejected, with the Tribunal expressing the view that the claim was based entirely on speculation and wholly unsupported by any reliable evidence.

Platinum Services Company v Dubai Port World & Dubai Port World Sokhna (DWT/0005/2013)

to USD25,548,308.68 following the services rendered by the Claimant to DP World Sokhna (“DPWS”), a wholly owned subsidiary of Dubai Port World, at the Sokhna Port in Egypt, and USD50,000,000.00 as compensation for the losses/damages suffered by the Claimant, on account of the wrongful acts of the Defendants, Dubai Port World – Dubai and Dubai Port World Sokhna. The total Claim was valued up to USD86 million, including legal costs and interest sought by the Claimant.

An eight-day trial was listed from 4 to 13 October 2015, before a three member panel. During the case proceedings, on the fourth day of the trial, the parties reached a settlement and consequently the trial was vacated.

Allegations were that DPWS appointed the Claimant to provide trained labour services to Sokhna Port, Egypt, by an agreement in September 2005. A Restaurant Management & Catering Contract between the Claimant and SPDC was also executed in December 2007, and later renewed in August 2008, for serving meals to staff and visitors at the Sokhna Port.

The claim had been filed on 4 December 2013 by Platinum Services Company based in Cairo, Egypt, seeking payment for what the Claimant alleged were unpaid invoices amounting

In December 2012, DP World Sokhna informed the Claimant that it was in the process of negotiating with shortlisted contractors so as to replace them. Shortly afterwards the

Claimants requested that the agreements should be extended for one month. The Claimant rejected the request for extension.

However, subsequently it agreed that it would provide the required services to DP World Sokhna for a short duration at newly quoted rates, on a daily basis until they found an alternative arrangement.

The Claimant accordingly rendered the services for the full month of January 2013 and raised invoices for the total amount of USD 25,548,308.68 in accordance with the new rates quoted by the Claimant.

The Claimant alleged that the Defendants had an ulterior motive to destroy their business and had instigated their labourers to go on strike and then forced them to transfer to the Red Sea Port Authority, who later on signed agreements with DP World Sokhna. As a direct result of the wrongful acts of the Defendant, the Claimant contended that it had lost its business and had to close a very successfully running company.

The Tribunal places great importance on compliance with its judgments and accordingly has carried out a data gathering exercise, obtaining feedback from Tribunal users and judgment creditors on how many Orders and Judgments issued by the Tribunal have been complied with, how many had to go through enforcement and their experiences on the whole, in order to assess whether their requirements have been met. Following this exercise the Tribunal learnt that 66 percent of its judgments and orders have been complied with, without enforcement. A further 25 percent were not complied with and have had to go through the enforcement process at the Dubai Courts, some of which have consequently received payment; the status of the remaining 9 percent is unknown as the Tribunal was unable to reach the case party or its legal representatives.

The Dubai World Tribunal was established in late 2009 as an independent forum for the settling of mainly financial disputes between Dubai World and its subsidiaries (which include DP World) and third parties, in the midst of the conglomerate’s attempts to restructure $24 billion worth of debt. Judgments of the tribunal cannot be appealed‌

TECHNOLOGY Following Sheikh Mohammed bin Rashid Al Maktoum, Vice President and Prime Minister of the UAE and Ruler of Dubai, launching the m¬government initiative in May 2013, which required all government departments to make their services available via mobile devices, there was an urgent need to comply with the m¬government requirements and offer Tribunal services via all forms of devices.

With the current Case Management System (eRegistry), whilst the existing electronic filing forms in the eRegistry can be viewed on a mobile device, it was designed back in 2009, long before the Smart¬Phone market took off. The Tribunal recognises that technological advancements are made continuously in the market and therefore needs to maintain its position in innovation, as well as keeping up to date and hence is working on a complete upgrade of its eRegistry which will enable access to web applications and webforms on a mobile and the web pages to adapt to various screen sizes.

CONCLUS I ON On behalf of all Tribunal Members, I acknowledge and thank all of its staff, including Mark Beer OBE (Registrar), Amna Al Owais (Deputy Registrar), Henna Yousaf (Judicial Coordinator) and Lema Hatim (Senior Case Progression Officer) for their unfailing hard work and great competence in the administration of its affairs, in this as in previous years. Without them, it would have been impracticable for the Tribunal to handle its case load and to continue to discharge its responsibilities; and they must share any credit that is due for what has been achieved.

Sir Anthony Evans went on to express his hope that ‘the machinery provided by Decree 57, and the existence of the tribunal established by it, have contributed to that success and have proved useful to an important part of the business and economy of Dubai’”.

‫المقدمــــة‬ ‫نرحب بكم في التقرير السنوي السادس (‪ )2015‬للجنة القضائية الخاصة بالفصل في المنازعات المتعلقة بتسوية الوضع المالي لمؤسسة «دبي‬ ‫العالمية» والشركات التابعة لها (والمشار إليها فيما بعد بـ «اللجنة القضائية»)‪ .‬تأسست اللجنة في ديسمبر ‪ 2009‬بموجب مرسوم صادر عن‬ ‫صاحب السمو الشيخ محمد بن راشد آل مكتوم‪ ،‬نائب رئيس الدولة رئيس مجلس الوزراء حاكم دبي‪ ،‬رعاه اهلل‪.‬‬ ‫ويميز التقرير بشكل واضح بين جانبين منفصلين تمام ًا من اختصاص «اللجنة القضائية الخاصة»‪ ،‬يشمل األول اإلشراف والتدخل عنـد الضرورة‬ ‫في الترتيبات المقتـرحة أو التي تـم تطبيقها من جانب مؤسسة «دبي العالمية» والشركات التابعة لها مع الدائنين وذلك في القضايا التي لم‬ ‫تحصل فيها هذه الترتيبات على موافقة جميع الدائنين‪ .‬أما الجانب الثاني‪ ،‬فيتضمن االستماع والبت في الدعاوى بين «دبي العالمية» والشركات‬ ‫التابعة لها من جهة والمتقاضين من طرف ثالث من جهة ثانية‪.‬‬ ‫ويتجلى الجانب الثاني من اختصاص «اللجنة القضائية الخاصة» على شكل دعاوى «ضد» مؤسسة «دبي العالمية» أو الشركات التابعة لها‬ ‫(المادة ‪ 3‬من المرسوم رقم ‪ 57‬لعام ‪)2009‬؛ ولكن تم تعديل ذلك لتتم اإلشارة إليها الحق ًا على أنها دعاوى «من قبلهم أو ضدهم» بموجب‬ ‫المرسوم رقم ‪ 11‬لعام ‪ .2010‬ووصل عدد القضايا المرفوعة ضمن إطار الجانب الثاني لالختصاص القضائي للجنة حتى تاريخه إلى ‪ 91‬قضية‬ ‫بقيمة تتجاوز ‪ 3,1‬مليار دوالر أمريكي؛ وقد تخطى ذلك إجراءات قضيتي «الصلح الواقي من اإلفالس» المرفوعتين ضمن إطار الجانب األول من‬ ‫اختصاص اللجنة القضائية‪ ،‬مع اإلشارة إلى توقف اإلجراءات في دعوى الصلح الثانية بشكل كامل بعد موافقة جميع الدائنين المعنيين على‬ ‫الشروط المقترحة‪.‬‬ ‫وتدرك اللجنة أن اختصاصها القضائي بشأن «الصلح الواقي من اإلفالس» كان سبب ًا رئيسي ًا لتشكيلها عام ‪ 2009‬عندما نص المرسوم رقم‬ ‫(‪ )57‬على حكم خاص حول المديونية وحاالت اإلعسار المحتملة لدى «دبي العالمية» أو إحدى شركاتها التابعة؛ وقد بقي ذلك جزءاً رئيسي ًا من‬ ‫الضمانات المنصوص عليها في المرسوم المذكور آنف ًا حتى في حال أصبحت هذه المخاطر ‪ -‬كما هو مأمول ‪ -‬شيئ ًا من الماضي‪.‬‬ ‫كما تأمل «اللجنة القضائية الخاصة» أن يساعد نجاحها في البت بالقضايا ضمن إطار الجانب الثاني الختصاصها القضائي (الدعاوى المرفوعة «من‬ ‫قبل أو ضد» «دبي العالمية» وشركاتها التابعة) على حفز تطور دبي على المدى الطويل كمركز عالمي لحل المنازعات التجارية‪.‬‬ ‫واعتمدت «اللجنة القضائية الخاصة» قواعد مماثلة لتلك المطبقة في محاكم مركز دبي المالي العالمي‪ ،‬والتي ترتكز على أحكام القانون العام‬ ‫وإجراءات «المحكمة التجارية اإلنجليزية» بشكل خاص‪ .‬وقامت اللجنة بتطبيق هذه القواعد في الحاالت التي يكون فيها القانون المعتمد‬ ‫مستمداً من قوانين دبي ودولة اإلمارات العربية المتحدة‪ ،‬ما يتيح تطبيق إجراءات القانون العام في منازعات القانون المدني‪ .‬ويتعين على‬ ‫اآلخرين الحكم على مدى نجاح هذه التجربة بالدمج أو التداخل بين نظامين مختلفين‪ .‬وبالنيابة عن «اللجنة القضائية الخاصة»‪ ،‬أود اإلشارة إلى‬ ‫مالحظتين أساسيتين‪.‬‬

‫أوالً‪ ،‬ثمة حاالت تمثل فيها إجراءات القانون العام ‪ -‬على سبيل المثال ‪ -‬وسيلة ناجحة للتدخل من خالل اإلنذارات القضائية أو األوامر القضائية‬ ‫المشابهة خالل المرحلة التمهيدية‪ ،‬ما أتاح للجنة القضائية الخاصة التأثير على تسوية المنازعات التجارية في الوقت المناسب أو تالفي الظلم‬ ‫ال إلصدار الحكم النهائي‪ .‬وثانياً‪ ،‬في قضايا القانون الجوهري‪ ،‬كان من المشجع االكتشاف بأن األساليب‬ ‫الذي قد يحدث نتيجة االنتظار طوي ً‬ ‫واألشكال المختلفة للقانون العام والمدني يمكن أن تفضي إلى نتائج عملية مماثلة لحد كبير خاصة فيما يتعلق بالمسؤولية المدنية عن الضرر‬ ‫المالي الناجم عن أخطاء اإلهمال على سبيل المثال‪.‬‬ ‫وفي ضوء هذه المالحظات التمهيدية‪ ،‬نشيد بالجهود الحثيثة التي بذلتها «اللجنة القضائية الخاصة» خالل عام ‪.2015‬‬

‫رسالة من أمين سجل اللجنة القضائية الخاصة بالمنازعات المتعلقة بمؤسسة «دبي العالمية»‬ ‫انعقد االجتماع األول للجنة القضائية الخاصة بالمنازعات المتعلقة بمؤسسة‬ ‫«دبي العالمية» والشركات التابعة لها يوم ‪ 14‬ديسمبر ‪2009‬؛ وخالل السنوات‬ ‫التي أعقبت ذلك‪ ،‬أصبحت هذه اللجنة نموذج ًا يحتذى به العتماد أفضل‬ ‫ممارسات التعامل مع عمليات إعادة الهيكلة المعقدة وإدارة الدعاوى بأسلوب‬ ‫عادل ومنصف‪.‬‬ ‫ٍ‬ ‫وواصلت اللجنة لعب دورها المحوري المعتاد خالل عام ‪ ،2015‬وتجلى ذلك من‬ ‫خالل تلقي الطلب الثاني في تاريخ اللجنة للموافقة على إعالن «الصلح الواقي من‬ ‫اإلفالس» الذي يمثل اتفاقية بين إحدى الشركات ودائنيها‪ ،‬ما يمكن تلك الشركة‬ ‫من مواصلة إدارة شؤونها مع حمايتها بقرار تأجيل دفع الديون الصادر من اللجنة‬ ‫القضائية الخاصة أثناء مواصلة الشركة لعملية إعادة هيكلة العوائد‪ .‬وفي عام‬ ‫‪ ،2012‬أصبحت اللجنة الجهة القضائية األولى على مستوى منطقة الشرق األوسط‬ ‫في تطبيق هذا النظام المبتكر إلعادة الهيكلة‪ ،‬خاصة بعد استخدامه بنجاح للمرة‬ ‫الثانية في عام ‪ ،2015‬حيث أكد أن إعادة تنظيم الشركة المفروض بقوة القانون‬ ‫يمكن أن يقدم وسائل متوقعة وقابلة للتطبيق إلعادة هيكلة ديون أي مشروع‬ ‫تجاري أو شركة‪.‬‬

‫إن اللجنة القضائية الخاصة‬ ‫بمؤسسة «دبي العالمية»‪،‬‬ ‫والتي تم إنشاؤها في مركز‬ ‫دبي المالي العالمي‪ ،‬ستقوم‬ ‫بتنفيذ إشعار الترتيب الطوعي‬ ‫وفقاً للمرسوم رقم ‪57‬‬ ‫الذي تم إصداره في أعقاب‬ ‫األزمة المالية للتعامل مع‬ ‫الدعاوى القضائية المرفوعة ضد‬ ‫المؤسسة وشركاتها التابعة‪.‬‬

‫يبق أمام اللجنة القضائية إال الفصل بقضية واحدة؛ ولكن‬ ‫وبنهاية عام ‪ ،2015‬لم َ‬ ‫رغم طي العديد من القضايا‪ ،‬تواصل اللجنة التزامها بتوفير خدمات عالمية‬ ‫ال عن توافر مرافق‬ ‫المستوى‪ .‬ويمكن تداول جميع المطالبات عبر اإلنترنت‪ ،‬فض ً‬ ‫لمؤتمرات الفيديو ضمن قاعات المحكمة التي تتيح إجراء جلسات اجتماع مباشرة‬ ‫أو متعددة األطراف عبر الفيديو‪ ،‬كما يمكن إدارة القضايا المؤجلة بشكل استباقي‬ ‫عبر جلسات االستماع المتعلقة بسير القضايا‪ .‬وتبدي اللجنة القضائية استعدادها‬ ‫التام لالستماع إلى القضايا عند جهوزية كال الطرفين‪.‬‬ ‫عالوةً على ذلك‪ ،‬يمكن لمستخدمي اللجنة القضائية االستفادة من هيئة قضائية‬ ‫تضم خيرة المتخصصين المشهود لهم عالمي ًا في مجال قضايا اإلفالس‬ ‫واإلعسار ممن اكتسبوا ثقة واحترام المجتمعات التجارية والقانونية الدولية‪.‬‬ ‫وخالل المرحلة المقبلة‪ ،‬ستواصل اللجنة القضائية عملها طالما كان هناك‬ ‫حاجة لها‪ ،‬وذلك باالعتماد على فريق عالمي من القضاة والمسؤولين الذين يبدون‬ ‫استعدادهم لدعم أية مطالبات جديدة تظهر في عام ‪.2016‬‬ ‫وبعد مضي ‪ 6‬سنوات على إنشائها‪ ،‬تفخر اللجنة القضائية بدورها المهم الذي‬ ‫يسهم في استعادة الثقة باقتصاد دبي عبر البت في المنازعات بعدالة وإنصاف‪،‬‬ ‫ومواصلة السعي لتعزيز جودة الخدمات لمستخدمي الهيئة‪.‬‬

‫القضايا التي تم البت فيها‬ ‫تلقت اللجنة القضائية الخاصة ‪ 91‬قضية‬ ‫ليصل بذلك إجمالي قيمة الدعاوى‬ ‫المرفوعة أمامها إلى ‪ 3,1‬مليار دوالر أمريكي‬ ‫منذ تأسيسها في ديسمبر ‪ .2009‬وتم البت‬ ‫في جميع هذه القضايا باستثناء واحدة‪ ،‬حيث‬ ‫بناء على طلب‬ ‫تم إيقاف إجراءات الدعوى ً‬ ‫أطراف القضية‪ .‬وعدا عن هذه القضايا‪ ،‬تم‬ ‫تلقي طلبين للموافقة على إعالن «الصلح‬ ‫الواقي من اإلفالس»‪.‬‬

‫تتمثل إحدى الطرق‬ ‫األخرى التي ساعدت مؤسسة‬ ‫[دبي العالمية] على تغيير بيئة‬ ‫األعمال بدبي في استخدام‬ ‫نظام قضائي خاص بموجب‬ ‫المرسوم رقم ‪ 57‬لتنظيم إجراءات‬ ‫اإلفالس في المؤسسة‪.‬‬ ‫ووظفت المؤسسة قواعـد‬ ‫هذا النظام بكفاءة عالية خالل‬ ‫مفاوضاتها األخيرة مع الدائنين‪.‬‬

‫الصلح الواقي من اإلفالس‬ ‫يمثل «الصلح الواقي من اإلفالس»‪ ،‬اتفاقية بين إحدى الشركات ودائنيها‪ ،‬ما يمكن‬ ‫تلك الشركة من مواصلة إدارة شؤونها مع حمايتها بقرار تأجيل دفع الديون الصادر‬ ‫عن اللجنة القضائية الخاصة أثناء مواصلة الشركة لعملية إعادة الهيكلة‪ .‬وتعتبر‬ ‫اللجنة الجهة القضائية األولى على مستوى منطقة الشرق األوسط في تطبيق هذا‬ ‫النظام المبتكر إلعادة الهيكلة‪ ،‬حيث أكد أن إعادة تنظيم الشركة المفروض بقوة‬ ‫القانون يمكن أن يقدم حلول متوقعة وقابلة للتطبيق إلعادة هيكلة ديون أي مشروع‬ ‫تجاري أو شركة‪.‬‬ ‫يتم التقدم بطلب إعالن «الصلح الواقي من اإلفالس» بما ينسجم مع المرسوم‬ ‫رقم (‪ )57‬لعام ‪ 2009‬في حال موافقة الدائنين أو أصحاب حقوق الملكية ‪ -‬الذين‬ ‫يمثلون ما ال يقل عن ثلثي المطالبات من حيث القيمة ‪ -‬على هذا الترتيب الطوعي‪.‬‬ ‫وفي حال تم إقرار الصلح من قبل اللجنة‪ ،‬فسيكون ملزم ًا لجميع األشخاص ضمن‬

‫هذه الفئة ممن تقدموا أو قد يتقدمون بمطالبة قبل إقرار «اللجنة القضائية الخاصة»‬ ‫للترتيب الطوعي‪.‬‬ ‫وبعد رفع طلب اإلعالن عن «الصلح الواقي من اإلفالس»‪ ،‬يتم عقد جلسات استماع‬ ‫أمام اللجنة التي تعد جهة قضائية عالمية تضم خيرة المتخصصين المشهود لهم‬ ‫عالمي ًا بمجال قضايا اإلفالس واإلعسار‪.‬‬ ‫وتنقسم جلسات االستماع إلى ثالث مراحل؛ فبعد التقدم بطلب اإلعالن عن الصلح‪،‬‬ ‫يتم عقد اجتماع بحضور جميع أعضاء «اللجنة القضائية الخاصة»‪ .‬ويتم في اليوم‬ ‫التالي عقد جلسة استماع حول الطلب مع التحضير لعقد جلسة توجيهية خاصة في‬ ‫غضون ‪ 20‬يوم ًا كحد أدنى‪ ،‬ليتم بعدها عقد جلسة استماع لفرض إجراءات ملزمة خالل‬ ‫موعد الحق ال يقل عن ‪ 20‬يوم ًا أيضاً‪.‬‬

‫إعالن «الصلح الواقي من اإلفالس» خالل عام ‪2015‬‬ ‫خالل شهر يناير ‪ ،2015‬تلقت اللجنة طلب ًا إلعالن «الصلح الواقي من اإلفالس»‬ ‫من قبل مجموعة «دبي العالمية» و‪ 4‬من شركاتها التابعة وهي‪« :‬شركة‬ ‫استثمار العالمية القابضة»‪ ،‬و«استثمار العالمية»‪ ،‬و«الموانئ والمناطق الحرة‬ ‫العالمية»‪ ،‬و«دبي العالمية المالية المحدودة»‪ .‬وجاء ذلك على شكل إخطارات‬ ‫خطية إلى «اللجنة القضائية الخاصة» تفيد بنية المتقدمين بها طرح مقترحات‬ ‫«الصلح الواقي من اإلفالس» إلى بعض الدائنين‪ ،‬وبالتالي تطبيق قرار تلقائي‬ ‫بتأجيل الديون‪.‬‬ ‫وتم عرض االقتراح على الدائنين وأصحاب حقوق الملكية من أجل الموافقة‬ ‫على خطة سداد ديون بقيمة ‪ 14,2‬مليار دوالر أمريكي‪ .‬ويتعين أن يحظى الصلح‬ ‫بموافقة ثلثي الدائنين المتأثرين علم ًا أن الشركات التي تتقدم بطلب «إعالن‬ ‫الصلح الواقي من اإلفالس» ستتمكن من التماس الحماية من «اللجنة‬ ‫القضائية الخاصة»‪ ،‬وبالتالي تطبيق خطط إعادة هيكلة الديون على الدائنين‬ ‫ممن لم يوافقوا على الصلح‪.‬‬ ‫وفيما يلي ملخص ألهم الخطوات‪:‬‬ ‫بعد تقديم طلب إعالن «الصلح الواقي من اإلفالس»‪ ،‬تم عقد اجتماع في دبي‬ ‫بتاريخ ‪ 12‬يناير ‪ 2015‬بمشاركة السير جون تشادويك ورئيس مجلس إدارة وأعضاء‬ ‫«اللجنة القضائية الخاصة» الذي شاركوا عبر جلسة مؤتمرات عبر الهاتف‪.‬‬ ‫انعقدت جلسة حول طلب «إعالن الصلح الواقي من اإلفالس» بتاريخ‬ ‫‪ 13‬يناير ‪ 2015‬بمشاركة السير جون تشادويك‪ ،‬حيث أعقبها إصدار أمر وشهادة‬ ‫في اليوم ذاته‪ .‬ويمكن االطالع على نسخة من ذلك على الموقع اإللكتروني‬ ‫للجنة ‪ .www.dubaiworldtribunal.ae‬وتم عقد جلسة استماع توجيهية يوم‬ ‫‪ 15‬فبراير ‪ 2015‬بمشاركة السير أنطوني إيفانز‪ ،‬والسير جون تشادويك‪ ،‬ومايكل‬ ‫هوانج والسير ديفيد ستيل‪ .‬وعادةً ما يتم عقد جلسة االستماع التوجيهية‬ ‫بعد توزيع اقتراح «الصلح الواقي من اإلفالس» على الدائنين و‪ /‬أو أصحاب حقوق‬ ‫الملكية الذين يحق لهم اإلدالء بآرائهم خالل الجلسة التوجيهية‪ ،‬كما تتيح‬ ‫اللجنة التصويت على اإلجراءات المقترحة من جانب الشركة‪ .‬ويتعين على اقتراح‬ ‫«الصلح الواقي من اإلفالس» تصنيف الدائنين المضمونين‪ ،‬وغير المضمونين‪،‬‬ ‫وأصحاب حقوق الملكية‪ ،‬وذلك بغرض التصويت على الصلح‪ .‬وخالل الجلسة‬ ‫التوجيهية‪ ،‬قد توافق اللجنة أو ترفض أو تقر ‪ -‬بحسب التعديالت ‪ -‬المالحظات‬ ‫المقترحة وإجراءات التصويت‪.‬‬ ‫وخالل الجلسة التوجيهية التي انعقدت يوم ‪ 15‬فبراير ‪ ،2015‬قام مقدمو طلب‬ ‫إعالن «الصلح الواقي من اإلفالس» برفع طلب إلى اللجنة لوقف اإلجراءات بعد‬ ‫الحصول على الدعم التام من الدائنين‪.‬‬

‫حصلت مجموعة «دبي العالمية» الحكومية على الموافقة الالزمة إلنهاء اإلجراءات القضائية المتعلقة‬ ‫بإعادة هيكلة ديونها البالغة ‪ 14,6‬مليار دوالر أمريكي‪ ،‬وذلك بحسب وثيقة مدرجة على الموقع‬ ‫اإللكتروني الخاص باللجنة القضائية الخاصة بالمجموعة‪ .‬وهذا ما يتيح لمحامي المجموعة جمع تواقيع‬ ‫الدائنين دعماً لالتفاقية خارج إطار اللجنة التي تمثل الجهة القضائية التي أشرفت على هذه العملية‪.‬‬

‫وأعقب جلسة االستماع التوجيهية‪ ،‬التي انعقدت في ‪ 15‬فبراير ‪ ،2015‬إصدار‬ ‫أمر قضائي في نفس اليوم تضمن النقاط التالية‪:‬‬ ‫ تعين على مقدمي الطلبات التعهد باإلخطار حول شروط األمر‬ ‫القضائي لجميع الدائنين المتأثرين بالترتيب الطوعي وذلك عبر موقع‬ ‫‪ ،Debtdomain‬إضافة إلى إخطار بقية الدائنين وأصحاب حقوق الملكية‬ ‫بمن فيهم المتأثرين بالترتيب الطوعي عبر صحيفة «وول ستريت‬ ‫جورنال» ووكالة أنباء «بلومبرغ»‪.‬‬ ‫ التمس مقدمو الطلبات إذن ًا بإيقاف اإلجراءات المتعلقة بالترتيب‬ ‫الطوعي وإرجائها حتى تاريخ ‪ 10‬مايو ‪ ،2015‬مع احتفاظهم بحرية التقدم‬ ‫بطلب جلسة استماع مبكرة (طلب إيقاف تنفيذ)‪ .‬كما وافقوا على قيام‬ ‫أحد أعضاء «اللجنة القضائية الخاصة» بعقد جلسة استماع حول «طلب‬ ‫إيقاف التنفيذ»‪.‬‬ ‫ اوتم تعديل قرار تأجيل الديون التلقائي الذي دخل حيز التنفيذ بتاريخ ‪12‬‬ ‫يناير ‪ ،2015‬وذلك بموجب قرار «اللجنة القضائية الخاصة» الصادر بتاريخ‬ ‫‪ 13‬يناير ‪ 2015‬والذي أوقف المفعول الفوري للقرار‪.‬‬ ‫وتم استبدال جلسة االستماع المخصصة لإلجراءات المفروضة ضمن‬ ‫إعالن «الصلح الواقي من اإلفالس» والمقرر عقدها يوم ‪ 10‬مايو ‪ 2015‬بجلسة‬ ‫استماع خاصة بطلب إيقاف التنفيذ (إذا تطلب األمر ذلك)‪ ،‬ويتولى عقدها‬ ‫أحد أعضاء «اللجنة القضائية الخاصة»‪ .‬ويتم عقد جلسة مصادقة على‬ ‫أحكام ملزمة حين تقوم اللجنة القضائية الخاصة بالفصل فيما إذا‬ ‫كان «الترتيب الطوعي» يمتثل لمعايير المرسوم رقم (‪ )57‬مع األخذ‬ ‫باالعتبار االعتراضات المقدمة‪ ،‬ثم اتخاذ قرار حول جواز المصادقة‪ .‬وفي حال‬ ‫رفضت «اللجنة القضائية الخاصة» الترتيب المقترح‪ ،‬فقد تقوم بإصدار قرار‬ ‫بإنهاء الشراكة‪.‬‬ ‫وفي يوم ‪ 19‬مارس‪ ،‬التمس مقدمو الطلبات إجراء المعامالت الورقية ذات‬ ‫الصلة بالطلب المؤجل‪ ،‬وأن تصدر «اللجنة القضائية الخاصة» «طلب إيقاف‬ ‫تنفيذ» لإلجراءات القانونية رسمياً‪.‬‬ ‫وفي أعقاب إخطار «اللجنة القضائية الخاصة» بأن جميع الوثائق التي‬ ‫تتيح إنفاذ القرارات المتعلقة بإدارة الديون قد تم توقيعها من الدائنين‬ ‫كافة‪ ،‬تم في يوم ‪ 24‬مارس ‪ 2015‬إصدار أمر قضائي من قبل السير‬ ‫ديفيد ستيل بالنيابة عن «اللجنة القضائية الخاصة» يقضي بمنح‬ ‫جميع مقدمي الطلبات اإلذن بإيقاف اإلجراءات المتعلقة بالترتيبات‬ ‫الطوعية (إجراءات الترتيب الطوعي)‪ ،‬وبموجب ذلك‪ ،‬تم إيقاف إجراءات‬ ‫الترتيب الطوعي‪.‬‬ ‫‪6‬‬

‫من اليمين إلى اليسار‪ :‬السير جون تشادويك‪ ،‬والسير أنطوني إيفانز‪،‬‬ ‫ومايكل هوانج اس سي‪ ،‬والسير ديفيد ستيل‬

‫وكان لذلك وقع إيجابي على «اللجنة القضائية الخاصة»‪ ،‬حيث برهنت‬ ‫على دورها كمنصة موثوقة لإلشراف على خطط إعادة هيكلة‬ ‫الديون عند الحاجة‪ .‬وأثمر قبول الدائنين وأصحاب حقوق الملكية‬ ‫لشروط سداد الديون البالغ قيمتها ‪ 14,2‬مليار دوالر أمريكي عن‬ ‫طي مزيد من ملفات وقضايا «دبي العالمية»‪ ،‬حيث سيتم تسديد‬ ‫بعض الديون المستحقة قبل موعدها المحدد‪ ،‬إضافة إلى سداد‬ ‫الجزء المتبقي على مراحل ضمن فترة زمنية يمكن إدارتها على‬ ‫نحو أبسط‪ ،‬ما يمنح المؤسسة وضع ًا أكثر استقراراً ضمن األوساط‬ ‫المالية العالمية‪.‬‬

‫إعادة الهيكلة المبكرة للديون‬ ‫كانت هـذه ثاني إعادة هيكلة ناجحة للديون باستخـدام إعالنات «الصلح الواقي‬ ‫من اإلفالس»‪ ،‬وذلك في أعقاب النجاح األول الذي تحقق مع شركتي «األحواض‬ ‫الجافة العالمية» و«األحواض الجافة العالمية دبي»؛ حيث نجحت «اللجنة‬ ‫القضائية الخاصة» في ‪ 2012‬بإقرار الحكم فيما يتعلق بشركتي «األحواض‬ ‫الجافة العالمية» و«األحواض الجافة العالمية دبي»‪.‬‬ ‫وبعد المصادقة‪ ،‬قدم المستشار القانوني لشركة «األحواض الجافة العالمية»‬ ‫إشعاري طلب في شهر فبراير ‪ ،2013‬وطالب بحكم تفسيري ضد «مونارك‬ ‫ماستر للتمويل ليمتد» التي تقدمت بدعاوى ضد مقدمي الطلبات من نيويورك‬ ‫واسكتلندا والنرويج‪ .‬وبعد جلسة االستماع‪ ،‬صدرت أوامر قضائية في شهر‬ ‫أبريل ‪ .2013‬وأفضى األمر القضائي العالمي إلى تقييد شركة «مونارك» من التقدم‬ ‫بدعاوى أخرى (بما في ذلك إجراءات اإلنفاذ) ضد «األحواض الجافة العالمية»‪،‬‬ ‫خصوص ًا وأن «اللجنة القضائية الخاصة» ال تزال تناقش دعاوى اإلعسار‪.‬‬

‫األحكام القضائية الصادرة في عام ‪2015‬‬ ‫شركة «خالد حسن القحطانى» ضد شركة‬ ‫«ليمتلس» (‪DWT‬ـ‪)2010/0007/‬‬

‫وبعد قيام المدعي بدفع ثمن الشراء عام ‪ ،2008‬أبلغه‬ ‫المدعى عليه أن جزءاً من األرض المخصصة للبناء هي‬ ‫أرض وقف إسالمي تم تشييد مسجد عليها‪ ،‬وهو قيد‬ ‫االستخدام منذ ما يقارب الثالثة أعوام‪ .‬وارتكزت قضية‬ ‫المدعي على عدم امتالك المدعى عليه الحق الشرعي‬ ‫ببيع األرض لغاية المعلن عنها‪ ،‬وهي بناء فندق‬ ‫ومنتجع (متعدد االستخدامات)‪ ،‬وبأن المدعى عليه‬ ‫أغفل اإلعالن عن حالة االستثمار المسبق لألرض خالل‬ ‫االجتماعات التي جرت بين الطرفين وضمن وثائق البيع‪.‬‬ ‫وتم عقد محكمة على مدى يومين في شهر‬ ‫أغسطس ‪ 2013‬بخصوص القضية المطروحة أعاله‪،‬‬ ‫وأعقبتها جلسة استماع إضافية في شهر أكتوبر من‬ ‫بناء على طلب الطرفين بالحصول على‬ ‫العام نفسه ً‬ ‫وقت إضافي قبل المرافعة الشفهية النهائية التي‬ ‫تالها صدور الحكم في يناير ‪ 2013‬لصالح المدعي‪ .‬وأمر‬ ‫الحكم المدعى عليه شركة «نخيل العقارية» برد‬ ‫مبلغ ‪ 35‬مليون درهم إماراتي إلى المدعي «جرينفيلد‬ ‫للتجارة»‪ ،‬وهي قيمة العربون الذي دفعه المدعي‪،‬‬ ‫إضافةً إلى تعويضهم عن الفائدة المترتبة على هذا‬ ‫المبلغ خالل الفترة التي بقي فيها خارج رصيد الشركة‪.‬‬

‫قام كل من الشيخ خالد حسن القحطاني وشركة‬ ‫«خالد حسن عبدالكريم القحطاني وشريكه‬ ‫العقارية» (شركة «أبناء حسن عبدالكريم القحطاني‬ ‫للتجارة والمقاوالت») المحدودة (المدعي) برفع‬ ‫دعوى قضائية بتاريخ ‪ 21‬سبتمبر ‪ 2010‬ضد المدعى‬ ‫عليه شركة «ليمتلس»‪ .‬وزعم المدعي بأنه قد دفع‬ ‫يوم ‪ 2‬يونيو ‪ 2008‬مبلغ ًا قدره ‪ 23,607,440‬درهم ًا‬ ‫إماراتي ًا (أي ما يعادل ‪ 6,432,555‬دوالراً أمريكياً) إلى‬ ‫المدعى عليه كدفعة مقدمة لشراء قطعتي أرض‬ ‫في «مشروع داون تاون جبل علي»‪.‬‬ ‫وجرت بين المدعي والمدعى عليه مراسالت للتوصل‬ ‫إلى عقد البيع النهائي‪ ،‬لكنهما لم يتمكنا من‬ ‫الوصول إلى اتفاق متبادل بشأنه‪ .‬وبتاريخ ‪ 15‬نوفمبر‬ ‫‪ ،2008‬أرسل المدعي إلى المدعى عليه رسالة‬ ‫يخطره فيها برفضه شروط اتفاقية البيع والشراء‬ ‫ووجوب قيام المدعى عليه برد مبلغ الدفعة‬ ‫المقدمة إلى المدعي‪ .‬وسعى المدعي إلى تسوية‬ ‫القضية من خالل إنهاء اتفاق شراء قطعتي األرض‪،‬‬ ‫ورد المدعى عليه كامل مبلغ الدفعة المقدمة‬ ‫لشرائهما إضافة إلى جميع الرسوم والتكاليف‬ ‫القانونية والفوائد المترتبة‪.‬‬ ‫وصدر الحكم بتاريخ ‪ 23‬أبريل ‪ 2013‬لصالح أحقية‬ ‫المدعي بمطالبة المدعى عليه برد كامل المبلغ‬ ‫باإلضافة إلى الفوائد المترتبة عليه‪ ،‬وقيام األطراف‬ ‫المتنازعة بتقديم إقرارات مكتوبة حول قيمة‬ ‫التكاليف والفوائد المترتبة‪.‬‬ ‫أما بالنسبة للفوائد‪ ،‬فترتبط الفائدة المستحقة‬ ‫عن الفترة السابقة لصدور الحكم مع احتساب‬ ‫الرقم الذي بلغته الفائدة والذي سيتم إدراجه ضمن‬ ‫المبلغ المقدم بموجب الحكم‪ ،‬في حين أن الفائدة‬ ‫المستحقة عن الفترة الالحقة لصدور الحكم‬ ‫تحتسب من خالل سعر محدد للفائدة تتم إضافته‬

‫إلى المبلغ المحدد بموجب الحكم القضائي والذي يتم‬ ‫دفعه اعتباراً من تاريخ صدور الحكم وحتى دفع المبلغ‬ ‫المستحق بالكامل‪.‬‬

‫دفعه بموجب الحكم وفق ًا لسعر الفائدة بين البنوك‬ ‫في دولة اإلمارات العربية المتحدة (إيبور) مضاف ًا عليه‬ ‫نسبة ‪( ٪1‬على مدى ‪ 3‬أشهر)‪.‬‬

‫وبعد تقديم المدعي طلب ًا لدفع الفائدة المستحقة‬ ‫عن الفترة الالحقة لصدور الحكم‪ ،‬أصدر السير‬ ‫أنطوني إيفانز قراراً حول الفوائد بتاريخ ‪ 14‬أكتوبر ‪،2015‬‬ ‫وأعاد إصداره مجدداً بتاريخ ‪ 19‬نوفمبر ‪ .2015‬وقضى‬ ‫قرار «اللجنة القضائية الخاصة» بأن المدعى عليه‬ ‫لم يبادر إلى دفع مبلغ الدين القضائي‪ ،‬وأمر المدعى‬ ‫عليه بدفع الفائدة المستحقة عن الفترة الالحقة‬ ‫لصدور الحكم كي يضاف إلى مجموع المبلغ الواجب‬

‫«جرينفيلد للتجارة» (ش‪.‬م‪.‬ح) ضد «نخيل‬ ‫العقارية» (ش‪.‬م‪.‬ع) ‪DWT( -‬ـ‪)2011/0038/‬‬

‫وبعد المستندات التي قدمها المدعي لتقييم الفائدة‬ ‫على المبلغ المسترد بموجب الحكم‪ ،‬صدر حكم‬ ‫قضائي حول الفائدة بتاريخ ‪ 14‬أكتوبر ‪ ،2015‬وتم تعديله‬ ‫بناء‬ ‫الحق ًا بتاريخ ‪ 26‬نوفمبر ‪2015‬؛ حيث تم اتخاذ القرار ً‬ ‫على أسعار السوق ذات الصلة والتي تم استخدامها‬ ‫لحساب قيمة الفائدة قبل وبعد صدور الحكم‪.‬‬ ‫وتتوافر نسخة عن األحكام الصادرة على الموقع‬ ‫اإللكتروني للجنة‪.‬‬

‫رفعت شركة «جرينفيلد للتجارة» (ش‪.‬م‪.‬ح) في يوليو‬ ‫‪ 2011‬دعوى قضائية السترداد مبلغ ‪ 68,438,356‬درهم ًا‬ ‫إماراتي ًا دفعته للمدعى عليه شركة «نخيل العقارية»‬ ‫(ش‪.‬م‪.‬ع) مقابل قطعة أرض تابعة لمشروع واجهة‬ ‫دبي البحرية‪.‬‬ ‫‪7‬‬

‫القضايا التي تم النظر فيها خالل عام ‪2015‬‬ ‫شركة «الخليج لتجارة القوارب» ضد شركة «األحواض الجافة‬ ‫العالمية» (‪DWT‬ـ‪)2014/0002/‬‬ ‫قدمت شركة «الخليج لتجارة القوارب» نموذج دعوى ضد المدعى عليه‬ ‫شركة «األحواض الجافة العالمية» بتاريخ ‪ 30‬يناير ‪ ،2014‬حيث ادعت‬ ‫األولى أنه بتاريخ ‪ 9‬أبريل ‪ 2013‬أبحر قارب «الداو» الذي تملكه ويحمل اسم‬ ‫«الذهبي ‪ »14‬من منطقة «مرسى دبي» باتجاه الحوض الجاف للمدعى عليه‪.‬‬ ‫وخالل شهر أغسطس أو سبتمبر من عام ‪ ،2013‬غرق القارب وأصيب بأضرار‬ ‫جسيمة؛ وزعم المدعي أن الغرق قد حدث نتيجة إلهمال المدعى عليه‪.‬‬ ‫وطلب المدعي لتسوية القضية الحصول على مبلغ ‪ 286,103.54‬دوالر‬ ‫أمريكي تعويض ًا عن األضرار التي لحقت به‪ ،‬إلى جانب تعويضه عما تكبده من‬ ‫مبالغ وأرباح وفوائد ورسوم قانونية‪.‬‬ ‫وبعد محاكمة استمرت ثالثة أيام من ‪ 25‬وحتى ‪ 27‬يناير ‪ 2015‬أمام كل من‬ ‫السير جون تشادويك والسير ديفيد ستيل‪ ،‬صدر الحكم بتاريخ ‪ 17‬فبراير‬ ‫‪ ،2015‬وجرى تعديله الحق ًا ليعاد إصداره بتاريخ ‪ 11‬مارس ‪.2015‬‬ ‫وتم رفض االدعاء في نهاية المطاف‪ ،‬حيث رأت المحكمة أن طلب المدعي‬ ‫مبني بالكامل على مجرد تخمينات وغير مدعوم بأي دليل موثوق‪.‬‬

‫شركة «الخدمات البالتينية» ضد «موانئ دبي العالمية»‬ ‫و«موانئ دبي العالمية السخنة»‬ ‫(‪DWT‬ـ‪)2013/0005/‬‬ ‫استمرت المحكمة مدة ثمانية أيام في الفترة الممتدة بين ‪13 - 3‬‬ ‫أكتوبر ‪ 2015‬أمام ثالثة من أعضاء اللجنة القضائية‪ .‬وتوصل األطراف‬ ‫خالل محضر الجلسة في اليوم الرابع للمحاكمة إلى تسوية‪ ،‬وبالتالي تم‬ ‫إلغاء الدعوى‪.‬‬ ‫وكان قد تم تقديم الدعوى بتاريخ ‪ 4‬ديسمبر ‪ 2013‬من قبل شركة‬ ‫«الخدمات البالتينية» التي تتخذ من العاصمة المصرية القاهرة مقراً لها‪،‬‬ ‫وذلك للحصول على تعويض قدره ‪ 25,548,308.68‬دوالر أمريكي لقاء‬ ‫خدمات قدمتها الشركة في «ميناء السخنة» بمصر‪ ،‬وادعت بأنه لم‬ ‫يتم تسديده من جانب المدعى عليه وهو «موانئ دبي العالمية السخنة»‬ ‫المملوكة بالكامل من قبل شركة «موانئ دبي العالمية»‪ .‬كما طالب‬ ‫المدعي بالحصول على مبلغ قدره ‪ 50,000,000‬دوالر أمريكي كتعويض عن‬ ‫الخسائر‪ /‬األضرار التي لحقت به جراء الممارسات المجحفة التي القاها‬ ‫‪8‬‬

‫من قبل المدعى عليه «موانئ دبي العالمية» و«موانئ دبي العالمية‬ ‫السخنة»‪ .‬ووصلت القيمة اإلجمالية للتعويض الذي طالب به المدعي إلى‬ ‫‪ 86‬مليون دوالر أمريكي تضمنت الرسوم القضائية والفوائد التي طالب‬ ‫بها المدعي‪.‬‬ ‫وجاء في الدعوى بأن «موانئ دبي العالمية السخنة» اختارت المدعي‬ ‫لتزويدها بخدمات العمالة المدربة في «ميناء السخنة» بمصر وذلك‬ ‫بموجب اتفاقية تم توقيعها في شهر سبتمبر ‪ .2005‬كما تم تنفيذ‬ ‫اتفاقية إلدارة وتموين مطعم بين المدعي وشركة «تنمية ميناء‬ ‫السخنة» في ديسمبر ‪ 2007‬وتم تجديده في أغسطس ‪ 2008‬بغية تقديم‬ ‫وجبات للعاملين والزوار في «ميناء السخنة»‪.‬‬ ‫وفي ديسمبر ‪ ،2012‬أبلغت «موانئ دبي العالمية السخنة» المدعي‬ ‫بأنها تجري مفاوضات مع قائمة مختارة من المقاولين ليحلوا محله‪.‬‬ ‫وبعد فترة وجيزة‪ ،‬طالب المدعى عليه بتمديد مدة االتفاقيات المبرمة‬ ‫لشهر آخر‪ ،‬ولكن المدعي رفض ذلك‪ .‬وعليه‪ ،‬تم االتفاق في نهاية المطاف‬ ‫على مواصلة تقديم الخدمات إلى «موانئ دبي العالمية السخنة» لمدة‬ ‫قصيرة ووفق أسعار جديدة على أساس يومي إلى أن يتم الوصول إلى‬ ‫اتفاقية بديلة‪.‬‬

‫وبناء على ذلك‪ ،‬قدم المدعي خدماته طوال شهر يناير ‪ ،2013‬وبلغ إجمالي‬ ‫المبالغ المستحقة ‪ 25,548,308.68‬دوالراً أمريكي ًا وفق األسعار الجديدة‬ ‫التي حددها المدعي‪.‬‬ ‫وزعم المدعي وجود نوايا خفية لدى المدعى عليه ترمي إلى تخريب‬ ‫أعماله‪ ،‬وأنهم قاموا بتحريض عماله على اإلضراب ومن ثم إجبارهم على‬ ‫االنتقال إلى «هيئة ميناء البحر األحمر» التي أبرمت فيما بعد اتفاقيات‬ ‫مشتركة مع «موانئ دبي العالمية السخنة»‪ .‬وهذا ما أودى بالمدعي على‬ ‫حد تعبيره إلى خسارة أعماله واالضطرار إلغالق شركة كانت فيما مضى‬ ‫ناجحة للغاية‪.‬‬

‫تأسست اللجنة القضائية الخاصة‬ ‫بمؤسسة «دبي العالمية» نهاية‬ ‫عام ‪ 2009‬كمنصة مستقلة لفصل‬ ‫المنازعات وخصوصاً المالية‬ ‫منها بين المؤسسة والشركات‬ ‫التابعة لها (بما يتضمن «موانئ‬ ‫دبي العالمية») واألطراف‬ ‫الثالثة‪ ،‬وذلك في إطار مساعي‬ ‫المؤسسة إلعادة هيكلة ديونها‬ ‫البالغة ‪ 24‬مليار دوالر أمريكي؛‬ ‫علماً أنه ال يمكن استئناف األحكام‬ ‫الصادرة عن اللجنة‪.‬‬

‫االمتثال لألحكام واألوامر القضائية‬ ‫تولي «اللجنة القضائية الخاصة» أهمية كبيرة لمسألة االمتثال ألحكامها‪ ،‬ولهذا قامت بجمع البيانات بغية االطالع على ردود فعل المستخدمين‬ ‫والدائنين المعنيين باألحكام لرصد مدى امتثالهم لألوامر واألحكام الصادرة عنها‪ ،‬وكذلك لمعرفة عدد األحكام التي تمت إحالتها للتنفيذ عبر محاكم‬ ‫دبي‪ ،‬وتسليط الضوء على تجاربهم بشكل عام؛ وبالتالي تقييم قدرة اللجنة على اإليفاء بمتطلباتهم‪ .‬وأدركت اللجنة بعد االطالع على ردود األفعال‬ ‫بأنه يتم االمتثال دون التنفيذ لـ ‪ 66‬من أحكامها‪ ،‬فيما لم يتم االمتثال لـ ‪ ٪25‬من أحكامها التي تمت إحالتها إلى «محاكم دبي» للتنفيذ‪ ،‬حيث تم إصدار‬ ‫قرارات قضائية بالتسديد لبعض منها‪ .‬أما بالنسبة للجزء المتبقي (‪ ،)٪9‬فبقي مجهول المصير لعدم قدرة اللجنة على التواصل مع جميع أطراف القضايا أو‬ ‫ممثليهم القانونيين‪.‬‬

‫التكنولوجيا‬ ‫تعين على «اللجنة القضائية الخاصة» مواكبة‬ ‫معايير مبادرة «الحكومة المتنقلة»‪ ،‬حيث قامت‬ ‫بإطالق خدماتها عبر األجهزة الذكية‪ .‬وتم‬ ‫إطالق هذه المبادرة في مايو ‪ 2013‬بتوجيهات من‬ ‫صاحب السمو الشيخ محمد بن راشد آل مكتوم‪،‬‬ ‫نائب رئيس الدولة رئيس مجلس الوزراء‬ ‫حاكم دبي‪ ،‬حيث تعين بموجبها على جميع‬ ‫الجهات الحكومية تقديم خدماتها عبر أجهزة‬ ‫الهاتف المحمول‪.‬‬ ‫ومن خالل النظام اإللكتروني إلدارة القضايا‬ ‫(التسجيل اإللكتروني)‪ ،‬تظهر جميع أشكال‬ ‫تقديم الطلبات اإللكترونية الحالية عبر خاصية‬ ‫«التسجيل اإللكتروني» على أجهزة الهاتف‬ ‫المحمول‪ ،‬التي تم تصميمها وإطالقها‬ ‫عام ‪ 2009‬أي قبل وقت طويل من ازدهار سوق‬ ‫الهواتف الذكية‪ .‬وتدرك اللجنة النمو المتواصل‬ ‫للتطبيقات التكنولوجية في السوق‪ ،‬وبالتالي‬ ‫فهي تحرص على ترسيخ مكانتها المرموقة‬ ‫في ساحة االبتكار ومواكبة آخر المستجدات‬ ‫في هذا السياق‪ .‬وعليه‪ ،‬تعمل اللجنة حالي ًا على‬ ‫استكمال عمليات تحديث لخاصية «التسجيل‬ ‫اإللكتروني» التي تتيح الوصول إلى الطلبات‬ ‫واالستمارات اإللكترونية عبر أجهزة الهاتف‬ ‫المحمول وصفحات اإلنترنت بهدف مواءمتها‬ ‫مع مختلف أبعاد شاشات األجهزة الذكية‪.‬‬

‫الخاتمة‬ ‫بالنيابة عن جميع أعضاء اللجنة‪ ،‬أتوجه بخالص الشكر واالمتنان لجميع الموظفين بمن فيهم مارك بير الحائز على وسام اإلمبراطورية البريطانية‪ ،‬أمين سجل «اللجنة‬ ‫القضائية الخاصة»؛ وآمنة العويس‪ ،‬نائب أمين السجل؛ وحناء يوسف‪ ،‬منسق قضائي؛ وليما حاتم‪ ،‬ضابط متابعة القضايا؛ تقديراً لجهودهم الحثيثة وكفاءاتهم الرفيعة في‬ ‫إدارة شؤون اللجنة خالل هذا العام واألعوام الماضية‪ .‬فلوال مساهماتهم الكبيرة لكان من الصعب على اللجنة البت في هذا الكم الهائل من القضايا المرفوعة أمامها إلى‬ ‫جانب االضطالع بمسؤولياتها‪ ،‬لذا ال بد من اإلشارة لدورهم في أي إنجاز يتم تحقيقه‪.‬‬

‫أعرب السير أنطوني إيفانز عن أمله بأن تكون األداة التي يوفرها المرسوم رقم ‪ ،57‬ووجود اللجنة القضائية‬ ‫التي تم تأسيسها بموجبه‪ ،‬قد أسهمت بتحقيق ذلك النجاح وأثبتت جدواها بالنسبة لجزء مهم من اقتصاد دبي‪.‬‬
