He created this tiny virtual world from a series of architectural REVIT models. This year, John is also leading the charge for the company’s first forays into VR, bringing real buildings into virtual spaces.

On the other side of the glass, I could see the ceiling of the garage bay soaring almost 30 feet above me. Outside the sky was a perfect, pristine blue. A door swung open just behind my shoulder and I flinched. But none of it was real. From somewhere beyond the VR headset, John Rousso warned of an invisible table that I was about to bump into: “You don’t need to physically move. You can just use the controllers.” Throughout this demonstration, John guided me through each and every room of a building that did not exist yet. John is a Project Designer for H2M architects +

John sat down with me for an interview recently and explained that he has been trying to incorporate VR into his work for 6 years now. After joining H2M, he has now gotten his chance. In November of 2022, John’s managers presented him with a project he had never seen before and asked him to turn it into a virtual model. In January, John presented his model to the client, a stately gentleman accompanied by his son and construction managers. The patriarch of his company, this man held the future of the project in his hands; he alone decided whether the project could move forward or not. John wore his VR headset and projected what he saw onto the conference room’s monitors. Then the client changed John’s career path with 7 little words: “Oh, so that’s what that looks like.” Since January, John has taken those 7 words and redefined his career trajectory. He now seeks to bridge the gap between what the client envisions and what the architects design.

In the business world, VR can bring projects to life without the risk or expense of physical materials. Clients can get a sense for how their project will look and get a better idea of how requested elements, such as a 30-foot ceiling or a multi-colored wall, will fit in the space. Problems and miscommunications are seen and corrected long before construction begins, potentially preventing tens of thousands of dollars of wasted time and resources. VR isn’t a perfect fit for every architecture or engineering project, but it has many more potential applications. In the wake of his success on the project side, John is now working with H2M’s learning and development team to design an escape room-style puzzle box that will challenge employees to sharpen their critical thinking and observation skills when out in the field. Five other virtual reality projects have joined H2M’s portfolio so far, ranging from community centers and libraries to private office renovations to healthcare facilities. Virtual reality is no longer a new technology and it is time to upgrade how companies do business.

keepingcurrent Selling Your Company: Key Differences Between a Strategic Buyer, PE Firm and Family Office based upon certain achievements.

Post-Transaction Role. A strategic will already have a senior management team in place, which is good news for an Owner looking to exit after a 6–12-month (or sooner) transition period or change roles. However, there could be opportunity for an Owner to stay on longer in a different role, such as identifying and approaching other potential acquisition targets or managing important customers.

By Gregg Schor, CEO and Mark Pollack President, Protegrity Advisors In today’s market, there are various types of buyers interested in acquiring or making an investment in lower middle market companies, which we define here as having revenue ranging from $10M to $100M. Companies of this size are generally owned by a family or a few partners (“Owners”). The most common buyers in this market segment are strategics, private equity firms and family offices, each with their own characteristics and objectives. Owners interested in selling their company usually have two main areas of interest: (1) purchase price and deal structure and (2) posttransaction role. While purchase prices are typically tied to a multiple of adjusted EBITDA, deal structures can be different based on the buyer and circumstances. 1. Strategic Buyer. Strategic buyers are typically larger companies (public or private) operating in the same or related industry and may be a competitor. There are obvious risks to approaching a competitor and pros/cons should be considered. Deal Structure. Strategics usually seek to acquire 100% of a company, with most or all of the purchase price paid at closing, except for escrowed amounts, and usually without rollover equity or possibility of a “second-bite.” Strategic buyers often focus on synergies and the value the acquired business adds. A portion of this additional value may translate into increased purchase price, or a contingent portion paid as “earn-out”

2. Private Equity Firms. PE firms are investment entities that pool capital from private investors, institutions, and other funds to acquire and manage companies. Their primary goal is to generate returns for investors, often within a defined period, frequently 5 – 7 years. This is accomplished by selling the acquired company at a higher valuation than when purchased, which typically means increasing revenue/earnings both organically and through acquisition. PE firms commonly follow a “roll-up” strategy which involves acquiring a “platform” company in a market sector and then acquiring other smaller companies as “add-ons” and subsequently selling the resulting entity when it reaches a certain valuation and return. Deal Structure. Different than a strategic buyer, a PE firm will usually not acquire 100% of a company, especially a platform, as they view an Owner maintaining equity as insurance that the Owner will have financial incentive to assist with the transition and has confidence in the projected growth. For a platform investment, PE firms will typically want Owners to keep at least 15% in “rollover-equity,” sometimes up to 40%, as a PE firm will always want to hold the majority. For add-ons, the rollover requirement can range from 0–20%. Earn-outs are commonly used as well.

used and the opportunity for the Owner to have a second exit, getting benefit on the value creation that the firm hopes to achieve in the future. Post-Transaction Role. For a platform, PE firms will usually want an operating Owner to stay on for 1-3 years, unless there is a second in command who can take over. Sometimes PE firms may have already identified a new CEO, in which case a transition period of 6-12 months may only be required, and with a reduced rollover requirement. As an add-on by definition means that there is a larger platform company in place with a CEO and management team, there is less opportunity for an Owner to continue, but there could be certain available roles akin to when the buyer is strategic. 3. Family Offices Family offices are private wealth management entities which manage the financial affairs and investments of high-net-worth families. They often seek diversification by investing in various asset classes, including operating companies. In the past, family offices were likely to invest in companies indirectly through PE firms. However, this has changed, and rather than pay fees to PE firms, many family offices now make direct investments themselves. While family offices are open to selling a portfolio company if the price is right, they have no specific time mandate like a PE buyer and are generally more concerned with preserving wealth for future generations and less focused on short-term financial gains. Cultural fit is also important given the longer-term relationship expectation.

This rollover equity is referred as to the Owner receiving a “secondbite-of-the- apple,” meaning that the Owner will have a second exit, which could have the potential to be larger than the first. Obviously, there is Owner risk in not cashing out completely the first time. Private equity firms typically place leverage (debt) on the company to finance part of the purchase price.

Deal Structure. Each family office is different, with some requiring majority interest and taking an active role in managing the acquired company, and others comfortable with a minority interest and a passive approach, providing capital and strategic guidance. Since there is no pressure for a future exit, Owners should be happy with cash at closing and try to negotiate for the right to sell their stock at some point, referred to as a “put-option.”

This allows them to increase their return on invested equity. As interest rates rise from historic lows, this has slightly impacted the purchase price, particularly on larger deals where debt is an important component of transaction financing. Valuations and purchase prices from PE firms can be larger than those offered by strategics because of leverage

Post-Transaction Role. Family offices, especially for a platform company and if they hold a minority interest, will want the Owner to stay on for 3-5 years. As with other scenarios, an Owner staying on for an add-on acquisition beyond a transition period is less important.

As an owner of an LLC, there are a few questions to keep in mind: What would the law require? Under the proposed law, New York State would require LLC owners to disclose three pieces of information: (1) the LLC owner’s full legal name,

How would this law be enforced? If an LLC owner fails to file the ownership disclosure for a period exceeding 30 days, the LLC will be shown to be “past due” on the records of the New York State Department of State. The LLC would have its past due status removed upon filing the ownership disclosure. This may hinder the LLC’s ability to participate in transactions such as obtaining a loan or selling assets. If an LLC owner fails to file the ownership disclosure for a period exceeding two years, the Department of State will mail a notice of delinquency to the last known business address of the LLC. If the LLC fails to file the ownership disclosure within 60 days of receiving the notice of delinquency, the LLC will be shown to be delinquent on the records of the Department of State. An LLC may remove the delinquency status only upon filing an ownership disclosure and paying a civil penalty of $250. Are there any exceptions to the proposed law? The only possible exception is through a waiver. Waivers exist to protect companies with significant

privacy interests. The bill provides that significant privacy interests include, but are not limited to, an LLC owner that is a whistleblower, using an LLC for the very specific purpose of filing false claims act lawsuits, or an owner participating in an address confidentiality program. Address confidentiality programs are available to victims of kidnapping, as well as reproductive healthcare service providers, employees, volunteers, patients, or immediate family members of reproductive healthcare service providers. If neither of those circumstances apply, LLC owners would need to demonstrate that their company similarly has a significant privacy interest and should therefore not be required to make such disclosures. When would this bill go into effect? If signed by Governor Hochul, the bill would be effective 365 days after becoming law. The Takeaway While the LLC Transparency Act has not yet become law, LLC owners should begin planning for the possibility of such disclosure requirements. Mainly, LLC owners should consider whether their company has a significant privacy interest. Please contact our corporate attorneys with any questions.

Owners of New York limited liability companies, or LLCs, have long enjoyed anonymity when it comes to the ownership of their company. Currently, LLC owners are under no obligation to disclose their personal identity to the public. However, last June, the New York State Senate and Assembly passed the LLC Transparency Act, a bill that would require LLC owners to disclose their full legal name to New York State, which would then be made available through a public database. Currently, the bill is on Governor Kathy Hochul’s desk.

In the corridors of her high school, amidst the chatter of future plans and dreams, one teenager stood out. A budding traveler with an insatiable curiosity about the world, she often found herself in animated conversations with the adults in her life, sharing her dreams of embarking on grand adventures. Her passion for travel was palpable, and those around her couldn’t help but take notice. The responses she received were overwhelmingly supportive, with a common thread running through each piece of advice: preparation. Did she speak a foreign language? If not, it was vital to be ready to acclimate to new languages and cultures. Did she have the resources necessary to sustain herself while traveling? Did she possess a passport, and did she know how to navigate the intricacies of currency exchange? These practical questions and considerations were essential to ensure she had all she needed for a successful trip. One day, she excitedly shared her dream of exploring Central America, envisioning lush rainforests, ancient ruins, and vibrant markets. Her audience responded with tales of various modes of transportation, from buses winding through mountainous terrain to boats gliding along azure waters. Another time, she spoke

of her desire to visit the charming city of Savannah, Georgia, known for its historic architecture and warm hospitality. Once again, the focus shifted to travel logistics and recommendations.

She knew that the world offered diverse opportunities, waiting to be explored. There were paths beyond the hallowed halls of academia, paths that aligned with her unique passions and aspirations. As a budding traveler, she relished the idea of flexibility, of being able to work remotely from far-flung corners of the world. Her heartbeat not only for travel but also for computing technologies, project management, and transportation systems. She sought a way to weave these interests into a career that would allow her to explore and innovate simultaneously. That’s when she discovered the power of apprenticeships—a path less traveled but laden with promise. She embarked on a journey to find an approved apprenticeship program connected to a

Evan H. Krinick, Managing Partner of Rivkin Radler LLP, is pleased to announce that Joshua Beckham, of St. Albans, NY, has joined the firm as an Associate in the Insurance Fraud Practice Group, in the Uniondale office. Last month’s unprecedented rainstorm wreaked havoc on Long Island and the Art League of Long Island was not spared from the wrath of Mother Nature. The heavy rains on the night of September 29 led to extensive rain damage within the Art League of Long Island’s two-story art center, located at 107 East Deer Park Road in Dix Hills. As a result, the organization has been compelled to temporarily close its doors, including all exhibits, programs, and classes, for an estimated duration of four weeks or more, according to Marianne Della Croce, the non-profit’s Executive

United Cerebral Palsy of Long Island (UCP-LI) was very proud to be selected as The Long Island Elite’s Charity (LIE) partner in 2022. Their fundraising efforts raised critical funds needed to support the building of an accessible playground for special needs children at The Children’s Center at UCP-LI. The playground is complete, marking a step in the right direction for children with disabilities! The ribbon cutting for the playground was held on Monday September 18, 2023. The Long Island Elite is a nonprofit organization that exists to provide passionate professionals a platform to forge meaningful relationships

Beckham focuses his practice on complex litigation in both state and federal court. Prior to joining the Rivkin Radler, Beckham completed four clerkships with the U.S. District Court for the Eastern District of New York, including with the Honorable Diane Gujarati, the Honorable James R. Cho, the Honorable Louis A. Scarcella, and the Honorable A. Kathleen Tomlinson. Previously, he worked as an Associate for a global law firm providing immigration solutions to corporate clients. Beckham attended St. John’s University School of Law, where he earned his Juris Doctor.
