I am proud to introduce you to the first addition of our ‘HORIZONS’ newsletter. This has been designed with both developers and land owners in mind.

We plan to build on our success in the area of development sales and acquisitions by providing meaningful editorial to the industry and furthermore supplying a superior level of services.

We now have 5 qualified and experienced professional working in the field to assist you selling or acquiring development sites across Victoria. Our combined level of experience in this department exceeds one hundred and fifty years, quite extraordinary don’t you think?

Since my father (Bob) and I commenced Latitude 12 years ago to focus on sales and marketing of residential developments we have built the business around not being the biggest, but being the best we can be at what we do. What that means to us is being in control of our business and working in every aspect of what we do to

create successful outcomes for our developer clients. Victoria’s Development Windfall Whip: New Tax Targets Land Owners from 1 July 2023 – are you ready?

Do you own land subject to a rezoning? Will there be a significant uplift in the value upon rezoning? If so, the State Revenue Office (SRO) will come knocking…

As part of the 2021-2022 budget, the Victorian government announced the introduction of the Windfall Gains Tax (WGT) regime, which will tax landholders on the increase in value of the land upon a planning scheme amendment (i.e. a rezoning event). This includes situations where a developer or other land owner subdivides land for residential development, following the land being rezoned by the relevant council and approved and gazetted by the Minister of Planning. Importantly, this tax will apply on land that is rezoned from 1 July 2023 onwards, which is fast approaching.

It is stated that the revenue received by the Victorian Government from the WGT is intended to be used for infrastructure spending; however, as the WGT will be paid into consolidated revenue, it is uncertain whether the resulting spending will be directly in the areas in which it was levied, and if so, in what time frame.

How will the tax be calculated?

The WGT payable by the owner of the land at the time of the rezoning is calculated on the taxable value uplift (TVU) from the rezoning of the land. This is the increase in the Capital Improved Value of the land (i.e. the value of the land after rezoning less the value of the land immediately before the rezoning), as determined by the Valuer-General Victoria. The rate of tax is then calculated based on the following table:

Following is a practical example of how the determination will apply:

During the 2024 financial year, a land owner obtain permits to rezone and subdivide a 5-hectare property to build residential houses. The rezoning results in a windfall gain of $400,000 (uplift in value). WGT will be calculated as: $400,000 - $100,000 * 62.5% = $187,500.

Exemptions and excluded rezoning:

The following are exemptions and exclusions in which WGT does not apply:

1. Residential land exemption / Principal place of residence (only up to 2 hectares of land is exempt)

2. A rezoning between schedules in the same zone (e.g. a change from Neighbourhood Residential Zone Schedule 1 to Neighbourhood Residential Zone Schedule 2)

3. Land rezoned to or from the Urban Growth Zone within the Growth Areas Infrastructure Contribution (GAIC) area

4. Charitable and university land (WGT waived if the land continuously used as a charitable land for 15 years after the rezoning event)

5. Land rezoned to a Public Land Zone or between Public Land Zones

6. Land rezoned to correct an obvious or technical error

Timing of payments

Payment of the WGT must be made before the due date stated in the assessment notice. However, payment can also be deferred until one of the following events happens (whichever comes first):

• A dutiable transaction or acquisition in relation to the land; or

• 30 years after the WGT event.

The deferral of WGT will accrue interest at the 10-year Treasury Corporation of Victoria bond rate (4.55% as at 28 Feb 2023), and the full amount is payable within 30 days of the deferral arrangement ceasing.

An objection can be made to a valuation used in the calculation of WGT; this must be lodged within 2 months of receiving the assessment.

What impacts will the tax have?

The introduction of the WGT is likely to have a significant impact not only on the developer but also on the end consumer. For developers, WGT will need to be factored into any feasibility assessment of a project. Consumers will no doubt feel the flow-on effect of WGT via increased property prices.

In addition, if margins are reduced then it may be more difficult for the developer to obtain funding in an already challenging financing environment. To the extent that developers are able to arrange funding, they may nevertheless need to borrow more to cover the increased costs, which in turn will further increase their costs and put pressure on the pricing of their product.

The other key development to note is that the government have not allowed developers to claim deduction to apply against the value uplift for costs incurred in relation to and prior to the rezoning. This may encourage land owners to avoid the risks/costs involved

in preparing a site for rezoning altogether.

Finally, it is often the case that land is sold subject to a rezoning event occurring. From 1 July 2023, contracts will need to address the potential WGT liability from the rezoning occurring; as the WGT is not quantifiable until the Valuer General’s has made an assessment, it will be a challenge to draft provisions in contracts that will protect and satisfy all relevant parties.

Are there any action you can take to reduce the impact of WGT?

It is important that land owners are aware of the additional costs involved with rezoning from 1 July 2023 and are planning ahead. Some items to consider include:

• What actions can be taken to fast track the rezoning, so that it is completed prior to 1 July 2023?

• Consider whether development opportunities exist in exempt zones, so that the WGT cost is avoided and there is more certainty with margins;

• Speak with your legal advisor regarding contracts for acquisitions subject to future re-zonings adequately deal with the potential WGT, to ensure that your commercial requirements are met;

• Review your cash flow requirements. Do you have adequate cash in the bank should one of your land holdings be rezoned? Is it feasible to hold onto this land, or is a divestment worth considering prior to the introduction of WGT?

What should I do?

Key Considerations when Selling a Property in Victoria

Selling a property in Australia can be a complex process, and there are several legal, financial and tax considerations that should be taken into account .

The extent of these considerations will vary depending on several factors, such as the nature of the property, the length of time the property was held, and the purpose for which the property was used.

Below are some of the key points you should consider when selling a property in Australia.

1. Is my Property subject to Capital Gains Tax?

If your property was originally purchased as an investment, and not as your primary residence, any profit you make on the sale of the property may be subject to Capital Gains Tax (CGT). If you brought the property for development or resale, then any profit might be on income account and CGT concessions will not be available to you.

CGT is calculated based on the difference between the sale price and the original purchase price, and the rate will vary depending on your income, and the length of time that you have owned the property. The factors you should consider, to determine whether your property will be subject to CGT are:

(a) When you acquired the Property

Assets you acquired before 20 September 1985 are exempt from CGT. However, if you make major capital improvements after CGT started, the improvements may be treated as separate assets that are subject to CGT.

An addition or improvement of an asset, such as a house renovation, is a major capital improvement, if its original cost:

(i) exceeds 5% of the amount you received when disposing of the asset; and

(ii) is more than the improvement threshold for the income year in which the asset is disposed of.

However, CGT may exemption may apply:

(i) if the property is your main residence and the major capital improvements are used as part of your home; or

(ii) to the improvements made on adjacent land if the total land is 2 hectares or less.

The improvements are not exempt if they are used to produce income.

(b) Type and Use of Property

CGT will not apply if the property being sold was your primary residence for the entire period of ownership.

However, if you rented out any part of the property during this period, or used any part of the property for income producing purposes (such as running a home business) CGT may still apply.

(c) The Ownership Period

If you have owned property for more than 12 months, then you may be eligible for a fifty per cent CGT discount.

(d) The Cost Base

The cost base is an important factor because it is used to determine the capital gain or loss on the sale of your property.

It represents the original cost of acquiring the property, plus any expenses incurred in acquiring, holding and disposing of the property. The cost base can also include any capital improvements made to the property during the ownership period, such as renovations or extensions.

The capital gain in this circumstance is calculated by subtracting the cost base from the sale price. If the sale price is higher than the cost base, the seller has made a capital gain and will need to pay CGT.

(e) Other Factors

There may be other factors that could affect whether the sale of your property is subject to CGT, such as your residency status, whether any of the CGT exemptions apply, or the application of any other CGT concessions.

2. Do I need to pay Goods and Services Tax (GST)?

If you are considering selling your property, you will need to consider GST implications of the proposed transaction.

In general, the sale of a private, residential property will be exempted from GST, even where the property is an investment.

However, GST may apply in circumstances where you are running a business and are registered for GST, if you

are selling a property that is considered to be a “new property” (that is, it has never been sold before), or if the property is considered a business asset, such as farm land.

If your sale is subject to GST, you will need to pay GST on the sale price of the property, generally being 1/11th of the total price paid by the purchaser. There are various ways GST can be factored into the price of the property. For example, you may choose to sell the property ‘plus GST’, in which the purchaser must pay an additional 10% over and above the price of the property. Alternatively, you can choose to sell the property at a GST inclusive price, where the purchaser pays the amount shown on the contract, but then you will be required to pay 1/11th of that price to the ATO as GST. In some cases, the margin scheme might apply.

Sale of land used for primary production

Generally, the sale of land used for primary production is not exempt from GST. However, certain provisions may make the sale of such land GST-free in specific circumstances. One such circumstance is when the sale is a supply of going concerns, which will be GST-free if:

(a) the supply is for consideration;

(b) the recipient is registered or is required to be register

for GST;

(c) the parties have agreed in writing that it’s a going concern;

(d) the supply includes everything necessary for the continued operation of the enterprise; and

(e) the supplier carries on the enterprise until the day of supply.

Another circumstance is where the land is a farmland for farming. In this case, the supply will be GST-free if:

(a) the land has been used for a farming business for at least five years prior to the provision of the supply; and

(b) the recipient intends to carry on a farming business on the land.

A supply of potential residential land subdivided from land used for primary production may also be GST-free if:

(a) the subdivision of the land is from the land used for farming business for a minimum of five years; and

(b) the supply is made to an associate without consideration or for a consideration less than the GST inclusive market value of the supply.

The term “potential residential land” refers to land that is permissible to use for residential purposes but does not contain any residential premises.

It is important to note that the tax consequences of selling a property can be quite complex, and will vary depending on the circumstances. It is always advised to seek professional advice to ensure you are fully informed prior to selling your property.

(a) Assets

When you sell a property, you may need to consider how the proceeds from the sale will impact your overall estate plan. For example, you may need to update the valuation of your estate or adjust the distribution of assets to ensure your intentions are still met.

3. Should I review my Will?

If you sell a property in Australia, it is important to review your will to ensure it still effectively reflects your intentions and estate planning objectives.

(b) Beneficiaries

If the sale of the property impacts your beneficiaries, or your intended distribution of assets, you may need to revise your will accordingly. This may include adding or removing beneficiaries, adjusting their share of your estate, or changing the type of assets they receive.

(c) Executor

If you have appointed an executor to manage your

Using water rights as an example, we have highlighted some of the key considerations below.

(a) Tax Implications

The sale of water rights (with the property) may be subject to CGT, calculated in the same way as specified above, if the rights were originally acquired as an investment.

There may also be implications for GST if the sale of the water assets with the property is considered a “taxable supply”. For example, if the property includes a water license that allows you to extract and sell water as a commercial activity, then the sale of the property and its assets may be considered a taxable supply, and GST may be charged. Similarly, if the property included a water storage or treatment facility that is used for commercial purposes, then GST may also apply.

If GST applies, you will need to properly account for this in the sale of your property.

(b) Legal and Regulatory Considerations

The sale of some assets, such as water rights, is regulated by both state and federal legislation, and may require certain approvals or permits. Depending on the type of water rights being sold, there may be restrictions on the sale or transfer of those rights, and the buyer may need to satisfy certain eligibility criteria before purchasing.

(d) Legal Implications

Depending on the nature of the sale, there may be legal implications which impact your estate plan. For example, if the property was held in joint tenancy with another person, the sale may trigger a right of survivorship that impacts your intended distribution of assets.

4. Are any assets being sold with the Property?

The sale of a property with substantive assets may be subject to tax implications, as well as other legal and regulatory considerations.

(c) Valuation

The valuation of assets, like water rights, can be complex and vary depending on a range of factors, including the type of water rights, the location of the water source, and the current market demands.

It is generally recommended that a professional valuer or expert be engaged to value the water rights and assist with the sale.

(d) Documentation

It is important to ensure that all necessary documentation is in place and executed to facilitate the sale of an asset. This may include contracts, deeds and other legal agreements.

5. General Due Diligence

Before selling a property, it is important to conduct due diligence to ensure that all legal obligations have been addressed prior to selling the property.

In our experience, the key considerations (that can often be overlooked) when conducting due diligence relate to title boundaries and whether any interests exist, affecting the land.

(a) Considering Title Boundaries

It is not uncommon to encounter discrepancies in property boundaries, which can have negative implications on the development potential and financing options of a property. Therefore, before buying or selling a property, it is important to verify the title boundaries to ensure they are accurate.

Providing the buyer with accurate boundary information, ensures not only that you are selling what you legally own, but also that the buyer is purchasing what is being advertised in the contract of sale. Any discrepancy in the boundary information can lead to disputes over ownership, which can ultimately delay the sale of your property.

On the other hand, before signing a contract for the purpose of a property (especially if the property is a farmland), the buyer should check the measurements of the actual occupation of the property. In some circumstances, if the property is a farmland, the farmland fences may not align precisely on the title boundaries.

Moreover, the boundary of the property will affect its value. Accurate boundary information is necessary to determine the true size of the property, and to determine the value of the property for sale.

In order to ensure the title boundaries of the property are accurate prior to signing a contract for the sale or purchase of a property, you should review the property’s title documents and, engage a licensed surveyor to conduct a title survey to verify the boundary of the property.

(b) Any Interests Affecting the Land

It is also necessary to investigate any interests affecting the land that may impact the sale.

These interests may include easements, covenants, or other agreements that affect the use or development of the property. You must also ensure all title documents provided to the buyer are accurate, and up to date.

This is because, in Victoria, a seller is required by law to disclose any known interests affecting the land to the buyer. If you fail to do so, you may be liable against the buyer, for rescission of contract and any financial losses they suffer as a result.

Additionally, any interests that affect the land can also impact the value of the property or its developmental potential. For example, an easement or restrictive covenant may limit the use of the land, and may potentially reduce its value. In ensuring that you determine whether any interests affect the land you are selling, you can accurately price the property and ultimately avoid either over, or under valuing it.

6. Section 32 Vendors Statement: What needs to be included?

A Section 32 Vendor’s Statement is a legal document that must be provided by the seller to the buyer in most property transactions in Australia. The purpose of the statement is to provide the buyer with important information about the property being sold, and to help them make an informed decision about the purchase.

It is important to note that if you sell your property, and the Vendor’s Statement does not comply with section 32 of the Sale of Land Act 1962 (Act), the purchaser may rescind the contract at any time up until settlement. It may also constitute an offence under the Act, and you may incur financial penalties.

Some of the information / documents required to be disclosed in a Section 32 Statement include:

(a) Financial matters affecting the land;

(b) Details of any building and land insurance (if the property is at risk of the purchaser from the day of sale) and owner builder insurance;

(c) Disclosure of any (registered or unregistered) easements, covenants or other restrictions affecting the land including description of the restriction and information of existing failure to comply to the restriction;

(d) Provide particulars of any notice, order, declaration,

report or recommendation of a public authority or government department or approved proposal directly and currently affecting the land which the seller might reasonably be expected to have knowledge;

(e) Details of any building permits issued in the previous seven years;

(f) Details of any owners corporation;

(g) If the property is a growth area land zoned for urban use and development and is subject to growth areas infrastructure contribution (GAIC), copies of the GAIC certificate(s);

(h) Details of services (electricity, gas, water, sewerage or telephone) that are / are not connected to the property; and

(i) Disclosure of certain title documents. These include:

(i) a Register Search Statement (title search);

(ii) diagram location in the Register Search Statement that identifies the land and its location;

(iii) certain plans of subdivision; and

(iv) evidence of right to sell where the vendor is not registered on the title (if applicable).

Given the complexities of the Section 32 Vendor Statement, and the implications of failing to disclose all material information, if you are considering selling your property, it is important to seek professional advice to enable the process runs smoothly, and ensure that all legal requirements are adhered to.

Things to look for when purchasing a development site.

There is a common misconception that if land is identified for development that it is ready for development, however the process of acquiring a site is fraught with risk, often resulting in significantly overpaying for land or enduring years of holding costs if not properly investigated.

Land subdivision and development can be a minefield, with myriad planning and regulatory processes to be completed, in addition to the physical infrastructure and servicing requirements which impacts on the value of the land and the time frames for its development. Some of these infrastructure and servicing requirements could see a parcel of land worth substantially less or more than adjoining parcels because of site-specific planning requirements or servicing requirements that can vary substantially site to site, even between adjoining sites.

The first line of investigation must always be to check the planning status of the site to determine current zoning and a review of strategic documentation to confirm the site’s requirements, potential yield and other considerations that will impact on value (eg easements, waterways, roads, open spaces etc.). The planning review should include investigating the following:

• Zoning – What uses does the zone allow/prohibit? Is the land zoned appropriately for the proposed development? Without the correct zoning on the land, you may not be able to proceed with your preferred development.

• Overlays – These provide the land with another layer of planning restriction. They come in a variety of forms, but are often in relation to environmental, flooding, heritage and bushfire concerns.

• Strategic documentation – Within the planning process, Council and other authorities (like the Victorian Planning Authority) prepare documentation reflecting their vision of areas identified for development. This documentation also indicates the requirements of the precinct and its individual parcels. A thorough review of the relevant strategic documentation is key to determine the possibilities for the land and what can be achieved.

• Contributions – often within land development, the developer is required to pay contributions towards the infrastructure associated with the development of the wider precinct. These are usually referred to as DCP’s and ICP’s, although they slightly differ and therefore not interchangeable. A thorough investigation into contributions is recommended early in the process, as it can add significant costs to a project so needs to be anticipated.

It is also critical to investigate the physical infrastructure requirements for development of the site and I note that adjoining sites can have totally different servicing requirements.

• Greenfield development will typically require sewerage, water supply (drinking and recycled where applicable), stormwater drainage, electricity supply and telecommunications (Fibre to the Premises). You may also require gas supply if preferred and available, however gas is not considered an essential service.

• Stormwater drainage is managed by the local catchment management authority, which for the Melbourne growth areas will be Melbourne Water. If stormwater infrastructure isn’t immediately available there are often temporary measures that can satisfy the authority’s requirements in the short term, however these works are not reimbursable, so great consideration needs to be made for the best stormwater strategy.

• Sewerage infrastructure is essential and if not immediately available, can be very expensive to deliver. The local retail water company (eg. Greater Western Water, Yarra Valley Water, South East Water) will usually have strategies but implementation of their strategies often relies on downstream property access and an understanding of the timing of delivery of downstream infrastructure.

• Drinking water supply and in many areas recycled water reticulation, will be a requirement and is also usually covered by the growth strategies of the local water company. As with sewer, an understanding of the strategies and the likely timing of delivery of services is important and can be a major cost factor.

Other factors can have a major impact on the value of a proposed development site and the future cost of development:

• Aboriginal heritage requirements – Some parcels of land may have an area of sensitivity, which may require a general site assessment or a more extensive process, all the way to on-site salvaging. This process can often cost hundreds of thousands of dollars, so consultation with an informed and experienced professional is recommended.

• Flora and fauna requirements – potential habitat, tree and native vegetation removal should be reviewed early in the process, as it can impact development of the land and yield. Payment obligations may also be required for vegetation removal, so this may need to be factored into any offer.

• In some areas you may come across land that has been affected by mining operations in the past, affecting site earthworks and possibly future building costs.

• Land can also be potentially impacted by land contamination (artificial or otherwise).

The key to the above is a well-considered due diligence process. This is critical to minimise the risks that go with an acquisition. Wherever possible, we recommend negotiating a reasonable due diligence period in your contract and engage an independent, reputable &

experienced consultant (or consultants) to provide the critical advice on all the above matters. And of course, as part of that due diligence process you should engage with a reputable and trusted real estate adviser to provide professional advice on the forecast selling pricing and strategies.

Developers out in force seeking land

Latitude is currently experiencing higher levels of enquiry from professional developers seeking sites than usual.

In a quiet market like we are currently experiencing this would seem most unusual however, through the past few years of boom time sales, many developers found it difficult to secure new sites –as speculators moved into the land development area. Due to lack of understanding and experience these speculators paid too much for the development sites.

The market was forgiving for those that got in early because of the rapid price growth we experienced, and they were able to on-sell and come out okay. For many other speculators, they have found themselves unable to settle or stuck with sites that owe them more than they are worth. This situation has been worsened by the rapid increase in civil works due to material prices heading north. As civil construction costs increase, development sites decrease. Quite an easy equation, however not one land owners want to understand.

Developers that were unable to secure enough sites in the past couple years are now out in force to top up their residential land pipeline for what we are expecting to be a few very buoyant years that are ahead of us due to the current severe shortage of residential properties. Add to the current shortage of residential properties. We are expecting net migration to top 414,000 people over next

The one problem we are experiencing at the moment is many land owners have a mindset on price based on the inflated prices that were paid over the past couple of years – we need to remember a lot of these sales didn’t settle or may not settle in the future (many were sold on long terms). Land owners need to be realistic about their expectation and they also need to understand who they are selling to, we strongly recommend land owners do their homework and sell to reputable developers who can demonstrate their past performance and ability to actually settle. Do not be tempted by a big price from an unknown entity.
