News Briefs West Roseville Development Announced

Modesto Planning Trail Expansion

KB Homes has announced plans to develop 300 lots the company recently bought in the Westpark master planned community. Chris Cady, president of KB Home’s Central California division, said continuing to build in west Roseville, where the company is in the process of building and selling two other neighborhoods, Valley Meadows at Fiddyment Farm and Garden Grove, reflects no apparent letup in homebuyer interest in the area.

Modesto has good news for those who walk, jog and bicycle along the Virginia Corridor, the paved trail that stretches for about two miles from College Avenue near Modesto Junior College to Bowen Avenue. City officials expect to solicit bids in August for the trail’s next phase, which would take the trail from Bowen to Woodrow Avenue for a total distance of about three miles. Construction could start in mid- to late October, with the work being completed within a few months, said Loren Holt, the city’s acting division manager for park planning and development.

Elk Grove Approves Medical Campus Plan The Elk Grove City Council has unanimously approved a plan for Dignity Health to build a hospital on its medical campus as early as 2017. The proposal that included a design review calls for the medical campus planned for 8220 Wymark Drive, just south of Elk Grove Boulevard, to feature two medical office buildings, a helistop, and a parking structure along with the hospital. Dignity Health officials said the medical center could ultimately include up to a six-story, 456,700-square-foot, 330bed hospital that would be built in three sections. The first section would be four stories with 106 beds for surgery and maternity. Other on-site facilities include a three-story, 65,000-squarefoot medical office building and a fivelevel parking structure. Council members also approved rezoning a property adjacent to the medical campus from multifamily housing to shopping center. The nearly fouracre parcel will be part of 40 acres of retail development.

The work is expected to cost about $3 million and includes landscaping, benches and lighting. Modesto eventually plans to extend the trail as far north as Bangs Avenue, for a total distance of 4.2 miles. That work would include building a pedestrian bridge over Standiford Avenue. Holt estimates the cost of finishing the trail at $6 million. Sacramento Convention Center Plans To Expand Sacramento convention officials will soon unveil plans for the first major renovation of the Sacramento Convention Center in nearly 20 years. There’s no price estimate for the project yet, but it likely would be in the tens of millions of dollars. Populous, an international builder of stadiums and convention centers, is expected to complete a design plan for an expanded convention facility by the beginning of September. The

goal: to add roughly 40,000 square feet in exhibition and event space to the existing 158,000 square feet at J and 14th streets downtown. An expansion of the facility could involve adding a floor to the Convention Center. It’s unlikely that the building would expand outward beyond its current three-block footprint. Officials also are interested in creating a more direct link between the Convention Center and bordering K Street, perhaps by opening up the street to allow pedestrian and bicycle traffic to pass between the facility and the Community Center Theater. El Dorado Approves Ross Store For Placerville The El Dorado County Planning Commission has given the go-ahead for construction of a 25,000-squarefoot Ross Dress for Less store just west of downtown Placerville. The plan calls for owner/landlord Weingarten Realty Investors to raze 9,500 square feet of building space and construct the new Ross store in the Prospectors Plaza retail complex at Highway 50 and Missouri Flat Road. Demolition work at the site is scheduled to begin next month, with a goal of opening the new store by mid-2014. Wye Road Project To Bid The City of Bishop’s Wye Road Intersection Improvement project will be nearer its final phase once the City Council approves the announcement of construction bids, thus helping to secure increased future traffic safety at the Wye Road/ U.S. 6 intersection. According to Public Works Director David Grah, consideration of opening the bids will be on the Monday, July 22 Council agenda. If approved, open bidding for the $600,000 construction job would advertised the following day. Bid deadline is Thursday, Aug. 22. Following this timeline, Grah said, at its Monday, Aug. 26 meeting, the council would consider awarding the bid and construction would begin in late September with a completion date falling in mid-November. The construction phase of the project will widen North Main Street/U.S. 6 at Wye Road, provide dedicated left and right turn lanes and align the lanes across the intersection. Homebuilder Confidence Soars, Report Says U.S. homebuilders are feeling more optimistic about their home sales prospects than they have in more than seven years, a trend that suggests home construction will accelerate in coming months. The latest confidence index, based on responses from 281 builders, points to continued improvement for new home construction, which remains a key source of growth for the economy. The National Association of Home Builders/Wells Fargo builder sentiment index released last week jumped to 57 this month from 51 in June. It was the third consecutive monthly gain. A reading above 50 indicates more builders view sales conditions as good, rather than poor. The index hasn’t been that high since January 2006, well before the housing market crashed. Page 8

With demand up, prices rising and few homes on the market, builders have grown more optimistic about their prospects, stepping up construction. In May, builders applied for permits to build single-family homes at the fastest pace in five years. Meanwhile, sales of new homes climbed in May to a seasonally adjusted annual rate of 476,000, the fastest pace in five years. That’s still below the 700,000 annual rate that’s considered healthy by most economists, but the pace has increased 29 percent from a year ago. Morgue Bids Rejected Stanislaus County supervisors have formally rejected construction bids on a building remodel for the new coroner’s facility and told staff to evaluate other ideas for the project. Bids from four construction firms ranged from $5.32 million to $7.78 million for the extensive remodel of the former health services center. The highest bid was double the county’s construction estimate of $3.75 million. Staff said the construction firms believed that reinforcing the building would cost more than the county estimated A committee composed of Supervisors Dick Monteith and Bill O’Brien wants staff to keep working on the plans for a retrofit of the former Medical Arts center on 17th Street in downtown Modesto. But the committee wants to see options for other sites as well. Macauley To Build New Company Headquarters A construction company is ask-

ing the El Dorado County Planning Commission for approval to proceed with building a new company headquarters – its own. Macauley Construction, which has an existing site on Greenstone Cutoff near the community of El Dorado, will go before the commission Thursday to request developing seven buildings over two phases on a 6-acre parcel. In the first phase, the company would build a 1,680-square-foot office building, a 616-square-foot caretaker’s residence, an 1,817-squarefoot storage and maintenance shop, a storage yard, parking and two portable storage containers. The second phase would include building four industrial-use buildings totalling more than 30,000 square feet and additional parking and landscaping. In addition, the company would build three 80-square-foot signs to be posted at each entrance. The agenda item indicates the new headquarters would be at the same site the company currently occupies. Peter Thorne of BT Consulting is listed as the agent for the project, though the agenda item did not give a timeline for completing the project if approved. (530) 823-4703 or email info@sedcorp.biz Brown Construction Lands West Sacramento Food Sorting Building Harsch Investment Properties, a privately-held real estate investment, development and management company, says it has signed a 60,000 square foot, build to suit lease for the Norwegian firm Tomra at the Riverside Commerce Centre in West Sacramento. Brown Construction Inc. of West Sacramento

will build the facility. Tomra, which acquired a company with a regional base two years ago, needs additional space to take advantage of growing business, according to a company news release. The new building, which should be ready for use by next March, will be occupied for a 12-year term and is a good sign for the market, said Don Little, whose company Harsch Investment Properties is developing the West Sacramento office and industrial park. Car Museum Granted $15 Million For New Building Longtime Sacramento car dealer and leasing company owner Paul Snider will finance the construction of a new Sacramento Waterfront Museums project at the site of the California Auto Museum. Auto sales magnate Paul Snider and his wife, Renee, have pledged $15 million – plus their personal collection of mounted bears, lions, rhinos and other creatures – to construct a 178,000-square-foot combination natural history and automobile museum on Front Street, at the site of the current California Automobile Museum. The couple have asked to purchase the land for the museum from the city for $1.25 million and, if it is approved by the City Council later this year, could begin construction next spring. The site at 2200 Front St. is occupied by a 72,000-square-foot former warehouse which houses the car museum. The plans call for the museum to buy about 5 acres underlying and adjacent to the museum from the city for $1.2 million and for the footprint of the existing

building to expand northward to include a section of V Street from Front Street to the Sacramento River levee. Although the auto museum would take most of the space, the second floor would be used for a new Natural History Museum. A nonprofit group is being formed to take the lead on that museum. The museums will launch capital campaigns this year to raise money for the tenant improvements to the museums. The $15 million will build the structure’s shell with mechanical systems. Monterey County Seeks $43 Million Monterey County has a shot at doubling the number of beds in its planned jail expansion with an extra $43.7 million in state money, according to Sheriff Scott Miller. The option to add nearly 600 beds to the crowded jail became possible after San Joaquin County decided to forfeit its own jail construction grant from the state, leaving Monterey County next in line. Supervisors have agreed to contribute around $4 million, while the state is kicking in $36,295,000. The county’s share will have to double if extra state funds come through. Under the county’s current AB 900 grant, plans are proceeding to build a 288-bed wing attached to the current jail, now scheduled to be completed by fall 2017. County supervisors approved the construction schedule and signed off on other paperwork required before the Board of State and Community Corrections releases the money.

Recent Survey Predicts Surge in Development Projects As the economy improves, commercial real estate industry leaders are increasingly optimistic about a surge in the California market over the next three years or so, a new report said. Released last week and known as the California Commercial Real Estate Survey, the report is published twice a year by Allen Matkins, a local law firm, and UCLA Anderson Forecast. Experts said they expect the nonresidential market will keep growing steadily for the next three years but start to slow after 2016 or 2017. There will still be growth, the report predicts, but at a slower rate. The conclusions are based on a

survey of selected California real estate professionals in the development and investment sectors of the industry. The report is broken down by California office markets, industrial markets and multifamily housing markets. Industry experts remain hopeful about each of the markets. “Since the end of the recession we have seen developer optimism spread to all of the markets and types of commercial space we survey,” the report says. “Today there is the nascent recovery in new nonresidential building predicted by the survey as early as 2010.” Perhaps the strongest growth will come in the nonresidential market,

especially near San Francisco, the report indicated. Half of the developers surveyed in the Bay Area said they planned to start building a new project within the next year. About 33% of the developers in Southern California said the same thing. Residents throughout the state can expect to see more apartment complexes and mixed-use developments start to pop up. Multifamily real estate is expected to be fairly robust for the next three years around Los Angeles, Silicon Valley and San Francisco, the report said. “The survey indicates that the market outlook is sufficiently bright for 55% of our panel or their associates to begin new multi-family projects in the coming 12 months,” the report says. Many of the new apartment and mixed-use developments will be located near transportation hubs. Optimism is not quite as high in the industrial sector, which includes manufacturing and warehouse properties, but the report said conditions were expected to improve through 2016, just not as drastically as in the housing and office sectors.

Your Business

Should You Run Your Business as a Corporation or LLC? By Scott Burnett, Esq. Whether you are a full-time or parttime business owner, everyone in the field of construction can benefit from forming a corporation or an LLC. There are two reasons why: one has to do with lowering your personal taxes and the other one with growing your busi-ness. First, no matter what type of way you make your living, you are going to make income and pay taxes. If you are a business owner, your goal is to have the money you make taxed at the lowest rate allowed by law. If you are doing your business as a sole proprietor, you are going to pay more taxes than if you operated your business as a corporation or an LLC. Period.

Second, you are in business. Parttime or full-time, every business owner wants their business to grow and become more successful. However, if you are a sole proprietor, your business cannot grow to its full financial potential because it is limited by you. Look at the facts:

Sole Proprietorship vs. Corporation or LLC TAXES If you are doing business as a sole proprietor, you will make money throughout the New Year and report that income at the end of the year. You will claim all expenses and deductions that you are eligible for, and the remainder will be your taxable net income. All of this income is now subject to self-employment tax.

This is because there are only four ways in which income can come to the owner of a sole proprietorship: cash, fringe benefits, rent, and royalties. Therefore, almost every dollar of income is going to be taxed at the highest possible tax rate. If you operated your business as a corporation or an LLC, even though you would make the same amount of income, the end result would be very different. The tax code provides additional income reduction tools to the owners of corporations and LLC’s. It allows you to take income out of the business in six different ways: wages, fringe benefits, dividends and distributions, loans, rent, and royalties. As a result, you can change the character of the money that comes to you, and reduce your taxes!

If you are doing business as a sole proprietor, you will make money throughout the New Year and report that income at the end of the year. You will claim all expenses and deductions that you are eligible for, and the remainder will be your taxable net income. All of this income is now subject to self-employment tax. This is because there are only four ways in which income can come to the owner of a sole proprietorship: cash, fringe benefits, rent, and royalties. Therefore, almost every dollar of income is going to be taxed at the highest possible tax rate. Let’s look at the four most important ways your corporation or LLC can help reduce your personal taxes.

1. Wages: Wages consist of the in-

come you take out of your business that pays you for your efforts. Wages are taxed at the same rates as a sole proprietor example. So at first there appears to be no difference between a sole proprietor and our entity. However, the owner of a corporation or LLC can regulate this income. So our owner here can have some of their lifestyle money taxed as wages, but can also take it out in a variety of other ways. For instance, he could take some income out as wages, or he could flow the income into one of the other six categories mentioned above, so it can be taxed at a lower rate (if it is taxed at all). This is called regulating income. The owner basically has the ability to change the character of money—an option the sole proprietor does not have because he or she has to declare their income as cash subject to self-employment tax.

2. Fringe Benefits: Fringe bene-

fits are legislative tax rules that benefit business. They allow businesses to write off non-traditional business expenses, such as health insurance and retirement plans. Corporations and LLC owners can claim and take these fringe benefits for themselves. Handled this way, the cost becomes a business expense. If you are a sole proprietor and you claimed the same fringe benefit, it would almost always be considered taxable income to the owner for the exact same benefit!

3. Dividends and Distributions:

A dividend or distribution is considered profit. This profit can be given to an owner throughout the year, or at the end of the year. The key with this type of income is the classification.

Since it is not classified as wages, it is not subject to employment tax. Therefore, every dollar paid out as dividend saves the owner 15.3 percent—the going U.S. employment tax rate.

4. Loans: A corporation or LLC is considered a separate legal person. Even though you are the owner, you can still interact with it like a separate person. Therefore, you can borrow money from your corporation or LLC. The obvious benefit is that any money you borrow is not considered taxable income. Sole proprietors cannot enjoy this benefit because they are not considered separate from their business.

Summary of Tax Benefits The reality of business taxation is that there are just more opportunities to lower your taxes for corporations and LLCs than there are for sole proprietorships. So it’s simply good business to learn the rules and take advantage of them. As a sole proprietor, you will always pay more in personal taxes. Period.

Sole Proprietorship vs. Corporation or LLC Business Growth We all want our businesses to grow and become more successful. However, success and growth can be two different things. As we learned above, we can make the exact same amount of money as we made last year, but end up paying less in taxes if our business is structured differently. Therefore, we could be more successful simply by keeping more of the money we make. But growth is not simply expansion of the business. We can have our business grow independent of our

efforts in our trade. Let me explain. Because your corporation or LLC is considered a separate legal person in the eyes of the law, it has the ability to grow independent of you. It can develop and expand its own financial identity. For example, it can establish credit for itself, which is independent of the owner. That means your business has unlimited growth potential. The sole proprietor and their business are one and the same person. Therefore, a sole proprietor cannot create their own independence and grow financially without the owner. Another interesting aspect of this separation concept is that any credit you have, as an individual, is considered a debt. Any credit the business establishes for itself is an asset. If the business was ever sold, the credit it established would be added to the value of the business. This again is not available to the sole proprietor. This is one more of the many ways you can grow your business without making any more money!

Sole Proprietorship vs. Corporation or LLC Summary If you want to make extra money and become more successful, you are better off operating your business as a corporation or LLC. Remember, part-time or full-time, this is a business. No matter how much time you spend in it, you always want to make sound business decisions. Capitol Connection Q&A Resource For Contractors By Shauna Krause and David Kalb Capitol Services, Inc. Despite the obvious ‘suspense’ we step up to provide a ‘remedy’ for a contractor worried about ‘hiccups’ in applying for the LLC license. Just in time, we remind all our readers why it is critically important to keep the CSLB up to date on your business address. Failing to do so carries a potentially high price … Q: We are in the process of obtaining a new license for an LLC. We have already applied and we anticipate that the license will be issued within a month or so (fingers crossed!). The bonds on our existing corporate license are due to expire this week. Since we don’t plan on using the corporate license anymore we are considering letting the bonds expire rather than paying to renew them, which will result in the license getting suspended. Is having a “suspended” license going to prevent us from obtaining the pending LLC license? Before we do this I just want to make sure that there are absolutely no hiccups with the pending application! A: While there are certain instances where having a suspended license could cause some problems when applying for a new license, a suspension due to lack of a bond should not cause any hiccups when obtaining the new LLC license. As another option you could just cancel the license, which would eliminate the need for a bond and also prevent you from having a “suspended” status on record. Q: I have a question about late license renewals. My license expired last year because we moved and

the renewal was never received or forwarded by the post office. By the time I realized what had happened, and drove to Sacramento to get this handled, my license had been expired for nearly three months. Everything is fine now, but I’m worried this might cause problems in the future. Is there anything I can do to get this expiration erased from my record (like what you can do with a speeding ticket)?

It is incumbent upon the contractor to notify the Board in writing within 90 days of moving. As you learned, unless the CSLB has a contractor’s address of record, it is very unlikely you’ll receive these important mailings (the Post Office generally will not forward documents from the CSLB). I hate to be the bearer of more bad news, but your problems may not be over. Business and Professions Code Section 7141 states, in part: “Renewal (of a license) under this section shall be effective on the date an acceptable renewal application is filed with the board. The licensee shall be considered unlicensed and there will be a break in the licensing time between the expiration date and the date the renewal becomes effective.” In other words, during this “nearly three months,” your license was expired you may be subject to the provisions of B&P Code 7031. Among other things, this means if you were to get into a legal dispute with a homeowner or another contractor down the road, for work performed during this “unlicensed” time period, you likely will not be able recover any compensation you’re owed.

A: Unfortunately, I am not aware of anything you can do to have this expiration removed from your licensing records. There is no online “traffic school” that magically erases this type of problem. When you finally renewed your license at the front counter, the form they handed you should have stated: “Delinquent Renewal, Read Section 7141.5 of the Contractors License Law regarding retroactive renewals”. That would have been the time to make such a request; however, since the reason for the late renewal application was due to contractor error and not a “Board error”, it is highly doubtful they would have granted your appeal.

Hard Hats And Fall Protection Do you think that the use of personal protective equipment is over-rated? Here are two actual stories. Large, heavy plates of steel were being welded to form a section of deck in a shipyard. As can be expected, some warpage occurred which required correction. Hydraulic jacks accomplished this through the application of pressure. Off to one side an individual was sighting down the plates to judge the corrections. Suddenly a temporary weld broke causing the plates to jump apart. One of these struck the man on the side of his hard hat with enough force to puncture the shell. In case you do not know, this is not easy to do and attests to the force of the blow. This person did suffer injury. However, so far, he has been able to continue working. Imagine what would have happened if he had not been wearing the hard hat. There is a good possibility he would have suffered a very serious and permanent head injury. In other words, his life, and that of his family, could have taken a tragic turn for the worse. You may not know that hard hats are not designed to provide the maximum level of protection from blows to the side. Was this an isolated episode? I do not think so. There are plenty of people around who have fallen, and struck their head on something as they have gone down. But they were wearing a hard hat and are still functioning today because of the protection it provided. Need another story to believe that personal protective equipment works? This incident occurred inside a 60 foot deep tank at a waste water treatment plant. After some scaffold planking slipped, a worker fell only 6 to 8 feet before being stopped by his safety harness. This harness prevented him from plunging an additional 40 to the bottom of the tank. He was rescued by firefighters and lifeguards, examined at a hospital, and released. Do you think he would have walked away if he had not been wearing the harness? Personal protective equipment works, but only if you wear it.
