The importance of Compliance Certificates It is undisputed that the current global pandemic has not spared the property market & sellers in particular from financial hardship resulting in an understandable need to save costs on the transfer of their properties wherever possible. The importance of obtaining valid compliance certificates from registered specialists has however never been more important, compliance protects both parties equally to ensure the property is transferred without any hazardous surprises which may result in lengthy legal disputes.
Notably some sale agreements make provision to waiver the compliance process in its entirety. This is ideal if the property is to be completely overhauled or demolished, the purchaser agrees to assume the risks associated with not attending to the compliance process & the parties sign an agreement to this effect. Sellers & purchasers need to however be aware that if the purchaser is raising a bond over the property the financial institution will insist that they are provided with valid certificates of compliance as they seek to protect their investment. Parties should however always enter this process with transparency by disclosing any known defects to all parties involved in the matter. We believe in providing our clients with the best possible guidance through this process.

Women Who Rise With Heart The greatest key to success when juggling multiple things is limiting what and who occupies my headspace. You must make a conscious decision to spend your precious time with people who bring value. To avoid complete depletion of your energy you can’t waste time on things that aren’t deserving of it. Elegant candour.
These two words are synonymous with a remarkable woman who defines success both personally and professionally as the power of her relationships. Leading with heart, for her, is about maintaining these relationships in a way that is honest, sustainable, and synergistic. When interviewed for this feature, Group MD of Dogon Group Properties, Alexa Horne, emphasized that although honoured to be regarded as a woman breaking barriers (and one who passionately advocates for gender balance at that) she holds equal esteem for single men juggling everything at this intense time of global uncertainty. Yes, she’s a single Mum raising two children as well as heading one of South Africa’s premier boutique real estate brands as a woman in her 40s, but she’s ultimately about the human story. The reality is I couldn’t be happier. I feel so fulfilled from every perspective; I’ve got two incredible kids and an unbelievably supportive partner, family, and girlfriends. And the business I lead is showing solid growth. If the pandemic has taught us anything, it’s how to leverage change. Ultimately, we all need to inspire each other to be – and always be – human beings breaking barriers. As a LLB graduate from the University of Cape Town, her impressive career spans roles at renowned firms like Investec and Cliffe Dekker Hofmeyr. In addition to now being at the helm of Dogon Group, Alexa is a top-producing agent in the luxury realty sector, her well-honed financial and legal skills making her a formidable player. With a finger on the pulse of Cape Town lifestyle and an influential national network, Alexa delivers a multiservice package to her clients. She continues to grow the Dogon team, since the beginning of the pandemic sixteen new

‘Breaking down barriers.’ What does this mean to you?
Denise Dogon, an incredible woman who broke her own barriers, left me big shoes to fill. Despite having very different leadership styles, we’re both about empowering those who work with us. So, it’s not so much about doing things differently to her, but rather complimenting her vision with mine for the success of all. What’s next? Apart from my focus to expand Dogon on the Western Seaboard, it’s continuing to stay focused on our own change and be the best version of ourselves by constantly innovating and adapting to meet our clients’ needs while maintaining a happy team.
Beyond the financial definition of success, true success is about breaking barriers in relationships. With clients this means being hands on, serving them with humility and focused efficiency. With my team it means leading by example, remaining empathetic but always demanding excellence. And with my loved ones it means making time – and when making that time being present, available, and connected.
What message do you have for fellow female leaders like yourself?
Being a successful woman in business takes sacrifice, determination, and focus. The key is to work with what you have, then innovate. By getting into the shoes of an agent I not only fully understand their struggles but can prove to them what’s possible by first doing it myself. Since becoming MD of Dogon Group, my focus on the Southern Suburbs where I’ve resided all my life has seen our brand expand significantly there. Our transactions in the area now account for a notable portion of group sales. My goal is to emulate the longstanding success of the Atlantic Seaboard and City Bowl teams who continue to dominate in those territories. As a group we’re also currently spearheading 28 developments in niche areas across the city.
How do you feel you are leading Dogon differently and what’s next for the group?
What has been your greatest challenge during the pandemic?
Personally, it was managing anxiety of the unknown and creating a structured environment for my children. Professionally it was pivoting a business heavily reliant on face-to-face interactions to all our agents operating online and support staff working from home. Dogon’s stellar sales and rentals during all lockdown levels is testimony to our adaptive success. When many businesses were folding, we not only survived, but grew.
How do you take care of your mental and emotional health?
Exercise and running are my therapy. I’m also very strict with myself. Self-discipline

What happens to a sale agreement where the bank decides to cancel the bond that was granted, because the buyer’s financial circumstances have changed through no fault of his own? Can an Agent still claim commission, or the seller, damages? The short and sad answer to both questions is yes. In their standard T’s & C’s, the bank usually reserves the right to withdraw the bond, right up to the date of registration. This is a risk the buyer takes when he accepts a bond. As such, once the bond has been granted and the condition in the deed of sale has been met, the later withdrawal of the bond will not turn back the clock. The sale will remain binding, and it is the purchaser who bears the risk of the consequences of such a withdrawal, even if through no fault of his own such as retrenchment or liquidation of his employer. If a purchaser cannot afford to go ahead with the sale as a result of the withdrawal of a bond that was properly granted, the seller can use this default to cancel the agreement, and the purchaser will be liable for damages as well as estate agent commission, wasted attorney’s costs and the difference in the purchase price if the property is then sold for a lower purchase price, later in. And, if there was a deposit, this can be used towards covering these losses. The bottom line is that this is a risk every buyer must assume if he wants to buy property and finance it with a bond. Accepting an offer out of time – what are the ramifications? There appears to be only one reported judgment in our country’s history which specifically deals with this scenario - that of Manna v Lotter, which judgment was handed down in March 2007 already in the Western Cape High Court. What happened here is that the offer only arrived at the seller’s desk some 3 or 4 days after it had already expired. Nonetheless, the seller accepted the offer and returned it to the agent, who sent it to attorneys for further action. No one noticed that the expiry date had already lapsed. The buyer paid his costs; signed the transfer documents and did all that was required of him. The seller however then went silent and only after the buyer started to make some significant noise, did the seller suddenly turn around to say that in her opinion the sale was void as it was accepted out of time! One may be tempted to argue that by accepting the offer out of time, it amounts to a “counteroffer” of sorts – and if that were true, then it would have to follow that the buyer would have to somehow accept this in writing to comply with the Alienation of Land Act’s requirements. The judge in this matter, however, viewed things differently. He held that this clause is one that is there, solely for the benefit of the buyer – much like a bond clause – and that as such, it was for the buyer to decide whether to waive the benefit of that clause. The judge then reasoned further that this being the case, when a seller accepts an offer “out of time”, it does not amount to a counteroffer. The formalities of the Alienation of Land Act are all still perfectly intact – the sale agreement is in writing; it is signed, and it identifies the property and selling price. According to the Judge, all that remained is for the buyer, once he becomes aware of the late acceptance, to then, and within a reasonable time, waive the deadline he had imposed for his benefit. And once he does, the sale agreement becomes final and binding. In this case, the buyer had through his conduct at the very least, waived the condition given that he had pursued the matter from the get-go to the point of a High Court Application! Accordingly, the court held that the sale was perfectly enforceable. As such, and should you find yourself in this predicament that an offer was accepted out of time, all one needs to do to ensure that the sale remains safe, is to obtain something from the buyer ASAP and in writing wherein he / she states that he / she waives the benefit of that clause and is still prepared to proceed with the sale agreement and then communicate this to the seller ASAP too!

WHY PURCHASING IN RETIREMENT SCHEMES IS DIFFERENT In South Africa there are attractive opportunities for retirees who have the means, to re-settle in schemes that offer a range of facilities. These ‘lifestyle’ or ‘retirement’ schemes typically include a full spectrum of outdoor and indoor facilities, lock-up-and-go security, and frail care services with or without an option of assisted living. As these schemes cater for retirees which group may include persons who are becoming vulnerable and less savvy in current business practices, legislation exists that aims to prevent abuse. The Housing Development Schemes for Retired Persons Act 65 1988 (the Act) was introduced to regulate retirement development schemes and to afford buyers in such schemes some minimum level of protection relating to both the development and the ongoing management of these schemes. DISTINGUISHING THE DIFFERENT FORMS OF RESIDENCE IN RETIREMENT SCHEMES When you buy into a retirement scheme it is of utmost importance to ascertain which type of rights are acquired, because the underlying legal construct differs greatly with the different types of schemes. Retirement villages are generally based on one of the following legal structures: Sectional title ownership, which will give a purchaser outright ownership of the unit in the retirement village. Registration of ownership of the unit in the purchaser’s name is registered in a deeds registry and the purchaser will receive a title deed to the property. Share block ownership, which implies that the development is registered in the name of a shareblock company and each unit is allotted a number of shares in the
company. The shares which are acquired gives the purchaser the right to use the residence and the complex’s facilities, but ownership of the property is not transferred. The purchaser receives no title deed to the unit, but will receive share certificates reflecting his/her shares in the company that owns the land on which the retirement village was developed. Life rights, which give the purchaser the right to occupy a particular unit or apartment for the rest of his or her life. The purchaser does not acquire ownership of the underlying property. Full title ownership where ownership in the property is registered in the purchaser’s name. Often the retirement scheme will be managed by a homeowners’ association to maintain public areas and provide security and other services. ARE ‘LIFE RIGHTS’ SIMILAR TO RIGHTS UNDER A LEASE, OR IS THERE MORE TO IT? A life right is a ‘housing interest’ in terms of the Act which is granted for the lifetime of the purchaser, although it can be for a limited term. Life rights offer much more to the holder thereof than a tenant has under a lease agreement, because: The holder of a ‘life right’ acquires the right to occupy a unit in a scheme for as long as he lives. What happens upon death is regulated in the contract of sale between the developer of the scheme and the purchaser. The Act determines that the holder of a life right has, for all purposes, the same rights as those conferred upon a lessee
in terms of a registered long lease. Practically this means that the holder of a life right has a real right to occupy the property for the full term of the interest. Therefore, should the land be sold, the holder of this life right may remain in occupation for the remainder of his/her interest. The Act determines further that the real right of the ‘life right’-holder will rank in priority over any other right, no matter whether this other right is registered over the property and no matter the time when this other right was registered. In other words, the Act says that the right of the ‘life interest’-holder will rank above that of a mortgage bond holder, holder of a servitude, and so forth. HOW OLD MUST ONE BE TO BUY INTO A RETIREMENT SCHEME? The Act determines that no person other than a retired person (50 years or older) or his/her spouse, may reside in a retirement scheme. However, anyone regardless of age may invest in a retirement scheme. A child of a retired person may for example purchase an apartment or life right for his parents to stay in a retirement scheme. There are many more considerations to take into account when considering a purchase in a retirement scheme. Signing of Documents Abroad and the Legal Requirements In current times we are faced with many travel restrictions due to Covid-19 and often Sellers and Purchasers are unable to visit South Africa when buying or selling property. This results in transfer documents having to be signed abroad which requires certain legal formalities in order for them to be acceptable to the Registrar of Deeds. Parties signing documents abroad will have various options available to them depending on where they are situated. The first and most cost-effective option is to sign the documents at the South African Consulate. Unfortunately, this is not always an option as in certain countries the Consulate is quite a far distance from where the person is based, for example in Australia the South African Consulate is in Canberra. If one is unable to sign the transfer documents at the South African Consulate and the country where the documents are being signed is a member of the Hague Convention, the documents can be signed in the presence of a Notary Public and an Apostille will then be attached. The Hague Convention is an international treaty which sets out how documents issued in a country can be certified and a list of member countries can easily be found online. Exceptions to the above are if the documents are signed in Northern Ireland, United Kingdom, Eswatini (formerly Swaziland), Botswana, Lesotho or Zimbabwe. In these cases the documents may be signed in the presence of a Notary Public and an Apostille is not required. Should the country not be a member of The Hague Convention, for example United Arab Emirates or Canada, then an Apostille is not acceptable and after the documents have been certified by the Notary Public they will have to be sent to the Department of Foreign Affairs for Authentication. Once the documents have been signed, notarised and authenticated the originals will need to be couriered to South Africa. In light of the above it is imperative to furnish the parties with clear instructions as to the process required. This will avoid delays and keep costs to a minimum.
