A BILL FOR AN ORDINANCE ANNEXING A PARCEL OF LAND LOCATED IN SECTION 18, TOWNSHIP 2 SOUTH, RANGE 69 WEST, 6TH P.M., JEFFERSON COUNTY, COLORADO
WHEREAS, pursuant to the laws of the State of Colorado, specifically §31-12-106(3), C.R.S., the City Council may annex property of which it is the sole owner, when it is otherwise eligible for annexation, without notice or hearing; and
WHEREAS, the property proposed for annexation meets the requirements of Section 31-12-104(1)(a) and Section 31-12-105, C.R.S.
NOW, THEREFORE, the City of Westminster ordains:
Section 1. That the City Council finds that the property described in Section 2 below is owned by the City of Westminster, is not solely a public street or
right-of-way, and meets the requirements of Sections 31-12-104(1)(a) and 31-12-105, C.R.S.
Section 2. That the annexation is hereby accomplished by and to the City of Westminster, State of Colorado, of the following described contiguous unincorporated territory situated, lying and being in the County of Jefferson, State of Colorado, to wit:

Section 3. This ordinance shall take effect upon its passage after second reading.
Section 4. The title and purpose of this ordinance shall be published prior to its consideration on second reading. The full text of this ordinance shall be published within ten (10) days after its enactment after second reading.

Whereas, the City of Westminster owns certain property addressed at 9889 Alkire Street, described in Exhibit A, attached hereto and incorporated herein (the “Property”);
Whereas, City staff have submitted three ordinances to the City Council for the purposes of annexing, rezoning, and amending the City’s Comprehensive Plan for the Property;
Whereas, pursuant to Section 11-3-2(D), W.M.C., the City desires to amend the Westminster Comprehensive Plan to establish on the Property the land use designation of City Open Space (the “Amendment”); and
Whereas, the Amendment was referred to the Planning Commission, which, on February 28, 2023, after notice complying with Section 11-513(A), W.M.C., held a public hearing thereon and recommended approval of the Amendment; and Whereas, notice of the public hearing before the City Council has been provided in compliance with Section 11-5-13(A), W.M.C.; and
Whereas, the City Council, having considered the recommendation of the Planning Commission, has completed a public hearing and has accepted and considered oral and written testimony on the Amendment; and

Whereas, the City of Westminster owns certain property addressed at 12620 Zuni Street, described in Exhibit A, attached hereto and incorporated herein (the “Property”);
Whereas, City staff have submitted three ordinances to the City Council for the purposes of annexing, rezoning, and amending the City’s Comprehensive Plan for the Property;
Whereas, pursuant to Section 11-3-2(D), W.M.C., the City desires to amend the Westminster Comprehensive Plan to establish on the Property the land use designation of City Open Space (the “Amendment”); and
Whereas, the Amendment was referred to the Planning Commission, which, on February 28, 2023, after notice complying with Section 11-513(A), W.M.C., held a public hearing thereon and recommended approval of the Amendment; and

THE CITY OF WESTMINSTER ORDAINS:
Section 1. The 2022 appropriation for the General and General Capital Improvement Funds initially appropriated by Ordinance No. 4098 is hereby increased in aggregate by $73,638. This appropriation is due to changes in funding from grants.
Section 2. The $73,638 increase shall be allocated to City Revenue and Expense accounts as described in the City Council Agenda dated April 10, 2023, (a copy of which may be obtained from the City Clerk) amending City fund budgets as follows:

Section 3 – Severability. The provisions of this Ordinance shall be considered as severable. The invalidity or unenforceability of such section, paragraph, clause, or provision shall not affect the construction or enforceability of any of the remaining provisions, unless it is determined by a court of competent jurisdiction that a contrary result is necessary in order for this Ordinance to have any meaning whatsoever.
Section 4. This ordinance shall take effect upon its passage after the second reading.

Whereas, the stated purpose of Title XI, W.M.C., is to preserve and promote the public health, safety, and welfare of the inhabitants of the City and of the public generally and to encourage and facilitate the orderly growth and expansion of the City; and
Whereas, the Westminster City Council finds it in the public interest for the City Council to review and comment on proposed future developments through a Concept Plan Review process to facilitate alignment with the City Vision and
Strategic Plan.
THE CITY OF WESTMINSTER ORDAINS:
Section 1. Subsection 11-1-6(A)(1), W.M.C., is hereby AMENDED to read as follows:

Section 2. Subsection 11-2-1(A), W.M.C., is hereby AMENDED by the addition of a definition of “Concept Plan” between the definitions of “Comprehensive Plan” and “Conditional use,” to read as follows:
Concept Plan shall mean a scaled plan that illustrates the development proposal for a specific property, including but not limited to lot lines, building footprints and square footage, building elevations, proposed uses, landscape areas and buffers, circulation, parking, site access, service areas, and the identification of potentially sensitive design issues. The relationship of the proposed development to existing, surrounding developments should also be illustrated.
Section 3. A new Section 11-5-6.5, “Concept Plan Review”, is hereby ADDED to Chapter 11-2, W.M.C., between sections 11-5-6 and 11-5-7, to read as follows:
11-5-6.5: Concept Plan Review
(A) Upon the completion of a pre-application review in accordance with City policies and prior to submittal of a PDP, PDP amendment, ODP, or ODP amendment for technical review, the applicant shall submit a concept plan for review. The concept plan shall be presented for review at a public meeting of the City Council. It is intended that the City Council discuss with the applicant any significant concerns about the concept plan during the public meeting. No official action is taken at this stage by the City Council. Concept plans that meet the criteria for administrative approval set forth in 11-5-8 (B), 11-5-9 (B), and 11-5-10 (B), W.M.C., shall not be subject to concept plan review.
(B) Review of any concept plan that is not otherwise subject to the concept plan review process according to Section 11-5-6.5(A) may be required at the discretion of the City Manager if the plan proposes significant deviations from this Code or administrative policies; will result in significant traffic, uncommonly high water demand, visual, noise, odor, or other impact on neighboring properties; or is determined that the review is otherwise in the interest of the general public.
(C) The property that is the subject of a concept plan review shall provide public notice in accordance with Section 11-5-13, W.M.C.
(D) Any comment, suggestion, or recommendation made by any member of City staff or the City Council on any concept review plan is entirely gratuitous and does not bind or otherwise obligate City staff, the planning commission, or the City Council to any course of conduct or decision after an applicant makes an official submittal of a development plan to the City for technical review.
(E) Upon submission of a concept plan for review, the applicant shall pay an application fee in accordance with section 11-1-6, W.M.C.
Section 4. This ordinance shall take effect upon its passage after second reading. The title and purpose of this ordinance shall be published prior to its consideration on second reading. i. The current zoning is inconsistent with one or more of the goals or objectives of the City’s Comprehensive Land Use Plan.
ii. The current zoning is incompatible with one or more of the surrounding land uses, either existing or approved.
b. That the notice requirements of Section 11-513, W.M.C., have been met.
c. That such rezoning was referred to the Planning Commission, which, on February 28, 2023, after notice complying with Section 11-5-13(A), W.M.C., held a public hearing thereon and recommended approval of the rezoning.
d. That the City Council has completed a public hearing on the rezoning pursuant to the provisions of Chapter 5 of Title XI of the Westminster Municipal Code and has considered the criteria in Section 11-5-3(A), W.M.C.
e. That based on the evidence produced at the public hearing, a rezoning to the proposed O1 Open District complies with all requirements of the Westminster Municipal Code, including, but not limited to, the provisions of Section 11-4-3, W.M.C., requiring compliance with the Comprehensive Land Use Plan, and the criteria of Section 11-5-3(A), W.M.C.
Section 2. The Zoning District Map of the City is hereby amended by reclassification of the Property from the current Unincorporated Adams County zoning district to the O1 Open District, as shown on Exhibit B, attached hereto.
Section 3. This ordinance shall take effect upon its passage after second reading.
Section 4. The title and purpose of this ordinance shall be published prior to its consideration on second reading. The full text of this ordinance shall be published within ten (10) days after its enactment after second reading.

Whereas, the City of Westminster owns certain property addressed at 7371 West 92nd Avenue, described in Exhibit A, attached hereto and incorporated herein (the “Property”);
Whereas, City staff have submitted three ordinances to the City Council for the purposes of annexing, rezoning, and amending the City’s Comprehensive Plan for the Property;
Whereas, pursuant to Section 11-3-2(D), W.M.C., the City desires to amend the Westminster Comprehensive Plan to establish on the Property the land use designation of City Open Space (the “Amendment”); and
Whereas, the Amendment was referred to the Planning Commission, which, on February 28, 2023, after notice complying with Section 11-513(A), W.M.C., held a public hearing thereon and recommended approval of the Amendment; and
Whereas, notice of the public hearing before the City Council has been provided in compliance with Section 11-5-13(A), W.M.C.; and
Whereas, the City Council, having considered the recommendation of the Planning Commission, has completed a public hearing and has accepted and considered oral and written testimony on the Amendment; and
Whereas, the City Council has determined that the Amendment will further the public good and will be in compliance with the overall purpose and intent of the Westminster Comprehensive Plan and Section 11-5-21(B), W.M.C., particularly as the proposed City Open Space designation relates to contributing to the planned land uses surrounding the adjacent City owned Open Spaces.

A BILL FOR AN ORDINANCE ADOPTING A FIRST AMENDMENT TO THE AMENDED AND RESTATED FOR SALE DEVELOPMENT AGREEMENT BETWEEN THE WESTMINSTER ECONOMIC DEVELOPMENT AUTHORITY, THE CITY OF WESTMINSTER, AND DOWNTOWN WESTMINSTER RESIDENCES, LLC, FOR THE PURPOSE OF DEVELOPING BLOCK A-4, BLOCK C-7 AND A PORTION OF BLOCK A-1
WHEREAS, Downtown Westminster Residences, LLC plans to develop at least twenty (20) condominium units and seventeen (17) townhouse residential units on Block A-4 East Project and thirty-one for sale townhouse residential units on Block C-7; and
WHEREAS, the development of ownership condominiums and townhomes will advance the City’s desire to develop a range of ownership and rental residential opportunities in Downtown Westminster; and
WHEREAS, the scale and design of the proposed project is consistent with the vision for Downtown Westminster; and
WHEREAS, an Amended and Restated For Sale
Development Agreement between the Westminster Economic Development Authority, the City and Downtown Westminster Residences, LLC was entered into on May 11, 2021; and
WHEREAS, after continuing discussions between the Westminster Economic Development Authority, the City, and Downtown Westminster Residences, LLC, the parties have concluded that proceeding with the construction of a combination of townhomes and condominiums on the east half of Block A-4, the construction of townhomes on Block C-7, and future construction of condominiums on Block A-1 will best support the residential development of Downtown Westminster; and
WHEREAS, due to dramatically escalated construction costs, it is necessary to make adjustments to the profit-sharing formulas for the for sale townhomes and condominiums on Block A-4 East and the for sale townhomes on Block C-7; and
WHEREAS, as a result of detailed site planning and unit configuration for the improvements on both Block A-4 East and Block C-7, it is necessary to adjust the unit count for both projects; and
WHEREAS, the proposed First Amendment to the Amended and Restated For Sale Development Agreement, in Substantially the same form As Exhibit “A”, incorporated herein by this reference, outlines the modified commitments of the parties including the adjustment to the unit count for the development of twenty (20) condominium units and seventeen (17) for sale townhouse residential units constructed at a density of not less than 20 units per acre, and not less than 1000 square feet of retail space plus ancillary common areas and parking on Block A-4 East, and for the construction of thirty-one (31) for sale townhouse residential units at a density of not less than 15 units per acre plus ancillary common areas and parking on Block C-7, and for the amendment to the profit sharing calculation for the townhomes and condominiums on Block A-4 East, and the amendment to the profit sharing calculation for the townhomes on Block C-7.
THE CITY OF WESTMINSTER ORDAINS:
Section 1. The attached First Amendment to the Amended and Restated For Sale Development Agreement among the City of Westminster, the Authority, and Downtown Westminster Residences, LLC, amends the Amended and Restated For Sale Development Agreement to define the “A-4 East Improvements” on Block A-4 East to mean a minimum of twenty (20) condominiums and seventeen (17) for sale townhouse residential units constructed at a density of not less than 20 units per acre and not less than 1000 square feet of retail space at the southeast corner of Block A-4 plus ancillary common areas and parking, defines the “C-7 Improvements” on Block C-7 to mean a minimum of thirty one (31) for sale townhouse residential units constructed at a density of not less than 15 units per acres plus ancillary common areas and parking, and provides terms to adjust he profit sharing portion of the agreement to be amended to state the townhomes on Block A-4 East Project is determined by multiplying the amount in (vi) times $370, the condominiums on the Block A-4 East Project is determined by multiplying the amount in (i) times $430, and the townhomes on Block C-7 is determined by multiplying the amount in (i) times $370.
Section 2. That the City Manager is hereby authorized to sign, and the City Clerk to attest, the First Amendment to the Amended and Restated For Sale Development Agreement.
Section 3. That the First Amendment to the Amended and Restated For Sale Development Agreement shall not be effective until executed by the City of Westminster, the Authority, and Downtown Westminster Residences, LLC.

There will be no proration of taxes, rents or other income or liabilities, except that the purchaser will pay, at or before closing, his prorated share of any real estate taxes that have been paid by the Secretary to the date of the foreclosure sale.
When making their bids, all bidders except the Secretary must submit a deposit totaling 10% of the Secretary’s bid in the form of a certified check or cashier’s check made out to the Secretary of HUD. A deposit need not accompany each oral bid. If the successful bid is oral, a deposit of 10% of the Secretary’s bid must be presented before the bidding is closed. The deposit is nonrefundable. The remainder of the purchase price must be delivered within 30 days of the sale or at such other time as the Secretary may determine for good cause shown, time being of the essence. This amount, like the bid deposits, must be delivered in the form of a certified or cashier’s check. If the Secretary is the highest bidder, he need not pay the bid amount in cash. The successful bidder will pay all conveying fees, all real estate and other taxes that are due on or after the delivery date of the remainder of the payment and all other costs associated with the transfer of title. At the conclusion of the sale, the deposits of the unsuccessful bidders will be returned to them.
The Secretary may grant an extension of time within which to deliver the remainder of the payment. All extension will be for 15-day increments for a fee of $500.00, paid in advance. The extension fee shall be in the form of certified or cashier’s check made payable to the Secretary of HUD. If the high bidder closes the sale prior to the expiration of any extension period, the unused portion of the extension fee shall be applied toward the amount due.
If the high bidder is unable to close the sale within the required period, or within any extensions of time granted by the Secretary, the high bidder may be required to forfeit the cash deposit, or at the election of the foreclosure commissioner after consultation with the HUD representative, will be liable to HUD for any costs incurred as a result of such failure. The Commissioner may, at the direction of the HUD representative, offer the property to the second highest bidder for an amount equal to the highest price offered by that bidder.
There is no right of redemption, or right of pos-
session based upon a right of redemption, in the mortgagor or others subsequent to a foreclosure completed pursuant to the Act. Therefore, the Foreclosure Commissioner will issue a Deed to the purchaser(s) upon receipt of the entire purchase price in accordance with the terms of the sale as provided herein, HUD does not guarantee that the property will be vacant.
The scheduled foreclosure sale shall be cancelled or adjourned if it is established, by documented written application of the mortgagor to the Foreclosure Commissioner no less than three (3) days before the date of sale, or otherwise, that the default or defaults upon which the foreclosure is based did not exist at the time of service of this notice of default and foreclosure sale, or all amounts due under the mortgage agreement are tendered to the Foreclosure Commissioner, in the form of a certified cashier’s check payable to the Secretary of HUD, before the public auction of the property is completed.
The amount that must be paid if the mortgage is to be reinstated prior to the scheduled sale is $203,867.58 as of March 7, 2023, plus all other amounts that would be due under the mortgage agreement if payments under the deed of trust had not been accelerated, advertising costs and postage expenses incurred in giving notice, mileage by the most reasonable road distance for posting notices and for the Foreclosure Commissioner’s attendance at the sale, reasonable and customary costs incurred for title and lien record searches, the necessary out of pocket costs incurred by the Foreclosure Commissioner, and all other costs incurred in connection with the foreclosure prior to reinstatement.

4. At all times relevant hereto, Plaintiff provided property insurance to Pak Hospitality, LLC (“Pak”) in connection with its property located at 1902 N. LaCrosse Street, Rapid City, SD (the “subject property”) under a policy of insurance that was in full force and effect at all relevant times.
5. On September 6, 2022, Pak assigned any and all rights to claims against Crewmax, LLC to Depositors Insurance Company.
6. In the wake of the incident described below, as a result of a claim made on said policy (which was duly paid pursuant thereto), Plaintiff became subrogated to certain recovery rights and interests of Pak for monies paid thereunder, including the claims giving rise to this complaint.
7. Defendant is a foreign corporation engaged in the business of providing roofing services, with offices located at 12571 Kearney Circle, Thornton, CO 80241.
STATEMENT OF FACTS
8. On or about late 2020/early 2021, Pak contracted with Crewmax to replace the roof at the building location in Rapid City, SD and subsequently began such work.
9. On or about May, 2021, the roof sustained damage whereas, during a wind event the roof was damaged due to the fasteners not holding the roof in place.
10. Upon investigation, it was determined that Crewmax did not use the proper fasteners for the type of roof that was being installed.
11. As a result of the damage described above, Depositors became obligated to pay a sum in excess of seventy-five thousand dollars ($75,000.00) in satisfaction of the claims asserted by Pak pursuant to his policy of insurance with Depositors. Depositors is thus subrogated to the rights of Pak against Crewmax herein.
COUNT ONE - NEGLIGENCE
12. Each of the above allegations is incorporated by reference as if stated herein.
13. Upon being contracted by Pak to perform roofing services at the building, Crewmax owed a duty to use reasonable care in completing said roof services in a workmanlike manner.
14. That Crewmax breached such duties by negligently and improperly performing roofing services at the building.
15. That as a direct and proximate result of Crewmax’s negligence described above, Plaintiff’s insured suffered damages in the amount in excess of $75,000.
COUNT II – BREACH OF WARRANTIES
16. Each of the above allegations is incorporated by reference as if stated herein.
17. That Crewmax breached certain statutory, express, and implied warranties which covered the roofing services performed at the residence.
18. That Crewmax, specifically, issued a 10-year workmanship warranty to Pak where it guaranteed that installation would meet or exceed manufacturer’s specifications and that work would be completed to industry standard or beyond.
19. That as a direct and proximate result of Crewmax’s breach of warranties as described above, Plaintiff’s insured suffered damages in an amount in excess of $75,000.00.
COUNT III – BREACH OF CONTRACT
20. Each of the above allegations is incorporated by reference as if stated herein.
21. Crewmax entered into a contract with Pak, whereby Crewmax agreed to perform roof work at the building in a workmanlike manner and free from defects.
22. Crewmax breached its contract with Pak when it failed to do the roof work in a workmanlike manner free from defects.
23. That as a direct and proximate result of Crewmax’s breach of contract as described above, Plaintiff’s insured suffered damages in an amount in excess of $75,000.00.
24. As a result of the aforesaid payments, Depositors is subrogated by law and contract to all rights, claims, and causes of action of Pak against Crewmax.
WHEREFORE, Plaintiff Depositors Insurance Company a/s/o Pak Hospitality prays for judgment against Defendant Crewmax, LLC in an amount in excess of $75,000 with prejudgment interest thereon, their costs and disbursements herein, and for such other and further relief as the Court deems just and equitable.

That said tax lien sale was made to satisfy the delinquent REAL ESTATE taxes assessed against said property for the year 2016;
COMPLAINT
Plaintiff, Depositors Insurance Company a/s/o Pak Hospitality LLC (“Plaintiff”), by and through its undersigned counsel, demands judgment against Defendant, Crewmax, LLC (“Defendant”), and complains against it as follows:
JURISDICTION AND VENUE
1. Jurisdiction for Plaintiff is based on 28 U.S.C. § 1332(a)(1) as this action involves a controversy between citizens of different states. Moreover, the amount in controversy exceeds $75,000 (exclusive of interest and costs).
2. Venue is proper in this district based on 28 U.S.C. § 1391(b)(2) in that the events giving rise to this claim occurred within this district.
PARTIES
3. Plaintiff is an Ohio corporation having its principal place of business located in Columbus, OH
Plaintiff demands a trial by jury on all issues so triable.
