FRONTIER CHARTER ACADEMY Board of Directors Meeting Minutes from May 16, 2022 at 6:00 p.m.

A Regular Meeting of the Board was held at the FCA office at 10653 NE 71st St., Brooks, Oregon 97305 and via videoconference

I.

PRELIMINARY A. Call To Order and Pledge of Allegiance Meeting was called to order by the School Board President, Michael Winning at 6:10 p.m.

Roll Call Directors Englehart, Gallagher, and Winning indicated they were present. Director Memory was absent.

Board Members: ● Travis Englehart, Secretary/Treasurer appointed November 18, 2019, term ending June 30, 2024 ● Jack Gallagher, Board Member - 2-year term ending June 30, 2022 ● Jelani Memory, Board Vice-Chair - 3-year term ending June 30, 2023 ● Michael Winning, Chair/President - 2-year term ending June 30, 2023 ● One Vacant Position Others present included: Katie Schweitzer, Todd Schweitzer, and Melissa Wolfer.

Approval of the February 28, 2022 Board Minutes Motion: Director Englehart moved and Director Gallagher seconded that the Frontier Charter Academy Board of Directors approve the minutes of February 28, 2022 meeting as presented. The motion passed 3-0. (Director Memory was absent)

COMMUNICATIONS PUBLIC COMMENTS: No individual comment shall be for more than three (3) minutes and the total time A. for this purpose shall not exceed fifteen (15) minutes. Board Members may respond to comments however no action can be taken. The Board may give direction to staff following the comment.

There were no public comments.

BOARD/STAFF DISCUSSION Reports: 1.

School Update Todd stated that student enrollment is declining at FCA along with many other districts in Oregon. Director Winning mentioned that private schools are not gaining students. Todd said that FCA’s financial condition is stable, but we would like to have more students. The school has started a “Share Our School Campaign” which encourages students and parents to share FCA’s information on social media. If the goal of 535 student enrollment is achieved, FCA will provide pizza parties across the state for students and families. Todd believes that referrals will bring quality enrollments. FCA is not cutting back on its current marketing efforts. Todd also said that he has begun contract renewal discussions with Gervais School District. He is proposing a ten year contract. The superintendent, Dandy Stevens, is favorable to a ten year agreement and she will have the document reviewed by an attorney before it is presented to either Board for

approval sometime in the Fall of 2022.

Financial Business Manager, Melissa Wolfer, reviewed her written report. She mentioned that current year spending will stay within approved budget appropriation levels for all funds, but that grant spending will exceed limits for special funds. She stated that the Board could opt to increase the appropriation levels if they wanted to, but it was not necessary since the auditors only report one fund in the financial statements. There were no questions or concerns.

Principal Update Special Services Director and Principal, Katie Schweitzer, reported on the status of remote state student assessment, the end of the year celebration at Blue Lake Park, and summer school planning. Todd invited the Board Members to graduation and reported that 22 graduates out of 35 will be present. Todd also mentioned that some charter schools are getting records requests.

He believes these requests are driven by the legislature seeking information about corporate run charters.

CONSENT AGENDA ITEMS All matters listed under the consent agenda are considered by the Board to be routine and will be approved/enacted by the Board in one motion in the form listed below. Unless specifically requested by a Board Member for further discussion or removed from the agenda, there will be no discussion of these items prior to the Board voting on them. The Executive Director recommends approval of all consent agenda items.

Motion: Director Englehart moved and Director Gallagher seconded to approve the consent items listed en masse. Motion passed 3-0. (Director Memory was absent) 1. New Employees: 2. Grants: ○ Summer School Frontier Charter Academy Board of Directors approves the receipt of summer school grant funds to provide staffing and supplies and further authorizes the Administration to hire existing staff as needed. ○

Recruitment and Retention Frontier Charter Academy Board of Directors approves the application for a state sponsored recruitment and retention grant and authorizes use of those funds as allowed by the Oregon Department of Education including but not limited to staff retention bonus, hiring bonus, and additional tuition benefits.

5. Purchasing authority: The Board of Directors authorizes FCA Administrative Staff and Managers to engage in purchases, agency-to-agency agreements, including service contracts and other items necessary to facilitate the day-to-day operations of the school without specific Board approval for amounts up to $30,000 (reference Bylaws article 10 and Policy DJCA).

Business Action Item 2022.05.16 - 01: 2022-23 Meeting Date Motion: Director Englehart moved and Director Gallagher seconded that the Frontier Charter Academy Board of Directors approve August 15, 2022, November 28, 2022, February 27, 2023, and May 22, 2023 as regular meeting dates in the 2022-23 school year. Motion passed 3-0. (Director Memory was absent)

Instruction and Curriculum None

ITEMS SCHEDULED FOR INFORMATION 1.

Todd informed the School Board of an Oregon School Board Association (OSBA) conference July 8 - 10 in Bend and invited anyone who is interested in attending to contact him.

Todd let the Board know that there have been no applicants to the Board vacancy posting. There was general discussion on this topic with the outcome being that the posting would be kept up and that recruitment efforts would continue.

3.

One of the performance review deficit areas was not having a formal process for the Executive Director’s evaluation. Todd and Melissa showed the Board Members an evaluation template from OSBA for Charter School’s that was put into a Google Form and complies with the Teachers Standards and Practices Commission evaluation standards. Todd proposed that staff members who work closely with him complete the form and provide a summary to the Board Members who would also provide input.

Director Winning stated that the main responsibility of an Executive Director is to provide the Board with timely information and that they deal with issues in a prompt and professional manner.

Another performance review area of concern was the Board Member’s involvement with school policy.

Melissa told the Board that there are two options, either the school could continue to use the sponsoring district’s adopted policies as they apply to virtual education with more Board review of those policies or the Board could adopt charter policies from OSBA. There was Board Member consensus to have more involvement with the policies from Gervais.
