Call to Order: Julie Adams DeFord called the meeting to order at 12:02 pm.

Approval of the Previous Minutes: Approval of November minutes Kendal moved to approve and second by Teresa. Julie to add a note to talk about bylaws.

Committee Reports Executive Committee: Laurie Ahern to summarize meeting. Discussed today’s agenda and introduced Elsje Taggart, and Leta Governance Committee: Laurie Ahern discussed meets as needed. Primarily responsible for bylaws and on last page we have made about 8 changes and it’s a living document. Talked about some changes in membership and proposed new sentence. Struck the words “as much as possible” and added “race” to meet diversity goals.

Nominating Committee: Teresa has nothing to report until April 2022. Fruits of our labors, new CAB members.

Fundraising Committee: Kendall reported that minutes from meeting were in packet. And asking for follow up from Kristin Advocacy Committee: Susan has nothing to report. Been slow during pandemic and hopefully we’ll start more activities. Upcoming meeting 1/27 @ 11a-12p. One initiative reaching out to the Latinx community. Bethany mentioned the HCCI and hoping to do another segment in February and hopefully and on-air piece as well.

Programming Committee: Andy no updates as needed. Working on project to figure out some goals for programming committee.

Discuss BSPR in Community: Laurie discussed Extremely American and thought it was very challenging and enlightening. Kendall spoke of incident at committee meeting Clarice Pour estate. Terry brought up the Child Welfare article recently. Teresa discussed Jazz Conversations. Julie gets all her news on BSPR. Bill gave a shout out to Larry for underwriting.

Station Report: Katie Kloppenburg to be new Digital Content Coordinator and New Business Manager Megan Dupre. Larry Newton’s position will be next vacancy open. Seeking a replacement.

Take a look at Strategic Plan and added that we’ve been working n a few things to help recognize audience goals to expand our listening audience, to reach diverse audiences. To seek to better understand digital data to inform decision making. Still working on improvements. Improving our metrics on streaming with Streamguys to offer better data. Improve storytelling and communication about fundraising efforts.

Walking through the Public Health event. We received 20k grant from CPB and had the doctor’s roundtable started with the pandemic, every Wednesday. Mostly listener questions and refutes misinformation. Received emergency funding and had 2 months to get it utilized. Info at Treefort. Had panel at HCCI for Latinx event regarding Covid impacts. Held a Zoom doctors round table event. Also had this segment translated in Spanish, had some digital signage on State St. New Business: The limited series podcast Extremely American and then Women’s Work from Ashley Ahern who lives in Eastern WA and is interested in sustainable ranches run by women.

Kristin Jackson to discuss drive. Met and exceeded goals! Counted all donations from the month. $282K, about $47K over our goal. Close to new member goal of 20% at 18% for winter drive. New sustainers were a little low, but November was higher. Our Web donations went up because we announced website before email and phone.

Lauren talked about a double of Broadcast Society Members. A lot of folks renewed this year after skipping last year. Kendall discussed the kudos to fundraising staff. Lauren brought up Clarice Pour gave $100/year. When she passed away, she was 102 and left her entire estate to BSPR. $180K and expect another amount for $120K. She was from Nyssa and a member of the book club in Nyssa since 1946. She committed her life to this community and her gift that helps ensure local reporting. She topped of endowment. Kendall brought up doing more in rural communities. Lauren then announced that we were awarded another RFA grant and will allow us to hire a Latinx reporter to handle Canyon County.

Julie then brought up the By Laws and to vote on those. Our governing document has to be brought 10 days before. Asked for a motion to waive the ten-day notice. Kendall made motion and seconded by Tyson Chaplin all approved to vote today if approved by all. Leta discussed the financial requirement to be on the CAB. Julie and Teresa discussed the need for this and a student needing to participate could have membership requirement waived. Also noted that the decision was that the members could donate any amount.

Changing the language in the By Laws to have the CAB reflect diversity. Issue two is that the CAB expectations are that CAB members have to be donating members.

Leta suggested this is a shift in mindset
