MISSION & VALUES

MISSION & VALUES
It is too late to be a pessimist.
The Black Jaguar Foundation is driven by a deep commitment to the environment, fueled by our team’s determination, passion, and innovation.
Our objective is ambitious: to plant over 1.7 billion native trees to realise the Araguaia Biodiversity Corridor. This will revitalise Cerrado Savanna & Amazon Rainforest and contribute to the preservation of our planet for future generations.
Over the years we have developed the BJF cycle of 17 steps of restoration, starting with the local community, followed by the science, the planting and the years of maintenance and care.
The impact for each of us will be extraordinary and so is the scope of this project. We cannot achieve it alone.
Realising the Araguaia Biodiversity Corridor is only possible with the support of like-minded individuals, global partners and local farmers.
That’s why we’re grateful for all your continuous support!

Watch our initiator’s thank you message showing how your support is contributing to our mission of hope and action!

MESSAGE FROM THE BOARD

MESSAGE FROM THE BOARD
In 2023, global efforts intensified towards climate mitigation and marked a growing emphasis on biodiversity and ecosystem restoration. Key international meetings including COP29 and CBD COP15, continued to speak about the commitments under the Paris Agreement and establish targets for biodiversity conservation. Challenges continue due to the complexities of international cooperation, inadequate funding, and the urgency of implementing effective policies to address our environmental and climate crises.
At Black Jaguar Foundation we remain ‘mission derived’: positive and hopeful and with full determination to make a difference. In 2023, we continued to strengthen our Restoration Hub in Santana do Araguaia. Due to a huge storm in October 2023, we suffered severe losses in the infrastructure of our brand-new nursery. Fortunately many of our seedlings survived and we will rebuild a more resilient nursery early 2024, ready for the future: insured and more prevalent to extreme weather events.

To sustainably continue our operations in the heart of Brazil we further estabilised our local team and re-organised our organogram, to make our organisation and team ready for the coming years to scale up.
We operated on 16 partner farms to plant and grow trees, carried out fieldvalidation and the vital maintenance of the restored sites and other important tasks part of the 17-step cycle of restoration. At the same time we continued to train more people to become part of our Araguaia Seed Network and to collect more seeds in the region, together with the local community.
Due to the continued partnerships of our loyal partners and the creation of new sponsor partnerships, we were able to continue on a sustainable path of growth for our organisation. In addition, we appointed Stefan Meisser based in Zürich as our Swiss representative to accelerate our funding opportunities in Switzerland.
At Black Jaguar Foundation we remain “mission derived”: positive and hopeful and with full determination to make a difference.
Last but not least, a big thank you to our amazing teams in Brazil and the Netherlands for making it all happen. Our dedicated restoration teams in the field inspire us every day with their perseverance, passion and knowledge. Our dedicated teams in São Paulo and Europe make sure that they are able to do what they do best: Restore nature.

THE IMPORTANCE OF THE AMAZON AND CERRADO IN ARAGUAIA BIODIVERSITY CORRIDOR

Without forests, we would not have rain or agriculture. Brazil is one of the world‘s largest agricultural producers feeding the world.
The resilience of global human food systems and their capacity to adapt to change depends on biodiversity and healthy rain cycles.
Through ecological restoration, we can fight the climate crisis, give hope, and show that together we can restore the balance between nature and human kind!
IMPACT OF THE ARAGUAIA CORRIDOR
The Araguaia Corridor is both an environmental and a social project. Through ecological restoration in the Amazon Forest and Cerrado Savanna, we are combatting deforestation and biodiversity loss, while simultaneously empowering local communities by creating jobs and local opportunities.
“A Lens on the Ground” zooms into the Araguaia Biodiversity Corridor and showcases the stories of our team – making it clear that ecological restoration starts with the communities on the ground! Through a visual story, we showed the faces behind our restoration processes, emphasizing the motivation of the BJF team to create positive change in their communities and the incredible progress made so far.
The documentary highlights the benefits that come with ecological restoration, focusing on local communities and Santana do Araguaia’s economy. As explained in the documentary, prior to the BJF starting its operations in Santana do Araguaia, the city did not have such a vast job market in ecological restoration. Now, environmental engineers, forest engineers, and field professionals living in the region are able to work there whereas before they may have considered relocating to a different city to find employment.

2023 MILESTONES

2023 MILESTONES
2022/2023 PLANTING SEASON:
MORE THAN 435,000 TREES PLANTED IN ONE RAINY SEASON

The 2022/2023 Planting Season was one of the most challenging for Black Jaguar until now. To achieve our ambitious goal, we have to grow – not only as a team and in number of hectares restored, but also in terms of learning, opportunities and changes.
And the result for the planting season was promising! In a single rainy season (October through April), our field team carried out ecological restoration on 175 hectares of the Araguaia Biodiversity Corridor – growing and planting 437 thousand native trees!
All these developing native trees are already part of the ecological corridor that will contribute to bring back the biodiversity of two of the world’s most vital ecosystems: the Amazon Rainforest and the Cerrado.
ACTIVITIES ON 17 PARTNER RURAL PROPERTIES
During the 2022/2023 planting season, Black Jaguar worked on 17 partner properties, engaging in both planting and maintenance activities.
This significant growth strengthens our organization locally, and the consistent success of our work year after year instills confidence in other rural property owners in the region.

2023 MILESTONES
In June 2022, we began seedling production at the Black Jaguar Foundation Nursery, one of the largest in the region, with the capacity to produce up to 500,000 seedlings per planting season.
Over the past 12 months, our nursery team has faced numerous challenges, gained valuable knowledge, and achieved remarkable accomplishments. We are very satisfied with the results we have achieved in the first 12 months. Scan the QR Code, watch the video and find out!

THE BJF ARAGUAIA SEED NETWORK
HAS A BRAND NEW BRAND!
The Araguaia Seed Network has expanded! To mark this important milestone, we have gathered our dedicated members for a collaborative journey. Throughout 2023, our team has held meetings with the collectors so that, together, they could discuss and collectively build the project’s mission, vision, and values. Besides that, now our collective also has a visual branding and even a new name: Ressemear – which means reseeding in Portuguese.
Distributed in the municipalities of Santana do Araguaia (Pará) and Marianópolis (Tocantins), in the heart of Brazil, the 76 native seed collectors are the protagonists of this story, valuing the standing forest and strengthening communities through group work.
In 2023, Ressemear reached the milestone of 2 tons of seeds collected and more than 130 thousand reais generated from its commercialization. Through 2 new external buyers, these seeds will also reach new places.

NURSERY: BJF FACTORY OF LIFE
NURSERY DEVELOPMENTS

BLACK JAGUAR FOUNDATION
NURSERY: A SPACE FOR ENVIRONMENTAL EDUCATION
As well as producing and caring for our seedlings, the BJF Nursery Team also shared their knowledge of seedlings with the numerous groups that visited the BJF Nursery. We are extremely happy to see that local institutions view us as an example of environmental restoration and care!
THE BJF NURSERY PRODUCING SEEDLINGS AT HIGH CAPACITY!
A big round of applause to our nursery team, who successfully produced more than the expected 500,000 seedlings for our last planting season! Impressive, right? In spite of all the challenges we had to overcome, we exceeded expectations. We are very happy with what the BJF Nursery has become.

LEARNING TO GROW NEW SPECIES OF SEEDS
At the start of this year, our team went out in search of some more species to add to our nursery’s seedling production. We found 7 different species that grow in flooded regions of the Araguaia Region. These can be used in our ecological restoration activities and will increase the biodiversity of our restoration sites!

GROWING MORE THAN 70 NATIVE SPECIES IN THE BJF NURSERY
Currently, we use about 73 different species of trees in our restoration projects! Among these, some are adapted to flooded soils, while others thrive in drier regions. Depending on the technique used in the restoration site, the key species planted differ. In that way, we are contributing to enriching the region’s biodiversity.

PLANTING
NURSERY DEVELOPMENTS

SUMAÚMA TREE: THE STAR OF THE 22/23 PLANTING SEASON
Over the 2022-2023 planting season, we had the opportunity to watch the incredibly positive results of the Sumaúma tree, the star of this season, and ensured that it will remain a key member of our operations for years to come! Sumaúma can grow incredibly fast and is one of the largest trees in the Amazon –able to reach up to 50 meters in height and 2 meters in diameter.
SCALING UP ON ASSISTED REGENERATION
30 of the many hectares planted the 2022-2023 planting season were restored using assisted regeneration. This method requires to remove degradation factors, to support already established seedlings.
We hope to use this method much more in the future and take advantage of the full potential of the region.

THE START OF THE 23/24 PLANTING SEASON
The month of October marks the beginning of the rainy season in the Araguaia region, and with it, the initial stages of the 2023/2024 planting season.
Ecological restoration is a far more complex process than simply planting trees. It requires careful planning and preparation for everything to go smoothly.

MAINTENANCE: TAKING GOOD CARE OF OUR GROWING TREES
The end of the planting season is also the time to take care of the trees that are growing in our restoration sites.
Maintenance consists of: removing invasive plants, carrying out complementary fertilization and guaranteeing that the fences and forest firebreaks surrounding the project areas stay functional.

MAPPING

Mapping is a vital part of determining which parts of land in a given property need to be ecologically restored.
At the Black Jaguar Foundation, our Mapping Analyst, Clarissa Sciarra, is in charge of the mapping process.
In Brazil, rural properties fall under the ‘Rural Environmental Registry’ (CAR). Under CAR, landowners are required to map and classify their land, with the purpose of integrating environmental information for the purposes of monitoring, environmental and economic planning and combating deforestation.
We help landowners map their property to determine which parts of their land they are legally required to preserve, and how we can help them restore these parts of their property.
On the left are illustrative maps of the property Fazenda Caseara.
21 hectares of Fazenda Caseara have been validated, of which 14 hectares will be restored.
MAPS OF PROPERTY: FAZENDA CASEARA

VALIDATION
Validation is a process crucial for effective restoration. This process helps the field team decide which areas to restore, and how to restore these with the applying of biodiversity planning. Following the completion of the mapping process, our validation team visits each site to validate its restoration potential.
Currently, our validation team consists of 5 restoration analysts: Ingrid da Silva Almeida, Marina Costa de Sousa, Yandro Santa Ataide and Ygor Pinto Oliveira.
During visits to the mapped areas to be restored, they assess four main factors:

ACCESS TO THE AREA

VEGETATION COVER AND LAND USE

CHARACTERISTICS OF THE REGION

BIODIVERSITY PLANNING
Based on the above factors, validation helps define which of the mapped areas can indeed be restored, and determine which method of restoration is best.
After validation, there is a calculation of the total restorable area that the BJF can restore using one of its five restoration methods.

ECONOMIC FEDERAL BANK
ANOTHER SUCCESSFUL YEAR TOGETHER WITH CAIXA
In 2022 we signed a € 4M partnership with CAIXA Social Environmental Fund (FSA) to support the planting of 1 million trees in the Araguaia Biodiversity Corridor!
Caixa Econômica Federal is one of the two federal banks in Brazil and the fourth largest financial institute in Latin America. Their SocialEnvironmental Fund is an initiative that was started by the Brazilian bank in 2010, with the aim of using resources to support social-environmental projects and investments.
CAIXA is supporting us with the 4 specific objectives which are the focus of the BJF cycle of ecological restoration: community engagement, ecological restoration, maintenance of our restored sites, and monitoring of the restoration activities together with an assessment of the impact generated.

In November of 2023, we had the honor of receiving, for the second time, the technical team from CAIXA Social Environmental Fund (FSA) in the Araguaia Biodiversity Corridor.
During the first project verification visit, which occurs after reaching 20% of the implementation goal, we had the opportunity to present the activities in the field and promote contact between partners and project beneficiaries.
We were also able to demonstrate in more depth the structure implemented by the Black Jaguar Foundation in the region, such as:
• The forest nursery built and operated in Santana do Araguaia, with the capacity to produce more than 500 thousand seedlings per year, and currently already functions as a hub of environmental education activities in the region.
• Donation of training and equipment to municipal fire brigades in the cities of Santana do Araguaia (PA) and Caseara (TO).
• The Araguaia Seed Network, which was made viable and trained by the Black Jaguar Foundation and currently has an extensive local network of seed collectors.

Black Jaguar Foundation was lighlighted in CAIXA’s social media, with an emotional video full of testimonials from some of those directly benefited by the project. Scan and watch!

FINANCES 2023

1. GENERAL
This is the fourth year that the Black Jaguar Foundation is presenting consolidated financial statements. The Dutch and Brazilian entities administer their finances separately, but because we are a single integrated Foundation, we have decided to present our finances as such.
In 2023, the Black Jaguar Foundation managed the finances of the Dutch organization with the we great support of Alsberg Accountants & Adviseurs, thank you Claudia Brant and Paul for being with us on this wonderful mission.
The Brazilian organization’s finances were managed by our long-standing partners, Pró Result. They have supported us since the inception of the Brazilian entity in 2016, know our Foundation well and fully support our mission. The experience of João Bosco and his team provided us with the necessary comfort for a financial team. Many thanks to them.
To ensure we are fully compliant with all rules and regulations and to provide additional reassurance to our existing and future partners, auditors at Baker Tilly, a global top 10 auditing firm, reviewed our Dutch, Brazilian and consolidated Financials before publication.
In 2023 we began to have the support of SBSA Law Firm, one of the largest law firms in Brazil for the non-profit sector, who are dedicating their vast talent to us with consultancy and support in mitigating risks in the civil, labour and tax areas. We would like to thank Eduardo Szazi, Erika Bechara and the whole team for their support.

4.NOTES TO THE INCOME STATEMENT 2023
INCOME
In 2023, the Black Jaguar Foundation’s income remained at optimal levels like those of 2022, with an increase of approximately 1% compared to the same year, which were healthy for the growth of the operation in the year in question.
This excellent result was only possible due to the renewal of the partnership of many sponsors and donors, which allowed us to have a stable base for additional efforts in restoration. In addition, contributions from the Fondazione Capellino, resulting from a distinctive partnership that took 6 months of negotiations and started with fixed monthly contributions from July onwards. Finally for receiving the installments of the contract signed with CEF (Caixa Econômica Federal Bank) by their FSA fund.
Net income can be divided into:
• Non-Restricted Donations, which the Black Jaguar Foundation can spend in any manner that fits its mission to create the Araguaia Biodiversity Corridor
• Restricted Donations, which the donor/grantor has earmarked for a specific purpose
• Each of the above can be provided by private sponsors, corporations, and non-profits.

OPERATIONAL EXPENSES
In 2023 we had a reduction of approximately 3% in our operational expenses compared to 2022, despite the fact that it was a year in which we increased the number of trees planted by 258% and the number of areas restored by 217%,this reduction was due to the fact that we didn’t need to make large purchases of field supplies, as we already had a large part in inventory, but we also carried out in-depth strategic planning internally in the second semester to restructure the institution as a whole.
The € 82 thousand in intercompany expenses represent the currency conversion costs and bank fees incurred in transferring funds from the Netherlands to Brazil.
The purposes for Operational Expenses were:
• Biodiversity Planning and Reforestation – referring to all expenses and investments made in the field or directly related to the field work for both Biodiversity Planning and Reforestation tasks
• Proposition Araguaia Biodiversity Corridor – referring to all expenses made related to communicate, promote, share the importance of the Araguaia Biodiversity Corridor, to successfully build a community of landowners, development partners and institutional partners
• Fundraising – referring to all expenses related to raising the funds required for realising the Araguaia Biodiversity Corridor
• Overhead – referring to expenses which do not have a direct impact on the realisation or the promotion of the Araguaia Biodiversity Corridor, such as office-rent and utilities.
5. NOTES TO THE BALANCE SHEET 2023
Property, plant and equipment have been reduced by 6,8% compared to 2022, due to the start of the depreciation process of our large-scale nursery, which allows us to grow 500,000 seedlings for planting each year. In 2023 we didn’t have to purchase any new equipment, because what we already had in inventory was sufficient for planting and maintenance that year.
The initiator of the Black Jaguar Foundation has kindly provided an interest free loan, to help the foundation start up. The loan totals € 378K. It has been agreed that no more than 15% of the loan can be claimed per year and that the amount is subject to affordability by the Black Jaguar Foundation.
To cover possible disbursements, we have begun the process of provisioning for the social security costs of the service providers who work for the institution, for which we have adjusted the years 2021 and 2022 by a total amount of 134K, resulting in an increase in non-current liabilities and a reduction in Equity. This process demonstrates our responsibility in risk management and our commitment to our partners.
6. SUBSEQUENT EVENTS
In September 2023, Stefan Meisser in Switzerland joined our team resulting already for an invitation to present our mission in Davos during the Word Economic Forum in 2024 in collaboration with GreenUp. We are excited to make it a milestone event for 2024, where we will host existing partners and create new strategic long-term partners such as the UBS Optimus Foundation. We are also thrilled to launch a new partnership in 2024 to generate new avenues of income for our foundation from a mix of environmental assets; not only carbon balances but also assets from biodiversity, soil and water holding capacity.

AUDITORS’ REPORT BLACK JAGUAR FOUNDATION

To the members of the Board
Stichting Black Jaguar Foundation
We have reviewed the accompanying financial statements 2023 of Stichting Black Jaguar Foundation based in Amsterdam.
These financial statements comprise:

2. the profit and loss account for the year then ended; and 3. the notes comprising of a summary of the accounting policies and other explanatory information.
Management’s responsibility
Management is responsible for the preparation and fair presentation of the financial statements and for the preparation of the management report, both in accordance with Part 9 of Book 2 of the Dutch Civil Code. Furthermore management is responsible for such internal control as it determines is necessary to enable the preparation of the financial statements that are free from material misstatement, whether due to fraud or error.
Auditor’s responsibility
Our responsibility is to express a conclusion on the financial statements. We conducted our review in accordance with Dutch law, including the Dutch Standard 2400, ‘Opdrachten tot het beoordelen van financiële overzichten’ (Engagements to review financial statements). This requires that we comply with ethical requirements and that we plan and perform the review to be able to conclude whether anything has come to our attention that causes us to believe that the financial statements are not free from material misstatement.
A review in accordance with the Dutch Standard 2400 is a limited assurance engagement. The performed procedures consisted primarily of making inquiries of management and others within the entity, as appropriate, applying analytical procedures and evaluating the evidence obtained.
The procedures performed in a review are substantially less than those performed in an audit conducted in accordance with the Dutch Standards on Auditing. Accordingly, we do not express an audit opinion.
Conclusion
Based on our review, nothing has come to our attention that causes us to believe that the financial statements do not give a true and fair view of the financial position of Stichting Black Jaguar Foundation as at 31 December 2023 and of its result for the year then ended in accordance with Part 9 of Book 2 of the Dutch Civil Code.

AUDITORS’ REPORT INSTITUTO BLACK JAGUAR

Independent auditors’ report on the financial statements
(Free translation from the original issued in Portuguese. In the event of discrepancies, the Portuguese language version prevails. See Note 15 to the financial statements.)
To the Management of Instituto Black Jaguar São Paulo - SP
Opinion on the financial statements
We have audited the accompanying financial statements of Instituto Black Jaguar (“Institute”), which comprise the balance sheet as of December 31, 2023 and the related statements of income, comprehensive income, changes in equity and cash flows for the year then ended, as well as notes to the financial statements, including significant accounting policies and other explanatory information.
In our opinion, the financial statements referred to above presente fairly, in all material respects, the equity and financial position of Black Jaguar as of December 31, 2023, the results of its operations and its cash flows for the year then ended in accordance with accounting practices adopted in Brazil, specially the NBC TG 1000 (R1) – Accounting for Small and Medium–Sized Enterprises, that is alignment with International Financial Reporting Standards for Small and Medium Entities (IFRS for SMEs), issued by International Accounting Standards Board (IASB) and non-profit entities (ITG 2002 (R1).
Basis of the opinion on the financial statements
Our audit was conducted in accordance with Brazilian and international auditing standards. Our responsibilities, in accordance with such standards, are described in the following section entitled “Auditor’s Responsibilities for audit of financial statements.” We are independent in relation to the Company in accordance with the relevant ethical principles provided for in the Accountant’s Code of Professional Ethics and professional standards issued by the Federal Accounting Council, and we comply with other ethical responsibilities pursuant to these standards.
We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.
Emphasis of matter
As mentioned in note 4.5, the Institute has legal protection for the non-payment of the ITCMD (Tax on Transmission of Cause of Death and Donations) on the donations received, and must have to follow the application process from SIMA - Secretariat of the Environment, and SEFAZ - State Secretariat of Finance. For donations received during fiscal year 2023, formal procedures together were in progress, where the Instituteestimates that their approval will take place until the second half of 2024. Our opinion is not qualified as to the situation.
Other matters
Restatement of financial statements
The financial statements of Instituto Black Jaguar for the year ended December 31, 2022 originally prepared before the adjustments resulting from the change described in Note 2.3 are being restated. As part of our audit of the financial statements as of December 31, 2023, we also audited the adjustments described in Note 2.3 that were made to amend the financial statements as of December 31, 2022, so that the years can be compared. In our opinion, these adjustments are appropriate and have been correctly made.
Responsibilities of management for the financial statements
Management is responsible for the preparation and adequate presentation of the financial statements in accordance with the accounting practices adopted in Brazil, specially the NBC TG 1000 (R1) – Accounting for Small and Medium–Sized Enterprises, that is alignment with International Financial Reporting Standards for Small and Medium Entities (IFRS for SMEs), issued by International Accounting Standards Board (IASB), non-profit entities (ITG 2002 (R1) and the internal controls it deemed necessary to enable the preparation of these financial statements free of significant distortions, regardless of whether the latter were caused by fraud or error.
In the preparation of financial statements, management is responsible for assessing the ability of the Company to continue as a going concern, disclosing, where applicable, the matters relating to its going concern and the use of this basis of accounting in preparing the financial statements, unless management intends to wind-up the Company and its subsidiaries or cease its operations, or has no realistic alternative to avoid the closure of operations.
Auditor’s responsibilities for the audit of the financial statements
Our purposes are to obtain reasonable assurance that the financial statements, taken as a whole, are free from material misstatement, whether due to fraud or error, and issue the audit report with our opinion. Reasonable assurance means a high level of security, but not a guarantee that an audit conducted in accordance with Brazilian and international auditing standards always detects any existing material misstatements. Misstatements may be due to fraud or error and are considered material when, individually or taken as a whole, can influence, within a reasonable perspective, the economic decisions of users taken based on these financial statements.
Auditor’s responsibilities for the audit of the financial statements--Continued
As part of the audit conducted in accordance with Brazilian and international auditing standards, we exercise professional judgment and maintain our professional skepticism throughout the audit. Moreover:
• We obtain an understanding of the internal controls relevant to the audit to plan the audit procedures appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of internal controls of the Company;
• We evaluate the adequacy of accounting policies used and the reasonableness of accounting estimates and related disclosures made by management;
• We conclude on the appropriateness of the use of the going concern accounting basis by management, and based on the audit evidence obtained, whether there is significant uncertainty in relation to events or conditions that may cast significant doubt on the ability of the Company to continue as a going concern. If we conclude that there is a material uncertainty, we must highlight the related disclosures in the financial statements in our report, or include a modification in our opinion if disclosures are inadequate. Our conclusions are based on audit evidence obtained up to the date of our report. However, future events or conditions may lead the Company to no longer remain as a going concern;
• We evaluate the overall presentation, structure and content of financial statements, including disclosures, and whether the financial statements represent the underlying transactions and events in a manner consistent with the objective of fair presentation.
We communicate with management regarding, among other issues, the planned scope, the timing of the audit and the significant audit findings, including any significant weaknesses in internal controls that we have identified during our work.

• We identify and evaluate the risks of material misstatement of financial statements, whether due to fraud or error, plan and perform audit procedures in response to such risks and obtain sufficient and appropriate audit evidence for expressing our opinion. The risk of not detecting a material misstatement due to fraud is higher than due to error, since a fraud can involve the act of circumventing internal controls, collusion, falsification, omission or intentional misrepresentations;
