The Perils of Price Control “The nine most terrifying words in the English language are: I’m from the government and I’m here to help.” — Ronald Reagan

W

ithout a doubt, the question I am asked most frequently by apartment owners has to do with rent control. In some variation, be it “is there a current threat?”, “are any jurisdictions considering it?” and “do I think that rent control will ever happen to Orange County?” are questions that I am asked almost weekly. In markets like today, when homeownership is at an all-time low, rental rates are approaching previous highs and multifamily occupancy rates in Orange County average out at about 97%, it’s easy to see why. And when you call it what it is, it becomes even more apparent why it just doesn’t work. Just Ask Margaret Instead of calling it rent control, call it price control. Price control, typically associated with socialist or communist governance, is when the government or an affiliated entity dictates the prices that can be a charged for a product or service. And the problem with price control in our business is that with a limit on the growth of revenue and no hedge against rising operating expenses, each and every property will reach a point where the operating expenses have surpassed the income being generated and the property will no longer provide 4

cash flow sufficient to cover the debt service. Forget reinvesting in your property to make capital improvements and forget being able to pay yourself dividends as a return on investment, you will be fortunate to pay your vendors and your lender. And right now, property owners in rent-controlled jurisdictions throughout the state are facing these issues. As the late Margaret Thatcher once said, “the problem with socialism is that eventually you run out of other people’s money.” And here we are. Rent Control Really Out of Control Yes, you read that correctly, now let’s quantify it. Controlled rents across San Francisco, Santa Monica and Los Angeles grew at an average of 2.2% per year over the past 15 years, more than 1.5% below the market average during that time. Over the same time period, expenses (tied to the average wage index) grew at about 5.01% per year. So let’s say you purchased a fourplex in San Francisco in the year 2000. At that time, annualized rents per square foot were $22.00 and annualized expenses were over $11 per square foot. At the 2.2% and 5.01% growth trajectories, the rent and expense per square foot rate will intersect in 2020. You’d have no money for debt service, no cash flow and would be faced with two scenarios: exit the rental business in order to hold on to the property or sell the property.

Choose One: Quality or Affordability In the rental housing business, we provide a fundamental service to people of all demographic and socioeconomic backgrounds. By forcing landlords to choose between paying operating expenses or making a loan payment, or by disincetivizing reinvestment through stringent price controls that virtually eliminate the availability of cash flow for use on improvements, rent stabilization boards across the United States are indirectly and inadvertently setting the standard that renters must choose between quality and affordability. What seems to be a financial favor for renters is instead causing a shortfall of suitable housing for those who need it most. So as our housing stock continues to age and our population continues to grow, the physical upkeep and appearance of many multifamily properties is falling behind the times and more costly updates to infrastructure and systems will soon have an even greater impact on owners than if they were able to keep up with rents in order to maintain these systems over time. Working Together, Not Waiting Around But the great thing about real estate is that the options, both public, private and public/private are truly limitless. More is accomplished when private property owners and local agencies are working together than against each other, as can happen when

private property rights are restricted or removed. Instead of being close minded or adversarial, private property owners should be solution minded and think about the big picture. If not, well, price control could be the end result. Remember what Ronnie said about the most terrifying words in the English language? It’s up to us to plot our course. AAOC is proud to continue the fight against rent control, price control or any other legislation that would negatively impact or infringe upon our rights as the owners and operators of rental housing. Most importantly, we are on the front line, working with City staffers, elected officials at the local, county, state and national levels to institute changes that will not only help us, but help our residents and the community around us. And to that, I remain committed.

ritish Prime Minister Benjamin Disraeli once said: “there are lies, damn lies, and statistics.” I often feel his pain when reading the real estate section on my local newspaper. Much talk (and ink) has been offered on the issue of housing affordability, specifically rent. While I encourage healthy debate on the subject, all too often the statistics used to premise any argument leave me uneasy, and suspicious of the conclusion. Orange County is a wonderful place to live. In my opinion, truly up there with the biggies like San Francisco, New York, Honolulu and Miami. It is then only reasonable that the price of housing reflect that reality. When it comes to

multi-family housing in Orange County, demand will have similar affects. But conclusive numbers on prices and overall affordability is still a work in progress. The Apartment Association of Orange County is in the planning stages of just such a comprehensive study. We hope to drill deeper into the numbers and include all forms of rental housing with the purpose of getting more accurate data. I believe this will allow a more helpful discussion. As I have said repeatedly: we landlords don’t raise our rent, the demand to live in our beautiful buildings cause our rents to rise. Local government affairs advocacy is the official term for it, but for those of

us who do it, advocacy is relationship building, education, conversations, and compromise. of obvious Committee opposition. (Assembly Bill 2003, as reported last month, died at its first hearing before the Assembly Judiciary Committee on April 5, 2016, on a straight party-line vote (3–7).) Assembly Bill 2502, which would authorize local governments to establish price controls on new developments and validate below-market housing set-asides, is pending on the Assembly Floor as, at this writing, the author considers proposed amendments. Assembly Bill 2819, which would permanently deny public access to UD actions unless the property owner prevails and presents the appropriate paperwork to close the case by judgment or stipulation of all parties, is pending on the Assembly Floor. Senate Bill 1053, which would require all rental property owners to participate in the federal government’s voluntary Section 8 voucher program, is poised to reach the Senate Floor if it is released soon from the Senate Appropriations Suspense File. While we have devoted substantial lobbying efforts on these prominent bills of interest, including their being the focus of leadership attention at the March Capitol visits as reported last month, other important measures have not gone unnoticed. For example, Senate Bill 876 would have provided far-reaching “rights” for the homeless to occupy any public or private space generally open to the public with little or no regard for nuisance, trespassing or health and safety concerns. It was opposed by a broad coalition of public and private property interests and defeated on a 2–7 vote in the Senate Committee on Transportation and Housing. Two bills relating to restricted use or reclassification of certain common pesticides and insecticides would seriously damage an apartment owner’s ability to treat alleged insect infestation with the most reliable control products. Assembly Bill 2596 would expand from wildlife habitat areas to the entire state

the exiting ban on the use of certain anticoagulants in pesticide management; and it also would add additional anticoagulants to the banned list. Senate Bill 1282 would require the Director of the Department of Pesticide Regulation to designate “neonicotinoid pesticides” as restricted materials (unavailable for OTC use) by January 1, 2018, thereby sharply reducing the availability and use of what is claimed by proponents to be the most widely

used class of insecticides in the world. The measure is pending in the Senate Appropriations Committee. Senate Bill 1340 would add to the Department of Water Resources update of its model water efficient landscape ordinance a permit requirement for the installation or replacement of specified automatic irrigation systems, or the expansion of the same specified autoSmock/Kingston — continued on page 10

Smock/Kingston — continued from page 9 matic irrigation systems to increase the irrigated area by 25% or more, for a landscape project on or after July 1, 2018. The bill is pending on the Senate Floor. Senate Bill 1267 would enact a number of substantive and procedural changes in the owner-resident relationship. For example, the bill would require that the address for payment of rent in person be within 5 miles of the rental property, a particularly troublesome problem for small property owners. The bill would authorize payment in any manner disclosed in the rental agreement and, if mailed, the payment would be conclusively presumed receivable by the owner on the date posted if the tenant can show proof of mailing. The bill would expand the notice requirement for certain properties where an intent to withdraw accommodations from the market is required by the local public entity. The measure is pending in the Senate Transportation

and Housing Committee. Assembly Bill 1760 attempted to impose a number of specified conditions regarding support animals on the rented premises or associated common areas. It would declare a breach of these conditions, if contained in the lease or rental agreement, to be a breach of the rental contract. The bill would provide that a tenant or prospective tenant would not be prohibited from possessing a support animal on the rented premises or associated common areas if the tenant conformed to the specified conditions. The author canceled a hearing on the bill in the face of strong opposition noted by the Assembly Judiciary Committee. Senate Bill 269 would modify several aspects of the ADA compliance mechanism by, among other things, establishing a rebuttable presumption, for the purpose of an award of minimum statutory damages, that certain technical violations do not cause a plaintiff to experience difficulty,

discomfort, or embarrassment. This bill would also exempt a defendant from liability for minimum statutory damages with respect to a structure or area inspected by a certified access specialist for a period of 120 days if specified conditions are met. The bill would require a defendant who claims the benefit of this exemption to disclose the date and findings of any certified access specialist (CASp) inspection to the plaintiff. The bill would additionally require the State Architect to publish, and regularly update, easily accessible lists of businesses that file prescribed notices of inspection, on or after January 1, 2017, including the date of the inspection. The bill would require the State Architect to develop a process by which a small business may notify the State Architect that a structure or area has had a CASp inspection and to develop a form for businesses to notify the public that the Smock/Kingston — continued on page 24

’ve owned my buildings for several years; many of my residents are longterm tenants. I don’t seem to have any current contact information for most of my residents. The applications in the files are way out of date, and many files don’t contain any at all. Even the applications that are in the files have old and outdated telephone numbers. Do I have the right to request this information?

Of course. It is a good management practice to maintain current information on all of your residents. Prudent landlords will update the resident’s file annually with current telephone numbers, employment information, vehicle license plates, email and emergency contact persons and phone numbers. Current telephone numbers should include home, work and

cell numbers. Rather than asking your residents to complete a new application, the better method is to prepare a resident information form requesting this information, and ask the resident to fill in the blanks. Of course, it is also a good practice to photocopy rent checks as they are tendered to you. Most residents will not object to providing this information to you and will gladly complete your form. This simple exercise will identify the co-operative residents and will identify which residents are not. Although California law does not require that the resident provide the requested information, it does not prohibit your asking.

Also provide the residents with a physical address where they can personally deliver the rent, not a PO Box, if they prefer not to deposit the rent into the drop box. By not requiring the use of the drop box, the resident will bear the risk of loss, until you actually receive the rent. If you mandate the use of a drop box, and fail to provide a physical address for payment, or require payment to be made to a PO Box, courts will find that the risk of loss transfers to you upon their placement in the drop box, or in the mail.

I just sent out my annual rent increases to all of my residents. Because times are tough, I delayed sending them out, and I kept the increases minimal. Well, I just got home, checked my messages, and got an earful from one of my more “vocal” residents. She claims that I was retaliating

against her, and that the rent increase notice was not valid. Says that she won’t pay it, and that I violated the law by even giving it to her. Something about her deducting $6.50 from her rent three or four months ago for a leaky faucet. I remember that she shorted the rent, but I didn’t really mind, she took care of the dripping faucet herself. What does this mean, what is “retaliation?” Did I do something illegal by serving my annual rent increase notice?

No. Although there are protections in place for certain tenant conduct, your resident is confused. A landlord cannot punish a tenant for exercising a “legal right.” The law offers tenants certain protections from retaliatory evictions and retaliatory acts. California law will infer, or ‘presume’ that a landlord has a retaliatory motive if he seeks to evict the tenant or take other retaliatory action within six months after the tenant has exercised certain protected rights, including using the repair and

deduct remedy, complaining about the condition of the unit to a public agency, after giving the landlord notice, or after filing a lawsuit based upon the condition of the unit. The tenant must prove that she exercised one of these rights, in the past six months, and that her rent is current. The landlord may counter, or ‘rebut’ the tenant’s claims of retaliatory conduct by establishing that he did not have a retaliatory motive. If the landlord’s actions were based on a valid reason, and not in response to the tenant’s exercise of a protected right, then a court would find that the landlord did not retaliate. If your annual rent increase was consistent with past practices, didn’t solely target this individual tenant, was based upon objective business reasons, and was not meant to “punish” this resident, then your rent increase would most likely not be deemed retaliatory. Q&A — continued from page 14 I’m in escrow to sell my rental home. The tenants have lived there for several years. I’m holding fifteen hundred dollars as security deposit, per the terms of the lease. The tenants have paid rent late several times, incurring late fees which they never bothered to pay. I also paid for a window that the residents’ child broke last year. I asked the tenant to reimburse the cost, but they never did. The buyer is demanding that he get credit for the entire $1500 at close of escrow. This doesn’t seem right; can’t I deduct the money the tenant owes me, and give the buyer a credit for the remaining balance?

Yes. When a rental property is sold, the selling landlord must either transfer the security deposit to the new landlord, or return the security deposit to the tenant after the sale. Before transferring the deposits, the selling landlord may deduct money from the security deposit held. Deductions can be made for the same

reasons that deductions are made when a tenant moves out. The selling landlord must then notify the tenants of the transfer in writing, as well as the amount and basis for each deduction, and the amount transferred to the new landlord. The notice must include the name, address and telephone number of the new landlord.

ike so many people inside the Washington, D.C., beltway, I am eating my words from 11 months ago — “Donald Trump is not a serious candidate and there is no way he will get the GOP nomination,” I said. Even as support for Mr. Trump grew and other, seemingly more viable candidates fell away, I still could not absorb the idea. Certainly in the past 45 days, I have stopped speculating altogether

because well, even I began to believe he could pull it off. So here we are. At press time, Donald Trump is poised to claim enough delegates before the Republican National Convention in Cleveland to be the GOP’s standard-bearer in the Presidential race. Having learned my lesson, I will measure my opinion about his chances of being Commander-inChief. His particular brand of bravado,

policy “flexibility” shall we say and insight into the minds of some of our country’s most disaffected voters worked in the primary and could also work in the general election. Moreover, Mr. Trump is unorthodox, unpredictable and without a filter. Those are usually liabilities for a candidate, but for him they have been assets as his opponents’ more conventional campaign strategies failed.

According to recent polls, Mr. Trump starts the race against Hillary Clinton, assuming she is the Democratic nominee, under a 15-point deficit. Further, his overall “unfavorable” rating is nearly 60 percent while his support among women and the Hispanic community is dismal. Finally, he has to spend time wooing members of his own party to support his candidacy. Endorsements or at least pledges of support (some only for “the nominee”) are coming in from Senators, Governors members of the House, etc., but there are at least as many who are either pledging never to support Mr. Trump or who will not do so now. Even House Speaker Paul Ryan, who is concerned about maintaining his own majority, won’t commit to Mr. Trump yet. One could argue that Mr. Trump did not need the support of “establishment” Republicans to win the primary, so why does he need them now? Realistically, he needs that support for what it brings — money, surrogates to carry his message

and ground troops to help build support within states and local communities. Typically, a Presidential candidate combines efforts with Senators and Representatives running for re-election. That may not be the case here for many candidates for whom Mr. Trump could be a liability. Campaign ads tying the most controversial parts of his message to Republican candidates are already airing in several states. All this said, it will certainly be no easy ride to victory for Secretary Clinton. Her own unfavorable rating is above 50 percent and there is pretty strong current of distrust of her among voters. Like Mr. Trump, the Secretary is not guaranteed to garner the support of all of the communities within her own party. Those voters currently supporting Bernie Sanders might decide that she is too much status quo and not enough revolution. They, like some establishment Republicans, could stay home rather than cast a vote for their nominee. And, there is the email server controversy.

While it seems like a dud of an issue for the average voter, an indictment could change the conversation significantly. Finally, Secretary Clinton has thus far been able to run a standard sort of campaign with all of the typical tools, methods and narrative. As noted above, that did not work against Mr. Trump in the primary and it will not work against him now. Is she really prepared for the “asymmetrical” style he employs? There is a lot yet to know about how the general election is going to play out. It depends on when the Democrats sort out their own primary, who Mr. Trump picks as his Vice Presidential running mate, how his tone and rhetoric changes (or does not) going forward, whether Secretary Clinton’s legal troubles worsen and the style with which Mr. Trump engages the Secretary (bully or tough opponent). ear Maintenance Men: I am on a rehab project on a building that consists of all two bedroom, one and three quarter baths. The three-quarter bathrooms have a sink, toilet and bathtub, but no shower. I would like to convert them to a full bath by adding a shower. How do I do it? Bill

valve set-up.) The easiest apartment application valve to buy is either a Moen or Mix-it valve. There are many other brands to buy depending on your budget. The kit will come with a valve, spout, shower arm and head. You will still need to purchase a half inch copper pipe at least 56 to 59 inches long, a 90 degree brass elbow, slip to thread with ears to attach it to the wall stud at the shower head. Be sure you have a full propane torch with solder. Now you are ready to install. Don’t forget to turn off the water. Since you will be installing new shower walls, don’t worry about damaging drywall. Cut a hole in the drywall stud to stud, 12 inches high at the existing valve level. Then cut a 4 inch wide strip of drywall 59 inches up from the location of the existing valves. Now that everything is exposed, remove the old valves, by cutting or use the propane torch to melt the solder joints. Install the new valve in place, cut a half inch copper riser between 56 and 59 inches and solder to the valve. Solder the brass 90-degree elbow to the pipe and screw the elbow to a cross stud. If you could not find an elbow with ears, use plumbers tape or a pipe hanger to secure the elbow in place. Test your plumbing installation for leaks. Replace existing drywall around the tub with green board drywall or cement board. Install shower wall material of your choice. We recommend a one-

The most economical and simple solution to adding a shower to a bathtub is to install a diverter spout that includes a 1 half-inch hand shower fitting. The hand shower can be sold separately or as a kit with the spout. Connect the hand shower hose to the spout and hang the showerhead on the wall. Other than installing waterproof shower walls, you are ready to go. The second option is a bit more involved, but a much better solution. Because most tub only bathroom usually have no wall tile or “shower wall” material, gaining access to your existing valve & plumbing system should be easy. Dear Barbra: The smell may come from a number of places. First, use a small toilet type bush with soap and scrub the inside of the garbage disposal. This will remove any slime build-up. (For safety reasons, shut the garbage disposal off at the breaker or pull the plug.) Next remove the drain trap and clean out any sludge. Many times the horizontal pipe between

Dear Maintenance Men: My rental unit has a kitchen with a double sink. The drains smell very bad. I have tried running lemon slices through the garbage disposal, it works for a short time, but the smell comes back. What steps do you recommend

the trap and the wall may have hard deposits coating the inside of the pipe. The deposits will collect food and debris that may slow the drains considerably. If you have a dishwasher, check the drain line leading from the air-gap or dishwasher to the garbage disposal. It may be full of sludge that will cause a smell to come through the air-gap located next to the faucet. Clean or replace any pipes with deposits or sludge. Check both drain lines for the above problems. Now if you wish, run the garbage disposal with a few slices of lemon and it should smell good and stay that way. Once in a while, throw some ice cubes in the garbage disposal unit to help scrape away any debris. Dear Maintenance Men: I have a problem with moisture buildup and wall damage in my apartment bathrooms. The bathrooms do not have windows as they are constructed away from any exterior walls. They do have vent fans, but they don’t seem to do the job. How can I solve this problem? Bill Dear Bill: First things to check is whether your vent fans are working and not clogged with lint or dust. If the fan is operating properly, check the CFM or cubic feet per minute of air movement. The minimum number should be 50 CFM. If the bathroom is getting more than the average amount of use, you may want to replace the existing fan with one that has a higher CFM rating. We recommend using at least a 120-CFM fan. And equally important, many bathrooms have two wall switches; one for the light and the other for the fan. If this is the case, we recommend combining the two switches into one. That way when the resident switches on the light the fan will come on automatically. We find most residents will not turn on the fan if it has its own switch.

3 Tips to Vamp Up your Rental Listing’s Photos BY RYAN GREEN AND BECKY BOWER

T

he look of your rental property can make or break an applicant’s interest in becoming your new tenant. For most millennial applicants, visual media is a must for even a phone call. While using a DSLR camera or high resolution camcorder would be ideal, these few tricks you can use with your smart phone can help make your rental look enticing to potential applicants. 1. A ngle Your Phone to Showcase Your Best Features First thing’s first, turn your smartphone horizontally. Even though taking pictures vertically (or upright) is more natural, you limit the amount of space that will show up in the frame. According to HitRECord’s video about orientation, the human eye has a greater peripheral vision horizontally than vertically. This means that by capturing the setting horizontally, you will mimic the way your applicants actually perceive your rental’s space. Additionally, horizontal pictures and video have a bigger frame, which is vital when showing off the interior of your property. After you take a moment to turn your phone, you’ll need to be aware of what angles best represent your rental space. This is important because it allows you to highlight your best assets all in a few pictures. Dom Bower’s youtube video on property photography tips best explains this. His example showed a large staged bedroom that had a fireplace, bed, and giant windows. Going to the different corners of the bedroom you can see that taking a

picture would highlight different things; one would highlight the fireplace and bed, the other would highlight the bed and window, and so forth. The question is, which one best highlights the most features? Before taking a picture of your own rental’s bedroom, consider what that room’s features are (lighting, view, closet space, etc.) and what angles best showcase them. Try going to each corner in your room. When using the same logic for capturing video you can capitalize on lighting to making the room seem bright and inviting. Photos will let your applicants better analyze specific features, and a short video of the room will help them get a feel for what it’s like to actually be in the space. Finally, to get a good shot at the angle you want, you’re going to need to move around. Ideally, you’ll want a picture that shows a little bit of the ceiling and a little bit of the floor. The two should be similar in size (on your screen) and act as a frame for whatever feature you’re focusing on. So you might have to crouch down or stand on your tippy toes to get a symmetrical image. For video this means finding a good spot, and then balancing yourself to rotate with a smooth range of motion so the camera doesn’t bounce, and your angle doesn’t significantly shift between start and finish.

You want as much daylight as possible to give the illusion that your space is clean and to help it appear bigger. Try to stay away from depending on in-home lighting unless it is an upgraded feature that will help attract tenants. Taking pictures and video during the nighttime and using solely installed lighting gives your pictures a yellow tint that is unattractive and can even make your rental appear dated. 3. Assuming your phone isn’t low on storage already, you will want to give yourself plenty of options to pick the most appealing shots to highlight your property. If you want to experiment, manually focus on different places in each position by tapping on your screen. This will make your smartphone’s camera focus on different areas, changing the depth of your shadows (how your camera perceives your light). This can be helpful if you find that your smartphone is automatically focusing on something that’s making your image over exposed (like blinding light). There are many different free photo editing apps that can help you change the exposure, shadows, and other features if you find that the pictures you took need something extra. However, you should try to stay away from using tints or filters for your rental listing’s photos. You

don’t want to have to explain why the walls or carpet aren’t the same color as in your photos to potential applicants. Another often overlooked feature of most newer smart phones is the ability to enhance your frame rate. Most phones come preset to capture video at the standard 30 frames per second (fps). In your settings you should be able to change this option to 60 fps which will offer sharp, high quality videos that make your applicants feel like they are actually in the room. You can also use this option to take a high definition video, and then pause in optimal places to take screenshots and have amazing photos you may not have gotten to capture already. With these few basic tricks, your rental listings will be more enticing than ever to the huge amount of potential renters who rely on digital media to before contacting properties. Your listing photos and video, will bring in more long-term applicants. Because who would want to leave a

hat if, in 18 to 24 months, values dropped 40% or more? Are you protected from this type of downturn? Perhaps you are one of the fortunate investors to hold a high equity position and you see no reason to be concerned. But what if a change in personal circumstances created a compelling need to

sell? What then would happen to your years of wealth building not just for yourself, but for your heirs? Can you truly afford not to be prepared? Equally — if not more importantly, should there be a dramatic drop in values, would you be ready — both emotionally and financially — to take advantage of the ensuing opportunities?

Having a real estate plan enables you to be prepared for future events — even if you do not know exactly how or when these events may or may not happen. This is such an important concept that it is addressed at the very beginning of my book, Cash In on the Myths of Real Estate.

Myth 1-1 My real estate plan does not need to be in writing. Popular Belief: Buy, hold, and get rich. The plan is simple. Why write it down? Bill’s Truth: You need a written plan in order to be ready to implement the types of strategic decision-making that will enable you to double your equity every three to five years.

If it’s not in writing, it does not exist! The first step is to establish your personal wealth-building goals and set up a timetable for yourself. Then, you need to look at each property that you own and evaluate how that property is helping you achieve your objectives. Often specific properties have certain jobs. One property may be your cash flow generator, while another provides certain tax advantages, and a third has a significant upside sales potential. Once you have created your plan and established how each property is performing within that plan, you need to make sure that you regularly evaluate your progress. As a part of your review, you should take a look at all of your options (buy, sell, hold, exchange, refinance) and quantify the results. Your analysis should take into account not only your desired dollar return on equity, but also your level of risk tolerance, which may legitimately change with your personal circumstances. Quantifying your options often provides the incentive needed to execute the steps that you should be taking. With an understanding of the 18-Year Real Estate Cycle, you also need to watch for such trigger points as deflation, inflation, and other economic factors that often serve as an important call to action. Cash In: Write down your plan and be specific in your goals so that you can evaluate your options in quantifiable terms.

If you do not have a real estate plan, the economy has one for you!

In today’s world, a written real estate plan is more important than ever. A written plan that you review and update regularly provides much-needed clarity as well as peace of mind. You have studied the market, determined the course that you want to take, set your benchmarks, and are ready to take action. It is never too late to create a plan. In fact, as your life transitions, making adjustments to your real estate plan becomes even more critical. You have gained perspective and have a reason to look ahead not just for yourself, but for your heirs. (The desires of your heirs are another misconception that I addressed in my first myth article that ran in the March 2016 issue of

Apartment News Magazine.) A written real estate plan is a theme that runs throughout my book. There are several other key concepts that I will be focusing upon in future articles. In the meantime — setting goals and quantifying your expectations is the first step. Don’t forget — put your plan in writing!

April General Membership Meeting Recap

Our April General Membership Meeting featured some of the finest employment law attorneys that helped give insight and advice on how to minimize liability and lawsuits while effectively managing your investment. Our evening began with Executive Director, Lou Penrose updating the members on the current and upcoming laws that the rental-housing industry

is facing. Some of the issues include parking permits in the city of Anaheim, the PREP (Proactive Rental Enforcement Program) Program in Santa Ana, and water rates throughout the county. We were then privileged to have our President, Nicholas Dunlap, moderate our panel of distinguished attorneys: Alexander Harwin, Partner with Lewis, Brisbois, Bisgaard & Smith, LLP; Christine Baran, Partner with Fisher & Phillips, LLP; and David Larmore, with DeCastro Law Group.

The panel gave insight on common suits and pitfalls as well as provided their views on lodging credit and how to use it. Although there are several viewpoints on whether or not to handle employment wages by using lodging credit, the attorneys were able to inform our attendees and allow them to decide on the practice that works best for their businesses. he lease during escrow!”…“The lease you had was with the previous owner”… “I didn’t sign any lease”… “All contracts were canceled when I purchased the property.” These are some of the statements heard by laundry service companies from new owners of apartment buildings. Purchasing a multi-family property can be an exciting, yet challenging endeavor. There is the loan process, the seller, the residents, due diligence, escrow, paperwork galore, etc. Keeping

informed about everything involved in the process is a daunting task at best for a prospective buyer. It can also create difficult times for a laundry service vendor who gets to explain to a new owner that they have the right to continue to provide their services at the property for several years. There appears to be a myth about the following two things “automatically” canceling laundry contracts: 1) when a property is sold, and 2) when a property is purchased through a foreclosure.

Neither of those offers such assurance. I am hopeful that this article will assist prospective owners in finding out about the possibility and validity of an existing lease before escrow closes. There are 3 basic types of notice indicating that there may be an existing lease for the laundry space. Actual notice—the prospective buyer knows of the existence of the lease. This is the case in most purchases. The buyer may receive information about, or a copy of the lease, from the seller, their agent,

the escrow or title company, etc. Constructive notice—The lease may have been recorded in a County Recorder’s Office. The recorded information should come up in a title search. Note: Although the title search should show the existence of a lease, it may not give the entire terms of the lease. The laundry vendor should be contacted to have a copy of the entire lease put in the escrow. Inquiry notice— Most laundry vendors have signs in the laundry rooms and/or on the machines with their name, phone numbers, etc. California law is straightforward in saying that this clear and apparent possession gives the prospective buyer an affirmative duty to inquire as to the basis under which the vendor is in possession of the laundry space. When doing due diligence and walking the property, the laundry facilities should not be ignored. Let’s briefly discuss foreclosures. Not all leases are extinguished by a foreclosure process! Generally speaking, a lease is extinguished if that lease is subordinate to the foreclosed deed of trust. In a case where the lease is dated prior to the note that was foreclosed upon, the lease is generally considered senior, not subordinate to the foreclosed deed of trust. The lease would still be valid and in full force and effect. Again, not every case is clear-cut, and there may be other circumstances to be considered, but this a dependable “rule-of-thumb” tool. Generally speaking, laundry space leases “carry with the land”. If a new owner comes in, they are bound by the terms of the laundry lease currently in place. They are similar to the rental leases with the residents. A purchaser cannot arbitrarily go in and cancel all of the leases the residents had entered into with the previous owner. There are cases where a purchaser of a property thinks the lease is not binding, and the vendor contends that it is. In this case, the property owner should not remove the vendor’s equipment.

(Just like the fact that you cannot go into an apartment unit and throw all of the resident’s belongings out). The law mandates proper legal process be followed, i.E., An unlawful detainer action. “Self-help” remedies, such as denying residents and the laundry service company access to the facilities, or removing the equipment are not recommended, nor legal. These actions could force the vendor to file a Forcible Detainer action, which could include recovering possession of the premises, actual damages, additional damages allowed by statute, attorney’s fees under the lease, and other relief allowed by law. Laundry service vendors would normally be more interested in discussing an amicable solution than proceed with litigation; however, they have the lawful right to enforce the terms of their lease. Bottom Line—If you cannot work something out with the vendor, get dependable legal advice to help you proceed accordingly. Contacting an attorney with experience in “contract law” is recommended and may save you time, energy and money in the long run. The information in this article is intended to help prospective buyers with one phase of the sale that does not always get attention when looking at the “big picture”. It can also help provide a smooth transition between the laundry service vendor and new owner.
