VACATION in April?

There are so many wonderful events coming up with fabulous causes. Please take the time to check out the Save the Date page, as well as the event write-ups listed below under the “This Issue” header. I was lucky enough to visit San Jose del Cabo and get a preview of the Cuervo’s House and sample some of the Chef ’s fine dining cuisine. I was nothing short of amazed. I was not expecting to find perfectly prepared scallops in a spicy yet lite soup, or melt-inyour-mouth beef beneath a tantalizing prawn for that matter. I did remember, however, from a previous visit, the signature pineapple margarita which to my delight is still on the menu. If you can make it to San Jose del Cabo (less than a 3 hour flight), for the 3-day grand opening of a restaurant and club co-owned by your Almaden neighbor, I highly recommend it. Although with hectic schedules it may be something you want to do later in the year, but do add it to your

he kids are right. We don’t remember the intensity of our younger years. The crackling and sparking of every emotion and mood, the searing pains that comes with adolescence, and the inability to catch an emotional breath. It is so hard to remember the sense of suffocation from the unexpected truths and the complexities of the newly uncovered lies of life, the occasional instances of envy, love and hatred that we experience, of wanting to know who you are and the soul-searching that follows. The futility of not being able to learn. The brutality of learning we, and our friends and loved ones, are not immortal. The natural breaking away from those we love. This is a tough journey. Children and adolescents need a helping hand. Some get it at home, some at school or through worship, and some don’t get it at all. Mom and Dad have the same struggle. And the kids don’t get it. They have setbacks at work or in their relationships. Their promise to provide can’t be kept. They perceive shame, humiliation and anger following the loss of a job. Hopelessness and a belief they have failed. They have health problems that affect their lives and the lives of their families. Emotions that are real enough to block love and understanding from family or friends. They wear the dark shroud of depression. Often this despair is the fuse for violence toward self or others, substance abuse, or depression. The newspapers chronicle the results of this futility. You can no longer be blind to the necessity of professional, confidential, non-judgmental counseling. If not for you, certainly you know someone in your family who can benefit. There is no stigma to counseling, especially in a time of crisis. Especially when it is local and at a very reduced fee. To speak with someone who is trained and knowledgeable, and someone who can offer hope and guidance. As good a parent or friend as you are, you are not that person. A counselor is that person. A counselor is an independent ear. Your health plan may pay for counseling for you and your family, but many in our community, especially those who have lost a job or who don’t have insurance, do not have that luxury. This is where the on-campus, and clinic-based, reduced expense counseling services of the Almaden Valley Counseling Service come into play. You may need this help, and if so please call. And you can also help make counseling affordable to those who may need it the most, but can afford it the least. “Cause suicide is painless, it brings on many changes, and I can take or leave it if I please.” Nothing more than a theme song? until you know it was written by Mike Altman, the son of Robert Altman the director of ‘MASH.” At the time he wrote the lyrics to this song Mike was 14 years old. The intensity and emotions captured in those lyrics came from an eighth grader. Remember when you were a teenager and your struggles seemed so intense and you knew that no one understood you? Well, if you are an adult the same emotions may have returned. Many years ago the suicide of two teenagers in Almaden gave rise to the Almaden Valley Counseling Service. Since then the AVCS has provided counseling to thousands of people who live throughout Santa Clara County. Confidential and immediate help is offered to those of any age who struggle with depression, mood disorders, contemplate suicide, are involved in unsuccessful or abusive relationships, experience educational difficulties or who are dealing with the hopelessness of the economy. The AVCS offers assistance through school counseling or individual counseling at the center on Crown Blvd. If not to alert you to the services the AVCS provides, this article asks you to remember it only exists because of your financial support. This is a request for a donation. A donation that will not result in a monument, your picture in the paper, no tangible article such as a t-shirt, a crutch or new gym, nothing with your name on it. If it is successful you will probably never know the value of this donation. If it helps you, a friend, or a family member, your donation is priceless. Wasn’t it the Beatles who sang, “I get by with a little help from my friends”? The Almaden Valley Counseling Service is that friend, for some the only friend. For some a lifesaver. The dinner (5-10:00pm) menu offers a unique fine dining experience featuring traditional Mexican cuisine using the Cuervo family recipies from Jalisco, as well as specialties from Southern Mexico from their masterful Chef Tilan, a Mayan descendent. Do not fret if you are a night owl during vacation, for after 11:00pm lighter fare such as ceviche will be served in the nightclub for your pleasure while you enjoy a music & video DJ, live bands, piano bar and more until 4:00am. During the 3-day Grand Opening guests will delight to a visually captivating musical feast of Mexican

Marimba, as well as solo guitar player Manuel Ataide, and at times even a Mariachi group. The evenings will consist of a live singer with pianist, the presence of a well-known DJ from Guadalajara specializing in American and Latin classics and live bands each night. Jorge’s family is from the town of Tequila. Yes, tequila the beverage is named from this town. Interestingly, his relative Don Jose Antonio Cuervo was the founder of the tequila beverage (named after the town). Though the factory and brand are no longer owned by the family, to this day the family still produces their own tequila and the names continue in their lineage and legacy. In 1996, Jorge moved to Cabo as a young adult to work at the Westin Resort. Two years later on April 21st he and his older brother opened a restaurant and nightclub (“The Corner Bar”) which is now the same location as Cuervo’s Place. He was 24 years of age and managed the restaurant, while his brother (a DJ) Gustavo Cuervo managed the nightclub. At age 29, Gustavo drowned

in a swimming accident and the club portion of the restaurant closed. This is the first time they are re-opening the club with a Grand Opening April 23rd - 25th in his honor. The restaurant has already had a soft opening (it was devastated as many were and had to close down after the big hurricane last year). I recently had the pleasure of dining there, and I am happy to say the food was amazing and was truly beyond my expectations. It is no wonder they are ranked so highly with Trip Advisor. After interviewing Jorge, however, and learning of his food & beverage and operations management expertise, it made sense. At a young age, Jorge managed a club in Japan, and through the years, ended up working under Charlie Trotters at the One&Only Palmilla as their Maître d’ and food and beverage manager. The experience doesn’t get much better in his industry. He is grateful and determined to honor his family legacy and promote excellence for each and every customer.

very year for the past 8 years, dedicated members of our community have gathered together to walk in honor of those who have battled cancer and in memory of those that we have lost in the Relay For Life of Almaden. Nicole Winiecki, a sophomore at Leland High School, will be walking in her third Relay this year. Last year as a freshman, Nicole started the Relay For Life Club at Leland High School. Her club raised almost $2,000 in their inaugural year and helped raise awareness of cancer prevention in her school. She was inspired to start the club after participating in her first Relay as an 8th grader; she wanted to share the experience with her fellow students. Nicole’s Mom, Cecily, is a two-time cancer survivor. Nicole was deeply involved in supporting the American Cancer Society through Relay For Life when her Mom’s skin cancer came back: “This year has been hard for my family since my Mom’s skin cancer came back. She got it removed from her nose right before Christmas and it’s gone now but it was an emotional roller coaster. I was already dedicated to the club and ACS but now I am even more. It gave me that extra boost I needed.” Nicole’s journey has given voice to many other Leland students to share their cancer stories and the ability to honor those who have battled cancer. Jenny Quint, the Vice President of the club, lost her grandfather to cancer and Relay for Life gives her the opportunity to honor him: “I’m proud that we are making a difference. I want other families to be able to enjoy more time together uninterrupted by cancer.”

This year, The Relay For Life Club will be hosting a “Spirit Day” at Leland that will involve sharing information on the four behaviors that prevent cancer (stay active, eat healthy, cover up from the sun, and stay away from tobacco), as well as a coins for cancer drive. The club wrapped packages at Barnes & Noble for donations over the holidays and is busy “flocking” houses with pink flamingos to raise money and awareness! When asked about her daughter’s experience with Relay For Life, Cecily Winiecki (Nicole’s Mom) said “Cancer has changed our lives for years and to see Nicole not only understand the impact it has had on our family, but to think about how she can help make a difference in many other people’s lives has been amazing. The RFL club at Leland has provided Nicole with an opportunity to grow as a person and learn to be a leader with a conscience and a cause. She has made some great friends through the club, and it has given her club members an opportunity to share their stories of cancer. Nicole is bringing awareness of cancer to her community one member at a time. I am extremely proud of Nicole because she is a caring person and she is doing something positive.” Continued on Page 17...

Are You Personally Liable for Unpaid Taxes of a Business?

I

t’s that time of year again, and as Benjamin Franklin said, there’s nothing certain but death and taxes. As businesses and individuals prepare to file their returns and pay their taxes, one question that commonly comes up is whether someone is personally responsible for the taxes of their business. Liability for the taxes of a business can depend on a number of factors, with the initial factor being the form of the business: Sole proprietor: If you operate your business as a sole proprietor, the IRS views you and the business as being the same entity. Just as you personally own all of the assets and liabilities of the business, you are personally responsible for the tax of the business. Put another way, the IRS is not taxing the business itself, but is instead taxing the business owner’s income. So all business taxes are your responsibility (and liability), including any back taxes.

Partnerships: Similar to a sole proprietorship, the partnership itself is not taxed. Instead, the partnerships income is “passed through” to each of the partners, who then pay taxes on an individual basis. Your share of the partnership income is your personal tax responsibility, and you’re responsible for any back taxes owed. Limited Liability Companies: From a tax standpoint, an LLC is treated very much like a sole proprietorship or partnership. In the case of a single member LLC, the entity is typically treated like a sole proprietorship and the taxable income is reported on Schedule C of the member’s personal return. In a multimember LLC, the taxable income is “passed through” to each of the members of the LLC, and picked up on each of the individual members returns. The only time this is not the case is when the LLC elects to be taxed as a corporation.

Corporations: In the eyes of the law, a corporation is a “person” and viewed as a distinct legal entity from the shareholders. As a result, a corporation is generally taxed separately, with shareholders only being taxed on the dividends that are distributed. In this case, shareholders (the owners of the business) are not typically responsible for unpaid taxes of the corporation.

But that absence of liability for taxes is not always the case. The company is required to withhold taxes from its employees, such as federal income tax, unemployment tax and Social Security tax. Failing to withhold those taxes can create personal liability for the person in the corporation who is responsible for managing those withholdings. In many cases, this “responsible person” may be the CFO of the corporation or one of several shareholders of the corporation. The rationale behind this personal liability for corporate taxes is that this responsible person is obligated to collect these taxes on behalf of the U.S. government, and his or her failure to withhold (or a failure to remit what has been withheld) creates a tax deficiency for which the government wants to be made whole. So, in general, you are generally going to be personally responsible and liable for the tax obligations of your business, unless the business is a corporation -- and even then, you may have personal liability depending on your role in the business. If you think this is a risk, do not put it off. T

his issue’s Relay for Life article (on page 13) will be my final article as your community liaison; my family and I are relocating to Arizona. I have an exciting new job and am very excited about our new adventure. However, I am saddened to be leaving a community that I truly love. I have had the honor and pleasure of representing our local American Cancer Society as the Event Chair for Relay For Life of Almaden, Lead Volunteer for Silicon Coastal/Greater Bay Area, and as a Voice of Hope (motivational speaker). I have met some amazing and inspirational people during my journey and made some incredible life-long friendships! (Our home in Arizona will be filled with visitors especially during Spring Training!) The opportunity to work with 95120 Magazine allowed me to meet, interview and write about incredible individuals making a difference in our community.
