The unique nature of our organization provides opportunities to connect with an array of business owners across West Michigan. YPO West Michigan and YPO Gold Chapter extends from Lansing to the lakeshore and from Northern to Southwest Michigan, and includes over 100 CEOs/ Presidents from across this area. Sponsors will be fully integrated into our programs and have multiple opportunities, both educationally and socially, to make and build relationships with members. With this in mind, please review the included information for more information on the exclusive opportunities available to our education year sponsors. YPO/YPO Gold Strategic Alliance Agreement This YPO/YPO Gold Sponsorship Agreement, dated ______________(“Agreement”), is entered into by and between ___ ____________________________ (“Sponsor”) and the West Michigan Chapters of Young Presidents’ OrganizaIon (“YPO”) and YPO Gold Presidents’ OrganizaIon (“YPO Gold”). 1. Program Year Sponsorship Package. Sponsor agrees to sponsor and support YPO/YPO Gold in connecIon with YPO/YPO Gold’s 2022-2023 learning year. Sponsor and YPO/YPO Gold will work closely throughout the year to allow Sponsor to be acknowledged and recognized as a strategic partner and supporter of YPO/YPO Gold. Unless YPO/YPO Gold shall elect in the future not to entertain or accept sponsorships of any kind, Sponsor shall have the opIon to conInue its sponsorship of YPO/YPO GOLD in future educaIon years beginning with the 2023-2024 educaIon year, on the same or similar terms and condiIons as outlined in this Agreement. 2. A:endee Name and Spouse’s Name: Sponsor will designate one person/couple to represent Sponsor at each event. If designee is unable to aWend the event the Sponsor needs wriWen approval before subsItuIng an event aWendee. The designated Sponsor aWendee and spouse are: 3. Event DescripBons. All 10 events listed above are eligible for par4cipa4on by Sponsor One sponsor exclusive event with extended branding, exposure and networking opportunity User Pay YPO Couples Retreat & any ‘In the Boardroom’ events are YPO/YPO Gold members only events. These events will s4ll contain sponsor branding in all promo4ons. Sponsor will be informed of any drop-in events that are added to the schedule during the learning year

4. AddiBonal Sponsor Benefits: YPO/YPO Gold Boards will hold one YPO and/or YPO Gold meeIng in Sponsors’ office. YPO/YPO Gold Boards will encourage Forum Moderators to hold forum meeIngs in Sponsor’s office. Sponsor will have the opportunity to host a Chapter “business related” event or seminar at their office during the Learning Year for the YPO/YPO Gold Chapter. Please discuss potenIal ideas for this opportunity with the Chapter Sponsorship Officer and Learning Officers to incorporate into the learning year program. YPO/YPO Gold Sponsorship Chairs will host a semi-annual meeIng with all Sponsors collecIvely to review the effecIveness of the Sponsor experience. 5. Sponsorship Fee. Sponsor shall pay a sponsorship fee in the amount of Twenty-five Thousand Dollars ($25,000). One-half of the sponsorship fee shall be paid on or before September 15, 2022 with the balance of the sponsorship fee paid on or before January 31, 2023. Sponsorship fee shall be made payable to “YPO West Michigan” and be mailed to: Heather Frank Chapter Administrator, YPO West Michigan 3720 Chad Allen Drive, Walker, MI 49534. 6. Exposure and RecogniBon. In consideraIon of its program sponsorship and the payment of the sponsorship fee, Sponsor shall be enItled to the following exposure and recogniIon: a. b. c. d. e.

7. Exclusivity. Sponsor will be one of only (3 or 4) possible sponsors in connecIon with the 2022-2023 educaIon year. 8. Approvals. Sponsor will obtain prior approval from YPO/YPO Gold of each of the following: placards, signage, collateral material, and any other material that Sponsor will be distribuIng to YPO members. Sponsor will not use the YPO, YPO Gold logos without the wriWen approval of the respecIve organizaIons. 9. Costs and Expenses. Sponsor shall be solely responsible for all costs and expenses of its own placards, signage, easels, and collateral material, and all such costs and expenses shall be in addiIon to the sponsorship fee referred to in SecIon 5 above. 10. YPO Code of Conduct. Sponsor will abide by the YPO Code of Conduct (see aWached). 11. Non-SolicitaBon, PromoBon and Sales. Sponsor and Sponsor’s employees, agents, and representaIves shall not, without YPO/YPO GOLD prior wriWen consent: (a) approach, contact, or solicit any YPO member during the term of this Agreement or amer the term of this Agreement has ended, with the intent to sell or promote any product or service to a YPO member or a YPO member’s company using any informaIon gathered by Sponsor in connecIon with this Agreement, (b) solicit or promote any product or service to any YPO member or member’s guest at the Event unless the individual first requests the informaIon from Sponsor. For the avoidance of doubt, Sponsor may enter into a transacIon with a YPO member or a YPO member’s company, provided that the YPO member or the YPO member’s company, as applicable, iniIated the transacIon. 12. ConfidenBality. Sponsor agrees to keep the terms and condiIons contained in this Agreement confidenIal and not disclose any of them to any third parIes unless required by law. 13. Intellectual Property. In connecIon with this Agreement, each party grants to the other party a limited, non-transferable, non-exclusive license to use that party’s name, trademarks, and other markeIng materials provided by the party (“PromoIonal Materials”) during the Term in the manner, and for the purposes, specified in this Agreement. Each party reserves all rights to its PromoIonal Materials that are not specifically granted under this license. Notwithstanding the foregoing, Sponsor agrees to not use any of YPO/YPO GOLD intellectual property, including YPO/YPO GOLD logos, trademarks, service marks, and trade names for any purpose (including as part of the PromoIonal Materials themselves) without YPO/YPO GOLD wriWen consent prior to their use. Sponsor agrees that YPO/YPO GOLD maintains all rights in any products or services that YPO/YPO GOLD produces as part of the Event. 14. Indemnity. A party (“Indemnitor”) will indemnify and defend the other party, and its successors, officers, directors, employees, agents, and members (“Indemnitees”), against any loss, claim, injury, or liability, and liIgaIon expenses (including reasonable aWorneys’ fees) that arise from or relate to claims, demands, acIons, or proceedings made or brought by any third party against the Indemnitee (“Claim”): (a) in connecIon with any actual or alleged infringement or misappropriaIon of any copyright, trademark, service mark, trade name, trade secret or other proprietary or intellectual


property right by any of the Indemnitor’s PromoIonal Materials delivered to the Indemnitee pursuant to this Agreement; or (b) that arises from any negligent act or omission of Indemnitor or its employees, agents, or representaIves. 15. In the event a party breaches any provision in this Agreement and such breach conInues uncured for ten (10) days amer wriWen noIce has been provided, the non-breaching party, at its opIon, may immediately terminate this Agreement. Notwithstanding this provision, YPO/YPO GOLD may immediately terminate this agreement if Sponsor breaches its obligaIons contained in paragraph to Non-SolicitaIon, PromoIon, and Sales to YPO members, ConfidenIality or Code of Conduct. Sponsor will remain liable for all Sponsor contribuIons that have not yet been provided to YPO CHAPTER at the Ime of terminaIon of this Agreement.
