Origine: Estremo oriente Caratteristiche botaniche: Palma sempreverde con tronco colonnare, unico, non ramificato. Il tronco è ricoperto da un fitto intreccio di fibre brune. Foglie a ventaglio, composte da numerosi segmenti incisi fino a metà o oltre, verde scuro e lucide sulla pagina superiore, di un verde più chiaro sotto. Picciolo lungo e robusto, spinoso. Le nuove foglie si sviluppano all’apice del tronco mentre quelle più basse cadono lasciando sul fusto parte del picciolo. Pianta dioica con fiori maschili e femminili portati su piante differenti. Condizioni Generali di Vendita / General Sale Conditions

Art. 1

Ordinazione: impegni fra le parti / Orders: obbligations between the parties Il conferimento di un ordine ai Vivai Ivano Guagno implica da parte del committente l’incondizionata accettazione delle presenti condizioni di vendita. Qualsiasi deroga o differente condizione, per essere valida, deve ricevere autorizzazione scritta da parte dei titolari dei Vivai Ivano Guagno. Non avranno efficacia alcune deroghe concesse da dipendenti o da agenti. Il conferimento di un ordine d’acquisto costituisce proposta irrevocabile per il compratore e non potrà essere ne ridotta ne annullata senza il consenso del venditore. L’ordine del compratore, anche se accettato in forma scritta dai Vivai Ivano Guagno, può essere annullato in parte o interamente dal venditore a causa della non disponibilità della merce, per ritardati pagamenti di forniture precedenti da parte del compratore o per cause di forza maggiore. In ogni caso nessun indennizzo potrà essere richiesto dal compratore per la mancata evasione parziale o totale dell’ordine. Tutte le aggiunte alle ordinazioni saranno eseguite, sempre che non comportino ritardo nell’esecuzione dell’ordine precedente. In caso contrario l’aggiunta dell’ordine sarà considerato come un’ordinazione distinta e sarà eseguita separatamente. Remitting an order to Vivai Ivano Guagno implies, on the part of the Purchaser, the unconditioned acceptation of the present sale conditions. Any derogation or different condition, to be valid, must receive the written authorization by the Vivai Ivano Guagno owners. Any derogation made by the personel or agents will not be considered valid. Remitting a purchase order means to make an irrevocable proposal on the part of the Purchaser and it can be neither reduced nor cancelled without the Seller approval. Even though approved in written form, by Vivai Ivano Guagno, the Purchaser order can be partially or totally cancelled by the seller because of unavailability of goods or for the buyer delays in payments of previous deliveries or owing to a cause of force majeure. In any case no refund can be required by the Purchaser for the partial or total non-execution of the order. All the addition to the order will be carried out only if they will not make the previous order be carried out with delay. On the contrary, the addition will be considered another order and, therefore, separately executed.

Art. 2

Sostituzione varietà esaurite / Substitution of the unavailable varietes Salvo espresso divieto di cui sia fatta regolare menzione scritta nella commissione o nell’ordinativo, i Vivai Ivano Guagno sono tacitamente autorizzati a sostituire con varietà analoghe e di prezzo similare quelle varietà richieste che risultassero eventualmente esaurite. If in the order it is not clearly written and expressely prohibited, Vivai Ivano Guagno is tacitly authorized to substitute the exhausted varieties with others similar in species and price to those required.

Art. 3

Termini di consegna / Delivery terms I termini di consegna sono vincolanti per il compratore mentre sono forniti a titolo indicativo dai Vivai Ivano Guagno in quanto spedizioni e consegne possono essere influenzate da fattori esterni quali le condizioni climatiche sfavorevoli e da condizioni comunque non dipendenti dalla volontà del venditore. Nessun indennizzo sarà corrisposto dai Vivai Ivano Guagno per danni diretti o indiretti dovuti a ritardi o sospensione parziale o totale delle consegne. The delivery terms are binding for the purchaser while they are given only for indicative purposes by Vivai Ivano Guagno because either shipping or deliveries can be influenced by external causes such as the bad climatic conditions or, anyway, causes which are beyond the seller’s control. No refund will be paid by Vivai Ivano Guagno for direct or indirect damage due to partial or total delay or suspension of the deliveries.

Art. 4

Trasporto / Transport Il committente deve indicare il mezzo di trasporto desiderato e, per trasporto ferroviario, la stazione di destino. In mancanza di tale indicazione i Vivai Ivano Guagno si regolano secondo la maggiore convenienza declinando ogni responsabilità per la scelta effettuata. Salvo accordi speciali, le spedizioni sono sempre eseguite in porto assegnato, vale a dire con la spesa di trasporto da pagarsi all’arrivo a carico del compratore.

Means of transport and goods destination must be indicated by the purchaser and railway station must be indicated in case of delivery by train. If this indications lack, Vivai Ivano Guagno will choose between the most convenient solution declining any responsability for his choice. Special agreement excepted, shipping are everytime carriage forward, meaning that the transport cost must be paid by the purchaser at the moment of the arrival at destination.

Art. 5

Imballo / Packaging Gli imballaggi sono eseguiti in base alle caratteristiche delle piante e alla distanza che esse devono percorrere. Gli imballaggi sono fatturati al costo e non sono accettati di ritorno. Packaging are prepared in conformity with the plants charachteristics and with the distance they have to cover. Packaging are not included in the price of plants and they are invoiced at cost price. The packaging is not accepted back.

Art. 6

Oneri del rischio per il trasporto eseguito da vettori terzi / Risk fees for transport made by third transporters La merce viaggia a rischio e pericolo del Committente anche nel caso di vendita pattuita franco destino. Pertanto ogni responsabilità dei Vivai Ivano Guagno cessa con la consegna delle merci al vettore. In caso di avaria, scambio di merce, mancanze ecc. i conseguenti reclami devono essere fatti dal destinatario direttamente a chi ha effettuato il trasporto. Goods travel exclusively at risk and danger of the Purchaser, even if the sale was agreed to be free delivered. Therefore, any responsability on the part of Vivai Ivano Guagno will cease at the moment of the delivery of goods to the transporter. Any complaint for average, goods exchange, lack of goods, ecc. must be addressed to the transporter who made the transport by the Purchaser.

Art. 7

Reclami per merce consegnata con mezzi di trasporto dei Vivai Ivano Guagno Complaints for goods delivered by Vivai Guagno transport In caso di trasporto effettuato direttamente dai Vivai Ivano Guagno con proprio personale e propri mezzi, il Committente deve controllare al momento dello scarico la corrispondenza della merce con i dati riportati sul documento di trasporto o sulla fattura accompagnatoria e deve verificare l’aspetto esteriore e la sanità della merce. In case of transport made by Vivai Ivano Guagno by its own personel and means, the Purchaser have to check at the moment of the unloading if the delivered goods correspond to those mentioned in the transport document or invoice. He has also to check the external appearance and health of the goods.

Art. 8

Reclami sulla qualità delle piante / Complaints for the quality of plants Eventuali reclami sulla qualità delle piante e materiali (vizi apparenti) devono essere comunicati a mezzo fax o lettera raccomandata entro tre giorni dal ricevimento della merce. Eventuali reclami per vizi occulti dei materiali devono essere comunicati dal compratore a mezzo fax o lettera raccomandata entro otto giorni da quello in cui ebbe a scoprirli. Any complaints for the quality of plants and materials (appearing vices) have to be communicated by fax or registred letter within three days from the reaching of the goods. Any further complaints for hidden vices of the materials are to be communicated by the Purchaser by fax or recommended letter to the seller within eight days from the date of their discovery.

Art. 9

Sopralluogo del fornitore in seguito a contestazione sulla qualità della merce Investigation on the spot by the suppler after complaints for the quality of plants La merce contestata deve essere conservata dal Comittente con buona cura e non deve essere manomessa dal Committente prima dell’eventuale verifica da parte del fornitore. Qualsiasi prova di vizi delle piante ed anche dell’eventuale diversità della merce consegnata da quella ordinata sarà opponibile ai Vivai Ivano Guagno solo se acquisita in contraddittorio con la stessa, a meno che i Vivai Ivano Guagno non rinuncino implicitamente alla verifica in contraddittorio. Non si accettano resi se non autorizzati dai Vivai Ivano Guagno. I Vivai Ivano Guagno s’impegano alla sostituzione della merce non conforme o al rimborso del prezzo pagato per le piante difettose sempre che non sia stato dimostrato che il difetto è stato causato dalla scarsa cura fornita alle piante dal momento dell’arrivo al momento del trapianto o comunque a cause da addebitarsi al compratore. In nessun caso la responsabilità dei Vivai Ivano Guagno potrà essere superiore al prezzo pagato per la merce riconosciuta difettosa, esclusa IVA. Sono quindi da escludersi le pretese d’indennizzo di diversa natura quali perdita di guadagno, le spese di gestione o altro. The contested goods are to be preserved by the Purchaser with good care and must not be tampered with before the investigation by the supplier. Any evidences of plant’s vices, or any difference between the ordered and the delivered goods, will be disputable to Vivai Ivano Guagno only if acquired in contradictory with the same, unless Vivai Guagno will implicitly renounce to the investigation in contradictory. Any returned goods will be accepted without authorization by Vivai Ivano Guagno. Vivai Ivano Guagno will change the defective goods or will refund the paid price only for the defective plants which were denmostrated defective at the moment of the loading exdelivery. In no case the Vivai Ivano Guagno responsability can be more than the paid price for the goods recognized defective, VAT excluded. Therefore any claims for refund of different nature such as the loss of profits or the management costs or any other are to be excluded.

Art. 10

Garanzia d’attecchimento / Root taking guarantee I Vivai Ivano Guagno non possono garantire l’attecchimento delle piante fornite in quanto esso dipende da una molteplicità di fattori talvolta anche concomitanti e indipendenti dalla volontà del fornitore come le condizioni del terreno, le condizioni climatiche, la cura delle piante prima della messa a dimora, le modalità di trapianto e le cure nel periodo immediatamente successivo alla messa a dimora delle piante. Vivai Ivano Guagno can not guarantee the root taking of the supplied plants because it depends on multiple causes sometimes concomitant and independent from the supplier will. Garanzia di autenticità varietale / Autenticity variety guarantee I Vivai Ivano Guagno nella loro attività di riproduzione delle piante mettono la massima cura per una corretta identificazione e nomenclatura delle stesse. Vivai Ivano Guagno in their autenticity of plants reproducing put maximun care to have correct identification and nomenclature of plants.

Art. 12

Varietà protette / Protected varieties Le piante di varietà protette a termine di legge e delle quali è fatta menzione nelle pubblicazioni, sono vendute con riserva del diritto di proprietà da parte del titolare del diritto e pertanto la riproduzione e l’esportazione di dette varietà è proibita salvo particolari convenzioni in deroga. Ogni pianta protetta è munita di uno speciale contrassegno a garanzia dell’autenticità. The protected varietes of plants, as by law enacted, which are listed in the issue, are sold with reserve of the right of property. Therefore their reproduction and exportation are forbidden, except particular conventions for derogation. Each protected plant has got a special distinguishing mark as guarantee of authenticity.

Art. 13

Prezzi / Prices I prezzi indicati nei listini e nei preventivi si intendono IVA esclusa e, salva diversa pattuizione, franco sede dei Vivai Ivano Guagno. I prezzi si intendono, per piante prodotte a S. Giustina in Colle (PD), ritirate nella sede di Via S. Stefano, 38/A - S. Giustina in Colle (PD), per piante prodotte a Comacchio (FE) ritirate nella sede di Valle Pega - Strada Porto Rose, 7 - Comacchio (FE). In caso di richiesta da parte del cliente di accorpare le piante in un’unica sede per effettuare un unico carico, verranno addebitate le spese al costo. I prezzi indicati nei listini sono indicativi e non impegnativi, essi si intendono salvo venduto e salvo variazioni. I prezzi si intendono per la merce scelta dal fornitore. Per le piante scelte in vivaio dal cliente, i prezzi sono stabiliti in funzione della scelta effettuata. The prices indicated in the price list are VAT excluded and, except different agreements, ex-nursery (free of nursery) at Vivai Ivano Guagno. The price are for plants product in the nurcery of S. Giustina in Colle (PD) to load in the seat road S. Stefano 38/A – S. Giustina in Colle (PD) and for the plants product in the nurcery of Coamcchio (FE) to load in the seat road Valle Pega – Strada Porto Rose, 7 – Comacchio (FE). It’s possible to unify total plants in one nurcery for one loaded with debit the cost. Those prices are indicative and not binding, they are meant except sold and except variations. The prices are intended for goods choosen by the supplier. For the plants choosen by the customer at the nursery, prices are made depending on the choice made.

Art. 14

Pagamenti / Payments In mancanza di diversa specifica indicazione, i pagamenti devono intendersi convenuti alla consegna della merce. I pagamenti diversamente pattuiti devono essere eseguiti al domicilio del fornitore e non costituisce deroga l’eventuale emissione di tratte. Anche in caso di contestazione, i pagamenti non possono essere sospesi. Il ritardo nei pagamenti autorizza i Vivai Ivano Guagno a chiedere l’integrale pagamento con l’addebito degli interessi di mora al tasso di mercato. La merce consegnata rimane di proprietà dei Vivai Ivano Guagno sino al pagamento totale da parte del Committente. I Vivai Ivano Guagno si riservano il diritto di sospendere le consegne ripartite in caso d’inadempienza anche parziale da parte del Committente dagli obblighi assunti. If not differently stated, payments are to be intended cash on delivery (C.O.D). If differently agreed they have to be made at the supplier address and the issuing of any drafts is not a derogation. In case of contest, payments can not be suspended. The delay of payments authorizes Vivai Ivano Guagno to require the entire payment charged of the interests on delayed payment, at market rate. The delivered goods are Vivai Ivano Guagno’s property till the moment that the Purchaser has made the total payment. In case of the Purchaser non-execution, even partial, of his agreed obbligations, Vivai Ivano Guagno can reserve to itself the right of suspending the deliveries.

Art. 15

Arbitrato / Arbitration Qualsiasi controversia dovesse insorgere tra le parti e avente per oggetto il contratto di fornitura sarà risolta con giudizio inappellabile ed immediatamente esecutivo di due arbitri amichevoli compositori nominati dalle parti. L’arbitrio si svolgerà secondo le regole della vigente legge italiana. Gli arbitri decideranno senza formalità entro trenta giorni dall’incarico. In caso di disaccordo tra gli arbitri gli stessi nomineranno, di comune accordo, un terzo arbitro e, in caso di omissione, provvederà il Presidente del Tribunale di Padova su istanza della parte più diligente. In quest’ipotesi il termine si considererà prorogato di ulteriori trenta giorni. Any dispute will arise between the parties with subject the supplying contract will be solved by the inappellable and immediately executive verdict of two friendly compositors, named by the parties. The arbitration will be carried out following the current Italian law. The arbitrators will decide without formality within 30 days from the assignment. In the case of disagreement between the compositors they themselves will decide, by common consent, a third compositor. In case of omission the President of Padua Court will provide on request of the more diligent part. In this case the term will be considered extended for further 30 days.
