Type of Membership

■ ASSOCIATE

Associate is an independet business owner. By selling products and sponsoring new people to join, based on the Compensation Plan, everybody has a chance to earn commission and bonus. ● Earn retail margin by selling products to consumers ● Earn commission and bonus through USANA’s Compensation Plan ● Sponsor individuals as Associates or Preferred Customers to USANA ● Receive USANA literatures and other USANA communication materials ● Participate in USANA-hosted events and use prospective services produced by USANA ● 4,400 JPY (tax included) Registration Fee is required ● No person is required to purchase products. However, 200 points worth of product purchase is required to open a Business Center. And to keep the Business Center active (commission qualified), you have to purchase at least 100 points worth of products (200 points for multiple BCs) every 4-week cycle. ● 2,200 JPY (tax included) Annual Renewal Fee is required

■ PREFERRED CUSTOMER

Preferred Customer can purchase all products at Preferred Price for personal consumption. ● NO registration and renewal fee

How to Apply for Membership

■ REGISTRATION

Registration for both Associate and Preferred Customer membership can be applied through fax, mail, email, online or at USANA Office counter. Along with the local law, new Associates are required to fill out and submit a signed Associate Application and Agreement Form to USANA. After registration, a Starter Kit will be sent to all new Associates.

■ PAYMENT METHOD FOR REGISTRATION FEE

■ ASSOCIATE REQUIREMENTS

① Be at least 20 years old (students are not allowed) ② Applicant including spouse must not have any existing account in USANA ③ Applicant must have an address and contact number in Japan. Foreign residents must have a valid visa to operate a business and earn commission ④ Product purchase and business have to be made and operated by each applicant ⑤ At least 6 months have been passed from the previous termination date ⑥ Must have a valid bank account (under applicant’s name) in Japan ⑦ No involvement and relationship with gang and anti-social forces ＊USANA grants a married couple as one individual and married couple can only have one account . When either distributionship is terminated, the spouse is also granted as losing the distributionship. ● Regarding the above requirements and information filled in Application Form, USANA may ask you to submit a certificate or evidence to verify information ● Even if the applicant meets the above requirements, USANA has a sole discretion to decide whether we accept your application or not ● The contract implemented date for Associate is the day Starter Kit is shipped from USANA

■ PREFERRED CUSTOMER REQUIREMENTS Same as Associate Requirements ①, ②, ③, ④

■ RENEWAL OF ASSOCIATE MEMBERSHIP

Associate registration is effective for only one (1) year period. If Associate requests to renew its membership, the Associate has to pay an annual renewal fee of 2,200 JPY (tax in cluded) on the anniversary date of the Associate’s application. Renewal is all its sole decision and failure to renew after one (1) year is considered as voluntary cancellation and its membership will be terminated.

A BC is the hub of your business-building activity; it’s similar to opening a store for your business. Each BC has a Left and Right side where you can place your new members.

Each product has a point value, and the points from product sales will begin to flow up through your business when you and your team members purchase a product.

Commissions are awarded in CVP which is then converted to an Associate’s local currency. CVP is calculated by multiplying the GSV on a Business Center’s small side by 20%.

1 CVP is equivalent to US$1 and the commission will be paid according to the conversion rate preset by USANA.

■ GETTING STARTED 200P

Open a Business Center

Keep BC Active through Auto Order

Usana business starts with opening a Business Center (BC). To open 1 BC, you’ll need to generate 200 points in PSV. You can generate the required volume through a single order, or it can be accumulated through many orders.

To open 3 BCs (BC1, BC2, and BC3), you must generate 400 points in PSV.

A state in which you have the right to receive a commission is called ACTIVE. BC is only active for 4-week rolling cycle. In order to stay active, you must generate at least 100 points for 1 BC and 200 points for multiple BCs in PSV every 4-week rolling cycle. Setting up an Auto Order will help you keep your BC(s) active.

Share Usana & Build a Team

You start building your business by finding new customers and placing them on Left and Right side of your BC(s). Points are accrued to your BC(s) everytime your Left and Right teams purchase a product.

■ HOW TO EARN COMMISSIONS ● Keep BC Active You must keep your BC(s) active by achieving a minimum PSV requirement. If PSV falls below the minimum requirement, you will no longer be eligible for commissions and all points within your BC(s) will be erased.

● Begin to Build You can start building your business by finding and sponsoring 2 new Associates to join your team, and you can arrange them (e.g. Mr. A and Mr. B) as shown in Figure 1.

These new team members will form the left and right sides of your BC(s). When you sponsor 3 or more new Associates, you can place them under Mr. A or Mr. B. The points generated by your left and right side team will count toward your GSV. To get commissions efficiently, it is necessary to build your left and right side team evenly.

To activate multiple BCs, you need to purchase at least 200 points worth of products as PSV every 4-week rolling cycle.

However, it is also possible to keep only BC1 active and temporarily close BC2 and BC3 by purchasing 100 points.

● Rollover Volume The GSV on the left and right sides of your BC(s) aren’t always going to match. Any extra GSV (up to 5,000 points on each side) will rollover into the next commission period.

As long as you stay active, Rollover Volume will remain on your BC(s) until it reaches the minimum payout requirement.

If you have 1 BC, you can only earn commissions from one place, whereas you can earn commissions from three places if you have 3 BCs. Each BC has an upper limit of 5000 points on each side, so you can earn commissions up to 1000 CVP for 1 BC and 3000 CVP for 3 BCs.

● Calculating Commissions (CVP) CVP is based on where the left and right side of BC match.

It can be calculated by multiplying the GSV on a Business Center’s small side by 20%. The minimum payout will be at 125 GSV and the maximum is 5000 GSV on each side.

Each leadership level is earned as you produce specific volume requirements.

These requirements are based on the total base CVP generated in all of your BC(s) together. The levels of leadership are defined in the chart below.

■ ADDITIONAL BUSINESSS CENTER

When an Associate maximizes a Business Center (by generating 5,000 points in GSV on both the left and right sides of the Business Center), the Associate will be issued an electronic Additional-Business-Center Certificate in their account.

An Associate can receive a total of up to two certificates to open Additional Business Centers for each existing Business Center you have maxed. １） Conditions First two Additional Business Centers (BC4 and BC5) may be placed at the bottom of any side in your organization. However, future Additional Business Centers must be placed at least 10 Active BC1’s away from any of your previously existing Business Centers. ２） How to open and keep Additional BC Active Open the new Business Center by generating 200 points in PSV. Once you have opened your new Business Center, you can keep it and all other BCs active during each four-week rolling period by generating 200 points in PSV.

■ AUTO ORDER MAXED BC COMMISSION

For every Business Center Associates max out that generates at least 5,000 GSV per side in Auto Orders, will receive an additional 250 CVP payout on that Business Center. This CVP will count toward things like rank advancements, growth-based contests, elite bonus, and Million Dollar Club qualifications.

■ PACESETTER PROGRAM

The PaceSetter program rewards you for making a fast start, and allows you to maximize your potential Matching Bonus earnings. Your status is determined by the number of Associates and Preferred Customers you sponsor, the points they generate, and how soon you complete the task.

Annual status is only valid for one year.

The “annual” status means that every year on your enrollment anniversary, you are given eight weeks to renew your Annual PaceSetter status for another year by meeting the same requirements as shown on the left.

■ LEADERSHIP BONUS

If you have reached the rank of Gold Directors and above, you could earn a cut of three percent of USANA’s worldwide commissionable sales each week. Here's how it works.

1. Eligibility Requirements 1) Be a Gold Director or above.

2) Remain active by generating at least 100 points in Personal Sales Volume (PSV) for 1 Business Center and 200 PSV for 3 Business Centers during the current four-week period.

3) Help a minimum of one personally sponsored Associate qualify to earn his or her first commission check from USANA at the Sharer level or higher every four weeks. Or, if you are vested—meaning you have qualified for Leadership Bonus for five consecutive years—you will only need to help four personally sponsored Associates earn their first check from USANA at the Believer level or higher per year.* 4) Be available to your team by phone or other means of communication.

5) Actively train and supervise your team.

6) Do not participate in any other network marketing company.

2. How to Calculate Shares The amount of your Leadership Bonus is determined by the number of shares you earn, which is done by maxing out Business Centers (BC).

2) Number of Shares The number of Leadership Bonus shares you earn depends on how many Business Centers you have maxed out.

So if the pool was $160,000 and there were 1,000 shares between all the participating Associates, each share would be worth $160 (160,000/1,000).

■ ELITE BONUS

When we say elite, we mean it. No other word can possibly explain the amazing reward our top income earners get every quarter. We call it the Elite Bonus because that’s what it is—the best reward for the best of the best.

And here’s how it works:

Earn a Bonus as a Top Income Earner Each quarter, the top 60 income earners worldwide at the beginning of that quarter will receive a share of one percent of our total Sales Volume Points (SVP) earned—this shared total is usually more than $1 million per quarter! The amount you can earn depends on (a) your place in the top 60 income earners in the previous quarter, (b) the earnings from the current quarter, and (c) the absolute growth in Commission Volume Points (CVP) you achieve in the current quarter over the corresponding quarter of the prior year.

Quintile Pools The top 60 income earners are divided into five equal quintiles based on their income rank from the previous quarter. Each quintile gets its own portion of the overall Elite Bonus pool.

Income and Growth Shares Each quintile pool is divided into 45 shares—30 for income and 15 for growth. The twelve Associates within each quintile earn a number of “income shares” and “growth shares” as follows: ・The number of income shares is determined by the proportion of income an Associate contributes to the total income of all twelve Associates in the quintile. ・The number of growth shares is determined by the proportion of growth an Associate contributes to the total absolute CVP growth of the twelve Associates in the quintile.

Rules 1. In ranking the top 60 income earners, all sources of income in the previous quarter (commission, Leadership Bonus, global contests, etc.) will be included.

However, any Elite Bonus earned in the previous quarter will be excluded.

2. While the quintile an Associate is placed in is determined by his or her income in the previous quarter, the income shares and growth shares he or she receives is determined by his or her income in the current quarter. The Associate does not share in a higher quintile’s Elite Bonus, even if his or her income this quarter moves him or her into the higher quintile. The Associate’s rank this quarter will only determine his or her quintile in the next quarter.

3. Growth is measured by the absolute CVP growth versus the corresponding quarter of the previous year. Only the basic commission (CVP) is measured—all other income (Leadership Bonus, front-line commission, Elite Bonus, etc.) is excluded.

4. If an Associate’s income registers a negative growth, the growth amount will be considered zero when calculating the total growth of the quintile.

5. Here, the quintile’s growth shares will be calculated on a base of 165,000, excluding Amy. 6. An Associate must be qualified to receive Leadership Bonus and in compliance and good standing with his or her Associate Agreement and Policies and Procedures to be eligible for Elite Bonus.

7. If, for any reason, one or more of the top 60 income earners becomes ineligible to receive the Elite Bonus, the Associate immediately below in income rank will be moved up to replace him or her.

8. In the case of a tie in income earned in a quarter (say between the #19 and #20 positions), the Associate with the higher growth will be placed ahead of the one with the lower growth.

9. In calculating income shares and growth shares, the number of shares will be rounded to two decimal places. Please note that the number of individuals participating in the Elite Bonus may increase as sales increase. The number and frequency of individuals to be added has yet to be calculated.

■ CELAVIVE BONUS

An Associate will earn a 25% bonus of the tax-exclusive sales price for all Celavive products sold to personally sponsored Preferred Customers on their initial order of Celavive products. As such, points on this initial Celavive order do not accumulate or roll up the sales organization of the sponsoring Associate.

Additional Celavive orders to Preferred Customers will accumulate and roll up the sales organization as is the case in USANA’s current compensation plan.

The products we handle are dietary supplements, foods, and cosmetics. ※Please refer to Product Catalog and Price List for details and prices.

Orders are delivered from USANA Japan Shipping Center upon receipt of payment. It usually takes about three business days to deliver, but the time differs by each area. During year-end, Bon holiday, or under conditions of bad weather and unforeseen accidents may cause a delay.

How to Order

Voluntary Cancellation of Membership

■ Single/Regular Order

● Order by: telephone, fax, email, at Usana Japan office, or online (The Hub) Initial Order Reward ● New Associates can receive a 10% reward based on their initial order with setting up an Auto Order (except for Nutritional Packs, Celavive, Sales Aids and USANA Foundation) ● The reward will be split in half and paid during the next two automatically processed Auto Orders: 5% will be paid during the new Associate’s first weekend-processed Auto Order, and 5% will be paid during the second weekend-processed Auto Order. ● If your reward exceeds your Auto Order amount, your Auto Order would be zero yen.

Auto Order (AO) is an automatic, computer-generated, weekend-processed order of products conveniently delivered to your home (or pickup at office) every 4 or 8 week-cycle. A USANA member may cancel his/her membership agreement at any time, for any reason by submitting a notice in writing to USANA. Membership will be terminated upon receipt of notice.

Cooling-off / Product Return Cooling-off (termination within 30 days) for Associates If you wish to terminate your contract within 30 days from the later receipt date of USANA products or Starter Kit, please send a termination notice in writing to USANA. ・Membership and sales contract can be terminated regardless of reason. ・Cooling-off will become effective from the date when the document is posted (with postmark). ・You will not be asked to pay damages or penalties for cancelling the contract. ・All shipping charge for returning a Starter Kit and products are paid by USANA. ・USANA will refund full price of registration fee and purchased products. ・If an Associate has been threatened, misled or otherwise deceived, the cooling-off period will be extended 20 days after the sponsor provides you a document to dissolve cooling-off interference.

Product Returns after Cooling-off period All products (including promotional materials) purchased within one (1) year may be refunded one hundred percent (100%) of the purchase price under the following conditions. ① Must have an invoice ② Product must be sealed and never used ③ No damage ④ Product(s) must be returned to USANA until its date of expiration.

Associate must be responsible for the shipping fee and for any lost or damage in transit.

USANA may deduct earned commissions from the refund amount if commissions and bonus have been previously paid. If the total return amount excesses 30,000 JPY (tax incl.), membership will be terminated.

If there is a product return and refund between Associate and retail customer, USANA has collective responsibility with the Associate.

■ Compliance and Prohibited Practices

Business activity which USANA and Associates are engaged is regulated by the Specified Commercial Law which protects consumers and improves the product distribution, Pharmaceutical Law and regional rules. USANA is in compliance with the following practices when enrolling and recruiting new people. Associates are also required to be in compliance with the following practices when recruiting and entering into contracts. When Associates violate against the Law, rules and agreement with USANA, he or she may be punished by the Specified Commercial Law or Pharmaceutical Law, or USANA may give serious punishment based on USANA’s discretion. ① When visiting people for recruiting purpose, tell them your name, company name and the purpose of visit clearly ② Explain all necessary items clearly (e.g. not mentioning about Cooling-off policy on purpose is prohibited) ③ Never mention false and exaggerated statement about products, product quality, price, required charges, compensation plan, cancellation policy (e.g. making people feel as if earn commission is easy and guaranteed is prohibited) ④ To enter into contract or prevent or inhibit termination, never enforce or threaten people ⑤ Never invite people to seminars and meetings without providing clear purpose ⑥ Before advertising USANA by email, recipients’ agreement is required ⑦ Do not behave in a way that causes nuisance (e.g. persistent solicitation for a long period of time). ⑧ Provide Intro Kit and explain the details to make prospects understand well (especially explain cooling-off policy by showing it in written pages) ⑨ Never enroll and purchase products without agreement ⑩ Never pay for other people, introduce or help debts ⑪ When concluding a contract, do not force the product to be used or consumed in order to prevent the use of cooling-off ⑫ Never use the lack of judgment, knowledge, experience, and financial status of other people to engage in inappropriate recruiting activity ⑬ Do not buy or sell products beyond what you can reasonably consume and sell, or encourage other members to do so. ⑭ Sell USANA products in its original condition (acts such as relabeling, repackaging the product, and refilling the contents with non USANA products could be against the local law) ⑮ Provide retail receipts when retailing products. Keep the receipt copy for 5 years. When retail customer requests for cooling-off, respond promptly ⑯ Never be engaged in activity against public orders and morals

Personal Information to the Third Party USANA’s obtained personal information may be disclosed to the following third parties as long as it is necessary for USANA business; ・ To upline Associates (including the disclosure on Team Manager Service) ・ To venders who have a business relationship with USANA ・ Banking facilities (to pay commission, bonus and resolve business related matters) ・ When courts, police and other government agencies request us To request for disclosing, revising, removing personal information, please contact USANA Japan Customer Service.

Owned Personal Information Personal information obtained from Associates and Preferred Customers are used for following purposes. ・ To enter into contracts and maintain personal information for newly enrolled Associates and Preferred Customers. ・ To provide services related to placing orders and product return. ・ To promote campaign, USANA hosted seminars, new product informa tion and other USANA information. ・ To pay commission and bonus. ・ To generate the business activity within groups by providing each sales performance to upline Associates (including the disclosure on Team Manager Service).
