Founder’s Statement PrivateInvest has been built deliberately - through cycles, complexity, and scrutiny with the long term objective of creating a disciplined private investment house capable of protecting and compounding capital over decades.

PrivateInvest has reached a defining point in its evolution.

Over more than a decade, the business has been deliberately built through market cycles, regulatory change, and periods of real stress across property and credit markets. What began as a specialist lending capability anchored in deep property experience has matured into a fully integrated Private Investment House and Fund Manager with exceptional governance, scalable systems, and a disciplined capital philosophy.

This document has been prepared to clearly articulate what PrivateInvest is today - a platform that aggregates, governs, deploys, and protects private capital across real estate credit and equity strategies. It reflects the lessons learned from both success and adversity, including complex loan workouts, market dislocations, and the increasing regulatory scrutiny now shaping the private credit sector. We have now surpassed being just another “non bank lender”.

Executive Overview PrivateInvest has transitioned from a specialist lending capability into a scalable, professionally aligned private investment platform with recurring revenue, disciplined governance, and demonstrable enterprise value.

PrivateInvest today operates as a Private Investment House and Fund Manager specialising in real estate credit and selective equity strategies. The business has moved beyond the characteristics of a founder-dependent lending operation and now demonstrates the structural attributes of a scalable, professionally aligned investment platform.

The period from FY21 to FY25 represents a clear inflection point. During this time, PrivateInvest transitioned from capability building and capital formation into sustained profitability, recurring fee income, positive equity, and materially improved operating leverage. Funds under management expanded from approximately $21 million to more than $99 million, supported by a growing base of high net worth, ultra high net worth, and family office. Target Funds under management is forecast to achieve $500 million by FY 2028 where the business will maintain at that level supported by strong capital in-flow, diversified income streams, deep governance infrastructure, and an increasing defensible position in the Australian mid-market credit sector.

This evolution has been underpinned by reinvestment into systems, governance, and people. Rather than accelerating growth prematurely, PrivateInvest focused on building the infrastructure required to responsibly manage scale including a next generation loan management system, a proprietary AI enabled knowledge platform and enhanced compliance frameworks.

PrivateInvest now demonstrates the characteristics required to support both discounted cash flow and EBITDA multiple valuation methodologies for the valuation of its business and platform. Revenue is increasingly recurring and predictable, margins have expanded as scale has been achieved, and operational reliance on incremental headcount has reduced through technology and workflow design.

Importantly, the platform has been tested under pressure. Complex second mortgage workouts, delayed planning approvals, and stressed counterparties have provided real world validation of PrivateInvest’s legal documentation, governance discipline, and management capability. These experiences have strengthened the platform and reinforced the firm’s focus on capital preservation and downside control.

From Non Bank Lender to Private Investment House The term “non bank lender” has become increasingly broad and, in many cases, unhelpful. It captures a wide spectrum of participants - from highly regulated institutional managers to lightly governed operators with limited infrastructure. As PrivateInvest has evolved, this label no longer accurately reflects the nature or depth of the business.

PrivateInvest operates as a Private Investment House and Fund Manager because it performs the full investment lifecycle: aggregating capital, underwriting risk, structuring investments, managing assets through to realisation, and maintaining ongoing fiduciary oversight. This is fundamentally different from a transactional lending model focused solely on loan origination.

Regulatory scrutiny across the private credit sector has further reinforced this distinction. ASIC’s increasing focus on disclosure, liquidity alignment, risk language, and governance has raised expectations for managers operating in this space. PrivateInvest’s response has not been reactive; governance discipline, conservative disclosure, and alignment between asset duration and investor liquidity have been embedded for many years.

This positioning also reflects a long term mindset.
