ARB DESIGN & CONSTRUCTION GUIDELINES: 2024 AMENDMENTS
The ARB's Design & Construction Guidelines have been in effect since January 1, 2022. The ARB seeks annual improvements to the D&CGs to enhance clarity and functionality for homeowners and professionals. After receiving community feedback this Spring, the Board approved the D&CG amendments.
The approved amendments include:
• Added language in the "Exterior Lighting" section for the Town of HHI Sea Turtle Protection Ordinance with regards to exterior light fixtures that are visible from the beach.
• Provided more details regarding "Two Habitable Stories" and what defines “habitable."
• Added in the "Color Sections" language regarding the use of duplicate colors on homes that are close in proximity and what defines “close in proximity.” The verbiage has always been incorporated in the paint application but was never documented in the Guidelines.
• Provided more details regarding demolition, specifically with regards to the removal of the habitable floors of the home.

REMINDER: NO WAKE ZONE
The entire lagoon and freshwater lakes are no-wake zones. Care should be taken to keep engine throttles in the low position in order to preserve our shorelines. This requires that all boaters properly regulate and vary their speed based upon boat weight and hull shape so as to minimize erosion of the banks. Wakes accelerate shoreline erosion, resulting in the need for costly dredging of the bottom and potential bank repairs, and can cause damage to wildlife, other boats/kayaks and the people in them.

Chairman's Report
As my term as chair comes to an end, I reflect on how quickly these past three years have flown by. It has been an honor and a pleasure to serve as a board member and chair, and I am grateful for the opportunity.
Recently, I attended the New Owners Orientation, which is held quarterly and supported by our dedicated New Owners Subcommittee. They go above and beyond to reach out to new owners through text, phone, and email, ensuring they feel welcomed and informed about our community. During the orientation, I shared some of the board’s priorities and highlights from the PDPOA’s Strategic Plan, which offers many ways for owners to get involved.
As we approach the quieter season, community activities supported by the Administration and the Social Subcommittee are ramping up. Don’t miss the upcoming Family BBQ and Beach Day on Saturday, September 14 at Palmetto Dunes Beach Park, located near the Disney Club House. This event provides a great chance to enjoy the beach and take advantage of the park's amenities, including parking, restrooms, and showers.
Following last year’s successful Community Open House and BBQ, we’re excited to make it an annual event. Join us for a free lunch in the Admin & Security parking lot and take the opportunity to meet and greet PDPOA staff and fellow neighbors and tour the facility on Thursday, September 26. See our amazing staff and the resources the association has in action.
Mark your calendars for the Annual Oyster Roast on November 6th at the Omni Shorehouse. This popular event sells out quickly, so be sure to get your tickets early. You can find details on other events at PDPOA Events.
This year, we’re providing the option for electronic voting on Board Candidates and the proposed bylaw amendments. Members can also vote by mail. An email with instructions will be sent to each owner, and Vote Now, a thirdparty firm, will handle the distribution, collection, and counting of the ballots.


If passed, the proposed bylaw amendment will provide the board with more flexibility in managing the association, based on its evolving needs. It also includes recognizing the Hearing Board as a standing committee. Although established in our governing documents, it hasn’t been officially listed in our bylaws. The Hearing Board plays a crucial role in reviewing appeals and making decisions regarding citations.
Lastly, don’t forget the PDPOA Annual Membership Meeting on October 12th at the Omni. Join us for a continental breakfast and neighborly chat starting at 7:45 AM, with the meeting itself beginning at 9:00 AM. There will also be a virtual attendance option. Last year’s bylaw change allows members attending virtually to be counted as present and vote on business items electronically during the meeting. We will announce the results of the bylaw amendment and board election during the meeting.

Voting for Election of Directors and Bylaw Amendments
The election of directors and a bylaw amendment vote will be held prior to and separate from the Annual Meeting. This year’s election of directors and bylaw amendment vote will be held September 1 through October 1, 2024, with the results announced at the Annual Meeting.
Ballots were emailed to owners on September 1, 2024. Owners who did not opt-in for electronic communications were also mailed a ballot by USPS.
All ballots must be cast electronically or postmarked by October 1, 2024 in order to be counted.
The purpose of the proposed amendment(s) is to allow the Board flexibility in defining and hiring for the administrative leadership role for the Association. Also, the current bylaws do not contain any reference
to the Hearing Board. The board felt it was important to add the Hearing Board as a standing committee and clarify that the board can establish committees or ad hoc advisory groups. A redline of the proposed bylaw amendments can be found at www.pdpoa.org/bylaws.
Each residential lot and multi-family unit property is entitled to one vote. If you own more than one property, you will receive the appropriate number of ballots per property ownership (or the appropriate number of codes to vote electronically.) Once cast, your vote may not be changed or withdrawn.

ANNUAL MEETING & PROXY CARDS
The 2024 Annual Meeting of the Palmetto Dunes Property Owners Association, Inc. will be held on Saturday, October 12 at the Omni Resort. Owners can check-in to the meeting and enjoy a continental breakfast buffet while visiting with neighbors from 7:45-9am. The meeting will start promptly at 9am.
This year, the Association has partnered with GetQuorum, a technology platform, to streamline the proxy card solicitation process and enhance remote participation options for members. GetQuorum initiated communication with members via email, inviting them to opt-in for electronic proxy cards and remote meeting attendance.
Please complete your online proxy card, even if you do plan to attend the meeting in-person. Having proxy cards submitted prior to the meeting will help us achieve a quorum to hold the meeting. Proxy cards may be rescinded in-person or online the day of the Annual Meeting.

Please note that we were unaware when scheduling the Annual Meeting that it scheduled on a religious holiday, but the Board felt it was important to stick to the original meeting date. We assure you we will double-check all religious calendars before scheduling meetings in the future. If you cannot attend the meeting due to the religious holiday, please submit any questions to a board member prior to the meeting and they will be included in the member comment section that will be recorded.

Article III, Section 11.
Purpose:

This amendment will allow the current and future boards flexibility to title the position leading the organization from among three titles as the Board at the time deems it necessary to reflect the job responsibilities.
Article V, Section 1.a.
Purpose:
This amendment removes the language concerning setting a portion of the Chief Executive Officer’s compensation that is in the current CEO employment contract as it will no longer be necessary after expiration of the contract on Dec. 31, 2024. It makes other conforming edits.
Article V, Section 1.e.
Purpose:
The covenant amendments of 2004 established the Hearing Board, but it has not been mentioned in the bylaws. Recognition of the Hearing Board as a committee in the by-laws recognizes the board as a standing committee.

With regard to the Bylaw Amendment Vote, no less than 15% of the Members must vote to satisfy quorum requirements and more than 50% of the Members voting must vote in favor of the amendments for the same to be approved. If approved, the Bylaw amendments will be effective as of the date of the Annual Meeting.
In accordance with the Bylaws, Article XI, Section 2, the Board of Directors by vote at its July 30, 2024 Board Meeting approved the proposed Bylaw Amendments set forth below for consideration by the Members.

Article V, Section 2.
Purpose:
The language of the current bylaws allows the Board of Directors to establish ad hoc advisory groups. The proposed bylaw amendment clarifies the Board of Directors may establish and call these groups or committees.
Article VII, Section 1.a.
Purpose:
Adds "agents" to the list of those the Board may approve as authorized signatories on accounts to allow the Board the flexibility to address contingencies to carry in the required business of the association.
Article IX, Section 1. 2. and 3.
Purpose:
The title of the position employed by the board has varied in the past as required by membership approved bylaws. This amendment retitles the section “Management”, to reflect the function addressed rather than a position title. This amendment will allow the current and future boards flexibility to title the position leading the organization from among three titles as the Board at the time deems it necessary to reflect the job responsibilities in addition, it removes the individual hired by the association as the General Manager/ Chief Operating Officer/Chief Executive Officer as a non-voting ex officio member of the board and allows that individual to be excused by the chairperson from the required attendance at a board meeting, as necessary. It also includes the word “specifically” to the language concerning approval of agreements by the board.

Karen Booth 1 SHELLEY CT.
Born and raised in Connecticut, Karen had a successful career in Commercial Banking. She recently retired from Wells Fargo Bank, where she managed a team of banking professionals, who provided loans, treasury and other banking products to private and public corporations. Over the years Karen developed strong business relationships with clients, colleagues, community leaders, and not-for-profit organizations. Karen gained experience by supporting a diverse client base that included manufacturers, retailers, service businesses, hospitality, and real estate. Karen holds a BA and MBA degree in Finance.
Palmetto Dunes has been a part of Kar-
en’s life since 1987, when her parents built a second home & they eventually resided. Over the years, Karen’s family spent vacations, holidays and frequent visits to PD. Although she has seen significant growth and change since 1987, Karen proudly states that PD will always be considered “home” to her entire family. Karen and her husband Peter took ownership of the home in 2008, and recently completed a full renovation. They are excited to now reside in PD.
Why do you want to serve on the PDPOA Board of Directors? Is there anything in particular you would like to accomplish?
PD has been a part of my family (including 4th generation), for over 35 years. I am committed to the PD community and will seek to make improvements whenever possible for our future generations. I believe that my financial analysis, business negotiation and strategic planning skills will allow me to make meaningful contributions to the POPOA Board & fellow property owners. As a board member, I would like to obtain a deep understanding of issues as they arise; make sure there is open and effective communication among owners to make informed decisions; and work together to create a stronger community.
What do you see as the most important challenges facing Palmetto Dunes in the next 5 years?
Some challenges include:
• A timely and successful search for an experienced and qualified general manager.
• The property owners within PD are varied (full time residents, non-renters and investors/ rent short term) and often have different priorities. It is important to balance the needs of each group; yet ensure that PD will remain a top choice and attract new families who will reside and strengthen our future.
• Enhanced amenities for residents that are comparable to other Hilton Head communities (playgrounds, pool).
• Seek efficiencies in ARB & ease of doing business
• Security, resort maintenance, traffic management.

Barbara McFadden
If my face is familiar to you, it’s likely you live in Mariners and have seen me and my dog Hunter out walking or remember me from my time on the PD Board in 2009-2012.
We bought our first PD property, a Fazio condo, in 1986. This led to a home (garage needed) in 2000 and full-time residency in 2002. My Mother was also an active Queen’s Grant resident from 1988-2020.

Whitehurst
Lee and his wife Debbie bought their home in PD and started living part-time in HHI in 2015. They fell in love with the Lowcountry and became full-time residents in 2021. Previously, they lived in the mountains of West Virginia and spent 25 years in Northern Virginia.
Lee was a geologist and environmental scientist for thirty years, having worked for the State of WV and then the US Environmental Protection Agency. The focus of his work involved developing and
I am a recovering attorney turned businesswoman. I served as law clerk to a judge, worked in a Federal Agency as trial attorney, and joined the IBM General Counsel’s Office, serving in the US and abroad for 25 years in various legal capacities, retiring in a business role as Vice President for International Transactions. For my next act, I opened a small legal practice in Bluffton focused on all aspects of Elder Law and was active in the Rotary Club of Okatie, serving twice as Club President. Now fully retired, I look forward to once again serving our community.
Why do you want to serve on the PDPOA Board of Directors? Is there anything in particular you would like to accomplish?
As stated above, I have owned property and lived in Palmetto Dunes for 38 years. It is my home. There are multiple complex issues facing our community as infrastructure matures and our demographics evolve. My motivation for rejoining the Palmetto Dunes Board is this inflexion point. Many of the challenges and opportunities facing our broader Island community also face PD. We must decide now how we best preserve our quality of life and the things that attracted each of us to PD originally while meeting needs of the evolving demographics of our owners, visitors and businesses.
What do you see as the most important challenges facing Palmetto Dunes in the next 5 years?
I have spent my life listening to clients, customers, and colleagues, working to understand concerns, interests and goals, developing creative solutions to meet expectations and successfully negotiating resolutions. I am well able to communicate complex information in an understandable manner. I believe this experience and my past Board service will help our community navigate our present environment and set our course for the future. I have no set Agenda except to listen, understand and help develop winning community solutions for our current needs while assuring our future, all in a fiscally responsible manner. I look forward to the next three years.

Since his teenage years, Lee has been interested in building and playing stringed instruments. After retiring, he trained as a luthier and opened an instrument repair business. Lee loves playing banjo and guitar, cycling, walking in the community and on the beach, captaining his boat on the lagoon while observing wildlife, and enjoying all the theater and music events this wonderful island has to offer.
Lee served for six years on the POA board of his WV community. Currently, he’s serving on PD’s Sustainment and Stewardship Committee.
Why do you want to serve on the PDPOA Board of Directors? Is there anything in particular you would like to accomplish?
He believes that it’s important for residents to become involved in helping to set the direction for PD as it evolves and new challenges emerge. He feels that he can bring value to the PD board through the experiences he gained from his work life and previous WV board activities. Lee has witnessed several “near accidents” occurring between bicyclists and cars in our community. If he is selected for the Board, he would like to focus on creative ways of enhancing safety and compliance for bikers through education, improved signage, and incentives through our own PD bike ambassador program.
What do you see as the most important challenges facing Palmetto Dunes in the next 5 years?
Lee, Debbie, and Jethro are frequent walkers of the community and beach and truly enjoy engaging with residents and visitors they encounter. The number one issue they hear about from residents is the concern about losing the residential feel of our beloved community. Lee feels that it is critical for the Board and Association to stay aware of this concern and always strive to establish and maintain the proper balance between the needs of residents who call PD their home and the owners of rental properties.

Thanksgiving Turtle Trot 5k
The Association will host its fourth annual Thanksgiving Turtle Trot 5K on Thanksgiving Day-Thursday, November 28, 2024. The family-friendly Turtle Trot is a 5-kilometer run/walk on Palmetto Dunes' beautiful beach The race starts at 9am from the Dunes House. Registration is $35 for adults and $20 for kids 12 and under. Race registration includes a t-shirt.

Race proceeds benefit Palmetto Dunes Cares, a charitable organization whose motto is: giving back while building community. Its mission is to support local youth and enhance the natural environment in the greater Hilton Head Island area through grants and scholarships.

Treasurer's Report

In my last article for the Perspective, I wrote about the importance of reserves. In the meantime, we have completed an updated infrastructure analysis. The association formally updates its infrastructure analysis every 5 years or so to make sure that we are properly reserved. In the years between formal studies, Management updates estimates based on known conditions.
PDPOA contracted with a company called Infrastructure Consulting and Engineering (ICE) from Columbia, South Carolina to perform this most recent study. The scope of the analysis was all infrastructure managed by the PDPOA. The main areas under review were Roads, Bridges, Storm Drainage and Sidewalks. Their reports were received in the last few weeks and their findings were presented to Andrew Schumacher, Matt Nemes and myself. This infrastructure analysis forms the basis of our reserve study and percent reserved calculations.
One important conclusion from this work is that our bridges have a longer useful life than previously thought. Achieving this longer useful life will require a diligent, annual bridge inspection and preventative maintenance program, but this should forestall our next bridge replacement until 2040, rather than 2026 that was in the current reserve analysis. This is always contingent on Mother Nature not visiting us with a major storm that accelerates deterioration of our infrastructure. ICE also recommended that we continue our current approach to bridge building. According
to ICE, “Pre-stressed concrete hollow core beam construction on concrete pilings is very cost and time efficient. This is a very common and proven design and is widely used by SCDOT (South Carolina Department of Transportation) for similar spans. The costs are very competitive with other types.” Of course, now that we have 15 years before our next bridge needs to be replaced, we will continue to monitor developments in bridge construction and will be prepared to evaluate any alternatives that are viable at that point in time.
ICE completed a very thorough review of all 54 road segments, 3 pathways and one parking lot managed by the PDPOA. ICE found that currently 33% of our roads are in Excellent condition, 21% in Good condition, 26% Fair and 20% Poor. The plan that they have presented to us is to get all roads into the Excellent or Good condition by 2031 and then maintain them at those levels into the future. Roadways in Fair and Poor condition will be prioritized until all are at the Excellent or Good level.
Lastly, ICE reviewed our storm drainage infrastructure. We have been updating our drainage as we replace roads and bridges and this will continue to be coordinated in the future.
Roads, bridges and drainage will make up the bulk of our capital spending and will generally take priority as we make choices about what we can afford each year. However, there will always be other projects that address safety and security as well as improving the quality of life for residents and visitors and we will consider those as they are proposed.
