The final proposal is repetitive of an amendment defeated at last year’s annual meeting. Our board executive committee, composed of three duly elected volunteer board members is occasionally called upon to address personnel issues with our board or administrative team and to perform contractually obligated acts. While this committee does not do much, it does save our committed and already hard-working board time and it allows issues to be resolved in a timely manner. Again, the group proposing this bylaw cites incorrection information when lobbying for this misguided attempt for improvement. The board executive committee does not determine nor approve our CEO’s compensation. The charter for the Executive Committee was rewritten last year to include input from our entire board on our CEO’s performance. There is nothing to be gained from this repetitious, falsely promoted, PDamendment.isbeautiful!
For me, summer passed all too quickly and now that we are looking at the fall months, I find myself reflecting on two of the major benefits of our Palmetto Dunes (PD) Community. First, the talented and generous people who live and work here and second, the fact that our property owner’s association is well organized and well run. Our board and administration have encountered hurdles in the past, but now we are facing five proposed bylaw amendments that will do nothing to improve the operation of our association. The principle promoter offers, “Palmetto Dunes is a wonderful place already!" How can we expect to maintain the beauty and functionality of our community by establishing bylaws that prevent the smooth and responsive operation of our administrative team and create impractical restrictions as to the governance of our association? Have you ever attended a productive meeting with 2100 participants? I have not. Perhaps you own stock in a public company. I am unaware of any stockholder’s meeting that tries to enable every owner to participate remotely. How can a meeting with 2000 attendees be managed? How long would such a meeting last? This October PD owners can attend our annual meeting in person and can vote their position. If you cannot be present, you can give your proxy to our board secretary, so your vote can be counted. You can watch the meeting online and you can hear the discussion and results of all votes. There is simply no realistic expectation I can chair a productive annual meeting if a large percentage of our 2172 owners participate, physically or virtually. Let’s continue to have productive annual Howmeetings!about requiring a community vote when the association commits more than $500,000 to any expenditure? Do you realistically think our board and administration can sufficiently educate every owner, so they can cast an informed vote on several topics throughout the year? The group proposing this bylaw amendment cited incorrect facts in their argument. Specifically, our board voted to authorize $100,000 last September to begin investigating the design of the Sea Lane Bridge. The authors of this bylaw cite this was never done. How can this group offer the entire community can be educated on any given topic when they can’t get their facts straight? This proposal will handcuff our association spending and create chaos. The board takes their fiscal management responsibilities very seriously and commits funds after thorough research on each topic. We can’t give this requirement to our owners and expect positive results.
Finally, as you consider your selections to fill three board positions, I trust you will choose owners as committed to developing a positive future as those serving on your board today. Our community faces a multitude of options to make Palmetto Dunes the best residential resort community on the east coast and a better place for those who live, invest, work, and play here. We need committed, available, neighbors willing to work hard as a team, on many topics to realize the potential of our slice of Becomingparadise.a member of our PD Board of Directors is an honor and involves significant work. I encourage you to make your selections with a broad perspective as to who will work hardest to benefit our entire community. This does not happen by accident. Our board and administrative team work diligently to maintain the appearance, smooth operation, and excellent fiscal management of our association. Please do not hinder the operation of our governing bodies by passing these ill-conceived and falsely promoted amendments.
Have you ever contracted someone to provide a service? Did you pay them? Our association transition documents record an agreement between our PDPOA and Greenwood that both these partners will have votes in our community decisions. We may not like this arrangement and we may want to change it, but we are party to a contractual agreement. If desired, we need to renegotiate the contract, not declare our dissatisfaction with the current situation and invite a lawsuit by intentionally breaking a contract. This proposed bylaw amendment is irresponsible and could result in significant legal costs for our association should we support a bylaw amendment that breaks our contract.
The transition documents between the Association and Greenwood iterate our association rights to influence covenants to which our association is a party. For example, our covenants clearly state each single-family homeowner has the right to vote when a change impacting the single-family covenants is considered. The proposed covenant change offers no additional rights to our association. Our association will not have a vote if the covenants governing the Disney property are changed. The same is true about the Marriott and Omni. Why consider rewording a covenant change that does not offer real benefit? Bylaw changes should be developed to add value. We should not waste effort on rewording our detailed governing documents unless we materially gain from the effort.

In addition, this could severely impact large annual operating expenses including pay ing our employees, maintaining our lagoon system, and our landscaping contract. Also, we would no longer have the ability to exercise the Associations first right of purchase of residential properties as we do today within the 30-day notice require ment. If we wanted to buy property for our own beachfront amenity, for example, there is no way we could educate, imple ment and execute a community vote within the required 30-day window. We could never make a strategic acquisition again. The bylaw implies that the Board of Direc tors, your fellow neighbors and property owners, are spending YOUR money inap propriately and in an uncontrolled manner without input and authorization of owners. If you look at the financial position and an nual operating performance, our balance sheet is strong, and our spending controls are tight. So tight that we continue to add to our overall Fund Balances each and every year while keeping YOUR annual assessment FLAT. As of the end of July 2022, we have $22.8 million dollars in the various funds (described in my article in May 2022 Perspective) and are on track for our seventeenth consecutive year of posi tive income. In the proposed amendment it specifically highlights two examples where the Board allegedly spent inappropriately. First, it claims the Board violated the Association’s policy for the Sea Lane Bridge. This state ment is a simply not true. The board ap proved $100,000 at the September 2021 board meeting for soft costs to replace the Sea Lane Bridge. These include surveying, civil and structural engineering, stormwa ter modeling and permitting. To date the Association has incurred $36,275 of that APPROVED budget. The board approved the remainder of funding at the August Board Meeting. In addition, our new proj ect manager, Jeff Starr, recently reached out to our Structural Engineering Firm to

I hope everyone’s summer is going well! I am sure you are like me and feel extremely fortunate to live full time, part-time or in vest in Palmetto Dunes. It continues to be one of the most desired communities in the southeast. Our community is beautifully landscaped, has a unique and precious lagoon system and a natural beauty that rivals any on the island or surrounding I’darea.like to call your attention to a poten tially devastating bylaw amendment that will be presented to the membership for their consideration at the Annual Meeting in October. If approved, this amendment would significantly jeopardize our abil ity to maintain our beautiful community, negatively impact us financially, and could significantly hamper a reinvestment in the aging infrastructure. It is critical that we reject this detrimental bylaw amendment, as it could potentially have catastrophic implications to our community. First, a quick background on bylaw amendments. The members may propose an amendment to the bylaws by a written proposal signed by one hundred (100) or more members. The amendment is then required to be presented to the member ship at the next regular Annual Meeting. This particular bylaw amendment is pro posing that anytime the Association has an expenditure or financial commitment exceeding $500,000, the Association must first obtain approval from the membership. Per the bylaw proposal, we would need a MIMIMUM of 25% of owners to respond (543 owners) and have at least 66.7% ap prove the expenditure or it fails. This bylaw amendment would cripple our community in so many ways. Imagine if we have a hurricane hit our community, like Matthew did a few years ago. To approve the storm clean-up expenditure, we would have to facilitate a vote of the owners. Without at least 25% of the own ers responding, we would not be able to authorize our preferred vendors to initiate storm clean-up efforts. Imagine all of the other communities on the island are up and running after a hurricane while PD is facilitating approval from the membership.
Months where there would be no repairs to homes, no rental income, and significant and most likely irreversible damage to property values. A two-thirds (2/3) hurdle is a high threshold and in certain situations getting 66.7% of the community to vote on critical capital projects impacting smaller sec tions of our community would be difficult to obtain. Would the majority of owners be concerned about large capital projects impacting small sections of our community, let alone cast a vote for the replacement of the bridge on Full Sweep that impacts approximately 40 owners? Or the Infra structure on the Northern T-Streets (Night Harbor, Long Boat and Man O War)?

Any member of the Palmetto Dunes Property Owners Association may propose an amendment to the bylaws by a written proposal signed by one hundred (100) or more Members. The amendment shall then be presented to the Membership at Annual Meeting. As prepare for 2022 Annual Meeting this fall, the Board of Directors has received (5) proposed amendments to be voted on by the Membership. The Board has thoroughly reviewed these proposed amendments including review by legal counsel and has voted not to support any of the five (5). The second example highlights the purchase of 7 Lee Shore as inappropri ate. The board has done extensive work in the past evaluating alternatives for that property and more work has been done this year. Now that the Dunes House decision is completed, we will look to share proposals for the property and solicit community feedback soon. Lee Shore was purchased for $2,050,000. Estimates are the property is worth north of $3 million, prob ably way north of that. A 46% ROI. You may not agree with the purchase of the property, but I think most members of our community would say a 46% return is very appropriate. Please take the time and fill out your proxy card and ensure it gets to our Board Secretary, Mark Carrol if you can’t attend the October annual meet ing. The future of our community will be depending on us to vote NO to this proposed bylaw amendment.

In June, our former Director of Planning and Property Operations, Ben Brown, left the organization to pursue an opportunity with the Town of Hilton Head. During his 8-year tenure with the PDPOA, Ben successfully es tablished a strong set of guiding principles with respect to infrastructure improve ments within our community. Although his departure certainly left a void within the POA team, we saw an opportunity to reimag ine and improve upon those core principles, with a focus on efficiencies, organizational culture, and bolstering the quality of service provided to those who live, invest, work, and play here in Palmetto Dunes. After the transition in 2006, the organization commissioned a Reserve Study to calculate the remaining useful life of community as sets and infrastructure. In 2013, an engi neering firm was engaged to qualify and re vise the Reserve Study, which is an integral component of long-term project planning. In accordance with the infrastructure re placement plans that have been established dating back to 2014, the Projects & Facilities Team is excited to implement approximately $30 million of planned improvement proj ects over the next 10 years. In May, we completed our most recent drain age infrastructure improvement project on Port Tack at the intersection of Down Wind. Historically, this area experienced signifi cant flooding conditions after moderate to heavy rainfall. The scope of improvements included the installation of nearly 200 feet of new drainpipe, two new stormwater in lets, and the integration of shallow swales to aid in surface drainage. Since these im provements were implemented, we have not observed any flooding or standing water in this Startingarea.
The scope of this work will span from the intersections of Iron Clad and Port Tack. We will install over 600 linear feet of new drain pipe and add two new drain inlets to allevi ate roadway flooding and excessive standing water conditions that have impacted mul tiple residents along this section of Moor ing Buoy. This infrastructure work will also support our larger-scale redevelopment of Mooring Buoy, which is tentatively sched uled for 2023. The planned redevelopment of Mooring Buoy (from the 3-way stop to Port Tack) will be very similar in scope to the redevel opment of Sea Lane in 2021, including the installation of new stormwater drainage in frastructure (which will support future con nectivity to the t-streets), the replacement of Broad Creek Public Service District’s aging domestic waterlines, establishing dedicated 8-foot-wide leisure pathways with adjacent greenspaces, landscaping enhancements, and full replacement of the roadway.
In addition to a complete replacement of the bridge structure, the full scope of work will include the relocation of the dedicated leisure pathway, integration of adjacent

Al though this work was originally projected for 2023/2024 (per the Reserve Study), con tractor and material availability has allowed PDPOA to push up the schedule.
Queens Folly Boat Launch during Construction

in June, we began work on the Queen’s Folly Boat Landing Enhancement project. Improvements included installing new concrete wheel paths, a new concrete panel on the launch ramp to properly ac commodate boat trailers with a wider ap proach into the water, a new 28-foot-long fixed dock, and several landscaping en hancements. At the time of this publication, the project is near full completion, with only minor details outstanding. If you have time, please take a moment to stop by the boat launch and view this great transformation that was managed by our Facilities Manager, Sydney Wan, with support from the Facili ties Maintenance Team. As the fall season approaches, the PDPOA Projects & Facilities Team is focusing efforts on the coordination of two significant infra structure projects. Immediately following the Labor Day Holiday, work is scheduled to commence for stormwater drainage im provements on Mooring Buoy.

The proposed Dunes House Parking rede velopment will address issues related to safety and traffic congestion. Under the redevelopment plan, parking capacity will be increased from 58 to 67 spaces, with the elimination of spaces on unimproved surfaces (dirt & stone). Also included are dedicated spaces for ADA (handicap), EV (electric vehicle), compact vehicles, as well as the Dunes Buggy, and increased bicycle parking accommodations.

The noted pathway and greenspace work will complete improvements that were integrated during the Sea Lane redevelop ment project in 2021. Drainage infrastruc ture improvements, which include larger diameter reinforced concrete pipes, will increase stormwater drainage capacity in consideration for future infrastructure improvements during the redevelopment of Mooring Buoy. The sequencing of sub sequent projects, including the redevelop ment of Mooring Bouy and improvements to the t-streets, is contingent on the re placement of the Sea Lane bridge and the associated drainage infrastructure.

Our own investments in Palmetto Dunes have always been with an eye towards the long term. I want my children and eventu ally grandchildren to enjoy Palmetto Dunes as much as we have. I would make certain that decisions that we take ensure that it is around and in solid shape for them. My ex perience in strategic planning, capital proj ects, and financial management can help make good use of owners’ resources on the most important projects. In particular, let’s make the Dunes House a world class ame nity and work to improve security and net work access across the property.
Bob and his wife Sue have owned three different properties in Palmetto Dunes over the 20+ years they’ve been visiting the island. As their three chil dren have grown, they have invested in and improved each property while they moved around the world. Prior to retirement, Bob worked for the consumer products com pany Unilever for almost 30 years as a Vice President for Supply Chain and Finance in various business units and locations.
We are coming off a few years of very sol id financial results. We should use these strong years to continue to build our re serves and deal with any items that have been put off rather than try to take on new, large projects. Also, we should continue to make Palmetto Dunes the best community for our owners, for all those who vacation here, but also for those who work here to provide for their families through contin ued monitoring and enhancement in the employer of choice programs.
As noted in my bio, my professional expe rience as either the paid President of three POAs or legal advisor to numerous others provides a relevant skill set to offer to PD. The particular goals I would like to see ac complished start with ensuring best prac tices in terms of board governance, provid ing transparency to owners on the front end of major board decisions, allowing owners a forum to be heard and striving to treat all parties fairly. Ideally, we would also estab lish a culture of trust among all groups. What do you see as the most important challenges facing Palmetto Dunes in the next 5 years? Dunes House versus alternatives where owners can gather and socialize. How to best address the competing concerns of the greatest number of people. Security – after having served during the past year on the PD Safety and Security committee, there is an important issue re garding how to manage or control non-pay ing third parties into PD via Dunes Buggy, Marriott, etc. Striking the right balance between perma nent owners and short term renters.

A sampling of my non-profit civic board ac tivity includes the United Way, Rotary, Ten nesseans for Student Success, the Salvation Army and various other education and arts groups. We first came to HHI 26 years ago. I am married to a judge and we have four children. We are daily pickleballers and bi cyclists at PD. I have had two careers, the first in business and the second in law where I have served professionally as the President of three POAs for an overseas cli ent as well as providing legal counsel to sev eral other POAs. It is that particular experi ence which led me to seek a PD board seat after having served on the PD Nominating and Security committees the last two years. I attended Vanderbilt University for my MBA and Washington University in St. Louis for my J.D. My business background includes investment banking and turnaround con sulting before purchasing a manufacturing company out of bankruptcy and restoring it to profitability in one year. I understand financial statements and am willing to chal lenge the status quo if needed.
Palmetto Dunes has been the constant in their lives as they have always vacationed here and rented out the properties when they were away. They plan to spend more of the year in Hilton Head; but the Chicago area is home as long as their growing fam ily still lives there. They also maintain a successful real estate LLC based in Illinois. Bob has served on the PDPOA Finance com mittee for the last 18 months and learned about its operations. He has six years of ex perience in various leadership roles on the Board of Literacy DuPage and on the Omni Hilton Head Advisory Board. What do you see as the most important challenges facing Palmetto Dunes in the next 5 years?
Dacia and her hus band, Don, bought their home on Off Shore in 2013 and have been full-time residents for the past six years. She has four children and two grandchildren. Her family started vacationing yearly in Palmetto Dunes back in 1995. The beauty of this island paradise was the main factor in choosing to live here.
I want to work towards improved alignment of the goals & vision of ALL PD property owners to create a greater sense of harmo ny, balance & satisfaction in our commu nity. As a STR (Short-Term Rental) property owner, I look to bring an additional voice & perspective to the Board which better rep resents the nearly 1,200 STR property own ers. While short-term properties account for approximately 50% of owners, many STR property owners would like to see more Board representation. I am confident that I have the proper perspective to improve our community for all to enjoy for many years to come. What do you see as the most important challenges facing Palmetto Dunes in the next 5 years? It’s a critical time for the PDPOA, with mounting frustration & a growing divide among owners. In speaking with multiple owners on both “sides” (STR & primary owners), the dissention appears to be get ting worse as PD is experiencing unprec edented growth. With many people desiring to visit & live in PD, it’s placing a significant strain on our community. One specific chal lenge is guests and visitors not observing community rules & regulations. As a Board member, I would offer creative solutions to communicate with guests while identifying mutually agreeable ways for all owners to better support & enforce the rules.
Why do you want to serve on the PDPOA Board of Directors -- and is there anything in particular you would like to accomplish?
I want to advocate for ALL of our member ship! I would like to accomplish a true bal ance between all that live, work, and play here. I believe this can be accomplished by open and effective communication, study ing traffic patterns, monitoring daily parking practices, becoming a truly “gated” commu nity, opening invitations for all commit tees, establishing a democratic procedure for voting on certain issues and to become a truly transparent board publishing de tailed monthly meeting agenda with mem ber comments sections that are included in the meeting’s recorded minutes. We should listen to our members’ comments and ideas and explore them thoroughly.

Chad’s experience includes having served as a member of his local community HOA in PA for the last 6 years (serving as Presi dent from 2019-2021). He ran as a petitioned candidate for the PDPOA BOD in 2021 and is currently active in PD as a member of the PDPOA STR (Short-Term Rental) focus group & the Safety & Security committee.
*Decreased Sense of Community. Need to establish a Palmetto Dunes Neighborhood Planning Committee to schedule monthly owner activities. We need to start a Welcome Committee that will “meet” with new own ers to explain procedures in our community and truly integrate them as new neighbors.
*Lack of Compliance Standards on com mercial entities. Establishing compliance standards on all properties in PD.
Chad’s been coming to HHI & PD to enjoy many wonderful family vacations for 35+ yrs. Wanting their chil dren (Ryleigh – 12), (Locklyn – 3) & (Tobyn – 2 months) to also experience the charm & beauty of PD, Chad & his wife (Emily) pur chased 2 Lee Shore in 2021. They’re ecstatic to officially be part of this amazing com munity and have enjoyed getting to know many other property owners! For now, Chad & Emily will continue to reside in PA, but will also be spending significant time in PD. They’ve made their house available as a short-term rental in the near-term and are planning to move to Palmetto Dunes fulltime within the next few years.

Dacia has had a well-rounded career that has always centered around serving people. Dacia’s first career was in education, where she served her students for 23 years. Her current profession centers around her real estate clients. Her main drive is to know the market and find the right property and neighborhood for each of her clients. She diligently works to help welcome them into Island Life! Dacia is extremely active in our community and on the island. She is a proud member of the Palmetto Dunes Women’s Club, WAHHI (Women’s Association of Hil ton Head Island), the Audubon Society and the Turtle Trackers. She understands the importance of community, volunteering, and caring for those that are in her neigh borhood.

It is my philosophy, that when you sit on a board, you represent the community not yourself. I have practiced that on every board on which I have participated. I would bring forward any ideas that someone in the community suggests, not just the ones that appeal to me. It is my feeling that participa tion on a board should be a collaborative ef fort. We should be a team working towards a common goal of keeping Palmetto Dunes the special community it has become. In the face of growing inflation, efficiently manage operational and infrastructure costs in effort to reduce costs.
