I serve everything from pizza to cotton candy, and “The Big Rib” to corn-onthe-cob. My route includes several stands on the Independent and/or on the RCS Carnival Midway. Odyssey Foods employs 150-200 seasonal employees. My management skills have adapted and have been fine-tuned over the years from experience. The WFA Convention and Trade Show is January 15 – 18, 2017 at the Grand Sierra Resort and Casino in Reno, NV. Finishing up Fall Fairs Rey O’Day, West Council Executive Manager It becomes dark sooner, the temperatures jump up and down more, and it feels like we are moving towards the closing of another year. It is the season of the Fall Fairs! My journey took me to Lake Perris, CA, Dallas, TX, and Phoenix, AZ, giving me the chance to visit with folks one more time before everyone returns home. The Southern California Rey O’Day, West Council Executive Manager, and Melanie Fair in Lake Perris welcomed Linnear, Director of Concessions, handing out door prizes a new Fair Manager: Carl at the NICA Meet and Greet at the State Fair of Texas Wuersch. Rey introduced them to the benefits and talking points of NICA. Throughout the evening we drew door prize tickets for prizes. We were honored to have Carey Risinger, Sr. VP of Food Service and Novelties, stay the entire time. The best news: TEN Chef Cassy Jones, new NICA new members came member, and Nate Janousek out of this gathering! The Arizona State Fair was my last destination on October 28th. It was my pleasure to meet with Wanell Costello, Executive Director of the Arizona State Fair. She is also the chair of the IAFE/NICA Task Force working on the “Transfer of Ownership.” We shared thoughts and stories, analyzed questions and concerns. Then we invited NICA members Dominic Palmieri, CCE, Jennifer Giordano, Nate Janousek, Jay Wells, and Craig Sawyer to join the conversation. Transparency is the guiding core value of any transaction—transparency of process and procedure for the Fairs and transparency of intent and procedure for the Concessionaires. Location is the key topic for a successful transfer,

Will other operators who are new in the industry have a chance to move into that location and possibly the new owners move to another location? What are Joe Lewis, Mojo Sports, brings the expectations a tasty dish for potluck night regarding rent, on site supervision, menu, and stand upgrades? These are some of the questions that must be discussed and answered in each transaction. We are hoping some boiler plate models will be developed so all parties have a starting point or examples of two or three scenarios. We appreciate the clarity of the Duchess County Fair policy. Whether we refer to it as “Sale of Business,” “Transfer of Ownership” or “Transfer of Operation,” it is a topic that is very important to our members and will remain one of NICA’s key talking points until clarity, trust, and transparency throughout the industry has been achieved. The Benefits of Being a Member Carmel Dyer-Pittroff, The Original Australian Battered Potatoes Seasons greetings everyone! I was asked to write down some of the savings that have been experienced by myself, my family, or my business using NICA’s benefits over the past few years. Here are a few that come to mind: My husband Fred just ordered a new Lincoln Navigator and is saving $2,500 using the Ford Fleet discount. Last year, he bought a new Ford truck and again received the Ford Fleet discount of $2,500. In the past years, he has saved approximately $20,000 just giving the dealer the Ford Fleet number that you get with NICA. Fred always says that the NICA discounts are the best in the Industry and very easy to use. We just had the house painted and using the NICA discount number for Sherwin Williams and we were able to get a 30 percent discount! This was even more than the trade discount the painter we consulted could have gotten. Additionally, it was a great honor when our granddaughter received the top scholarship from NICA this year for $3,000. This well deserved award was a shock when Isabella was notified by NICA. I called Rey O’Day to thank her and she was delighted also but had no idea she had won either. I had no idea of the Scholarship Application grading process and soon found out it is done by a chosen committee who only sees the students’ essays—not their name—so this made it even more exciting! But NICA’s benefits don’t stop there. We also use the Hertz discount when renting a car and I was extremely happy with the renting of First Data point-of-sale (POS) systems for the summer of 2016—I returned the machines with no problem and didn’t have to deal with storing them in the winter months. I also contacted Source1 Purchasing to get information on the FedEx discount, which was introduced earlier this year. I encourage all of you to do the same; they will email you the procedure on the best way to take advantage of these benefits (and even other benefits I didn’t know about, since they are always adding something). Playing Poker in Arizona Jay Wells, Wells Concession

On Monday, October 24, 2016, during a warm evening in the middle of the Arizona desert, friends, family and NICA members gathered around several tables and cards started to fly. It was once again time for the 3rd Annual Arizona Poker Tournament during the Arizona State Fair in the Coliseum Club. 31 players and others gathered to play for 1st, 2nd, and 3rd cash prizes and chances to win several raffle prizes. Table sponsors included Action Food Service, Pony Expresso, and Top Notch Concessions. Prize and raffle sponsors included Paulette’s Food Service, San Jon Enterprises, Ross Concessions, Butcher Boys, Steve Marcus Concessions, Odyssey Foods, and Wells Concessions. Some of the prizes included a 2017 RV Space donated by the Arizona State Fair, an RV-sized refrigerated wine cooler, an LG television, a wine purse complete with wine and opener, and a

stainless steel BBQ grill. Food included pizza, pasta, sub sandwiches, soft drinks, and alcoholic beverages. We had many levels of players, novices and well seasoned ones, but everyone had fun and played well. Our youngest player Taylum Leavitt, only eleven, made it to the last table where the winners were made. 1st place went to Blake Bishop, Bishop Concessions, 2nd place went to Mike Coffee, Timbo’s II, and 3rd place went to Ann Perry, Out of My Mind. The Northeast Report NICA Members Take Home Awards from The Big E Jessica Gottsche, Northeast Council Coordinator Dennis Fraleigh, NICA Director and Owner of F & W Concessions, was honored with the Friend of The Big E Award for his efforts in helping to celebrate the Exposition’s centennial. The Friend of The Big E is one of the highest honors that the Eastern States Exposition leadership awards. Dennis designed a custom float honoring the Fair John Juliano, Senior Director of Special Events, Marketing & Sales, and Butcher Boys’ Gillian Palmer, Business Development & Group Sales Coordinator, presence at the Greg Chiecko, Director of Sales, Dennis Fraleigh, Owner of F & W Concessions, Rob Gottsche, Sales Coordinator, Darlene Smith, Sales annual event. Department Secretary, and Gene Cassidy, President & CEO Dennis is also an active member of The Big E Communications Committee. On Sunday, September 18th, Arthur Pokorny, Owner of B. Wilson Enterprises, The Butcher Boys float and a founding NICA member, was honored with The Big E Host of The Day Award. The Host of the Day Award is a long-standing honor given daily during the 17-day run of The Big E. It is awarded to those who demonstrate excellent customer service and dedication to the Fairgoer. Arthur has been a staple on the Eastern States Exposition Fairgrounds for over 50 years, beginning as the Director of Operations for ESE, before a career in Concessions. Arthur’s family and Ted Shore, Eddie Shore Enterprises, John Kaboray, Sales Department, longtime friends were in on the surprise. The Transfer of Ownership Jeff Thornberry, CCE, Pristine Systems The selling of an event based business is more than just the departure of a previous owner. It can be the introduction of a new generation of entrepreneurs into the event industry! Who will replace our top-flight Concessionaires, Carnival Operators, and Commercial Exhibitors once they retire? What statement will we make to the next generation if we fail to create a path for the previous generation to exit with dignity? And why should young business people make big bets on our events? This is all part of the backdrop that frames our conversation regarding transfer of ownership. Succession planning is a normal part of the life of any business. In our industry, this process is complicated by the year-to-year nature of our contracts. Maintaining the viability and profitability of successful Fair-based businesses is in the interest of Fairs and Owners alike. As such, savvy organizations are recognizing the need to establish processes that facilitate the smooth transition of business ownership amongst companies with proven track records at their events. There will always be at least three key parties to the sale of an event-based business: the buyer, seller, and the event. Each will have their own desired outcome from this process. Although the event is not a party to the ownership agreement, it is a critical partner in the process. After all, the business does not own the event property where it operates and if any concessions are to be granted, they will come from show management.

it is upon the seller to ensure that a potential buyer and event-management engage in in-depth discussions regarding what is expected of each.

BUYER A potential buyer of a business contracting with temporary events will want reasonable assurance that the business will be allowed to continue operating as in the past. Most purchases will take years to generate a significant return on the investment. As such, a buyer will want some sort of statement from the event outlining under what circumstances they can anticipate being allowed to operate there in the future. Usually, we are talking about a letter specifying performance criteria that if met will provide reasonable assurance that they will be invited back. Multiyear contracts predicated on improvements to equipment, trial periods whereby the previous owner sticks around for a year or more to ensure smooth management transition and continuity in operations are but a few examples of items that can be required to obtain these reassurances. Also, securing some type of document outlining the agreement with the event can be important in order to achieve its durability in the face of unforeseen management turnover.

The value of the Fair-based business resides in more than just equipment and inventory, it is also comprised of cash flow, sweat-equity and goodwill. These latter values can represent the lion share of a business’s value to an investor, or they can be worthless if the event is unwilling to EVENT work with a buyer. to continue on at that property. If allowed to move forward, the event will want assurances that there will be continuity in the performance of contracts and delivery of goods. Potential changes in processes, menus or major equipment will be extremely important to an event's decision-making and any plans to alter these should be disclosed prior to receiving any assurances from the show. Unexpected changes to an operation could cause any agreements made by the event to become null and void. As the baby boomer generation exits this industry, the issue of transfer of ownership will come up with great frequency. Proactively addressing this issue will require events to set clear expectations and have defined processes for the smooth transition of business ownership amongst its Vendors and Concessionaires. If they are to get the blessings of the event, buyers and sellers will need to be transparent in communicating their intentions throughout the sale process. Ultimately, we are talking about establishing a framework for good communications between all three parties engaged in a sale! ▲

Bringing Fair food to TV Dominic Palmieri, CCE, 1st Vice President

Dominic Palmieri, CCE, 1st Vice President of NICA and CEO of Odyssey Foods, AKA “The Midway Gourmet,” was seen last month on Haylie’s Big America which aired on the Cooking Channel. The show, featuring a food competition at the LA County Fair, showcased some of the gourmet Fair Foods on the RCS Midway and Palmieri as a tour guide and competition moderator. Team Duff, consisting of Haylie Duff and Duff Goldman (Ace of Cakes), competed against Team Fat Sals. Both teams had to create a new Fair food using existing Fair Foods. How fun is that? The Midway Gourmet took them around the Fair on a scavenger hunt in search of all kinds of different Fair Foods and then moderated the competition and the fun antics of developing and cooking these new treats. After the competition in the DIY kitchen at the LA County Fair, the two items were devoured by Fair patrons at Palmieri’s barbecue stand, Biggy’s. Proceeds went to the No Kid Hungry Foundation. The two new items were the Duff Dog, a 14” pecan smoked sausage dipped in a beer batter with jalepeños, parmesan cheese, and tater tots—then deep fried to a golden brown. It was served with a beer cheese sauce to compliment the newly invented style of corn dog. The second item, made by Team Fat Sals, was a gyro-style wrap made with Palmieri’s famous Enzo’s Pizza slice as the wrap and stuffed with goodies from NICA’s West Council Member Nate and Stephanie Janousek’s stand Spud Ranch with their pork chop-on-a-stick, and Blake and Eva Bishop’s stand that supplied deep fried battered colossal onion rings, bacon-wrapped jalapeños and chicken-on-a-stick. All these yummy treats were wrapped into the gigantic pizza slice and topped with a homemade honey BBQ sauce and ranch dressing! “It really was a great portrayal of the Fair world,” said Palmieri. “Anytime we can show the effort that goes into creating, making and selling gourmet Fair foods is always a plus for the Fair Industry. Our customers expect new and exciting Fair Foods every year. They want different flavors, textures, and presentations of wild and wacky to traditional Fair foods.”
