INTRODUCTION

This Updated Preliminary Budget for 5242 Vista Grande Drive was derived from the updated drawing set “Arnon Residence—50% Construction Documents” (46 pages), from Axelrod Design, dated 6/9/2022. Other drawings from Axelrod Design include Mechanical, CD Progress (14 pages) dated 1/6/2023, and Structural (20 pages) dated 12/21/2020, from Strandberg Engineering.

MurphyMcKenna Construction (MMC) calculated the costs using written proposals from subcontractors as well as our own internal cost estimating. All items should be considered allowances. Each line item (materials, labor, supervision) has a 15% markup added, with a 2% insurance surcharge added to the bottom subtotal.

This project is expected to take 16 months to complete. Management consists of Project Managers, Project Coordinators, and a Project Supervisor that works entirely on site.

As indicated in the Preliminary Budget, management’s hours are calculated by week and tied to the duration of the job. Note that supervision hours are calculated at 40h/week. The value represented in the cost code 1700 (Supervision) is the remaining balance after we distribute the hours across specific line items based on our understanding of how much time will be needed to supervise particular trades. Each line item includes allowances for material, labor, and supervision.

Scope of Work:

The Scope of Work is limited to the listed work above, and subject to the terms, conditions, and exclusions of this proposal.

This estimate includes installation of reinforcing steel, placing concrete, form removal and job clean up. Concrete price is based on natural color, light broom/hand trowel finish, and standard plywood, lumber form finish (non-architectural). Note: concrete color can vary naturally without being a defect. Also, shrinkage cracks are normal and not a defect. Architectural concrete finishes are not included.

Pier Depth:

Pier depth is based on structural and geotechnical engineer specifications, and it is assumed that there are no solid rock formations where piers are located. If the inspecting engineer is not satisfied that we have reached “competent material” and requires additional depth, or we encounter solid rock, a change order will be created based on the hourly rates listed in our contract and the equipment rates listed in this package below.

MULTIVISTA is pleased to provide MurphyMcKenna Construction with superior photographic documentation of the 5242 Vista Grande Drive project under the following terms and conditions.

1.0 ProjectDocumentation

Existing ConditionDocumentation Multivistaphotographerswill takedetaileddigitalimages of the complete Interior and Exterior of the residence, memorializing existing conditions priorto demo commencing. Interior documentation will capture all walls, ceilings and floors of the residence.Exteriordocumentationwillcaptureallbuildingelevationsandroof(aspossible).

o Imageswillbeindexed,bybothdateandlocation,todigitalversionsoftheplansprovided byClient.

o Light site documentation of the area immediately surrounding the buildings will also be capturedduringthisdocumentation.

Exterior Progressions - Photos are taken on a monthly basis from key perspectives and 360 degreesaroundtheResidenceduringconstruction.Exteriorprogressionstracktheconstructionof building elevations and all work within the immediate vicinity of the exterior of the building, providingatime-lapseviewoftheprojectcomingtogetherovertime.

o Multivistaphotographerswillcompletefourteen(14)monthlyExteriorProgressionshoots.

o Client may select traditional 2D Photography or 360° Photography for this phase of work.

InteriorProgressions - Photos are taken on amonthly basis capturing allmajor interior areasof the residence. Monthly images will begin once the project is substantially framed. Interior Progressions are designed to provide comprehensive coverage of the various trades coming togetherovertimeandarecoordinatedwiththepaceoferection.

o Multivista photographers expect to complete a minimum of eight (8) monthly Interior Progressionshoots.

o Client may select traditional 2D Photography or 360° Photography for this phase of work.

Pre-Slab Exact- Multivista photographers will take overlapping digital images of all roughinstallationsandsystemspostinspectionandpriortotheplacementofconcreteforallmajor horizontal slab pours within digital As Builtrecordofactualinstallationconditions.

o Includes:Foundation/Footings,Slab-on-Grade,Slab-on-DeckandPoolpours (as applicable)

MEPExact- -ThismilestoneshootcapturesallMechanical,Electrical&Plumbinginthe interiorwallsandceilingsafterrough-insarecomplete,priortoinsulation/drywall.TheMEPshoot createsapermanentrecordandphotographicas-builtoftheresidencetobeusedasamaintenance toolpost-construction.

Webcam Services: Multivista will lease and professionally install one (1) webcam which will streamlivevideooftheprojectwithrelevantdataaccessiblebyClientviatheInternet.

o Primary service includes one (1) High Definition PTZ Webcam with vandal-resistant housing unit. Additional materials will include: Cellular Internet (via Verizon) and all additional posts, brackets and materials required for webcam equipment installation on adjacentrooforClient-providedpole.Clientwillprovideliftifnecessaryforinstallation.

SolarKitFee:$4,500 (Ifnecessary)

Inadditiontotheforegoing,alldocumentationpackagesinclude:

Online, password protected, web hosting of the documentation on the Multivista website for the construction period covered by the documentation, and for a minimum period of 1-year thereafter,accessiblefromanywheretheInternetisaccessible.

One (1) External Hard Drive or Flash Drive copy of the entire Documentation upon completion.

2.3EarlyCompletionandAdditionalBuildTimeFees

Invoicingisbasedonabuildperiodofthirty(14)months.IfthescopeofworksetforthisSection1above iscompletedpriortothattime,thebalanceoftheTotalFeesunpaidatthecompletionofthescopeofwork shallbedueandpayable within(30)thirtydaysofthefinalshoot.

Shouldtheprojectexceedthenumberofprojectedmonthsofduration(14),additionalfeeswillbecharged asfollows:

2.4 ReimbursableExpenses

Multivista will invoice for actual expenses incurred that are directly related to the Project. Back-up for allsuchexpenseswillbeprovidedwithinvoicing.OnthisProject, reimbursableexpensesarecurrently estimatedtobe$0,astimeandtravel,mileage,etc inSection2.0.

3.0StandardTermsandConditions

1) SERVICES: Multivista shall provide professional services in accordance with the above agreedupon Scope. Multivistawill beginaProjectSet-Uponlyafterreceipt of(a)electronic plans from the Architect of the Project in an acceptable format and (b) a fully executed Agreement Thereafter, Multivista requires at least four (4) business days for Project Set-Up prior to the first shoot contemplatedbytheScope.

2) EXECUTION: This Agreement becomes effective upon signatures by the authorized representative,oftheClientandMultivistaanduponreceiptbyMultivistaofasignedoriginal or facsimile transmittal. Multivista is authorized to proceed with services upon receipt of an executed Agreement or written Notice to proceed. If facsimile transmittal is initially sent to Multivista,ClientwillprovideMultivistawithasignedoriginalforrecordassoonaspractical.

3) COMPLETION/TERMINATION: This Agreement shall remain in force until terminated. This contract may be terminated by the Client and/or Multivista, upon fourteen (14) days written notice. In the eventof such termination Multivista will be paid the portion of the compensation (and fixed fee, if applicable) earned for services properly performed through the termination date including any retention held by the Client. Continuing Service Agreementsshall bereviewedannuallyforratesandshallremaininforceuntil terminatedin writingbyeitherparty.

4) STANDARD OF CARE: Services provided by Multivista under this Agreement will be performed in a manner consistent with that degree of care and skill ordinarily exercised by members ofthesame professioncurrently practicing under similar circumstances. Multivista makes no warranties or guarantees, either expressed or implied, of the fitness of its documentationforanyparticularuse.

5) INDEPENDENTCONSULTANT: Multivistaisandshallbeat alltimesduringthetermof theAgreementanindependentconsultantandnotanagent oftheClient.Clientacknowledges andagreesthat,notwithstandingthisAgreementoranyprovisioncontainedherein,Multivista may provide its services, including, but not limited to, those services contained in the Scope of this Agreement, to any other party authorized to contract for services relating to, in connection with or on behalf of the Project, including, but not limited to, the Contractor(s), claim of conflict of interest, estoppel or business interference arising out of any such thirdparty agreement(s) to provide services relating to, in connection with or on behalf of the Project.

6) COMPLIANCEWITHLAWS: Multivista will comply withFederal, State, and local laws applicabletotheservicestobeprovidedunderthisAgreement.

7) PAYMENT&COLLECTIONPaymentsaredueinfullwithinthirty(30)daysfromdateof invoice, or according to other terms as agreed to expressly in writing. The Client will be invoiced for work completed. A finance charge of 1-1/2% per month, equivalent to 18% per annum, will be assessed on any amounts outstanding beyond 30-day payment terms. In the event legal action is necessary to enforce the payment provisions of this Agreement if the Client fails to make payment within thirty (30) days of the invoice date, Multivista shall be entitledtocollectfromtheClientanyjudgmentorsettlement sumsdue,reasonableattorney's fees,courtcostsandexpensesincurredbyMultivistainconnectiontherewithand,inaddition, the reasonable value of Multivista's time and expenses spent in connection with such collectionaction,computedatMultivista'sprevailingfeescheduleandexpensepolicies.

8) CONFIDENTIALITY; OWNERSHIP OF DOCUMENTS; INTELLECTUAL

PROPERTY: Specifications, drawings, personal information, or other information given to Multivista by the Client is disclosed in confidence. They shall not be reproduced, copied, disclosed,orusedexceptinconnectionwiththeservicesthatarethesubjectoftheAgreement. Alldocuments,digitalandelectronicmediapreparedundertheAgreementareinstrumentsof service and are, and shall remain, the property of Multivista or Multivista Systems LLC udingallintellectualpropertyrightstosaiddocumentsandmedia, until such time as they are paid for in full by the Client at which time their ownership, exceptingConfidential,TradeSecretandProprietaryInformationofMultivistaSystems,shall passtotheClient.MultivistaandMultivistaSystemsmakenowarrantiesastotheprofessional natureofthemediaotherthantocaptureconstructionconditionsorevents. Notwithstanding theforegoing,theunderlyingproprietarysoftware,indexing,navigationandviewingsystems, processes, procedures, databases, information and any other content of Multivista Systems that is housed in the software, and all other proprietary information used to create these instruments of service, including all intellectual property rights associated therewith remainthesolepropertyofMultivistaSystems.ClientagreesnottodisclosetheConfidential, TradeSecretandProprietaryInformation.

Clientalsoagreesnottoreproduce,copyorusetheConfidential,TradeSecretandProprietary Information except as expressly permitted in the Agreementand only in connectionwith the services which are the subject matter of the Agreement. Notwithstanding the foregoing, Multivista Systems reserves the right to use and Client hereby consents to the use of limited samplesofthemediaandsystemservicepreparedforClient(nottoexceed1%oftotalproject media)forMultivistaSystemsmarketingandpromotionalpurposes. MultivistaSystemsmay

9) NOPUBLICACCESS: OnlineaccesstoClient'sdocumentationshallberestrictedtoClient approved personnel only, each of whom will be provided with a unique username and password. Making access credentials publicly available shall be prohibited and Client shall make its approved personnel aware of this and that Client's confidentiality and restricted accessobligationsundertheAgreement extendtoallapprovedpersonnel.

10) SITEVISITS/OBSERVATION:Multivistashallvisittheprojectand/orconstructionsiteat appropriateintervalsandtakephotosoftheconstructionprogress.Visitstotheprojectsiteand observations made by Multivista as part of services provided during construction under this Agreement shall not make Multivista responsible for monitoring of the work. Multivista employees will report to the site office prior to working onsite. Thesitesuperintendent shall be the designated person granting permission onto the site in order to ensure safe access for Multivistaemployees.

11) CHANGES IN WORK SCOPE: From time to time, the Client may wish to increase the scopeofthedocumentation,orenroll furtherprojects.Anychangesinscopeofworkshallbe boundbythisagreement,subject toany furtheragreementsmadeinwritingandsignedbyall partiestothisagreement.

12) DELAYS: Multivista shall not be liable for delays in performing or failure to perform its obligations under this Agreement resulting directly or indirectly from, or contributed to by acts of God; acts or failures to act by the Client; acts or failures to act by civil or military authority; governmental priorities; fires; strikes; or labor disputes; accidents; floods; epidemics; failure of the worldwide web, or any other circumstances beyond Multivista's reasonablecontrol.

--OTHERS to obtain any required permits or building department acceptance of work done by SDI.

--Exterior Thermal Envelope means living areas that are conditioned. It is the same as Title 24 conditioned space.

--No fixed scaffolding is included unless otherwise listed in this quote.

--All areas being ready for work and free of obstructions prior to SDI arrival. Stocked material such as drywall or other Trades in work areas shall be considered obstruction to access and will be an EXTRA charge. Floors must be level and acceptable for efficient set up, use, and moving of rolling scaffolding. Openings such as heat registers must be covered for safety.

--On all areas being ready at the same time so that SDI can progress in a continuous and efficient manner unless otherwise agreed. Price will increase if SDI crews must move from area to area in a discontinuous manner and if SDI must start and stop work due to delays, or work not ready by OTHERS.

--Spray foam areas are to be vacated of all non SDI personnel at time of installation. See Occupancy Guidelines.

--FRAMING SHIMS at framing face are to be LEFT OFF until after spray foam application to WALLS. Shims will be damage by spray foam application.

--RECESSED FIXTURES, JUNCTION BOXES, SPEAKERS, SHADE POCKETS, STEEL FRAMING, ETC. - Unless otherwise included:

1.--Others are responsible for installation of rigid board backing above recessed fixtures to control condensation where needed.

2.--Others are responsible for adjusting electrical and other junction boxes/fixtures at the correct depth before spray foam locks them in place. Open back junction boxes are not recommended as they require additional masking to keep spray foam out of the boxes.

3.--Others to box out open back speakers as needed.

4.--Others to confirm that fixtures such as speakers can be in contact with insulation if they are not boxed out.

5.--Price based on efficient access to cavities such as created at shade pocket details, and I-Beam cavities. Cavity locations such as these, can be become inaccessible due to the typical sequence of work. Construction sequence should be coordinated with insulation installation to allow access to these locations.

6.--Thermal short circuits, such as steel framing, can allow condensation to occur. Others are responsible for suitable design that allows enough of, and proper type of insulation, and air sealing to control condensation over these, and other potential condensation locations.

--OTHERS to have ALL wires stapled and pulled tight per code, and sufficiently secured in each framing bay prior to work by SDI so that wires cannot be moved beyond face of framing.

--Inaccessible rim or wall cavity areas can be insulated for an additional cost if OTHERS provide drilling of sufficient access holes to allow injection of spray foam.

--CRAWL SPACE CLEARANCE : Any spray foam work at Crawl Areas is restricted to areas with access clearances equal to, or greater than 24 inches only. Any batt installation is restricted to areas with access clearances equal to, or greater than 18 inches only. Areas with lesser clearance may not be sufficiently accessible and will only be installed on a Best Effort Basis.

--OTHERS to make parking arrangements, supply flagman, if required, supply parking permits, and have parking ready when SDI crew arrives. In addition, OTHERS to plan and coordinate site conditions in order that SDI trucks, hoses and other equipment do not have to move during work by SDI. Moving SDI trucks, hoses and other equipment delays SDI work flow and shall generate an extra cost.

--Cavities to be clean, dry (below 18% moisture content) and ready and all backing to be in place as needed prior to mobilization by SDI. Substrate temperatures must be high enough to insure proper adhesion and spray foam yield.

--OTHERS to install covering such as drywall as soon as possible so as to prevent insulation from falling out of place, and protect installed insulation from damage due to harmful weather exposures, physical abuse, and other causes.

--OTHERS to provide proper combustion air supply, and make up air, and air exchange rates as required.

6.--Any contract created as a result if this bid, or amendment thereto concerning scope of work and pricing, shall not supersede or nullify the terms and conditions stated herein.

7.--The work performed shall be warranted against defects in material and workmanship for a period of two years from date of application.

8.--Our payment terms are net 7 days on completion of work [Cal.Bus.&Prof. §7108.5]. There is a 1.5% service charge added to all sums which become past due.

9.--We shall have the right to stop work on any of the contractors/owners job(s) if any payment due has not been made under this agreement. We may keep all jobs unmanned until payments are received without being in violation of any contractual arrangements.

10.--Any alteration, modification, or deviation from this proposal, or specifications involving extra cost, shall be executed only upon written change orders or purchase orders, signed by Customer & SDI which shall become an extra charge or deletion, respectively, in addition this bid and/or subcontract.

11.--Note About Extra Work and Change Orders: Extra Work and Change Orders become part of the contract once the order is prepared in writing and signed by the parties prior to the commencement of work covered by the new change order. The order must describe the scope of the extra work or change, the cost to be added or subtracted from the contract, and the effect the order will have on the schedule of progress payments.

12.--SDI’s ability to perform shall not be subject to delays due to fires, industry strikes, extreme weather conditions, labor disputes, material availability, civil disturbances or other conditions which are beyond our control.

13.--In the event the job site is not freely accessible to SDI’S personnel and equipment because of obstructions, weather conditions, or other causes beyond our control for a period of 5 consecutive days, SDI may give notice of withdraw from this contract and be released from all further obligations unless a new quotation can be agreed upon in writing by both parties. If work has commenced and then is withdrawn because of such job conditions, SDI shall be entitled to payment for reasonable value of labor and/or materials supplied to the date of withdrawal.

14.--Membrane work, which is applied according to plans and specifications, proceeding with overlayment or any other function, constitutes acceptance of work as applied and releases subcontractor from all responsibility with regard to the membrane work performed.

15.--If any work is to be charged on an hourly basis, the starting rate will be a minimum of $171.00 (SPF), $163.00 (NONSPF) per person hour on a Portal to Portal basis. 17.--Disputes: Any controversy between Customer & SDI arising out of this contract, only, or regarding the interpretation of this contract shall be subject to a good faith mediation. Mediation shall take place prior to the commencement of filing a lawsuit, but in no event later than sixty (60) days after the first demand for mediation is requested by one of the parties. Mediation shall be governed by the confidentiality requirements contained in California Evidence Code and costs associated with mediation shared equally. Thereafter, should mediation fail, the parties may seek other remedies available to resolve their dispute and the non-prevailing party agrees to pay reasonable attorney’s fees. BY OTHERS: Jambs, spring pads, all line voltage, conduit wiring to motors and control stations, unless otherwise stated above, are not included. Floor, jambs and header must be level for an appropriate seal. The area around the opening must be cleared out prior to our arrival on the day of installation. A good generalization for the area we need cleared out is; the width of your garage door opening with an additional foot on each side is to be cleared back twelve feet into the opening and those two sizes go up two feet above your opening height making a cleared out cube shape. If this area cannot be cleared back, we cannot install our door and motor system.

TERMS AND CONDITIONS: Purchaser agrees that material(s) shall remain in Seller's possession until paid in full. In the event Purchaser breaches or defaults under the terms and provisions of this Agreement, the Purchaser shall be responsible for the costs of collection, including reasonable attorneys' fees. There is a $100.00 re-scheduling fee if we arrive at the job site and cannot perform the installation due to the site not being ready or we are unable to gain access to the site. In such an event our next installation opening may be 2-3 weeks out and an invoice will be made at 80% of the total job cost and will be due and payable immediately.

A waiver of subrogation is issued upon request and has a $200.00 processing fee. Insurance form CG2010-1185 is not available. If you or your company requires a W-9, insurance certificates, or any other customer/contractor specific forms it must be made known at the time you place your order. Not informing Overhead Door Company of Santa Rosa, Inc. that you the customer need specific forms on hand prior to submitting a payment is not a valid cause to withhold payment. SCOPE OF WORK:

Our Scope will star 2’-0” above finish floor at our check valve, providing design, installation, materials, and equipment necessary for a new Automatic Fire Sprinkler System at the above referenced location, Main house and Garage. Totaling ±4,093 SQ.FT. JMH is proposing to use ALL CONCEALED HEADS, except the areas with high temperature required, such as Garage and Laundry room, and using Upright/Pilot heads in the attic where required in accordance with NFPA #13D, edition 2016 and the Local Authority Having Jurisdiction. With the exception to include any/all water tanks, underground, pumps and connection from meter to Riser.

EXCLUSIONS:

1. Electrical wiring of any kind and/or supervisory systems. (By others)

2. Any requirements more stringent than NFPA 13D.

3. Painting or furring of pipe or equipment.

4. Bonding of any kind.

5. Structural or seismic calculations and/or cost of structural Engineer review.

6. All underground piping work, including the METER feeds.

7. Monitoring of the system, (Alarms).

8. Insurance requirements in excess of $1,000,000 for liability, automobile and/or Workman’s Compensation.

9. Any Fire watch, security fees.

10. Any and all liquidated damage cost.

11. Fire calking.

12. Any unforeseen condition.

13. Any structural work or responsibilities, such as, cutting walls, frame and or calcs.

ASSUMPTIONS/QUALIFICATIONS:

1. Water flow data (Fire Flow) will be provided for calculations by the owner.

2. No piping may be concealed until after inspection by the Fire Department.

3. The building structure is capable of supporting the weight of the water-filled pipe per NFPA #13.

4. It is the Owner’s responsibility to maintain adequate heat to prevent freezing of pipe and valves in wet pipe sprinkler systems.

5. All work will be performed during times discussed between the GC and JMH, upon agreement of this Proposal/ Bid.

6. The work area will be accessible at all times.

7. All Areas will be accessible.

Exclusions Assumptions/Qualifications of this proposal shall supersede any conflicting contract language.

a) Owner represents that this agreement is a cash transaction wherein no financing is completed and contractor acts in reliance on said representation.

Contact CSLB for information about the licensed contractor you are considering, including information about disclosable complaints, disciplinary actions and civil judgments that are reported to CSLB Use only licensed contractors If you file a complaint against a licensed contractor within the legal deadline (usually four years), CSLB has authority to investigate the complaint. If you use an unlicensed contractor, CSLB may not be able to help you resolve your complaint. Your only remedy may be in civil court, and you may be liable for damages arising out of any injuries to the unlicensed contractor or the unlicensed contractor’s employees
