SECTION 1. SCOPE OF SERVICES:

TheArchitectandotherconsultantswillpreparedrawings,specifications,andotherconstruction documentsfortheProject.ContractorwillmeetwithOw nerandDesignTeamtoreviewtheoveralldesign andintentfortheProject.Contractorshalloffersugg estions,asappropriate,withrespecttoprojected costsandallowances,constructionfeasibility,economic alalternatives,availabilityofmaterials,andtime requirementsforprocurementandconstruction.

SECTION 2. BILLING RATES:

SECTION 3. PAYMENT TERMS:

ThisisatimeandmaterialsPre-ConstructionAgre ementnottoexceed$8,000excludinganysitework, destructiveorintrusivetestingorevaluation,orvalueengineeringthatoccursaftertheinitialproposal.This amountstoapproximatelyhoursbilledtoProjectManager,hoursbilledtoProject CoordinatorhoursbilledtoSeniorEstimator.Onebidwalkwithsubcontractortradesisincluded. Ifadditionalbidwalksarerequired,theywillbebilledonatime-and-materialsbasis.

Allitemsarebilledat-costandmarkedupbyMMC.TheOwnershallpaytheContractorforPreConstructionserviceseveryfour(4)weeksbasedonadetailed,itemizedinvoicewhichshallbeprovidedby theContractor.Paymentsareduewithinseven(7)calendardaysoftheinvoicedate.Unpaidbalancesof morethanseven(7)daysshallbearsimpleinterestfromthedatepaymentwasdueatarateoftwentyfourpercent(24%)annually(2%permonthAllreportsgeneratedduringsuchactivitieswillbetheproperty oftheOwner.

ShouldprojectbeawardedtoContractor,$8,000shallbecreditedbacktoOwner(s)onthefinalinvoice issuedbyContractoratthecompletionoftheproject.

SECTION 4. INSURANCE:

MMCshallmaintainandprovidecertificatesfor:

(a)CommercialGeneralLiabilityinanamountof$1,000,000withtheOwneroftheproperty listedasadditionalinsured.

(b)WorkersCompensationInsurance.

IftheOwnerdesiresassurancesagainstProjectfailures,oragainstloss,Owneragreestoobtain appropriateinsurancethroughtheirowninsurancebroker,whichinsuranceshallincludeawaiverof subrogationclauseastoContractor,itsagents ,employees,shareholders,officers,assignees,or successors-in-interest.

SECTION 5. MANDATORY BINDING ARBITRATION:

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF AND/OR RELATING TO CONTRACTOR’S SERVICES, THE WORK, PAYMENTS OR BILLING, OR THIS PRE-CONSTRUCTION AGREEMENT AND/OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION OR VALIDITY OF IT, WHICH ARE NOT WITHIN THE SMALL CLAIMS EXCEPTION, SHALL BE RESOLVED BY BINDING ARBITRATION IN ACCORDANCE WITH CALIFORNIA CODE OF CIVIL PROCEDURE § 1280 ET SEQ.

JUDGMENT ON ANY ARBITRATION AWARD MAY BE ENTERED IN ANY COURT HAVING JURISDICTION. THIS CLAUSE SHALL NOT PRECLUDE PARTIES FROM SEEKING PROVISIONAL REMEDIES IN AID OF ARBITRATION FROM A COURT OF APPROPRIATE JURISDICTION.

The arbitrator may, in the interest of justice, allocate all or part of the costs of the arbitration and the arbitrator to one party as part of an arbitration award.

SECTION 7. LIMITATION OF LIABILITY:

Ownerherebyagreestolimitanyclaims,damages,demandsorliabilityofanykind,orconsequential damagesunderthisPre-ConstructionAgreement,whichOwnermightclaimorassertContractor,its agents,employees,shareholders,officers,assigneesorsuccessors-in-interest,totheactualdollarvalue paidtoContractorunderthetermsofthisPre-ConstructionAgreement.

SECTION 8. ONE-YEAR LIMITATIONS PERIOD:

Beingsophisticatedpartiesofequalbargainingstrengthandsubjecttovoluntarynegotiationsregardingall termsandconditionsinthisPre-ConstructionAgreement,thepartiesagreethat,forthepurposesofthis Pre-ConstructionAgreementandanymaterialsorservicesprovidedunderit,noticeofdemandfor arbitrationshallbeservedinwritingonotherpartytothisPre-ConstructionAgreementattheaddress listedabove(oratsuchotheraddresstobedesignatedbytheparty)withinone(1)yearfromthedateof Contractor’sfinalinvoicetoOwnerund erthisPre-ConstructionAgreement.

SECTION 9. TERMINATION AT WILL:

INTRODUCTION

This Updated Preliminary Budget for 5242 Vista Grande Drive was derived from the updated drawing set “Arnon Residence—50% Construction Documents” (46 pages), from Axelrod Design, dated 6/9/2022. Other drawings from Axelrod Design include Mechanical, CD Progress (14 pages) dated 1/6/2023, and Structural (20 pages) dated 12/21/2020, from Strandberg Engineering.

MurphyMcKenna Construction (MMC) calculated the costs using written proposals from subcontractors as well as our own internal cost estimating. All items should be considered allowances. Each line item (materials, labor, supervision) has a 15% markup added, with a 2% insurance surcharge added to the bottom subtotal.

This project is expected to take 16 months to complete. Management consists of Project Managers, Project Coordinators, and a Project Supervisor that works entirely on site.

As indicated in the Preliminary Budget, management’s hours are calculated by week and tied to the duration of the job. Note that supervision hours are calculated at 40h/week. The value represented in the cost code 1700 (Supervision) is the remaining balance after we distribute the hours across specific line items based on our understanding of how much time will be needed to supervise particular trades. Each line item includes allowances for material, labor, and supervision.

Here is a model that was provided to me for the pool mech room door while working with the Ruskin Louver Reps. Please let me know if this works for you aesthetically.

If you scroll down on the pdf you will see "Typical Installation Details"

I believe we should use the "Metal Panel Wall" detail as it will be resting on top of the Metal Door. Unlike the drawing though, we would shift the louver to the very front/exterior face of the door. It is the drip edge/pan that I find very beneficial.

This week was a great week. We are almost complete with the preprufe waterproofing in the slab area and other required foundation areas.

We are working at completing another concrete pour of the foundation footings between the 21st and 23rd of this month, so that we can continue with the rest of the stem walls.

We have completed our review of the steel package and have sent it out to Axelrod and Strandberg for their final blessing before going to our steel contractor for the final round of shop drawings.

I believe the doors and windows review has also been completed on our end as well as Axelrod. We are now just waiting for the final drawing package from Cooritalia. These are both pivotal moments in the building process as there are so many factors related to successfully coordinating steel, windows and doors, concrete stem walls, shade pockets, pool details, you name it.

We have spent most of this week working on waterproofing the foundation areas and forming stem walls. Mark Dietrich from the waterproofing consultants was out to see the progress. And we had several inspections this week that went well.

Next week, we will have plumbers back on site to install more pre foundation plumbing for patio drains and gas lines to pool equipment room.

On Monday we have the pool contractor out on site to start installing the pipes in the stem wall that will travel between the pool and the pool mechanical room.

The MMC crew will be working on more foundation related items, such as steel connections, wood wall connection hardware, and foundation vent openings. We will also be installing more subdrainage.

The office is working at finalizing all fixture, equipment, and finish schedules with Axelrod. Landscape estimates are under way still, but we should hopefully receive the numbers in the next week or two.

1. Exterior building lights – code requirements.

• AA and MMC to confirm what the code requirements are for exterior building lights and whether landscape lighting is acceptable for illuminating the pool mechanical room entrance and lower exit door landing. AA would like to add ceiling light for the lower exit door landing.

2. Pivot door pull/handle specifications and keyed cylinder elevation

• RK sent the specs 8/5. MMC shared the specs with CoorItalia on 8/6. AA to research aftermarket manually operated keypad lock.

3. PG&E contract signature & payment

• PG&E re-sent the contract and Yoram confirmed that he received it and is taking care of it.

4. Vulcan vents

• Bathroom fans from the lower floor bathrooms to be vented on the east side of the house (add 1 more Vulcan vent) not by the pool mechanical room.

5. Auto water shut off – possible homeowners insurance requirement.

• MMC to email Yoram pros and cons for getting an auto water shut off and ask him to check with a homeowner’s insurance broker whether they will require it.

“I’m a repeat customer of this company’s services, having relied on them to construct both a 3-story, 4000 square foot duplex condo project in San Francisco and then later a large custom single-family home (more than 5000 square feet). Both projects were extremely complex, and we were impressed by Anthony (one of the principals) and his insights, expertise, and contributions to overcome numerous logistical challenges that came up trying to effectuate (and often remediate!) the architects’ plans. In constructing the San Francisco duplex, his tasteful accents and improvements to the original design were masterful and helped us command top dollar when we sold the units later. The realtors raved over his tasteful execution using different structural elements of wood, stone, and steel. Based on his earlier phenomenal work, we hired him again to build our dream home in Berkeley, which is really a work of art thanks to his efforts. It was an extensive project, requiring a demolition, significant excavation and retaining wall work, tons of concrete, dozens of steel beams/reinforcements, and substantial amounts of high-end carpentry work. His team handled dozens of design changes seamlessly and efficiently. We could not be more pleased.

“We had a defined vision of what we wanted our home to be and Anthony and his team’s input was instrumental in making our dream a reality. This was an internal remodel that required extensive structural modifications such as addition of extra large view windows, cantilevered staircase, removal of walls, repositioning structural elements, building shear walls and reinforcement of the foundation. Basically MurphyMcKenna rebuilt the house from the inside. The reno also required fine carpentry and workmanship to carry out our interior design ideas like the slat ceiling, which turned out to be far more difficult and involved than anybody foresaw. The tolerances for the carpentry were very fine but their master carpenters succeeded beautifully, and in the end visitors comment on the ceiling as much as our view, which is stunning.

All this was carried out during the Pandemic when supply chain logistics and staffing were a constant source of potential chaos but MMC’s staff kept the project moving ahead. Communication was excellent and their commitment to maintaining the work flow kept us from despairing. Well not too much, LOL. The confidence boost and reduced stress from working with such professional builders was a huge plus. A side benefit was the MurphyMcKenna’s workers were popular with our neighbors despite the interruptions and inconvenience. We look forward to working with Anthony & Sean and the rest of the MMC team for the second – and hopefully final – phase of the renovation”.
