New York State Moves to Ban Employee Non-Compete Agreements

New York inched closer to fully banning non-compete agreements on June 20, 2023, with the Legislature approving a bill banning their use in the future. The bill will soon be sent to Governor Kathy Hochul, who is expected to sign the measure into law.

New Section in Labor Law Will Prohibit NonCompete Agreements

The bill, Bill 3100, creates a new section in the New York State Labor Law (Section 191-d) prohibiting employers and employees from entering into noncompete agreements after the bill is signed and goes into effect.

Critically, the measure does not impact existing noncompete agreements. The amendment goes into effect 30 days after Governor Hochul signs the measure; at that point, employers and workers will be prohibited from entering non-compete agreements.

The new law will give employees bound by a noncompete the right to sue in state court. In turn, the law empowers courts to:

• void any contractual clause that functions as a noncompete,

• award damages for lost compensation,

• award liquidated damages of up to $10,000, and

• award employee’s attorneys’ fees.

Law Limited to “Non-Compete” Agreements

The law is ostensibly limited to pure “non-compete agreements,” which are defined as any agreement or contractual clause between an employer and worker that “prohibits or restricts” the worker “from obtaining employment after the conclusion of [their] employment with the employer.”

Notably, the law does not limit its scope to “employees,” and instead expands its reach to any “covered individual” that is “in a position of economic dependence on” their “employer.” In other words, the law’s prohibition on non-compete agreements is not limited to the traditional employee-employer framework, and could theoretically apply to other working arrangements.

Other Clauses Are Still Permissible

Further, the amendment clarifies it is not intended to prohibit several other clauses commonly found in employment agreements. The law states it does not prohibit:

• contracts or agreements for a “fixed term” of service;

• contracts or agreements prohibiting disclosure of

“trade secrets,” confidential information, or “proprietary client” information; and

• contracts or agreements that prohibit solicitation of the employer’s clients and customers, if the worker learned of the clients through their employment.

Importantly however: the new law cautions that the above clauses can still be deemed unlawful if they would “otherwise restrict competition” in violation of the new law.

Next Steps

As mentioned above, Governor Kathy Hochul is expected to sign Bill 3100. If signed, the law will go into effect 30 days later and will invalidate employers’ ability to enter into new non-compete agreements at that point.

The amendment constitutes a momentous change in New York’s labor, employment, and commercial law. The law is rife with opportunity for disagreement and interpretation, and will almost certainly trigger litigation.

Businesses utilizing non-compete agreements should review their practices with experienced Labor & Employment counsel. Even if non-compete agreements are invalidated, other strategies can help protect businesses’ proprietary information and their investment in talent.

My name is Scott Meyers and over my career, which spans more than 35 years, I have worked at all levels in finance and operations, working for startups up to large public companies.

Of the many positions and areas of expertise and skills I have developed over the years, the one I have enjoyed the most has been leading transformation and change across functional departments and the whole enterprise. This is also one of the most difficult skills to refine as transformation and change is often met with skepticism and resistance.

To transform and change a company involves working with cross-functional teams to execute key strategic initiatives, enhance

processes, implement best practices, and reduce costs. What I have found to be the biggest mistake made in most organizations is doing it from the top down.

To be successful at transformation and change you need the support of senior management, but you also need to utilize a bottom-up approach. It is very important to include people doing work at all levels. Using a bottom-up approach includes people who can identify where the waste is as well as often having great ideas on how to improve the way things are done. The ability to gain their trust and allow them to speak freely is the biggest hurdle. People are often hesitant and guarded about sharing their ideas because it could be looked down upon by management as questioning their integrity. Once you get them to open up, they can be your biggest change champions within the organization.

I have found that using lean methodology, continuous improvement, and not trying to change everything at once is the best strategy. Working toward a couple of small successes to start, show that it is possible. By celebrating those successes and building on that momentum, that success will continue to grow and more people will jump on the

bandwagon. It is also important to keep in mind that you will fail at points during this process. Fail quickly, use lessons learned and move on. Don’t be afraid to take measured risks.

I do have one word of caution for anyone that is thinking about initiating transformation and change, it is not for the faint of heart, and you better have thick skin as you will be tested throughout this whole process. You will also need patience and the patience of senior leadership as this is not an overnight undertaking and they shouldn’t expect instant success. It will take time but, in the end, if done right the benefits that this will generate both from a tangible and intangible aspect will be immense.

Transformation and change is a team sport and needs to be executed that way. This is why I named my company All Hands Transformation Group. It takes everybody to change. With that in mind I will leave you with one of my favorite Peter Drucker quotes, “If you want something new, you have to stop doing something old”.

It actually helped us reach more people. We also launched

a new service to help people make money from home. That business grew to 6 figures per month in revenue in literally 1 month and is still going strong today. That business has now worked with over 10,000 people and many have achieved 5, 6 and even 7 figures per year in revenue.

MOVING FORWARD, HOW HAS YOUR BUSINESS STRATEGY/ PERSPECTIVE SHIFTED?

The #1 change for me is only launching a business that can scale and exit at a high multiple. The amount of work is the same to grow any business, so you might as well build a business with a huge exit. For example, some of the companies I have been involved in had a 1x multiple. But a Software as a Service business, which is what All In One Marketing.com is, has a 5-8x multiple.

On June 23, Ed Smyth, Supervisor, Town of Huntington, was the guest speaker at LIMBA (Long Island Metro Business Action), which was held at the Candlelight Diner in Commack. During his presentation, he shared his vision for the town. Mr. Smyth spoke about the elevated vacancy rates in Class B and Class C buildings at the Melville Corporate Center. He noted that the tenants of those buildings are moving into Class A buildings. He said he was concerned about the prevalence of empty buildings in the town because they can be “a magnet for trouble.”

On August 25, Christine Ponzio, M.S. Ed., will be the guest speaker at LIMBA (Long Island Metro Business Action). This event will take place at the Winters Center for Autism, located at 92 Mahan Street, West Babylon, starting at 8:30 a.m. The topic will be “Hire for a Higher Purpose!”. Ms. Ponzio has worked with individuals with autism and other developmental disabilities and their families for more than 35 years. She started her career in 1989 at the Developmental Disabilities Institute’s (DDI) Children’s Residential Program as a Special Educator and became the voice for children who had not yet found theirs. She served as the Director of the Young Autism Program (YAP) and developed countless opportunities for students and families to find great success and created an environment for staff members to excel. She served as the key administrative and clinical leader for the New York Centers for Excellence for children with autism and complex needs. She led the team to target and achieve deliverables related to a new reimbursement methodology; develop a statewide data repository with the potential for predictive analytics; improve assessment, screening and intervention methods; and inform research and create communications platforms for sharing and disseminating information internally and to New York State providers. Today, Ms. Ponzio works with over 20 companies who have embraced a neurodivergent workforce.
