ANNUAL GENERAL MEETING

April is now upon us and we are once again closing in on our all-important Annual General Meeting. This meeting is your opportunity to meet your current Board members and to cast your vote for candidates to fill vacancies resulting from the expiring terms of two of the existing directors. All owners of record will be receiving by mail the official notification in accordance with our Bylaws. This notification will also include a proxy form and an absentee ballot for the use of anyone who is unable to attend the meeting in person. You may use the ballot to vote for a candidate or you can use the proxy form to assign your vote to another person who you choose to vote on your behalf or you can forego your vote and submit your proxy for quorum purposes only. In order to conduct the meeting, we must have a quorum of our members so it is very important that if you cannot attend in person that you complete and submit your ballot or proxy in accordance with the instructions that will be included in the package. This meeting will be held in the clubhouse at 1602 Hoyt Lane on Tuesday, April 17th. It will begin promptly at 7:00 PM following a 30-minute registration period. One important agenda item at this meeting will be a vote by the members for approval of a revision to the Association Bylaws. This document is an amended version, which incorporates the four previous amendments and the changes necessary to bring it into compliance with the new HOA legislation that became effective in 2011. During this restatement, the opportunity has been taken to remove the language that was in the original version reflecting the transition from management by the developer to the owners via the Board of Directors. The proposed revision to the Bylaws together with the current version and a markup showing the changes that have been made are available for review on our website www.wsmaonline.org. If anyone needs a hard copy, the document can be printed from the website or a copy can be requested from PCMI by calling Dolores Sue at 281-504-1306.

A MESSAGE FROM PAUL WILBURN, OUR SECURITY COORDINATOR

I want to express to the residents of Williamsburg Settlement that they are fortunate to live in such a fine neighborhood in the west Katy area. The neighborhood is an ideal place to raise a family. As we are all aware, Katy has grown tremendously and is continuing to grow...which, along with the bad economy, does create more criminal activity.  We all have to do our personal best to keep this type of criminal activity from infiltrating our neighborhood. The surrounding communities have been dealing with negative issues for a while now and it is vital that we remind ourselves that our neighborhood isn’t immune to these criminal activities. We HAVE to do what is in our ability to protect our property and families.  In areas surrounding our neighborhood, the criminal activity is on the rise, which involves parked cars in the street and even in the driveways of resident homes. Also garages are targets to the criminals that are “shopping.â€? Many of the garages that are targeted by criminals are not even locked.  REMEMBER that the residents and citizens of the county are “the eyes and earsâ€? of law enforcement. Reporting any suspicious activities day or night will only help the officers to apprehend these

criminals. The simple act of taking down, whenever possible, a license tag or good description of a vehicle can make a big difference. We must all pull together to keep our homes and families safe. Therefore, to contact the Harris County Sheriff’s office (nonemergency) call 713-221-6000 and the emergency number to call in all “in progressâ€? emergencies 911.  Safety Tips, which may deter criminal activities: 1) Make sure all doors to homes and garages are locked. 2) If at all possible, install “motionâ€? lights in front of garage and driveway. It’s a good idea to park your car near these type lights in case someone approaches your car. 3) If gone for an extended amount of time, make sure someone picks up the newspapers in your driveway. 4) Place your home on “Vacation Watch.â€? 5) If you can’t park your vehicle in your garage then when at all possible, park it in your driveway; keep all doors locked and keep valuables out of sight.  Remember the police are working to deter all criminal activity in your neighborhood and your help is greatly appreciated.

MARCH YARD-OF-THE-MONTH

The March Yard-of-the-Month award goes to Daniel & Sharon Jefferson of 1506 Durfey. Sharon has lived in Williamsburg Settlement since 1978 and in 1985 married Daniel and they both enjoy living in the Settlement. They do their own landscaping and yard maintenance. They chose all the plants themselves. The yard is a beautiful blend of seasonal colors, evergreens, ground covers and stone, with the begonias in bloom at this time. Drive by and enjoy the fantastic gardening skills of this family. Thanks Daniel and Sharon for helping Williamsburg Settlement be the kind of neighborhood we are proud to live in.

DRAFT MINUTES OF THE MEETING OF THE BOARD OF DIRECTORS OF Wsma, INC.

FEBRUARY 21, 2012 A meeting of the Board of Directors of the Williamsburg Settlement Maintenance Association, Inc. was held on Tuesday, February 21, 2012, 5:30 PM, at the Williamsburg Settlement clubhouse, 1602 Hoyt, Katy, Texas 77449. ATTENDANCE Board Members present were Floyd Ball, Dave Ellis, Walter Smith, Don McClelland, Martin Spears and Cyndy Thompson. Also in attendance were Dolores Sue, representing Planned Community Management, Inc. (PCMI) and Officer Paul Wilburn. With a quorum being established, the meeting was called to order at 5:30 PM. MINUTES The Board reviewed the minutes of the January 17, 2012 meeting. A motion to accept the minutes with one minor correction was made by Walter Smith seconded by Dave Ellis and unanimously approved. HOMEOWNER CONCERNS There were three (3) homeowner present for the Customer Concerns portion of the meeting. A resident asked the proper procedure for addressing the problem of a dog getting over a fence and into her yard. The Board asked if this resident has talked to their neighbor and the resident confirmed that this has been done on a number of occasions. The Board explained that it has no statutory authority in these matters and the only recourse available is to call Harris County Animal Control to pick up the loose dog if the situation cannot be amicably resolved with the neighbor.

PATROL SERVICE REPORT Martin Spears presented the patrol service report. At this point, Officer Wilburn was thanked for attending the meeting and subsequently left. FINANCIAL AND DELINQUENCY SUMMARY Dave Ellis presented the financials. As of January 31, 2012 the money in the bank totaled $668,421.88. This includes checking, savings accounts and CD’s and is the money to cover both operating expenses and the necessary reserve to fund maintenance and replacement of the Association’s capital assets. Delinquency for the month ending January 31, 2012 totaled $155,902.30. OLD BUSINESS Pump Room Door Replacement Martin Spears reported that this task is still in work. Close Out Report on Sealing of Granite and Tile Joints Martin reported that the granite counters and the tile joints in both restrooms have now been sealed thus completing the restroom renovation project. Update Perimeter Fence Repair Project The last perimeter fence repair session that was scheduled for February 18, 2012 was postponed due to rain and has been rescheduled for March 24, 2012 pending good weather. Floyd Ball reported that he has completed the survey of residents with gates on the perimeter fence facing Berkley Park. Seven (7) out of ten (10) residents will allow the gates to be removed and fencing installed. The Board will continue the practice of providing lunch for the residents volunteering for the fence repair in appreciation of their support on this project.

Status on Ladies Tennis League Dave Ellis reported that the agreement with the ladies tennis leagues that use the Association courts has been signed. The league that no longer has a Settlement resident has relocated to other facilities and the keys have been returned to the Association. The agreement is now posted on the website and has been sent to the Association attorney for filing at the courthouse. There is one league that did not sign the agreement as it will not be using the courts after the end of the Spring session. Karen Mace was at the meeting and informed the Board that she has purchased the two new rollers and a new trash can for the ladies restroom that were approved at the January meeting. She presented her receipts for the Association’s reimbursement of the cost for these items. Report on December 28, 2011 Electrical Problem and Resulting Fire Dave Ellis reported that CenterPoint Energy has denied the Association‘s claim. It’s rational for doing so is that the line did not directly contact our tennis court fence. Apparently, when the line fell, it contacted metal piping that was stored by the homeowner on the utility easement. The connection to our metal tennis court fence was via an arc through the wooden fence. It argues that as the utility easement should have been clear of “obstructions and material,” CenterPoint cannot be held liable for the damage. Dave Ellis will continue to pursue this issue.

Annual Meeting The Board discussed the contents of the annual meeting notice mail-out. As in the past, the pool tag registration notice and annual meeting notice will be mailed in the same package. Due to the early swim team registration dates, this package will have to be mailed out a lot earlier than usual. The Board invited anyone in attendance at the meeting to submit their name as a candidate for election to one of the two director vacancies that will become available in April. Dave Ellis and Walter Smith, whose terms will be expiring, offered their names for re-election. None of the homeowners present at the meeting expressed interest in running for a director position. Any owners interested in being a candidate for a director position on the Board and having their name placed on the official ballot should contact Dolores Sue with PCMI before or by the end of the WSMA Board Meeting scheduled at the clubhouse on March 20, 2012. There will also be an opportunity to nominate a candidate from the floor the night of the meeting. There was a motion from Walter Smith to accept the annual meeting notice, proxy and official ballot as written, seconded by Cyndy Thompson and unanimously passed. The official notice should be mailed out no later than March 23, 2012. Plant Replacement on Cul-de-sacs There has been a request that the Board replace on the cul-de-sac islands some plants that have died during the drought. The Board unanimously agreed that Larry Crain can proceed with replacing plants up to the cost available within the currently approved budget. Should additional cost be required, Larry Crain should submit a proposal to the Board for approval of additional funds. Tree Trimming Dave Ellis reported that the forty-six (46) trees bordering the perimeter fence along Colonial Parkway from Carters Grove to

Christopher Wren, which belong to the Association, are in need of trimming. The Board has obtained two (2) proposals for this work. Garcia Professional Tree Service proposal was for $1,740 and Texas Lawn Care bid $3,555. A motion to accept the proposal from Garcia Professional Tree Service in the amount of $1,740 was made by Dave Ellis, seconded by Walter Smith and unanimously approved.

DECISIONS MADE DURING EXECUTIVE SESSION Delinquencies The Board officially wrote off small amounts of interest accrued on fourteen accounts. This was unanimously approved as the checks were received just a few days late and these homeowners had paid the amount invoiced in full and had no previous delinquencies.

Draft 2011 Audit Report Dave Ellis presented the draft 2011 audit report prepared by Kenneth Johse, CPA. Dave has been in discussion with Kenneth on some issues and is now satisfied that the current draft accurately represents the state of the Associations finances as of December 31, 2011. Walt Smith made a motion to accept the audit report as presented. This was seconded by Dave Ellis and unanimously approved.

The Board officially wrote off $17.54 on one account, which had a change in ownership and it was agreed that the prospects of collecting this amount were exceedingly low and did not justify the effort that it would take to pursue its collection.

Electrical Invoices Dave Ellis reported to the Board that he has been working with Mike Harrington, Vice President of American Enerpower, on trying to recoup the Miscellaneous Gross Receipts tax that has been charged on the electricity supplied to our streetlights ever since we changed from Reliant. The problem is that CenterPoint categorized all streetlights as being in zip code 77002 which is downtown, and therefore, triggered this tax. CenterPoint has now conceded the issue and corrected the zip codes for these lights. Dave has therefore been able to recoup this tax that was paid to Glacial Energy over the past year and our current supplier, Brilliant Energy, will be refunding the Association those amounts paid on these taxes since they took over as our electricity supplier last November. ADJOURNMENT TO EXECUTIVE SESSION At 6:35 PM, the Board adjourned to executive session to discuss Delinquencies, Deed restriction and contract matters. The Board thanked the residents for coming to the open session ADJOURNMENT OF EXECUTIVE SESSION At this time, the Board reconvened to open session to inform residents of decisions made during executive session. There were no homeowners present.

It was also officially decided that all accounts which have not already been turned over to the Attorney for collection or which have not entered into an approved payment plan and on which the amount owing is $100 or more as of about March 1, 2012, will be mailed the certified demand letter the cost of which will be billed to the owner’s account. Anyone owing $99 or less will be sent reminder notices. The Board reserves all rights to send certified demand letters as may be needed throughout the year without regard to the criteria as listed above. Deed Restriction Violations The Board instructed PCMI to turn over one residence to the attorney if the violations are still evident at the March inspections. The Board reviewed a letter from a resident requesting the Association take action on weeds in lawns and lawns in general. The Board instructed PCMI to respond to the complainant that during the drought the Board did allow some leniency on lawn care. The Board sends one notice, a reminder and then a final demand letter with the Texas Property 209 language. Pursuant to the Texas Law if the violation is not cured within the thirty days (30) the Board can and sometimes does turn them over to the Association attorney for legal action. With no further business the meeting was adjourned at 7:05 PM. The next meeting will be March 20, 2012.

However, email addresses do tend to be rather dynamic, as residents change their ISP for a variety of reasons and when they do so, unless they re-register their new email addresses on the Registration page of the web site, they will no longer receive these broadcast emails. So please, when conveying a new email address to those in your address book, please also update our mailing list by removing your old email address and replacing it with your new one. This will ensure that you continue to receive the timely announcements on important Settlement activities. And for those who have not yet registered, you are strongly urged to do so, as this is the best mechanism we have to quickly communicate with our residents. Thanks in advance for your cooperation.

RESIDENT DIRECTORY MAINTENANCE

If any resident wishes to change the information that they have previously provided for publication in the directory, they can do so by using the Residents’ Directory Entry Form accessible via the Registration page of our website www.wsmaonline.org. When the information is received, it will be updated on the database. If the resident indicates that he or she wants that information published in the directory, it will be sent out in a monthly update to all registered residents who can use it to manually annotate their copy and it will be marked for inclusion in the next edition. A log will be maintained of all changes since the last publication, which will be emailed to any resident who requests it. This way, the directory can remain useful throughout its operational life. New residents to our subdivision are requested to use the same form to register their information for inclusion in the directory or to state their desire not to have their information included. This request is included in the “Welcome Packet” given to all new residents, as soon as PCMI is made aware of the change in ownership.

STREET LIGHT OUTAGES

To report a burned out street light, any resident may call CenterPoint directly at 713-207-2222. However, for those with Internet access, you may also make this report on-line. For those interested, the website address to do this is http://cnp.centerpointenergy.com/outage. Then enter your contact details so that they can get back to you if more information is required. On the following page enter the details of the light(s) with the problem. Just as you would if reporting the outage via the telephone, you will need to provide the street address where the light is located and the 6-digit number that is prominently displayed on the front of the pole. Under normal circumstances the crew will be out to fix the problem within 7 working days. Anyone noticing a streetlight that is out or has some other malfunction is encouraged to report the problem to CenterPoint via either of these two methods without delay. Our Association is charged for every streetlight each month, irrespective of whether or not the light is functioning. So please help us get value for your hard earned money!

Reminder About House painting

Residents need to be sure and pay attention to the state of the paint on their houses. Many of the houses in the settlement are of an age that they will soon need to be repainted or sided. Please be proactive in getting this done when necessary. Doing this before you have a problem will not only keep your house looking nicer, but doing it early can end up saving you money! But please remember that all such work does require Architectural Review Committee approval. This is obtained by completing a “Request For Home Improvement Approval” form and mailing it to PCMI. A blank copy of this form is included in this newsletter and is also available on the Board Notices and Forms page our website at WSMAonline.org.

The Clubhouse is available for rental for non-profit activities to all residents in good standing with the Association The fees are as follows: BIG ROOM RENTAL FEE: Up to 49 people - $50 50-100 people - $75 Plus a refundable security deposit: No alcohol served - $100 Alcohol served or the attendance of 20 or more between the ages of 13 and 21- $200* SMALL ROOM RENTAL FEE: Up to 20 people - $30 Plus a refundable security deposit of $50 *Note that when alcohol is served, two security guards must also be on duty. The requirement for two is mandated by the Sheriff’s Department. When no alcohol is being served but the event is attended by 50 or more people and continues past 6:00 PM or 20 or more people between the ages of 13 and 21 unaccompanied by their family members, one security guard is required. The charge for the security guards, which is paid directly to the officers, is the responsibility of the resident requesting the rental. All deposits refundable upon passing the exit inspection. February 23, 2012 - During this week’s work study meeting, Superintendent Alton Frailey announced the reassignment of Debbie Decker as the executive director of athletics for Katy ISD. Decker has been serving as interim executive director of athletics since the retirement of Rusty Dowling in January 2012. Decker has been with Katy ISD since 2005 as assistant athletic director. She has been responsible for assisting in the overall organization and administration of the Katy ISD Athletic Department.

2012 KATY Folk life Festival

What was life like for the pioneers of early Texas? How did they Dress? What skills did they need to survive? Where did the children go to school? What kinds of animals did they own? These questions and many more will be answered for those who attend the 27th Annual Katy Folk Life Festival. The Katy ISD Outdoor Learning Center will be transformed into scenes of the late 1800’s, as many demonstrations and activities of pioneer life are recreated.
