Summary BE PART OF OUR GREAT PROJECT We at Justswim Academy Ltd are excited to partner with you to be part of our great swimming pool/Academy project which is located in Gwarinpa Abuja. We are planning a 25 meters by 15 meters swimming pool for swimming, Water sports, training and other aquatic activities.

This project is estimated to cost about NGN 30, 000 000 ( Thirty million Naira) in the city of Abuja Gwarinpa precisely. We are planning a warm swimming pool so that during the winter or summer our clients will still find it comfortable to swim. Our Academy has a total of 1,000 register membership and still expanding.

Giving the estimated budget our academy has not generated that much profit in such, we are calling on peoples, individuals, cooperates organization, NGO and companies who want to be part of the project to please join in as we plan a future together to train and save lives from drowning and put Nigeria on the map of World Aquatic.

At the completion of this project each client will pay the sum of N250,000 monthly fees for training N200,000 monthly fees for swimming only N10,000 daily fees for swimming only N20,000 daily training fees

PARTNERSHIP AGREEMENT This project Partnership Agreement ("Agreement") is entered into by and between JUSTSWIM ACADEMY LTD hereinafter referred to as the "Platform," and _______________, hereinafter referred to as the "Partner."

This Agreement outlines the terms and conditions for the partnership between the Platform and the Partner to CONSTRUCT SWIMMING POOL and Swimming classes in the swimming pool..

1. DEFINITIONS 1.1 "Platform" refers to JUSTSWIM ACADEMY LIMITED, the Swimming Academy..

1.2 "Partner" refers to ___________________ who partner with the Platform.

2. PURPOSE AND SCOPE 2.1 Purpose: The purpose of this Agreement is to establish a partnership between the Platform and the Partners to promote and facilitate the construction and provision of swimming services.

2.2 Scope: The Partners agree to contribute financially or materially in the cause of this project, during the term of this Agreement as well as to access further agreed and documented benefits signed by both parties both now and in the future, and subject to the terms and conditions herein.

3. PARTNERSHIP BENEFITS 3.1 Money growth: By partnering with the Platform, the Partners gains 15% of their money invested in 28-31 days (monthly).

3.2 Lifetime investment: The partner gain a lifetime investment that can be transferred to his children.

3.3 Customer/clients : The Platform provides provides so many channels to reach out to customers through social media, news channel and other Internet platforms.

3.4 Financial Transactions: The Platform will facilitate secure payment processing, ensuring that the Partner receives their earnings in a timely manner. Other agreed fees will also be agreed upon by the parties and will be in all cases mutually signed by both parties and documented.

3.5 Reviews and Ratings: The Platform allows clients to leave reviews and ratings, which can enhance reputation and credibility.

3.6 Data and Analytics: The Partner will have access to valuable data and analytics as it pertains to the Partners specific business with the Platform.

4. FiNANCIAL TERMS 4.1 Sharing formula: The Platform and the partners meets every month to share the monthly generated revenue.

4.2 Percentage Fees: 15% of the money invested by the partners will be sent to their respective bank account every month.

4.3 Payment channels: The platform shall open bank account with any of the chosen financial institution by the name Justswim Academy Ltd where all payments will be directed to the account.

5. DURATION AND TERMINATION 5.1 Term: This Agreement shall commence on the effective date and continue until terminated by either party with a month written notice.

5.2 Termination: The Platform reserves the right to terminate this Agreement immediately in case of Partner's material breach, violation of any laws, or unethical conduct; especially conduct likely to be termed unprofessional in view of re-purposing the client acquisition process and the client acquisition channel.

6. MAINTENANCE AND ORDER 6.1 Maintenance: To maintain the premises and compound shall be so responsibility of the platform.

6.2 Order: The platform shall ensure there's order and cleanness of the facilities this includes the swimming pool and the entire facility.

7. DATA AND PRIVACY 7.1 Data Usage: The Platform will collect and process data related to bookings, clients, and transactions for the purposes of facilitating the services offered. Data usage will be governed by the Platform's privacy policy. Either party will not be liable for the breaches that occur at the responsibility of either party.

8. DISPUTE RESOLUTION 8.1 Mediation and Arbitration: Any disputes or disagreements arising from this Agreement shall be resolved through conciliation and mediation. The prevailing party shall be entitled to recover reasonable legal fees and costs. Court adjudication shall apply as a last resort 100% of the time. Parties shall agree and submit to dispute resolution for any issues raised by either party not later than 48 hours after receipt of a cause of action that requires a resolution.

9. NON-SOLICITATION CLAUSE 9.1 During the term of this agreement, the Partner agrees not to directly solicit, approach, or engage with any clients, customers, or members introduced to the swimming services through the Platform. The Partner shall not attempt to divert, entice, or transact directly with such clients for the purpose of providing swimming services outside of this platform. Any attempt to do so shall be considered a breach of this agreement, except the contract is terminated by either party.

9.2 The Partner acknowledges that the Platform invests time, resources, and efforts in acquiring and retaining clients and members.

9.3 In the event of a breach of this clause, the Partner shall be liable for any damages, losses, or expenses incurred by the Platform, including legal costs associated with enforcing this provision.

10. PRICE ADJUSTMENT CLAUSE 10.1 Price adjustment, promotion, advertisement and other forms of changes that will attract clients shall by done by the platform provided that the partners are okay with the development.

11 STAFFING :AND SALARY 11.1 Staffing: The platform shall be responsible for staffing and coordinating the academy/swimming pool..

11.2 Salary: The platform shall be responsible for the payment of staff salary and their welfare.

11.3 Staff payment: the staff salary shall be pay from the 60% secure by the platform.

12. ACCIDENT 12.In the event of accident the platform shall take full responsibility for the cause of the the accident without involving the partners.

13. CONFIDENTIALITY Both parties agree to maintain the confidentiality of any nonpublic information disclosed during the course of this partnership.

14. AMENDMENTS This Agreement may be amended only in writing and signed by both parties.

15. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of Nigeria.

This Agreement represents the entire understanding between the parties and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.
