This project Partnership Agreement ("Agreement") is entered into by and between JUSTSWIM ACADEMY LTD hereinafter referred to as the "Platform," and , hereinafter referred to as the "Partner." This Agreement outlines the terms and conditions for the partnership between the Platform and the Partner to CONSTRUCT SWIMMING POOLandSwimmingclassesintheswimmingpool..

1 Definitions

1.1 "Platform" refers to JUSTSWIM ACADEMY LIMITED, the Swimming Academy..

2.PURPOSEANDSCOPE

21Purpose:ThepurposeofthisAgreementistoestablishapartnership between the Platform and the Partners to promote and facilitate the constructionandprovisionof swimmingservices.

22 Scope: The Partners agree to contribute financially or materially in the cause of this project, during the term of this Agreement as well as to access further agreed and documented benefits signed by both parties both now and in the future, and subject to the terms and conditionsherein.

3.PARTNERSHIPBENEFITS

3.1 Money growth: By partnering with the Platform, the Partners gains 15%oftheirmoneyinvestedin28-31days(monthly)

3.2 Lifetime investment: The partner gain a lifetime investment that canbetransferredtohischildren.

33 Customer/clients : The Platform provides provides so many channels to reach out to customers through social media, news channelandotherInternetplatforms.

34 Financial Transactions: The Platform will facilitate secure payment processing,ensuringthatthePartnerreceivestheirearningsinatimely manner.Otheragreedfeeswillalsobeagreeduponbythepartiesand willbeinallcasesmutuallysignedbybothpartiesanddocumented

3.5 Reviews and Ratings: The Platform allows clients to leave reviews andratings,whichcanenhancereputationandcredibility.

3.6 Data and Analytics: The Partner will have access to valuable data and analytics as it pertains to the Partners specific business with the Platform

4.FiNANCIALTERMS

4.1Sharingformula:ThePlatformandthepartners meetseverymonthto sharethemonthlygeneratedrevenue.

4.2 Percentage Fees: 15% of the money invested by the partners will be senttotheirrespectivebankaccounteverymonth

43 Payment channels: The platform shall open bank account with any of thechosenfinancialinstitutionbythenameJustswimAcademyLtdwhere allpaymentswillbedirectedtotheaccount.

5.DURATIONANDTERMINATION

5.1 Term: This Agreement shall commence on the effective date and continueuntilterminatedbyeitherpartywithamonthwrittennotice

52 Termination: The Platform reserves the right to terminate this Agreement immediately in case of Partner's material breach, violation of any laws, or unethical conduct; especially conduct likely to be termed unprofessional in view of re-purposing the client acquisition process and theclientacquisitionchannel.

6 Maintenanceandorder

6.1 Maintenance: To maintain the premises and compound shall be so responsibilityoftheplatform.

6.2 Order: The platform shall ensure there's order and cleanness of the facilitiesthisincludestheswimmingpoolandtheentirefacility.

7 Dataandprivacy

7.1 Data Usage: The Platform will collect and process data related to bookings, clients, and transactions for the purposes of facilitating the services offered. Data usage will be governed by the Platform's privacy policy. Either party will not be liable for the breaches that occur at the responsibilityofeitherparty

8.DISPUTERESOLUTION

8.1 Mediation and Arbitration: Any disputes or disagreements arising from this Agreement shall be resolved through conciliation and mediation. The prevailing party shall be entitled to recover reasonable legal fees and costs. Court adjudicationshallapplyasalastresort100%ofthetime.Parties shall agree and submit to dispute resolution for any issues raised by either party not later than 48 hours after receipt of a causeofactionthatrequiresaresolution.

9.NON-SOLICITATIONCLAUSE

9.1Duringthetermofthisagreement,thePartneragreesnotto directlysolicit,approach,orengagewithanyclients,customers, or members introduced to the swimming services through the Platform. The Partner shall not attempt to divert, entice, or transact directly with such clients for the purpose of providing swimming services outside of this platform. Any attempt to do so shall be considered a breach of this agreement, except the contractisterminatedbyeitherparty.

9.2 The Partner acknowledges that the Platform invests time, resources, and efforts in acquiring and retaining clients and members.

93 In the event of a breach of this clause, the Partner shall be liable for any damages, losses, or expenses incurred by the Platform, including legal costs associated with enforcing this provision.

10.PRICEADJUSTMENTCLAUSE

10.1 Price adjustment, promotion, advertisement and other forms of changes that will attract clients shall by done by the platform provided that the partners are okay with the development.

11STAFFING:ANDSALARY

11.1 Staffing: The platform shall be responsible for staffing and coordinatingtheacademy/swimmingpool..

11.2 Salary: The platform shall be responsible for the payment ofstaffsalaryandtheirwelfare.

11.3 Staff payment: the staff salary shall be pay from the 60% securebytheplatform.

12.ACCIDENT

12.In the event of accident the platform shall take full responsibility for the cause of the the accident without involvingthepartners.

13.CONFIDENTIALITY

Both parties agree to maintain the confidentiality of any nonpublic information disclosed during the course of this partnership.

14.AMENDMENTS

This Agreement may be amended only in writing and signed bybothparties.

15.GOVERNINGLAW

This Agreement shall be governed by and construed in accordancewiththelawsofNigeria.

This Agreement represents the entire understanding between the parties and supersedes all prior and contemporaneous agreementsandunderstandings,whetheroralorwritten.
