ABOUT JCI PETALING JAYA WHO WE ARE JCI Petaling Jaya (JCI PJ) was founded in year 1980 by JCI Senator DJ Lourdes (Past President of JCI Bukit Mertajam) and the late JCI Senator Patrick Wong (Past President of JCI Ipoh) and extended under JCI Kuala Lumpur. JCI PJ was officially registered under the Registrar of Society on 21 April 1981 and installed its Charter President, JCI Senator Felix Gong, in September 1981. Currently, JCI PJ is registered under the Registrar of Youth as well as the Ministry of Youth and Sports Malaysia, and is affiliated to JCI Malaysia and Majlis Belia Selangor.

JCI PJ is an award winning local organization that is affiliated to JCI Malaysia, maintaining the 100% Efficiency Award since year 2009 till now. JCI PJ has won numerous awards at JCIM Annual National Convention, JCI ASPAC and JCI World Congress since its inception. It was also awarded the Most Outstanding Local Organization in Malaysia 7 years consecutively from years 2009-2015. In 2019, JCI PJ was the first NGO being awarded with Eco Office Certification under Eco Office Initiative Project (EIPO) by NetsECo. JCI PJ is now operating from its new headquarters in Damansara Perdana, where board meetings, training and members' gatherings are held monthly. JCI PJ is managed by its Boards of Directors, who are elected annually and contribute on a purely voluntary basis. Members are given leadership opportunities, and practices the "1 Year to Lead" concept, giving every member equal opportunity to be elected as board members and lead the organisation.

JCI PJ conducts various events annually, including its signature projects such as the International Children Drawing Contest (organized in collaboration with JCI Higashi Iruma, Japan) and Dragon Ambassador (organized in collaboration with JCI City, Hong Kong). Both projects won international awards in 2019 JCI Asia Pacific Conference (ASPAC) held in Jeju, Korea, and in 2019 JCI World Congress held in Estonia (Europe) respectively.

JCI PJ also conducted many community projects such as JCI PJ FoodHero (collecting excess breads from bakeries and channel the same to orphanages), Stand By Me (a project to raise funds for JCIPJ-UMMC Leukemia and Childhood Cancer Trust Fund) and many others.

JCI PJ is also experienced in organizing JCIM National Awards, having hosted the JCI Creative Young Entrepreneur Awards (JCI CYEA) consecutively from years 2009-2016 on behalf of JCI Malaysia, and won the JCIM Sustainable Development Award in 2018. Through these award programs, JCI PJ has built strong relations with various ministries, youth organizations, NGOs and media in Malaysia.

Internationally, JCI PJ has 3 sisterhood pacts with JCI Higashi Iruma (Japan), JCI Taoyuan (Taiwan) and JCI City (Hong Kong), as well as 1 brotherhood pact with JCI Tawau (Sabah). JCI PJ is also the Founding Member of the Commonwealth Asia Alliance of Young Entrepreneurs (CAAYE - now rebranded as CAYE-Asia). CAYE-Asia is a network of organizations focused on youth entrepreneurship development from 8 countries (Bangladesh, Brunei, India, Malaysia, Maldives, Singapore, Sri Lanka and Pakistan) and 1 observer nation (Nepal). It was formed by the mandate given through the Commonwealth Heads of Government Meeting and is now recognized as a best-practice network by the Commonwealth Secretariat. JCI PJ had the honor to co-host the 1st CAAYE Interim Summit in July 2012 in Kuala Lumpur and hosted the 4th CAYE-Asia Young Entrepreneur Summit from 30 Oct - 1 Nov 2015 in Putrajaya.

successfully bidding JCI Malaysia Academy in the first National Board of Directors' meeting, successfully conducted Public Speaking, Debate workshops and also had creatively hosted their Installation and Awards Luncheon held on 13.3.2022.

By attending JCI Petaling Jaya’s Local Officer Academy, working closely together with President Henry and his team, had brought a very warm memory in these months, they are committed, thoughtful and they carry a very PURE energy which I really enjoy hanging out with them.

I am looking forward to JCI Petaling Jaya to strive even higher and achieve all the goals which had been set by President Henry and his team at the start of the year! I will always be there to support you~

First of all, allow me to say thank you and give you a big hug for spending your time to read this e-newsletter which we have prepared specially for you! It is your appreciation that pays off our hard work in coming up with this e-newsletter. Thank you!

To be an editor again since my last editorial work in 2004 is indeed very special to me, it brought back so much good memories and words just cannot express how grateful I am to our President Henry Ng for entrusting me with such an important task, I will try my best not to disappoint.

Coming back to this e-newsletter, being the first issue in 2022, we seek to first introduce Junior Chamber International (JCI) as well as JCIPJ to all of you who are still not familiar with us. We also would like to share our activities which we have carried out with all of you. Fun is only truly fun when we share it, don’t you think so?

This year is destined to be an eventful year, with the relaxation of measures in respect of Covid-19 and we are allowed to return to physical activities again. We have planned for activities, events and projects throughout the year. Come and join us, I am sure it will be more fun with your participation!

Last but not least, I would like to express my gratitude to my predecessor, 2021 JCI PJ Local Secretary Connie Soh, who relentlessly and selflessly guided and assisted me in the preparation of this issue of e-newsletter; this would not have been possible without her help and support. A big thank you to you!

ON 13TH MARCH 2022, SUNDAY, JUNIOR CHAMBER INTERNATIONAL PETALING JAYA (ALSO KNOWN AS JCIPJ) SUCCESSFULLY CONDUCTED ITS 41ST INSTALLATION AND AWARDS BANQUET AT THE CHATEAU DE CAFFEINEES. THE INAUGURATION CEREMONY IS AN ANNUAL ACTIVITY TO RECOGNIZE THE CONTRIBUTIONS OF THE PREVIOUS COMMITTEE MEMBERS, AND IT FURTHER REPRESENTS A NEW BEGINNING FOR THE CHAPTER IN A BRAND NEW YEAR. THE THEME OF THE CEREMONY THIS YEAR IS DESIGNATED AS “SECRET FUN FAIR, REDISCOVER FUN”, WHICH IS AN IDEA DESIGNED TO ENCOURAGE THE GUESTS TO RECONNECT AND REKINDLE WITH ONE ANOTHER BY INDULGING THEMSELVES IN THE CARNIVAL MINI-GAMES AND LIVE MAGIC SHOW (PERFORMED BY ANDREW LEE) THAT JCIPJ HAS ARRANGED FOR THEM, IN HOPE THAT IT WOULD REINVIGORATE OUR GUESTS BY REDUCING SOME OF THE FATIGUE GAINED FROM SOCIAL DISTANCING. 10.2.2022 Media Visit to Sin Chew Daily Media and Business are two sides of the same coin. JCI Petaling Jaya has been working closely with Sin Chew Daily in the past, and in conjunction with Chinese New Year, we organised a corporate visit to their headquarters to send our greetings and regards, while at the same time to further strengthten our relationship with them.

15.3.2022 Corporate Visit to ReSkills ReSkills is a company with a mission to provide accessible and affordable education to people everywhere and aims to accomplish this through nine exclusive educational programs, each covering a different medium and aspect of online-learning.

It was a fruitful visit as we discovered that going to classrooms for classes is now a thing of the past, and how education is made more accessible now with with the advent of technology, especially during the pandemic!

Little we have, more we give Orphanage visit on 6.3.2022 While we live our own comfort life, we tend to take things for granted, forgetting that there are many children out there who are in need of help and love.

It is with this in mind that JCI Petaling Jaya collaborated with JCI Tawau to organise this visit to Pertubuhan Kebajikan Cahaya KASIH, an orphanage. During this visit, we helped tidied up the orphanage and managed to find out what are the items they need.

It is a truly eye-opening experience as we come to realise that sometimes, little things in life can make such a big difference in someone else's life.

We are blessed to be able to live in a peaceful country, without wars and without natural disasters and being able to spend time with our loved ones.

However, we must not forget that there are people who are less fortunate and had to leave their home countries to flee from wars and persecutions. On 12.3.2022, JCI Petaling Jaya took the initiative to organise a visit to Malaysi Social Research Institute, an organisation that provides education to refugees and had a discussion with Lend A Hand Kuala Lumpur, an NGO currently offering their support at the Institute.

Refugees are just like us, they are one of us, and when they need help, we lend a hand. Through this visit, we came to understand that tutoring refugees are different and requires additional skills. JCI Petaling Jaya is currently planning something impactful, stay tuned for our upcoming projects!

Covid-19: How Does It Affect Commercial Contracts?

SECTION 7 OF THE TEMPORARY MEASURES FOR REDUCING THE IMPACT OF CORONAVIRUS DISEASE 2019 (COVID-19) ACT 2020: A CASE STUDY THIS ARTICLE WAS WRITTEN BY ISAAC TAN (PARTNER OF TAY CHAI HUAT & CO)

Contracts are arguably one of the most important aspects in our daily lives. From buying a candy at the convenient store, to multi-billion dollar deals, they are all governed by contracts even though you may not even realise it.

It is very common for contracts to contain a Force Majeure clause; a clause which spells out what is to happen to the contract if its performance is affected by unforeseen circumstances which occurred after entering into the contract.

Such a clause would be handy when the whole world, our country included, was taken by surprise by the Covid-19 Pandemic in 2020. If there is a Force Majeure Clause in your contracts, then thank your lawyer, you are covered.

However, what happens to contracts without such a clause?

In the absence of such a clause, one can always fall back on the doctrine of frustration. The doctrine has its root in common law and in Malaysia the doctrine has been adopted and finds its current form in section 57(2) of the Contracts Act 1950. The section provides that: “A contract to do an act which, after the contract is made, becomes impossible, or by reason of some event which the promisor could not prevent, unlawful, becomes void when the act becomes impossible or unlawful.”

In English, it simply means the contract comes to an end and parties are no longer legally required to perform their respective obligations under the contract.

However, s.57(2) may not be the best solution when it comes to contracts affected by the pandemic. The reason is simple: it kills the contract; but the pandemic will end one day.

Parties to a contract may still want to continue with their business relationships after the pandemic is over. Frustration is just too frustrating, and drastic.

"Inability to perform contractual obligation"

Luckily for us, our government stepped in and enacted the Temporary Measures for Reducing the Impact of Coronavirus Disease 2019 (covid19) Act 2020 (yes, long name, I get it, so we will go by "Covid Act"). This was intended to ease the impact of the pandemic on commercial contracts.

The section that is relevant to our discussion here is section 7, which states that: “The inability of any party or parties to perform any contractual obligation arising from any of the categories of contracts specified in the Schedule to this Part due to the measures prescribed, made or taken under the Prevention and Control of Infectious Diseases Act 1988 [Act 342] to control or prevent the spread of COVID-19 shall not give rise to the other party or parties exercising his or their rights under the contract.”

Again, in English, it simply means parties are prevented from insisting on their legal rights under a contract if the performance of the contract is affected by the government's measures in battling the pandemic. One important caveat: Section 7 of the Covid Act only applies to categories of contracts listed in the Schedule to the Covid Act. If your contract is not within the categories listed, then, tough luck, you will have to live with it.

However, just because your contract comes within the list, it does not mean that the section will automatically applies to save the day. This section has been subjected to several judicial interpretation and today we will look at one of the cases that dealt with this section: Ravichanthiran A/L Ganesan (Menjalankan Amalan Guaman Di Tetuan G Ravi) v Lee Kok Sun (Menjalankan Perniagaan Milikan Tunggal Dengan Nama Dan Gaya Sebagai L & L Brother Engineering Services) & Ors and Another Case [2021] MLJU 1876 (Yes, another long name, welcome to the legal world) Brief facts of the Case: To cut the long story short, it was a dispute between lawyers and their clients (yes, they sued each other). Judgment was awarded and when the Judgment Creditor (winning party) sought to enforce the judgment, the Judgment Debtor (losing party) applied to court to stay the execution (meaning to put the enforcement on hold).

Legal Basis for the Application: One of the arguments raised in support of the stay application was that the Judgment Debtor was prevented from fulfilling the terms of the judgment. Why, and how? Yes you guessed it right, due to s.7 of the Covid Act.

Decision of the Court (delivered by Evrol Mariette Peters JC): The High Court began by stating that the burden of proof is on the defaulting party seeking to rely upon the Covid Act. The Court then went on to interpret the section and in summary, in order for the section to apply, one must show the following: (a) "inability to perform" and (b) "the inability was due to measures prescribed"

In this case the Judgment Debtor failed to prove the 2 requirements and therefore the stay application was dismissed.

Analysis and Commentary: It is the author's view that this is a welcome decision as it sheds light on the scope and application of the section. It should not be taken for granted and being used (or rather, misused or abused) by parties as a blanket immunity to breach contractual obligations. It would also be unfair if a party is allowed to hide behind the law and play victim when he is ready and able to perform his contractual obligations, albeit rendered more difficult by the pandemic.

As we move towards the post-pandemic era with almost every economic sector being reopened stage by stage, it is difficult to see how this section may be applied in today's context. This brings us to the question of what would amount to "inability to perform". Evrol Mariette Peters JC opined that "inability" should be factual and not merely declared inability. This simply means you must not just scream blue murder, you must prove it.

However, even if you are able to demonstrate "inability to perform", the author opines that it may still be difficult to apply the section in today's context. This is because of the 2nd requirement: the inability to perform the contractual obligation was to be due to the measures prescribed, made or taken under the Prevention and Control of Infectious Diseases Act 1988 to control or prevent the spread of COVID-19.

At the time of writing, the government has relaxed most of the measures in respect of Covid-19.

In fact, our borders are to be reopened comes 1st April 2022. It is therefore hard to envisage a situation where one can confidently claim that he is unable to perform his contractual obligations and the inability is due to measures implemented by the government, since the socalled measures are now being relaxed or lifted.

Be that as it may, the Covid Act, and section 7 in particular, is still in force and its application is currently extended to 22 October 2022* at the time of writing . The author is of the view that section 7 of the Covid Act may have a lesser role to play now in today's context, which is in line with the intention of the government.
