7.NO ADVERTISING OR PROMOTION a)No advertising or prom otion whatsoever by the Clientwillbe permittedinrelationtothedifferentcomponentsoftheHospitalitySuite orthe Event,including,withoutlimitation,anycorporate advertising sign orcorporateidentification within oroutsidetheHospitalitySuite, withoutthepriorwrittenconsentofOctane; b)Tickets orpasses forthe Event,a Corporate Suite orany ofthe differentcom ponents ofthe Hospitality Suite cannotbe resold and maynotbe used foradvertising oranyotherpromotionalpurposes including prizes,publicitycontestsorlotteries(sweepstakes)without thepriorwritten consentofOctane,whoseconsentisto theabsolute discretionofOctaneandmayinvolveconditionsasOctaneseesfit;and c)Unless a written and specific consentis obtained from Octane, the Clientmustnotreferto,advertise orpromote its activities using the Octane name oranyeventpromoted byOctane,in anywaythat connects the eventto the Clientsuch thatitim plies orgives the im pression thatthe Clientorthe Client’s activities are endorsed or sanctioned byOctane orthatthe Clientis a sponsororpartner,oris insomeotherwayconnectedtoOctaneortheevent.Nothinginthese TermsandConditionsgivesanyrightorentitlementoruseoflogosor trade-marksorotherintellectualpropertiesrelatedtothepresentation oftheNASCAR NATIONWIDE SERIES eventin Montrealand owned by Octane and/oranyotherBeneficiary,exceptwhere Octane‘s written consenthas been given,which consentwillbe in Octane‘s absolute discretionandmayincludesuchconditionsasOctaneseesfit.

10.SMOKING POLICY The Clientagrees to comply,and use its bestendeavours to ensure thatallpersonsusing the facilitiescomplieswith the smoking policy implementedbyOctaneinrespectoftheHospitalitySuites(asrevised from timetotime).OctanewillinstallwithintheHospitalitySuitesthe appropriatesignageinrespecttotherequirementsoutlinedwithinthe smoking policy.
11.DEFAULT OF CLIENT Ifanyofthe paymenttermsspecified in the reservation form are not metbythe Client,orifthe Clientcommits anybreach ofthe present Terms and Conditions orofthe Agreementwith Octane,Octane may terminatetheAgreementbygivingseven(7)daysnoticetotheClient. In the eventthatOctane issuesa notice referred to in thisClause,the ClientisrequiredtoremedytoOctane‘ssatisfactionthebreachbefore the expiryofthe Notice,failing which the Agreementwillterminate upon the expiration ofthe seven (7)days notice.The Clientagrees in advancethatupontermination: a)TheClientwillforfeitallmoniespaidtoOctanepriortotermination;
