For the 5th consecutive year, the IZOD IndyCar® Series is returning to the City of Champions, July 20, 21 & 22, 2012, as the EDMONTON INDY® comes alive at the acclaimed 13-corner, 3.631-km City Centre Airport racecourse. The EDMONTON INDY® presents world class open-wheel auto racing featuring IZOD IndyCar® Series stars such as 2011 points champion Dario Franchitti, Edmonton winners Will Power and Scott Dixon, up and comers Marco Andretti and Graham Rahal, Canadians Alex Tagliani and James Hinchcliffe and twenty more aces from around the world. In 2012, the event will also feature the best Canadian stock car drivers as the NASCAR Canadian Tire Series is returning to Edmonton during race weekend. REBORN, ALIVE & BETTER THAN EVER. In 2011, the newly designed course, with its wind of change, brought the EDMONTON INDY® to a whole new level of excitement. As the city embarked and carried the spirit of the event all over town, spectators in the grandstands and guests in the trackside Pitlane suites and in the Last Corner Chalets enjoyed the action on the edge of their seats. From your seat in grandstand 12, just a few meters away from the track, you’ll see drivers execute extreme braking as they enter corner #13, the second of the course’s two hairpins and one of the best passing zones. You’ll see the drivers slow down to enter the hairpin, do a double-right manoeuvre, and then accelerate toward the finish line. Entering the hairpin just inches apart; this last corner may very well decide the outcome of the race. A giant screen allows you to watch all the action without leaving your seat. A few steps away from your grandstand, you will have access to a hospitality tent in which you will be able to enjoy food and drinks. We do have a private location for groups of 50 or more and also a shared tent for any small to medium size groups or individual that would like to take advantage of this location.

For consideration which ticket, access ticket Holder or suite Client acknowledges and agrees to the terms and conditions outlined at www.edmontonindy. com, as amended and updated from time to time and expressly agrees to the following: PARTICIPATION IN THIS RACING EVENT AS A SPECTATOR IS AT YOUR OWN RISK. The ticket holder expressly ASSUMES ALL RISK incident to the event, whether occurring prior to, during or subsequent to the actual conduct of the event, and HEREBY RELEASES all event participants, sanctioning bodies, Indy Racing League, LLC ("IRL"), Octane Motorsports Events, Inc. ("OME"), and all directors, officers, members, shareholders, owners, affiliates, employees and agents of each of the foregoing from any and all claims arising from the event, including claims of negligence of releasees. The ticket holder grants IRL and its designees the right to use the holder's image and/or likeness in any live or recorded video display or other transmission or reproduction of the event, including without limitation his/her rights of publicity. All rights to broadcast, record, photograph, repeat, reproduce or recreate the event are reserved by IRL. The ticket holder agrees not to take any action, or cause others to take any action, which would infringe on the rights of IRL or its designees. The holder of this ticket is not entitled to a refund, replacement ticket or to payment for any damages of any kind for any reason from Octane or IRL, including without limitation cancellation, shortening or other alteration of the event. Use of this ticket constitutes acceptance of these terms.

1. TICKET OR PASS Any ticket or pass which is falsified, modified or mutilated is void. One (1) child aged 11 and under if accompanied by an adult holding a General Admission ticket will be admitted free of charge as a General Admission spectator. A proof of age may be required. Any ticket or pass obtained from sources other than OME and its affiliates may be lost, stolen, or counterfeit, and in such cases will not be honored. Tickets may not be resold at a price higher than printed on the ticket. Tickets or passes may not be resold for any price on site.

2. INCONSISTENCY a) In the event that there is any inconsistency between a provision of these Terms and Conditions and a provision in the corporate brochure or reservation form (if applicable), the provision herein contained will prevail; b) The representation of the Event site, including the circuit, grandstands, corporate suites, giant screens as well as any other element related to the Event, as it appears on any ticket, pass, corporate brochure or on the Event's official website, may not be complete and should be used for reference purposes only. c) In the present provisions as well as in any other provision contained in the corporate brochure or in the reservation form, the expression "Hospitality Suites" shall be interpreted and understood as including the different Suites or Villas, including, without limiting the generality of the foregoing, the Pitlane Suite, Pitlane Restaurant, Last Corner Chalets and any other similar locations existing or to be implemented by the organizer of the Event (OME) or any other person designated by it.

3. CANCELLATION OME reserves the right to cancel the event with no obligation other than to refund the price of the unused portion of the ticket or pass, only upon presentation of such ticket or pass. No refund shall be made, in whole or in part, of the price of a ticket or pass nor any exchange of a ticket or pass for any reason, including without

limitation weather, any defect to the giant screens, displacement of grandstands, corporate suites or any other circumstance. In the event of postponement of the race, the ticket will be honored on the date the race is held. Service charges are non refundable.

4. ALTERATIONS TO A CORPORATE SUITE No additions or alterations to a Hospitality Suite nor any use of a Hospitality Suite other that the use outlined by the Agreement will be permitted without the prior written consent of OME. The Client will be liable for, and shall indemnify OME and/or any other Beneficiary (hereinafter defined) against, any and all costs relating to any such additions or alterations, including any costs incurred by OME.

5. UNDERTAKING The use of the ticket or pass shall constitute for the holder: a) an undertaking not to transmit, broadcast, or come to the aid of anyone wishing to do so, any description, account, picture or reproduction of the Event, its elements, participants or surroundings; IRL owns all rights to broadcast, transmit, film, tape, capture, overhear, photograph, collect or record by any means (including but not limited to television, cable television, radio, pay-per-view, closed circuit television, satellite signal, digital signal, and the Internet) all images sounds and data arising from or during any IRL event, and IRL shall be the sole owner of any and all copyrights, intellectual property rights, and proprietary rights worldwide in and to these works and in and to any other works, copyrightable or other wise, created from the images, sounds, and data arising from or during any IRL event. IRL owns the rights to all images, sounds and data from a IRL Event. For more information, contact IRL Broadcasting. The bearer of this ticket agrees not to take any action, or cause others to take any action, which would infringe upon IRL's rights. Use of this ticket constitutes acceptance of these terms; b) an acceptance of the inherent and incidental risks of attending the Event; c) an exoneration in favour of OME, the partners of OME, any company related or affiliated as well as their respective shareholders, directors, employees, representatives and agents (individually a " Beneficiary "), from any liability for damages or injuries which may arise on the site of the Event, whether it is before, during or after the Event and a waiver of any recourse in this regard; d) renunciation to any claim that could result from the capture or broadcast of his/her image in the Event venue; e) holder irrevocably grants to OME, IRL and their assigns, licensees, affiliates and successors the right to use holder's image, likeness, voice, actions and/or statements in all forms and media including composite or modified representations for all purposes, including advertising, trade, or any commercial purpose throughout the world and in perpetuity; holder hereby waives any and all claims that holder may have for libel, defamation, invasion of privacy or right of publicity, infringement of copyright or violation of any other right arising out of or relating to any utilization of holder's image as described herein; f) an undertaking to adhere to safe, prudent and respectful behaviour and to observe all security regulations and instructions established or posted on the site or given by the officials and an undertaking not to bring on the Event site any dangerous items, failing which he/

she shall be subject to expulsion with no refund; g) an acceptance by every person that any claim or other dispute between the buyer, the user or any other holder of a ticket or pass and OME and/or any other Beneficiary, regarding such ticket or pass, the Event, its running and/or the fact of attending it, shall be submitted to arbitration, excluding any judicial court, which arbitration shall take place in the province of Québec and be governed by the applicable laws in Québec, on an individual and not a collective basis, before a single arbitrator whose decision shall be final and without appeal and will be binding between both par ties; and h) a renunciation by every ticket or pass holder to the right to participate to any class action that could be aimed against OME and/or any other Beneficiary.

6. LOCATION OF A CORPORATE SUITE OME reserves the right to determine, in its absolute discretion, the final location of the facilities at the Event including, without limitation, the positioning of the different components of the Hospitality Suite.

7. NO ADVERTISING, PROMOTION OR UNAUTHORIZED RESALE a) No advertising or promotion whatsoever by the Client will be permitted in relation to the different components of the Hospitality Suite or the Event, including, without limitation, any corporate advertising sign or corporate identification within or outside the Hospitality Suite, without the prior written consent of OME; b) Tickets or passes for the Event, a Corporate Suite or any of the different components of the Hospitality Suite cannot be resold and may not be used for advertising or any other promotional purposes including prizes, publicity contests or lotteries (sweepstakes) without the prior written consent of OME which can be withheld at OME’s sole discretion, any and all authorization for such resale being expressly subjected to the compliance of the present terms and conditions in all respects. OME Expressly reserves the right to limit or deny the buying privileges of any person or legal entity which, in the sole opinion of OME, fails or has failed to respect the foregoing policy. Ticket and passes for the Event may nor be used for advertising, promotional or commercial purposes including without limitation, prizes, competitions, publicity contests or lotteries (sweepstakes) without the prior written consent of OME and IRL, each acting in their absolute discretion c) No person may use the name of the Event or part thereof (nor any abbreviation or foreign language version thereof) nor any logo or graphic device of or relating to the Event for any commercial purpose whatsoever without the prior written consent of IRL first being obtained exercisable in IRL's discretion. The Client must not advertise or promote its activities using the OME name or any event promoted by OME, in any way that connects the event to the Client such that it implies or gives the impression that the Client or the Client's activities are endorsed or sanctioned by OME or that the Client is a sponsor or partner, or is in some other way connected to OME or the Event.

8. CATERING The Client acknowledges and accepts that OME has the sole rights in respect

of choosing all catering, food and beverage ser vices for the Hospitality Suites for the Event and may appoint, from time to time, such persons or organisations as it may see fit, in its absolute discretion.

9. PERSONS UNDER 18 YEARS OF AGE The Client of a Hospitality Suite must ensure that any guest, employee or agent who is under 18 years of age is accompanied and supervised at all times by his or her parent or guardian.

10. SMOKING POLICY The Client agrees to comply, and use its best endeavours to ensure that all persons using the facilities complies with the smoking policy implemented by OME in respect of the Hospitality Suites (as revised from time to time). OME will install within the Hospitality Suites the appropriate signage in respect to the requirements outlined within the smoking policy.

11. DEFAULT OF CLIENT If any of the payment terms specified in the reservation form are not met by the Client, or if the Client commits any breach of the present Terms and Conditions or of the Agreement with OME, OME may terminate the Agreement by giving seven (7) days notice to the Client. In the event that OME issues a notice referred to in this Clause, the Client is required to remedy to OME's satisfaction the breach before the expiry of the Notice, failing which the Agreement will terminate upon the expiration of the seven (7) days notice. The Client agrees in advance that upon termination: a) The Client will forfeit all monies paid to OME prior to termination; b) OME will be free to enter into an agreement with any third party covering any or all of the rights, benefits and entitlements under the cancelled Agreement; c) The forfeit of any monies pursuant to paragraph a) and the termination of the Agreement will not preclude any other rights or recourses which OME may have against the Client as a result of the Client's default including in particular, the right to claim the total payment of the amounts due if it had not been a termination and to claim damages for breach of the Agreement.

12. DENIED ENTRY AND EVICTION; NO REFUND Notwithstanding anything to the contrary, OME reserves the right to refuse entry to (or evict from) the Event site, without compensation of refund, any person (a) not complying with the present terms and conditions or any rules or regulations located or broadcasted on the Event site; (b) who is in possession of a ticket or pass which has been sold or used other than in compliance with the present terms and conditions; or (c) who, in the opinion of OME, is under the influence of drugs or alcohol, becomes uncontrollable, is disorderly, or engages in inappropriate behavior.
