It was great to meet with you recently and to catch up with you regarding your plans to update your current website and online shop.
As promised, we’ve now set out the various items discussed - the main elements being a new website plus options on ways to promote it (social media and digital marketing).
Also included are other useful marketing materials we touched on such as emailers and printed collateral. These other items are more of a ‘pick and mix’. We are not by any means suggesting that everything needs to be done at once. However this proposal will help give you cost guidance for them all to help with planning and prioritising.

TWO - OUTLINE
ONE | CREATE A NEW COCKBURN’S TEAROOMS WEBSITE
» You’d like a website that promotes both the tearooms and your products online - as discussed we feel Shopify is the best platform to do this.
» Shopify is a very stable and effective e-commerce platform that is used by over 198,000 online stores in the UK alone. Globally they power more than 4.4 million stores.
» In the longer term, Shopify can also be used as an EPOS system, covering all physical sales at the tearoooms as well.
When we met we talked about how you’d like the site to:
» Communicate the strengths of Cockburn’s Tearooms and tell people more about who you are the way you work. Key themes to communicate are family, tradition, sustainability, ingredients, home cooked/baked, etc.
» Make it easy for you to upsell and cross-sell products across the site.
» Link effectively with your social media, enabling you to leverage the marketing potential of those platforms.
» Give you a route to highlight events / offers taking place at the tearooms.
TWO | REFRESH YOUR LOGO FOR BRANDING APPLICATIONS
» We talked about ‘vectorising’ your logo so the individual elements can be used independently of each other, ie the cockerel icon etc. We would also ensure you have the logo and elements in all the appropriate file formats for print, digital and social media. This could include a set of mini brand guidelines to cover logo / branding application, fonts and colours etc.

SIX | SOCIAL MEDIA: TRAINING AND LEVELS OF SERVICE
» Social media is a really cost-effective way to promote your business, but knowing how to use it to your best advantage is essential. We would recommend a session with our social media specialist to help you understand how social media works and how to maximise your exposure.
» We offer training as well as four different levels of social media service, depending on how much involvement you would like to have in the process.
SEVEN | GOOGLE / META ADVERTISING
» We can offer both Google and Meta (social media) advertising. Costs depend on whether you want to advertise just on Google, just on Meta or on both.
» If you wish to advertise on Meta then it is important to also have a high quality social media feed. Meta advertising will not be effective if your feed does not back up your adverts.
EIGHT | SEARCH ENGINE OPTIMISATION (SEO) AND SEARCH ENGINE MARKETING (SEM)
» This work can cover a range of technical and content work on your website, all of it intended to help yous rank higher on Google than your competitors.
NINE | COPYWRITING
» This covers any elements of copywriting that are not included within specific elements of this proposal.
» For the website we’ve included 4 hours of copywriting within the estimate. Similarly copywriting is included in costs for advert design.
» Specific copywriting elements covered in this section could include drafting copy for editorial or blogs. It could also include developing a strapline to sit alongside your logo or key messages that communicate your brand and values.

ITEM ONE | CREATE A NEW COCKBURN’S TEAROOMS SHOPIFY ECOMMERCE WEBSITE
1. Investigation and planning, including development of best structure to communicate your message.

Shopify* website build and set up - including theme selection+, styling and set up, manual addition of up to 10 products (to set style parameters), addition of all other products via CSV upload (template to be supplied by Hooli / Shopify, products to be added to spreadsheet by Cockburn’s Tearooms), creation of additional pages (home, about, contact, news, required legal information), messaging pop-ups++, newsletter sign-up, news/ blog functionality, set up of system emails, shipping methods++ and charging, abandoned cart functionality, payment gateway+++, blog functionality++
3. Integration / setup / training for Shopify email marketing module using Shopify’s pre-existing templates.
4. Set up of Meta Business Manager, Meta Catalogue and Instagram selling.
5. Project management, copywriting of key landing page headings / intros and quality checks.
6. Shopify CMS (content management system) training.

IMPORTANT NOTES:
We have assumed any images required will be supplied by Cockburn’s Tearooms and we will be able to have access to your image library. As such, no time has been allowed for image research.
* The Shopify platform is subject to a monthly subscription charge of either £19 or £49 / month (paid annually - level is dependent on the number of users and functionality required). We anticipate the £19 version should be sufficient for your needs.
+ Shopify themes may be subject to an additional one-off charge – anywhere between $0 and $300. The template may impose restrictions on look, feel and site structure but will be chosen to minimise these as much as possible.
++ Please note – functionality marked ++ may be powered by Shopify apps. These apps are an additional cost over and above the estimated website cost – though where possible we’d use free versions if they were suitable. If you are interested to proceed further the next stage would be to research and price the exact plugins we’d suggest.
+++ Shopify has its own proprietary payment gateway but allows third party payment gateways to be used subject to an additional transaction fee (depending on your subscription level this can be 1 – 2% on top of your own provider’s fees plus a 25p transaction fee). This estimate assumes that Shopify’s own payment gateway is used. Integrating alternative systems may incur additional charges.
WE HAVE NOT ALLOWED FOR:
» Copywriting or populating the site with content over and above the 4 hours allowed for. More can be provided if required but will be charged pro rata at Hooli’s standard rate of £75/hr + VAT.
» Additional Shopify CMS training beyond the 2 hours allowed for. More training can be provided if required but will be charged pro rata at Hooli’s standard rate of £75/hr + VAT.
» SEO (we will cover how to use the platform’s in-built SEO system in training). More comprehensive SEO is covered later in this proposal.
» PoS hardware - if you choose to use Shopify for your PoS then you will also need to purchase Shopify compatible hardware. Appropriate bundles can be purchased here. You would also need an iPad to run the system.

ITEM SIX | SOCIAL MEDIA: TRAINING, LEVELS OF SERVICE
1. SOCIAL MEDIA TRAINING
If you wish to manage your social media accounts yourself, then training gives you the confidence to do that effectively. It includes:
» An audit of your existing Instagram and Facebook channels. We’ll make sure your account basics (eg bio, @handles, cover images etc) are set up properly so that you can reach as many potential clients and followers as possible.
» How to create effective posts.
» Social media strategy basics.
» How to use hashtags to your advantage and recommendations on core hashtags you should use.
» Preparation of recommended post topics - with sufficient suggestions to cover 1 month.
» You will receive a full set of training notes, tailored specifically to your business, that you can work from in the future. During the training session (approx 1 hour) we will go through these notes together. We will also cover the process of creating and posting engaging, relevant and consistent content.

2. LEVELS OF SERVICE
We offer four different levels of service, depending on how much involvement you would like to have in the process. The prices below assume posting on Facebook and Instagram:

» Content calendar and post ideas only.
» This takes away the pressure of constantly coming up with ideas but leaves you with full control over your account.
» You would be responsible for selecting all images, writing and scheduling posts in line with the plan supplied, creating stories and carrying out all engagement activities.
CONTENT PLAN PLUS | £525 + VAT per month | based on 3 x posts per week
» Content calendar with written content and hashtags provided.
» You would be responsible for selecting all images, scheduling supplied posts, creating stories and carrying out all engagement activities.
CONTENT PLAN and ACCOUNT MANAGEMENT | £1,100 + VAT per month | based on 3 x posts per week and 2 x stories per week
» You would be responsible for selecting the majority of images and all post scheduling.
» Hooli would supply 3 x images / graphics each month (not reels).
» Hooli would also carry out all engagement activity, aiming to grow your accounts and extend your reach.

ITEM SEVEN | GOOGLE / META ADVERTISING
Create effective digital marketing campaigns that aim to deliver consistent traffic to your website.
1. Initial set-up | up to 8 hours up to £600 + VAT Gaining access to all the necessary accounts (Google Advertising, Google Tag Manager, Meta Advertising, Meta Business Centre, Instagram, Facebook, Google Analytics etc) and an initial, internal, audit of what’s been done to date. This may be reduced if you opt to only advertise on one channel (ie just Google or just Meta).
2. Monthly management fee £600 + VAT / channel Includes monthly update / report meeting (Zoom).
3. Budgets TBC
IMPORTANT NOTES:
» A maximum of 2 x campaigns at any given time are covered under the proposed management fee (eg one for Cockburn’s cakes and one for a specific product). If you wanted to run additional campaigns, the management fee would need to be revised.
» If you wish to advertise on Meta then it is important to also have a high quality social media feed. Meta advertising will not be effective if your feed does not back up your adverts.

ITEM EIGHT | SEARCH ENGINE OPTIMISATION (SEO) AND SEARCH ENGINE MARKETING (SEM)
These disciplines can be made up of a variety of activities:
» Technical ‘on-site’ SEO - this considers areas such as the speed of your site, use of alt text on images, use of headings and keywords through the site, navigation, internal linking etc.
• We always consider this as an integral part of the build process for any new site.
» On-site SEO - this is an interative process and requires constant monitoring of your site’s search performance. Regular, planned, changes or additions to content are then made in order to raise your search ranking.
• We are able to provide this but would need to have a more in-depth discussion with you about exactly what you are looking to achieve before we could cost this for you.
» Social media (including LinkedIn), Google Business Profile and other activities that can drive traffic to your site.
» Paid for search (Google or Bing) advertising or social media advertising.
We’d love to discuss all of these with you in greater detail. In all cases costs will depend on the channels that are being targeted and the duration of any campaign.
It’s important to note that SEO should also be considered in the context of a wider marketing plan so that campaigns and content can be timed to work together with other activities.
ITEM NINE | COPYWRITING
» This could include anything from writing editorial and or blogs through to developing a strapline or key messages that are used to communicate your offering.
» Indicative costs would be:
• 400 words of editorial = up to 3 hours / £210 + VAT
• strapline development = up to 3 hours / £210 + VAT
» NB - copywriting for the website and adverts has been included in the costs given for those items.
FOUR - GENERAL / OTHER
» All work is carried out subject to the Hooli Ltd standard Conditions of Supply - see page 22.
» All above costs are subject to a final signed-off and agreed brief.
» As standard, commissioned website work requires a deposit of 25% of the minimum project value to proceed. A further 25% of minimum project value will be payable during the site build. The third 25% of minimum project value will be due once your site is ready for review. The remainder falls due once your website is live. If a different payment staging is required that may also be possible but we would need to discuss this further before agreeing to terms.
» The Hooli fee structure is based on a daily rate of £600 + VAT or £75 + VAT per hour pro rata. All above prices exclude VAT.
» If any third party costs (eg image licenses etc) are incurred, any charges will be agreed in advance and passed on at cost.
» If any travel is required, mileage will be charged at 45p/mile or train travel will be charged on at cost. Any travel costs will be agreed in advance.
» All above prices exclude VAT. Invoice terms are payment on receipt of invoice. Invoicing will be done on completion of each individual stage of work.
» As projects progress clients are always kept informed of costs to date and any potential additional charges that may arise out of a change of brief or content.

HOOLI PROJECT: AUGUSTUS BRANDT
Augustus Brandt is an industry-renowned antiques dealer, bespoke furniture maker and interiors retailer with an international clientele.
Hooli was commissioned to re-design Augustus Brandt’s e-commerce website, migrate their entire stock (several thousand lines) from WooCommerce to the Shopify platform, integrate the website and email marketing with Hubspot (CRM) and set up their in-shop point of sale system.
Augustus Brandt is part of the Market Town Developments group. Hooli works with several of their businesses and has done so for a number of years.

HOOLI PROJECT: HIGH TEAS
High Teas London is one of the UK's leading loose-leaf tea retailers. They carry one of the largest and most diverse tea inventories in the UK.
Hooli carried out a major design and functionality upgrade to the High Teas Shopify website. We also integrated a custom solution to make it easier for the client to edit and update their tea collections on a regular basis.
As well as refreshing the look and feel of the site we implemented subscription purchasing, loyalty scheme functionality and email marketing. Lastly we created emailer templates and gave training on how to use the new systems.

PROPOSAL - COCKBURN’S TEAROOMS
CONDITIONS OF SUPPLY
1 INTERPRETATION
1.1 In these Conditions:
CLIENT means the person or body corporate named in the Engagement Letter for whom the Supplier has agreed to provide the Specified Service in accordance with these Conditions
CONTRACT means both the Engagement Letter and these Conditions together
DOCUMENT includes, in addition to a document in writing, any map, plan, graph, drawing or photograph, any film, negative, tape or other device embodying visual images and any disc, tape or other device embodying any other data
ENGAGEMENT LETTER means the letter to which these Conditions are appended
INPUT MATERIAL means any Documents or other materials, and any data or other information provided by the Client relating to the Specified Service
OUTPUT MATERIAL means any Documents or other materials, and any data or other information provided by the Supplier relating to the Specified Service
SPECIFIED SERVICE means the service to be provided by the Supplier for the Client and referred to in the Engagement Letter
SUPPLIER means Hooli Ltd
SUPPLIER’S STANDARD CHARGES means the charges shown in the Supplier’s brochure or other published literature relating to the Specified Service from time to time
1.2 The headings in these Conditions are for convenience only and shall not affect their interpretation.
2 SUPPLY OF THE SPECIFIED SERVICE
2.1 The Supplier shall provide the Specified Service to the Client subject to these Conditions. Any changes or additions to the Specified Service or these Conditions must be agreed in writing by the Supplier and the Client.
2.2 The Client shall at its own expense supply the Supplier with all necessary Documents or other materials, and all necessary data or other information relating to the Specified Service, within sufficient time to enable the Supplier to provide the Specified Service in accordance with the Contract. The Client shall ensure the accuracy of all Input Material.
2.3 The Client shall at its own expense retain duplicate copies of all Input Material and insure against its accidental loss or damage. The Supplier shall have no liability for any such loss or damage. All Output Material shall be at the sole risk of the Client from the time of delivery to or to the order of the Client.
2.4 The Specified Service shall be provided in accordance with the Engagement Letter and otherwise in accordance with the Supplier’s current brochure or other published literature relating to the Specified Service from time to time, subject to these Conditions.
2.5 Further details about the Specified Service, and advice or recommendations about its provision or utilisation, which are not given in the Supplier’s brochure or other promotional literature, may be made available on written request.
2.6 The Supplier may correct any typographical or other errors or omissions in any brochure, promotional literature, quotation or other document relating to the provision of the Specified Service without any liability to the Client.
2.7 The Supplier may at any time without notifying the Client make any changes to the Specified Service which are necessary to comply with any applicable safety or other statutory requirements, or which do not materially affect the nature or quality of the Specified Service
3 CHARGES
3.1 Subject to any special terms agreed in writing, the Client shall pay the Supplier’s Standard Charges and any additional sums which are agreed between the Supplier and the Client for the provision of the Specified Service or which, in the Supplier’s sole discretion, are required as a result of the Clients instructions or lack of instructions, the inaccuracy of any Input Material or any other cause attributable to the Client.
3.2 The Supplier shall be entitled to vary the Supplier’s Standard Charges from time to time by giving not less than 28 days written notice to the Client.
3.3 All charges quoted to the Client for the provision of the Specified Service are exclusive of any Value Added Tax, for which the Client shall be additionally liable at the applicable rate from time to time.
3.4 The Supplier shall be entitled to invoice the Client following the end of each month in which the Specified Service is provided, or as agreed with the Client.
3.5 The Supplier’s Standard Charges and any additional sums payable shall be paid by the Client (together with any applicable Value Added Tax, and without any set-off or other deduction) on the date of the Supplier’s invoice.
3.6 If payment is not made on the due date, the Supplier shall be entitled, without limiting any other rights it may have, to charge interest on the outstanding amount (both before and after any judgement) at the rate of 5 % above the base rate from time to time of National Westminster Bank Plc from the due date until the outstanding amount is paid in full.
4 RIGHTS IN INPUT MATERIAL AND OUTPUT MATERIAL
4.1 The property and any other intellectual property rights in any Input Material shall belong to the Client and any Output Material shall, unless otherwise agreed in writing between the Client and the Supplier, belong to the Supplier, subject only to the right of the Client to use the Output Material for the purposes of utilising the Specified Service.
4.2 Any Input Material or other information provided by the Client which is so designated by the Client and any Output Material shall be kept confidential by the Supplier, and all Output Material or other information provided by the Supplier which is so designated by the Supplier shall be kept confidential by the Client; but the foregoing shall not apply to any Documents or other materials, data or other information which are public knowledge at the time when they are so provided by either party, and shall cease to apply if at any future time they become public knowledge through no fault of the other party.
4.3 The Client warrants that any Input Material and its use by the Supplier for the purpose of providing the Specified Service will not infringe the copyright or other rights of any third party and the Client shall indemnify the Supplier against any loss, damages, costs, expenses or other claims arising from any such infringement.
5 WARRANTIES AND LIABILITY
5.1 The Supplier warrants to the Client that the Specified Service will be provided using reasonable care and skill and, as far as reasonably possible, in accordance with the Contract and at the intervals and within the times referred to in the Engagement Letter. Where the Supplier supplies in connection with the provision of the Specified Service any goods (including Output Material) supplied by a third party, the Supplier does not give any warranty, guarantee or other term as to their quality, fitness for purpose or otherwise, but shall, where possible, assign to the Client the benefit of any warranty, guarantee or indemnity given by the person supplying the goods to the Supplier.
5.2 The Supplier shall have no liability to the Client for any loss, damage, costs, expenses or other claims for compensation arising from any Input Material or instructions supplied by the Client which are incomplete, incorrect, inaccurate, illegible, out of sequence or in the wrong form, or arising from their late arrival or non-arrival, or any other fault of the Client.
5.3 Except in respect of death or personal injury caused by the Supplier’s negligence, or as expressly provided in these Conditions, the Supplier shall not be liable to the Client by reason of any representation (unless fraudulent), or any implied warranty, condition or other term, or any duty at common law, or under the express terms of the Contract, for any loss of profit or any indirect, special or consequential loss, damage, costs, expenses or other claims (whether caused by the negligence of the Supplier, its servants or agents or otherwise) which arise out of or in
connection with the provision of the Specified Service or their use by the Client, and the entire liability of the Supplier under or in connection with the Contract shall not exceed the amount of the Supplier’s charges for the provision of the Specified Service, except as expressly provided in these Conditions.
5.4 The Supplier shall not be liable to the Client or be deemed to be in breach of the Contract by reason of any delay in performing, or any failure to perform, any of the Supplier’s obligations in relation to the Specified Service, if the delay or failure was due to any cause beyond the Supplier’s reasonable control.
6 TERMINATION
6.1 The Client shall be entitled to terminate the Contract at any time by giving not less than three months written notice to the Supplier.
6.2 Either party may (without limiting any other remedy) at any time terminate the Contract by giving written notice to the other if the other commits any breach of these Conditions and (if capable of remedy) fails to remedy the breach within 30 days after being required by written notice to do so, or if the other goes into liquidation, or (in the case of an individual or firm) becomes bankrupt, makes a voluntary arrangement with his or its creditors or has a receiver or administrator appointed.
7 GENERAL
7.1 These Conditions (together with the terms, if any, set out in the Engagement Letter) constitute the entire agreement between the parties, supersede any previous agreement or understanding and may not be varied except in writing between the parties. All other terms and conditions, express or implied by statute or otherwise, are excluded to the fullest extent permitted by law.
7.2 Any notice required or permitted to be given by either party to the other under these Conditions shall be in writing addressed to the other party at its registered office or principal place of business.
7.3 No failure or delay by either party in exercising any of its rights under the Contract shall be deemed to be a waiver of that right, and no waiver by either party of any breach of the Contract by the other shall be considered as a waiver of any subsequent breach of the same or any other provision.
7.4 If any provision of these Conditions is held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Conditions and the remainder of the provision in question shall not be affected.
7.5 English law shall apply to the Contract, and the parties agree to submit to the non-exclusive jurisdiction of the English courts.
7.6 A person who is not a party to the Contract has no right under the Contracts (Rights of Third Parties) Act to enforce any term of the contract.
