New Footprints, Your Same Chamber As we welcome this new decade, I am both grateful and excited to be writing my first President’s Message for the 2020 Spring issue of ConejoView!

We also look at small and medium sized businesses going green in the Conejo Valley leading the way in environmental stewardship.

I appreciate everyone’s overwhelming support as I step into this new role after seven years with the organization and have included a Q&A so you have a chance to get to know me a little better.

With our county’s aging population projected to increase by 14 percent over the next five years, learn how our featured nonprofit, Caregivers: Volunteers Assisting the Elderly, is preventing premature placement of seniors into an assisted living facility through their dedicated volunteer base.

Danielle Borja Carrying the Chamber Forward ConejoView: Tell us about your background and what led to you becoming CEO of the Chamber? Danielle Borja: I was born and raised in Thousand Oaks and absolutely love this community. After graduation, I attended Moorpark College before transferring to California Lutheran University earning a bachelorâ&#x20AC;&#x2122;s degree in Marketing Communications and eventually my MBA. My first introduction to the business world was an internship for Caruso Affiliated, which led to my first job as a Production Coordinator at GO West Events & Multimedia in Westlake Village. That role gave me an important foundation for the production industry orchestrating programs for a number of corporate clients including Anthem Blue Cross and Jafra Cosmetics over the next three years. Then after a short time running the Design Studio for Pottery Barn while finishing up my MBA, I found myself full circle back at Caruso Affiliated as their Director of Marketing for the West Valley Region. This position combined my events, marketing and retail experience to market outdoor lifestyle centers including: The Promenade at Westlake, The Lakes at Thousand Oaks and The Commons at Calabasas. When a round of mid-management layoffs eliminated my position at Caruso, I found myself shifting to the nonprofit sector joining the Greater Conejo Valley Chamber of Commerce team as their Events Manager in 2012. My initial role quickly grew into the Director of Events and in less than a year, I took over both departments when our Director of Marketing vacated her position in 2013. My time at the Chamber over the past seven years has been a transformative journey; giving me opportunities and building professional relationships that I would have never imagined. As the department lead for events and marketing we took on: rebranding the organization, created a professional quarterly magazine (yes, ConejoView!), and redesigned multiple websites while elevating the production value of every signature event and the organization along the way. CV: What do you see as the strengths of our business community or what makes us unique? DB: Our business community is diverse, dynamic and engaged. The combination of our bio-tech community which is currently growing, the Los Angeles Rams current training facility and corporate headquarters, our state-of-the-art regional hospital and local healthcare companies, top rated schools and universities combined with a

wide range of dining and retail options make it a desirable place for businesses, residents and visitors alike. Our business community is also extremely supportive of our local nonprofit organizations which meet important needs for our entire community including: food, mental health services, arts & culture, veterans support services and youth programs just to name a few. During the Borderline and wildfire tragedies of 2018, the business community quickly rallied behind the Chamber in the form of sponsorship support for State of the City Thousand Oaks. This allowed the Chamber to donate $50,000 in 2018 and an additional $20,000 in 2019 to continue to support the longterm needs of both tragedies including ongoing support groups for the Borderline victims and their families. CV: What are you most excited about in leading the Chamber going forward?

DB: I’m excited to be working with ten outstanding professionals at the Chamber who continue to move the needle daily to support our businesses and the community-at-large. Our Chamber team is so fortunate to work with dedicated elected officials, city/county leadership and a number of community partners who continue to support our team in these efforts.

My three young daughters (10, 5 & 3) enjoy the local parks (“The Farm Playground” at Borchard Park is their favorite!) followed by a trip to Coaches Old Fashioned Ice Cream Parlor and live theatre performances at the Civic Arts Plaza. If the kids are not in tow…. my husband and I may head to Cinepolis at The Promenade at Westlake for a relaxing date night.

This year alone, we have two new hotels opening in Agoura Hills expanding our tourism district, the first mixed use project will be completed on Thousand Oaks Blvd., plans are being prepared to redesign the Civic Arts Plaza and you might even find me in a dunk tank at the Westlake Village Street Festival in April!

CV: What business would you like to see in the Conejo Valley that we don’t currently have?

CV: When you get a chance to unwind, what are your favorite things to do? DB: I love to hike and run through our beautiful open space; Chesebro Canyon Trail is one of my favorites and I’m running The Great Race 10K this year. After a race, I typically treat myself to a Hot Stone Massage at Hand & Stone in Thousand Oaks or the Tranquility Massage at the Four Seasons, and I’m excited to try out the new Spa Relais at the Westlake Village Inn.

DB: From an entertainment perspective, a concept like Slappy Cakes in Hawaii, a full-service breakfast restaurant where you can make-your-own pancakes at your table on built-in griddles. For the new downtown area of Thousand Oaks, a small piano bar and something similar to Park 101 in Carlsbad, a restaurant that features a family-friendly ground floor level with oversized games and a rooftop dining deck for guests 21 and over. It would also be great to see a Tesla gallery and eventually the retail technology where shoppers scan their app at a turnstile, pick up the items they want and leave the store without the typical “check out process.” We also need to

continue to nurture and support our local start-up community; look at the success of The Trade Desk in Ventura. CV: What is the best advice you’ve ever been given? DB: Pick your battles; don’t let the small stuff weigh you down. Always try to look at situations from the lens of intent rather than how something might come across or be perceived at the time. CV: What book are you reading now or what is a book that you’d recommend? DB: Malcom Gladwell is one of my favorite authors; The Tipping Point, blink and Outliers are all staples on my bookshelf at home and I’m anxious to read his newest book Talking to Strangers. I’m currently reading Becoming by Michelle Obama, really enjoying her authentic voice and hearing about her road to the White House becoming the first African American First Lady of the United States. CV: Who are your heroes? Why? DB: My mom; she taught me how to be a strong woman while treating people with kindness and respect. ConejoView

Classifying Independent Contractor Status Under Assembly Bill 5 “I Need To Know Where This Relationship Is Going…”

California has some of the most burdensome employment laws in the nation, most of which favor employees over employers. As a result, California

businesses are typically eager to avoid the application of the state’s employment laws entirely by classifying workers as independent contractors rather than employees. Unfortunately, the passage of AB 5, effective on January 1, 2020, makes this practice a risky proposition. On September 18, 2019, Governor Newsom signed AB 5, codifying and expanding the pro-employment “ABC test” for independent contractor classifications, first outlined in the Supreme Court’s 2018 decision in Dynamex Operations West, Inc. v. Superior Court. His signature makes the ABC test a fixture of the California Labor Code (adding Section 2750.3), Unemployment Insurance Code

(amending Section 3351) and the California Industrial Commission Wage Orders. With the passage of AB 5, all companies using independent contractors now face an increased risk of misclassification claims by workers and government agencies. AB 5 is not all bad news, however, as it creates exceptions to the application of the ABC test for a limited number of professions and specific types of contractual relationships. It is important to note that these limited exceptions, where applicable, do not mean that the worker is an independent contractor. Rather, working relationships exempted from the ABC test must then apply the former “control” test outlined in the Borello case. The ABC test, codified in AB 5, provides that a person providing labor or services for remuneration shall be considered an employee rather than an independent contractor, unless the hiring entity demonstrates that all of the following conditions are satisfied:

(A) The person is free from the control and direction of the hiring entity in connection with the performance of the work, both under the contract for the performance of the work and in fact; and (B) The person performs work that is outside the usual course of the hiring entity’s business; and (C) The person is customarily engaged in an independently established trade, occupation, or business of the same nature as that involved in the work performed. Under the ABC test, the worker in question is “presumed” to be an employee unless the hiring entity can prove all three prongs of the ABC test.

EXCEPTIONS TO THE ABC TEST Despite the significant burden of the ABC test, AB 5 does carve out limited exceptions for certain professional oc-

cupations and contractual relationships. The legislation renders the ABC test inapplicable to eight named professions and certain limited professional service relationships, bona fide business-to-business contractual relationships, construction subcontracts and motor club carriers. AB 5 also created a general exclusion from the ABC test, noting that if the ABC test does not apply to the working relationship based upon the legislation or any applicable case law, the worker’s classification shall instead be governed by the 12 “control” factors set forth in the California Supreme Court’s decision in S. G. Borello & Sons, Inc. v. Department of Industrial Relations (“Borello”). Many businesses assume that if they do not proactively exercise control over the day-to-day activities of the worker, that worker must be a valid independent contractor. Unfortunately, “lack of control” is not sufficient by itself to support contractor status. In reviewing Borello’s 12-part test, employers should note two of the

most significant factors in the analysis: (1) whether the person performing services is engaged in an occupation or business distinct from that of the principal, and (2) whether or not the work is a part of the regular business of the principal. In short, this means that if the worker is doing the business that the business exists to do (instead of engaging in his or her own business), and/or if the worker is providing a service to the principal’s clients rather than to the business, the worker is likely an employee.

WHAT ARE THE CONSEQUENCES OF MISCLASSIFICATION? The consequences of misclassifying an employee as an independent contractor can be extreme. Examples include potential liability for wage claims, workers’ compensation penalties, Private Attorneys General Act and Unfair Competition claims, and unpaid payroll taxes and penalties imposed by taxing authorities. The business also may face civil penalties of $5,000 to $15,000 for each violation, and civil penalties of $10,000 to $25,000 for a pattern and practice of violations. Businesses in violation also can be required to “prominently display a notice” (signed by an officer of the company) on the company website for one year, admitting to having violated the law.

HOW SHOULD BUSINESSES PROCEED? Although AB 5 goes into effect on January 1, 2020, the Dynamex ruling and the ABC test have been operative since 2018. Employers impacted by AB 5 should take the following steps: 1. Review your independent contractor and vendor relationships with employment counsel and make any necessary corrections. If you currently use independent contractors, they may actually be employees under the ABC or Borello tests. Review these relationships with your employment counsel. Similarly, business-to-business, personal services and other types of contractual relationships should be reviewed to ensure legal compliance. Remember that the worker’s preference is irrelevant; California employees cannot lawfully agree to be misclassified. 2. Make corrections ASAP. Consult

with employment counsel to review whether you need to reclassify contractors as employees to comply with the law and avoid significant liability, and to determine how best to announce those changes. The beginning of a new calendar year is a good time to make any necessary revisions for legal purposes, particularly when a new law has been issued. 3. Properly document and manage valid independent contractor relationships. Even if your independent contractor classification is correct under the law, or when the classification you have decided to use is uncertain, it is important to have an enforceable contractor agreement in place and to implement appropriate day-to-day practices to support that classification. Consult your employment law expert to prepare the proper language and avoid minor errors that may interfere with your classification position. Although the implementation of AB 5 seems daunting for California businesses, thorough analysis of existing independent contractor relationships with a qualified employment law expert can help to protect businesses against costly employee litigation and government audits. Proper classification of workers as employees can be burdensome, but there can be significant benefits as well: in addition to effective risk management, confirming a worker’s employee status provides the employer with substantially greater control over the worker’s activities and work product, and provides greater protection for the company’s proprietary information. Business of the Year – Atara Biotherapeutics This biotech company is paving the way in research and development of offthe-shelf, allogeneic T-cell immunotherapies, which provides hope for those faced with cancer, viral and autoimmune diseases. Atara’s product candidate tab-cel is in Phase 3 development for patients with Epstein-Barr virus-associated post-transplant lymphoma as well as in earlier stage development for other EBV-associated diseases. The company is also using their targeted EBV antigen recognition technology to develop a potential treatment for Multiple Sclerosis (MS). While newer to Thousand Oaks, this company has been growing since being founded in 2012 and currently employs over 400 professionals. The success of Atara also creates positive momentum to attract other biotech companies for the Conejo Spectrum development.

Man of the Year – Scott Harris, Co-owner of Mustang Marketing Scott Harris is the CEO of Mustang Marketing, a marketing agency he founded in 1986. He has spent his life contributing to his local community, instilling those values in his company and family. When his children were young, he would read stories to their classes and he helped to build Red Oak Elementary School. Scott has served on — and founded —numerous boards such as Pepperdine University’s Seaver Board of Visitors and Career Action Program, the Ventura County Sheriff’s Foundation, and the Ventura County Community College District Advisory Board. In March, Scott and his wife Randi will retire to a beautiful lakeside home in South Carolina.

Woman of the Year – Leanne Neilson, Provost of California Lutheran University Leanne came to CLU in 1993 as a member of the psychology faculty and has risen over the years to become Provost and Vice President for Academic Affairs. As a community leader, Leanne led the Thousand Oaks Alliance for the Arts through a major transition and served as chair of their board this past year. She is the immediate past chair of United Way’s Women United in Ventura County and a member of the American Heart Association’s Go Red for Women Leadership Team. Last spring, Leanne and her husband donated $100,000 to establish an Emergency Support Scholarship Endowment for the university.

Nonprofit of the Year – Conejo Free Clinic Conejo Free Clinic has been servicing the Conejo Valley for over three decades. The clinic, located on Hillcrest Drive in Community Conscience’s Human Services Center, is run by a staff of close to 100 volunteers, all from different professional backgrounds. In addition to providing medical and legal access to individuals in the community, CFC recently added a dental clinic. The dental clinic is staffed by an all-volunteer team of dentists, dental hygienists, voucher program dental specialists and support staff. CFC believes in an innovative continuity of care philosophy, strongly encouraging follow-up appointments and self-care for all their patients.

2020 Recognition Gala Volunteer of the Year – Bob Bland Bob Bland has served as the CEO of the nonprofit Conejo Compassion Coalition for the past 13 years. He is a founding member of the Conejo Valley Homeless Shelter Program, and has been a site coordinator for over 20 years. In 2018, CCC supported victims of the Hill and Woolsey fires by providing them with cash grants and gift cards. Membership is open to the general public and the WYC offers reciprocity with other member Yacht Clubs around the world. For 2019, the contribution limit for a 401K was $19,000 or $25,000 if you are over 50. Some companies even offer a Profit Sharing or Stock Option component to a 401k plan.

It is important for employees to understand the fees (a 401k is not free) and investment options within their 401k plan and how they compare to other outside options. Typically, a 401k plan has a financial advisor attached so employees shouldn’t hesitate to use them as a resource.

401K PLAN: This plan is a Qualified Retirement Plan that allows employees to save and invest for their own retirement on a tax deferred basis; meaning that every dollar the employee saves reduces their overall income and therefore potentially lowers their tax liability. This money is then taxed as ordinary income rates when the employee withdraws the money in retirement. The idea is that income brackets tend to be less in retirement than during an employee’s working years.

STOCK OPTIONS: Many publicly and some privately traded companies will offer stock options as part of employee benefits. Stock options can become very complex and burdensome quickly. It is important that if you do not understand them, you work in

partnership with a financial and tax professional to develop strategies on how to best leverage your options. Most options have a vesting schedule and employees may get hit with an unexpected tax bill they were not anticipating. The two biggest issues with stock options are; an over allocation to company stock and a lack of strategy to deal with taxes on vested options. There are three main types of Stock Options ESPPs (Employee Stock Purchase Plan), RSUs (Restricted Stock Units), and ISOs (Incentive Stock Options). Each of these have unique strategies that employees should leverage by consulting with a tax and financial professional.

HEALTH SAVINGS ACCOUNT: The HSA or Health Savings Account can be a powerful tool if used correctly. Any contributions to a HSA are treated much like a 401k, they reduce your taxable income. However, unlike a 401k, the invested contributions grow tax free, similar to a ROTH IRA. What’s the catch? The money in a HSA must be used for qualified health care expenses such as doctor visits, medications, ER, etc.

One of the biggest mistakes people make with an HSA is not investing their contributions. Much like a 401k, the balance of a HSA can be invested in mutual funds and ETFs available through your HSA Company. Once invested, the benefit of tax free growth begins.

LIFE INSURANCE: Many companies offer group life insurance policies with several benefits. First, the group rate is based off current age and number of employees. There are no health screenings (unless you go over a certain amount of coverage usually relative to your salary) or complicated applications. Let’s say you have an employee who had a recent heart attack or cancer diagnosis and are currently uninsurable; not the case with a work life insurance plan. In fact, not only is that person insurable but it’s probably very cost effective coverage. Due to the fact it is based on age, premiums deducted from an employee’s check will likely go up slightly every year, it’s usually not much but it does add up. Employees likely will not be able to keep this insurance coverage if they separate from the employer. The alternative for some employees is to quote out life insurance coverage. Those who are healthy, may find that a Term Life Policy for 10 years may be cheaper than a work policy. Additionally, they lock in your health class and premium rate for 10 years. It’s imperative for employees to understand how much life insurance they need because it’s very common for people to be underinsured. If you are an employee looking to secure your own life insurance coverage, work with a financial professional who sells more than just life insurance to help you answer your questions and provide adequate solutions. It’s also important to understand your fees, if an agent says it’s free... it is not. Life insurance is a tough conversation to have, but one of the most important.

DENTAL, VISION AND MEDICAL: There are a plethora of options in the healthcare category, therefore finding the right coverage is no easy task. What employees do need to understand is what the policy covers and what deductible they will be responsible for. It is important to also explore spousal benefits. Many times employees can add a spouse or children as additionally insured. If that is the case, it is worth the time for employees to compare options if both spouses have employer sponsored benefits.

OUTSIDE OF EMPLOYER BENEFITS: While employee benefits can definitely help individuals grow their wealth it is important that it only comprises one part of their financial plan. Some of the most commonly asked questions people ask include, “What percentage should I save to be able to retire” or “How much should I have in my 401k at a specific age.” What they should be asking is what does retirement look like for me and how can I get there. Many times this will involve a comprehensive retirement plan that will include employee benefit accounts along with many other accounts. Many individuals have ROTH IRAs, Traditional IRAs, brokerage accounts, Trust Accounts, and 529 accounts in addition to their work benefits to help them reach their long term goals.

New Laws Affecting California Businesses in 2020 Senate Bill 778 – Harassment Prevention Training California law requires that organizations with five or more employees take Harassment Prevention Training by January 1, 2020. Employees are required to take one hour of Harassment Prevention Training while supervisors must take two hours of training. This new law pushes back the deadline by one year and now requires employees and supervisors be certified by January 1, 2021. This training certifies you and your employees for two years. The Greater Conejo Valley Chamber of Commerce offers online Harassment Prevention Training at a discounted price for Chamber Members and can be accessed at ConejoChamber.org/memberdiscounts. Senate Bill 83 – Extension of Paid Family Leave Beginning July 1, 2020, individuals benefiting from Paid Family Leave will have their maximum duration of Paid Family Leave extended from 6 weeks up to 8 weeks. Paid Family Leave encompasses the following circumstances: • Caring for seriously ill family members • Bonding with a minor child within 1 year of birth • During placement of child via foster care or adoption

This year alone, 1,042 bills were sent to Governor Gavin Newsom’s desk to be either vetoed or signed. These bills span from environmental policy, education, and most notably: employment law. With so much to keep up with, we’ve covered a few laws that we think will affect your business in the coming year and ways we think you can prepare for the incoming changes to California law. ASSEMBLY BILL 9 – Extension of Statute of Limitations A statute of limitations is the window of time an employee has to file a claim with the Department of Fair Housing and Employment over acts of discrimination, harassment, or retaliation that occur within California. Previously, this statute of limitations would require you to report a claim within 1 year of the reported act. This new law extends that time frame from one year to three years.

Assembly Bill 51 – Banning of Mandatory Arbitration Agreements An arbitration agreement is a written contract in which two or more parties agree to settle a dispute outside of court. Arbitration agreements can benefit both the employer and the employee allowing both parties the opportunity of avoiding costly litigation expenses. They are generally included as a clause in a standard employee contract. The bill specifically prohibits an employer from requiring an applicant or employee to waive any right, forum or procedure for any employer violations of the Federal Housing and Employment Act and the Labor Code. Volunteer Caregiving Nonprofit Celebrates 35 Years MOST SENIORS WANT TO STAY IN THE COMFORT AND SECURITY OF THEIR HOMES FOR AS LONG AS POSSIBLE, BUT WHEN THESE SAME SENIORS NEED SUPPORT SERVICES TO MAKE THIS POSSIBLE, WHO DO THEY TURN TO?

for 1,000 volunteer caregiving organizations in every state in the nation plus the territories of Guam, Puerto Rico and the Virgin Islands. The average program operates on $350,000, with the equivalent of two full-time staff, service to 500 seniors with support from 250 volunteers. Transportation is the biggest request to volunteer caregiving organizations and some programs are dedicated to offering volunteer transportation as their primary focus.

That’s where CAREGIVERS: Volunteers Assisting the Elderly comes in, providing non-medical, in-home support services and transportation for homebound, frail elders, preventing premature placement into an assisted living facility. This established nonprofit is proud to count expansion to the Conejo Valley as one of the major milestones marking its 35th Anniversary.

Distinguishing CAREGIVERS’ Board of Directors has been continuing its commitment to the nimble business model which has allowed the organization to stretch the volunteer caregiving model to meet the changing needs of a rapidly aging society. In just five years, Ventura County’s aging population is projected to increase by 14 percent (from 196,588 in 2019 to 224,812 in 2023), while the total population is expected to increase by only 2% (from 864,821 in 2019 to 884,148 in 2023).

The initial CAREGIVERS movement started with a grant from the Robert Wood Johnson Foundation in 1984. Ventura County was one of 25 pilot programs aimed at serving vulnerable seniors and people with disabilities around the country. Several of the early programs were funded to support AIDS patients, which was an epidemic in the 80s. By 2004, RWJF had invested $100 million with start-up funds

That means in 2023, seniors over the age of 60 will represent 25 percent of the county’s population. In anticipation of the population explosion, CAREGIVERS has made tremendous strides and expanded its geographic footprint to serve seniors in all 10 cities throughout Ventura County, with a variety of ways for volunteers to lend their time and talents.

How Can You Help? Volunteer in the New Year

Two to four hours per week can make a world of difference for seniors who need a helping hand, and CAREGIVERS offers a wide range of opportunities that draw on every type of talent! For example, following the launch of CAREGIVERS Hospital to Home project last spring, the office team recruited retired RN and now Volunteer Caregiver Suzanne Scarberry. She quickly observed two potential obstacles that would likely contribute to readmissions in addition to coordinating transportation for follow up appointments to the patient’s doctor; having food in the house and taking care of their pets. At nearly the same time these needs were being identified, professional chef Jodi Levine of Chef Jodi Cooks inquired about volunteering to serve seniors. Now, Jodi makes herself available to work with recently discharged patients who need help preparing food upon their return home. On the pet front, support services came from the Canine Adoption and Rescue League, who readily jumped in when called providing volunteers who could help with dog-walking and pet care.

TRANSFERRING ONE SKILL TO ANOTHER Volunteer Jim Brady inquired about various ways to serve low-income seniors and wound up offering his guidance on the development of an Economic Solutions program. Jim’s longtime experience at the Area Agency on Aging’s Health Insurance Counseling and Advocacy Program (HICAP) inspired his work at CAREGIVERS.

a great addition to the Honey Do Crew. These type of requests come in periodically, and offer seniors the comfort of knowing that they don’t always have to hire an expensive professional for a simple fix.

TRANSPORTATION One of the biggest requests from seniors is door through door transportation, with more than 5,000 trips provided countywide by volunteers in 2019. These included rides to the grocery store, various errands, and trips to medical appointments. Some volunteers are dedicated solely to providing transportation. These volunteers advise the office team when they are generally available, how far they’re willing to drive (within Ventura County) and when the schedules match up; low-income seniors are especially grateful to have their help.

ONE-ON-ONE MATCH This program remains the hallmark of volunteer caregiving. When possible, CAREGIVERS matches one senior with one volunteer. Over the years, they have had matches that have lasted 20 years. The beauty of the one-on-one match is focusing on what two people share in common and how close they live to each other. Many volunteers say that senior matches are one of the most rewarding experiences they’ve ever had.

PHONE FRIENDS/ VOLUNTEER LIAISONS Volunteer, Linda Morrisset, paved the way as the first Phone Friend. Today, she works closely with several other seniors who make hundreds of calls every month to check in with local seniors. The Volunteer Liaison is similar, but serves the volunteer base. If you like to chat on the phone, this could be a volunteer job for you!

DEMENTIA FRIENDLY RELIEF VOLUNTEER In 2019, CAREGIVERS began to recruit volunteers willing to train and offer respite to caregivers who are caring for family members with early signs of memory loss. This is an area of need that is growing and CAREGIVERS is eager to support these family members with a growing volunteer base.

EVENT COMMITTEES While most volunteer opportunities work directly with seniors (and require a background check, interview and references), there are also opportunities to serve on one of four event committees. These include the McGrath Family Wearin’ o’ the Green/ Norm Weitzel Open (Monday, March 16 at Los Robles Greens!), Evening of Gratitude, SAILATHON and Chari-tee Putt-Putt Tournament. Committees generally operate throughout the year in three phases: sponsorships, auction/logistics and marketing/ registration.
