iv. Electionofo cersisdistinctfrom(re-)electiontotheBoard. Once(re-)elected totheBoard,boardmembersmaystandforelectiontooneofthefouro cer positions. Theseshallbetwo-yearterms,withatermlimitofthreeconsecutive terms The procedure for nominating and (re-)electing o cers shall be the sameasthatforboardmembers.
v. Byunanimousconsentoftheboard,termlimitsmaybeextendedbyoneor moretermsforanyo cerreachingtheendofhisterm.
vi Ifaboardmemberhastostepdownforanyreasonduringthecourseofhis term,hewillbeencouragedtonominateasuccessor. Otherboardmembers mayalsonominatecandidates,andtheelectionprocedurewillbethesameas in(iii)above. Thereplacementboardmember’stermwillbedeemedtoendat the annual meeting closest totwoyearsfromthedateofhisaccession The sameprocedurewillbefollowedforo cersthatstepdowninthecourseof theirterms.

vii. Ifaboardmemberoro cerisunableorunwillingtoperformhisdutiesoris deemedtobeactinginawayprejudicialtotheinterestsoftheorganization,he mayberemovedfromo cebythefollowingprocedure:a)priortoaregular meetingoftheboard,anotherboardmembermayproposehisremovalasan agendaitem;(b)ifa2/3majorityvotesforhisremoval,hewillbesuspended; (c)atthenextregularmonthlymeeting,thematterwillberevisited,andifa 2/3 majority still resolvesonhisremoval,hewillbeformallyremovedfrom o ce,andareplacementsought
b. Roles
i. ThePresidentshallberesponsibleforpubliclyrepresentingtheorganization, and for overseeing correspondencewithpartnerorganizations,unlesshehas delegatedsuchcorrespondencetoanotherboardmember ThePresidentshall bechie yresponsible,inconjunctionwiththeVice-President,fordeveloping andmaintainingthestrategicvisionoftheorganization.Heshallalsobechie y responsible for overseeing and facilitating the fundraising operations of the organization
ii The Vice-President shall be responsible for assisting the President in the ful llment of all his tasks. The Vice-President shall be responsible for overseeing any who have been contracted to do paid work forJubilee,Inc. (such as webdevelopers,etc.),unlesshehasdelegatedthistoanotherboard member He shall be responsible for scheduling and convening all board meetings, both monthly and annual, and for setting the agenda for such meetings, in consultation with the Secretary. The Vice-President shall be responsible,inconjunctionwiththePresident,fordevelopingandmaintaining thestrategicvisionoftheorganization
iii The Secretary shall be responsible for maintaining copies of all formal organization documents, with the exceptionof nancialrecords. Thisshall include meetingagendasandminutes,resolutions,bylaws,recordsofformal communications with partners or recipients of funding,etc. TheSecretary shall be responsible formaintainingaGoogleAppsaccounttofacilitatethe orderlymaintenanceofsuchrecordsandtransactionofBoardbusiness. The Secretary shall be responsible for aidingthePresidentintheformulationof meetingagendasandtheschedulingofmeetings,andshallberesponsiblefor takingallmeetingminutes
iv. The Treasurer shall be responsible for maintaining copies of all nancial records, including records of day-to-day transactions, quarterly and annual reports, tax lings, etc. The Treasurer shall be responsible formaintaining bankaccounts,andshallnormallyberesponsibleforissuingandreceivingall paymentsonbehalfoftheorganization TheTreasurershallberesponsiblefor preparing and presenting to the Board quarterly and annual nancial statements, and for preparing any intermediate statements at the Board’s

request. TheTreasurershallhavechiefresponsibilityforadvisingtheBoardon the nancialfeasibilityofproposedactions. Heshallalsohaveresponsibility foracknowledgingreceiptofdonations,bothattimeofdonation,andatthe endoftheyearfortaxpurposes
v. Theboardmayatanytimevoteonthecreationofnewo cerpositions(at which time the bylaws shall be amended to describe these new positions). Thesepositionswillbenotbecomeformallyactiveuntil lledbyelectionsat annualmeetings,asdescribedabovein(a)iv
vi. Otherboardmemberswhodonotholdregularo cerpositionsmaybegiven othertitlesandrolesattheboard’sdiscretion(thoughtheseneednotcomprise o cesforwhichtheystandforelection). Normally,suchboardmemberswill be delegated to liaise with particular partner organizations, to assist the Vice-Presidentintheevaluationandresponsetonewfundingrequests,andto assist in coordinating fundraising operations, as well as otherrolesasneeds shallarise.
c Meetings
i Ordinarily,theBoardshallmeetonceamonthtotransactimportantbusiness, whetherinperson,byphone,orinternet.
ii. Allmattersnototherwisespeci edhereinmaybedeemedtoberesolvedbya simple(50%)majoritydecisionofBoardmembers.

iii. ResolutionsmaybetentativelypassedintheintervalbetweenBoardmeetings, whether by correspondence or online voting, so long as they are formally approvedbyavoteatthenextmonthlyBoardmeeting.
iv Monthlymeetingsshouldbeprecededbyanagenda,preparedbythePresident and Secretary, and carefully recorded in minutes, to be prepared by the Secretary.
v. At least once a year, the Board shall seek to meet in person at a location convenient toitsmembers,inordertoresolvemoredi cultbusiness This annualmeetingwillalsobethetimefortheelectionofo cers,asdescribed above.
vi. The date of the Annual Meeting may vary according to the scheduling constraintsoftheBoardmembers,butthespacingbetweenmeetingsshouldbe keptasclosetooneyearaspossible

V. Income
a. ThevastmajorityofJubilee’sfundingwillcomefromdonations,whetherfromprivate individualsorotherfoundationsandorganizations.
b Donorsmayalsoelecttomakeone-timegiftsorongoingpledgesofsupportdesignated for a particular project, event, or initiative Such donations may notbeconsidered binding ontheboardinaccordancewithInternalRevenueServicerulings,however Jubileewillgiveweighttothedonorsdesiresandwillpre-alertanysuchdonortocases which the Board in its sole discretion concludes to be out of line with Jubilee’s charitablemission
c. AnymemberoftheBoardisauthorizedtosolicitdonationsonbehalfofJubileeandto formally represent Jubilee to potential donors within the bounds of these bylaws. Moreover, the Board may delegate or contract fundraising activities to other individualsatitsdiscretion
VI. Expenditures
a. Asidefromtheinitialfoundingdonation,theBoardshallstrivetospendallgeneral undesignateddonationsinthefollowingmanner:
i Atleast80%ofreceiptswillbespentdirectlyontheworkoftheorganization, whetheritisforpurchaseofeducationalmaterials,educatorsandspecialists, etc.
ii. No more than 10% of net receipts will be spentonoverheadexpenditures, includingsuchcostsassoftware,webdevelopment,design,postage,printing, etc.
iii. Nomorethan10%ofnetreceiptswillbespentonthetravelexpensesofboard members or individuals authorized to represent the board at events or fundraising, or on the remuneration of board members or individuals employedbytheboard
b. TheallocationsprescribedaboveinVIIawillbereviewedannually,andmaybealtered attheBoard’sdiscretion,butonlybyunanimousdecision.
c. Any decisions to remunerate Board members for their work on behalf of the organizationmustbeapprovedbyadecisionof2/3ofotherBoardmembers
d. Any decisions to contract expenditures must be authorized by the decision of the BoardasawholeandmaynotbeenteredintobyindividualBoardmembersactingon theirowndiscretion.
e AnexceptiontotheaboveiswhenindividualBoardmembershavebeendelegatedto makeparticularexpendituredecisionswithingeneralparametersalreadyauthorizedby theBoard. Forinstance,ifabursaryfundhasbeenapproved,andtwoBoardmembers deputed to administer it, they may authorize the particular bursary amounts, and directtheTreasureraccordingly,withoutseekingBoardapprovalforeachindividual transaction
f. EachmemberoftheboardshallbeasignatoryonJubilee’sbankaccount.

g. The Treasurer will be responsible for maintaining receipts for and records of all Jubilee’sexpenditures.
VII Amendments
a. These bylaws may be amended at an annual meeting by a 6/8 majority of board memberspresent.
