President’s Report Dear Members, 50 years is a long time for any organisation to operate, and I am pleased to report that your Club is as strong and relevant as it was in its earliest days. As reported last year, your Club has recovered well since the COVID-19 lockdowns, with solid trading in our core operations. The Board and management have been busy undertaking significant planning looking at the next 50 years. Below are the highlights from the year that has just been. Our 50th anniversary in 2022 was celebrated with a number of events, culminating in the Gala Ball which was a sell out and a huge success. I can heartily recommend the CSCC 50th Anniversary Gin produced by our partners at Underground Spirits. There are still a few bottles left which you can pick up along with other great Canberra region produce from the CSCC Shop at shop.cscc.com.au This year we opened the expanded Snapper & Co, at the Yacht Club precinct. Snapper originally opened in 2014 with expectations it would sell $250,000 in fish and chips. It is now a Canberran favourite venue, with turnover over $5 million. It is a wonderful experience to sit beside the lake and enjoy Canberra’s best fish and chips with the best view. As reported last year, our investment continues at our Jamison venue. This is a popular Club, especially for our northside Members, and this year saw the opening of “The Yard”, Jamison’s outdoor bar and casual dining area as well as major renovations on the gaming and member lounges. We know these developments have been welcomed by our Members. It is hard to believe that it has been 5 years since we opened the doors on Stellar Canberra. In that time, this area has developed into a hub for health and wellness as originally envisaged. This year, we refreshed Anytime
Jamison Venue Manager, Andrew Wolthof, in The Yard at Jamison.
Fitness Stellar with a new look and equipment, revitalising this busy facility. Our Women’s Gym continues to be popular and we will continue to focus on providing the best health and wellness facilities in the ACT. One question we are asked by Members is our intentions with the remainder of Section 79, the old Pitch and Putt site. After much planning and due diligence by the Club and our advisors, we have obtained the regulatory approval to provide affordable housing through a Build to Rent scheme being developed with our good partner, Community Housing Canberra. In parallel, the Club in partnership with the Raiders Group will develop the remainder of the site for residential housing. The planning for these developments has occurred over many years with the intention that they will assist securing the financial viability of the Club into the next 50 years. This year, after some nine years in the role, we bid farewell to Ian Mackay as our CEO. I do not think it an exaggeration to say that Ian has been instrumental in revitalising our Club, renewing our commitment and connection to our Members and setting the Club up for the next 50 years. In his time Ian has planned and overseen the building of Stellar, the development of Section 79, implementation of the Community Rewards Program, renewal of the Woden and Yacht venues and the development of the Club’s 2050 vision. Although Ian is retiring, we are pleased that he will continue working with the Club in delivering our Section 79 vision. As a result of Ian’s decision to step down as CEO, the Board ran a recruitment process for his replacement that assessed candidates from across Australia. We interviewed some very impressive external candidates, but it is especially pleasing that we welcome Matt Walshe as the Club’s 4th CEO. Matt has been with the Club over 30 years, starting as a junior and since then has grown his skills and experience to be selected over an impressive field. We believe that Matt is an excellent choice as our next CEO providing a seamless transition, a passion for our Members, care for our staff whilst delivering on our longterm strategy.

Whilst on the subject of staff, it was very rewarding for the Club to win the “Clubs in Collaboration“ award at Clubs ACT awards night for its Job Saver program. At the start of the pandemic, the Club employed a number of international staff that were ineligible for the Government assistance packages and had no other sources of income. Through the Club’s “Job Saver” program these staff were employed in organising and preparing additional meals to the Vinnies Night Patrol service. The meals provided to Vinnies Night Patrol during the COVID-19 emergency were in addition to our ongoing support of the St Vincent de Paul Society Canberra/Goulburn. This year also saw some changes at the Board level. We bid farewell to Angela Patch and long-term director Jack Rice. Jack had been a director of the Club for some 48 years. He has overseen and directed the Club from its earliest days; from one small clubhouse, pre-poker machines, squash courts, smoking throughout and the drinking age was 21. The main revenue for the Club at this time was liquor, membership fees, punchboards and Friday night raffles. Jack has managed with the Board and Management to navigate 48 years of societal, economic and technological change. We thank both Angela and Jack for their contributions to the Club. We welcomed two new directors to the Board, Stephen Boyle and Julianne Andrews and we have already been impressed by their experience, enthusiasm, and their valuable contributions. I would also like to thank the rest of the Board, whose efforts, dedication and wisdom have been instrumental in all the Club’s successes. Although the Club is 50 years old, our future is bright. We will continue to invest in Venues against their Master Plans ensuring that our Clubs provide the best in contemporary hospitality with excellence in food and beverages, service and entertainment. We will progress our plans for Section 79, including our partnership with Community Housing Canberra and Canberra Raiders Group to help our community and ensure the Club remains sustainable.

We will also continue to support our community across our Giving Programs and are particularly proud of our ongoing support to groups such as Menslink, Palliative Care ACT, Karinya House for Mothers and Babies, Marymead, St Vincent De Paul Society and Bosom Buddies. Finally, I would like to thank you, our community. Because of your support, your Club can continue to help the organisations mentioned and over 300 other groups in our community with over $1.2m in funding provided last year in cash and kind.

Principal activities The company’s activity in the course of the financial period was the operation of licensed clubs, sporting, health and fitness facilities and rental of premises as landlord. There was no significant change in the nature of the activity of the company during the year.
Objectives The company’s short-term objectives are: • To provide a diverse range of services and amenities for the enjoyment of members and their guests; • Providing for families through offering family friendly facilities; and • To provide support to the community either financially, through donation of food or by providing facilities.

• An ethos of family values; • A performance culture; and • A leader in supplying and promoting health and wellbeing services. The Club continues to meet consistent high levels of community support through the annual grants program together with a comprehensive sporting grants program. In addition to these major programs, the Club is committed to the wider community by providing facilities and donated food, this is evidenced by ongoing support of various community groups. The Club has strong financial management and corporate governance systems which is managed through the Club’s business plan, key performance indicators, risk management plan and internal audit program. Monitoring of financial performance is reviewed on a monthly basis by executive management and Directors.

3 Summary of significant accounting policies The concise financial report is an extract from the full financial report for the year ended 30 June 2023. The concise financial report has been prepared in accordance with Accounting Standard AASB 1039: Concise Financial Reports and the Corporations Act 2001. The financial statements, specific disclosures and other information included in the concise financial report are derived from, and are consistent with, the full financial report of Canberra Southern Cross Club Limited. The concise financial report cannot be expected to provide as detailed understanding of the financial performance, financial position and financing and investing activities of Canberra Southern Cross Club as the full financial report. Discussion and analysis of the Club’s financial results are set out in the President’s Report and in the analysis of Trading Results. A copy of the full financial report and auditor’s report will be sent to any member, free of charge, upon request. The presentation used in this concise financial report is Australian dollars.
4 Going Concern The financial statements have been prepared on a going concern basis, which contemplates continuity of normal business activities and the realisation of assets and discharge of liabilities in the normal course of business. As disclosed in the financial statements, the Club had an excess of current liabilities over current assets at 30 June 2023 of $1,079,002. The directors are confident that the Club will continue as a going concern after consideration of the following factors: • Included in current liabilities is memberships received in advance amounting to $571,161. These amounts are not expected to be paid by the Club, but rather recognised as revenue as the Club fulfils its obligations to members over the next 12 months • The employee provision for long service leave of $829,191 is classified as a current liability. It is not expected that the current employee entitlement provision will be fully realised, as not all employees entitled to long service leave will utilise it in the next twelve months • The Club has prepared cash flow projections which demonstrate that it has the capacity to meet all of its debt obligations over the next twelve months • Subsequent to 30 June 2023 the Club has gained bank approval for an overdraft facility of $400,000, none of which has been drawn down at the date of this report Accordingly the directors believe that it is appropriate to adopt the going concern basis in the preparation of the financial report.
5 Events after the reporting period No matter or circumstance has arisen since 30 June 2023 that has significantly affected, or may significantly affect the company’s operations, the results of those operations, or the company’s state of affairs in future financial years.

In our opinion, the Concise Financial Report complies with Accounting Standard AASB 1039 Concise Financial Reports. Basis for Opinion We conducted our audit in accordance with Australian Auditing Standards. Our responsibilities under those standards are further described in the Auditor’s Responsibilities section of our report. We are independent of the Entity in accordance with the auditor independence requirements of the Corporations Act 2001 and the ethical requirements of the Accounting Professional and Ethical Standards Board’s APES 110 Code of Ethics for Professional Accountants (the Code) that are relevant to our audit of the concise financial report in Australia. We have also fulfilled our other ethical responsibilities in accordance with the Code. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. Concise Financial Report The Concise Financial Report does not contain all the disclosures required by the Australian Accounting Standards. Responsibilities of the Directors for the Concise Financial Report The Directors of the Company are responsible for the preparation of the concise financial report in accordance with Accounting Standard AASB 1039 Concise Financial Reports, and the Corporations Act 2001, and for such internal control as management determines is necessary to enable the preparation of the Concise Financial Report. Community Purpose Contributions For the period 28/06/2022 – 30/06/2023
Program outline A vital part of the Canberra Southern Cross Club’s ethos is contributing to our community. Every year we provide support to over 350 local community groups, schools, and charities. Our goal is to demonstrate our commitment through the support of local events and activities that benefit the Canberra community as a whole. Community giving has been a central part of what the Club does since its establishment in 1972. The Club has 5 key programs through which its community purpose contributions are distributed each year. These programs supply both cash and in-kind funding.
1. Community Key Partner Program
The Community Key Partner Program is the focus of our giving program for a three-year term. The program commenced in 2017 with the first Key Partner being Karinya House. The Key Partner receives funding in cash and in-kind support each year up to a prescribed amount as determined by the Club. Our current Key Partner is Canberra Yacht Club.
2. Community Rewards Program The Community Rewards Program is the program that connects our members to their community with members choosing the amount of cash funding provided to each group. This program is the Club’s most diverse program with funding provided to schools, sporting, charitable and not-for-profit organisations.
3. Community Grants Program
The Community Grants Program provides assistance to not-for-profit organisations whose charitable work support people in Canberra and the surrounding region. The aim of the program is to provide cash funding to assist local community-based organisations which make a valuable contribution to Canberra and the region.
4. Community Welfare Program
The Community Welfare Program provides assistance to local welfare organisations whose work makes a valuable contribution to the people in Canberra and the surrounding region. At the heart of the program is the food welfare program that saw organisations such as St. Vinnies Night Patrol and the Woden Youth Centre provide over ten thousand meals last year.
5. Community Sports Program
The Community Sports Program provides assistance to sporting organisations that are affiliated with the Club, as well as to other local community-based sporting organisations. The program supports, through cash and in-kind funding, a diverse range of sports that include cricket, football, rugby union, water polo, baseball, softball, hockey, rowing and triathlon. At the centre of this program is the Club’s long-standing financial support of the Canberra Yacht Club.

Community engagement The Canberra Southern Cross Club engages the community in several different formats. Through the Club’s website, Members Magazine and social media channels, this allows the Canberra Community to be kept fully informed of our programs. Each year announcements are made on the website that applications have opened and invite online applications to be made. For existing recipients, these groups also receive direct correspondence from the Club. Community contributions are reviewed annually (other than the 3 year Community Key Partner Program) by the Club’s Community & Membership committee through a formal application process, with each applicant required to provide their mission statement, key objectives, purpose and intended use of the funding.
Community purpose contributions monitoring All of the Club’s programs have clear guidelines regarding community purpose contributions and these are made available on the Club’s website. Our program guidelines state all successful applications must use funds in accordance with the provisions in the Gaming Machine Act 2004 (ACT) and the Gaming Machine Regulations 2004 (ACT) as amended and in force from time to time. In addition, applications contain questions that enable the Club to form an opinion as to whether the funds are a community purpose contribution. This process allows the Club to assess each individual application and the intended positive impact the funding will have on the Canberra community. At the end of the reporting period, recipients of funding are required to complete an acquittal confirming the total amount of funding they received and that the funding was used in accordance with the program guidelines and their application.

Special Resolutions
» First Special Resolution Special resolution to amend Clause 9.2 of the Constitution of the Canberra Southern Cross Club Limited to read as follows: (a) All assets and income of the Club will be applied solely in furtherance of the Objects of the Club and no portion will be distributed directly or indirectly to the Members of the Club. Nothing in this article 9.2(a) prevents the payment, in good faith, of an amount in respect of: i.
remuneration payable to an employee of the Club who is also a Member, for services actually rendered to the Club;
ii.
goods or services actually supplied by a Member to the Club in the ordinary and usual course of the Member’s business;
iii.
interest (at a rate not exceeding interest at the rate for the time being charged by the Club’s bankers for overdrawn accounts) on money borrowed from a Member;
iv.
rent for premises demised or let by a Member to the Club; or
v.
payment to a Member in his or her capacity as a Director or Secretary, under articles 12.5, 12.6, and 16.1.
(b) If, on the winding up or dissolution of the Club and after the satisfaction of all debts and liabilities, there remains any property whatever, it may not be paid to or distributed among the Members of the Club. The property must be given or transferred to another organisation with similar objects or purposes and which has rules prohibiting the distribution of its assets and income to its members. » Second Special Resolution Special resolution to amend Clause 13.2 of the Constitution of the Canberra Southern Cross Club Limited to read as follows: (a) The Directors must determine the method by which a ballot will occur including whether the ballot will be conducted; I.
By paper or by use of any technology.
II.
With or without appointing an independent ballot service provider; provided that any determination of the Directors is consistent with this article 13.2.
(d) Notice of the ballot and the voting document will be given by the Returning Officer or the independent ballot service provider (whichever is applicable) using one or more of the methods set out in article 20.1 (as determined by the Directors for each ballot) to each Ordinary Member, Contributing Life Member, Honorary Member and Country Member at least 21 days before the close of the ballot; (e) Each Member entitled to vote may cast a number of votes equal to the number of vacancies, provided that no person voting may cast more than 1 vote in favor of any candidate. (g) The three candidates who receive the highest number of formal votes will be elected. (h) In the event that the method of counting in article 13.2(g) produces a tied result, the successful candidate will be drawn by lot amongst those tied candidates.

Ordinary Resolutions
» First Ordinary Resolution Pursuant to section 202A of the Corporations Act 2001 it is resolved that the Director’s honoraria for out of pocket expenses be set in accordance with Article 12.6 of the Constitution. » Second Ordinary Resolution It is a requirement of section 53 of the Gaming Machine Act 2004, that members approve expenditure incurred by the Club or third parties for staff, Directors and partners to attend official functions, the Director’s annual seminar, sporting and other events on behalf of the Club as approved by the Board, as the expenditure may not relate to all members. Accordingly It is resolved that the expenditure incurred by the Club or third parties for staff, Directors and partners (if appropriate) to attend official functions, the Director’s annual seminar, sporting and other events on behalf of the Club as approved by the Board is approved up to a maximum of $30,000.00 for the period 29 November 2023 to 28 November 2024. This expenditure relates to all 4 Clubs associated with the Canberra Southern Cross Club Limited.

Election of Directors
NO BALLOT REQUIRED In terms of the Club’s Constitution, three Directors are required to retire each year, but will be eligible for reelection. This year, on a rotation basis the Directors to retire are Julianne Andrews, Stephen Boyle and David Earle, all were eligible for re-election. Therefore, nominations were called for on 27 June 2023 from members for election of three (3) Directors. Nominations closed on 10 July 2023 at which time the Club had received nominations from Julianne Andrews, Stephen Boyle and David Earle. The Chairman then formally declared those candidates duly elected to the Board. Therefore, there was no need for an election this year. 9.
