What it Means for Business Sales It’s 11am, as I sit down to write the opening for this month’s Magazine edition; The NSW premier is giving her daily update on COVID, Sydney is entering its 10th week of lockdowns, Melbourne continues to go in and out of lockdown after experiencing 111 days in 2020 and areas all across Australia have been affected by COVID and restrictions. So how does this relate to business? In particular, those looking to buy or sell? Speaking with business brokers, they have definitely learnt to adapt during these times. Business appraisals take into account the effect of restrictions, sale contracts are including buyout periods and video tours have been created. One of the most common trends we are seeing is a lack of sellers. Whilst buyer enquiries are still hot, as people look to pivot and find new opportunities, vendors are cautious. The increase in buyer activity is largely driven by staying at home restrictions and people having the time to look. Buyers are looking for genuine, quality businesses. People are looking for a change. With talk of vaccination rates increasing and lockdowns easing in the coming months, it makes a prime time to purchase a business. Summer is just around the corner and if Australians can get back to some level of normality, businesses will do well. Anyone up for an ice cream by the beach? Sure beats staying at home. This edition, we have jam-packed it full of helpful advice from business brokers and professionals, to help you navigate these uncertain times. There were 365,000 new business registrations in the 2021 financial year - people are building businesses. NEWS 15.2% Increase in Business Registrations in 2021 There were 365,480 new businesses registered in the 2021 financial year. In the June quarter alone, there was an increase of 1.4%, with 34,000 businesses created. Taking into account exit rates, there was a 3.8% increase in the number of businesses operating, bringing the total in Australia to 2.4 million actively trading businesses. Speaking with a new business owner, it seems clear why businesses are being established at such a rate: “I lost my job and there was just so much uncertainty and it was hard to find work. So I decided to go into business for myself. - Mr Warraich Whilst some businesses may be struggling due to covid restrictions, a coin always has two sides and there are businesses thriving during this time, especially in medical and online retail. The three industries with the largest net increase in businesses were: •

Construction (an increase of 16,603 to 410,839 businesses)

Professional, Scientific and Technical Services (an increase of 14,432 to 316,462 businesses)

Health Care and Social Assistance (an increase of 10,674 to 159,076 businesses)

It’s no surprise to see the healthcare and social assistance industry appear, with the effects COVID-19 has had on the community and the drive for medical supplies especially during the initial lockdown when demand for PPE was high. The ACT saw a 5.8% increase, being the largest growing state with 1,732 new businesses bringing its total to 31,499. The Transport, Postal and Warehousing industry saw the biggest exit rates with a 2.8% decrease in the number of businesses by 5,589 bringing the total to 194,459. Read full statistics on ABS

Petition to call on RBA to reduce fee’s The Council of Small Business Organisations Australia (COSBOA) and nine other leading small business organisations have started a petition to call on the

Reserve bank to act upon the crippling debit card transaction fees. Many small businesses are already struggling due to covid, there is a push to limit these high unnecessary costs. Businesses often pay higher fees than they should for accepting debit card purchases because the lowest cost payment route (usually eftpos) is not the default. These higher fees ultimately hurt all Australians, with small and family businesses and poor and disadvantaged consumers impacted the most. Sign Petition

e-Commerce Business Sold During Covid-19 Many business owners are cautious about selling their business during the ongoing global pandemic. With lockdowns and restrictions changing the way businesses operate (with many not operating at all!), it can be a difficult time to sell depending on your industry. About the business This business is an online e-commerce business based in Sydney, specialising in the sale of hardware products. Annual sales were circa $1M and growing. The business was listed for sale in February 2021 and we received over 35 enquiries within the following 2 months. Although based in Sydney, being an online business, it could easily be relocated to any state. The business was an attractive opportunity to those interested in online sales, with excellent systems and sophisticated software in place, as well as being a 5 day Monday-Friday operation, ensuring a healthy work-life balance. How the sale transpired The interested (and suitably qualified) buyer was based in Melbourne, and with the business in question being based in Sydney – the plan was that the buyer would travel to Sydney 10 days prior to settlement, for hands-on product and systems training to allow for a seamless transition of ownership. However, when Sydney went into strict lockdown, this arrangement became impossible. With both Seller and Buyer keen to proceed, as the Broker we needed to be creative and to find a way to overcome this


NEWS impediment. Plans needed to change and both parties agreed to adapt to allow the business sale to proceed, by agreeing to conduct online training sessions each evening for 2 weeks via Zoom. During this time, a bond was formed between the parties– building a level of goodwill and trust between them. By the end of the 2-week period, the online training proved a success, and with determination and out-ofthe-box thinking, settlement for the business sale was successfully concluded despite Covid-19 restrictions in place during the lockdown. The Seller then shipped all the stock to the Buyer and agreed to assist via telephone to ensure any hiccups were immediately addressed. Happy Seller, Happy Buyer and Happy Broker! They recently assisted a client with the sale of two of their businesses, to enable them to retire successfully. Both transactions were complex, and they were able to structure a sale of each business to deal with the particular issues involved. One was a Pallets business, operating through a National Agency Agreement. The sale needed to take into account the approval requirements of the national company over a 12 month period post-sale, and the buyer had to be prepared to take the risk on buying into the business and subsequently meeting these requirements so as to gain a long-term Agency Agreement. This risk in turn affected the financing of the purchase. he transaction was completed successfully. The other business was a quarry and related retail distribution outlet. While there was substantial interest in the quarry, the vendors did not want to sell this without also selling the retail outlet. A suitable buyer was sourced, and we worked with them for

Lollipop’s Brand Thriving with Three Playlands Sold Lollipop’s is swiftly growing their brand across Australia, with the help of DC Strategy, confirming thrilling new stores sold to three separate groups of passionate and dedicated franchisees in Ellenbrook and Bentley in Western Australia, and Hurstville in New South Wales. The state has proven to be a thriving location for the brand and has not been stirred by the lockdowns experienced by the Eastern Seaboard. NEWS Retail sales fell 2.7% in July Australian retail turnover fell 2.7 per cent in July 2021. This was the largest monthly fall this year and follows a fall of 1.8 per cent in June 2021, after a rise of 0.4 per cent in May 2021. Ben James, Director of Quarterly Economy Wide Surveys, said: “Lockdowns and stay-at-home orders in many parts of Australia continued to impact retail trade in July, with many non-essential retail businesses closing their physical stores. In particular, the first full month of lockdown in New South Wales, following the Delta outbreak in June, saw retail turnover in the state fall 8.9 per cent. This was the largest fall of any state and territory since August 2020.” Other states and territories under coronavirus restrictions for at least part of the month saw varying results with South Australia (-3.3 per cent) and Queensland (-0.9 per cent) experiencing falls. All other states and territories experienced rises with the strongest in Victoria (1.3 per cent). Victorian turnover rose as some restrictions from the prior month were eased further in early July, however, sales remained subdued due to a twelve day lockdown from mid to late July.

By industry, the largest falls were in cafes, restaurants and takeaway food services (-12.3 per cent), clothing, footwear and personal accessory retailing (-15.4 per cent), and department stores (-11.4 per cent). These industries were highly impacted by physical store closures. Food retailing (2.3 per cent) saw the largest rise as coronavirus restrictions kept households at home, limiting their mobility. A Quick Business Appraisal

DOESN’T MEAN A QUICK SALE

T

he journey for a business seller can be long and often traverses unfamiliar territory. One of the most common reasons that the selling process can stretch out is if the initial asking price is above a fair market price. Alternatively, an asking price that fails to capture all the positive aspects of a business may result in a quick sale, but at a price well below the best possible price. A key factor in establishing an asking price for a business is the appraisal provided by a business broker. A business owner looking online for initial assistance in selling their business will be bombarded by online ads offering online calculators and automated tools to “Find Out How Much Your Business is Worth”. A business agent who relies on such a non-customised approach

massively increases the risk of providing inaccurate pricing advice to a business owner.

EVERY BUSINESS IS UNIQUE Conversely, a business sales agent that takes the time to properly understand the unique features is more likely to provide pricing advice that will accurately reflect the unique characteristics of the business and the market it is operating in. An experienced and professional broker will want to undertake a customised Business Appraisal and shed some light into what the market is willing to pay for your business. Such a Business Appraisal process: •

is designed to help you set a realistic asking price

takes into account 2 or 3 appraisal methods

reviews recent marketing and sales of similar businesses

considers what the bank may provide a buyer in finance

A thorough Business Appraisal will take into account the following key elements: •

Business Systems (training & manuals, management and trained staff)

Risk (reliability of information presented for due diligence)

Assets (plant & equipment, Intellectual Property)

There are many methods to appraise a business, but they can be distilled down to four fundamental methods as used:

1. Future Maintainable Earnings 2. Asset Based 3. Market Based 4. Industry Ratios Your asking price should also be reviewed and adjusted depending on the market response and in line with your timeframe for selling.

CURRENT MARKET CONDITIONS IMPACT When an industry experiences unusual influences, either positive or negative, then this needs to be considered in any business appraisal model. The widespread but non-uniform impacts of COVID-19 and the subsequent government assistance packages will not be considered in any automated business appraisal model. Consider for example the impact of the Jobkeeper assistance package provided by the Australian Federal Government from 30th March 2020 to 28th of April 2021. During these 12 months the requirements and amounts paid were altered on numerous occasions. As a result of this intervention the Profit & Loss Reports for both Financial Year 2020 and Financial Year 2021 were heavily impacted. Additionally, businesses responded differently to the Jobkeeper stimulus. Some businesses closed completely for periods during the shutdown, some pivoted the business model temporarily eg. restaurants became bottle shops or bakeries. Others with a large casual workforce component actually increased wage payments to staff, even when revenue was lower than normal. A business broker that examines these two financial years as part of an appraisal needs to fully understand a. how COVID-19 impacted the business – both impact on revenue and supply constraints b. what government assistance the business received 10

c. how the government assistance changed the business operations d. how the business recovered during Financial Year 2021 In order to do this the broker should be conducting an in depth one on one interview with the owners and examining monthly profit and loss reports from the period. This doesn’t happen with automated/online business appraisals.

THE BUSINESS APPRAISAL PROCESS The business appraisal process followed by MMJ Business Sales and Acquisitions usually involves two physical visits to the business to interview and present to the owners. In addition, our analysis of the financial information can include a meeting with the business owner’s accountant. We conduct in-depth research of: •

Travel to Tahitian Pearls and Teaching: How this business broker built his career. Alan Maguire Maguires Real Estate

Alan Maguire, the Principal at Maguires Real Estate, has had a fascinating past. The illegal transportation of rationed WWII goods, working in Canberra when Gough Whitlam was famously dismissed, travelling the world teaching languages and selling Tahitian black pearls - as bizarre as it might sound - has led him to where he is today. Alan spoke to Bsale Magazine about his roots and how his passion for small business came to be. Both of Alan’s parents were business owners, his father in sales and his mother in retail to which Alan credits his introduction to sales and business. Originally from Northern Ireland, Alan and his family migrated to Australia when he was 9 years old. At the end of World War 2, in a suburb just outside of Belfast, Alan’s father Jack had a corner shop. “Just after World War 2 that’s when he met my mother. One of her friends told her to ‘go to Jackie Maguire’s shop because he has got stockings’. What my father was doing in fact, was driving over to Southern Ireland and illegally picking up these things because it was a ration period and selling them under the counter.” Alan said. “My mother, who loved fashion, had a clothing shop in Belfast and got involved in the fashion industry in Melbourne as well [after emigrating].”

Alan spoke about the corner shop fondly but while his father had great customer service skills, that was also his undoing, eventually leading the family to bankruptcy because he had given too many people credit.

“I found myself teaching languages and history in a state school in Melbourne, then I had the opportunity to go to France with my family where I got a teaching position and did my masters of French literature.”

“After the bankruptcy, my father took a job as a door-to-door salesman,” Alan said.

Teaching languages launched Alan into a career travelling the world teaching English to non-English speakers, particularly spending time in French-speaking countries like New Caledonia and Tahiti which led to his discovery of the black pearls which launched his small business.

Despite the setback, Alan’s father instilled the belief in Alan that in business, customers come first. Whether you are a business owner or a door-to-door salesman, nobody is too important not to put the customer first and this strong set of values followed Alan throughout his professional career. Language has been a central theme throughout Alan’s life. After studying Spanish and French at Monash University, Alan found himself at ANU in Canberra in 1975 during the period Gough Whitlam was prime minister. “I was there for Whitlam’s dismissal and I was doing the first course ever in Australia for interpreters and translators. I was the only native English speaker in the course, but I qualified and passed. I was officially a Spanish interpreter and translator.” Alan recounted. While very accomplished in his studies, there wasn’t a lot of work in interpreting available at the time, so he turned to teaching.

Upon returning to Australia, Alan continued to work for TAFE teaching English for another ten years while pursuing other career opportunities and business interests. “While I was in Tahiti, I discovered Tahitian black pearls. Having some time on my hands and a little bit of money from an accident I’d had, we set up a shop in the Dandenong Ranges and started selling pearls.” Alan said. All the while the jewellery business was doing well Alan was travelling around South East Asia and Saudi Arabia, continuing his work with TAFE. “After the GFC retail was a lot harder so we closed the [physical] shop and sold the jewellery from home. I went back to TAFE as an international projects manager and was able to create projects with Asia” It was also around this time that Alan set up five bed and breakfasts in the Dandenong ranges, really showing how diverse and varied his career path was turning out to be. “Lots of really positive experiences, once again it’s all about customer service and giving people value for money. It got to the point, after about 7 years, we were getting a bit tired [of the b&bs] and that’s when we moved more to concentrate on the jewellery side.”

Alan’s career where his passion for customer service and small business led him to becoming a business broker. “But it was all business, I drew back on my fathers’ experience of business and put into effect customer service principles, which my father was very good at. I drew from that experience and we had successful businesses.” Alan describes his entry to business broking as something he “kind of fell into”, after meeting a business broker from whom he previously rented a shop in 2014, who asked Alan to work for him. “During that period, I studied my Certificate IV in Property Services and after a year of being with him, I set up my broking business in Mornington.” Along with this new business working as a broker at Maguires Real Estate, Alan was still working with TAFE and “selling a whole pile of different businesses” and much 14

like everything else that interested Alan, he found he had a knack for brokering. “Could be one day I’m talking about selling chicken schnitzels and the next day talking about waxing in a salon.” Alan laughed. “It was the same basic principles. Because I’d been through it myself with the jewellery business, I knew the concerns of small business people and also the reason why they might want to get out of the business. Not always because of how it’s going financially, but because they quite often get to that period, that 7-year itch where they are tired of being in the business and are ready to move on.” Alan found that having a strong background in communication and teaching had many transferable skills to brokering, particularly combined with his business background. “Pretty quickly I was successful

at making sales and listings. I have built a reputation in the Mornington peninsula as somebody who is fair and understands where people are coming from.” Alan said. Business brokering is different to real estate, “It’s enjoyable, it’s getting involved and solving peoples’ problems.” Alan said. “The vendor has put in all this hard work and they want to get something back when they are ready to leave. They are just so stressed and they’ve been there probably two years’ too long.” Alan said this is where empathy is important in the problem-solving process. “You think to yourself, ‘yeah I gotta do a good job for this guy’ and then many buyers have never bought a business before and they trust that you will do the right thing.” Open and honest discourse and disclosed information is important to Alan during business sales, “when I work with a vendor, I feel


retail isn’t too great but things can turn around.” Alan said. “Your best referrals are definitely word-of-mouth. People think there is an element of trust already built up and they pass it on to somebody else so you know that is more or less what I rely on these days.” At the end of the day, business brokering really does all come down to customer service, according to Alan. Business is not just ‘numbers’, it is people and their life experiences. This is something that Alan is intimately aware of and is part of what makes him such a good business broker.

“I’m getting the prices and sometimes, more than what people are asking and that is not really the case normally with selling businesses.”

“I’m not panicking if they [the buyer] find an email address of the seller and I might even say to the buyer if they want to ring the vendor directly, for the technical details, I’m quite happy to share that. When you sell a business what you want is support from the seller when you start the business yourself when you take it over so you need to build a good relationship between the vendor and the purchaser and the broker is there to assist.” Alan said.

For example, Alan told Bsale about a factory business he is selling in Dandenong that had an amazing amount of interest interstate, even though the buyers couldn’t actually view the property due to the various lockdowns.

Sales during the pandemic have been surprisingly positive despite lockdowns. Alan said that there is an expectation that “they must be selling for cheap” but this is not what he has experienced:

“I had to arrange zoom interviews with each of them as the owners walked around the factory, I was zooming the owners and the machinery. I said if you’re interested, put down a holding deposit and fill out a form.” “ Two days later I had four offers! One at the price they’re asking and three above it.” Alan said. ”Similarly, you’re putting something on the internet and all of a sudden you have 10 enquiries the next day.” Surprised, as he had never had that kind of situation before, times really are changing and impacting the way businesses are run, sold and bought.

“You can have Amazon and so on and it’s convenient, but I would expect that there will be a little bit of a return to personal service in the coming years. Even retail might benefit from it at the moment

“Communication, if anybody asks me and I wouldn’t be just saying it, but to me, customer service is central to everything you do.” Alan said. “You need to follow your instincts, your talent, your background. Despite my mother saying ‘just go to uni and don’t worry about ‘this and that’ I couldn’t help getting attracted to sales. Even in education selling degrees overseas.” Alan said. Harnessing a life’s personal experiences to appreciate people and where they end up in life makes for an interesting business helping others enjoy their new business lifestyles. “I’ll move on if I’m not interested, my work really has to be something I am keen on but I’m open to new things so the real estate was always something in the back of my mind but didn’t feel I was ready but now feels quite comfortable. I’ve been lucky to be able to use my languages and teaching skills, it’s all linked together.”

Selling Your Business Keeping It Confidential Are you feeling a bit nervous about handing over your confidential Business information and trade secrets to potential purchasers? If the answer is yes, you are not alone.

The best thing to do is to appoint a professional business broker, someone that has the experience and systems to protect you and your business throughout the sale process.

You have worked for many years building your business, developing your systems and intellectual property. If this information or know how fell into the wrong hands, like say a competitor, the impact on your business could be catastrophic.

In our experience here’s the best way to avoid your confidential business information and trade secrets falling into the wrong hands:

If your information fell into the hands of your suppliers, or even your customers this could also be problematic. This could have an impact on not just your sales turnover or gross profit margins, but even your bottom line profits. Consider whether you would you be happy for your information to be provided to your nosey neighbour, or your staff? Would this effect your relationship if they knew the ins and outs of your personal finances? After eliminating all of the above, what about all the dreamers, the people that want to buy your business, but do not have sufficient equity to raise the funds required to purchase the business. Assessing the financial capacity of a potential buyers is a critical step when deciding who to release information too, after all, if a buyer can’t raise the money, they don’t need to see the information. As a business owner you need to protect yourself and your business, but on the other hand, when it comes time to sell, it’s difficult to sell a secret, and buyers, accountants, and banks all require information to make decisions. It’s important to work out what information to share? Who should you share it with? And at what stage of the process should information be provided?

Firstly, understand the screening process that will be used to qualify enquirers or leads, how does your business broker ensure that only serious buyers with financial capacity receive your business information. We recommend you ask your business broker to talk you through the steps involved. What questions do they ask, what information do they collect? Get comfortable that your confidentiality will be protected. Secondly, ensure a confidentiality agreement is signed by all enquirers or leads and every potential buyer is spoken to before receiving information. The confidentiality agreement needs to stand up in the Australian legal system if challenged. Remember, potential buyers will share confidential information too, they will be protected by the Australian privacy laws. Australian best practice is to have every buyer sign a Confidentiality Agreement, ask your business broker to provide you with a copy for review. A Confidentiality Agreement is typically provided online these days for ease of completion, but that is just the first step. It is critical that your broker has multiple conversations with potential buyers prior to releasing information - he or she needs to verify that the potential buyer is genuine and providing adequate disclosure.

Lastly, control the distribution of highly confidential information, send the most sensitive information later, once a buyer has disclosed more about themselves. For example, general information would be disclosed early, financial statements should be provided later in the process, and taxation records after a contract of sale is signed. A professional business broker manages and protects your confidential information rigorously. Unfortunately, not all do. So, in summary, you need ensure your business broker follows a rigorous professional vetting process, always has a confidentiality agreement signed, but most importantly, speaks with every lead rather than just send out information randomly. They need to take genuine care to protect your business information and protect your trade secrets. The AIBB Annual Awards ceremony was held recently on-line to celebrate the winners from each state. I would like to say a huge congratulations to all the winners, it is great to see so many brokers successful during these unprecedented times.

This year we have experienced the largest influx of new members our association has ever experienced. With 61 new members joining the AIBB in the past financial year, this has driven more demand for our excellent training programs and courses.

The past year has been arguably the toughest the business broking profession has ever faced. Lockdowns, Border Closures, cancelled conference for the second consecutive year, and feedback showing very mixed results for brokers all-around the Country and in NZ. Many business brokers have struggled whilst others have done very well.

During the year we have updated a significant number of our course materials, and in total our participant numbers for 46 of our programs have totalled 1136 over the past 12 months. We have had 17 Members complete the CPBB and we have a further 18 students currently undertaking the RBV course. This means we have better trained professionals. The Brokerage accreditation program has been an incredible success, we now have 17 x 5-star brokerages and 3 x 3-star accredited

The AIBB recently held its AGM and a new board was elected. A number of areas were addressed including training programs and allocation of funds.

We are continuing to invest in making BizStats a better resource for members, making it easier to use, more accessible and with better reporting capabilities. Looking to the future, our focus will be on developing our education and training, improving the professionalism of our association, strengthening our financial position, and delivering our programs in a better way.

Large multinational corporations are known for using mergers and acquisitions (M&A) to continuously build their empires. In fact, in 2019 alone, the total value of global mergers and acquisitions (M&A) deals was US$3.4 trillion, and in 2020 — in spite of COVID-19 raging across the globe — it amounted to US$2.8 trillion. 27


Now here’s a secret: small-tomedium enterprises (SMEs) can use this same strategy that the multinationals are notorious for! And here’s why: Statistics from the Australian Bureau of Statistics and the Australian Small Business and Family Enterprise Ombudsman show that the bigger your business is, the more likely it is to survive over four years. So if you’d like your SME to survive and then thrive, you need to consider buying a business (or many!).

You’d want to surround yourself with people who’ve ‘walked through the fire’. Many entrepreneurs incorrectly assume that simply having a lawyer, accountant, or business adviser when buying a business is enough. Unfortunately, business M&A is a niche field, and most of those professionals have a generalist rather than specialist knowledge and experience in it.

If you have partners or investors, make sure that relationship is clear in an agreement (e.g., shareholders agreement, unitholders agreement). Having airtight contracts drafted by a veteran M&A lawyer will save you from litigation and other threats to business success down the road.

Below is a quick summary of what these 5Ps require and how they can help you get the most out of your business acquisition deal.

Process You need to establish a clear process with your deal team, which includes how you’ll search for your acquisition target, how you’ll assess its value and risks, the timeline for the deal, and so on. This will help you avoid the effects of “deal fever”, where excitement over the deal and anticipation of the end goal overtake rational thinking. Having a due diligence list is crucial.

As a commercial lawyer specialising in helping SMEs with business and share sales and acquisitions for more than 2 decades now, I’ve witnessed a number of crucial things that help business buyers get the most success out of their acquisitions.

2. Primary Value

Deal Team

The three types of risk that you need to be wary of are value risk, landmine risk, and transaction risk. Lawyers with extensive experience in M&A have multiple strategies in identifying and controlling those risks. #4

PROCESS

A lot of things can go wrong along the business sale process, and with people involved, there’s no doubt that there will be challenges that can slow down or even completely halt or end the deal. PURCHASE STRUCTURE

Lastly, you need the right structure for your purchase price. I recommend focussing on these 3 things: the structure of the purchase (share sale, business sale, or asset sale?), the timing of payment (full purchase price at completion, or staggered in

one of many ways?), and how the purchase price is paid (set, or partly contingent on some metric like future performance or the achievement of some milestones?). Here’s a tip: Consider using options in structuring your deal, which give you the right to buy an asset at a set price at a certain date or upon reaching certain milestone triggers. A call option gives the holder the right to buy, and a put option gives the holder the right to sell. A veteran M&A can help you decide whether options would be good for your deal.

IS YOUR HOSPITALITY BUSINESSES SELLABLE? A “Tale of Two Cities”, the vivid metaphor of Dickens novel juxtaposes the red wine flowing in the streets before, to the red blood that will flow tomorrow. Could this be an apt analogy on the challenges confronting the hospitality industry in Australia today? As the immense challenges affecting the hospitality industry play out during the disruptions caused by the Covid 19 pandemic, it is worth analysing the factors that are impacting this vibrant and economically important industry and how business brokers continue to play an increasingly important role in realising opportunities for sellers and buyers. This business sector, even before Covid 19, was being severely disrupted by technology ( ie UBER), increasing costs particularly in wages, occupancy, utilities and cost of goods, a shortage of highly skilled hospitality professionals 30

and with a price ceiling imposed by massive competition. Covid 19 has exacerbated further these challenges by disrupting and changing the very way we live. •

Working from home has had a devastating impact on city centre hospitality outlets whose sales have seen dramatic falls. Commensurately, outlets in the suburbs have experienced significant growth in sales. This change may be partially permanent. Wage costs will continue to rise and will force business owners to re-evaluate their business models. This will come about through greater use of technology at the point of order and through menu engineering and laboursaving technology in the kitchen. 30% or less wages can be realised, it requires a

different mindset. I have seen a restaurant that has reduced its trading days from 7 days to 5 days and re-engineered its menu offering. Achieving, no reduction in sales, wage cost reduced by $250k per annum and a doubling of profits! Offering takeaway services to expand the reach of their products and services is now almost essential for many restaurants. •

Occupancy costs. In many cities across Australia many hospitality businesses have been paying rents on the upper end of the rent cycle with rents in excess of 10% of turnover. This is a very important benchmark, with compounding annual increases this cost can compromise the viability of a business without increases in sales to compensate for an increase in this fixed


cost. Many businesses have received deferred or reduced rents to assist through lockdowns or reduced trading as a consequence of Covid 19. •

Utility costs and have seen significant increases, with even the humblest cut of meat reaching prime cut costs.

The shortage of qualified (or unqualified) staff has reached a crisis point. There is approximately a 30% vacancy rate for all hospitality staff across Australia. The industry has historically relied on backpackers and foreign students to fill many hospitality positions and that source has currently been extinguished.

High levels of competition. It has been estimated that between 5% and 10% of all hospitality business across Australia will not reopen. This reduction in competition should ultimately benefit trading businesses.

Australia has historically spent

more than $50billion per annum on overseas travel. A portion of the money is now being spent internally within the hospitality sector. I know of restaurants whose sales and profits have increased significantly. Using a skilled and knowledgeable business broker with an intimate knowledge of the industry, who can provide sound advisory services, who has a broad understanding of the industry, who has the confidence and knowledge to be able to provide a valuation based on an intimate knowledge of the market and is capable of factoring in the variances caused by Covid 19, is key to achieving a successful sale in the current market. I believe that it is advisable to look for a Business Broker who is a Registered Business Valuer (RBV) when choosing a Business Broker. Sellers who have responded positively to the challenges posed by Covid 19, will undoubtedly be in much stronger position to sell their businesses.

Going Back To Work In The Office? Not Very Likely With the pandemic in full swing, CBD areas in major cities throughout the world saw a huge reduction in the flow of commuters going to and from offices. The Covid-19 pandemic sparked an extraordinary exodus of workers from office buildings, to become what was meant to be a short term solution, the “work from home” workforce. After a year, employers and employees have both embraced the advantages of remote work. The lower office costs for employers and the greater flexibility for employees, especially those with families, has been an extremely attractive option. More and more companies have pushed back dates for returning to offices and have made work from home a permanent policy for at least some positions. The full return to office scenario as per pre Covid-19, is extremely remote, probably a zero chance of happening. The work from home scenario will vastly reduce the demand and will have a huge impact on office space rentals. This in turn is likely to have a serious impact on property values as well as a slow down on new building projects. This will create a huge long term impact on the construction industry and workforce. According to the latest figures the vacant office rentals are at a record high in a

number of major western cities. Is this the only impact? Certainly not, there are a number of areas already affected and many more will be in the near future. Let’s start with, restaurants, takeaway shops, bars, all of these have and will continue to be adversely affected. This will in turn, see a number of closures and more vacant spaces. The value of the remaining establishments will drop dramatically due to the lower turnover and the reduced profit. The price, business owners can expect from the sale of their business, especially in the hospitality industry is substantially lower than pre-Covid times. The demand for staff in these establishments has and will continue to be reduced significantly. One area that hardly rates a mention is council services for the CBD. THE ART OF NEGOTIATION

M

any things make a good Business Broker. Business Experience, Network, Personality, Charisma, Marketing Skills, and more. However, none more critical than their ability to negotiate a favourable deal for both the vendor and the acquirer because at the end of the day, that’s the end goal. There are three basic styles of negotiation, and each has an advantage. Ultimately the best negotiator incorporates the best of all three; 1. Assertive (aggressive 2. Accommodator (relationship-oriented) 3. Analyst (conflict avoidant) Aside from the negotiation styles, there are ten overarching rules for negotiating, but the finesse in which they are delivered is a skill not all possess and is often honed through years of experience. This is where a Business Broker is worth their weight in gold or salt.

RULE 1 START THE NEGOTIATIONS A great Broker will initiate a negotiation because whoever controls the start of the talks tends to control where they end.

RULE 2 GO TO THE AUTHORITY Never negotiate with anyone other than the decision-maker. If there are multiple decisionmakers, they all need to be a part of the process, whether faceto-face, via group Zoom calls or group phone calls. Chinese Whispers to other parties tend to water down the negotiation and will often return an unfavourable outcome and lead to an additional need to negotiate, often ending up further away from your preferred goal. You can ask your contact directly; 1. “Who do we need to satisfy to close a deal? How can I help satisfy them?”

2. “Who has the authority to close the deal? We need to include them in our discussions.”

RULE 3 CASH IS KING If you are negotiating on price, then Cash is King. If the vendor is considering an offer subject to finance and may fall over in the last hour or an all-cash, quick settlement offer, they are often more inclined to accept the guaranteed deal. Therefore, when going into a negotiation, it’s best to ascertain the acquirer’s financial position. Whether they need to secure finance or if they are a cash buyer.

RULE 4 BE OK TO WALK AWAY If an acquirer is too emotionally invested in purchasing a Business, then it is likely that a good Business Broker will clock this a mile away and know that they can


play hardball with them. Similarly, if a vendor is still highly emotionally invested in the Business, they may be difficult and unreasonable when negotiating. They may even decide to withdraw the Business from sale, getting ‘cold feet’.

RULE 5 SHHHH Knowing when to speak and knowing when to remain silent is a sixth sense that can make or break a deal. A Broker should listen to understand the issues a vendor or acquirer are having and not simply listen to respond. Listening intently and understanding the issues goes a long way to bridge the gap between the two parties.

RULE 6 “THAT ISN’T GOING TO SECURE YOU THIS BUSINESS” This is a compelling phrase when negotiating and utilising it at the perfect moment can elevate the negotiations to a point where there is a positive result. Letting a party know that their current offer needs significant improvement can kick them up a gear in their offer.

RULE 7 ALWAYS TELL THE TRUTH An ill-gotten gain by telling either party what they want to hear, rather than what is accurate, will inevitably be a Business Brokers downfall. Because once trust has been broken, it is unable to be glued back together to either party, and people don’t deal with people that they don’t “know, like and trust”. So, no matter what – TELL THE TRUTH!

RULE 8 “IF I WERE TO” TECHNIQUE Often if you offer up a trade-off, you engage in conceding, yielding,

or exchanging things of value. Exchanging lower value items to you and higher value to your negotiation partner is called ‘logrolling.’ “If I were to give you an extended handover period, would that satisfy your concern and allow you to move forward with an offer my Vendor will accept?”

hen applying for a business loan, it’s essential to prepare a detailed business plan and fully inform the lender about your proposed venture. This information helps the lender to provide you with the right type of finance and advice.

DECISIONS TO MAKE Deciding that your business needs a loan is only the first step. There are a number of things to consider before you approach a lender; how much do you need to borrow; what

type of loan will you need; how long will you need it for; can the business afford to repay the loan, interest and any one-off or ongoing fees that come with the loan; what security can you offer the lender and how this affects the interest rate offered. Take the following into account: Access to funds you borrow If you need to access the funds on a semi regular basis (i.e. to help with cash flow to keep the business operating while waiting for your customers to pay for goods etc.), ‘at call’ loans such as an overdraft

or line of credit are designed for this purpose. However, if you need the funds to buy a new business or equipment etc. to expand your existing business you will need the funds ‘upfront’. This is also known as a ‘fully drawn advance’ and provides you with the entire loan amount all at once. Loan terms Loans provided upfront will need a portion of the loan plus interest paid back at regular intervals. The repayment amount will depend on the term or length of the loan. To determine the loan term suitable 43


for your business you will need to calculate how much you can afford to service the loan. Be aware that the longer the loan term the more total interest you will pay. Loans that are at call have no fixed terms. Ongoing funding This is the average amount of an overdraft or line of credit that is used at any one time. E.g. You may wish to have an overdraft limit of $20,000 to provide money for the occasional big expense, but usually you won’t use more than $5000 of that credit limit on average. So in this case $5,000 is the level of ongoing funding you need. When applying for an overdraft limit, things to watch out for are:

Ultimately, the choice of variable or fixed rates will depend upon how much free cash flow your business generates after you have paid all your expenses, including loan repayments. If your business has a low profit level, a variable rate loan repayment may rise beyond your ability to pay. Loan security Loans can be secured or unsecured by various types of assets, including residential, commercial, rural property or business assets. Alternatively, some loans are unsecured by any asset. Generally, the less you provide for security the higher the interest rate will be. Be aware the lender has the legal right to seize any property or asset you offer as security if you can’t repay a loan on time. Fees There can be fees which can 44

It’s also important for you to create a convincing and detailed business plan which should include a profit and loss budget and cash flow forecast. The information you use to build your business plan may also be needed by the lender to assess your project. This includes both the past and future plans for your business, the people working in it and the market itself. Risk assessment Understanding what lenders look for and what they consider risky will help you present your business in a favourable manner.

A projection of the cash requirements of the business is most important to a lender, as it is the actual cash left after expenses that will repay the loan, not income. It also shows you are an effective manager. A lender’s perception of risk The following factors can influence your lender’s perception of risk. If a number of these areas apply to you and your business you may need to consider another source of finance. Risk factors: •

start up businesses incorporate financial, business and management risk

lack of security

lack of business history

industry sector, factors will include levels of competition, barriers to entry, profitability profile and current economic conditions

highly seasonal businesses eg. swimsuits, agriculture. You’ll need to demonstrate how you’ll deal with cash flow pressures in the off season

lack of planning, market knowledge and finance skills

poor credit history.

The outcome of your application is strongly influenced by how well your proposal is researched and how well it is presented.

As a general rule, lenders look for: •

the level and nature of your security (what you’re offering to give them if you can’t repay the loan)

your ability to ultimately repay the debt (business risk), including any other debts you might already have.

ased in Brisbane, this established popular barbershop for sale is a fantastic opportunity for a single barber or hairdresser looking to walk in and take off running. Having been recently rebranded in March last year “business has only gotten better and better” current owner Aleksander said. “The big change really came once I had rebranded. My clientele changed, word of mouth spread.” Aleks said. It can be a tricky time to own a barbershop. Hair salons and barbershops have faced unique challenges during Covid with different rules each lockdown, sometimes the businesses were considered essential and sometimes they weren’t. “With covid last year, there was a drop. Last year we were considered essential and this year we were considered nonessential.” But at the end of the

day, regardless of covid, “hair will keep growing.” Aleks says. With the changes in rules and regulations, Aleks explained that in QLD barber shops usually “fall under retail”, particularly in regards to public health requirements because they are considered low risk for contact (when compared to a salon that might do piercings and microblading).

“From what I know, we are the only state in the country that doesn’t require a license to operate because we fall under retail and that is part of the reason why you see so many barbershops,” Aleks said. As Aleks says himself, the services offered at the shop currently are “nothing too fancy”. There are


roughly 100-120 haircuts a week on average, plus beard trims on top of that. “Most of the business is just general clientele, nothing too fancy. Though 25% of haircuts are skin fades.” skin fades which are a trendy youthful style that is popular right now. The other three-quarters of haircuts are “just general haircuts, which any barber can do”. The thing that makes people loyal to their local barber is the atmosphere. People are going to the shop for “the social aspect, rather than just the kinds of haircuts being produced.” Aleks said. The shop is situated in an estate, on the main thoroughfare and a main road. “There is a lot of foot traffic and there is a big speed bump right in front of us, so every car that slows down over the speed bump slows down right in front of the

shop.” Alex said, going on to say that there are about “7000 cars that drive by every day and the coffee shop next door opens up at 5am to accommodate everybody coming through.” Traffic aside, the location of this shop is also fantastic for another reason.

This barbershop is a must look at for any hairdresser or barber looking to make the move to South East Queensland. “Once you look at the numbers. The demand is there and it has room for growth.” Aleks said. “It speaks for itself.”

“There is no other commercial building/corner store within 3km each way, and neither one of them have a barber, so you are quite isolated but it’s in a great spot,” Aleks said. The ideal buyer for this business, according to the current owner, is “someone who knows how to cut hair” which is self-explanatory but Aleks went on to explain: “Someone who knows how to cut hair, someone who comes in to buy this shop, would not even have to have another person there if they don’t want and they would still be able to pull the $3500 - $4000 a week before rent.”
