AIBB Conference Shines a Light on Business Brokers’ Success

We are thrilled to share highlights from our recent attendance at the National AIBB Conference in QLD. With 170 business brokers in attendance and an impressive 68 new members, it was great to see the growth of the business broking profession. There have been some impressive sales and achievements over the past 12 months and it was great to share in the celebrations.

Our featured business broker is none other than Hugo Martin from ABS Business Sales. As a host at the recent AIBB conference and known for his Friday Pinot videos where he discusses current business sale topics, he was the perfect fit for this edition.

In keeping with the celebrations, the edition is focused on why people become business brokers. With less than 600 people actively working in Australia as a business broker it is a niche space and it takes a unique skillset to be successful. We speak to multiple business brokers and share their journeys.

With the largest intake of new members at the AIBB it's great to see the development of this profession. Historically, business brokers have worked solo and were accountants, today we are seeing a diverse range of people transitioning into this space and the growth of teams working together. Speaking with new members, a lot were former business owners who had built and sold a business, so they have a solid understanding of what it takes to run a business, prepare it for sale, and sell.

As we gear up for the summer season, we anticipate a surge in buyers seeking profitable lifestyle businesses that can allow them time to enjoy some flexibility and reap the benefits of the Christmas and New Year period.

The vendor's selling team usually includes business partners, accountants, lawyers, and, of course, a business broker. Business partners' alignment in the decision to sell and their transparency throughout the process are vital. Accountants and lawyers play a crucial role in ensuring that financial records are accurate, legal hurdles are overcome, and the deal structure is optimised for both parties. A skilled business broker acts as the conductor of this symphony, harmonising the efforts of all involved parties and guiding the transaction towards success.

MARKETING METHODS: NAVIGATING INDUSTRY DYNAMICS

Finding the right prospective buyers is an art that requires careful consideration of industry dynamics. The methods for marketing a business for sale can vary widely across sectors. Online platforms, social media, direct outreach, and networking events all play their part in attracting potential buyers.

In some industries, confidentiality is paramount, necessitating a more discreet approach to marketing. Competitor acquisitions, for instance, often require a tactful strategy to prevent market disruption. And I, as a business broker, am honoured to be a part of this ever-unfolding tapestry of unique stories.

BROKER BY CHOICE: MY JOURNEY INTO BUSINESS BROKERING

My journey into business broking kicked off in the most unexpected way just over 4 years ago. Although I had always been in the corporate world and sales (and very good at it!) after the birth of my daughter I took some time to reconsider what I wanted to do. I soon stumbled upon a job advertisement for a part-time administrative role with Absolute Business Brokers. It was nice and close to home and had great hours so I could still spend time at home with my young daughter. I quickly applied for the role as something I only planned to do for a few months while contemplating my next career move.

Little did I know that this starting point would unveil a hidden talent within me. I very quickly began to ask questions to understand more about what I was being asked to do and as I engaged with both buyers and sellers, I quickly realised my combination of prior knowledge and my 15 years of sales experience could potentially make me an accomplished business broker. My curiosity and determination had me rapidly absorbing as much information as I could, learning from our incredible team who was always willing to answer my questions and talk about the market. I was fortunate to receive mentorship from Elle Likopoulos, our Officer in Effective Control, who became not only a mentor but a valued friend, consistently encouraging my growth and learning journey.

Her unwavering support over the

years kept me determined to be the best at what I do and I am beyond thankful for the opportunities that have been given and continue to be given to me. I was very lucky to be in a position where I was supported with my professional development but also respected by my peers and everyone in the office. Despite being the youngest member of the brokerage team, I've never encountered reluctance from my colleagues to offer insights or opinions when I seek guidance. Rather than trying to use each other to climb to the top I am honoured to be a part of a team who works together to build each other up. Within my first year of business broking, I was one of the top agents at our agency, a finalist for four business awards and determined to become one of the best at what I did.

Now don't get me wrong, business brokering came with its fair share of challenges. From dealing with intricate negotiations to managing the emotions tied to businesses and their owners to having to face the stereotype that I wouldn't be as good at my job as a young female entering a male-dominated industry. Each hurdle was a learning experience. Overcoming these challenges has not only strengthened my professional acumen but has also taught me the importance of resilience and adaptability in an ever-evolving industry.

Selling a business is a roller coaster ride, it starts off slow with months of hard work, planning and working tirelessly with buyers and sellers to ensure they both walk away satisfied and ends with the rush and adrenaline of closing a deal.

Training through COVID and the pandemic definitely opened my eyes to difficulties that so many business owners faced and those stories and dreams were often crushed because of the unprecedented situation we were all in. The adrenaline rush

Most people in my profession (i.e. business broking) are short-term thinkers, oh they talk “long” however, they actually walk “short”. I walk and talk “long”. Everyday. That’s the difference. “Long” means perseverance and determination, integrity and a genuine client focus, even at personal “expense”. In addition, I back up what I say with my technical competence and a highperforming team.

PERSEVERANCE AND DETERMINATION

“A dream doesn’t become reality through magic; it takes sweat, determination and hard work.” Colin Powell.

I love this quote, this is what separates the “walkers” from the “talkers”. Achieving success isn’t easy, if it was everyone would be doing it! I like to take a measured approach, assess a situation, review and analyse various options, select and advise on the best solution and then diligently plan to achieve the desired outcome. This takes determination and belief and an ability to follow the plan through to the end.

Let me give you an example, last year I sold a franchise business at

Mooloolaba, it was a very difficult sale, our buyer was inexperienced in business and demonstrated little business acumen when meeting with the franchisor. Subsequently, the franchisor did not approve them to join the group. I had to work hard, to get the buyer over their disappointment and feelings of rejection, manage the sellers' anger directed toward the franchisor and come up with a plan to educate, mentor and train our buyer to convince the franchisor that their decision was wrong.

I had to get everyone on board to work toward the same goal. I proposed a 6-week training program between the buyer and seller and lobbied the franchisor to reconsider the application once this training had been completed. Not only did I need to persevere, but I needed to inspire this with this tenacity too. Ultimately, my goal was achieved after 6 long weeks.

In my industry most would give up, and most would cut their losses and move on.I am strong-minded and I display confidence in my capabilities and plans. Coupled with my

entrepreneurial spirit, I am able to consider possibilities that most aren't brave enough to do.

is done with integrity, this is an absolute no debate. It is core to my character…. my business and my team.

Fostering long-term relationships is critical to my success. I deliver on the promises I make and I make tough decisions when necessary. It’s frequent in my business that I need to tell people what they don’t necessarily want to hear – “Sorry John, your business isn’t worth what you think”; integrity is about taking the uncomfortable option when required, my success is a result of doing this, particularly when some of our competitors won’t!

I empower my team to act spontaneously where required to take the initiative to exceed our client’s expectations.

Qualifications and experience in small business are often hard to find. I pride myself on being a financial subject matter expert (I am a Chartered Accountant

with 20+ years of commercial experience); I have undertaken extensive sales coaching and have a creative marketing mind – I have a business coach that I use as a sounding board, to challenge my thinking and help me improve outcomes. My negotiation and influencing skills are second to none, I rarely miss a deal.

With all this in my arsenal, over the years I have become known for my expertise in franchising and small business. I regularly receive business opportunities from our referral network of franchisors, franchisees, accountants, lawyers and finance brokers – and they are in safe hands. ALERT: SECURING DIRECTOR LOANS

De Jonge Read often sees situations where a related party (e.g. director or family member) lends considerable sums of money to a company without taking a security interest relating to their loan. These loans are necessary because the bank will not provide any more funding and the business is out of financing options. This can result in the related party ending up as the major lender, advancing more funds than the business’s bank, but they often have no security at all which places them in a risky situation.

If we could say one critical thing to business brokers and business owners, it would be to help secure any such loans on the Personal Property Securities Register, more commonly known as the PPSR. The PPSR is an official government register which is a public noticeboard of security interests in personal property that is managed by the Registrar of Personal Property Securities. Taking this step can make an enormous difference to the outcome if the business becomes unable to continue. As a secured creditor, the lender is entitled to be repaid before any unsecured creditors. Further, this avoids any potential preference payment claims.

Case Study: Roger was speaking with his business broker about a recent loan he had made to his company. Roger’s broker knew the value of having security for the loan so referred the client to de Jonge Read for an obligation and cost-free assessment of Roger’s situation. de Jonge Read recommended that:

• A written loan agreement be prepared, covering issues such as events of default, triggers for repayment, the interest rate to be applied, and the method of calculating interest;

• A security interest be taken over the company and registered;

• An acknowledgment that future lending would be subject to the same agreement up to an agreed limit amount; and

• Evidence be maintained to show that the funds were received by the company and the source of those funds (such as bank statements from the lender and borrower).

Fortunately, Roger engaged de Jonge Read to implement those recommendations. Fast forward to the end of 2022 and Roger’s company had to consider some formal insolvency options due

to the longer-term effects of Covid on the business. The business suffered a slowdown in sales during the Covid period and whilst the business had returned to normal, Roger had incurred an insurmountable debt to unsecured creditors, predominantly the Australian Taxation Office (ATO).

At that time, de Jonge Read devised a strategy for Roger that included a business restructure (sale of the business to a related entity) for commercial value and because Roger was the firstranking secured creditor (based on the security he had taken out), the majority of the purchase price was simply offset against his security interest. In this case, taking his broker’s advice saved Roger hundreds of thousands of dollars.

If as a broker you see a loan from a related party on a balance sheet or you know a purchaser is lending substantial funds to their company to facilitate a purchase, please encourage them to seek advice from de Jonge Read first. There are numerous complex rules about the timing of registration and the effectiveness of a security interest and de Jonge Read are happy to advise based your circumstances.

What it takes to be a Leading Business Broker

“97% of people that become business brokers drop out.” Arnold said, explaining that one of the main reasons for this is the workload and that many new brokers ``can't handle it, you have to make yourself available. Quite often somebody will ring and say ‘I have a business for sale’ if I don’t get back to them very quickly they will just ring somebody else and if they pick up first, they will.”

“I have to really work hard. I’m constantly talking to people. I call every single buyer that comes to me. I talk to them. I find out their backstory. I find out what their goals are, and then I talk to them every month. With regards to vendors, I go to practice owners’ conferences, and host summits, plus I get involved with in-person education events. I try to be the person that is in their mind when they think about selling. You

The business brokers that will make good income and bring in good results are the ones that engage with people, according to Zoran. They understand the ‘whole concept’, they are dealmakers that focus and spend their time on the deal.

“The deal will not happen by itself, if you leave a deal alone, it will probably fall apart, so you have to project manage the people [involved] from people within the enterprise to people outside the company, all the way to lawyers and accountants on both sides.”

“For us, success means working collaboratively, working with integrity, being part of the passion for the disruption we're going through, and celebrating the successes is the key. When you do the best for your vendors and your purchasers, the money will come. You don’t become successful by chasing the money.”

“I realise, sometimes what you have to do to sell a business is that you have to really simplify it and present it in a way that people will absorb it. For instance, if you have a palliative care business, that doesn’t require a skillset as such, all it needs is someone who understands how business works, and they want to sell it, but they can’t sell it based on a profit or loss statement, it’s my ability to transform that business into a readable document or presentation that can be absorbed by just about anybody.”

IM A SPECIALIST BROKERHERE’S WHAT I DO.

There are many similarities between specialist and generalist business brokers. We all appraise, list, and market businesses for sale for our Sellers. We all find, qualify, and procure offers from our Buyers. And we all negotiate the terms and conditions of the sale to achieve a win-win scenario for both Buyer and Seller. But as a specialist, there are distinct and nuanced differences in each of these areas.

I specialise in the sale of rent rolls and real estate agencies across Queensland. When appraising a rent roll for sale, there are many factors that need to be taken into account that are specific to rent roll transactions, such as the location of the properties in the rent roll, the level of landlord ownership in the rent roll, arrears and vacancy rates, how long the properties have been under management with the agency, the reason for the sale and the Seller’s intentions after the sale, as well as the earnings and where they sit amongst industry averages.

Multipliers for rent rolls are attributed to the projected earnings of the coming 12-month period on the assumption that all properties in the rent roll will be fully let during that time. I don’t use EBITDA or PEBITDA or any other valuation methodology when appraising a rent roll.

Buyers for rent rolls are almost always established real estate agents who are looking to grow their own portfolio, so marketing a rent roll for sale requires a select,

targeted database of Buyers who are already established with several years of experience behind them and a stable rent roll of their own that can be used as equity for the purchase. Real estate agency sales that are conducted on a walk-inwalk-out basis will also require Buyers that have the relevant industry licenses and appropriate experience in the industry.

Due to the nature of these businesses and the industry they are in, confidentiality is paramount to Sellers and I am often instructed to list a business for sale off the market and try to secure offers from Buyers without going to the open market and advertising through the usual channels, so my database of registered and qualified Buyers is invaluable for finding a Buyer under these circumstances.

For most Sellers in the real estate industry, the right Buyer is not just about the price that is being offered. Sellers have invested their time, effort, and money, and have often made great personal sacrifices to build their business to its current state. The emotional investment they have in their business means that the right Buyer for them will lie in their ability to fulfil a certain need of the Seller’s: are they a local agency, are they franchised or independent, what is the history of the Buyer, are they a large agency or a boutique agency, will the staff be remaining with the business, are they property management only or a full service agency? Often the Buyer’s aspirations and credentials will mean more to a Seller than the dollar value.

Similarly, the terms of the offer can sometimes be just as or more important than the dollar value. What is the length of retention period and the value of the retention fund? How long are the finance and due diligence clauses? When do they hope to

settle and does this timeline fit in with the Seller’s expectations and capabilities? What restraint clauses they are seeking? Some of the terms and conditions that are associated with rent roll transactions are specific to these kinds of transactions. A specialist broker will understand the implications of these conditions and what they mean for both parties, which is necessary to ensure that the broker is negotiating for their Seller with their best interests in mind.

The benefit of using a specialist broker is that you are dealing with an expert that is accustomed to the terms, the conditions, the processes, and the timelines that are specific to this particular industry. They have registered, qualified Buyers who are looking for your exact kind of business and aren’t simply shopping around. Specialists have a network of solicitors, finance brokers, and valuers that all understand the characteristics of the transactions they are dealing with and who your specialist broker can work closely with to ensure the best outcome for all involved.

A specialist broker will keep up to date with industry trends and legislative changes that may impact on the sale of a business in this industry. And because they deal exclusively with a particular kind of business day in and day out, there are generally no surprises – their own experience and that of their professional network will usually help them to resolve any issues or overcome any hurdles that arise along the way, allowing for a great result for everyone.

“My wife encouraged me to start building an online presence back in 2017, and once I got going, I realised that it didn’t need to be complicated - an iPhone and a tripod and we were set. And my daughter got some schoolyard cred for being the only one with a dad who had his own YouTube channel.”

Hugo’s Pinot Friday videos comprise a short discussion of a topical business-related issue followed by a review (and the inevitable tasting) of a quality pinot. “Being able to wind down the week by recording the video and enjoying a drink at the end has become a special and enjoyable experience.”

The videos are now posted on LinkedIn in preference to YouTube to reach an audience more focused on business.

BACKGROUND

Having pinot as a point of difference for Hugo’s videos is not a coincidence. Before becoming a business broker, he managed finedining restaurants in the United Kingdom and then in Australia. Combining his love of fine wine with his love of business (and business broking) made sense.

Hugo joined ABS Business Sales in 2007 as a business broker after operating in the management consulting space, providing advice to small and medium-sized businesses.

During this time, the business added a business broking division to assist clients with suitable exit strategies. This exposure planted the seed, so business broking was an obvious option when he decided it was time for a new challenge.

“I was keen to apply my experience in the hospitality industry and my broader business experience, so becoming a broker was the ideal fit for me,” commented Hugo.

Since then, Hugo has built an impressive reputation as a business broker across Queensland. He explained, “As you would expect, most of the sales occur in the South-east corner, but I have buyers from all areas of Queensland and Australia together with some from overseas.”

Hugo was the recipient of the coveted Queensland Business Broker of the Year in 2018, which is awarded by the Australian Institute of Business Brokers (AIBB), the peak professional body for business brokers in Australia.

WOULD YOU RECOMMEND BUSINESS BROKING AS A CAREER?

“For the right person, business broking is an exciting career opportunity. There is something different happening every day, and

the broker’s role is to keep buyers, sellers, and their professional advisers all moving forward to the completion of the sale,” observed Hugo.

“We act as a coordinator to make sure that the needs of both sellers and potential buyers are met quickly.”

So, who is the right person? Hugo considers there are three key attributes a successful broker should possess.

“First, they need to be a people person. All our transactions involve a person dealing with another person, so you need to understand and pay attention to each party's motivation to make sure of the right match. The buyer and the seller will have different motivations, but the broker needs to understand both sides.”

“They need to combine that with a good understanding of sales psychology and sales skills. Sales skills are important everywhere. Whether you are in business, an employee, or even a parent, if

you can’t sell, nothing happens. Everyone should have sales training early in their careers.”

Hugo also considers that business experience is a critical attribute. “A business broker needs to understand how a business owner thinks and the best way to do that is to have been one. Of course, that is not the only way to gain that experience - I know some great brokers without prior business experience. Operating as a business broker is a business itself, and that’s good experience too.”

WHAT EDUCATION WOULD YOU RECOMMEND?

Each state has statutory requirements to become a licensed business broker. These are the base level for every aspiring broker.

Hugo recommends that all business brokers join AIBB.

AIBB offers a range of courses from certificate courses to satisfy each state’s basic licensing requirements, induction training for new business brokers through to obtaining the Certified Practising Business Broker and Registered Business Valuer qualifications.

“Becoming an AIBB member with these qualifications gives you credibility with your peers and clients.”

“I also obtained an MBA,” added Hugo. “It took me two years, but I learned a lot and I still use the information today. It’s certainly not

necessary, but I’m glad I did it.”

“AIBB also provides continuing education opportunities to help us stay up-to-date with changes in the industry, and there’s the annual conference too.”

Hugo is an enthusiastic supporter of the annual conference. “I look forward to the conference. It’s an opportunity to learn about current trends in the industry. It’s also an opportunity to catch up with other professionals to renew friendships and understand their solutions to any issues facing the industry. I always come away with at least

one idea to implement.”

“The camaraderie between the members strengthens the profession generally and helps us all operate our individual businesses.”

HOW SHOULD A BUSINESS OWNER SELECT A BROKER?

Selecting a broker to facilitate the sale of a business is an important decision in the process of exiting. The business owner must be confident the broker has the profile to attract potential buyers

Hugo commented, “Like most things these days, recommendations from other business owners (particularly ones who have sold a business) will play a major role in the decision. Many of my clients have been referred to me by former clients. That is very satisfying professionally. It is confirmation that I am meeting the client’s needs.”

“And then they should check out the broker’s online presence. Websites are useful, but the social

media presence gives a better idea of personality and approachability. I’ve found my videos to be a major selling point here. Potential clients can watch a few videos and get an idea of what it would be like to work with me.” Pinot anyone?

Like most brokers, Hugo occasionally meets a client he can’t help. “I have no hesitation in referring these to another broker who is more suitable. Knowing who has the skills or industry experience is where the connections I build at conferences help me help any business owners wanting to sell.”

AND WHAT’S NEXT FOR HUGO?

Having achieved considerable success as a business broker, Hugo is keen to keep actively promoting his business and the business broking profession. “I have found that activity is the key to building momentum. The more activity I can generate, whether through Pinot Friday, networking with other brokers, or talking to other business owners, momentum builds a successful business.”

With the economy of southeast Queensland set to boom during the lead-up to the 2032 Olympic games, the growth opportunities for local businesses will increase, making it an ideal time for existing businesses to consider an exit strategy.

People that are well, do well. But we are doing a lot of doing, and not enough well. any of us still operate with the industrial age model of work which focuses on and measures success by effort, productivity, and revenue. Where people prioritise work first, and fit health, wellbeing, rest, and recovery into whatever time is left. The story we tell ourselves sounds something like this, ‘if I work hard and achieve my targets, I then deserve happiness and wellbeing.’

But this equation is broken and backwards. Shawn Achor’s work over the last decade from Harvard University shows that with this mindset we never get to wellbeing. Every time we hit our targets; we increase our targets. We get a nice car; we want a bigger one. We get a good job; we want a better one.

IN OUR RACE FOR MORE, WE ARE REDUCING OURSELVES TO LESS.

Our busy lifestyles keep us in a constant fight-or-flight state. Our body continuously pumps out adrenalin and cortisol designed to keep us safe from threats in short bursts, but not as our regular operating system.

When we are stressed and in survival mode, we can’t perform well. Our brain prioritises the resources needed to keep us safe from risks and threats, but in order to do this, it deprioritises resources less essential to survival like perspective-taking, problem-solving and innovation.

PEOPLE ARE UNDER PRESSURE.

Pressure from economic and financial uncertainty on top of exhaustion from the pandemic and other external events are contributing to high levels of chronic stress, burnout, and mental health issues around the globe. Each of these conditions drains our energy, engagement, and ability to function well.

WE ARE WIRED AND OVER-TIRED.

Most of the leaders I work with are caught in the busyness treadmill,

and with change and disruption happening faster, more frequently and more dramatically than we are used to, we are struggling to keep up.

We want better health, wellbeing, and balance, but stay stuck frantically juggling the multiple balls in the air. We rarely shift back to a state of calm, to rest and replenish before the next amygdala hijack.

Continuing to do more of the same isn’t working.

WE NEED TO FLIP OUR WELLBEING TO WORK EQUATION.

Over 10-years of research shows that when we prioritise wellbeing and happiness we have better productivity, sales, creativity, relationships, and resilience, and less burnout. And at organisational level Kim Cameron’s studies from the Ross School of Business, show we have better engagement, less turnover and higher performing businesses.

Our brains on positive perform significantly better than when we are stressed or negative. And by investing in our health and wellbeing, and cultivating happiness and optimism first, we not only feel better, but we experience a performance advantage.

CHANGE IS CHALLENGING

Our brains have an inbuilt negativity bias that automatically scan the world for the risks, threats, and problems to keep us safe. And prioritises our automatic thoughts, behaviours and routines that are known and efficient. So making change regardless of how small it is disrupts our comfortable ways of operating. This is why it takes conscious effort, focused energy, and persistence to stay on track even when the change is something that we want and care deeply about.

SMALL, SIMPLE INVESTMENTS REAP BIG RETURNS

The best way to set ourselves up for wellbeing success is to consider

it as an investment. Start small and start the day well when our energy and willpower is at its highest. Consider refining the way you approach your morning to include:

• Grounding: Focus the first 30-minutes of your day making progress on something that is important to you, connecting with your family, your fitness, education, or a hobby. Resist opening your device when the alarm goes off and let the content from the rest of the world set the tone for your day.

• Moving: Just ten-minutes walking boosts your energy, fitness, emotional state, mental health and when combined with nature and your pet or a friend provides an oxytocin boost as well.

• Mindfulness practice: Ten minutes of journalling, a mindfulness practice, meditation, or immersing yourself in music or an activity that brings flow, boosts focus, clarity, and concentration.

• Boundary setting: Treat yourself like the precious finite resource that you are.

We are well overdue putting the healthy back into high performance. And research from Gallup and others, clearly shows that people who feel valued and that their wellbeing at work matters, perform better, are more engaged and stay longer. To put it simply, people who are well do well.

However, I find it is helpful to provide support to my clients, using my business sale experience I can provide a draft Sale and Purchase Agreement with pertinent clauses that work for all parties and collaborate with professionals like Solicitors and

Accountants to help them gather necessary documentation, get responses from my clients to any questions and anything else that is helpful to keep the deal on track. Again, mindful I am not a Solicitor or Accountant but willing to work collaboratively with them to reach a good result for all.

CLOSING THE DEAL: THE ULTIMATE ACHIEVEMENT

The sense of accomplishment and satisfaction when both parties are happy with the transaction is one of the most fulfilling aspects of being a Business Broker, however, to get there, meticulous attention to detail is required, completing all paperwork accurately, finalising the purchase agreement and the smooth transfer of ownership, overseeing a deal successfully to its close requires patience and often courage.

INTEGRITY AND CONFIDENTIALITY: TRUST IS PARAMOUNT

Building trust with your clients is crucial and understanding you must maintain utmost integrity and confidentiality is paramount. The Australian Institute of Business Brokers (AIBB) has just wrapped up its most engaging conference yet, and it's safe to say that attendees left full of inspiration. Picture this… 170 professional business brokers, including an impressive 68 newcomers, from multiple agencies, gathered on the beautiful Sunshine Coast QLD. A three-day conference that left everyone smiling and connected.

In a profession often likened to real estate, business brokers stand tall as a unique group of professionals armed with specialized skills to navigate the intricate world of business sales. With fewer than 600 active business brokers across Australia, this tight-knit community plays a pivotal role in guiding business owners through the complexities of exit strategies, sales, mergers, and acquisitions.

Day one kicked off on a high note with Continuing Professional Development (CPD) training for registered business valuers. Those not participating in the training seized the opportunity to hit the lush fairways of the Palmers Resort for a friendly 18-hole round of golf. As the sun began to dip below the horizon, our brokers embraced a tropical spirit like never before. Wearing their most vibrant Hawaiian shirts, they turned the evening's welcome drinks into a lively luau. Gathered beneath the festively adorned tipi, they mingled and networked amidst the picturesque beauty of Marcoola beach.

Day Two kicked off with a networking breakfast hosted by sponsors: Slattery, de Jonge

Read, and Winquote. The day's agenda delved into topics such as lessons of success through sport, cybersecurity, insurance, and a market update that kept attendees informed and engaged..

The afternoon's pièce de résistance was none other than the remarkable Steven Bradbury. World-famous for his iconic victory at the 2002 Winter Olympics in Salt Lake City, Utah, Bradbury shared his incredible journey of becoming the first Australian to claim Olympic Gold in short-track speed skating. His triumph, forever etched in sporting history as the "Bradbury moment," showcased his spirit and resilience. Bradbury offered a glimpse into his latest business venture, a specialty beer brand, "Last Man Standing," a fitting tribute to his unforgettable win.

In the spirit of sporting excellence, our attendees dove into competitive team-building exercises. With brokers from different agencies working together to take out the coveted title. Minds buzzed with creativity as they crafted beer brands, built coaster towers and came up with the perfect jingle in honor of their AIBB sponsor.

As the day's training sessions concluded, our attendees transformed into suave secret agents for the Awards night and a James Bond-themed Gala dinner. They celebrated the outstanding achievements of their fellow business brokers with style and sophistication.

The Awards section commenced to recognise industry leaders who had shone throughout the year.

Standout honorees included Brad Potter from HealthInc, crowned Deal Maker of the Year and National Business Broker of the Year. I am very pleased to have been awarded the Sales Excellence Award 2023 Highest Dollar Value of Total Sales award. This award recognises the work that we at RWC Business Sales are putting into assisting our vendors and purchasers to realise their hopes, wishes, dreams and aspirations.

Our focus is on negotiating fair and equitable contracts, in an efficient and effective manner, producing profitable and sustainable outcomes for our vendors and purchasers. Winning these awards is only possible by maintaining high standards and remaining focused on the transactions and their benefits to the parties involved.

Congratulations on your Award, it must have been a busy year?

We have grown considerably over the past few years and last year was a continuation of that growth. During that time, we have invested heavily in our administration team and that investment has been well placed. We are looking at another strong year this year and we don’t expect the workload to ease soon.

Winning the 'Highest Value of Total Sales' award, what do you attribute most to this success?

In our business, we work as a team. Our brokers work together on transactions to ensure that we are producing great outcomes for vendors and purchasers. We have worked hard to create a pipeline of vendors, and therefore listings, and because of this our brokers do not have to spend time on finding listings, all of their time can be spent on marketing the listings that are allocated to them.

Were there any standout transactions?

It’s an interesting thing about being a business broker, although different transactions will create different challenges and benefits, all of them add to the body of knowledge that we have as an organisation. I suppose for one reason or another they all stand out.

What type of challenges did you encounter with these sales, and how did you overcome them?

The biggest challenge we find in the market at the moment is the availability of finance. The banks will all state that they support business however, what we see in the market is very different. The quality of business we are selling is high and the returns for owners are good,

but the banks are very risk-averse. I believe that for business lending the system is broken.

Can you describe any ongoing or upcoming trends in the industry that could impact the way business sales are transacted?

I suppose the main difference we are experiencing is how we market businesses. It is no longer a matter of marketing a business and purchasers will come to you. We have a great database, and we will spend a lot of time contacting potential purchasers on specific businesses. The benefit of this is that we will have a good understanding of their financial capacity to complete so we can tailor outcomes for purchasers.

How important is building and maintaining client relationships?

Solid positive relationships are critical. Not only with vendors and purchasers but also with third parties such as accountants and lawyers. We spend a lot of time and energy cultivating third-party relationships, not only to reduce friction during the transactions, but it also allows us to know where the mindset is of a vendor’s and purchasers closest advisors.

Can you offer advice to aspiring business brokers on how to excel in the field and achieve such success?

Business broking is a very different occupation than most others I know of. I believe that it is critical for young brokers to plan and act on their plans. In saying that, those plans need to be reviewed regularly and if they are not producing the results, modified. Stay positive. It is easy to find the negative in a day. Remember every negative will have taught you something that you can use in the future. Work hard for your vendors and purchasers and be prepared to persist.

Congratulations on your recent AIBB Awards, how does it feel?

I’m very proud to have received three awards at the recent 2023 AIBB Conference in recognition of both success and service in the industry over the last 12 months. Being announced as the winner of the AIBB Deal of the Year Award 2023 (Highest $ Value of a Single Sale) was unexpected but warmly received.

You've had some great achievements in 2023. What do you think is the key to your success?

Working smarter, not harder. The skills and expertise required to be a successful business broker are not learned overnight, they take years of development, require ongoing refinement, and the learning never stops. Being able to deal with an array of

stakeholders and efficiently manage the transaction process, from start to finish, is so important.

Individual success doesn’t come without a great team around you though. I joined Xcllusive Business Sales two years ago - the team, led by Zoran Sarabaca and Choon Ng, and business model they have created is a major contributor to my recent successful sales and achievements as a business broker.

Winning the Award for the Highest Sale at the AIBB is quite an achievement. What was it like going through that sale process?

The subject business was listed in October 2021, put to market in November 2021, placed ‘Under Offer’ in February 2022, and settled in September 2022. As with any sale, there were twists and turns, hurdles, and obstacles. There were accountants and lawyers acting for the buyer looking after the best interests of

their client, and there were accountants and lawyers and myself acting for the seller and looking after the best interests of our client. With that comes conflict, disagreements, and robust discussion. But ultimately, each time a roadblock was presented, I brought the buyer and the seller together to work through it and find a solution. And bit by bit we progressively inched our way towards settlement, with an ongoing level of respect and rapport between the parties all the way through to completion. Having ongoing goodwill between the buyer and seller is very important on any transaction.

Interestingly, this particular business was one of the first jobs I was allocated when I started at Xcllusive in September 2021. I serviced the hell out of the client and went all out with preparing the business for market to make a real impact and statement, but ultimately it led to a successful sale. The process takes time (6-12 months), let the process run its course and trust the process (and your broker) if you want to achieve the best outcome. Be open and transparent with your business broker and the marketplace about your business and why you are wanting to sell.

And on that point, the AIBB has a multitude of members with decades of experience and knowledge that they are only too willing to share with others.

n my twenty five years leading strategy across a range of advertising and marketing roles, I have pitched solutions with a combined value of several hundred million dollars and sat through thousands of sales presentations. And I’ve seen great ideas fail to connect when the presenter and the idea gets lost in the slides more times than I care to remember.

When it comes to pitching start-up ideas, product innovation and new technology solutions that you want someone to buy into and where you need to convince someone to back you, there are three things that make for consistently successful pitches.

SOLVE SOMETHING THAT MATTERS TO THEM

Narratives that cause us to pay attention and the ones that are relevant to us and involve us emotionally, these are the stories that move us to action. This is what a good movie documentary does.

You want to take the audience on a journey you tightly control with a narrative addressing one very important topic: how does it help shift the current reality of your audience and take them to a better place? In short, what problem are you here to solve for them? You want to take the time to understand what having this problem means to them, what the impact is, and what could be at stake if it isn’t solved.

Dale Carnegie makes his view on this very clear in his classic book on interpersonal persuasion, How to Win Friends and Influence People:

‘You are interested in what you want...the rest of us are just like you: we are interested in what we want. So, the only way on earth to influence other people is to talk about what they want and show them how to get it.’

ESTABLISH THE CONCEPT BEFORE THE DETAIL

Too many presentations start

mid-story, relentlessly laying out point after point and hoping to bring it all together in a powerful conclusion at the end. A conclusion that doesn’t always materialise. Sometimes this is driven by the fear of losing interest if that ‘powerful conclusion’ is revealed too soon.

It is far better to establish the concept and then clearly navigate through the detail supporting it.

Dr John Medina has studied how the mind reacts to and organises information, his work suggests outlining the general idea before diving into details can deliver up to 40% improvement in understanding.

STRUCTURE FOR ATTENTION AND UNDERSTANDING

One of the often overlooked roles of presentations designed with the aim of pitching ideas is that the audience needs not just to understand your content; they have to be able to recall your key points easily, days and weeks later.

The most effective way to do this is through storytelling. The human brain is wired to store and recall information in this way. Psychologist Professor Jonathan Haidt describes the human mind as a ‘story processor, not a logic processor’.

But a presentation doesn’t just become a story; it needs to be designed to be one. And that requires three critical stages.

1. Establish why the audience should care

Start by establishing the problem you are solving for them, what you know about this topic and empathise with how bad things could get if this problem isn’t resolved effectively. Make no mistake; this is much more than a setup. This is about creating a real feeling of being in it together to draw your audience in and give them a reason to connect right

away and stay attentive to what is coming up.

2. Navigate through your story

The next stage is to navigate through your story, moving from problem to resolution, using organised and logical sections, each starting with the most important points and high-level concepts before diving into the detail. This helps your audience stay completely connected to both you and your content throughout. The moment they are lost, they stop listening or tune out, quick to give up on trying to find their way back in.

3. Create a resolution

The final stage is the resolution. It’s hard to believe the number of presentations that still abruptly finish with a ‘thank you’ or ‘next steps’ slide. Your audience and your story need a confident and conclusive resolution: We started here, we have seen this, and now what this means is that we have arrived at a much better place. Solving a specific problem with a narrative aimed at the audience who cares about this being solved ensures your message cuts through with the people who matter, those for whom you can deliver value and whom you need to convince to back you and buy from you. These three tried and tested steps will increase the consistency with which that happens.

Transitioning from being a hospitality business owner to becoming a business broker was a decision that stemmed from a combination of personal and professional reasons. One of the most important interruptions you can make in a staff member’s day when you’re a leader is to catch them doing the right thing and then praise them for it – as specifically as possible. Reinforcing positive behaviour is an often overlooked yet powerful leadership strategy, particularly at times of high stress and change. We all want to feel valued and appreciated and in difficult times, acknowledging someone’s hard work can help galvanise them to persevere, repeat the good behaviour and find their second wind. It can also encourage others in the team to lift too. As John F Kennedy said in a 1963 speech, “A rising tide lifts all boats.”

Yet at times of stress, leaders often spend more time addressing people problems, poor behaviour and performance issues. Not only because they tend to be more prevalent when people are under the pump, but because as humans we have a negative bias. We look for and see the negative far more quickly than the positive. Some leaders even hesitate to give praise, believing it’s unnecessary to commend someone for simply doing their job. My response to that is simple: do you want people to do their best work for you or not? Because if you want your staff to be motivated to perform well, catching them doing the right thing and genuinely showing your appreciation is a simple, quick and free way to ensure that happens.

That doesn’t mean you necessarily praise your people publicly. Some staff won’t like that. This is where knowing your people pays off. Some may prefer to be told privately, others may like the public accolades. The key is to make your feedback specific, not generic. For example, if one of your staff handles an angry customer in an empathetic way that de-escalates conflict, despite the pressure of a busy day, don’t simply say “Good job”. Rather, go with something like this:

The way you used empathy to help that customer de-escalate was really impressive. Despite it being stressful today, you took the time to listen and build rapport, while also maintaining boundaries about how they could speak to you. Well done. That’s exactly the sort of customer service I want to see.

You can clearly see the difference in these approaches. One is a platitude that could be construed as generic and condescending, the other demonstrates real appreciation and shows that their efforts have been noticed. Employees are more likely to walk away with a clear understanding of what good performance and behaviour looks like, empowering them to replicate it in the future.

On the flip side, if your people don’t feel appreciated when they are under pressure, they may lose motivation and seek job opportunities elsewhere, contributing to high staff turnover in businesses.

So how can you get better at catching people doing the right thing and telling them? Here are some tips:

• Gamify it: Challenge yourself to catch one person doing the right thing every day. Keep track of this in a notebook and set reminders in your phone. Once you start consciously looking for people doing great work, you’ll be more likely to see it.

• Identify key behaviours: Focus on the specific behaviours you want to reward, whether it’s excellent customer service or living the company’s values. Look for these actions, not just high sales figures.

• Be specific: What is it about

the action your staff member took or the way they behaved that you considered “the right thing”? Make sure you explain it so they can repeat it.

• Involve your team. Encourage your leaders to recognise and appreciate outstanding work too. A culture of positive reinforcement benefits from everyone’s participation.

• Choose your recognition method: Tailor your appreciation to individual preferences. It could be a one-on-one conversation in the moment, a handwritten note left in a team member’s pigeonhole, or a public acknowledgement at a team meeting.

• Be consistent and fair: Look for and recognise positive behaviours across all staff. Make sure it’s genuine and without favouritism.

• Explain why: When praising someone, articulate why their actions were appreciated so they understand the impact of their efforts.

By adopting a practice of praising the positive, you create a supportive and motivating work environment that nurtures employee growth and loyalty. A little appreciation goes a long way in bringing out the best in your team.

The main objective for a business broker is to find the right buyer for a business (or franchise) and to help the owner successful exit or sell part of their business (i.e shares). They will guide the owner (aka vendor) to prepare the business for sale, market, negotiate and guide the sale to settlement.

A business broker may also work with buyers to guide them through the process of buying a business.

Finding a broker who has experience is one thing, but do they have that X-Factor to get top dollar for your business. You will need to compare a number of business brokers to see who is the right fit.

It may take 6-12 months to sell a business, so you will be in communication with your broker during this entire period. You need to be confident in your decision as they will guide you through the entire process. You want to know they will do what is best for you and your business.

Reputable business brokers will have a network of commercial lawyers, accountants and business valuers that they use during the sales process. It's worth reviewing these contacts as well to see how customers are reviewing them.

Ever since the pandemic, the world has touted the importance of managing stress and providing ample wellbeing for our employees. So, we should. It is morally critical and commercially vital. Healthy, happy, and long-tenured staff are fundamental for good business performance.

Business owners, too, are central to business performance. But post-pandemic, I wonder how our small business owners are faring? Not that great it seems. Small business owners face more mental health challenges than the general population and Australian small business owners have the second lowest level of wellbeing.

When 97.5% of all business in Australia are small businesses (0-19 employees), responsible for employing 42% of the private sector, we should be concerned. So, what is the key to managing stress for small business owners?

NOT A DAY OFF!

A lovely thought from the wellintentioned. Every business owner knows you pay dearly for any time off. Even when delegating, you can’t distribute all the work. It piles up, waiting impatiently for your return, and to make sure you never leave again, somehow balloons in size, just enough for you to think twice the next time you browse ‘holiday destinations’. And if you are tied directly to service delivery, add the inevitable loss of revenue. The cost of your holiday just quadrupled. So, is it any wonder that 34 % of small business owners take less than four weeks of holiday a year, and 14% can’t recall the last time they took annual leave at all.

STRESS IN TODAY’S ENVIRONMENT

It’s different. Small business owners are accustomed to business pressure. It is inked invisibly onto the job description.

But today’s environment is a cardiac test, even for the stronghearted. Chasing revenue, countering rising costs, the hyperfocus on health, the struggle to find staff, resignations, remote work, business efficiencies, cyberattacks, technology advancements and much more.

Business owners must be mentally nimble, adjusting on the spot and sometimes mid-pivot to stop and change again. Have you accepted the new reality of today’s environment, or are you waiting for the old normal to return? That’s undue stress right there, accompanied by a sprig of disillusion and an invitation for continued pressure. Accept, adapt and redivert the energy you put into your stresses to reinvigorate you and your business.

GOOD OR BAD LONG HOURS?

The debate is aplenty. As is the research. Tell a motivated person not to put the effort in. It doesn’t work. Equally so is to tell an inspired business owner not to work long hours. But a demotivated business owner, that is another story.

Of course, putting in longer hours has its costs. But it is not a clearcut translation, of ‘extra work = decreased wellbeing’ equation. Rather, focus on recovery: quality, not quantitative time on wellbeing and restorative sleep, creating the buffer against stress and the risk of burnout.

THE SKILLS SHORTAGE AND STRESS

This could be your bad longhours story. Nearly 40% of small business owners work over 60 hours a week. Press pause and ask yourself, why? Your ongoing 60plus hour weeks is the equivalent of 1.5 headcounts. Are you doing someone else’s job? Hire the employee you need or hold your staff member accountable.

The skills shortage and recordlow unemployment rates make the task of hiring tough, but not insurmountable. Look to use specialist recruiters, outsource, or upskill your existing employees. Patience and training are necessary ingredients to counter the current hiring conundrums.

ARE YOU THE PROBLEM?

Regardless of the advice, some of you just prefer to do everything yourself. 30% of you feel you are ‘the most capable’, 20% don’t have employees with the right skills, and another 20% are in a hurry to get the job done. You need to let go. Alleviate your workload by upskilling and reskilling your employees. Nearly 20% of you like doing the tasks. That, I can’t disagree with!

I am a small business owner. I also fit into all the above statistics. Owning a business is tough, and at times, a lonely place. Most people will never understand the weight of responsibility. Nor the pleasure. But it is a choice. Manage your stress the right way, continuing the inspiration and motivation you first set out with for your business. This is a noble job.

Positioning them as the ‘hero’ of the conversation and not yourself creates more connection and always improves conversion rates.

Another thing you can do right away is to document the process you are currently using to convert customers. The act of capturing how you are currently converting customers often does one of three things:

1. It illuminates the reality that you may not have a process now

(eg you may not have a process for converting your leads into customers)

2. It becomes clear you have not one process, but many processes that you deliver multiple ways

3. You spot opportunities right away that you can begin making for improvement.

The act of documenting your processes within your marketing system can completely change your business. You cant improve that which has not been captured!

Finally, to improve the conversion rates across your business you will need to pay attention to the technology, techniques and processes of industry leaders around you. It is not enough for you to get a great conversion rate one day and to expect it to continue forever. Because of the way technology, competitors, techniques and human behaviour evolve over time, what has worked for you

once may not work for you forever. Studying what others are doing around you to convert customers is often a great starting place for your future improvement endeavours.

All this may seem like a lot, but in reality the process of growing your business is all about constantly improving every touch point forever and ever and giving attention to the one business system that is bringing revenue into your organisation from strangers.
