NAVIGATING THE EVOLUTION OF STATE-

OANNUAL REPORTING
These critical considerations, as outlined in the King IV Code introduced in 2016, advocate for an Integrated Reporting approach This approach not only addresses the financial aspects but also incorporates key non-financial elements By adhering to the principles set forth in the King IV Code, our Annual Report reflects our commitment to transparency, ethical practices, and the holistic evaluation of our organisational performance, thereby enhancing the trust and confidence of our esteemed investors
Ms Kutlwano Tatolo Acting Legal & Board SecretaryIn the ever-changing landscape of corporate reporting, State Owned Entities (SOE) face a significant transformation in their annual reporting obligations Over a decade ago, an annual reporting obligation was placed on SOEs by law, i e compliance with the Companies Act This obligation did not come with further instructions, often referred to as ‘’Know-your-Parastatals’’ reporting This reporting style was introductory SOEs were reporting on board and executive introductions, organograms, and internal departmental details, primarily serving the shareholders and the general public
A paradigm shift has occurred as the Government demands SOEs to become self-sustaining, introducing investors as a third stakeholder with an interest in the Annual Report It had to evolve to include what the investors wanted to see in the document, the type of information that would allow them to make informed decisions about a particular parastatal What constitutes the kind of information that has the potential to sway a discerning investor's purse towards a particular direction? It is the alignment with effective leadership, the assurance of robust governance controls, the absence of corruption and fraud in business operations, and an organisational commitment to environmental stewardship Moreover, the capacity to effectively manage risks and instil confidence in the investment process plays a crucial role in steering investor sentiments
Observing this trend, we note that SOEs, including Botswana Fibre Networks (BoFiNet) have started adopting the King IV Code, attempting various stakeholder interests in their reports The new reporting style goes beyond the introductory elements, delving into CSR, governance controls, internal and external audit activities, and risk mitigation plans up to providing outlooks A significant shift in recent years has been the emergence of conversations among Corporate Governance professionals about Economic, Social and Governance (ESG) Reporting and Sustainability Reporting The former requires an SOE to measure and report on how it is fairing on environmental, social and governance issues, and the latter, while mostly financially based, requires a report that addresses economic, environmental, and social performance
While profitability remains crucial, the focus now extends to how an entity manages the risks and the value it adds to both the people and the planet The evidence-based answer to these questions will indicate whether an SOE is sustainable or not The reporting style observed has begun to introduce these principles, but what is worth looking out for are the action updates on how they have fared past the introductions A five (5)-year ESG curve for an organisation like BoFiNet would be worth seeing where SOEs are concerned
ESG and sustainability reporting should be part of the board conversation because it is what this reporting requires, anything short of it would be a noncommunicative piece of paper with no value and wanting in justification for SOEs existence

BOFINET CONTINUES TO FIGHT VANDALISM
BoFiNet urgently calls upon the public to join the fight against the recent surge in vandalism targeting our fibre optic cables This destructive behaviour has disrupted crucial communication services, highlighting the imperative need for collective efforts to protect our nation's digital infrastructure
The deliberate targeting of fibre cables poses a substantial threat to the reliability of our communication networks, putting at risk BoFiNet's commitment to providing uninterrupted connectivity These acts of vandalism have far-reaching consequences, impacting businesses, educational institutions, healthcare facilities, and the overall well-being of our communities Beyond the disruption of day-to-day operations, vandalism brings severe economic consequences, placing an undue burden on both BoFiNet and its users with the financial strain of repairing and replacing damaged infrastructure
In response to this critical situation, BoFiNet has collaborated with law enforcement, communities, and stakeholders to implement robust preventive measures This collaboration with external stakeholders aims to raise awareness and foster a sense of responsibility among community members
BoFiNet implores the public to play an active role in combating vandalism by promptly reporting any such incidents to law enforcement This collective effort is crucial to safeguarding our digital infrastructure We encourage everyone to embrace the ethos of "Ntebele, Ke go direle" to empower BoFiNet to provide reliable internet services The recent surge in cable vandalism is a shared concern that demands a collective response BoFiNet remains committed to proactive measures, but the cooperation and support of the public are essential We urge vigilance, prompt reporting of suspicious activities, and a united front in preserving the connectivity vital to Botswana's socio-economic development Together, we can ensure the security and resilience of our digital infrastructure
