CONTENTS FRANCHISE ACCELERATION 04 In over a decade of growing brands across Asia using Franchise as the main vehicle, I have found that businesses that do not have their key business excellence fundamentals in place find it increasingly challenging to make their franchise system sustainable as it grows. When we peel off the layers, the success and failure of a company’s growth trajectory is often determined by how much the entrepreneur is driven by excellence and ensuring the key business drivers are in place. Taking it one layer deeper, a good majority of business owners start their entrepreneur journey with an idea that was driven by passion. The journey of an entrepreneur is long and arduous. As one seasoned business owner told me, “Once or twice a year, I wish I did not have a business… then I remind myself of the reason I am doing this, dust off my disappointment and keep on going”. ACCELERATING YOUR FRANCHISE SUSTAINABLY AND SUCCESSFULLY By Hsien Naidu Director, Astreem Consulting When a business becomes sustainably profitable, the next step for business owners is always to think about expansion strategies. Many business owners turn toward franchising and start to offer franchise licences in the hope of replicating their success in the region. Often, the franchise journey proves to be a lot more challenging than the business owner is prepared for. Managing a franchise is more than managing multi-unit outlets. The skill sets of the management team needed to successfully run a franchise is often vastly different from that of managing corporate owned stores. The mistake many business owners make is assuming the existing team would be able to manage the franchised business.

In fact, experienced franchisors will say that the real challenge arises in the operational and management of the franchise. This is a time when franchise professionals should be included to add value to this acceleration process. Franchise accelerators who have been professionally growing and building franchise systems aim to systematically enable businesses with best practices and practical strategies to maximise the Intellectual Property that exists in their franchise systems. The emphasis of franchise accelerators is on systematic and rapid growth after the first phase of franchise enablement, from developing the franchise system, to franchisee recruitment, onboarding, management, audit and communication. Since Aung San Suu Kyi’s National League for Democracy won the landslide victory in Myanmar after almost 50 years of military rule, many businesses have started to include Myanmar into their growth strategy. In February, Mr Aung Tun Thet, Economic Presidential Adviser to the President of Myanmar remarked at the Myanmar franchise Exhibition that franchising was one of the quickest way to build businesses and in turn build the economy by adopting industry best practices. In the last two years, many Singapore brand’s have entered the Myanmar market and are thriving. Brands like Yakun, Pasta Mania, Harry’s. Manhattan Fish Market and Pezzo, already made headway in Yangon. With the lifting of US economic sanctions on the Myanmar market, the enormous opportunity of the market will become even more evident. In Washington earlier this month, Ms Aung San Su Kyi said: “We think that the time has now come to remove all the sanctions that hurt us

IMPORTANT CONSIDERATIONS FOR ACQUIRING AN INTERNATIONAL FRANCHISE BRAND By Troy Franklin The late Nelson Mandela, revolutionary, politician, philanthropist and Nobel Peace Prize recipient once said that “A good head and a good heart are always a formidable combination”. I have always found Mr. Mandela’s words to be very profound and I believe the combination of Head and Heart to be very relevant to international franchising and in particular to the decision making process when a local investor is considering acquiring and developing an international franchise brand in their home market. Determining if you have the Head and Heart requires a significant amount of self-analysis in addition to the standard due diligence you will conduct on the franchise brand and the potential for the brand in your country. Let’s explore my philosophy in greater detail:

HEAD FOR THE BUSINESS

THE HEART FOR THE BUSINESS

H ead for the business Do you have the capability to successfully acquire, launch and develop the brand in your country?

H eart for the business Are you going to devote your full energy and interest towards successfully acquiring, launching and developing the brand in your country? Are you going to give the business and brand your one hundred percent consistently?

E conomics Do you understand the economics involved in acquiring and developing the franchise business and what it takes for you to generate a return on your investment and achieve your goals? This will need to include both an understanding of the unit and facility level economics involved in establishing the brand’s retail outlets or branches, and the overall economics involved in setting up a company and managing the human and financial resources. A pptitude & Application Do you understand the fundamentals of the franchise business, its unique selling proposition and the core consumer base in its home market and what changes you will need to propose to, agree upon and implement in cooperation with the franchise brand’s management team to ensure the brand is successfully positioned for launch and development in your country? D evelopment Do you and your team have the vision and capability to formulate and implement a market entry strategy to grow the franchise business into a key player in your country?

E nthusiasm Are you, your family and team excited about the franchise business and the opportunity to introduce the brand’s products and services to the consumers in your country? Are you confident in your belief that the consumers will be as excited about the brand as you are? A ttitude Are you convinced that the franchise business is going to be rewarding in the ways that are the most important to all your stakeholders? To answer this question, you must be very clear on what is most important to you. R elationships Are you comfortable with the people who owns and manages the franchise business and have you gotten to know and understand them well enough that you are confident you can develop a long, meaningful and mutually beneficial business relationship based on shared objectives founded on integrity and trust? T ime Do you have the time? Are you committed to invest the time and effort it takes to succeed and can you balance your personal and professional priorities to allow you to do so? Remember time is one of the only commodity that cannot be reproduced if it is lost so don’t fool yourself by saying you can “make” the time if you just don’t have it.

So in summary, before you decide to commit to the acquisition of an international franchise brand, you and all of your stakeholders need to look to your Head and Heart to determine if you have the capability and commitment to successfully acquire, launch and develop the brand, taking into account the key considerations I have summarized above. Once you are convinced of that, you can move forward knowing that you have acted wisely and responsibly by conducting the critical self-analysis required for a major undertaking of this nature. Of course these are not the only considerations and there are many other issues to consider are many when acquiring an international franchise brand and many steps in the process but having the right Head and the right Heart makes for a very a good start on the journey to creating a successful and sustainable franchise relationship. I was definitely excited and curious to find out more about Maki-San in particular, having heard many good things about it from close friends. From the intricate designs on the posters and sushi boxes to the light-hearted eating environment filled with colourful interiors, I appreciate the effort and passion put into creating an exciting and colourful brand like Maki-San. Why did you choose to franchise instead of starting your own business? For me, it was more of an interest in the DIY sushi concept and wanting to be a part of this successful chain rather than choosing between a franchise and a business. Maki-San was built upon strong foundations of marketing, branding and quality and I strongly believe in the value that Maki-San brings to customers. I love the concept of being able to choose what you want in your sushi/ salad and I wanted to join Ma ki-San

I would definitely recommend Maki-San to other aspiring business owners seeking to franchise . The Maki-San team have consistently assisted us throughout the whole franchise journey: from getting a location, setting up the outlet, onsite assistance to on-going developments. What made you want to start a franchise business despite having a stable office job? Why did you choose Coffee Hive as your franchised brand? I’ve always wanted to start a business of my own and when we got introduced to Coffee Hive, their concept of being able to sell good, affordable food to people attracted me. Additionally, the Franchisor gave us a good sense of security because they have good operating procedures in place for franchisees, which paved the road for us to open our outlet. I definitely would have experienced a hard time figuring the best way to run my business if I had started off on my own, especially without any business experience. Share with us some valuable take-aways from your experience as a franchisee. Can you give some tips for people who are new to franchising? Even as a franchisee, there will be hiccups that every business owner will encounter on their journey. You have to stay calm to resolve problems as they are part and parcel of growing a business. You also have to maintain excellent food quality and service standards at all times. I would say that the most important points that you have to consider is the quality of Franchisor support -

and their franchise system. Whether a Franchisor provides you good support in terms of systems, operations, training, development, manpower etc, determines the success or failure of your franchise business and should not be overlooked. No matter how good the product is, a franchised outlet cannot survive without a good franchise system and strong management team in place to guide a franchisee to success. Are you getting the support you need from your franchisor? Even after I’ve set up my outlet,Coffee Hive Franchisor has constantly been updating and assisting me on improving the business. I have definitely learned a lot from my experience as a franchisee. After working hard for about a year, together with the Franchisor, I am much more confident in managing my business now. I could not have done it without a reliable Franchisor.

Pravin Chauhan Franchisee of The City What were you doing before you started your franchised business and what gave you the idea to start it? I was working in a Creative Industry with an MNC and also doing charity work teaching small children English in my spare time. I had a passion for teaching and working in an innovative environment. What kind of advice would you give to new franchisees? I now manage challenges that I would never usually encounter in my work with an MNC. The responsibility, accountability and success of the decisions made daily are solely mine. I can be my own boss and control my destiny. Franchising allows franchisees to communicate and progress with a ‘mentor’ that shares the same vision and passion, making the business experience less lonely while reducing the risk of starting a new business. According to market research firm Euromonitor International, pizza chains now represent nearly 5 percent of global consumer food service sales, and now account for US$124 billion in global spending. FRANCHISE SPY KID Introduction: Our Franchise Spy Kid, Saasha Jancie Naidu, strikes again. Her mission is to search for the trendiest, coolest and most exciting new brands to introduce her friends in school. In this year’s edition, Saasha decided to visit Milk & Honey - Artisan Yogurt & Dessert Bar, iCrepe, attended the Gifted & Talented Education and even enrolled herself into the Young Author’s Society to write her first book!

I am so excited to be chosen as the Franchise Spy Kid again! This is my 3rd year and I believe I’ve become quite an expert in finding cool concepts to recommend to my friends. Today, my mom took me to Milk & Honey – Artisan Yogurt & Dessert Bar. I ordered the Mango Passionfruit since I love mangoes. The frozen yogurt had ingredients such as passionfruit sauce, lemon macaron, mango boba, marshmallow and freshly cut mangoes. I absolutely loved it! I really recommend getting the mango boba for the kids, it was delicious and fun to eat. I interviewed the manager at the outlet and she told me that their best sellers are the Honey Velvet, the Royal Honey, Nuttilicious and the Chocolate Divine. I would definitely visit Milk & Honey again as their prices are reasonable and they have a ton of flavours! I also believe that kids and adults all around the world would instantly fall in love with this after tasting their superb yogurt and handcrafted toppings!

I was looking forward all week to visiting iCrepe because I simply love crepes! When I arrived at the outlet, I was greeted by the very friendly owners, Vivi and Lini. I ordered the Peanut Butter crepe and it tasted like heaven, not that I know what heaven tastes like but, I am guessing if I did know what heaven tasted like it would be a lot like the Peanut Butter crepe I had eaten. I felt so honoured that Lini personally made the crepe for me. I had a short interview with her and she told me that their best sellers are the Nutella And Banana topped up with some marshmallows. Just thinking about it now makes me feel hungry. Besides their signature crepes, customers can also choose the toppings they’d like in their crepes. I like the idea of customizing your own because only you know best what you like! This is such a fun and exciting concept. I would definitely go there again and would bring my friends the next time!

It’s the School Holidays and I am off to Gifted and Talented Education! I love it here. The teachers are fun and presented the information in challenging ways. My classmates are so talkative and boisterous but the teachers seem to embrace it. What I love is that the teachers show us great hacks on how to handle the questions and help us to see the questions in new ways. Hmm, I wonder how I did for my qualifying placement test. I really hope I can come back here regularly after the holiday camp!

One of my ambitions is to become an accomplished writer. In my pastime, I enjoy reading and I’ve always wondered how one can be so creative and write stories so captivating. Hence, when my Mom told me about the Young Author’s Society, I told her to sign me up for their June Holidays programme. YAS is a programme that helps children to write like a professional. It helped me to understand how to write in detail as well as think of many new ideas! I found the programme very educational and fun at the same time. I am going to take my friends with me during the December Holidays! I hope that one day, I can co-author some books with my friends.

What was the inspiration behind the name proofer? Proofing, a trem used by bakers, is the final rise of shaped bread dough before baking. Since we believe that our breads should look as good as they taste and smell, and as all our products need proofing it seemed Proofer was the one name that united our entire concept. Once proofered,the breads rise, just like how we want our business to rise.

When you first started the bakery, you targeted to serve up 1200 buns a day. Can I ask how many buns you serve up everyday now? Today with our 12 stores across Singapore, we serve up over 20,000 buns a day. What is the key difference between Proofer Pizzeria & Bakery and Proofer Boulangerie & Patisserie?: Proofer Pizzeria Bakery specializes in Pizza and Proofer Boulangerie specializes in Breads and Cakes. Now that you have 2 concepts, Proofer Pizzeria Bakery and Proofer Boulangerie and Patisserie, what’s next on the plate for you? : The Singapore market is relatively saturated already and now that we know consumers like our products, it feels like this is the time to reach out to the region including Indonesia, Philippines, Myanmar and Thailand. We think our combination of good taste, wide variety of bread offerings and flexible business formats will be very workable in our neighbouring countries. STARTING RIGHT: A FRANCHISOR’s STORY Wun Wen-Na, Director Wen-na is not new to TSMP, having been with the firm between 2000 and 2006. Wen-na rejoins TSMP as a partner after a short hiatus, where she spent some time at DBS Trustees, as in-house counsel and company secretary at Singapore Airlines and at Singapore Power, one of Singapore’s largest corporations, providing electricity and gas transmission, distribution services, and market support services to more than a million customers in Singapore.

Know what, or which parts of your business you wish to franchise. Is it the product or what’s in it? Is it the entire system or certain parts of the know-how? Are you franchising part of your business or all of your business? What are its selling points? What makes it different? Why would this be attractive to the franchisee? Will you be concurrently developing your product or a part of it, say its brand-name? The answers to these questions (and more, this is not an exhaustive list) will help sharpen your focus on which aspects are fundamental to you, and those are likely to require protection. Either by law or by contract or both. For example, the intellectual property associated with your product and business (usually the trademark and trade names) you would want to retain, in order to protect against third parties’ and franchisee’s unauthorised use. Do assets need to be transferred for the successful running of business operations? How about training and marketing, how important are these? How will you transfer the skills required to run the franchise business? How much marketing is required? Can these be reduced to a standard operating manual, or are there parts which should not be shared? Establish what’s important to you, as franchisor. Deal with these issues in the Franchise Agreement. Make clear your stand. If the franchisee is not agreeable to the terms, better to know early than start a relationship and have to unravel further down the line.

Know why you are franchising. Are you building, sharing or giving? Determine the nature of relationship with franchisees. What role does the franchisee play in your plan? Who needs who? To maintain a successful long term relationship, you will need to strike a balance. How much control? Who puts in the resources? Work out the numbers. Make this clear. Set pre-determined parameters, performance targets. Be realistic. When it’s time to part, part amicably. Consider post termination provision such as non-compete provisions. Know your options in each scenario, and make plans accordingly.Set the expectations right. Write all these in the agreement.

Staying local for now? There are no specific laws regulating the ongoing relationship between franchisee and franchisor. Depending on how you structure the relationship with the franchisee, certain legislation may regulate various aspects of franchising, such as the Multi-Level Marketing and Pyramid Selling (Prohibition) Act, Competition Act, Income Tax Act and Unfair Contract Terms Act. Crossing borders, you will need to think about the legal barriers in each local market such as competition law, restraint of trade, foreign trade and investment regulations (e.g. China and Vietnam), double taxation laws and relief, specific franchisor/ franchisee regulations (e.g. US, Australia) and laws.

Invoice Financing: Alternative source of SME funding Small and Medium Enterprises (SMEs) make up 99% of the Singapore’s enterprises and contribute to nearly half the GDP. As SMEs employ 70% of Singapore’s workforce, these enterprises play a significant role in the development of Singapore’s future and to create good jobs for Singaporeans. Due to this, it is paramount for SMEs to continue to grow and evolve in order to adapt to the turbulent times of today. The key problem SMEs face is the availability of funds for growth, working capital or expansion. In the current economic climate, SMEs in Singapore have been tightening their credit terms. This effectively decreases the payment days that any business can get from their suppliers. This leads to cash-flow issues for many SMEs as they need to pay their suppliers faster than usual while getting paid later by their large customers. In order to solve theseissues, SMEs need financing from external sources. Traditionally, banks have been the main players in providing funding for SMEs through debtfinancing. However, in the current economic slowdown, banks have become more stringent with who they lend to and how much they lend out. Although non-performing loan rates are still low for banks in Singapore, one cannot blame banks that are cautious in the current slowdown. For SMEs, the process of getting a bank loan was long winded, and often required at least a two to three years of profits (something many new companies do not have). Therein comes the opportunity created for SMEs by fintech companies that deal in lending, particularly, Peer-to-Peer (P2P) Lending.

What exactly is P2P Lending? P2P Lending is an alternative method of attaining business capital, especially for SMEs,which are underserved by banks, given the higher risk and lower loan quantum (compared to larger companies). For example, say company A requires S$100,000 for an important expansion. There are few Singaporeans who would be willing (or can afford) to part with such a huge sum. But over the internet, if they can find 100 people willing to lend them S$1,000 each, they’ll already have the sum they need. In return, these lenders or investors receive repayments with interest from the company. P2P Lending platforms such as Capital Match create a marketplace for these investors and borrowers to interact with each other, with investors pledging money to different borrowers. The other opportunity for borrowers to raise working capital, offered by Capital Match among others, is a product called Invoice Financing. If you are an SME working with large corporations, you might have to offer better credit terms to secure the business. In that scenario, you might want to turn to invoice financing to address the issue of the delayed payments by another 30 to 90 days. Invoice financing is the sale of your invoices to a third party financier for an immediate cash advance. It should be highlighted that invoice financing is not a loan. There are basically two types of invoice financing: notified and non-notified. Firstly, notified invoice financing. With notified invoice financing, your client would be informed that your invoice is being sold to a third party factoring house. This is often the facility used for clients who do not mind paying to a third party. Up to 80% of your invoice value will be advanced to you upfront and the remaining (after deducting fees) after the client has paid up to the factoring house. Each new debtor would require a credit check but the process is still faster as compared to non-notified invoice financing. The monthly interest is also much lower. Secondly, non-notified invoice financing. With non-notified invoice financing, your client will not be informed that your invoice is being sold to a third party factoring house. The factoring house will have to determine the credit risk of your company and your debtor. Once this is done and your invoice has been presented, up to 80% of the invoice value will be advanced to you (similar to notified invoice financing). The first new debtor for non-notified invoice financing will take a longer period to be factored than for notified invoice financing. This is due to the requirement of a joint signatory account where the factoring house is the signatory but the name of the account would be in your company. Your client only knows that they are paying you but once the payment hasbeen made to the joint signatory account, the factoring house will return you the remaining amount after deducting the advanced amount and fees. It should be noted that the fees for non-notified invoice financing are higher than notified invoice financing. At the end of the day, P2P Lending and Invoice Financing are meant to complement the traditional banks’ ability to service SME clients. It is about matching demand and supply in the SME market as there is growing demand for working capital but banks are unable to supply funds for the whole market. Alternative sources of funding primarily fill this gap and aim to meet the growing demand for working capital from borrowers.

ENTREPRENEURS NEED A BREAK TOO!

It is apparent that entrepreneurs spend so much time on their businesses that sometimes they forget to take a break. We all need time away from work, we all need to recharge to be prepared for the challenges that lie ahead. In fact, having breaks have been proven to increase our productivity at work.ww In an effort to gather entrepreneurs and give them a moment to let loose, Astreem Consulting organised a movie night to enjoy Singapore’s own local production: My Love, Sinema. The movie screening was attended by entrepreneurs from various industries: F&B, education, services and retail. FLY entertainment’s team, including Irene Ang (Producer), Tan Ai Leng (Director) and Tosh Zhang (Lead Actor) were also present to meet and welcome everyone to the movie screening. My Love, Sinema tells a story of courage and hope with Singapore set in the 1950s. There were heart-breaking and funny scenes that brought the audience to tear-jerking moments and break into laughter, all in a nostalgic and cinematic throwback to life and love in a time after WWII. The entrepreneur-filled audience were able to sit back, relax and rewind, all ready to take the business world by storm the next day!

Irene Ang Founder & CEO of FlyEntertainment FLY Entertainment is a Singapore-based entertainment agency, helmed by Singapore Comedian and Host, Irene Ang, specialising in services for the entertainment industry in Singapore and the region. Divisions include Artiste Management, Event Management and Marketing & Public Relations, in addition to several fully owned subsidiaries. The Team at Optimum wanted to uncover some gems that would inspire other entrepreneurs to lead an optimal path in their own entrepreneurial journeys. This allows us to establish valued partnerships with our clients, providing them with innovative HR solutions. What is the inspiration behind the name Fly Entertainment? After I joined the entertainment

industry, I realised there was a lack of professionalism in terms of how the talents in the industry were paid and managed. Passion for the entertainment industry was what kept actors and hosts committed. Without professionalising the management side of the talent equation, the entertainment industry would not be able to attract and develop the type of artistes the sector would need for Singapore to become a media hub. So, armed with my burning passion, belief in the potential of local talents and zero management experience, I set up Fly Entertainment.

Why you started FlyEntertainment: I love naming the things with names of things I love or words that describe what I like to do… I wanted to build a business that would not stay in one place but take flight. I wanted the careers of the talents we managed to fly, combining that with the fact that I am in the entertainment industry; FLY + Entertainment = FLYENTERTAINMENT

Who was your first customer?

There were many very small projects that came my way but the official engagement that gave me the courage and confidence to quit my insurance job and turn my sole proprietor company into a Private Limited company, was when CANON gave us our first big project. They wanted to do something creative for their annual dinner and dance and so we came up with the concept of their very own Canon dinner theatre, called Prosperity Night. It was so well accepted that Canon invited us to do a part two as a continuation of the story at their next dinner and dance. Since then besides managing artistes, we are known for our event management.

You have built a very successful business. Can you share a significant moment of triumph? A major

achievement was cutting out a different kind of contract with the TV station that was different from the exclusive all or nothing contracts. Although it was just a retainer contract, it was a monolithic game changer that soon made it possible for other artistes and talents to be retained by different regional networks for specific projects or by periodic contracts instead of having to sign exclusive contracts that limited potential earnings for the artistes and talents.

CEO to manage the potential of Fly Entertainment could have taken us even further and at an accelerated pace. Any other advise for entrepreneurs fighting the good fight?

As entrepreneurs you are bound to fall down sometime. So, learn how to get up and get up faster every time. Don’t embark on something you don’t feel good about. A wise friend once told me “Don’t feel bad, it’s Better to walk out on a bad deal than stay in it for the wrong reasons”. Lastly, know that you may get hurt by the people you love the most. Well-intentioned nay-sayers, people who do not see what you see, people who are driven by fear may say things that make you doubt yourself. Believe in yourself. Listen to yourself. If you believe it can work, just go ahead and do it! My secret recipe – set a goal, have faith that it can be reached, pursue the goal with gusto, execute with a focus on being excellent, slam into walls, learn and do it all again.
